ITRG uses a number of formats to provide their research including solution sets, project blueprints, tools, templates, analyst calls, webinars and workshops. Additionally, Info-Tech has worked with various counties such as Clarke County and Harris County. ITRG is proposing an eight to ten-weeks consulting engagement to support Dallas County’s IT division in development of an IT strategy. The goal is to develop a complete and comprehensive IT Strategy that provides a holistic view of the current IT environment, the future direction, and the initiatives required to achieve the desired to-be state. Info-Tech Research Group will engage with Dallas County’s IT, County stakeholders and utilize best practice processes and methodologies that are aligned with trends in the current market environment, and that reflect the needs of our County stakeholders. Additionally, Info-tech will be providing access to online IT leadership training courses and various templates and toolkits that provide access to step-by-step methodologies in areas of applications, infrastructure, diagnostics, contract management and benchmarking. OPERATIONAL IMPACT: This will assist IT in creating a Strategic Plan that aligns to the County’s vision and goals. This will also provide IT access to tool-kits and documentation that can be leveraged in streamlining IT services. The Statement of Work and Proposal has been reviewed and approved by the Civil District Attorney's Office as to form and the County Judge is authorized to sign the SOW if and once approved by the Commissioners Court. ADMINISTRATIVE PLAN COMPLIANCE: This request is consistent with the County Administrative Plan Vision #1 – “Dallas County is operationally a model governmental entity” as well as being consistent with the County IT Strategic Plan Section 4.0 – “Provide a Common Architecture Enabling Integration and Interoperability of All County Information Systems”. RECOMMENDATION: That the County Commissioners Court approve and authorize the County Judge to sign the Master Consulting Service Agreement with Info-Tech Research Group Inc. (ITRG) for the development of an IT Strategy, with specific attention being paid to reviewing materials, refining mission, objectives, and overall strategy into presentation materials. The consulting fee cost is $135,000 and using the Federal GSA Schedule and funding is available in the Major Technology Fund – Other Professional Services Account (195.1090.05590.1003). Master Consulting Service AgreementDallas County, Texas (the “Customer”) desires Info-Tech Research Group Inc., a Delaware corporation with offices at 3960 Howard Hughes Parkway, Suite 500, Las Vegas, NV 89169 (“ITRG”) to provide certain services. The delivery of those services shall be based upon the following terms and conditions:

Services: Services (“Services”) will be composed of the services and for the fees described in the Statement of Work attached hereto, or on additional Schedule(s) to be entered into from time-to-time.

Fees: Fees are payable as described and provided in the Service Agreement. The Customer shall pay ITRG interest in accordance with the Texas Prompt Payment Act on all overdue amounts. All amounts are subject to the payment of all applicable taxes, unless the Customer supplies appropriate exemption certificates. The fees payable pursuant to the Service Agreement are non-refundable and shall be recognized as payment for the Services described in the Statement of Work. The fees payable under the Service Agreement cannot be applied to any other ITRG product or service other than the Services described in the Statement of Work.

Service Details: Customer shall nominate one individual as a contact for ITRG. Communications regarding the Services will be between that contact and a contact provided by ITRG.

Work Product: “Work Product” means everything that is the result of the efforts of ITRG and ITRG’s personnel in performing the Services including any notes, materials, reports, documentation, specifications, drawings, data, computer programs (object code, source code and related documentation), inventions, technology, improvements, creations, works, devices, works-in-progress, equipment and deliverables, whether written or electronic.

Change Control: If the Customer desires to make changes to the Services, it shall make a written request to ITRG. ITRG shall provide the Customer with a written response within ten (10) business days or such longer period as the parties may agree, detailing: (i) how the proposed change will be implemented; (ii) any effect it will have on the schedule for the performance of ITRG’s obligations; (iii) any effect it will have on the performance of the Services; and (iv) any additional costs required. If the Customer desires to proceed with the change it must provide written authorization to proceed, in which case the change shall be deemed to be part of this agreement.

Confidential Information: Confidential Information is all information of either party that is not generally known to the public whether of a technical, business or other nature (including, without limitation, trade secrets, know-how and information relating to technology, business plans, assets, liabilities, prospects, finances, product capabilities or lack thereof, financial arrangements between the parties or personal information) that is disclosed by a party to the other or that is otherwise learned by the other in the course of its discussions or business dealings with the other, and that has been identified as being proprietary and/or confidential or that by the nature of the circumstances surrounding the disclosure or receipt ought to be treated as proprietary and/or confidential.

Confidential Information shall not include (except for any personally identifiable information about an individual that relevant privacy legislation or policies do not allow to be disclosed): (i) any Confidential Information that is in the public domain at the time of its disclosure or which thereafter enters the public domain through no action of the receiving party, direct or indirect, intentional or unintentional; (ii) any Confidential Information which the receiving party can demonstrate was in its possession or known to it prior to its receipt, directly or indirectly, from the other party; (iii) any Confidential Information that is disclosed to the receiving party by another party not in violation of the rights of the other party or any other person or entity; and (iv) any Confidential Information which is either compelled by law or by the order of a court of competent jurisdiction to be disclosed.

The parties shall (i) not use Confidential Information for any purpose other than that contemplated by this agreement; (ii) not disclose Confidential Information to anyone without the prior written authorization of the disclosing party, during the term of this agreement or at any time thereafter; (iii) handle, preserve and protect Confidential Information with at least the same degree of care that it affords or would afford to its own Confidential Information, including taking all reasonable efforts to avoid disclosure of such Confidential Information to any third party, at any time; (iv) disclose Confidential Information only to its employees or subcontractors who require such information in order to perform the party’s obligations with the other, and are under confidentiality obligations.

The identity of our research clients in not considered personal or confidential information, and ITRG may disclose that information for promotional and marketing purposes.

Ownership of the Work Product: The Work Product as a whole is owned by the Customer, provided that while the Customer may use and copy the Work Product for its own internal use, it may not resell to or allow its use by any third parties. The Customer acknowledges that portions of the Work Product are pre-existing works of ITRG or its related entities. Notwithstanding anything else in this paragraph, ITRG and/or its related entities retains ownership of all intellectual property rights in component parts of the Work Product, and may use any portion of the Work Product for any use at its discretion, provided that the Client’s identity and any Confidential Information are removed. Neither party is prevented from making use of know-how and principles learned or experience gained of a non-proprietary and non-confidential nature.

Term: The Services shall be provided for the time necessary to perform the Services indicated in the Statement(s) of Work that refer to this Agreement from time to time. The Customer acknowledges that the ability of ITRG to deliver the Services on a timely basis is contingent upon the customer providing ITRG with required information and resources on a timely basis. The Services described in the Statement of Work must be delivered by ITRG within 12 months of the date of the final invoice issued for the Statement of Work. If the Services are not delivered within this 12-month period, ITRG retains the right to deliver the Services after the expiry of the 12-month period at its sole discretion. If the Services are to continue on a periodic basis and a term is not specified, either party may terminate this agreement at any time by giving thirty (30) days prior written notice.

Warranty: ITRG warrants that it will perform the services hereunder in a manner that is consistent with industry practice. The Services are otherwise delivered "as is" and ITRG and its related entities, suppliers and distributors do not make any warranties or conditions, express or implied, and exclude and disclaim any and all implied warranties or conditions including, without limitation, those of merchantability or fitness for a particular purpose. In no event will ITRG or its related entities, suppliers or distributors be liable to the Customer for any direct, indirect, special, punitive or consequential damages (including but not limited to damages for loss of business profits, business interruption and the like), or any other damages arising in any way (even if they have been advised of the possibility of such damages and regardless of the form of action whether in contract, tort, strict liability, operation of law or otherwise, including without limitation the negligence of ITRG or its related entities, suppliers or distributors) for any matter including without limitation: (i) any errors, omissions, or other inaccuracies in any material or advice provided as part of the Service; or, (ii) any unintended or unauthorized access, alteration, theft, corruption or destruction of files, data, transmission facilities or equipment (whether by ITRG or third parties). Some jurisdictions do not allow the exclusion or limitation of direct, indirect, incidental, or consequential damages, so the above limitation may not apply to the Customer, but shall apply in every case to the fullest extent permissible by law. In all circumstances, the maximum amount that ITRG or its related entities, suppliers or distributors is liable for, for any reason whatsoever is the price paid by the Customer for the Services only. Client’s exclusive remedy for any breach of this warranty and any other provision or covenant in this contract, shall be for ITRG, upon receipt of written notice, to use reasonable efforts to cure such a breach, or, failing any such cure in a reasonable period of time, to return the professional fees paid to ITRG hereunder with respect to the services giving rise to such breach.

The parties acknowledge that ITRG has set its prices and entered into this agreement in reliance on the limitations of liability and disclaimers of warranties and damages set forth herein, and that the same form a fundamental and essential basis of the bargain between the parties. They shall apply even if this agreement is found to have failed in its fundamental or essential purpose or been fundamentally breached.

Penetration Testing: ITRG provides the Services using industry standard tools and methodologies, however exploits change over time and ITRG cannot guarantee that it will uncover every vulnerability. Without limitation, ITRG takes no responsibility for: (a) anything the Customer instructs ITRG not to test, (b) any changes made to systems after ITRG’s point in time test, (c) exploits that were unknown at the time of the test, (d) any recommendations the Customer fails to implement, and (e) failures of Customer staff to abide by proper operational protocols. All promises made by ITRG are contained in this Agreement. No promises implied by law (whether described as warranties, conditions, representations, or otherwise, and whether relating to merchantability, fitness, non-infringement, or otherwise) apply.The nature of the Services, in whole or in part, involve ITRG attempting to breach Customer security and systems in order to test the effectiveness of that security. Customer consents to and acknowledges that ITRG will, as part of the Services, attempt one or more of the following: (a) gain access to Customer premises, (b) gain access to Customer’s information technology infrastructure, and (c) obtain possession of Customer personal property, including but not limited to, computer hardware and data.

Customer consents to ITRG temporarily installing software on the Customer’s computer systems that might perform functions such as collecting personal information, interfering with Customer’s control, settings, preferences or commands, changing or interfering with data, or causing the system to communicate with other systems. Customer acknowledges that these functions, and any others that are related to the purpose of the Services are expected.

As part of the Services, ITRG will use processes and tools that will mimic malicious activity to determine possible vulnerabilities. It is possible that this could disrupt or bring down the Customer’s network. To reduce the risks of disruption, ITRG recommends that the Customer backs its systems up and tests that backup to ensure it is useable before ITRG performs its services, and continues to do so on a regular basis. ITRG also recommends that the Customer has ready access to resources capable of correcting such issues when ITRG is performing its services. If there are any especially critical times when the risk of such disruption is too high for the Customer, the Customer must give prior notice to ITRG. Customer acknowledges that the risks of disruption will be greater if the Customer wishes ITRG to test vulnerabilities from the perspective of administrative users versus normal users.

Customer shall not bring or commence and shall use reasonable efforts to dissuade others (whom Customer becomes aware of) from bringing or commencing criminal or other statutory charges or civil or other actions (including, but not limited to, CASL violations, theft, trespass or violation of privacy) against ITRG and/or its authorized employees as a result of the performance of the Services.

Prior agreement: This agreement, along with the Statement of Work entered into between the Parties, contains the complete and exclusive statement of the agreement between the parties and supersedes all prior and contemporaneous agreements, purchase orders, understandings, proposals, negotiations, representations or warranties of any kind whether written or oral. No oral or written representation that is not expressly contained in this agreement is binding on either party. This agreement cannot be amended or modified, other than by a change made in writing, dated and executed by the parties.

Governing Law: This Agreement shall be governed in all respects by the laws of the State of Texas without regard for its conflict of laws provisions, and the sole venue for disputes arising out of, or related to, this Agreement shall be the federal and state courts physically located in Dallas County, Texas. Customer and ITRG hereby submit to the jurisdiction of, and consents to exclusive venue in, such courts.

Force Majeure: Neither party shall be liable for an omission or delay in the execution of its obligations hereunder caused by an event beyond its reasonable control. The time for the performance of the obligation that is so delayed shall be extended by a reasonable time.

Notice: All required notices, or notices which may be provided in accordance with this agreement, shall be in writing and shall be duly provided for if the notice is remitted to its addressee by courier, mail, or email, if to ITRG to the address set out on the Statement of Work, and if to the Customer to the address set out on the Statement of Work or such other address as the party which is to receive the notice indicates to the party providing the notice, in the manner provided for in this section. Every notice delivered in the manner provided for herein shall be deemed to have been received when delivered or by email the first business day after the date received or the fifth business day following the date of mailing, if sent by mail.

Assignment: ITRG shall have the right to assign this agreement or any rights hereunder without the consent of the Customer to a related entity or in the event of a merger, sale of assets or business, or other transfer of control by operation of law or otherwise, provided that the assignee shall assume all obligations and rights hereunder. The Customer may not assign its rights or obligations hereunder without ITRG’s written consent.

Default: ITRG may terminate this agreement if the Customer: (i) is in breach of its obligations hereunder, which breach is incapable of cure or which being capable of cure, has not been cured within thirty (30) days after receipt of written notice of such breach; (ii) becomes insolvent; or (iii) ceases to carry on business.

This Master Service Agreement is entered into between Info-Tech Research Group, Inc. (“ITRG”) and Dallas County, Texas.

B. STRATEGY DEVELOPMENT PROPOSED WORK PLAN AND CONSULTATION APPROACH

OUR UNDERSTANDING

Dallas County is a county in the U.S. state of Texas, the state's second-most populous county, and the eighth-most populous in the United States. Its county seat is the city of Dallas, which is also Texas' third-largest city and the ninth-largest city in the United States.

Dallas County is among the top 10 fastest growing counties in the nation, according to new U.S. Census Bureau county and metropolitan statistical area population estimates for 2018 that were released by the State Data Center. The county ranked as eighth-fastest nationwide, with an increase in population of more than 36%, or 90,180 people, since 2010.

Major industries in Dallas County include defense, financial services, information technology and data, life sciences, semiconductors, telecommunications, transportation, and processing. According to the Greater Dallas Chamber of Commerce, the Dallas-Fort Worth Metroplex holds about 43 percent of the state's high-tech workers.

Given this growth in both population and industry, Dallas County has experienced increasing and changing demands for county services. In response, Dallas County has developed and consistently updated the County Strategic Plan which provides the foundation and direction for all county operations, and addresses the diverse, evolving needs of the county’s constituents.

To enable the county to deliver on the Strategic Plan, Dallas County’s Information Technology Services Division is in the process of developing a comprehensive IT strategy that best aligns to and operationalizes the County Strategic Plan. With much of the content already created, Dallas County ITS is looking to retain external consulting expertise to conduct interviews, review the existing documentation, evaluate and provide recommendations regarding mission, objectives, and overall strategy, assist with IT portfolio assessment, and support developing and finalizing materials for board presentation.

Info-Tech is proposing a eight to ten-weeks consulting engagement to support Dallas County’s ITS division in development of an IT strategy. The goal is to develop a complete and comprehensive IT Strategy that provides a holistic view of the current IT environment, the future direction, and the initiatives required to achieve the desired to-be state. Info-Tech Research Group will engage with Dallas County’s ITS division to complete the development of a transformative IT Strategy by leveraging a unique blend of data-driven research, client engagement experience, and best practice processes and methodologies that are aligned with trends in the current market environment, and that reflect the needs of its wide client base. Info-Tech has outlined our understanding and approach throughout this document. Additionally, Info-Tech will conduct an IT assessment, using interviews and documentation provided by comparing Dallas County’s existing processes, policies and technologies with Dallas County guiding principles and goals as well as industry best practices to identify gaps and suggest areas of improvement.

Info-Tech will then conduct a target state analysis to generate an IT Strategic Roadmap, stemming from an analysis between current and desired target states. The IT Roadmap is a core deliverable for this engagement. Info-Tech will not only confirm the Dallas County approach, but also build on the strategic direction sought with emerging technologies that also center on a vision around mobility, cloud etc. Hence, the validation of this direction and strategies to address gaps tied to interdependencies and critical paths is key.

PROJECT ASSUMPTIONS

Project timeline and resultant cost have been based, in part, on the following assumptions:

Dallas County Information Technology Services will provide a dedicated resource(s) for the entirety of the engagement.

Dallas County Information Technology Services will provide designated Info-Tech personnel access to premises, systems, and documentation as required.

Dallas County Information Technology Services can provide documentation (under NDA as needed) as to current procurement guidelines, materials, workflows and key stakeholders.

• Dallas County Information Technology Services will ensure the availability of stakeholders for meetings, interviews, or review of material(s) as required by the project.

• If revisions are requested, Info-Tech will make reasonable efforts to return the updated version within 3 working days; however, extensive changes may require additional time.

• If changes are requested outside of the scope of the project as defined in this SOW, then a change order may be required.

• Project outputs and deliverables will be based on Info-Tech tools and templates. The Info-Tech tools and templates will be streamlined to ensure effective communication.

• Dallas County Information Technology Services and Info-Tech agree to no more than two rounds of feedback on each specific deliverable.

• The deliverables created under this SOW as a whole are owned by Dallas County Information Technology Services, provided that Dallas County Information Technology Services does not resell them or allow them to be resold. Pre-existing components of the deliverables are owned by Info-Tech.

• Info-Tech and its affiliates may use any portion of the deliverables at their discretion, provided that Dallas County Information Technology Services identity and any confidential information are removed.

The professional fees to complete the engagement as described in this proposal will be $135,000

USD plus any applicable taxes, travel expenses and other expenses. Fees will be invoiced against
