Notwithstanding anything to the contrary herein, no shareholder, ptincipa1, member, officer, director, partner, employee or other representative ofOtak shall have any personal liability to Client, or any other paJ"ty arising out of or rel<iting to this Agreen1ent.

14. Client agrees tO pay the costs and reasonableullon1cy's fees and disbursements incurred by Otak in connection with the failure by Client to nJakc any payment in accordance with the provisions of this Agreement, whether or not a legal uction is cotnrnenced by Otak. 111eparties ug;ee that in tl1e eventaciion or suit is commenced related to the subject matter of this At,>reement, or in the event of any breach of this Agreement, the prevailing party shall have and recover rensonablc attorney fees, both at trial and on appeal, together with all other costs and disbursement allowed by law,

15. Otak shall be free from any liabili~; for delay or failure of pfovidi11g the services contemplated by this Agreement which arise fr01n any acts of God or any actions outside ofOtak'~ control and without it's fault or negligence. Such causes include without limitation: strikes, lockouts, or labor !roubles of any kind, accidents, fire, earthquake, civil commotion, war or consequences of war, government acts, restrictions Of requisitions, failure of nianuf-acturcrs or suppliers, suspension of shipping facilities, any act or default of a carrier. fn such a sitt1ation, if the services contemplated by this Agreen1cnt are not provided during the period contracted for, Client shall accept the services and pay for the same when provided so long as a mutually acceptable revision is n1ade to the scope of services and compensation.

16. Due to the potential for lnodification of information set forth in electronic data transfer, Otak has retained copies of the transmitted data with file name, size, date and time. lf the received data is modified, Otak requires the Client and/or

Client's authorized recipient to remove all indication of Otak's ownership and/or involvement from :rnch n1odified data.

Unless othenvise agreed to in writing, Client and/or Client's authorized recipient shall be responsible for determining the co1npatibility of Otak's data with Client and/or Client's au1horized recipient's software and for the interception and eli1nination of any computer virus. Otak makes no warranty of data· compatibility with Client and/or Client's m.ithorized recipient's software,

Distribution of the electronic data to others by Client and/or Client's authorized recipient, wliether or not electronic d:ita is modified, is prohibited without the express written consent of Otak.

To the ft1\lestextentpe1mitted bylaw, Otaksha!I not be liable for any damages, including wit11out limitation, direct, indirect, i'ncidental, or consequential damages to any party resulting from the following: (a) the use of electronic dr11a which is modified by any party other than Otak; (b) either the incompatibility of Client and/or Client's authorized recipient's software with O!ak data or the existence of any computer virus which is transmitted with Otak's data; or (c) the un::iuthorized use ofOtak's electronic data.

All electronically transferred data frorri Otak will contain Paragraph 16. 17. Otak shall have no responsibility for, or control over, the safety precm:tions employed byoihers in the developmentorconshuction of this project, nor shall Otak liave rcsponsibilily for, or co11trol over, the manner, n1ethods and techniques einployed by others in any developn1ent or construction relating to this project tmless other.vise agreed in wriH11g.

18. To 1he extent Otak's duties under this Agreement include project site observation and/or visitation, Otak shall visit the site at intervals appropriate to become generally familiarwitl1 the quality and progress of the project. Otak shall not be required to make continuous or exhaustive inspections to check the quality or quantily of lbe work being done on the project, unless otherwise agreed in writing.

19. Any causes of action between the parties to this Agreement arising out of any damages or losses caused by the negligent performance of; or failure to perf onn under, this Agreement, shall be deemed to have accrued and the applicable statutes of limitations shall commence to run not later than the date of substantial completion of the project

20. Otak shall have no fiduciary responsibility to Client. Nothing in this Agreement shall be construed as creating contractual obligations between Otak and ~my third parties, including, but not limited to, Client's consultants, contrnctors and clients.

21. 111e parties hereto each bind themselves, theirpaiiners, successors, assigns and legal representatives of such other party in respect to all terms: of this Agreement. Neither paity shall assign the contract :is a whole without Wlitten consent of the other.

22. This Agreement constitutes the entire Dgreement between the parties and supersedes all prior .agreements, written and ornl, courses of dealing, or other

Camas STEP Sewer Transmission Main Final Design

I. Project Understanding

Scope of Work

STEP Sewer Transmission Main City of Camas, Washington

Camas Project: WS-714

The City of Camas plans to constiuct a t1unk sewer line from NE 6th Ave and Joy Street to the City's \Xlastewater Treatment Plant located at 1129 SE Polk Street south of SR 14. This pipeline will be used to redirect flows around the Main Sewage Pump Station.

This scope of work is for the final design of this sewer main and includes the development of 60 percent, 90 percent, 99 percent and final Plans, Specifications, and Cost Estimates (PS&E).

This scope also includes the development of construction drawings for the relocation of a 16-inch waterline and abandonment of a section of 8-inch waterline on the west bank of the Washougal River where these pipes ctoss nnder BNSF raili:oad tracks and SE 68' Avenue (SR 500). BNSF is replacing the raili:oad bridge over the Washougal River, and these pipes need to be relocated to accommodate the new bridge.

This scope also includes the following support tasks: geotechnical engineering, right-of-way /easements, field su1-vey, public involvement support, cultmal and histotic surveys, an envitorunental assessment, envitonn1ental and land use permits, and an NPDES Constiuction Stormwatet Pertnit.

The waterline replacement and the bote and jack for tlie sewer trans1nission main will be bid as a separate construction package and will be scheduled such that const1uction will be completed by March 31, 2014. The remainder of the STEP transmission pipeline will be bid as a separate package and will ii1clnde a connection to the wastewater treatiuent plant designed by Gray and Osborne. Design and engineering work for the waterline relocations will he billed separately from the STEP Sewer Transmission Main.

Om consultant team is shown ii1 Table I. Individual team responsibilities are described in detail with each of the tasks listed in this scope of work.

Ill. Scope of Work The following prnvides a detailed description of each task proposed for this project. A level of effort and fe.e estimate is included as a separate document.

Task I Su1·vey and Mapping

Task I. I STEP Sewer Main Survey

This task will include:

Research record sw:vey information, (Plats, Surveys, and Public Land Comers) along the route and calculate centerline and right-of-way along routes.

Request underground utility locates markings .

Perform topographic smvey of the sewer transmission main alignment (appr.ox. 7,500' total), consisting of:

o Coordinate and collect field date for existing utility potholing.

o \Xi'ithin residential streets, from curb to curb at approximately 50' intervals.

o \Xi'ithin NE3'd Avenue, a 25' wide topographic smvcy at approximately 50' intervals

o Outside of tights-of-way, a 25' wide topographic survey at approxin1ately 50' intervals

o Topographic smvey will include

• Utilit)' locates, including measure-downs .

• Subsurface boring locations as identified in Task 2 (assumes 13 borings) .

" Environmental resource areas identified by the Natural Resources team (wetland flags and cultural resource boundaties).

Prepare topographic/right-of-way basemap including.

o Gtound topographic data.

o Ground digital tetra.in model.

o Centerline, right-of-way along route.

o Underground utilities and inverts.

Compile utility as-built records and locations for public and private utilities (water, sanitary sewer, storm sewer, electric, telephone, gas, etc.).

"Prepare draft and final of three (3) legal descriptions and exhibit maps for sewer easements .

Assumptions:

Topographic survey and record srnvey information will be obtained for one sewer alig111nent approximately 7,500 feet long.

This scope excludes the driveway to the Colmubia Rock Products property north of 6th Avenue, as this has aheady been surveyed.

Otak will provide legal description and exhibit maps for up to three easements.

Task 1.3: Survey Contingency

Task 1.3 ide11tifies specific deliverables that the CITY at its discretion may elect to aut1101ize Consultant to produce. Consultant shall 0111y complete Task 1.3 and the ide11tified deliverables ifwritte11 (email acceptable) Notice to Proceed (NTP) is issued by CITY's Project llfa11ager. The Not to Exceed (NTE) a1110u11t for completing this co11ti11ge11cy task is 011ly billable if authorized. This task will include: • Perform additional topographic survey as required for the project. The fee estimate included with

this scope is for topographic survey and associated traffic control as necessaiy to complete a curb to curb survey of NE 3><l Avenue.

Task 2 Geotechnical Investigation

This task will be performed by Apex Companies, LLC. The key geotechn:ical issues associated with . the project include dewatering, trench sL~bility, and the use of trench.less technologies. The puq)ose of this study would be to identify any geotechnically related design and construction issues associated with the site relative to the proposed project and to develop baseline data to present to contractors in preparing their bids. The reporting will be completed in general accordance with the 2007 ASCE document "Geotechnical Baseline Reports for Constrnction." The following tasks are included:

Task 2.1 Office Review and Field Reconnaissance

Ptior to conducting the field exploration portion of the project, Apex will undertake a review of existing geotechnical and geological information available. This review will include published geology maps, NRCS soil smveys, and past geotech11ical reports for the area. After completing our donunent review, Apex ",;n complete a surface geologic reconnaissance oftl1e site. We will walk available portions of the site to observe surface manifestations of geotechnically related issues associated with the proposed utility installation. The reconnaissance will include tl1e condition of surface in1provements (evidence of past settlement 01 failure), surface vegetation, surface fills, soil exposures, springs or seeps, soft ground, and evidence of slope movement.

Task 2.2 Subsuiface Explorations

Su,bsurface Borings

Apex will complete a subsurface exploration program consisting of dtilled borings. The borings will be distributed along the pipeline alignment at spacing of 500 to 1000 feet pet boting. A single boring will completed at each side of ptoposed jack and bore crossings. Additional subsutface information from otl1er sources will be utilized where appropriate.

Two explorations methods will be employed:

Portions of the project alignment located outside of existing streets will be explored using a small, man-portable, solid stem drilling rig. This approach will allow us to limit disturbance as much as possible.

• Areas witlrin existing surface streets will be explored using a large ti·uck-mounted, drill rig.

Based on a preliminary exploration layout for the project, tl1e number of borings is anticipated to be

15. Pipeline borings would be advanced to depths of at least 5 feet below the proposed pipeline

iiwert. In general, the pipeline borings will range from 10 to 20 feet below existing Sl1rface grades with most being in the 15 to 20 foot range. For jack and bore locations, borings would be completed to a depth of 20 feet below invert elevations ii1 order to allow for entry and exit pit shoring design. Logs of subsurface conditions will be maintained. Samples will be identified in the field and returned

to Apex's office for further classifica.tion and testing.

Groundwater Evaluation

In order to develop dewate.ring design criteria, groundwater morutoring wells will be installed lll areas of deep cuts and known groundwater. This scope of work includes the installation and monitoring of wells at two locations along the pipeline route. These wells will be constructed to a depth of 30 feet.

The monitoring wells will be constmcted in accordance with State of Washington requirements. The wells will be monitored quarterly 1mtil the project is advertised for bid. The well logs will be made

available to the bidders for evaluation during bidding.

Task 2.3 Materials Analysis

Comprehensive descriptions of subsurface conditions will be prepared by an engineering geologist or geotechnical engineer from Apex's staff. From this info1mation, boring Jogs will be developed that will include detailed descriptions of the soils encoU11tered and notes sununarizing observations of

groundwater and drilling action. The information developed froti> these logs as well as field

monitoring and laboratoq testing will be used in the evaluation of site soil conditions completed by Apex. Specific analyses to be completed include preliminary dewatering design for excavations, evaluation of shoring pressures, evaluation of stresses on jack and bore casings, and analyses of

passive pressures on jack and bore pits.

Task 2.4 Geotechnical Reports

The ASCE guidelines for completing geotechrucal studies for utility projects will be followed. This includes the preparation of a Geotechnical Baseline Report (GBR) and Geoteclmical Design Reports. A single GBR will be prepared for the entite project corridor. This report will be provided to bidders with the contract documents and will illclude:

Task 3.2 STEP Endangered Species Act (ESA) Compliance

Efforts of this task will support Endangered Species Act (ESA) compliance required for the CW A

Nationwide Permit. Normandeau will define the action area in compliance with the ES.A and then

conduct research and complete field surveys as necessary to identify federally listed species in the

action area. This information will be used to prepare an ESA compliance document, presumably a

No Effect Letter, adchessing potential direct and indirect effects to plant, fish, and wildlife species

that are listed under the ESA. The No Effect Letter will meet the needs and requirements of the

reviewing agencies, NOAA Fisheries and U.S. Fish and Wildlife Service (USFWS). For tlus task, N orn1a11deau will:

• Research information on the location and status of special status plants, fish, and wildlife (i.e., federally listed tlueatened, endangered or proposed for listing) target species. Information will be obtained from the Washington Department of Natural Resources (GIS database), Washington Depart111ent of Fish and Wildlife (website), USF\XIS (website) and NO_A.A Fisheries (website).

• Conduct an on-site inspection of the area of potential effect to detennine the likely presence of target species and to deternrine whether suitable habitat exists within the action area.

Review and analyze the potential direct and indirect effects of one Build Option on individuals, populations, and their functionally suitable habitat (e.g., habitat for documented target species or habitat for target species presumed to occur in the action area). • If target species or their habitats are identified ii1 the action area, analyze and recommend alternative design features/ actions that may 111iillmize or nutigate adverse effects. Prepare a No Effect Letter tloat will adchess all species listed for Clark Co1mty. A simple sentence or two may be included for the species on which the pwject will have no effect.

A shoreline application will be prepared for submittal to tl1e City to address impacts to shorelines at the project site adjacent to the Washougal River, at the west end of the BNSF Railway Bridge.

The application will be based on supporting studies and reports including the SEPA Checklist, ESA documentation, and geotechnical report. An application package, including the shoreline permit, SEPA Checklist, detailed narrative, vicinity map, and development plans will be reviewed by tl1e City who will then fo1ward a recommendation to the Washington State Depattment of Ecology for final approval, if required.

TI1e report will be completed in accordance witl1Chapter447 ofWSDOT's Environmental Procedures Manual. The scope of services for the HMCS will consist of tl1e following components:

Historical Characterization. Apex will conduct a historical backgtound information search to acquire and review the following matetials for tl1e subject property, as appropriate and available within the project t:imeframe:

Regulatory Agency List Review. Available and applicable file irrformation from inspections, UST registrations, v.raste discharge pe11nits, penalties, \V~tste disposal records, and ot11er .e1rviro111nental

quality infom1ation will be reviewed, as appropriate and readily available in on-line agency databases.

Regulatory databases from the Washington Department of Ecology (Ecology), the EPA, and others will be reviewed for the subject property by Enviroruuental Data Resources (EDR). The EDR report will show a smnmary of federal and state regulatory agency records, a figure of property locations relative to the subject property, and infonnation presented in regulatory agency database lists about the subject property.

Site Reconnaissance. A site reconnaissance of the subject property will be condncted to the extent that there is public access .. Photographs and field notes will be taken, as necessary, to document the

public roads as well as on foot within existing public easements and rights-of-way. Access may be limited in portions of tl1e alignment. Tbe purpose of tl1e site reconnaissance is to observe for indications of hazardous materials, but many features may be subsurface structures (e.g., undergrom1d

storage tanks) tl1at may not be readily identifiable from the surface.

Reporting. The information and data gathered during the above activities 'lldll be docnmcnted in a

report. The report will include photographs and copies of pertinent information acquired during our activities. The report will identify sites that, based on available information, may impact construction or result in liability for the City. For each identified site, Apex will propose a course of action that

may include subsurface explorations and testing.

Task 5.1: Cultural and Historic Resource Survey

Tbis task will be performed hy Archaeological Investigations Nortl1west (AINW), with suppott from

Otak.

An archaeological survey will be conducted that meets Section 106 of the National Historic Preservation Act, as a permit from the Corps of Engii1eers may be needed. Funding tl:u:ough tl1e

Department of Ecology is anticipated, and the project would therefore be done to meet the review for Executive Order 05-05. The project also will need to meet the City's archaeological ordinance.

Tbe Department of Archaeology and Historic Preservation standards and guidelines will be followed, and the project will be directed by professionally qualified persoru1el.

Portions of tl1e route have been included in previous surveys. However, the alignment nortlrnrest of

Lacamas Creek, some of the alignn1ent between SR-14 and the Washougal River, and the alignment between the NE Sixth Avenue/Joy Street intersection and NE Third Avenue do not appear to'have

been included in previous archaeological surveys.

An existing archaeological site that has previously been determined to he eligible for listing in the National Register of Historic Places is located along NE Third Loop, and tl1e proposed alignment through the site .is assurned to not require additional archaeological excavation. All'-TW evaluated the archaeological site for tl1e City when a trail and waterline were proposed for this location, and has

advised on an alignment witl1 least inrpacts. It 1s assumed this alignment will be selected.

Areas previously surveyed, including the alignment between the Washougal Rivet and NE Third Loop would need no additional fieldwork. Areas not previously surveyed would need to be surveyed and a reconunendation regatcli:ng the 1il<elihoocl of an archaeological site will need to be deternilned through research and the visual inspection. The study will i11clude a pedesttian survey of areas not previously surveyed; the field survey would be clone after the background review has been completed. It is assumed that the areas .not previously surveyed probably would be paved stteets or disturbed areas, for example, within the concrete manufacturing yard or along NE Joy Stteet.

Shovel testing to probe for evidence of an archaeological deposit prior to construction would not be an option for the paved· areas

For the paved areas, unless evidence is found that imported fill has been brought in and covers the native soil.s to a thickness that is at least the depth of the anticipated constt:uction excavations, a recommendation to monitor during consnuction is probably the best option to address areas where an archaeological site is likely to be present or has been previously recorded.

It is assumed no shovel testing will be performed as part of the archaeological smvey .

The tasks are outlined below.

Conduct the background re,riew of the APE.

Perfonn the pedestrian archaeological smvey of the proposed alignment, excluding areas previously surveyed.

Upon completion of the fieldwork, sunuuarize the results of field survey and coordinate regarding reco.mn1endations.

Task I 0.4 Closing Services

Provide closing setvices by performing tbe following activities:

Review and forward acquired conveyance documents to Agency for acceptance .

Review and forwatd accepted conveyance documents to title company fot recording in County deed records

Order title insurance policy

Provide original recorded documents and title insurance policy to Agency

Provide copy of recorded docrnnents to property owners

Task 11 Project Management

These tasks will be perfotmed by the consultant team and will include:

Task 11.1 Project Management and QA/QC

The Project Team will pfa11, manage, and execute the tasks described herein in accordance with the schedule, budget, and quality expectations that are established. This project management task includes tlle following work activities:

Develop project work plan and quality assurance/qualily control (QA/QC) plan. '.Ibis plan will include:

o Agreement highlights including invoicing and billing procedures

o Project description

o Scope of work

o Work plan including project budget and schedule

o Progress evaluation for 11lonitoring budget and schedule

o Quality assurance/quality control (QA/QC) plan

o Communication plan

o Documentation plan

o Scope change management procedures

o Decision nuking protocol

Coordinate between tasks and team members. DoctUnent meeting decisions and action items, assign activities to tea:tn members, and follow up to ensure timely resolution.

Manage the quality control review of all work activities ru1d project deliverables.

Preparation and ongoing maintenance of a comprehensive design schedule witl1 individual task milestones, task duration, individual responsibilities of stibconsultants and City staff, agencies, utilities) etc.

Monthly progi·ess reports to be sub1nitted with billings. Monthly progress reports will reflect hourly /percent complete progress for each activity and identify budget status and tasks performed to date during the billing period.

Task 11.2 Project Meetings

0 A project kick-off meeting to introduce the team players and discuss roles ru1d schedule.

0 Project team meetings at Otak's office throughout the project duration at appropriate intervals based upon design activities (Scope assumes 15 meetings).

Project update meetings with the client project manager. Assume monthly meetings through the duration of the project (Scope assumes 10 meetings).
