TERMS AND CONDITIONS OF SALE
PREAMBLEBiotech Ortho will provide the goods to the customer in accordance with the General conditions hereinafter defined. The buyer declares know and accept our terms of sale.
Any other (s) mode (s) and condition (s) are excluded and shall not apply without the prior written consent of Biotech Ortho.
APPLICATION OF GENERAL CONDITIONSThe mere fact of placing orders has without reserve the acceptance of the present general conditions. As a result, the purchaser is deemed to accept without reserve the entirety of
the provisions of these terms and conditions.
COMMANDSAll orders will be placed by e-mail or through the postal, or by fax.
All orders registered by Biotech Ortho may be cancelled and shall subject to the receipt of goods and payment in full of such goods, or will be a product of the said return and the payment of a penalty of an amount equal to 50% of the command value excl. tax.
DELIVERY AND RETURN OF GOODSAll our deliveries in France are performed by the carrier in 24 H (48 H maximum) and are postage for all orders over €60. For other orders of less than €60 a bundle of €15 will be applied. Any goods returned without our prior written agreement may give rise to the establishment of a credit memo. The goods invoiced thirty days (30) or more will not be
accepted in return. All returned goods must be in perfect condition for relisting. A package of 20% will be charged for handling and restocking. We cannot accept the return of items being more manufactured or that have been modified or specially adapted. For the establishment of a credit memo for a return, we ask you to let know us your order number and
the number of the corresponding invoice. Any delivered medical device sterile and not posed must be returned to Biotech Ortho three months at the latest before its expiration date.
REMOVALThe abductions are carried out by our carrier between 3 pm and 6 pm every day of the week at a price of €30.
CLAUSE OF RESERVE OF PROPERTYThe seller reserves ownership of the goods delivered by him until full payment of the price and in the case of issuance of checks or negotiable up to their receipt. For the duration of retention of title, the risks have been transferred to the buyer as soon as the goods from our warehouses; buyer shall ensure the goods against all risks of damage. Insurance policies
mention the status of owner of the seller.
PRICEOur prices are in euro TTC starting Salon de Provence. We reserve the right to change our prices and specifications without notice.
TERMS OF PAYMENTThe goods are payable by check, credit card, Amex card, transfer or removal. The payment deadline is 45 days end of month from the date of issue of the invoice. Any unpaid
amount by the due date will be of right interest, at the rate of 3% per month without prejudice to any indemnification that Biotech Ortho reserves claim.A lump sum of EUR 40 will be due to Biotech Ortho for all payments made after the due date in accordance with the law n ° 2012-387 March 22, 2012.
CLAIMSOur goods sent Franco or collect travel at the risk and peril of the recipient, all reservations to be taken with regard to the carrier at their reception.
All claims for incomplete delivery must be made within 7 days of receipt of the goods.All claims for damaged goods must be made within 7 days of receipt of the goods and must be accompanied by a detailed report for our insurance company or to the carrier.
Any claim not accompanied a report will not be accepted. In cases where the shipment is provided by insurance subscription, please notify your insurance company.
WARRANTYStandard products are guaranteed for a period of 12 months from the date of delivery by Biotech Ortho against all manufacturing defects.
Distribution products will benefit from a specific guarantee in accordance with the provisions shown on the invoice.We reserve the right to repair or replace all products according to the terms of our warranty. We cannot accept responsibility for products returned without our permission. The law
obliges to sell these materials only to (or prescription of) a surgeon.The buyer assumes full responsibility for the use it will make of these materials, he used separately or to other equipment not manufactured by Biotech Ortho jointly.
Biotech Ortho recommends the user to its products to have training adapted to use and follow the Protocol described in the operating instructions and data sheets Biotech Ortho. Biotech Ortho cannot be held responsible for the consequences or not misuse of the products sold by it on persons on the property. Devices labeled STERILE are guaranteed sterile
unless the package has been opened or damaged.
FORCE MAJEUREThe responsibility of Biotech Ortho will not be able to be implemented if the failure or delay in the performance of any of its obligations described in the present general conditions of sale arises from an event of force majeure. As such, force majeure means any external, unforeseeable and uncontrollable event within the meaning of article 1148 of the civil Code.
APPLICABLE LAWAny dispute relating to the interpretation and execution of these general conditions of sale is subject to French law.
JURISDICTIONFailing amicable resolution, the dispute will be brought before the Tribunal de commerce of Salon-de-Provence.
