BUSINESS PRACTICE This Business Practice sets forth the manner in which A TC will select Blackstart Units (BSU) for inclusion in the A TC Blackstart Restoration Plan (BSRP) to fulfill A TC's obligations under the mandatory reliabilty standards of the North American Electric Reliabilty Corporation (NERC) and the applicable Regional Entities. II. Blackstart System Restoration Plan Requirements

A TC is a registered Transmission Operator (TOP) and under the mandatory reliabiltystandards has an obligation to develop and maintain a BSRP. ATC is required toreview its BSRP annually and to coordinate the BSRP with the Midwest ISO, the NERCand Regional Entity~registered Reliabilty Coordinator.

A TC does not own any generating capacity and is prohibited under state law fromowning generation, except for certain ancillary services. Blackstart Service is not anancilary service under the rules of the Federal Energy Regulatory Commission (FERC).As a result, A TC is required to obtain Blackstart Service from others. This BusinessPractice and the guideline established by A TC is part of the process to be used by A TCto determine which BSUs are to be included in ATC's BSRP. Attached to this BusinessPractice is a pro forma agreement to be entered into between A TC and the BSUOwners (or their agent or designee) once the BSUs have been selected by ATC forincorporation in ATC's BSRP. The pro forma agreement is set forth as Attachment C tothis Business Practice.

This Business Practice, including Attachment A , sets forth the criteria and relatedfactors associated with BSUs that ATC will consider in the selection process forinclusion in the A TC BSRP and the weighting to be given to each. criterion in order toestablish the ranking of all available BSUs capable of providing Blackstart Service.Attachment A also provides the methodology that A TC wil use in ranking BSUs as partof the selection process for inclusion in the BSRP.

IV. Minimum Requirements for Ranking BSUs

The value of any BSU in providing Blackstart Service is based, in part, upon certainattributes or criteria that permit A TC to establish and maintain a BSRP and in the eventthat the BSRP is implemented, permits A TC to restore its portion of the TransmissionSystem in an effective and efficient manner. The following criteria or attributes of eachBSU wil be assessed, in accordance with the attached methodology to arrive at apreliminary rank for each BSU able to provide Blackstart Service and to be eligible to beincluded in A TC's BSRP. Certain attributes are mandatory in order for a BSU to beconsidered for ranking purposes. The following attributes are the minimum mandatoryrequirements in order for a BSU to be considered for further ranking:

A. Minimum mandatory requirements

In order for any generating facility to qualify for further' ranking, it must:

1. Meet or agree to meet prior to inclusion in A TC's BSRP the definition of"Blackstart Unit" as set forth in the Midwest ISO Tariff (Please refer to

Sections 1.23a through 1.23e and Rate Schedule 33 of the Midwest ISOTariff).

2. Meet or agree to meet the requirement of all NERC reliability standardsapplicable to Blackstart Units and Blackstart Service prior to inclusion inATC's BSRP. (Please refer to NERC reliability standard EOP-005, and anysuccessor standards or revisions).

3. Meet or agree to meet such other requirements for Blackstart Unitsdetermined by A TC to be necessary to assure the availability of BlackstartService in fulfillment of ATC's BSRP.

V. Criteria for Ranking Each BSU

If a generating unit (or units or facilties, as appropriate) meets the minimumrequirements set forth above, the generating unit or units or facilties shall beconsidered a BSU for the purpose of this Business Practice. All BSUs will be rankedaccording to their respective scores associated with the criteria set forth below. Thecriteria, the associated weighting and the factors to be taken into account in connectionwith each criterion are set forth in Attachment A to this Business Practice.2

A. Minimum Criteria

Each BSU that meets the minimum qualifications identified above wil beevaluated on the following criteria in the manner set forth in the attached methodology:

1. Location relative to the "target" facilty or facilties. Electrical proximity to

primary generating facilities (or other "target" facilties) is a principal factor inassessing the value or benefit of any BSU in assisting in the restoration ofA TC's portion of the Transmission System in the event that Blackstart Serviceis required from the BSU. Electrical proximity also includes the transmissionline charging and line switching rèquirements of the elements of theTransmission System from the electrical location of the BSU to the targetfacilty or facilities to which the BSU is associated. Each BSU will beassessed in connection with at least two but as many as four target facilties.

2. Energy Output Capabilty. The BSU's 1) dispatchable MW output range

(operating near zero "droop" and 5% "droop"); 2) ramp rate; and 3) total safeand reliable operating range of energy output, including the ability to controlfrequency, are important factors relative to the target facilties to which theBSU may be directed.

The abilty of a BSU to meet the minimum requirements for each factor wil detennine the weight to be afforded to each criterion inthe ranking of the BSU. If the BSU is unable to meet the minimum requirements for some or all of the factors associated with anycriteria, the BSU may receive no value for such criterion, and may, at ATC's election, be disqualified from participating in ATe'sBSRP.

3. Reactive Power Capabilty. The BSU's 1) dispatchable MVAR output range

at the expected MW restoration range; 2) terminal voltage control capabiliy;and 3) total safe and reliable operating range of MVAR output are importantfactors relative to the target facilities to which the BSU may be directed.

4. BSU start up time. The amount of time required to start a BSU followingnotification from A TC or the regional reliability coordinator to provideBlackstart Service from the BSU is an important factor. The rankingassociated with this factor will be weighted more heavily in favor of the BSUsthat can become operational in the shortest amount of time following thenotification. Any BSU that can not be started within sixty (60) minutesfollowing the receipt of such signal will receive no value for this factor, andmay, at A TC's election, result in the BSU being disqualified from participationin the BSRP.

5. Fuel Availabilty. The amount and source of fuel available to the BSU,including dual fuel capability, is a consideration in connection with rankingeach BSU. A TC wil weigh fuel availability more favorably for those BSUsthat can demonstrate sufficient fuel availability either through firmcommitments or onsite fuel storage at the BSU location.3

6. Training and Testing. The minimum employee training requirements and

BSU capabilty testing requirements are set forth in the NERC mandatoryreliability standards for BSUs. A TC will require each BSU to fulfil the NERCtesting requirements every two years, rather than every three years. The twoyear requirement can be extended to three years by prior mutual agreement.

7. Inertial Mass of the BSU. The inertial mass of the rotating generatingcapability of the BSU relative to the inertial mass of the rotating generatingcapabilty of a generating unit that is a target facility measured in time relativefault capability kA is an important element.4

8. Abilty To Be Re-started. The abilty of the BSU to be started at least three(3) times, and the period of time required prior to any re~start after a BSU hasbeen disconnected from the Transmission System following the receipt of thenotification to provide Blackstart Service is a factor that A TC will consider.The energy storage capability of any batteries or other starting system (suchas compressed air) required to assist the BSU in starting, and if necessary,re~starting will be taken into consideration in the weighing this criterion.

availability for a minimum of 12 hours of continuous operation of the BSU at its maximum effective energy output.

the impedance of the cranking path. This is a primary measure of the overall performance of the BSU to provide Blackstart Serviceto a target facilty in order to be qualified for inclusion in ATC's BSRP.

B. Cumulative Ranking

Based on the criteria set forth above, and the factors associated with eachcriterion, ATC wil establish a numeric score that will be attributed to each BSU for thepurpose of ranking the BSUs based on such scores. The scores associated with eachBSU wil be one factor used by A TC in determining which BSUs to incorporate in A TC'sBSRP.

Vi. BSU Participation

Once all available BSUs are ranked by A TC, A TC wil select the BSUs that, in A TC'sjudgment, permit ATC to fulfill its BSRP. For each BSU that is selected to participateA TC wil request that they enter into an agreement with A TC to provide BlackstartService in the form set forth as Attachment C to this Business Practice. The BSU wilbe required to participate in A TC's BSRP for not less than three (3) years, or in theevent that ATC revises it's BSRP, and the BSU is no longer required by ATC to fulfil itsBSRP, for such time as A TC determines is appropriate. If the BSU is no longer requiredto fulfil ATC's BSRP, the BSU Owner shall be entitled to the compensation provided forunder Rate Schedule 33 of the Midwest ISO, or as otherwise provided for in any FERCdetermination. If the BSU continues to be required in ATC's BSRP, and the Owner hasnot withdrawn the BSU from participation in ATC's BSRP, then the BSU shall continueto be included in the BSRP for a period of three (3) years, or unti such time as ATCdetermines that A TC no longer requires the BSU as part of the BSRP.

VII. BSU Election to Withdraw from BSRP

The Owner of a BSU may elect to withdraw the BSU from participation in A TC's BSRPat anytime. However, the Owner of the BSU wil be required to give A TC not less thantwelve (12) months prior written notice of withdrawal of the BSU from inclusion in A TC'sBSRP. In the event that the Owner of such BSU withdraws the BSU from inclusion inATC's BSRP prior to the end of the initial three (3) years, the BSU Owner may not beentitled to compensation for the amounts payable under the agreement or under theMidwest ISO's Rate Schedule 33.

VII. BRSP Revisions

A TC will make periodic changes to its BSRP as changes to its portion of theTransmission System warrant, or as otherwise determined by A TC to be appropriate inorder for A TC to fulfil its mandatory reliabiliy requirements. Changes to the BSRP mayresult in A TC requiring more or less BSUs to be incorporated in A TC's BSRP.

A TC reserves the right to revise the criteria and associated factors and the weighting ofeach criterion used in ranking BSUs for participation in ATC'sBSRP. Any changes tothe criteria or factors wil not result in any BSU being removed from or disqualified fromparticipating in any BSRP in which the BSU has been included, but may result indifferent ranking for any future revisions to ATC's BSRP, and, depending on thechanges to the BSRP, may result in the BSU not being included in future BSRPs.

In the event that the BSU is re-ranked as a result in changes in the criteria, factors orweighting associated with any criterion, or as a result of changes to ATC's BSRP arisingfrom changes to A TC's Transmission System, revisions to the target facilities, orchanges to the mandatory reliabiliy standards, the BSU Owner shall be entitled tocompensation as provided for in the Midwest ISO's Rate Schedule 33 or as otherwisemay be determined by the FERC.

X. Blackstart Units as Critical Assets

Under the provisions of the mandatory reliability standards, certain assets may bedesignated as "Critical Assets" by the owners of such assets using criteria establishedby the owner. For the purposes of ATC's BSRP, ATC does not own any generatingunits and can not designate any generating unit as a Critical Asset. Once the rankinghas been accomplished for all potential BSUs and the rankings established, ATC may,in its discretion~ request that one or more BSU Owner consider designating at least onebut not more than 2 BSUs as Critical Assets for the purposes of ATC's BSRP. Thisrequest is dependent on the current NERC standards development processrequirements. If one or more BSU Owners offer to designate a BSU as a Critical Asset,ATC will review the designation, and if consistent with the requirements of ATC's BSRP,A TC will accept such BSU or BSUs as Critical Assets. To the extent that thedesignation of a BSU as a Critical Asset by the BSU Owner for the purposes of A TC'sBSRP results in the BSU Owner incurring greater costs and expenses, then, ATC shallagree to pay the BSU Owner such additional costs or expenses under the terms of theBlackstart Service Agreement to be entered into between A TC and the BSU Owner orOwners.

Appendix C: Pro Forma Agreement between ATC and BSU for the provision ofBlackstart Service

Blackstart Service Agreement

This Blackstart Service Agreement (Agreement) is entered into as of this _ day of.

, 2_, between American Transmission Company LLC, by its corporate manager,

ATC Management Inc. (collectively "ATC"), a limited liability company and corporation,

respectively, organized and existing under Wisconsin law, with a principal place of business

located at W234 N2000 Ridgeview Parkway Court, Waukesha, Wisconsin 53188-1022, and

("Blackstart Unit Owner" or

"Owner"), a corporation/limited liability company/other (select one), organized

and existing under law, with a principal place of business

. A TC and Owner may be referred to aslocated at

"Party" or "Parties" as the context may require.

Representations:

A. A TC is a public utilty under the laws of the State of Wisconsin and the Federal Power

Act (16 USC 799, et seq.), and is a standalone transmission company that owns, operates and

controls transmission facilities over which transmission service is provided in interstate

commerce pursuant to the provisions of the Open Access Transmission and Energy Markets

Tariff (Tarff) of the Midwest Independent Transmission System Operator, Inc. (Midwest ISO).

A TC does not own, operate or otherwise control any generating facilities and is precluded from

doing so under Wisconsin law, except for certain ancilary services.

B. A TC is, among other things, a registered "transmission operator" (TOP) under the

registry requirements of the Midwest Reliability Organization (MRO) and ReliabilityFirst

Corporation (RFC) as that term is defined in the glossary of terms of the North American

Electric Reliability Corporation (NERC). As a result, ATC is subject to certain mandatory

reliability standards applicable to transmission operators, including the mandatory reliability

standards relating to the development and maintenance of a Blackstart System Restoration Plan

(BSRP) under the mandatory reliabilty standards.

c. Owner owns, operates or otherwise controls one or more generating units or generating

facilities comprised of one or more generating units capable of providing Blackstart Service

("Blackstar Unit" or "BSU") as defined under the provisions of the Midwest iSO Tariff,

specifically Sections 1.23a through 1.23e of the Tariff, and Schedule 33.

D. A TC has developed a BSRP pursuant to the mandatory reliabilty standard requirements,

and, as a result, has incorporated one of more ofOw:ner's Blackstar Units into ATC's BSRP.

E. Owner is wiling to provide Blackstart Service to A TC. The Parties have determined that

it is in their mutual interest to set forth the terms, conditions and limitations relating to the

Blackstart Service to be provided by Owner from the designated BSUs.

Therefore, the Parties agree, as follows:

1. Blackstart System Restoration Plan. In accordance with the NERC, MRO and RFC

mandatory reliability standards, A TC has developed a BSRP for the purpose of restoring its

portion of the Transmission System to normal operation following an event requiring Blackstart

Service. In accordance with ATC's business practice relating to Blackstart Service, ATC has

evaluated those BSUs that are capable of providing Blackstart Service in order to assist in the

restoration of normal operations of ATC's portion of the Transmission System, and has

determined that the BSUs set forth on Attachment A to this Agreement are to be included in the

BSRP in effect at the time of the execution of this Agreement. A TC hereby agrees to include

the BSUs designated on Attachment A as Blackstart Serice providing resources in its currently

effective BSRP.

2. Blackstart Unit Commitment. By execution of this Agreement, Owner hereby agrees

to provide Blackstart Service to ATC as the registered TOP from the BSUs identified and set

forth on Attachment A in the event that A TC or the registered reliability coordinator (RC) having

responsibility for the Midwest ISO's Transmission System requests Blackstart Service to be

provided from such designated BSUs.

3. Blackstart Unit Requirements. Owner acknowledges and agrees that during the term

of this Agreement, and in order to be entitled to compensation payable pursuant to Schedule 33

of the Midwest iso Tariff, Owner shall comply with and fulfill all requirements of the

mandatory reliabilty standards associated with Blackstart Units to provide Blackstart Serice,

including but not limited to:

a). Testing of the BSUs designated on Attachment A to produce electrcity

without receiving electricity from any other source, provided however, that in addition to

any other testing requirement specified by the mandatory reliabilty standards, Owner

shall test the abilty of the BSUs designated on Attachment A (together with all installed

systems and their associated components the reliable operation of which is required to

permit the BSU to begin producing electrcity without receiving electricity from any

other source) as frequently as once every 2 years, but in no event less frequently than

once every 3 beginning after the effective date of this Agreement;/

b). Train those employees necessary to operate each BSU designated on

Attachment A in all requirements, systems or procedures necessary to provide Blackstart

Service from each such BSU in the manner required by the mandatory reliabilty

standards.

c). Adequately maintain all mechanical, electrical, fuel storage or handling

equipment, or other necessary elements of the BSU in accordance with the

manufactuer's requirements but in all events, in accordance with the mandatory

reliability standards and Good Utilty Practice, including but not limited to all installed

equipment necessary to supply fuel to, start and thereafter operate the BSU without

electricity from sources other than the BSU; maintain all installed communications

systems, and their components in accordance with the manufacturer's requirements, the

mandatory reliability standards, and Good Utilty Practice;

d). Obtain and thereafter maintain at the location of each such BSU a

sufficient amount of fuel necessar to operate each designated BSU for the minimum

duration set forth on Attachment A, or otheiwise provide to A TC evidence satisfactory to

A TC that Owner has commitments for or access to the required fuel from sources the

delivery of fuel from which would not be adversely affected in the event of a Blackstart

event. In the event that one or more BSUs designated on Attachment A are capable of

operating and generating electricity using more than one type of fuel, then Owner shall

maintain the amount of each type of fuel set forth on Attachment A for each BSU, or

provide evidence satisfactory to A TC that Owner has commitments for or access to the

required fuels to operate each such designated BSU from sources the delivery of fuel

from which would not be adversely affected in the event of a Blackstart event.

e.) Make changes, modifications or additions to the BSUs, any installed

components, including but not limited to any electrical, mechanical, fuel delivery or

communications systems or equipment, without providing not less than ninety (90) days'

advance written notice of such change, modification or addition to A TC.

f.) The BSUs included in Attachment A to this Agreement and which are

actively part of the A TC restoration plan shall in the manner required by Midwest iso

meet all requirements as established by Midwest iso with regard to unit scheduling and

other direct requirements of a paricipating unit under the MISO Blackstart Tariff.

Owner shall, not later than twenty four (24) months prior to any date on which Owner

intends to remove anyone of the BSUs from service for maintenance purposes, inform

ATC in writing of its intended maintenance and maintenance period. Within sixty (60)

days following receipt of such written notice, A TC shall advise Owner whether such

outage period is acceptable to A TC. If such period is not acceptable to A TC, A TC and

Owner shall cooperate to determine an acceptable date. If the Paries can not agree upon

an acceptable outage period, the Parties shall follow the dispute resolution provisions of

Attachment HH of the Midwest iso Tariff.

4. Cost Recovery and Payment. Owner shall be entitled to recover all costs incurred in

providing Blackstart Service from the designated BSUs set forth on Attachment A in accordance

with Schedule 33 of the Midwest iSO, or as otherwise provided in any proceeding authorizing

Owner to recover the costs of providing Blackstart Service from any designated BSU by the

FERC. A TC and Owner acknowledge and agree that the amounts which Owner is entitled to

receive shall be collected by the Midwest iSO pursuant to Schedule 33 or any successor

Schedule or other Tariff provision. Owner agrees that the receipt of such amounts from the

Midwest iso satisfies and fulfills any and all obligations of A TC or the Transmission Customers

receiving service from the Midwest iso that are obligated to pay the rates and charges for

Transmission Service in the A TC Pricing Zone, to compensate Owner for providing Blackstart

Service from the designated BSUs Any dispute arising from non-payment under this Agreement

shall be governed by the terms and conditions of Schedule 33 and the Midwest iSO Tarff.

5. Effective Date; Term and Termiation. This Agreement shall become effective on the

date ofthe receipt of the last Regulatory Approval (as set forth in Paragraph X, below) (Effective

Date), and shall remain in full force and effect for a period of three (3) years following the

Effective Date. Unless terminated as provided in this Paragraph, or as other wise provided in

this Agreement, this Agreement shall continue after the initial three (3) year period for

successive one- (l) year extension periods beginning on the anniversary of the Effective Date.

Notwithstanding the foregoing sentence, Owner shall be entitled to terminate this

Agreement with respect to any designated BSU by providing A TC with not less than twenty four

(24) months prior written notice terminating this Agreement as to one or more of the designated

BSUs prior to the end of the initial three- (3) period, or prior to any successive one-year

extension period. Upon the expiration of such twenty four- (24) month period, this Agreement

shall terminate as to such BSU. Ifthere is only one designated BSU or only one remaining BSU,

then, upon the expiration of such twenty four- (24) month period, this Agreement shall terminate

in its entirety. Owner shall also be entitled to terminate this Agreement in accordance with the

provisions of Paragraph 8, below.

Notwithstanding any other provision of this Agreement, in the event that 1) A TC is no

longer a registered TOP; or 2) if the requirements ofNERC, MRO or RFC are changed and ATC

is no longer required to develop and maintain a BSRP; 3) or in the event of the sale, assignent,

merger or other transfer of ATC's transmission facilities; then ATe may, upon not less than

2years notice to Owner, terminate this Agreement. .

6. Blackstart Plan Revisions; Modifications. ATC and Owner acknowledge and agree

that ATC is required to review not less frequently than anually, and, to the extent appropriate,

modify, revise or otherwise change its BSRP to fulfill its obligations under the mandatory

reliability standards. A TC and Owner acknowledge and agree that any changes, modifications or

revisions to ATC's BSRP could result in one or more of the designated BSUs set forth on

Attachment A no longer being required by A TC to fulfill its BSRP and the mandatory reliability

standards. In the event that any change, modification or revision to the BSRP results in one or

more of the BSUs designated on Attachment A no longer being required by ATC to fulfill the

requirements of ATC'sBSRP or the mandatory reliability standards, then ATC shall be entitled

to terminate this Agreement with respect to such BSUs that are no longer required, provided

however, that in the event that A TC terminates this Agreement with respect to any designated

BSU, then Owner shall be entitled to continue to receive compensation for the costs incurred in

providing Blackstart Service from such BSU in accordance with the provisions of Schedule 33 or

as otherwise determined by the FERC.

7. Regulatory Approvals. ATC and Owner acknowledge and agree that approval for the

supply of Blackstar Service from the designated BSUs set forth on Attachment A may be

required from the Public Service Commission of Wisconsin if Owner is an affiliate of A TC as

defined in § 196.52 Wis. Stats. Furthermore, A TC and Owner acknowledge and agree that the

terms, conditions and limitations of this Agreement may affect the rates and charges subject to

the jurisdiction of the FERC, and this Agreement may require approval by or acceptance from

the FERC. Either or both approvals are deemed "Regulatory Approvals" under this Agreement.

A TC and Owner agree to cooperate and to jointly fie, to the extent necessar or required, for

and seek acceptance of this Agreement in any and all required Regulatory Approvals.

Furthermore, A TC and Owner acknowledge and agree that the provisions of Schedule 33

of the Midwest iSO Tariff permit Owner to seek approval from the FERC for any and all costs

incurred by Owner in providing Blackstar Service from any designated BSU. Owner and ATC

each retain any and all rights that they may have pursuant to Sections 205 or 206 of the Federal

Power Act (16 USC 791a, et seq.) in connection with the costs to be paid to Owner for providing

Blackstart Service. (Nothing in this Agreement shall be deemed to have waived the rights of

either Party to seek additional amounts or to challenge the receipt of any amount in any

proceeding before the FERC or any successor agency in connection with the provision of

Blackstart Service from any designated BSU.

8. Regulatory Changes. A TC and Owner acknowledge and agree that the requirements of

NERC, MRO, RFC and FERC in connection with mandatory reliability standards and Blackstart

Service, Blackstart Units and Blackstart Restoration Plans or the provisions of the Midwest iSO

Tariff and Schedule 33 are subject to change. To the extent that any requirements of NERC,

MRO, RFC, the Midwest iSO or the FERC impose greater requirements, or otherwise materially

impact or affect either Party's abilty to perform under this Agreement, or in the event that the

Midwest iSO terminates Schedule 33 without a successor schedule or other Tariff provision

permitting Owner to recover its costs for providing Blackstart Service, then the Parties agree

that, upon not less than thirty (30) days' written notice to the other, the Paries shall meet to

determine the manner in which to proceed in light of such change to the regulatory requirements.

If, as a result of such change, the Parties can not agree on how to proceed, and Owner, in its

judgment, is not entitled to recover the costs incurred by Owner in providing Blackstart Service

from one or more of the designated BSUs, then, upon not less than six (6) months written notice

to A TC following the meeting required in the preceding sentence, Owner shall be entitled to

terminate this Agreement either as to any designated BSU or in its entirety.

9. Additional Agreements. To the extent required, A TC and Owner shall enter into such

additional agreements, including Attachment NN of the Midwest iso Tarff to permit A TC to

include the designated BSUs in its BSRP or to permit Owner to be entitled to receive

compensation for providing Blackstart Service from any ofthe designated BSUs.

10. Records; Audit Rights. Owner shall keep and maintain records of employee training,

BSU testing, including the testing of all electrical, mechanical or communication components of

all designated BSUs, and all records required to be kept by a GO under the provisions of the

mandatory reliabilty standards in connection with BSUs and Blackstart Service during the term

of this Agreement. ATC shall have the right, upon reasonable written notice to Owner, to

inspect the records kept and maintained by Owner at such place or location as is convenient to

Owner or as may be agreed to by the Parties. All records shall be kept confidential and A TC

shall not disclose to any entity, any of the information contained in such records, except to the

extent that such disclosure is required under the mandatory reliability standards, and then only

upon written notice to Owner. Owner may seek any protection of such records from public

disclosure as Owner determines to be necessary to protect the confidentiality of such records.

11. Representations and Warranties of the Parties. The Parties hereby make the

following mutual representations and warranties:

a). each is authorized to enter into this Agreement. The entry into this Agreement is

fully authorized by their respective organizational agreements, charters or authorizations,

and nothing in this Agreement constitutes, or would constitute, a breach of any other

agreement to which either party is also a party.

b). Except as provided in this Agreement, no other authorizations from any court or

administrative or regulatory agency is required for either Party to enter into this

Agreement or to fulfill their respective duties and obligations under this Agreement.

c). Each Party is solvent, has not commenced, or is not intending to commence any

proceeding in any bankptcy court, any action in any state court seeking protection from

its creditors, or seeking to invoke protection in the form of any receivership or

trusteeship.

d). Owner further represents that:

1). It owns, operates or otherise controls the operation of each BSU

designated on Attachment A, and it possesses the full, right, power and authority

to supply Blackstar Service from each designated BSU under this Agreement.

2). All of the information provided to A TC in connection with the evaluation

of each designated BSU is to Owner's knowledge and understanding, true, correct

and accurate, and Owner has exercised due diligence in determining all

information necessar for A TC to evaluate the ability of each designated BSU to

provide Blackstart Service to permit A TC to fulfill its mandatory reliabilty

obligations.

3). Owner is a registered generator owner/operator (GO) under the mandatory

reliability standards of NERC, MRO or RFC, knows and understands the

requirements of the mandatory reliabilty standards relating to the operation of

Blackstart Units and Blackstart Service and has made any and all fiings required

of a GO in connection with each BSU designated under this Agreement. For so

long as any designated BSU is governed by the terms of this Agreement, Owner

shall keep and maintain its registration as a GO and shall fulfill all mandatory

reliability requirements associated with maintaining any NERC, MRO or RFC

certification of each designated BSU as capable of and qualified to provide

Blackstart Servce. Owner and each BSU designated on Attachment A meets the

definitions set forth in Sections 1.23a through 1.23e ofthe Midwest iSO Tariff.! .

4). Except as provided above, Owner has not entered into any other

agreement with any other party designating any of the BSUs set forth on

Attachment A to provide Blackstart Service in connection with any other TOP's

BSRP, or has otherwise entered into an agreement with any other party that would

inhibit, preclude or otherwise impede ATC's ability to call upon such BSU in the(

event that Blackstart Service is required from such BSU.

e). ATC represents:

1). It is a registered TOP under the mandatory reliabilty standards ofNERC,

MRO and RFC, and during the term of this Agreement shall keep and maintain its

registration as a TOP.

2). ATC's BSRP incorporates the designated BSUs set forth on Attachment A

and Blackstart Service is required from the BSUs set forth on Attachment A in

order for A TC to fulfill its requirements under its BSRP.

12. General Provisions. The following general provisions apply to this Agreement:

a). This Agreement constitutes the entire understanding of the Parties concerning the

supply and receipt of Blackstart Service from the designated BSUs. All other

agreements, understandings or arrangements, whether written or oral, are merged into this

Agreement.

b). This Agreement, and any of the terms, conditions, limitations, obligations or

duties may not be changed, modified, revised or amended, except by another instrument

in writing endorsed by authorized representatives of the Parties.

c). This Agreement is not intended to create any right, duty or entitlement in any

other party, and the Parties expressly disclaim any right of any third party to the benefits

of this Agreement.

d). In the event that any term, condition, limitation or provision of this Agreement is

found by a regulatory agency having subject matter jurisdiction or a court of competent

jurisdiction to be invalid, null and void, or otherwise unenforceable, then the remaining

provisions of this Agreement shall be construed as broadly as possible to enforce, or

otherwise embody the understanding of the Parties. If even such constrction does not

result in an enforceable Agreement, then the Parties shall meet upon not less than thirty

(30) days' written notice to determine how to amend, modify or otherwise revise the

Agreement to overcome such event and to arrve at an enforceable agreement.

e). In the event that any action is required in connection with this Agreement that

must be maintained in a judicial proceeding, then such action shall be commenced in any

Court of the state of Wisconsin that has subject matter jurisdiction and both Parties

consent to the personal jurisdiction of the Court. Each Party, to the extent permitted by

law, waives any and all entitlement to a trial by jury and any proceeding shall be

conducted by the Court. This Agreement shall be construed in accordance with the laws

of the State of Wisconsin, not including any choice oflaw provisions.

All notices sent electronically, either via electronic mail or facsimile shall be

deemed received on the day sent, provided there is a receipt from the sender indicating

the date and time such notice was sent; if sent via overnight express courier or express

mail from the United States Postal Service, all notices shall be deemed received based

upon the courier's or United States Postal Service receipt of delivery; if sent via United

States Postal Service mail, then such notice shall be deemed received three (3) days

following the date of the post mark.

Each Party shall be entitled to change the location or pary entitled to receive

notification under this Agreement by supplying such revised information to the other

Party at the last address, whether street or electronic provided by the other Party.
