We have audited the yearly standalone fmancial results of Precisiol Camshafts Limited ('theCompany') for the year ended March 31, 2016, attached herewith, being submitred by the Companypursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations and DisclosureRequirements) Regulations, 2015. These standalone year to date financial results have been preparedon the basis of the annual standalone financial statements, which are the responsibility of theCompany's management and have been approved by the Board ofDirectors. Our responsibility is toexpress an opinion on these standalone financial results based on our audit ofsuch annual standalonefinancial statements, which have been prepared in accordance with recognition and measurementprinciples laid do\.m in Accounting Standards, specified under Section 133 of the Companies Act,2013 read with Rule 7 of the Companies (Accounrs) Rules, 2014 and orher accounting principlesgenerally accepted in lndia.

2. We conducted our audit in accordance with the auditing sta.ndards generally accepted in India. Thosestandards rcquire that we plan and perform the audit to obtain reasonable assurance about whetherthe financial results are fiee of material misstatements. An audit includes examining, on a test basis,evidence supporting the amounts disclosed as financial results. March 31, 2016. These financial statements and other unaudited financial information have not been

audited and are based on Holding Company's management certified accounts, and our opinion on

the year to date financial results, to the extent they have been derived fiom such financial statements

l. We have audited the yearly consolidated financial results of Precisior Crmshsfts Limited ('theHolding Company'), its subsidiary (the HoJding Company and is subsidiary together referred to as

'the Group') andjointly controlled entities for the year ended March 31, 2016. attached herewith,being submifted by the Company pursuant to the requirement ofRegulation 33 ofthe SEBI (ListingObligations and Disclosue Requircments) Regulations,2015. These consolidated year to datefinancial results have b€en prepared on the basis ofconsolidated annual fmancial statements, whichare the responsibjlity ofthe Holding Company's management and have been approved by the BoardofDircctors. Our responsibility is to express an opinion on these consolidated fmancial results based

on our audit of such consolidated annual financial statements, which have been preparcd inaccordance with recognition and measurement principles laid down in Accounting Standards,

specjfied under Section 133 of the Companies Ac! 2013 read with Rule 7 of the Companies(Accounts) Rules, 2014 and other accounting principles genemlly accepted in lndia.

2. We conducted our audit in accordance with the auditing standards generally accepted io India. Ttosestandards rcquire that we plan and perform the audit to obtain reasonable assurance about whether

3. We did not audit the financial statements in respect of a subsidiary included in the consolidatedannual financial results, whose consolidated financial stalements reflect total assets of Rs. 607.72

2016. These financial statements and other financial information have been audited by other auditorc

whose reports have been fumished to us, and our opinion on the year to date financial results, to the

extent they have been derived fiom such financial statements is based solely on the report of such

other auditors.
