IMPORTANT NOTICE/DISCLAIMER

This Prequalification Document is provided to the recipient solely for use in preparing and

submitting applications for prequalification in connection with the hiring of Engineering

Consultancy Services for the establishment of Biomass based power generation projects at

different ;locations in Punjab by the Punjab Power Development Company Ltd (PPDCL).

This Prequalification Document is being issued by PPDCL, Energy Department, Government

of Punjab solely for use by Prospective Consulting firm(s) in considering the Projects

enumerated hereunder.

Unless expressly specified otherwise, all capitalized terms used herein shall bear the meaning

ascribed thereto in the Glossary of this Prequalification Document.

The evaluation criteria have been laid down for the purpose of pre-qualification of the

consulting firms. The Punjab Energy Department or its affiliated entity, nor its consultants,

advisors, employees, personnel, agents, make any representation (expressed or implied) or

warranties as to the accuracy or completeness of the information contained herein, or in any

other document made available to a person in connection with the tender process for the

Project and the same shall have no liability for this Prequalification Document or for any

other written or oral communication transmitted to the recipient in the course of the

recipient’s evaluation of the Project. PPDCL, nor its employees, personnel, agents,

consultants, advisors and contractors etc. will be liable to reimburse or compensate the

recipient for any costs, fees, damages or expenses incurred by the recipient in evaluating or

acting upon this Prequalification Document or otherwise in connection with the Project as

contemplated herein.

The Prequalification applications submitted in response to this Prequalification Document by

any of the Prospective Bidders (Consulting firms) shall be upon the full understanding and

agreement of any and all terms of this Prequalification Document and such submission shall

be deemed as an acceptance to all the terms and conditions stated in this Prequalification

Document.

Any Prequalification Applications in response to this Prequalification Document submitted

by any of the Prospective Bidder (Consulting firms) shall be construed based on the

understanding that the Prospective Bidder (Consulting firms) has done a complete and careful

examination of this Prequalification Document and has independently verified all the

information received (whether written or oral) from PPDCL (including from its employees,

personnel, agents, consultants, advisors and contractors etc.).

This Prequalification Document shall neither constitute a solicitation to invest, or otherwise

participate, in the Project, nor shall it constitute a guarantee or commitment of any manner on

the part of the Government of the Punjab/PPDCL that the Project will be awarded. PPDCL

reserves its right, in its full discretion, to modify the Prequalification Document and/or the

Project at any time to the fullest extent permitted by law, and shall not be liable to reimburse

or compensate the recipient for any costs, taxes, expenses or damages incurred by the

recipient in such an event.

DEFINITIONS

Annexure

The term shall mean the annexure of this Prequalification

Document.

Consortium Where the Consulting Firm/company are comprised of a

group of consulting firm/company who have submitted EOI

as per the requirements of this PQD, the Lead Firm shall

represent and bind all Consultant of the Consortium in all

matters connected with the Project, including submission of

EOI on behalf of the Consortium.

Due Date 30 April, 2015 for submission of EOI to PPDCL or such

later date as may be notified by PPDCL in writing through

press as well on websites of PPRA/Energy Department.

EOI Expression of Interest to be submitted by the Consulting

firm(s), containing the information as set out and required

under this PQD.

EPC Engineering, Procurement and Construction

Form The term shall mean the form of this Prequalification

Document.

GoPb Government of the Punjab.

Kwh Kilowatt hour (One unit of electric energy)

Lead Firm If the Consultant(s) are a Consortium or JV group then one

of the firms shall be designated as the Lead firm in the EOI

to perform a lead role who has been duly appointed by all

Consortium firm(s) to submit and sign on their behalf all

documents required hereunder to bind the entire Consortium

to the contents thereof.

The term shall mean the consulting firms who have not

obtained the pre-qualifications marks.

Prequalification

Information Form

An application duly executed by the duly authorized

representative of the Prospective Bidder/Consulting firms (or

if the Prospective Bidder/Consulting firm is a Consortium,

the duly authorized represented of the Lead Member) in the

form attached hereto as Form B-1 (Information Form).

Prequalified Consulting

firm

The term shall bear the meaning as ascribed thereto in

Section 12

1. Background

Punjab Power Development Company Limited (“PPDCL”) was established as a wholly

owned company by the Government of the Punjab in 2008, for the development of energy

related projects on fast track basis in the public sector to overcome energy shortages.

PPDCL is registered with Securities & Exchange Commission of Pakistan (“SECP”). The

primary objective is to enhance capital formation for the power sector, improve its

efficiency through competition, accountability and managerial autonomy as well as

rationalize prices.

Current activities entail, inter alia, develop power projects, arrange funding through loan

negotiation or joint venture, interact with all stake-holders such as WAPDA and Federal

Government, negotiate tariff with National Transmission Development Company

(“NTDC”) or other buyers of energy and attract private sector to form joint ventures for

the development and/or operation and management of power projects

2. Projects

PPDCL (hereinafter to be referred as the Employer) intends to develop 5-20 MW Thermal

Power Projects based on Biomass as fuel at different locations in Punjab for supplying

energy into National Grid to fulfill the energy needs of the Punjab and the country. Pre-

feasibility study of few such sites have been completed by consultants hired by

Agriculture department and are available with PPDCL which does not contain inter-alia

Geotech Investigation, Feasibility Level Design, Environmental Impact Assessment and

Interconnection with National/DISCO Grid/Load Flow Study etc requiring its updating

into a bankable feasibility study report before moving into execution of the project.

Objective (“Services”)

3.1 PPDCL intends to engage a Consulting Firm(s) for “Review and Updating of

the Feasibility Study, Financial Structuring, Preparation of PC-I, Management of EPC

Bidding Process leading to award of contract and Construction Supervision for the

establishment of 5-20 MW Biomass based Thermal Power Project at different location in

Punjab”.

3.2 At the outset, PPDCL intends to pre-qualify the consulting Firms who will

submit EOI/applicants as per provisions of this PQD. All EOI’s/applications will be pre-

qualified on the basis of pre-defined evaluation criteria given hereunder. Only Pre-

qualified Consultant(s) will take part in the further process for hiring consultancy

services for the said purpose. As such, Request for Proposal (RFP) will be issued to the

pre-qualified consultant(s) only.

3. Prospective Bidders (Consulting firms)

This Prequalification Document is addressed to all persons having requested it in

accordance with the Invitation for Prequalification published in print media and on the

websites www.energy.punjab.gov.pk and PPRA website www.ppra.punjab.gov.pk

4. General Instructions

i. The Consulting firm and its associate if any must submit complete information

as per PQD to PPDCL by the Due Date. EOI received after due date will be

rejected;

ii. The local consulting firm and its associate if any must be registered with

Pakistan Engineering Council (PEC) and foreign consultants will be governed

under PEC bylaws.

iii. If the Consulting firms are a Consortium/JV, there must be a Lead firm

appointed through a Power of Attorney executed by all other Consortium firms

but such Consortium is limited to maximum of 3 firms only;

iv. Annual Audited statements of Accounts of the Consulting firm/JV from

recognized Chartered Accountant for the last three years

v. Consulting Firm and its associate if any must be registered with Income Tax

Authorities and a copy of National Tax Number must be submitted with EOI.

vi. Details of similar works (5-20 MW Thermal Power Plants based on biomass

fuel) completed by the firm/JV during last 10 years and similar works (5-20

MW Thermal Power Plants based on biomass fuel) in hand, indicating total

cost of such works and cost of consultancy services received against those

works along with date of start and completion or expected date of completion

shall be provided in Form B-2.

vii. A maximum of 3 similar assignments completed by the Consulting firm/any

joint venture partner will be considered for the purpose of Specific Experience.

Summary of completed similar projects handled by the firm / joint venture

shall be provided as per Annex-A-1.

viii. Details of general works completed by the firm/JV during last 10 years in

hand, indicating total cost of such works and cost of consultancy services

received against those works along with date of start and completion or

expected date of completion shall be provided using format.(Form B-2)

ix. PPDCL will evaluate the EOI as per evaluation criteria provided hereunder

and will prepare a shortlist of the consulting firms as per PEC

Guidelines/PPRA Rules 2009. Request for Proposal (RFP) shall only be

issued to the shortlisted firms to submit Technical and Financial Proposals.

x. Qualifying marks shall be 65%.

xi. PPDCL may confirm the status of the Partners, Directors, and owners for the

sake of conflict of interest before its inclusion in the short-list. For this

purpose, the applicants should be required to provide this information in

specific terms and any misrepresentation shall be made a ground for rejection.

Firms may note that in case of their selection, any such links, if detected

during the currency of their contract, would be reported to the PEC for

cancellation of their registration/license leading to their blacklisting.

xii. PPDCL will not reimburse any cost or expenses incurred in connection with

the preparation or delivery of the EOI or visits to any office or site.

xiii. PPDCL shall be under no obligation to return any EOI or supporting materials

submitted by the Consulting Firm.

5. Eligibility Requirements

Availability of following documents in the EOI/Application shall be checked to

shortlist the consulting firms:

i. Certificate of registration of the firm as Legal Entity with Security Exchange

Commission or Registrar of the firms;

ii. Certificate of registration with Pakistan Engineering Council or registration

with professional body of country of origin for foreign firm;

iii. Documents to substantiate the forming of JV/Association;

iv. National Tax Number of consultant(s);

v. Audited Statements of Accounts and Annual Turnover for the past three years;

vi. Average annual turnover of Consulting Firm/JV during last three years must

be at least Rs.100 million per annum;

vii. List of similar works (5-20 MW Thermal Power Plants based on biomass fuel)

completed by the any JV firm during last 10 years and similar works (5-20

MW Thermal Power Plants based on biomass fuel) in hand, indicating total

cost of such works and cost of consultancy services received against those

works along with date of start and completion or expected date of completion;

viii. List of professional staff along with CVs of relevant core staff showing

project wise experience with exact time duration for each project; ( Form B-3)

ix. A certificate / affidavit that the firm has not been blacklisted or debarred by

any Government / Autonomous / International Body.

6. Compliance Documents

The Compliance Documents referred to below, duly completed, accompanied with

supporting documentary evidence shall be submitted by Consultant(s) as part of the

EOI/application.

12 Affidavit that firm is not blacklisted

7. Submission of EOI

7.1 Timing, Number of Copies and Filing Requirements

Consulting Firm must submit ONE original and 3 (three) copies of its

EOI/application within the Due Date to PPDCL at the following address:

Each EOI shall be in English accompanied by the supporting documents. Should

any original supporting documents not be in English, a certified translation of the

same in English shall be provided by the Consulting Firm(s). Submission of

EOI/applications through fax, e-mail, cable & telegram will not be accepted.

7.2 Sealing and Marking of EOI

In order to avoid the possibility of loss of the contents of an EOI due to a rupture,

all the EOI should be enclosed in a sealed envelope which itself should be

enclosed in another envelope. Both the inner and outer envelopes must be marked

with the full address as shown above and also be labelled as follows:

8. Material Change

Consulting Firm must immediately report to PPDCL in writing any material change in

the information provided in their EOI (including any information relevant to any

Consortium Firm joint venture). The determination of material change shall be in

PPDCL’s sole and exclusive discretion. Any failure to report such material change

shall constitute grounds for disqualification. The material change itself could also lead

to disqualification of the Consulting Firm.

9. Evaluation Criteria

9.1 There are two essential elements for judging the capability of any firm to

perform credibly on a given project. These are its previous experience on similar

projects and its professional staff having the specific expertise to meet its obligations

during the assignment. The weight-age of the respective component shall be as under;

(i) Experience of the firm / joint venture 30 percent points

(ii) Managerial Capabilities 10 percent points

(iii) Quality of its Personnel’s expertise 60 percent points

9.2 The qualifying marks shall be 65%

10. Evaluation of Applications

10.1 Evaluation of the Experience

The experience shall be considered under two heads i.e. Specific Experience and

General Experience. Weight-age for specific experience shall be 60%. For specific

experience, a maximum of three (3) projects having similar magnitude and complexity

shall fetch full marks. The experience for the projects shall be as under:

10.2 Weight-age of general experience shall be 40%. A maximum of 10 projects shall

be enough to fetch full hundred percent points. A sample is proposed as follows:-

10.3 Form C-I of Annex-A contains the sub-evaluation criteria for evaluation of the

experience of the firm/JV. Form A-1 and A-3 (1) of Annex-A shall be used for

preparation comparative statement by the client during process of evaluation.

11. Evaluation of Managerial Capabilities

11.1 The Applicant shall submit an organogram of the organization to assess the way

in which it will manage to fulfill its obligations in changing scenario for

providing requisite consultancy services. A short description on approach and

methodology for such type of consultancy services shall also be submitted

(5 Marks)

11.2 Availability of ISO 9001 certificate will fetch 5 marks.

12. Evaluation of Quality of Staff

12.1 For the sake of assigning weight age to judge capability of the firm on the basis of expertise of its staff, the following Key Experts shall be evaluated:

12.2 Nominated experts shall be evaluated on the basis of the following qualification as demonstrated in their C.Vs:-

Form C-2 contains the sub-evaluation criteria for evaluation of the Key Experts of the

firm/JV. Form A-2 and A-3(2) of Annex-A shall be used for preparation of

comparative statements by the client during process of evaluation

12.3 Notification of Pre-Qualification

i. PPDCL shall promptly notify each consulting firm(s) submitting an application to

pre-qualify whether or not it has been pre-qualified and shall make available to

any person directly involved in the pre-qualification process, upon request, the

names of all consultants(s) who have been pre-qualified. Only pre-qualified firms

will be given the RFP for submission of Proposals.

ii. PPDCL shall communicate to those consultant(s) who have not been pre-qualified,

the reasons for not pre-qualifying them.

13. Interpretation & Final Determination

The interpretation and final determination of any matter relating to the PQD and all

enclosed Documents, Sections, Annexure, Compliance Documents etc as well as any

additional or supplementary information required by PPDCL, will be at PPDCL’s sole

discretion which shall be final and binding on the Consulting Firms.

14. Use of Information

Permission for disclosure of information submitted by Consultant(s) as part of the EOI

is not required for the release of information to GoPb including PPDCL, its

consultants, advisors and personnel for the purpose of Pre-Qualification and

evaluation.

15. Redressal of Grievances

Client in accordance with Punjab Public Regulating Authority (PPRA) Rule No 67

shall constitute a Grievance Redressal Committee comprising of odd no of persons

with proper powers and authorization to address the complaint if any with the

following mandate;

i. Any Applicant feeling aggrieved by any act of the procuring agency after the

submission of his bid may lodge a written complaint concerning his grievances

not later than ten (10) days after the announcement of the applicant evaluation

report.

ii. The Committee shall investigate and decide upon the complaint within fifteen

days of the receipt of the complaint

iii. Mere fact of lodging of a complaint shall not warrant suspension of the

procurement process.

16. Governing Law

This PQD will be governed by and construed in accordance with all applicable Laws

in Punjab.
