In 1823 Alex. Findlater & Co. began trading in Dublin. The company was founded by Alexander Findlater, a hard working spirit merchant.

He set up his business on Burgh Quay opposite the Custom House.

From humble beginnings, the business grew rapidly and extensively not just in Dublin but into the United Kingdom also, expanding into other fields; trading in Spirits, Wines, Teas, Coffees and Groceries.

The emphasis under the Findlater brand has always been on quality and a name that you can trust.

It is from this rich history and provenance that the new Findlater & Co. brand proudly continues this tradition of being a trustworthy and experienced provider of premium goods to the Irish market.

The culmination of much hard work behind the scenes from the team at Findlater & Co over the course of this year, we are proud to present our new portfolio to our customers. With the wine and spirits market changing rapidly in Ireland, so too has our range which has seen many exciting additions to join our great producers.

It is fair to say that in both the on and off-trade we have seen a lot of developments over the past few years as the market adapts to the needs of more discerning, knowledgeable and quality focussed drinkers. There has never been a better time for consumers to seek out interesting wine lists, knowledgeable merchants and dynamic bars with standards being raised constantly across the country.

Findlater & Co. are long synonymous with leading the way in bringing great wine producers such as Bollinger, Jadot, Chapoutier, Antinori & Penfolds to the market. To continue this proud tradition we welcomed Mick O’Connell MW to the team earlier this year tasked with finding new stars like Fedellos de Couto (Ribeira Sacra, Spain), Gut Oggau (Burgenland, Austria), Le Grappin (Burgundy, France) and many more. We aim to build on this over coming years to bring in the best new wines, keeping the offering fresh and exciting, and developing ranges specifically for on and off-trade customers.

In Spirits we have seen the continued resurgence and new life of Irish Whiskey and Gin both here and abroad. We’ve also made new additions in Tequila, Rum and Vodka with more in the pipeline so watch this space.

We are passionate about the products that we represent and as a result are equally as passionate about tasting and training our customers. Our dedicated training team has been bolstered this year with Julie Dupouy available for specialised training, a renowned sommelier with extensive experience in some of Ireland’s best restaurants and having placed 3rd overall in the world championships in 2016.

We look forward to sharing our portfolio with you over the coming months, and trust that you will find new favourites.

There are so many reasons to use the Coravin…

While I was studying it was my best friend saving me a fortune while I tasted the same bottles over and over looking for how they differed from their peers.

Now I use it to have a single great glass of wine on a “school” night guilt-free, I then tend to finish the bottle over the weekend with some good food and often cook my weekend meals based around the nice wines I have “opened”.

I also love the ability to check in on wines that I have laid down to keep. I think it’s genuinely fascinating to see how wines I have bought from “holding” vintages, like 2010 Bordeaux for example, evolve over shorter periods – many estates are making wines that are more accessible than they ever were before and now even monstrously structured vintages can quite often be enjoyed in a youthful place.

Despite all the benefits at home I think the Coravin is at its best in the restaurant setting. It is a brilliant thing to be able to have one great glass with a meal if taking it easy or to taste a variety of well paired wines with each course over a tasting menu. Many consumers are seeking experiences to remember and savour when they go out for a meal and having a glass of a single iconic wine can really enhance the overall experience without meaning they have to splash out on an entire bottle.

For me, this is arguably the greatest wine innovation since refrigeration.

CHAMPAGNE

Bollinger is one of the last family houses in Champagne, and this is what allows for the quality and style that offers wine lovers something different and unique. Bollinger Special Cuvée is a blend composed mostly of reserve wines and 60% Pinot Noir, yielding a precise combination of balance and body. Quality is maintained year after year thanks to a precious collection of reserve wines from the Grand and Premier Cru vineyards, matured slowly in magnums for between five and ten years. Jacques Bollinger, head of the Champagne house from 1918, married Elizabeth Law de Lauriston Boubers who went by the name of Lily, or Tante Lily (Aunt Lily) to family and friends. It was Lily who took the reins when Jacques died, in 1941. She was a hard taskmaster, personally directing operations in both vineyard and winery, and everything from harvest and selection through to fermentation and blending. It is perhaps not surprising that much of Bollinger’s success today is traced back to her exacting methods.

Freixenet VILLA FRANCA

Since 1889, the Ferrer family have been producing superior quality cava, the result of years of dedicated exceptional skill and loving care. Cava is the name given to quality sparkling wine, produced from a blend of three Spanish varieties, Macabeo, Paralleda and Xarel-lo. The sparkle and flavour develop in the bottle as it ages in cool, dark underground cellars. Sant Sadurni d’Anoia is the home and heart of Freixenet, situated near Barcelona, this is an area of great beauty with a fabulous climate for wine-making.

Proud Welshman Richard Morris and his wife Joy set up Ancre Hill Estates planting vineyards on the edge of the town of Monmouth at the turn of the century. In what is very much a familial affair their son David is winemaker. Les Brulieres de Beychevelle is owned by Chateau Beychevelle who are based in St Julien. Les Brulieres’ 12 hectares of vines are 5 km from Beychevelle’s vineyard. Being further from the Gironde estuary, they benefit from a cooler climate. The vineyard is in the Haut-Médoc appellation and has been managed organically since 2008. Brulières’ blend consists of just two grape varieties: Cabernet Sauvignon and Merlot. Vinified and aged in a separate winery, it is produced with the same level of care as Château Beychevelle and Amiral de Beychevelle. “This third wine under the fourth-growth Beycheville label offers value with style. Produced from grapes that are outside the chateau’s Saint-Julien appellation, it shows plenty of the estate’s stylish winemaking. There’s black currants and attractive acidity and tannins.” – Wine Enthuasist. The Grand Bateau range is made by Chateau Beychevelle’s winemaker Philippe Blanc in the classic Bordeaux tradition with Merlot and Cabernet Sauvignon for the red and Sauvignon Blanc for the white.

Clos Puy Arnaud is a biodynamic Bordeaux estate based in Castillon on the right bank of the river. Thierry Valette is a man steeped in Bordeaux history with his family previously owning Chateau Pavie and Troplong Mondot, the iconic St Emilion estates. Like his forebears Thierry’s aim is to produce terroir wines from the limestone “asteries” of Castillon. As early as 1874 the Puy Arnaud Cru was cited in the Feret wine reference book “Bordeaux et ses Vins” as being classified as a first growth. In the 1898 edition, it is written: “The Cru Puy Arnaud has 15 hectares situated on the rocky surface of Puy Carpin at the border of Sainte Colombe. Planted with noble grape varieties, cultivated with the utmost care, it produces some of the most sought after wines of the county.” At that time, Puy Arnaud was part of the St Emilion region and was so until the first St Emilion Classification in the 1950s. Thierry believes in minimum use of new wood to allow the Merlot and Cabernet Franc fruit to show their full expression.

The company’s founder, Thomas Barton left his native Ireland in the beginning of the 18th century & emigrated to Bordeaux when he was just 30 years old. A true adventurer he founded his wine shipping company in 1725. In 1802 Hugh Barton his grandson & successor teamed up with Daniel Guestier, a French trader to create Barton & Guestier which is today the oldest wine merchant established in Bordeaux. With over three centuries of experience in the wine business Barton & Guestier is the 1st French brand name known to millions of consumers worldwide.

Set in beautiful countryside, 15 kms from the famous wine districts of Saint-Emilion and Pomerol, Château Méaume shows how tradition and modern technology can combine in the making of a magnificent wine. Alan and Sue Johnson-Hill, the proprietors, work tirelessly to improve the quality each year. The wine is made 80% from Merlot with equal balance of Cabernet Sauvignon and Cabernet Franc.

BURGUNDY

This house is one of the leading winemakers in Burgundy, with vineyards covering over 154 hectares in the Appellation Controleés of Burgundy. The winemaking philosophy is quite simple: to express the true nature of Burgundy and each Appellation through their wines. They have a distinct philosophy. All grapes are hand harvested. Chardonnay undergoes a long slow alcoholic fermentation by wild yeasts (usually in oak for the Cote d’Or wines) followed by full or partial maloactic, depending on the vintage. Pinot Noir is generally completely destemmed and undergoes a long maceration in oak or steel. Fermentation temperature for red wine is not controlled. A tasting across a range of the wines below shows the wonderful diversity of terroir that Burgundy offers, expressed almost entirely through just one red and one white grape.

Philippe’s wines are characterized by wonderful fruit purity and clean structural lines; wines that clearly speak of the villages where they were born. His cellars are based in the heart of the Burgundian capital of Beaune where he crafts small parcels from throughout the region.

Domaine Patrice Moreaux POILLY FUME

Patrice Moreux, and his sons Arnaud and Julien, cultivate 35 hectares of vines at Pouilly-sur-Loire. They are the sole owners of the parcel of land known as “La Loge aux Moines”, a superbly situated historic site in the Pouilly Fumé region where vines were first planted in the 11th century. The wine that bears this name shows the quality of this south-facing vineyard where the soil is pure Kimmeridgian marl. It has great depth of flavour and yet has a finesse that belies the richness of the wine. Their regular cuvee of Pouilly Fumé is also excellent - a blend of three different terroirs of the region, partly fermented in concrete vats, which Arnaud believes adds an extra dimension to the wine.

He has the biggest holding in Hermitage and is also the largest biodynamic producer in France. Chapoutier’s commitment to biodynamism is unflinching. The terroir is a living organism and must be respected and reflected through flavours unique to each parcel and vintage rather than strive for a common style. Chapoutier is also recognized by their use of Braille on the labels. Maurice Monier de la Sizeranne owner of the first plot of the Hermitage la Sizeranne - one of Chapoutier’s signature wines - is also the inventor of the first version of abbreviated Braille.

Duc de Castellac DORDOGNE

Duc de Castellac is an easy-drinking wine for sharing, a modern range of very lightly oaked fruit-driven wines. The château on the label is the Maison de Peyrarède, a Bergerac mansion which belonged to a rich business family. Louis XIII once spent a night there. Widely appreciated through Europe, the wines of Bergerac go hand in hand with the humanism of Montaigne and his fellow essayist La Boétie. Later they were to inspire Cyrano with his verve and gallantry.

Georges Vigouroux ROC DE LA GASSE

Founded in 1887 in the Lot district, the Georges Vigouroux company has contributed much to the promotion of the wines of South West France. The Tenuta San Guido Estate is home to the highly sought after Sassicaia. Marchese Mario Incisa della Rochetta, father of Niccolo the present owner of the Estate, was the pioneer who introduced non-native vines into the Italian wine scene. In 1968 Sassicaia - a wine which has Cabernet Sauvignon as its primary component and uses French oak barrique ageing methods - was first released and the rest, as they say, is history. If any name can be synonymous with a wine region and its winemaking it has to be MASI. The history of MASI is the history of its vineyards: its name derives from “Vaio dei MASI”, meaning “little valley of the MASI” in the valley of the Negrar (in the Valpolicella classico zone), which was the first vineyard acquired by the Boscaini family, owners of MASI, at the end of the 18th century. MASI produces premium wines which are modern in style but deeply rooted in tradition, using mainly grapes indigenous to the Veneto and utilising time-honoured techniques such as ‘appassimento’, resulting in wines full of the character particular to the region from which they were born.

Sandro Boscaini is the sixth generation of the family running MASI and is the current company president. He is widely regarded as the de facto authority on winemaking in the Veneto due to his decades of visionary innovation, experimentation and development in the field. Such an outlook resulted in the first ‘Ripasso’ wine, Campofiorin, as well as adapting similar techniques to create other unique wines such as Masianco and the rest of the ‘Super Venetian’ family for which MASI is internationally famous.

The noble Conti Bossi Fedrigotti family has lived in Trentino for almost 600 years, and for more than 300 of them family members have cultivated vines with love and dedication. Their first vintage was in 1697. The biggest innovation came in 1961 with the creation of Fojaneghe, the first Bordeaux blend wine in Italy. Torre dei Beati ABRUZZO

Grapes While it’s unlikely that we’ll see the death of the lust for Pinot Grigio and Sauvignon Blanc in our generation it is inspiring to see how successful varieties that are off the beaten track such as Godello and Assyrtiko can be. It’s certain Irish consumers like the comfort of a brand (be that a producer, region or variety) but it is also certain that we are an adventurous nation willing to try new things particularly when offered by the glass.

Chilled reds Light bright reds such as Beaujolais and Cabernet Franc are on trend at the moment, there can be great refreshment delivered from these crisp styles and dropping their temperature enhances this freshness and focus.

Low & No Alcohol Just as there is a trend toward lower alcohol session beers there is also a trend toward low & no alcohol wines with many consumers paying more attention to recommended alcohol unit intake. This brings an opportunity for naturally low alcohol wines such as Riesling or Prosecco but it also gives opportunity to de-alcoholised wines. As technology improves and develops it is remarkable to see the great quality strides taken in the non-alcoholic drinks category.

Premiumisation Tied to no and low alcohol drinks is premiumisation with a definite trend toward drinking less but better. The coravin is a brilliant invention to allow you to have a great glass of wine without spoilage but half bottles can also help in this scenario.

Jean Léon travelled the world searching for the perfect place to grow his vines, until he reached Catalonia. There he found the place he was seeking. The Jean Léon pago lies right at the heart of the Penedès region and was purchased in 1963 by grouping together several carefully selected pieces of land. The property consists in total of 150 hectares, the vineyards are situated on a slightly sloping, south-facing mountainside in the Penedès district, at a height of 280-310m above sea level, sheltered from the northern winds and possible frosts in winter and spring.

It is after this farmhouse that Torres Mas Rabell, the house wine of the Torres family, is named. This wine reflects the healthy Mediterranean tradition of drinking wine with food and provides an ideal accompaniment to many different types of cuisine, whether it be local food or international fare. Mas Rabell White is made from the Parellada and Garnacha Blanca grapes, traditional Spanish varieties. It is a beautiful pale gold colour with fine notes of apple and delicate notes of wild herbs. The fact that there is no specific definition is arguably the source of many of the arguments.

There is much debate within the natural wine scene over use of sulphur, or more specifically sulphur dioxide (SO2), some of the more zealous wine producers believe in no additions at all and others feel minimal sulphur use is welcome in wine production. Sulphur dioxide is an excellent anti-oxidant and microbicide and even a small amount can go a long way towards helping a producer make a stable wine.

Natural wine producers are led by a desire to portray the results of their terroir as accurately as possible and the argument is that no additions or manipulations allow this. Detractors would argue that a lack of additions can make many of the wines made naturally taste similar, effectively losing their sense of place, often due to minor faults (low level brettanomyces, mousiness, volatile acidity) that may not have existed with small sulphur dioxide additions.

What is without doubt is that there are excellent natural wines and poor natural wines in the same way there are excellent conventionally produced wines and poor conventionally made wines, great winemakers and not-so-great winemakers.

Stephanie and Eduard Tscheppe make authentic wines in a restored 17th century winery in the village of Oggau on the Neusiedlersee lake in Burgenland in Austria.

Despite having less than 2000 inhabitants Rust was bestowed the title of city by the Hungarian crown in the 1600’s perhaps down to the fame of the local wines particularly Ausbruch the lusciously sweet wine which was once one of the world’s most expensive wines. Michael Wenzel is finely tuned to the history all around him on the Austro-Hungarian border. He grows Furmint with cuttings taken across the border by his grandfather during Hungarian communism. The wines are zippy and textured with a real purity from minimal intervention winemaking and low sulphur dioxide use just at bottling.

Founded in 1892, Bodegas La Rosa has a long history of wine making in Argentina. Today the winery produces modern wines that have vibrant fruit expression and excellent balance. The Andean Vineyards wines and CXV come from high altitude vineyards in Mendoza where the vines benefit from warmth and excllent light during the daytime, and cool nights that maintain freshness and aromatic qualities. The Andean Vineyards Malbec sees no oak and has an attractive note of violet on the nose and lovely ripe fruit on the palate. Its big brother, the Reserve, is a selection of fruit that sees some time in oak. It is rich and mouthfilling with intense fruit flavours. Both wines have a freshness on the finish that gives them great drinkability. The CXV is a polished and sophisticated Cabernet/Syrah/Malbec blend, with perfumes of cedarwood. It is capable of ageing for a number of years. Finally the Aires Andinos wines offer superb value for money, proving that Chile is not the only country that can produce great value, well-made pouring wines.

MASI have taken the oenological practices and winemaking techniques for which they are renowned in Italy’s Veneto and adapted them to the natural environment and culture of Argentina. The result is an exciting range of wines blending Argentina’s native Torrontes and Malbec grapes alongside traditional varieties from MASI’s home in the Veneto. The techniques of appassimento (laying grapes out to dry) and double fermentation have been adapted here with great results, thanks to the favourable climate. “Passo Doble” is a play on words – the passionate Argentinian dance and the double fermentation method used in the wine’s production both finding reference in the name.ar

Craven NEW

Another of the new wave of South African producers, husband and wife team Mick and Jeanine Craven are producing stunning terroir-driven wines from the Stellenbosch Region. Mick (an Australian) and Jeanine (a South African) met during vintage in California in 2007 and have travelled the winemaking world working for the likes of Dujac and Chapoutier finally settling in Jeanine’s native Stellenbosch. The Craven philosophy is that hard work in the vineyards makes light work in the cellars. All of the wines come from single vineyards, winemaking is very hands off with minimal additions (if any), with native ferments and neutral oak.

Wine gets better with age.Not really… most wines don’t improve with time – they hold but don’t improve. Ageing wine is an act of give and take – often what a wine gains in aromatic complexity it loses in vitality.

Some wines are “better” than others.Like many things in wine – that depends… while there are benchmarks of quality such as length and balance, beauty is in the eye of the beholder, we enjoy what we enjoy.

Serious wines are always sealed with a cork.Many of the world’s most famous wines are sealed with a cork but every closure has its good points and bad points and illustrious names such as Chateau Margaux regularly test different closures such as screwcap. To taste mature Australian wines which have been sealed under screwcap is a joy and they tend to show a slightly slower evolution than wines under cork.

In poor vintages the wines are poor.Poor vintages are often labelled as such based on poor weather conditions during the season. Rigourous viticulture and particularly grape selection can still allow a winery to craft an excellent wine in a so-called poor vintage. It is also important to remember that every site is unique and while a region may have a poor vintage overall – there will always be micro climates within regions and there will always be exceptions to rules.

Sulphites cause headaches.The only warning on all bottles of wine, sulphites are often blamed for causing headaches and hangovers. With fewer than 1% of the population allergic to sulphites they are an unlikely culprit.Dried fruit and even salad bars regularly contain much higher levels of sulphites than wine. Wine contains alcohol which can dehydrate and also histamines, both of which are more likely to be at fault for headaches from wine.

Fortified wines can be one of the best ways to maximise the margin created by a wine list.

They not only offer deliciousness and food pairing flexibility but they also bring a stability and durability enviable in other wines, particularly the oxidative styles such as Amontillado & Oloroso Sherry and Tawny Ports.

Higher alcohol levels and in some cases higher sugar levels allow smaller pour measures which allows more glasses and higher margins from a bottle.

The stability of fortified wines also means that there is little or no wastage as the wines can remain open, often for up to a month.

With a sales team actively promoting these wines by the glass particularly with a food match of dessert or cheese there is a big margin opportunity with fortified wines.

Bodegas El Maestro Sierra NEW

El Maestro Sierra combines traditional winemaking with artisan character. More than 180 years after its creation, the bodega is still family owned and stands in the same location where almost two centuries ago it first opened its doors. Many of the old features are still untouched, from the albero floors where the soleras stand quietly resting, to barrels that contain wines dating back as far as 1860. The labour of “trasiego”, the transition of the wine through the scales of the solera system, is still done by hand with great care and skill. This handmade ethos, the firm ideal of quality over quantity, and, the patience to allow each of their wines the necessary maturing time have made El Maestro Sierra wines into little works of art; wines of extreme age and complexity.

DEALCOHOLISED

TorresNatureo is Torres’ only de-alcoholised wine, based on an aromatic white wine of Moscatel grapes, and it is made through a complex process of vacuum de-alcoholisation. It is a wine with all of its flavour, aroma, and body but containing only 0.5% alcohol and less than half the calories of a standard glass of wine. It is pale yellow and very clear. On the nose there are rich and fresh floral aromas of green apples, peaches and citrics. It is fresh and lively on the palate.

1. GENERAL1.1 All quotations are given and all orders and contracts for sale (including all

orders and contracts for the provision of services) are made subject to these conditions which shall govern any contract between the Seller (Valeo Foods (Ireland) and related companies) and the Buyer and shall prevail over any terms and conditions put forward by the Buyer. No variation or alteration of or addition to these Conditions shall have any effect unless expressly agreed in writing.

2. PRICE AND TERMS2.1 In the event that the Seller is to deliver goods to the Buyer it shall use its best

endeavours to adhere to any proposed dispatch or delivery date. However no liability is accepted by the Seller for any loss, damage, cost or expense resulting from any delay in delivery whether such delay should be caused by circumstances over which the Seller has control or otherwise.

2.2 Goods received by the Buyer will, in accordance with these Conditions, remain at the Buyer’s risk until paid in full.

2.3 The Seller reserves the 1ight to either cancel an order or change the price ruling at the date of collection for any orders not collected in the agreed period.

2.4 Orders are accepted subject to product and availability and the Seller reserves the right to tender goods of equivalent quality without prior notice.

2.5 Save where expressly agreed to the contrary by the Seller in writing, the Seller shall not be responsible for any and also

reserves the right:-

(i) to pass on to the Buyer any hand ling, storage, demurrage, transportation, packaging or other costs or charges and expenses incurred by the Seller in delivering the goods to the Buyer’s address or to the address stated in the acceptance of quotation order acceptance or delivery document; and

(ii) to pass on to the Buyer any increases in such costs, charges and expenses above those taken into account in the Seller’s quotation or to the Seller’s order acceptance.

2.6 Claims, shortages or damages to any goods must be reported to the driver on delivery and noted clearly on the delivery docket. Claims for shortages or damages will not be entertained for product signed for in full. Price claims will not be entertained unless received in writing within seven days of invoice. Retrospective price claims for invoices fully paid will not be entertained.

2.7 Prices for the Goods together with deposit rates on returnable containers shall be in accordance with official Company price lists ruling at the time of delivery. Such prices/deposit rates are subject to alteration without notice. The prices are quoted exclusive of Value Added Tax.

2.8 The Company shall be entitled to charge the Customer with an amount equal to all costs and expenses (whether incurred pursuant to the issue of legal proceedings or not), incurred by the Company in any way connected with the collection of monies due to the Company from the Customer which have not been within the time limit contained in Clause 7 hereof. The amount of such costs and expenses will be submitted to the Customer by the statement and thereupon such costs and expenses immediately become due to the Company.

3. PAYMENT3.1 Unless otherwise specifically agreed by the Seller in writing, payment shall

be made to the Seller in cash and without set off counter claim or other deduction on or before the 27th day or the month following invoice.

3.2 If payment is not made in accordance with the above then (without prejudice to any other right or remedy available) the Seller shall be entitled to charge interest on the amount overdue (including outstanding VAT) at a rate of 2% per month (after as well as before judgement) which shall be notified to the Buyer as it changes from time to time, such interest will be calculated monthly and added to the principal sum outstanding.

3.3 If any query is raised in correction with all or part of an invoice this shall not affect the due date on which payment of the invoice or the balance of the invoice (as the case may be) shall be made.

3.4 The Seller reserves the right to require payment before collection/delivery or before the due date.

3.5 Time shall be of the essence for the purposes of payment of all sums due to the Seller hereunder.

3.6 Payment in respect of the Goods plus deposits on returnable containers, as set out in the statement of Account issued to the Customer by the Company, must be made during the month following that in which the Goods are delivered failing which interest will be levied in accordance with the provisions of The European Communities (Late Payment in Commercial Transactions) Regulations 2002.

4. TITLE4.1 The goods shall remain the Seller’s property until the Buyer has paid for them

in full. Until that time the Buyer shall hold them as Bailee, store and label them in such a way as to render them readily identifiable as the Seller’s property, keep them separate from the Buyer’s property or the property of any other person and deliver up the goods on request at any time to the Seller.

4.2 The Buyer’ s right to possession of the goods shall cease if:-

4.2.1 the Buyer has not paid for the goods in full by the expiry of any credit period allowed under these Terms and Conditions: or

4.2.2 the Buyer is declared bankrupt or makes any proposal with his creditors for a composition or other voluntary arrangement; or

4.2.3 A receiver, liquidator, administrator or examiner is appointed in respect of the Buyer or it business.

On cessation of the Buyer’s right to possession of the goods in accordance with this clause the Buyer shall at its own expense make the goods available to the Seller and allow the Seller to re-possess them.

4.3 The Buyer hereby grants the Seller its agents and employees an irrevocable licence to enter any premises where the goods are stored in order to re-possess them or inspect them at any time.

4.4 Before title to the goods shall have passed to the Buyer, the Buyer may dispose of the goods in the normal course of trading (but with no authority to create privity or contract between the Seller any such customer who purchases from the Buyer) provided that the proceeds of sale of such goods are paid into a separate bank account opened by the Buyer and held for the account of the Seller as fiduciary owner and applied first in payment of the invoice price of such goods as remain owning by the Buyer to the Seller.

4.5 Each part delivery or instalment of the Goods shall be deemed to be sold under a separate contract and no default by the Companies in respect of any part delivery of instalment shall entitle the Buyer to treat the contract as repudiated in regard to any balance or instalment remaining deliverable.

4.6 The Seller shall be entitled to trace the proceeds of sale of the goods in the event of the Buyer’s default in accounting for such proceeds.

4.7 If the Buyer has not received payment on the disposal of any of the goods it shall on written request by the Seller assign to the Seller all its rights against its customer in respect of that disposal.

4.8 If the Buyer shall combine the goods with any other goods or shall apply any process to the goods before title shall have passed to the Buyer any new goods created by such combination or process shall at all times belong to the Seller and not to the Buyer who shall hold the goods as Bailee for the Seller but shall have liberty to dispose of such new goods in the normal course of trading (but with no authority to create privity of contract between the Seller and any such customer(s) who purchase(s) from the Buyer) provided the proceeds of sale of such new goods shall be paid into a separate bank account opened by the Buyer and held for the account of the Seller as fiduciary owner and applied first in payment of the invoice price of goods remaining owing from the Buyer to the Seller. Furthermore, the buyer agrees to store such new goods in such way as to render them easily identifiable as the property of the Seller and to assign to the Seller on the Seller’s written request all its rights against its customer(s) in respect of any disposal of such new goods where payment by such customer(s) has not been received by the Buyer in full.

5. HEADINGS The headings of these Terms & Conditions are for convenience only and shall

have no effect on the interpretation thereof.

6. SEVERABILITY If at any time one or more of the provisions hereof is or become invalid, illegal

or unenforceable in any respect, the remaining provisions shall be deemed to be severable and the validity, legality and enforceability of such remaining provisions hereof shall not in any way be affected or impaired thereby.

7. GOVERNING LAW This contract shall be governed and construed in all respects in accordance

with the laws of the Republic of Ireland
