REQUEST FOR QUALIFICATIONS (RFQ) FOR

CONSTRUCTION MANAGEMENT SERVICES TO OVERSEE THE PERIMETER ACTIVITY CENTER – ITS UPGRADES & SYSTEM EXPANSION

PROJECT CONSTRUCTION The Fulton Perimeter Community Improvement District and the Central Perimeter Community Improvement District (collectively the “PCIDs”) request qualified individuals and firms (Consultants) with experience in construction management services to submit proposals to provide Construction Management Services for the Perimeter Activity Center – ITS Upgrades & System Expansion Project (the “Project”). The selected Consultant(s) will assist the PCIDs in the bidding and construction management of the Project, utilizing criteria described herein to meet all requirements. I. INTRODUCTION

The PCIDs are seeking proposals for construction management services in order to bid and cause the Project to be constructed. The Consultant will enter into a contract for the Project with the PCIDs for an initial period of twelve (12) months, commencing ten (10) working days from receipt of notice to proceed, with an possible twelve-month renewal at the option of the PCIDs. II. STATEMENT OF WORK

REQUIRED SERVICES Required Services shall include, but not be limited to, the following:

A. Provide bid and award assistance within the guidelines of the funding source for the

Project (Congestion Mitigation and Air Quality (CMAQ) Funds). B. Prepare all bid award documentation for the selection process as required by the PCIDs

as well as the funding source (CMAQ Funds). C. Prepare a construction contract and specifications that allow the PCIDs to manage the

construction process with minimal disruption to the business district. D. Manage and document all contract negotiations and plan modifications prior to and after

the construction letting. E. Obtain all necessary permits from jurisdictions as necessary. Prepare pre-construction

meeting with: contractor; PCIDs; the cities of Brookhaven, Dunwoody, and Sandy

Springs (collectively, the “Cities”); and the Georgia Department of Transportation (GDOT).

F. Prepare initial utility coordination meeting with all utility providers within the Project limits. Meetings will coordinate the scheduling and coordination of the Project construction with known utility conflicts. Day-to-day conflict resolution and subsequent meetings with utilities will be held throughout the construction duration.

G. Provide coordination for initial notification with property owners and all communication as needed during the Project. Coordinate with PCIDs and Cities on schedule updates on construction progress as needed.

H. Provide construction management and/or inspection services as required by the PCIDs for the Project. Construction management team shall include a Program Manager as day-to-day contact and as overall construction manager. Program Manager shall be available.

I. Provide inspection services in accordance with GDOT specifications. J. Perform field plan reviews, review bid documents, and review and prepare cost

estimates. Provide weekly status reports, schedule updates, and cost to complete updates to PCIDs during the duration of the construction contract.

K. Manage the contractor hired by the PCIDs on the Project. Review contractor invoices for approval by the PCIDs.

L. Provide inspection services that follow all GDOT and City specifications for transportation and ITS projects. Perform any required coordination necessary with GDOT, the Cities, DeKalb County, and Fulton County on Local, State and Federally funded projects.

M. Provide construction management that will include all coordination with GDOT to modify the location of the Dunwoody TCC from the current location on the plans to the new City Hall building for the City of Dunwoody.

N. Provide coordination effort for a final punch list field review with all parties. Additionally, Cities must be notified at any point during the construction should the need arise for their review and approval of installations or modifications to the plans.

O. Ensure all applicable guidelines for Federally funded projects are followed, including, but not limited to Buy America Requirements – 23 CFR 635.410(b)(1)(2).

P. All Federal contractors must abide by appropriate Federal Acquisition Regulation guidelines which include the use of E-Verify to electronically verify the employment eligibility of employees working under covered federal contracts.

III. PROPOSAL FORMAT

The Technical Proposal must be submitted in electronic format only and should be no more than ten (10) pages excluding mandatory exhibits, GDOT Prequalification Certificates, and Attachments. A. Technical Proposal

1. Experience of Consultant

COMPLETE PROJECT EXPERIENCE FORM (ATTACHMENT A) Address the following criteria and include necessary information of any other professional firm to be involved through subcontract. Include the qualifications of the Consultant firm and the staff who will perform the services listed in Section II of the RFQ. Demonstrate experience in the construction management of similar facilities, and confirm listing by the GDOT as a pre-qualified consultant for projects eligible for State and Federal Transportation funding. Confirmation of such listing by Consultant or any other firm involved by each pre-qualified category listed in Attachment C is required. The Consultant must demonstrate the firm's extensive knowledge of the CMAQ requirements. The Consultant shall briefly describe the past experience of the firm and of the staff on similar projects as well as other relevant experience. Consultant must be GDOT prequalified in the following classes: 8.01, 9.01, 9.02, 9.03, and 6.04. If the Consultant proposes a team approach, then the Consultant shall provide one copy of the GDOT Prequalification Certificate for each member firm covering the above referenced classes.

2. Qualifications of Staff and Management COMPLETE PERSONNEL FORM (ATTACHMENT B) Include an organizational chart of all personnel, including sub-consultant firms, of the Project team. Describe the experience and qualifications of the Project Manager and document the Project Manager’s onsite time commitment on comparable projects. Proposals must include a description of the qualifications and experience of the specific staff members on the Project team. Proposals should demonstrate the firm’s ability to retain project managers and key project personnel throughout the Project. Include names and brief resumes of key personnel on the Project team. Identify as either technical and/or management and service personnel. The capability of proposed key personnel as demonstrated in past and recent state projects of similar size.

3. Statement of Qualifications COMPLETE STATEMENT OF QUALIFICATIONS PACKAGE (ATTACHMENT C)

4. Interviews Consultants may be required to attend an interview to explain the merits of their proposal and to answer questions from members of the PCIDs Selection Committee. If selected, the Consultant will be required to have the key overall day-to-day Project management team and other members of the proposed Project team available for the interview. The Consultant can have a maximum of five people representing the firm(s) at the interviews.

B. Cost Proposal

Provide a Lump Sum cost proposal with all estimated cost associated with: • Bid & Award (PCIDs) • City of Brookhaven • City of Dunwoody • City of Sandy Springs Each City/entity will pay for Construction Management services for their respective area therefore cost must be broken down by jurisdiction. The proposed cost must include all items necessary in order to complete the tasks outlined in this RFQ and all direct costs such as printing, mileage, and supplies. The cost proposal shall be included in a separate sealed envelope labeled “Cost Proposal for Perimeter Activity Center ITS Upgrades & System Expansion project.”

IV. CRITERIA FOR SELECTION

Consultants will be rated only on those categories in Section III. The following selection criteria will be used as the basis for the evaluation of proposals. The criteria are not necessarily listed in order of importance. 1. Initial Evaluation A. Project Team/Construction Management Capability – 40% weight B. Experience of Consultant on Similar Projects (Local and Georgia only) – 40% weight C. Experience and Qualifications of Staff on Similar Projects (Local and Georgia only) – 20%

V. CONTRACT ADMINISTRATION

A. Submittal Instructions One (1) electronic copy should be emailed to Jennifer Harper, Chief Program Officer at [email protected] no later than 5:00 p.m. on Wednesday, October 26, 2016. Proposals must be clearly identified in the subject line as “RFQ for Construction Management Services to Oversee the Perimeter Activity Center – ITS Upgrades & System Expansion.” Proposals received after this date and time will not be accepted.

B. Questions

All questions regarding this RFQ must be addressed to Jennifer Harper, Chief Programs Officer for the PCIDs in writing, via email [email protected] with the title “RFQ Question(s)” in the subject line. All questions concerning the RFQ must be submitted via email no later than 5:00 p.m., October 12, 2016. Questions received by the Chief Program Officer after this date may not receive a response. An addendum in response to questions will be posted on the PCIDs’ website (www.perimetercid.org) by October 17, 2016.

VI. ACKNOWLEDGMENT OF ADDENDA

Addenda may be issued in response to changes in the RFQ. Addenda must be acknowledged by signing and returning the Addendum Form to be included in the Technical Proposal. Failure to properly acknowledge any Addendum may result in a declaration of non-responsiveness by the PCIDs’ Administration. All Addendums issued for this project may be found on the PCIDs’ website www.perimetercid.org.

VII. PROPOSAL DURATION

Proposals submitted in response to this RFQ must be valid for a period of One Hundred Twenty (120) days from the proposal submission deadline, and must be so marked.

VIII. EXPENSES OF PREPARING RESPONSES TO THIS RFQ

The PCIDs accepts no responsibility for any expenses incurred by the responders to this RFQ. Such expenses are to be borne exclusively by the responders.

IX. GEORGIA OPEN RECORDS ACT

Without regard to any designation made by the person or entity making a submission, PCIDs considers all information submitted in response to this invitation or request to be a public record that will be disclosed upon request pursuant to the Georgia Open Records Act, O.C.G.A. § 50-18-70 et seq., without consulting or contacting the person or entity making the submission, unless a court order is presented with the submission. Consultant may wish to consult an attorney or obtain legal advice prior to making a submission.

X. AWARD OF CONTRACT

A Selection Committee will review all proposals submitted pursuant to this RFQ. The Selection Committee, in its discretion, will determine which of the firms to possibly interview based on the evaluation criteria contained here-in. If the decision is made to hold interviews, selected firms will receive an invitation for an oral presentation to the Selection Committee. The Selection Committee will then score all firms based on the information submitted and the oral interview, and will compile a ranking of those firms. After all rankings are complete, the Selection Committee will open cost proposals of the final short-listed firms and will include the cost proposal information along with its Recommendation for Award to the PCIDs’ Board of Directors, who will make the final decision as to Award of Contract.

The PCIDs reserve the right to reject any and all proposals, to waive informalities, and to re-advertise. Sincerely,

Buy America Certification

a. Proposer shall comply with the Federal Highway Administration (“FHWA”) Buy AmericaRequirements of 23 CFR 635.410, which permits FHWA participation in the DBAgreement only if domestic steel and iron will be used on the Project. To be considereddomestic, all steel and iron used and all products manufactured from steel and iron mustbe produced in the United States and all manufacturing processes, including applicationof a coating, for these materials must occur in the United States. Coating includes allprocesses that protect or enhance the value of the material to which the coating isapplied. This requirement does not preclude a minimal use of foreign steel and ironmaterials, provided the cost of such materials does not exceed 0.1% of the design-buildcontract price.

b. A false certification is a criminal act in violation of 18 U.S.C. 1001. Should thiscertification be investigated, Proposer has the burden of proof to establish that it is incompliance.

c. At Proposer’s request, GDOT may, but is not obligated to, seek a waiver of Buy Americarequirements from FHWA if grounds for the waiver exist. However, Proposer certifiesthat it will comply with the applicable Buy America requirements if a waiver of thoserequirements is not available or not pursued by GDOT.

TITLE VI INTRODUCTION

As a sub-recipient of federal funds from Georgia Department of Transportation, all municipalities are required to comply with Title VI of the Civil Rights Act of 1964 which provides that:

“No person in the United States shall, on the grounds of race, color, or national origin, be excluded from participation in, or be denied the benefits of, or be subjected to discrimination under any program or activity receiving federal assistance under this title or carried out under this title.”

Additionally, the Civil Rights Restoration Act of 1987, expanded the definition of the terms “programs and activities” to include all programs or activities of federal recipients, sub recipients, and contractors, whether or not such programs and activities are federally assisted.

The provisions of Title VI apply to all contractors, subcontractors, consultants and suppliers. And is a condition for receiving federal funds. All sub recipients must sign Title VI assurances that they will not discriminate as stated in Title VI of the Civil Rights Act of 1964.

In the event that the sub recipient distributes federal aid funds to second tier entity, the sub-recipient shall include Title VI language in all written documents and will monitor for compliance. If, these assurances are not signed, the City or County government may be subjected to the loss of federal assistance.

All sub recipients that receive federal assistance must also include Federal Highways Administrations 1273 in their contracts. The FHWA 1273 sets out guidance for ensuring nondiscrimination and encouraging minority participation and outreach.

Enclosed you will find Title VI acknowledgment form and the Title VI assurances. The Title VI acknowledgment form and Title VI assurances must be signed by your local government official if it has not been signed.

Within 10 days of Notice of Award, and at all times that this Contract is in force, the Contractor shall obtain, maintain and furnish the City Certificates of Insurance from licensed companies doing business in the State of Georgia with an A.M. Best Rating A-10 or higher and acceptable to the City covering:

1. Workers’ Compensation & Employer’s Liability Insurance. Workers’ Compensation Insurancein compliance with the applicable Workers’ Compensation Act(s) of the state(s) wherein the work is to be performed or where jurisdiction could apply in amounts required by statutes. Employer’s Liability Insurance, with limits of liability of not less than $1,000,000 per accident for bodily injury or disease.

2. Commercial General Liability Insurance, including contractual liability insurance, product andcompleted operations, personal and advertising injury, and any other type of liability for which this Contract applies with limits of liability of not less than $1,000,000 each occurrence / $2,000,000 policy aggregate for personal injury, bodily injury, and property damage. Commercial General Liability Insurance shall be written on an “occurrence” form.

3. Automobile Liability Insurance with limits of liability of not less than $1,000,000 per accident forbodily injury and property damage if automobiles are to be used in the delivery of or in the completion of services and work or driven onto the City’s property. Insurance shall include all owned, non-owned and hired vehicle liability.

4. Umbrella Insurance with limits of liability excess of Employer’s Liability Insurance, CommercialGeneral Liability Insurance and Automobile Liability Insurance in the amount of not less than $3,000,000.

5. Contractors’ Pollution Legal Liability and/or Asbestos Legal Liability and/or Errors andOmissions (if project involves environmental hazards) with limits not less than $1,000,000 per occurrence or claim, and $2,000,000 policy aggregate.

6. Professional (Errors and Omissions) Insurance- For Professional Services and for allDesign/Build Projects with limits of liability of not less than $3,000,000 per occurrence or claim / $3,000,000 policy aggregate. Such policy shall also include coverage for losses arising from the breach of information security or cyber liability (including Errors & Omissions, Security and Privacy Liability and Media Liability), whether combined with the Professional Liability policy or placed as a separate policy, but carrying the same limits of liability. Such coverage shall insure damage, injury and loss caused by error, omission or negligent acts, including all prior acts without limitation, related to the professional services to be provided under this Contract. The policy shall be amended to include independent contractors providing professional services on behalf of or at the direction of the Contractor. The definition of Contractual Liability shall be amended to state that liability under a contract of professional services is covered. Further, coverage shall be afforded for fraudulent acts, misappropriation of trade secrets, internet professional services, computer attacks, personal injury, regulatory actions, wrongful acts, contractual liability, privacy policy, and insured versus insured. The Contractor shall ensure that coverage under this policy continues for a period of thirty-six (36) months after completion of services.

7. Fidelity Bond (Employee Dishonesty) in the sum of not less than $50,000. -All such insurance shall remain in effect until final payment is made and the Project is accepted by the City. If the Contractor receives notice of non-renewal or material adverse change of any of the required coverages, the Contractor shall promptly advise the City in writing. Failure of the Contractor to promptly notify the City on non-renewal or material adverse change of any of the required coverages terminates the Agreement as of the date that the Contractor should have given notification to the City. The insurance policies shall contain or be endorsed to contain, the following provisions:

(a) A provision that coverage afforded under such policies shall not expire, be canceled or altered without at least thirty (30) days prior written notice to the City.

(b) Workers’ Compensation and Employer’s Liability and Property insurance policies shall contain a waiver of subrogation in favor of the City and the City’s boards, officials, directors, officers, employees, representatives, agents, and volunteers.

(c) Commercial General Liability, Automobile Liability Contractors’ Pollution Legal Liability and/or Asbestos Legal Liability and/or Errors and Omissions (if project involves environmental hazards) insurance policies shall include an endorsement making the City and the City’s boards, officials, directors, officers, employees, representatives, agents, and volunteers. Additional Insureds under such policies.

A copy of these endorsements shall be provided to the City. Certificates of Insurance showing that such coverage is in force shall be filed under this Contract by the Contractor to the City. The obligations for the Contractor to procure and maintain insurance shall not be construed to waive or restrict other obligations and it is understood that insurance in no way limits liability of the Contractor whether or not same is covered by insurance.
