PENNSYLVANIA PTA BYLAWS

AS AMENDED APRIL 4, 2014

ARTICLE I: NAME 1 2 The name of this association is the Pennsylvania Congress of Parents and Teachers, Inc. It is commonly 3 known and will be referred to in these bylaws as the “Pennsylvania PTA.” 4 5 6

# ARTICLE II: PURPOSES 7 8 Section 1. The Purposes of the Pennsylvania PTA, in common with those of the National PTA, are: 9

10 a. To promote the welfare of children and youth in home, school, community, and place of worship, 11 12 b. To raise the standards of home life, 13 14 c. To secure adequate laws for the care and protection of children and youth, 15 16 d. To bring into closer relation the home and the school, so that parents and teachers may cooperate 17

intelligently in the education of children and youth, and 18 19 e. To develop between educators and the general public such united efforts as will secure for all 20

children and youth the highest advantages in physical, mental, social, and spiritual education. 21 22 Section 2. The Purposes of the National PTA and the Pennsylvania PTA are promoted through an advocacy 23 and educational program directed toward parents, teachers, and the general public; developed through 24 conferences, committees, projects, and programs; and governed and qualified by the basic policies set forth in 25 Article III. 26 27 Section 3. The association is organized exclusively for the charitable, scientific, literary, or educational 28 purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code or corresponding section of 29 any future federal tax code (hereinafter referred to as “Internal Revenue Code”). 30

# ARTICLE III: BASIC POLICIES 33 34 The following are basic policies of the Pennsylvania PTA, in common with those of the National PTA: 35 36

a. The association shall be noncommercial, nonsectarian, and nonpartisan. 37 38 b. The association shall work with the schools and community to provide quality education for all 39

children and youth, and shall seek to participate in the decision-making process establishing school 40 policy, recognizing that the legal responsibility to make decisions has been delegated by the people to 41 boards of education, state education authorities, and local education authorities. 42

43 c. The association shall work to promote health and welfare of children and youth, and shall seek to 44

promote collaboration among parents, schools, and the community at large. 45 46 d. No part of the net earnings of the association shall inure to the benefit of, or be distributable to, its 47

members, directors, trustees, officers, or other private individuals except that the association shall be 48 authorized and empowered to pay reasonable compensation for services rendered, and to make 49 payments and distributions in furtherance of the purposes set forth in Article II hereof. 50

e. Notwithstanding any other provision of these articles, the association shall not carry on any other 52 activities not permitted to be carried on (i) by an association exempt from federal income tax under 53 Section 501(c)(3) of the Internal Revenue Code or (ii) by an association, contributions to which are 54 deductible under Section 170(c)(2) of the Internal Revenue Code. 55

56 f. Upon the dissolution of this association, after paying or adequately providing for the debts and 57

obligations of the association, the remaining assets shall be distributed to one or more nonprofit 58 funds, foundations, or associations that have established their tax-exempt status under Section 59 501(c)(3) of the Internal Revenue Code and whose purposes are in accordance with National PTA. 60

61 g. The association or members in their official capacities shall not, directly or indirectly, participate or 62

intervene (in any way, including the publishing or distributing of statements) in any political 63 campaign on behalf of, or in opposition to, any candidate for public office, or devote more than an 64 insubstantial part of its activities to attempting to influence legislation by propaganda or otherwise. 65

# ARTICLE IV: CONSTITUENT ASSOCIATIONS 68 69 Section 1. The constituent associations of the Pennsylvania PTA include: 70 71

a. Local PTAs (Parent Teacher Associations) or PTSAs (Parent Teacher Student Associations) 72 organized under the authority of the Pennsylvania PTA. 73 74

b. Council PTAs/PTSAs organized under the authority of the Pennsylvania PTA. 75

Section 2. The Pennsylvania PTA shall determine criteria for establishing constituent associations and setting 77 standards for continuing affiliation with the Pennsylvania PTA and National PTA. 78 79 Section 3. The purposes and basic policies of the Pennsylvania PTA shall in every case also be the purposes 80 and basic policies of each constituent association. 81 82 Section 4. The articles of organization of a constituent association include (a) the bylaws of such association 83 and (b) the certificate of incorporation or articles of incorporation of such association (in cases in which the 84 association is a corporation) or the articles of association by whatever name (in cases in which the association 85 exists as an unincorporated association). 86 87 Section 5. Each constituent association shall adopt such bylaws for the government of the association as may 88 be approved by the Pennsylvania PTA. Such bylaws shall not be in conflict with the National PTA Bylaws or 89 the bylaws of the state PTA. 90 91 Section 6. Each constituent association shall include in its bylaws provisions corresponding to the National 92 PTA Bylaws. 93 94 Section 7. The adoption of an amendment to any provision of the National PTA Bylaws shall serve 95 automatically and without the requirement of further action by the constituent association to amend 96 correspondingly the bylaws of each constituent association. Notwithstanding the automatic character of the 97 amending process, the constituent association shall promptly incorporate such amendments in their respective 98 bylaws. 99 100 Section 8. Bylaws of each constituent association shall include an article on amendments. 101 102

Section 9. Each officer or board member of a constituent association shall be a member of a local PTA 103 within its area. 104 105 Section 10. A PTA member shall not serve as a voting member of a constituent association’s board at the 106 local, council, or region level while serving as a paid employee of, or under contract to, that constituent 107 association. 108 109 Section 11. Bylaws of each constituent association shall include a provision establishing a quorum. 110 111 Section 12. The members of the nominating committee for officers of a constituent association shall be 112 elected by membership, board of managers, executive board, or executive committee. 113 114 Section 13. The bylaws of all constituent associations shall prohibit voting by proxy. 115

# ARTICLE V: PENNSYLVANIA PTA 118 119 Section 1. The Pennsylvania PTA is a branch of the National PTA and exists for the purpose of 120 accomplishing, at the state level, the Purposes of the National PTA in accordance with its policies. Within the 121 framework of the responsibility that it shares with the National PTA for the implementation of the Purposes 122 of the National PTA and its obligation to comply with the National PTA Bylaws, the Pennsylvania PTA is a 123 self-governing association with independent legal existence. 124 125 Section 2. The relationship of the Pennsylvania PTA with the National PTA and its duties, obligations, and 126 responsibilities are set forth in the National PTA Bylaws and in the charter that is issued by the National PTA 127 to the Pennsylvania PTA. 128 129 Section 3. The Pennsylvania PTA shall adopt such bylaws and other articles of organization as are in 130 conformity with the National PTA Bylaws and shall include provisions of the National PTA Bylaws. 131 132 Section 4. The adoption of an amendment to any provision of the National PTA Bylaws shall serve 133 automatically and without the requirement of further action of the Pennsylvania PTA to amend its 134 corresponding bylaws. Notwithstanding the automatic character of the amending process, the Pennsylvania 135 PTA shall promptly incorporate such amendments in its bylaws. 136 137 Section 5. The Pennsylvania PTA shall provide appropriate procedures for the association of local PTAs 138 within its area. The Pennsylvania PTA may determine the membership year for the local PTAs in its area and 139 prescribe the form and content of the bylaws or other articles of organization of such local PTAs. 140 141 Section 6. The Pennsylvania PTA may create or establish subsidiary associations (regions) within its area to 142 facilitate the administration of the affairs of the Pennsylvania PTA and for carrying out its programs and may 143 prescribe the form and content of the bylaws or other articles of organization of such subsidiaries. 144 145 Section 7. The Pennsylvania PTA may create or establish councils in counties, cities, or other areas 146 designated by its board of managers for the purpose of conference, leadership training, and coordination of 147 the efforts of local PTAs and may prescribe the form and content of the bylaws or other articles of 148 organization of such councils. The local PTAs that shall be eligible for membership and participation in the 149 work of any council shall be determined by the Pennsylvania PTA. Councils shall not legislate for local 150 PTAs. 151 152 Section 8. In the event of surrender or withdrawal of its charter by the National PTA, in the manner provided 153 in the National PTA Bylaws, the Pennsylvania PTA is obligated: 154

a. To yield up and surrender all of its books and records and all of its assets and property to the National 155 PTA or to such agency as may be designated by the National PTA to be held for the benefit of 156 another branch association established by the National PTA for the area of the Pennsylvania PTA; 157

158 b. To yield up all of the books and records and all of the assets and property of any Controlled 159

Organization and surrender them to the National PTA or to such agency as may be designated by the 160 National PTA to be held for the benefit of another branch association established by the National 161 PTA for the area of such state PTA. A Controlled Organization shall mean any corporation or other 162 entity, whether nonprofit or for-profit, incorporated or unincorporated, that is controlled by such state 163 PTA. For purposes of this section, control means ownership by vote or value of more than fifty 164 percent of the association, power to appoint individuals to the governing body of the association 165 representing more than fifty percent of the voting power, or ownership of more than fifty percent of 166 the beneficial interests in the association. The state PTA shall cause the governing documents of the 167 Controlled Organization to reflect this obligation; 168

169 c. To cease and desist from the further use of any name that implies or connotes association or 170

affiliation with the National PTA or status as a branch or constituent association of the National PTA; 171 and 172

173 d. To carry out promptly, under the supervision and direction of the National PTA, all proceedings 174

necessary or desirable for the purpose of dissolving the Pennsylvania PTA. 175 176 Section 9. The Pennsylvania PTA is responsible for compliance by the local, council, or region PTAs within 177 its area with the National PTA Bylaws and the bylaws of the state PTA. The provisions of the Pennsylvania 178 PTA bylaws relating to the withdrawal of the charter of a local PTA (and the termination of its status as a 179 local PTA ) shall parallel the provisions of the National PTA Bylaws relating to the withdrawal by the 180 National PTA of the charter of the Pennsylvania PTA and the termination of the status of the Pennsylvania 181 PTA as a branch of the National PTA. 182 183 Section 10. The Pennsylvania PTA shall submit to the National PTA a report of its work and activities for 184 inclusion in the annual report of the National PTA. 185 186 Section 11. The Pennsylvania PTA shall keep such permanent books of account and records as shall be 187 sufficient to establish the items of gross income, receipts, and disbursements of the association, including, 188 specifically, the number of local PTAs within its area, the national portion of membership dues collected by 189 such local PTAs, the amounts of such dues received by the Pennsylvania PTA, and the amounts of dues 190 remitted to the National PTA. Such books of account and records, including those of controlled associations, 191 shall at all reasonable times be open to inspection by an authorized representative of the National PTA. 192 193 194

# ARTICLE VI: LOCAL PTAS/PTSAS 195

196 Section 1. Local PTAs shall be organized and chartered under the authority of the Pennsylvania PTA in the 197 area in which the local PTA functions, in conformity with such rules and regulations, not in conflict with the 198 National PTA Bylaws, as the Pennsylvania PTA may in its bylaws prescribe. The Pennsylvania PTA shall 199 issue to each local PTA in its jurisdiction an appropriate charter evidencing its official organization and good 200 standing. A local PTA in good standing is one that: 201 202

a. adheres to the Purposes and basic policies of the PTA; 203 204 b. has bylaws approved according to the procedures of the Pennsylvania PTA; 205

c. remits the state and national portion of the membership dues to the Pennsylvania PTA by dates 206 designated by the Pennsylvania PTA (a portion of the dues must be postmarked no later than 207 October 15); 208 209

d. submits officers form to the state office immediately upon election of officers and no later than 210 June 15 annually; 211 212 e. forwards to the state office each year upon completion a copy of their Form 990N, 990, or 990EZ as 213 required per IRS regulations; 214

215 f. forwards a signed copy of all audit reports to the state office immediately following their adoption by 216

the general membership; and 217 218

g. meets other criteria as may be prescribed by the Pennsylvania PTA. 219 220

Section 2. Each local PTA shall keep such permanent books of account and records as shall be sufficient to 221 establish the items of gross income, receipts, and disbursements of the association, including, specifically, the 222 number of its members, the dues collected from its members, and the amounts of dues remitted to the 223 Pennsylvania PTA. Such books of account and records shall at all reasonable times be open to inspection by 224 an authorized representative of the Pennsylvania PTA or, where directed by the committee on state and 225 national relationships, by a duly authorized representative of the National PTA. 226 227 Section 3. The charter of a local PTA shall be subject to withdrawal and the status of such association as a 228 local PTA shall be subject to termination, in the manner and under the circumstances provided by the bylaws 229 of the Pennsylvania PTA. 230 231 Section 4. Each local PTA is obligated, upon withdrawal of its charter by the Pennsylvania PTA: 232 233

a. To yield up and surrender all of its books and records and all of its assets and property to the 234 Pennsylvania PTA or to such agency as may be designated by the Pennsylvania PTA or to another 235 local PTA organized under the authority of the Pennsylvania PTA; 236

237 b. To cease and desist from the further use of any name that implies or connotes association with the 238

National PTA or the Pennsylvania PTA or status as a constituent association of the National PTA; 239 and 240

241 c. To carry out promptly, under the supervision and direction of the Pennsylvania PTA, all proceedings 242

necessary or desirable for the purpose of dissolving such local PTA. 243 244 Section 5. Each officer or board member of a local PTA shall be a member of such local PTA. 245 246 Section 6. Only members of a local PTA who have paid dues for the current membership year may 247 participate in the business of the local PTA. 248 249 Section 7. Each local PTA shall collect dues from its members and shall remit a portion of such dues to the 250 Pennsylvania PTA as provided in #Article VII hereof. 251 252 Section 8. Each local PTA shall include in its bylaws provisions corresponding to the provisions of the 253 National PTA and Pennsylvania PTA bylaws identified by the number (#) symbol. 254 255 Section 9. Local PTA bylaws shall be updated every five (5) years on the most current model available from 256 the Pennsylvania PTA. 257 258

Section 10. A local PTA considering dissolution shall: 259 260

a. Arrange for a Pennsylvania PTA representative to speak in favor of continuing PTA at a meeting of 261 the executive committee or board prior to taking action on such a resolution; 262

263 b. Upon decision to recommend dissolution of the unit, present the resolution to the members at the 264

next general meeting for their information; 265 266

c. Announce that a decision of and a vote on the dissolution will be taken at the next regular meeting; 267 268

d. Arrange that all requirements for amending the unit’s bylaws are complied with; 269 270

e. Arrange for a Pennsylvania PTA representative to speak to the members at the meeting at which the 271 vote is to be taken; 272

273 f. Arrange for the proper disposal of PTA funds and property according to the provisions of these 274

bylaws; 275 276

g. Provide for the dissolution to take effect immediately after the dissolution is voted and not to be 277 post-dated. 278 279

# ARTICLE VII: MEMBERSHIP AND DUES 281 282 Section 1. Every individual who is a member of a local PTA is, by virtue of that fact, a member of the 283 National PTA and of the Pennsylvania PTA by which such local PTA is chartered, and is entitled to all the 284 benefits of such membership. 285 286 Section 2. Membership in each local PTA shall be made available by such local PTA, without regard to race, 287 color, creed, or national origin, under such rules and regulations, not in conflict with the provisions of the 288 National PTA Bylaws, as may be prescribed in the bylaws of the local PTA, to any individual who subscribes 289 to the Purposes and basic policies of the National PTA. 290 291 Section 3. Each local PTA shall conduct an annual enrollment of members but may admit individuals to 292 membership at any time. 293 294 Section 4. Each member of a local PTA shall pay such annual dues to said association as may be prescribed 295 by the association. The amount of such dues shall include the portion payable to the Pennsylvania PTA—the 296 “state portion”—and the portion payable to the National PTA—the “national portion.” 297 298 Section 5. The National portion of each member’s dues shall be two dollars and twenty-five cents ($2.25) per 299 annum. 300 301 Section 6. The Pennsylvania PTA portion of each member’s dues shall be two dollars and seventy-five cents 302 ($2.75) per annum as determined by the Pennsylvania PTA. 303 304 Section 7. The state and national portions of the dues paid by each member of a local PTA shall be set aside 305 by the local PTA and remitted to the Pennsylvania PTA through such channels and at such times as the state 306 PTA bylaws may provide. Each state PTA shall pay to the National PTA the amount of the national portion of 307 dues paid by all members of local PTAs in its area. 308 309 Section 8. The Pennsylvania PTA shall make remittances, on a monthly basis, to the National PTA of the 310 amounts due to the National PTA. Each remittance shall be accompanied by a statement of the dues received 311

by the Pennsylvania PTA from all local PTAs within its area for the month covered by the report. Such 312 statement shall show the name and location of each local PTA, the amount paid by it to the Pennsylvania 313 PTA, and the number of members in each local PTA. 314 315 Section 9. Dues 316 317

a. The treasurer of each local PTA in the Pennsylvania PTA shall send the national and state portions of 318 the dues of each individual membership in the local PTA to the treasurer of the Pennsylvania PTA, c/o 319 the state PTA office, through such channels and at such times as these state bylaws provide. 320

321 b. The local PTA treasurer shall keep record of national and state portions of the membership dues 322

separate from record of general fund of the local PTA. 323 324 c. The treasurer of each local PTA shall: 325 326

i. Send directly to the state PTA office five dollars ($5.00), postmarked by October 15, for every 327 member of the PTA accompanied by a statement of what National PTA requires for transmittal of 328 dues to the state office. 329 330 ii. Send the mailing address of the local PTA president, the council (if associated) in which PTA is 331 located and the county in which the unit is located. 332

333 iii. Return all current unused membership cards by July 1 to the State Office or be charged annual 334 dues for each card not returned. 335

336 d. The state PTA office shall notify each local unit treasurer or president at least thirty (30) days in 337

advance of October 15 that national and state dues shall be postmarked by October 15. 338 339 Section 10. Local PTA Membership 340 341

a. Upon payment of dues, a person of Full Age shall become a member of a local PTA unit 342 and shall be entitled to all privileges of membership, including holding office and voting. 343

344 b. Upon payment of dues, a person of less than Full age (example-student in a PTA) shall 345

become a member of a local PTA unit and shall be entitled to all privileges of membership 346 including voting, holding chairmanships and offices, with the exception of president, first 347 vice-president, secretary, and treasurer. 348 349

c. Full Age: Of the age of eighteen years or over, as set forth by the Pennsylvania 350 Consolidated Statutes, Title 15, Corporations and Unincorporated Associations, under 351 which the Pennsylvania Congress of Parents and Teachers, Inc. is governed along with the 352 Pennsylvania PTA bylaws. 353

354 d. In the case of voting to dissolve the local PTA, the person shall have been a member for at 355

least 90 days. 356 357

e. Current membership must be verified for voting privileges. 358 359 Section 11. Honorary Recognitions 360 361

a. National PTA Life Achievement Awards may be conferred for distinguished service for which a fee 362 shall be paid to the National PTA to become part of the Endowment Fund. A National PTA Life 363

ARTICLE VIII: OFFICERS 378 379

Section 1. The officers of the Pennsylvania PTA shall be a president, a president-elect, a secretary and a 380 treasurer. 381 382 Section 2. Qualifications and Eligibility - The following provisions as well as those noted in the Standing 383 Rules for State Board of Managers shall govern the qualifications and eligibility of individuals to be officers 384 of the Pennsylvania PTA: 385 386

a. Each officer shall be a member of a local PTA chartered by the Pennsylvania PTA. 387 388

b. The president-elect shall succeed automatically to the office of president providing the 389 President-Elect was duly elected by the Convention body. 390 391

c. No person shall serve on the board of managers in more than one capacity. 392 393

d. Only those who have served on the board of managers in an elected position for a minimum of two 394 terms shall be eligible for nomination for election to the offices of President, President-Elect, and 395 Treasurer. 396 397

e. Only those who have served on the board of managers in an elected position for a minimum of two 398 (2) terms or only those who have served on the board of managers in an elected position for a 399 minimum of one (1) term and as a local or council unit officer shall be eligible for nomination for 400 election to the office of Secretary. 401 402

f. An officer having served more than half a term in office shall be credited with having served that 403 term and shall not be eligible for re-election to the same office. 404 405

g. Only those persons who meet the aforementioned qualifications and who have signified consent to 406 stand for election to an office may be nominated for or elected to such office. 407

408 Section 3. Nomination of Officers 409 410 a. One eligible person shall be nominated for each office by the committee on nominations. 411

412 b. Any candidate intending to be nominated from the floor must notify the state office, in 413

writing, at least (30) thirty days prior to the state convention. 414 415 416

Section 4. Election of Officers 417 418

a. Officers shall be elected biennially, in odd number years, at the annual convention by the voting body 419 of the convention except as provided in Article XVIII, Section 6. 420

421 b. Election shall be on the first day of convention, except as provided in Article XVIII, Section 6. When 422

there is but one candidate for an office, the ballot for that office may be dispensed with and election 423 held by voice vote immediately following the close of nominations. If there is more than one 424 nominee for an office, election for that office shall be by ballot on the second day of convention. A 425 majority vote shall be required for election. If there are more than two nominees for an office and a 426 nominee does not receive a majority vote on the first ballot, re-balloting shall take place on the two 427 nominees receiving the highest votes. 428

429 Section 5. Term of Office 430 431

a. Officers shall assume their duties at the close of the state convention at which they are elected. 432 433

b. All officers shall serve for a term of two (2) years or until their successors are elected, not to exceed 434 60 days. 435

436 Section 6. Vacancy in Office 437 438

a. A vacancy occurring in the office of president shall be filled for the remainder of the unexpired term 439 by the president-elect, providing the president-elect was duly elected by the convention body. 440

441 b. A vacancy occurring in the office of president-elect shall be temporarily filled by the board of 442

managers at a Special Meeting of the Board Managers’ (unless there is a regularly scheduled Board 443 of Managers Meeting) not less than ten (10) days and not more than twenty (20) days after the office 444 becomes vacant, until the next annual convention, at which time an election for that position will 445 occur. 446

447 c. In the event there is a vacancy in the office of the president, and the president-elect is an individual 448

temporarily filling the vacancy of that office according to section b above, the individual shall 449 perform the duties and exercise the powers of the president until the next convention, at which time 450 an election for both offices of president and president-elect shall be held. 451

452 d. A vacancy in any office other than president or president-elect shall be filled for the unexpired term 453

by a person elected by the board of managers. 454 455 e. If a ten (10) day notice of the election is given to the members of the board of managers, a majority of 456

the votes cast shall constitute an election. Without such notice a two-thirds (2/3) vote shall be 457 required. 458

459 f. Voting shall be by ballot if there is more than one (1) nominee for the office. 460

ARTICLE IX: DUTIES OF OFFICERS 462 463 Section 1. The president shall: 464 465

a. Be the chief executive officer of this association, subject to the powers vested in the board of 466 managers and have general charge and supervision of the business and affairs of the Pennsylvania 467 PTA. 468

Committee. 475 476 e. Select a parliamentarian to serve during the business meetings of the state convention and at such 477

other meetings as the president may designate, and to render such other services as the president may 478 deem advisable. 479

480 f. With board of managers' approval, determine the duties and areas of responsibility of board of 481

managers, the president-elect, the region directors and coordinate the work of the officers and 482 committees. 483

484 g. Submit a report of PTA work in the state for inclusion in the annual report of the National PTA. 485 486 h. Serve as an ex-officio member of all committees except the committees on nominations and 487

elections. 488 489 i. Serve as chairman of the executive committee. 490

491 j. In conjunction with the president-elect, act in emergencies between meetings of the board of 492

managers. 493 494 k. Shall appoint committees except those provided elsewhere in these bylaws, or those created by Board 495

action. 496 497

Section 2. The president-elect shall: 498 499

a. Serve as an aide to the president and perform the duties of the president in the president’s absence or 500 inability to serve. 501 502

b. Perform such other duties as may be provided for by these bylaws, prescribed by the parliamentary 503 authority, or directed by the president or the board of managers. 504

505 c. In conjunction with the president, act in emergencies between meetings of the board of managers. 506

507 d. Serve as a member of the executive committee. 508

509 e. Be ineligible to serve as a member of the Committees on Nominations and the Committee on 510

a. Record the minutes of the meetings of the Pennsylvania PTA and the board of managers. 515 516

b. Notify the officers and standing committee chairmen of their election. 517 518

c. Issue notices of meetings of the Pennsylvania PTA and the board of managers. 519 520

d. Be responsible for mailing to each member of the board of managers a copy of the minutes of all 521 meetings. 522

523 e. Conduct such correspondence as the Pennsylvania PTA or the board of managers may direct. 524

525 f. Be custodian of the records of the Pennsylvania PTA and perform such duties as prescribed by the 526

board of managers. 527 528

g. Serve as a member of the executive committee, acting as its recording secretary. 529 530

h. Perform such other duties as may be provided for by these bylaws, prescribed by the parliamentary 531 authority, or directed by the president or the board of managers. 532

533 i. The secretary may delegate duties of the secretary, except those specified in items a., g., and h. of this 534

section, to one or more staff personnel designated by the board of managers. 535 536 Section 4. The treasurer shall: 537 538

a. Present proposed budget and serve as a member of the executive committee. 539 540

b. Maintain a full account of the funds of the Pennsylvania PTA. 541 542

c. Cause to be kept a full and accurate account of the receipts and disbursements in books belonging to 543 the Pennsylvania PTA. 544

545 d. Render a written financial statement at each meeting of the board of managers. 546

547 e. Close the books at the end of the fiscal year and submit them for audit to a certified public accountant 548

designated by the board of managers, and present an annual report of the financial condition of the 549 association. 550

551 f. Have the authority to delegate duties of the treasurer, except those specified in item a. of this section, 552

to one or more staff personnel designated by the board of managers. 553 554

g. Perform such other duties as may be provided for by these bylaws, prescribed by the parliamentary 555 authority, or directed by the president or the board of managers. 556

557 Section 5. The treasurer and all other persons authorized to handle state PTA funds shall give fidelity bonds 558 in amounts determined by the board of managers. The expense of these bonds shall be paid by the 559 Pennsylvania PTA. 560 561 Section 6. All officers shall: 562 563

a. Perform the duties prescribed in the parliamentary law in addition to those outlined in these bylaws 564 and those assigned from time to time. 565

b. Deliver to their successors all official material within fourteen (14) days following the close of 566 convention at which their term of office expires. 567

568 Section 7. The Secretary, and then the Treasurer, in the absence of the President and President-Elect, or in 569 case of their inability to act, shall perform the duties and exercise the power of the President. 570

ARTICLE X: BOARD OF MANAGERS 573 574 Section 1. The affairs of the Pennsylvania PTA shall be managed by the board of managers. 575 576 Section 2. Each board member shall be a member of a local PTA chartered by Pennsylvania PTA. 577 578 Section 3. Membership 579 580

a. The members of the board shall be the elected officers, thirteen (13) region directors, eight (8) 581 chairmen of standing committees: Arts in Education; Bylaws and Policies; Family Engagement; 582 Health and Safety; Legislation and Advocacy; Membership and Extension; Resource Development; 583 Technology and Social Media. A member of the state office staff, as determined by the President, 584 shall sit with the board of managers at all regular meetings, but may be excluded from the meetings at 585 which personnel or salary schedules are considered. No vacant position shall be represented. 586

587 b. No member may hold two (2) positions on the board of managers concurrently. 588

589 Section 4. Term of office 590 591

a. Officers: Refer to Article VIII: Officers, Section 5.b. 592 593

b. All board members shall be elected for a term of two (2) years. (Convention to Convention is 594 considered one (1) year) 595 596

c. A person shall be eligible to serve for no more than two (2) terms as a region director. 597 598

d. Chairmen of standing committees shall be eligible to serve for no more than two (2) terms in the same 599 chairmanship. 600 601

e. Any (all) board members having served more than half a term shall be credited with having served a 602 full term. 603

604 f. The term of office for all board members shall automatically expire at the close of the annual 605

convention held in odd numbered years. All board members shall serve until their successors are 606 elected, not to exceed sixty (60) days, unless as provided for in Article XVIII: State Convention, 607 Section 6. 608

609 Section 5. Vacancies in non-officer positions 610 611

a. A vacancy occurring in a region director position or in a chairmanship shall be filled for the 612 unexpired term by a person elected by the board of managers. 613

614 Section 6. Duties – The board of managers shall: 615 616

a. Have authority over the affairs of the Pennsylvania PTA during the interim between its annual 617 conventions. It may not, however, modify any action taken by the state convention. 618

619 b. Have the authority to adopt and revise the annual budget of Pennsylvania PTA and approve the 620

depository for Pennsylvania PTA funds. No debt or liability shall be incurred by the board of 621 managers that has not been provided for in the accepted yearly budget. 622

623 c. Have the authority to adopt rules for the transaction of its business provided the rules do not conflict 624

with these bylaws or with any specific rule adopted by the state convention. 625

d. Select from its membership, delegate(s) and alternate(s) who with the president shall represent the 626 Pennsylvania PTA at the National PTA convention. 627

628 e. Accredit one (1) delegate to the National PTA convention for each one thousand (1,000) members or 629

major portion thereof, as shown on the records of the National PTA treasurer as of March 31. 630 631

f. Serve as program committee for the state convention. 632 633

g. Decide questions of cooperation with other state associations. 634 635

h. Determine the amount and authorize payment of fidelity bonds for the treasurer and all other persons 636 authorized to handle funds for the association. 637

638 Section 7. Cause for Dismissal 639 640

a. A member of the board of managers, who becomes ineligible, fails to abide by the board of 641

managers’ adopted Standing Rules and Policies or fails to meet their responsibilities at any time, 642

shall be removed from office by a ballot vote by the board of managers. The vote required shall be 643

by majority. 644 645 b. A member of the board of managers who is absent from two (2) consecutive or three (3) non-646

consecutive board of managers meetings within one year (convention to convention), constitutes an 647 automatic dismissal from the board of managers. 648

649 Section 8. Meetings 650 651

a. The time and place of all meetings of the board of managers shall be selected by the president. 652 653

b. At all meetings of the board, a majority of members of the board shall constitute a quorum for the 654 transaction of business. Vacant positions on the board shall not be counted in determining the 655 majority. 656 657

c. Regular meetings of the board of managers 658 659 i. Shall be held preceding and following each state convention of the Pennsylvania PTA and in the 660 fall and winter of each year. 661 662 ii. At least thirty (30) days notice of a regular meeting of the board of managers shall be given by the 663 secretary to all members. 664 665 iii. In the event of a state or national emergency, epidemic or disaster, beyond human control, the 666 President shall have the authority to determine whether or not a specific board of managers meeting 667 shall be held. In the event a specific scheduled board of managers meeting is not held, the President 668 shall call a teleconference meeting to replace that specific cancelled board of managers meeting, 669 within ten (10) days of the cancelled board of managers meeting. 670 671

d. Special meetings of the board of managers 672 673

i. May be called by the president or upon the written request of seven (7) of its members. 674 675 ii. Not less than ten (10) days notice of such a special meeting shall be given. 676 677

iii. A statement of the special business to be transacted shall be given. 678

e. Teleconference meetings of the board of managers 679 680 i. Shall be held only as additional meetings to the four (4) board of managers meetings stated in 681 Article X, Section 8 (a), not in place of them. 682

683 ii. Ten (10) days notice of teleconference meetings of the board of managers shall be given. 684

685 iii. Materials pertinent to the meeting shall be received (electronically) by all members at least three 686 (3) days in advance of the teleconference meeting; 687 688 iv. An oral roll call shall be taken at the beginning of the teleconference meeting; and 689 690

v. All voting shall be done by an oral roll call vote, with the exception of any votes by unanimous 691 consent. 692

693 Section 9. Upon the expiration of the term of office or when individuals cease to hold the position that 694 entitles them to be a member of the board, they shall automatically cease to be a member of the board and 695 shall be relieved of all duties and responsibilities related to such membership. All records, books, and other 696 materials pertaining to the position shall be turned over to the president or state PTA office, and all funds 697 pertaining to the position shall be returned to the treasurer within fourteen (14) days. Retiring board members 698 may be retained as a resource person for any project/chairmanship he may have started while serving as a 699 member of the board of managers for no more than a one-year period. While serving as a resource person in 700 an advisory capacity, he shall be reimbursed for expenses incurred for committee and board work and shall 701 maintain a non-voting status. 702 703 Section 10. Personal Liability and Indemnification of board of managers 704 705 a. The individual members of the board of managers shall not be personally liable, as such, for 706

monetary damages for any action taken unless such members has breached or failed to perform the 707 duties of his office and the breach or failure to perform constitutes self-dealing, willful misconduct or 708 recklessness. 709

710 b. The Pennsylvania PTA shall indemnify any member of the board of managers who was or is a party 711

or is threatened to be made a party to any threatened, pending or completed action or proceeding, 712 whether civil, criminal, administrative or investigative (other than an action by or in the right of the 713 Pennsylvania PTA, by reason of the fact that he is or was a member of the board of managers, against 714 expenses (including attorney fees), judgments, fines and amounts paid in settlement actually and 715 reasonably incurred by him in connection with the action or proceeding if he acted in good faith and 716 in a manner he reasonably believed to be in, or not opposed to, the best interests of the Pennsylvania 717 PTA and, with respect to any criminal proceedings, had no reasonable cause to believe his conduct 718 was unlawful. 719

ARTICLE XI: EXECUTIVE COMMITTEE 722

723 Section 1. The Executive Committee shall consist of the elected officers and three (3) at-large members of the 724 board of managers. The three (3) at-large members shall be elected by the board of managers at the post-725 convention meeting in odd numbered years. The President shall chair the Executive Committee. 726

727 Section 2. Meetings shall be held at least three (3) times per year, the date and location to be determined by 728 the President. Teleconference Meetings of the Executive Committee may be held only as additional meetings 729 to the three (3) Executive Committee meetings and shall adhere to all requirements set forth in these Bylaws. 730

g. Review the insurance program of the Pennsylvania PTA and make recommendations to the board 756 in odd numbered years; 757 758

h. Review bids for a certified public accountant to audit the records of the Pennsylvania PTA in odd 759 numbered years and make recommendations to the board for final approval; 760

761 i. Approve the Employee Manual in even numbered years; 762

763 j. Review bids for an accounting firm to perform routine financial budget management of the 764

Pennsylvania PTA and make recommendations to the board for final approval in even numbered 765 years. 766

ARTICLE XII: NATIONAL COUNCIL OF STATES REPRESENTATION 769

770 Section 1. The National Council of States member shall be appointed by the Pennsylvania PTA president for 771 a term of one (1) year. 772 773 Section 2. a. In addition to the committees specifically provided for in these bylaws, the president with board 825 approval or by the board of managers, may create and appoint special committees as are deemed 826 necessary. 827

828 Section 4. Committee on Nominations 829 830 a. A committee on nominations will be elected to nominate candidates for state officers, region 831

directors, and standing committee chairmen. 832 833

c. The committee shall elect its own chairman. 836 837 d. Three (3) additional members of the board of managers shall be elected as alternates. 838

839 e. The chairman of the committee on elections shall not be eligible to serve as chairman of the 840 committee on nominations during the same annual election year. 841 842

f. No two (2) committee members, or alternates, shall be from the same region. 843 844 g. Voting shall be by ballot. No name shall be placed in nomination without the written consent of 845

the nominee. 846 847 h. The committee will report its list of nominees for state officers, region directors, and standing 848

committee chairmen to the board of managers at the fall board meeting. A list of these nominees 849 shall be printed in the Convention Supplement of the PTA in Pennsylvania. 850

851 i. The committee is to report its list of nominees for state officers, region directors, and standing 852

committee chairmen to the convention body on the first day of the session at which time additional 853 nominations may be made from the floor provided they have given thirty (30) days prior written 854 notice to the state office of their intent to be nominated and the written consent of the nominee 855 shall have been secured. Nominations shall then be closed for that convention. 856

857 Section 5. Committee on Elections 858 859

a. A committee on elections, consisting of five (5) members of the board of managers and three (3) 860 alternates shall be elected. 861 862 b. The committee shall be elected at the winter meeting in odd numbered years. 863 864 c. Alternates may be members not serving on the board of managers. 865

866 d. The committee on elections shall: 867

868 i. have charge of the election at the state convention; 869

870 ii. be responsible for the printing of ballots, which shall show the names of all nominees for 871

ARTICLE XVII: STATE AND LOCAL RELATIONSHIPS 1007 1008 Section 1. There shall be a committee on state and local relationships consisting of five (5) members of the 1009 board of managers, appointed by the president in odd-numbered years. 1010

1011 Section 2. This committee shall review any alleged violations by local PTAs and councils of the National 1012 PTA Bylaws, the Pennsylvania PTA bylaws, or their own bylaws or other practices or activities of local PTAs 1013 and councils that may tend to defeat the Purposes and basic policies of the Pennsylvania PTA. They shall 1014 promptly report to the state board of managers the results of such review and its recommendations for action. 1015 1016 Section 3. The Pennsylvania PTA board of managers shall give due consideration to the report of the 1017 committee and shall accord the local PTA an opportunity to be heard and to respond to the report. If, upon 1018 such consideration and hearing, the Pennsylvania PTA board of managers finds a violation by a local PTA, it 1019 may, by a two-thirds (2/3) vote of all its members then in office, require the local PTA to take appropriate 1020 action within a period of time stipulated by the Pennsylvania PTA board of managers. When such a 1021 requirement has been made by the Pennsylvania PTA board of managers and if the recommended action is 1022 not taken by the local PTA within the allotted time, the Pennsylvania PTA board of managers may, by a two-1023 thirds (2/3) vote of all its members then in office, grant the local PTA an extension of time not less than six 1024 (6) weeks nor more than eighteen (18) months in which to achieve satisfactory compliance with the action 1025 required by the Pennsylvania PTA board of managers. Failing such compliance the Pennsylvania PTA board 1026 of managers may, subject to concurrence in such action by the next annual convention, withdraw the charter 1027 of the local PTA and terminate its status as a local PTA unit. 1028 1029

ARTICLE XVIII: STATE CONVENTION 1031 1032 The state convention shall be the governing body of the Pennsylvania PTA. 1033 1034 Section 1. Date and Place 1035 1036

a. A convention of the Pennsylvania PTA shall be held annually, in April, except under such conditions 1037 stated in Article XVIII, Section 5. The date and place shall be determined by the board of managers 1038 one (1) year or more in advance. 1039

1052 b. Each local PTA shall be entitled to be represented at the state convention of the Pennsylvania PTA by 1053

its president (or alternate) and one (1) accredited (or alternate) delegate for every twenty-five (25) 1054 members as shown on the records of the state treasury thirty (30) days prior to the state convention. 1055

1056 c. Each council shall be entitled to be represented at the state convention by its president or alternate. 1057

1058 d. The convention of the Pennsylvania PTA shall be open to all members upon payment of registration 1059

fee determined by the board of managers, but the privilege of making motions, debating and voting 1060 shall be limited to the voting body as defined in item a. 1061

1062 Section 3. Quorum: Fifty (50) delegates representing a majority of the regions shall constitute a quorum. 1063 1064 Section 4. The state convention shall be governed by the state bylaws and the convention standing rules. 1065 1066 Section 5. In the event of a state or national emergency, epidemic or disaster, the board of managers shall 1067 have authority to determine by a two-thirds (2/3) vote whether or not the state convention shall be held.
