1.Documents Provided for Tender Purpose 1.1 The documents specifically provided for the purpose of tendering (herein

after called “the Tender Document/Booklet”) comprise of the followings.

2. Submission of Tender Offer

2.1 The tenderer/bidder must adhere to the conditions stated in the tender documents,

and write the total prices on the “Form of Tender” and its attachment, Form

Schedule of quantities & total prices annexure-A duly filled on their company’s

letterhead in accordance with the provisions of these documents. Any tender

offer that does not comply with these provisions shall be considered null and

void.

2.2 Should there be any comments, qualifications, reservations or amendments,

alterations to specifications or conditions they must be stated in a separate letter

attached to this tender offer and indicated on the enclosed tender offer.

2.3 Tender offer must be submitted in (3) three separate wax-sealed envelopes with

the information fill out on the provided sticker together with the tender

documents for each envelope as mentioned in bellow:

a) Tender Bond Envelope

b) Technical Offer Envelope (submitted in original plus two additional copies)

c) Commercial Offer Envelope (submitted in original plus two additional copies)

The envelope (a) and (b) should have no bearing of prices anywhere. The

three (3) separate envelopes must be placed into an outer sealed envelope

clearly marked on the cover the Number of Tender, Name of Tenderer,

Submission Date, Closing Date of tender and the Title of Tender .

2.4 Alternate Options: The Tenderer may submit alternative tender offer

in addition to the original tender offer and should the tender documents

so stipulate and if the tenderer deems it to be in the interest for the

services to be executed or the project financially or technically or with

respect to delivery & completion period or for any other consideration.

These alternate tender offer(s) will be presented in separate envelopes

in the same manner as the original tender offer(s( enabling a

comprehensive evaluation of the Tender. and should be clearly marked

as alternate tender offer A, alternate tender offer B etc.

2.5 The tenderer must include the following in duly filled in his tender offer:

a. The time schedule for execution and delivery shall be clearly stated

with fixed dates, if not specified in advance in the Tender Documents.

b. Each page of tender documents shall be initialed by the principal duly

authorised to represent and bind the tenderer/bidder and stamped by

the tenderer/bidder as token of their acceptance.

c. The tenderer shall express that he has no objection to enter into a final

contract/agreement based substantially upon the contract Terms and

conditions described in this tender documents/booklet.

d. Form Letter Schedule of Quantities and Total prices.

e. The tenderer shall submit copy of annual accounts duly audited by

professional certified accountants for three years preceding.

f. A current copy of the Tenderer’s Commercial Register.

3. Filling of tender formats/Corrections & Adjustment of Errors

3.1 No erasures, alteration or additions shall be made by tenderer/bidder to the tender

Document's formats (other than filling in blanks where intended for that

purpose), unless such alteration is made in accordance with an addendum issued

as hereinafter described.

3.2 Should there be any erasure or scratching out on the Tender, it must be signed and

stamped by the tenderer.

3.3 Prices and their particulars must be typed or written in ink and should not be

written in pencil. All pages of the tender offer, especially those containing the

total prices and their term must have the stamp of the tenderer establishment

affixed to them.

3.4 The tenderer shall submit his tender offer prices in Qatari Riyals. The related

schedule of rates and prices and all other monetary statements in connection with

the tender are to be in Qatari Riyals.

3.5 The name of the responsible person signing must be typed or printed below

signature. The official stamp of the tenderer must be fixed.

3.6 In case of any differences, ambiguity or discrepancy between the original and

other copies of the tender offer, the original documents shall prevail.

4. All questions/query or requests for clarifications pertaining to commercial,

contractual or technical matters of this tender prior to submission of duly completed

tender offer shall be addressed as per Sub-Section 4.3 below in writing, quoting the

tender number and title.

4.1 Tenderer’s query should reach in writing thru email adress of the Tenders &

Procurement Committee(T&PC) at [email protected] and shall be addressed

as mentioned in Sub-Section 4.3 below.

4.2 Query shall be considered only if reached before Seven (7) days from the closing

date of this tender, any query reached therafter may be ignored.

Tender General Conditions: 1. Validity of Tender Offer

1.1 Tender offer must remain valid for the acceptance

for a period of 90 days commencing from the

closing date of this tender.

1.2 The tenderer shall submit his tender offer in Qatari Riyals. The

related lump-sum price in the form of Schedule of rates & prices

and in the form of tender and all other monetary statements in

connection with the tender as described in tender documents.

1.3 The tender must include fixed lump sum prices and also

must be including all expenses such as Taxes & other

expenses incurred.

1.4 Unit rate shall be indicated, the total prices quoted in )tender

form) attached herein, shall only be considered and no

attention shall be given to any other figures or errors

committed by the Tenderer in calculating his total price. The

Tenderer shall not be allowed to make any amendments to his

price after submitting his tender. Should the arithmetic error

exceed 5% of total price. The tender offer shall be excluded

unless QNCC decides to accept it for reasons of public interest.

Should the amount stated in words differ from the amount

stated in figures, the lesser amount will be endorsed. Without

prejudice to the principle of accepting the lump-sum price, and

if it was ascertained after examining the Tender Offer that the

individual prices & their items did not correspond to the lump-

sum price, the lump-sum price would be endorsed, unless the

error therein involved an increase over the total of the

individual prices & their items, in which case the correctional

would be endorsed.

1.5 The tenderer may not withdraw his tender offer or amend his

tender offer after the closing date of tender and he shall be

committed to the prices and conditions stated in his tender

offer before the amendment. In the event of withdrawal of the

tender offer, he shall be subject to the application of the

following provision;

1.6 The tenderer should undertakes in writing in case of the tender

awarded to him that he accepts signing the final contract

according to the terms & conditions defined in the Contract

given in this tender documents/booklet.

1.7 The tenderer undertakes to load, transport and discharge the

contructual quantities of the required raw clay as per the

daily quantity defined in the Contract.

1.8 The tenderer, to prove that he carried out earlier, a similar

contracting services and accomplished successfully

according to the requirements of its customers.

1.9 The tenderer shall execute the Contract himself and he shall not

assign it in whole or in part or sub-let it wholly or partially without

the prior written consent of the Qatar National Cement. If permitted by the company to give up/waive the whole Contract or

part thereof, the Contractor shall guarantee the proper execution of

the contractual obligations by the assignee. The Contractor and the assignee shall be jointly responsible on sub-letting.

1.10 The tenderer must submit within his tender, a recent statement

approved by the Traffic and Patrols Department - Ministry of

Interior of Qatar, exclusively for the machinery, equipment and

dump trucks registered in the name of the tenderer, and willing to be used in the execution of the contracting services subject of this

tender. in case of tenderer fails to submitted, the Tenders &

purchases committee may exclude bid.

1.11 The tenderer must adhere to the conditions stated in these

tender documents & write the prices and its individuals in

details on the form of tender and schedule of the Rates and

prices as attached herein the tender documents. Any tender

offer that does not comply with these provisions shall be

considered null & void.

2. TENDER BOND:

2.1 The tenderer shall presents a Tender Bond/bank letter of guarantee on his

account within limited amount of QAR90,000/=(Qatari Riyals Ninety

Thousand) should be issued by one of first class reputable bank operating

in Qatar acceptable to the Company, and it must be unconditional and

valid for (120) days commencing from the closing date and it must be valid for the entire performance and subject to renew its validity period at

the first demand from QNCC/Company. The Tender and Procurement

Committee reserves the right to exclude any tender offer which does not

include the required tender bond and without the slightest objection by

the tenderer.

2.2 In case of awarding the tender, the successful tenderer will be required to

submit bank guarantee/performance bond as per the format provided in this

tender documents to be issued in favor of “the Company”, equals 10%

(ten percent) of his tender offer total lump sum price, issued by one of a

first class reputable bank operating in Qatar acceptable to the Company

and within fixed period mentioned in the letter of award of tender. The

performance bond shall become effective before or from signing date of

the Contract and its validity period shall cover the Contract execution

period, plus a consequent period of Sixty (60) days, guarantee against “the Contractor” fulfillment of his all obligations under the terms and

condations of Contract.

3. COMPANY’S RIGHTS: “Qatar National Cement Company” has the right for the following:

3.1 To cancel the tender without giving any reason(s) and/or

award it on partial basis to more than one tenderer and any

tenderer is expected & deemed to have prior agreed on

awarding a part of the works & quantity subject to tender at

the same prices given in his tender offer in this tender.

3.2 Is not committed to accept any tender offer(s) with the least price.

3.3 “The Company” has the right to exclude tender offer(s) who are

not conforming to conditions of this tender and/or tender offer(s)

that are submitted after the closing date and/or submitted without

tender bond.

3.4 Exclude any tender offer when it is proven that the tenderer

doesn’t have commercial register as the conditions of the Qatari

Commercial Law.

3.5 The tenderer has to submit a photocopy of his income tax card

along-with his tender offer, in case of tenderer fails to

submitted then “The Company” has the right to deduct from

Contract value the Income Tax amount due under contract as

per Income Tax Law No. 21/2009.

3.6 “The Company” shall have the right to increase or decrease the

quantities of raw clay agreed with ratio not exceed ± 20% out of the total quantites during the execution period in accordance with the

terms and conditions of the Contrac.

3-7 “The Company” shall have entitled in case of abnormal stoppage of one or

more of “The Company’s” cement plants, decrease the quantities of raw

clay agreed the latter shall notify the Contractor with that, the Contractor

shall not be entitled to not accept that and claim for any compensation from the Company for the decreased materials under this condition.

4. PAYMENT CONDITIONS:

4-1 "The Company" shall pay to the Contractor On a monthly basis as

per the received contractor's invoice for the delivered quantity,

within forty five (45) days from the receipt of the claim invoice.

4-2 The Company may suspend payment in case of suspension of the

Contractor for the execution of the Contract or failure to do so, and

the Company” has the right to deduct any amounts due from the Contractor on the occasion of the execution of the Contract.

5- LANGUAGE OF TENDER OFFER:

5.1 The first Language of the tender offer is the Arabic Language, if

necessary the English Language will consider as second language

of tender offer and in case of a conflict found between the Arabic

text and English Text, the Arabic text shall prevail.

5.2 In case of any dispute arising between “the Contractor” and “The

Company”, the two Parties shall first make an attempt to settle the same

amicably. If the dispute cannot be settled, the same then it shall be referred

characteristics of its nature, condition, environment thereon, we

contracting servicess for extracting, loosening and Loading of 900,000

tons of Raw Clay, within a period of twelve (12) months at daily

average quantity of 3,500 tons and monthly averge quantities of 84,000

tons, from the Comppany’s quarry and transporting for unloading in the

Company’s Cement Plants @ Ummbab as per specs., particular

technical terms stipulated in these “Tender Documents” accepted and

signed by us, and on the basis of rate price per QAR ___ per 1 ton and

I. Scope of Tender (SOT)

Supply of total quantities of raw clay material in the amount of 900,000 tons

(Nine thousand tons), which is the Company may request to increase or

decrease it, but not more than ±20% of the tender's total quantities during the

period of implementation of the transport and supply services contract, and to

be delivered from the company's quarry at Wadi al-Hawla to its Cement

Plants in Umm Bab with unloading, the implementation period of this

Contracting for transporting & Supplying is twelve (12) months, and at

average daily & monthly quantity for transporting and supplying as per

specified herein below:

The scope of the tender shall also includes of the implementation of the extraction of raw clay from the quarry and mixing by loosening clay

accumulation before its being loaded on dump trucks, and it should these

proccess start at least fifteen (15) days prior the date fixed for the commencement of transport operations and supply of daily and monthly

quantities of raw clay mentioned in above, The loading operations

conditional to use a dump trucks (Dumper) for transporting and unloading the daily mud quantities of raw clay from quarry site to the cement plants

at Ummbab, and the distance between both sites is about 25 km.

II. Particular Technical Conditions 1. Providing the loading sites with enough & adequate

Shovels (not less than 3 Shovels CAT 966) with stand by

provision in mixing from different locations .

2. Providing the loading sites with enough & adequate numbers

of Heavy Duty Bulldozers for removal of overburden whatever

the thickness (it can be observed from site visit).

3. Commencement of Extraction of raw clay and mixing by

loosening accumulation to be containued within the working

weekly days except on Fridays and national religious holidays etc..

4. The Loading & Transporting working days are calculated on basis

of normal working days without Fridays, and national religious

holidays etc.

5. Working time schedules starts at Five O’clock in the

morning until Five O’clock evening daily.

6. The work should strictly execute as per instructions of QNCC

representative (Head of Quarries Section) and Quarry Engineers on

site(s) work.

7. Must comply with the traffic instructions issued by the Ministry of

Interior, applied on the use of heavy trucks on roads by and their

limited cargo weights.

8. Should be adhered to load raw clay only, without any

other materials

9. However, if the company needed to continue to work on Fridays

and national holidays and religious festivals, to increase the

quantities of raw clay, we shall implement these days to meet the

additional needs without any increase in price for a specified price

and agreed to the contract.

10. The bidder must make sure himself that he must be briefed on all the

terms and conditions of the contract, and aware of the nature and contract work sites before submitting its bid in the tender, The tenderer may not

tender after submitting the claim not being able to identify the nature and

circumstances of the workplace and the implementation of entrepreneurship.

11. Commitment to the maintenance of the roads within the

Quarry and access road to clay stocks inside QNCC Ummbab

therefore provides the equipment necessary to do so.

12. The period of implementation of this contracting to supply the

total quantities of raw clay is Twelve (12) months, so that the

extraction and mixing of the raw clay begins with the mitigation of

its stonery at least 15 days before the date fixed to start the

transport operations for the supply of daily quantities with

unloading in the company's factories at Umm Bab.

13. Providing a representative from contractor at the sites who is active

and has decision-making authority to coordinate with the company’s

representative.

14. Commitment to specific ways to transfer from quarries

to the places of discharge.

15. Obtain a valid driver’s and dumpers license. The Company has to get a

copy of these licenses and the names of the drivers and dumpers numbers.

16. In all matter of dispute in regards, the execution of operation of

the services and the decision of QNCC management will be final

and binding.

17. Compliance with the environmental aspects in regards the

execution and extracting operation.

18. To identify particular region inside clay quarry dedicated to do the

necessary maintenance required for the mechanisms and the

equipment used to carry out operations of this contract works, and

that based on the prior company approval, and that is installed

visible and legible sign boards, indicate clearly that it is dedicated

area for carrying out the maintenance area, taking into account the

obligation to maintain to always be neat and clean, according to

the requirements and guidance of the Ministry of environment.
