INTRODUCTION 1.

OVERVIEW 1.1

Parramatta Park Trust (The Trust) invites interested entities to respond to this Request for Tender (RFT). This request is to submit a tender proposal subject to the RFT Conditions which form part of this RFT.

The primary obligation of any Tenderer is to demonstrate their ability to provide quality services to The Trust within the allocated completion timeframes in accordance with the requirements of the RFT.

This RFT comprises of the following sections:

PURPOSE OF TENDER 1.2

The Trust aims to upgrade The Gardens Precinct, improving visitor amenity, whilst facilitating the site for a range of flexible uses, including community events. The Park is a cultural landscape of National significance and is inscribed on UNESCO’s World Heritage List and is also listed on the National Heritage List and on the State Heritage Register.

Stage 1 works are designed to rationalise the Park entrance from O’Connell Street, creating a formal promenade to Old Government House, whist activating the Murray Gardens Precinct for greater use.

The following is a summary of the proposed Gardens Precinct Stage 1 works and subject of this RFT:

a) Replacement of the existing promenade, including sandstone and decomposed granite surfaces;

b) Rationalisation of existing pedestrian conditions including reclamation of pedestrian zones and feature granite setts to key pedestrian crossings;

c) Existing creek improvement and revegetation;

d) Feature trees and garden beds;

e) Upgrade of Park’s seating amenities;

f) Formalising connections to Old Government House through landscape elements.

2. BACKGROUND INFORMATION

PARKLAND AREAS 2.1

Parramatta Park (The Park) is located on the Parramatta River, on a small hill overlooking the City of Parramatta (see Figure 1 ). It is one of Australia's most important cultural landscapes and is inscribed on the UNESCO’s World Heritage List. The Park attracts over 1.7 million visitors annually from school and community club sport events, recreational users, as well as from hosting major music festivals and events. Facilities within the park include playgrounds, sporting fields, BBQ and picnic areas, the Parramatta Park Café and Event Centre and the Macquarie Street tea rooms. The Park is managed by Parramatta Park Trust (The Trust) under the provisions of the Parramatta Park Trust Act 2001 with the aim of conserving the historic values harmoniously co-existing with recreational facilities and integrated with the surrounding environment. DEVELOPMENT APPROVAL 2.2

For the purposes of these works, The Trust is the determining authority under Part 5 of the Environmental Planning and Assessment Act 1979 (EP&A Act). This is in accordance with the provisions of the State Environmental Planning Policy (Infrastructure) 2007 (SEPP Infrastructure. An approved Review of Environmental Factors (REF) is available for reference upon request.

Heritage

Aboriginal: The Gardens area contains for archaeologically sensitive Parramatta Sand Sheet (PSS). The PSS has been determined to be a component of the wider culturally significant landscape by the Aboriginal community. The Trust is currently waiting for an Aboriginal Heritage Impact Permit (AHIP) to be granted by the Office of Environment and Heritage (OEH) to allow proposed works to proceed. This is anticipated to be received in February 2016.

Heritage: The site is listed on the State Heritage Register and requires approval in accordance with section 57(1) of the Act. The Trust is currently waiting on Heritage approval of the section 60 application for the works from The Office of Environment and Heritage (OEH). This approval is anticipated to be received in February 2016.

Works cannot commence prior to receiving both the section 60 and the AHIP approvals. Hence, the works outlined in this tender may be subject to changes to be discussed with the successful proponent prior to commence and based on largely on any conditions which may be imposed as part of the section 60 approval. The successful contractor will be required to work closely with an excavation director (to be appointed by the Trust) throughout the duration of the works. An allowance to liaise with this consultant should be incorporated into the tender offer.

PARK USE AND OPERATIONS 2.3

The Trust will engage a consultant to undertake archaeological investigations and monitoring during the works. The successful tenderer will be required to assist where possible with shared excavation facilities and amenities to undertake these investigations. The Trust expects coordination between the successful proponent and the archaeologists to maximise efficiency and achieve the best outcomes for the project. The successful tenderer will be required to complete an Archaeological induction prior to site establishment.

NEIGHBOURS AND EVENTS 2.4

The park has an annual schedule of events in different areas; the preferred tenderer is required to work with the PAP to minimise disturbance to event planning.

The National Trust is the adjacent landowner, currently managing the operations of Old Government House. The successful tenderer is required to liaise with this stakeholder during construction to minimise disturbance to their operations. This should be through the PAP.

3. CONTRACT

CONTRACT TERMS 3.1

The Contract will comprise of two packages of works (Completion milestones). Delivery staging will be defined under each package to reflect ongoing and forecast program of capital works and will be subject to modification at the sole discretion of PPT.

The Trust anticipates a contract term of 18 months from the time of award of the contract.

Given the proposed delivery program and the duration between the commencement of milestones 1 and 2, tender prices for milestone 2 works will be subject to review based upon CPI rates between the date of award and commencement of works and negotiation with PPT.

COMPLETION MILESTONES / AREAS OF WORK 3.3

Figure 3 identifies the four separable portions of work, spread across two milestones – Milestone 1 (SP1, 3, 4) and Milestone 2 (SP2). The existing Murray Gardens area, located west of SP3 is the preferred location for onsite storage and site offices.

TENDER SELECTION 3.4

The tenderer must provide all the required information requested in the tender documents including the tender evaluation forms and operational plan requirements. The Tender Evaluation Panel will use a weighting system when deciding on the successful Contractor using price and non-price criteria, taking into account all amounts quoted for regular, periodic works and the schedule of Lump Sum Items and Rates.

PRE TENDER MEETING 3.5

A pre-tender meeting will be held on Monday 30th of November 2015 at The Gardens. Attendance is not mandatory, but is encouraged. Interested tenderers will need to register attendance with the contact person by Thursday 26th of November.

Tenderers are also encouraged to familiarise themselves with the park prior to the close of tender. The park can be accessed during normal hours of operation 7am – 6pm Monday to Sunday via access from the Macquarie St Gate.

QUALITY ASSURANCE 3.6

The design and detailing of the promenade is critical to the overall vision for the Gardens Precinct works and greater Old Government House setting. Tenderers will be required to demonstrate previous delivery of comparable works and show commitment to quality control as part of the implementation.

PROGRAM 3.7

An indicative program to deliver the preliminary order of works is outlined below. As part of their submission, the Tenderer will demonstrate an ability to achieve the key milestones and delivery dates for individual items.

The proposed sequencing of construction works must consider the George Street Gatehouse tenancy (located on the O’Connell Street boundary). The successful tenderer will demonstrate an ability to maintain access to the café during works, while submitting a program showing how the key milestones will be met. The program will need to correlate to the proposed methodology. A final delivery program will be submitted by the successful Tenderer within a week of appointment.

EVALUATION CRITERIA 3.8

The following Evaluation Criteria will be used as the basis for the evaluation of Tenders: Experience and Technical Skills

• Expertise and experience of fabrication and installation teams (inclusive of Subcontractors);

• Experience in working in sensitive Heritage sites;

• Demonstrated experience installing high quality promenades and plazas; • Demonstrated experience working with Principal’s Nominated subcontractors as part of

an overall construction team; • Strong experience in other open space and recreation projects; • Demonstrated WHS management systems; • Demonstrated technical skills of the individuals working on the project; and • Tenderers should provide at least 3 examples of specific, relevant projects that each of

the nominated team members have worked on. Time Performance

• Demonstrated ability to deliver projects in a timely manner; • Acknowledgement of key milestones and completion dates; • Ability to achieve delivery and installation of major lead time items to meet milestones; • The ability of the methodology to comply with the project program, identify key program

risks and proposed mitigation measures. • In consideration of the proposed timing to deliver multiple items under each Completion

Milestone, tenderers are expected to demonstrate suitably the capacity to deliver the program of works.

Methodology/Approach

• Demonstrated experience in preparing and executing installation (‘construction’) methodologies, environmental and design documentation;

• Demonstrated ability in applying industry best practice fabrication and installation techniques;

• Demonstrated ability in undertaking regrading and creek restorations works; • Demonstrated ability and understanding of environmental management during

construction works, specifically sediment control measures; • Detailed program to deliver the preliminary order; and • Identification of key project risks and how these will be mitigated.

Value of Financial Offer The value of financial offer is the proposed total cost to deliver Completion Milestones 1 and 2. Similarly, value will be assessed for delivery of individual items (Schedule of Rates) to fulfil changes in deliverable items. Tenderers will demonstrate that their approach to the delivery of the works represents value for money. Note that The Trust is not bound to accept the lowest or any tender on the basis of financial offer alone.

Tenderers are required to complete and submit the Schedule of Lump Sum Price.

INFORMATION TO BE PROVIDED 3.9

Tenderers shall provide the following information as a minimum requirement:

• a Tender proposal that addresses each point of the evaluation criteria demonstrating the tenderers ability to deliver the specified works;

• Recent examples of promenades, plazas, or public paved spaces demonstrating the quality of work to be provided for this project;

• Recent examples of creek restoration or revegetation works, demonstrating environmental management during works;

• A detailed traffic control plan addressing the management of traffic during milestone 2 works;

• a description of the role of key team members and sub-contractors; o a CV ‘snap shot’ for each key team member

• all returnable schedules must be fully completed and clearly note any qualifications. NOTE – Submissions are to be no more than 20 pages plus returnable schedules.

4. PRINCIPAL’S REQUIREMENTS

CONTRACTOR’S RESPONSIBILITIES 4.1

The contractor shall carry out all work necessary to supply and install all elements shown in the complete list of drawings to be reviewed as part of this tender, included in Section F – Drawings and Specifications.

Construct, fabricate, supply, manufacture, store, deliver, install, commission and test as appropriate all components of the Works as necessary and in accordance with the Contract:

• Provide all materials, labour, supervision, plant, equipment (including scaffold and temporary lighting), fixings and all other incidental items which may be necessary to complete the Works in accordance with the Contract;

• Provide all specified and all other necessary support structures, frames, brackets or mouldings to support, build and install all structural elements included in the Works;

• Verify and be responsible for all dimensions and conditions on the job prior to manufacture, including structural, engineering and footing details and the strength and suitability of materials specified for each element. The Contractor shall notify the Trust of any variations from the dimensions and conditions shown by these and any subsequent drawings. If changes are requested they should be submitted as drawings for approval prior to production;

• Provide quality management services though all stages of the landscape and construction works.

• Provide and ensure the availability of all labour, materials, equipment plant and managerial resources necessary to conduct the Contract works in a safe, effective and timely manner;

• Construct, procure, fabricate and install all elements of the contract to the specifications as stated in the Tender Specifications and drawings; and

• The contractor accepts full responsibility for its performance under the Contract. The approval of the Trust shall be sought before undertaking alternative practices, methodologies and task, beyond what is defined within the Tender Specifications and Drawings.

ESTABLISHMENT 4.2

Prior to commencement of site works, the Contractor shall carry out all necessary activities including the following:

• familiarise themselves with the site and scope of works, including attend a site induction with The Trust’s staff. The timing for this meetings shall be determined following the appointment of the successful Contractor;

• engage all sub-contracts (if applicable) and familiarise with site conditions and requirements;

• procure all necessary equipment, consumables and other resources; • carry out all pre condition audit checks on any works within this contract; and • confirm the works program in terms of quality, resources, efficiency, specified

outcomes.

SITE INDUCTION 4.3

Following appointment, the Contractor’s key personnel and installation staff shall attend a site induction meeting/walkover to be held with The Trust at an agreed time.

ACCESS 4.4

The Contractor will be required to provide a detailed traffic management plan for the duration of the works. Any modifications to this plan as a result of periodic works will be the responsibility of the contractor. All traffic management (and safety) works and requirements are to be incorporated into the Tenderers offer.

Heavy Vehicle Access - No access of heavy vehicles will be allowed to/from Macquarie Street. All heavy vehicle access will be via Queens Road (open to all vehicles between 10am – 2pm daily). A key will be provided for access at other times. It will be the responsibility of the Contractor to manage the safety of park users and non-construction traffic at all times. Queens Road should be utilised for all major deliveries and heavy vehicles entering the park. Consideration should be given to traffic free days, major events within the park, maintenance activities and construction works being undertaken elsewhere in the park.

Light Vehicle Access - Access to the parklands will be through the corner of Pitt Street and Macquarie Street for all light vehicles.

Further, traffic management plans should be implemented to minimise impacts on park users. No closure to the park will occur to accommodate the proposed works.

TEMPORARY SITE FENCING 4.5

The Contractor will be responsible for the security of the work site and for preventing access to the site by unauthorised persons. Erect and maintain signs warning of prohibited entry.

The Contractor shall install site fencing along the works site boundaries as agreed with the Principal’s Representative, prior to commencement of the works. A wind barrier cover to all perimeter fencing and gates is required. The wind barrier is to extend from ground level to 1800mm height and be attached to inside face of fence and fixed securely at 900 centres in both directions. The wind barrier shall be a loose weave geosynthetic material having a 40% porosity and sufficient strength to withstand tearing, especially at fixings, under repeated high wind conditions.

Temporary site security fencing and gates are to be a minimum of 1800mm high galvanised welded mesh secured to purpose designed posts, complete with coupling clamps, bracing panels and above ground concrete support footings at frequented intervals adequate to support fence and wind barrier.

The Trust requires that temporary fencing is supported by a Design Certificate. This Design Certificate shall clearly address all site configurations of the fence, methods of bracing and application of kentledge/ballast. The certificate must consider wind loads and related response actions should wind exceed the rated capacity of the fence under the given configuration. The fence must be installed by the contractor to a state that does not pose a hazard and risk to members of the public or workers – this includes but is not limited to proper application of all components that ensure the fence stability and integrity.

Fence suppliers and installers shall note that the Trust may request additional engineering assessment of fence in its erected state onsite should concerns about its integrity arise.

CONTINUITY OF SERVICE 4.6

The nominated Contractor must be able to demonstrate continuity of service throughout the duration of the contract period i.e. availability of fabrication and installation services (inclusive of subcontractors).

It is expected that the contractor will demonstrate contingency arrangements and availability of staff and resources as a component of their tender submission.

MEETINGS 4.7

Inception and site meeting shall be held between The Trust and the Contractor to ensure coordination of all works under the Contract. Meeting times and locations will be coordinated between The Trust and the appointed Contractor. It is expected that all meetings with The Trust and design team will form a component of the Tenderer’s offer.

PERFORMANCE MANAGEMENT 4.8

The Trust shall be responsible for awarding Completion of all works. Under GC21 completion is defects free. A Completion inspection shall be undertaken with The Trust and the Contractor following notification of completion of works. The Trust representatives may undertake site inspections during installation works. Such inspections may be undertaken without notice.

Failure of the Contractor to meet the agreed standards of work may result in withholding of Completion or Termination of the Agreement.

Following an inspection it shall be the responsibility of the Contractor to resolve any defects at no cost to the Trust. If required, additional inspections and follow up meetings shall be held between the Trust and the Contractor to achieve rectification of defects and ensure quality standards are maintained for the balance of the Contract period.

RECTIFICATION OF DAMAGE 4.9

The Contractor must conduct the required scope of works in a manner that avoids any damage to public or private property. Should damage be incurred the contractor shall be responsible for rectifying any such damage caused and returning such property to its pre-existing condition at their own cost. Where such damage creates unsafe conditions the contractor will immediately take action to exclude the area and undertake the required works on an urgent basis.

PROVISION PLANT AND EQUIPMENT 4.10

The Contractor is required to provide resources sufficient to complete the works specified under the contract. In particular the Service Provider must have plant and equipment that is capable of meeting the agreed standard of work whilst operating in a safe manner.

The Trust’s property or equipment is unavailable for use by the Contractor unless otherwise authorised.

The contractor must provide accommodation for all operations, staff, administration, plant, equipment, material storage and housing and any other facilities required for the provision of services under this contract.

EQUIPMENT AND STORAGE 4.11

It is the responsibility of the Contractor to manage and operate plant and machinery in a manner which is safe to park users and staff. Storage of equipment on site unattended shall only be accepted with prior approval by The Trust. Equipment storage requirements shall be outlined within a construction management plan to be prepared by the Contractor and approved by The Trust prior to commencement of site works.

Should it be necessary for the Contractors machinery and equipment to remain onsite overnight or for extended periods of time unattended, the Contractor shall be responsible for providing a secure worksite inclusive of fencing and storage.

The surrounds of the work site are to be maintained to reduce the risk of fire and public hazards.

No rubbish including stored general waste, building materials and scrap metal are to be kept on the site. Dangerous chemicals and flammable liquids are kept locked at all times in accordance with NSW Work cover WHS regulations and associated regulations.

EXCLUSION ZONES INCLUDING BARRIERS 4.12

When installing barriers to indicate works are occurring or excluding access to an area for the duration of a maintenance period, the contractor is to ensure:

• that any barrier is appropriate to the risk, hazard or works to protect visitors from or to be protected;

• there are no underground services that may be damaged and rectify the damage if it occurs;

• the barrier is maintained in a good condition for the required time;

• That any barrier is neat, tidy and placed in such a way as to limit exclusion to the immediate area of concern and not generally impede use of tracks, paths or facilities other than those intended and that pedestrian, cycle and vehicle trafficable routes remain safe at all times; and

• appropriate signage supplied by the Trust is affixed and remains on the barrier for the duration of its erection.

VEHICLES 4.13

The Contractor must plan and perform the Services so as to minimise disruptions to Park users and conduct the Services in a manner that avoids unnecessary inconvenience, or disruption to the proper performance of any lawful activities occurring at the time, or causes a threat to the health or physical wellbeing of the public.

The Contractor must:

• abide by the Trust’s approved traffic management plan;

• avoid undue disruption to vehicles and pedestrians;

• avoid undue disruption to public access and amenity;

• remove plant and equipment immobilised due to breakdown within 24 hours ;

• avoid offensive noise generation;

• vehicles/equipment which are fit for purpose and in safe and good condition;

• operate vehicles and equipment lawfully and in a safe manner;

• Vehicle and equipment movements must be restricted to avoid damage to park assets including turf. The Service Provider will bear the costs of any repairs for such damage;

• not enter private property unless authorised by the landowner or the Trust; and

• utilise signs, barriers or screens where it is necessary to protect pedestrians from vehicles, Trust or private property.

ACCESS 4.14

Security Key System – The Contractor shall be provided with Trust keys exclusively for access to the Park for the purposes of providing the services as specified. The Trust will provide sufficient keys to ensure that the Contractor can satisfy the contract specifications.

Security and maintenance of Park keys is the responsibility of the Contractor from the Contract Commencement Date to the Contract Termination Date. The Contractor will be responsible for the costs associated with:

• provision of additional keys or replacement keys in event of theft, loss or damage; and

• re-keying of Park locks in the event of an incident arising from the Contractor’s negligence, where the integrity of the Park’s security and locking system is placed at risk or is no longer secure and effective.

The loss of keys by the Contractor’s staff or sub-contractors must be reported immediately to The Trust.

SAFETY HAZARDS 4.15

The Contractor must report any hazards and/or safety concerns to the Trust within 24 hours unless the hazard is considered in need of emergency treatment, in which case immediate notification is required and the hazard made safe or access excluded If rectification work is covered in the scope of the contract, the Contractor is to rectify the hazard.

REGULATORY REQUIREMENTS 4.16

The Contractor is to observe all Commonwealth, State and Local Government legislative requirements.

Requirements may include hygiene, environmental and occupational health and safety requirements and extend to such considerations as processing, handling, storing, using, disposing of and transporting various materials and substances.

The Contractor must strictly observe such requirements and bear any associated costs including business registration and licensing costs. The Trust may require the Contractor to provide evidence confirming the satisfaction of these requirements both before the start of the Contract and during the course of the Contract.

ENVIRONMENT 4.17

Protection of the Environment – The services must be performed in such a manner as to avoid nuisance and/or damage (including noise) to the natural and built environment. The successful contractor will need to discuss The Gardens construction compound area and access with The Trust.

All works performed must be in compliance with the relevant applicable State, Commonwealth and Local Environmental Legislation, Regulations and Codes including the Protection of the Environment Operations Act 1997, Heritage Act 1977, and Environmental Planning & Assessment Act 1979.

With regard to Noise compliance all mechanical equipment must be rated 75dba or under and perform to this rating. The Trust reserves the right to request that the Contractor remove any equipment outside of this requirement and replace with that appropriately rated item.

The Contractor must comply with all statutory requirements and obtain licenses/agreements with any relevant Local or State Government authorities. Furthermore, the Contractor must meet all the environmental conditions imposed on the operation by relevant authorities.

Environmental Damage Avoidance & Mitigation – The Contractor must plan and perform the Services to avoid erosion, contamination and sedimentation of the parks and recreation areas and surrounding environment.

All levels of management should be aware of the range of best practice environmentally sound techniques available to them, and demonstrate that informed choices have been made and are regularly reviewed.

• Minimise disturbance and clearance of flora and fauna;

• Prevent weed infestation into native vegetation areas;

• Avoid disruption or modification of natural or pre-existing drainage;

• Protect soil and water from contamination;

• Minimise and control soil erosion;

• Protect sites of cultural or heritage significance as identified by the Trust;

• Pesticide use should be minimised and justified;

• Energy conservation, pollution reduction, resource conservation and waste recycling should be employed where possible; and

• Initiate waste minimization techniques.

Noxious and Hazardous Litter – The Contractor is aware that litter such as syringes and other sharps may be present in the Park. Should hazardous litter or waste impeded the specified works, it is expected that the Contractor shall remove the waste appropriately and/or notify PPT immediately.

Use Of water – The Contractor may utilise water and water points and connections within the Park only for the purposes of meeting the specifications of the Contract. The Contractor must abide by all NSW Government Acts and Regulations and Sydney Water Corporation regulations and restrictions in the use of such water and the performance of the Contract. The contractor is responsible for obtaining any necessary permits or exemptions arising from Water Restriction Regulations

1.2 NSW GOVERNMENT CODE OF PRACTICE FOR PROCUREMENT

Tenderers must comply with the NSW Government Code of Practice for Procurement, which is available on the ProcurePoint website.

Lodgement of a tender is evidence of the Tenderer’s agreement to comply with the Code for the duration of any contract awarded as a result of the tender process. If a tenderer fails to comply with the Code, the Principal may take the failure into account when considering this or any subsequent tender from the tenderer, and may pass over such the tender.

1.3 CONTRACTS AND SITE

CONTRACTS

By tendering the Tenderers agree to carry out work at any location within Parramatta Park. The quantities specified and the Schedule of Lump Sum Items represent the preliminary order initial required under any Contract. Modifications to these orders may be made at the discretion of the Trust. Changes will be discussed with the nominated Contractor at such time.

Should the Trust find it necessary to review (and amend) items under the Completion Milestones, a quotation will be requested from the nominated Contractor. The Contractor’s tendered rates and lump sums would be used for the purpose of quotation in response.

The number and timing of ‘Requests for Quotation’ issued to the Contractor will be at the absolute discretion of the Trust, and may take into account value for money, and a Contractor’s assessed capability, including resources, ability to meet the required program/requirements and past performance.

The Trust will reserve the right to directly negotiate with the successful Tenderer for the continued engagement to deliver the works for Completion Milestones 2 based on their performance during the delivery of the works for Completion Milestone 1.

The performance of the Contractor will be reviewed throughout the duration of the contract. Poor performance may result in termination of the contract.

The Contract Documents for any Contract will involve:

• the Contractor’s tender, including the sum for initial order and then a Schedule of Rates for all items, to be accepted by the Principal;

• other documents describing the accepted scope of work and defining the Works, and any other agreed conditions; and

• any other Contract Documents specified in tender documents, including the General Conditions of Contract, the Preliminaries and the Technical Specification.

OTHER SITE ACTIVITIES

The Parramatta Park will continue in full operation during the carrying out of the Works. Other site activities which may affect the proposed works include:

2. TENDERER ELIGIBILITY

2.1 ACCEPTABLE LEGAL ENTITIES

The Principal contracts only with recognised and acceptable legal entities. The Principal does not contract with firms under any form of external administration. Any tender submitted by an unincorporated business such as a sole trader, partnership, or business name must identify the legal entity that proposes to enter the contract.

2.2 QUALITY MANAGEMENT

The Principal may elect to pass over a tender from a tenderer that does not demonstrate the capacity to systematically plan and manage the quality of its work in accordance with the NSW Government Quality Management Systems Guidelines, which are available on the ProcurePoint website.

Submit with the Tender the information identified in Schedule of Quality Management Information .

2.3 WORK HEALTH AND SAFETY MANAGEMENT

The Tenderer warrants to The Trust that, as at the date of the Tender and throughout the provision of services:

• The Tenderer has an established and approved WH&S Management system developed to comply with the NSW Work Health & Safety Act and Regulations.

• The successful Tenderer will submit Safe Work Methods Statements to The Trust, satisfying WH&S requirements and regulations prior to commencement of services.

Submit with the Tender the information identified in Schedule of Work Health and Safety Management Information .

A tender will not be accepted from a tenderer that does not have a Corporate WHS Management System complying with the WHSM Guidelines and accredited by a NSW Government Construction Agency.

2.4 ENVIRONMENTAL MANAGEMENT

Tenderers must demonstrate their capacity to manage environmental matters in accordance with the NSW Government Environmental Management Systems Guidelines (EMS Guidelines) available on the ProcurePoint website.

2.5 FINANCIAL ASSESSMENT CRITERIA

The main criteria considered in financial assessment of tenderers are:

• Net Worth (total assets, excluding any assets of company directors, less total liabilities less intangible assets);

• Current Ratio (ratio of current assets to current liabilities); and

• Working Capital (current assets less current liabilities).

The Principal considers tenders with the following financial capacity, and no other significant detrimental financial characteristics to be financially satisfactory in respect of tenders:

• Net Worth exceeds 5% of the Contract Sum or initial Contract Price;

• Current Ratio exceeds 1;

• Working Capital exceeds 10% of the Contract Sum or initial Contract Price; and

• Where a tenderer is a trustee the total value of trust beneficiaries’ loans to the trustee must be greater than the total value of trust beneficiaries’ loans from the trustee.

3. CONTRACT DETAILS

3.1 INSURANCE

The Principal will arrange insurance of the Works (and any temporary works) and public liability and pay all premiums in accordance with General Conditions of Contract clause Insurance .

OTHER INSURANCE

The Contractor must arrange and pay all premiums for all other insurance required under General Conditions of Contract.

For professional indemnity insurance, a Certificate of Currency or evidence of the ability to obtain the required insurance, such as a letter from a broker or insurer, may be required as a condition of acceptance of tender.

The tenderer shall provide certificates of Public Liability ($10 Million), Professional Indemnity and workers compensation (as required by law).

4. CURRENT POLICIES

4.1 GOODS AND SERVICES TAX

The tendered lump sum and/or rates must include GST if it is payable.

4.2 DISCLOSURE OF TENDER AND CONTRACT INFORMATION

The Principal will publish details of tenders and any contract awarded as a result of this tender process in accordance with the Government Information (Public Access) Act 2009 (NSW) and Premier’s Memorandum 2007.

4.3 EXCHANGE OF INFORMATION BETWEEN GOVERNMENT AGEN CIES

By submitting a tender, the Tenderer authorises the Principal to gather, monitor, assess, and communicate to other NSW Government agencies or local government authorities information about the Tenderer’s financial position and its performance in respect of any contract awarded as a result of the tender process. Such information may be used by those agencies or authorities in considering whether to offer the Tenderer future opportunities for work.

4.4 FINANCIAL ASSESSMENT

By tendering for this Contract, the Tenderer agrees that the Principal may engage private sector consultants to financially assess tenderers. Financial details of tenderers may be obtained by an external Financial Assessor for assessment. Financial Assessors have a contract with the Principal to safeguard the financial details obtained. Financial Assessors must not disclose such details, either in whole or in part to any party other than NSW Government departments or agencies without the express written permission of the tenderer.

The Financial Assessor is The Trust or Sub Consultant appointed to The Trust.

4.5 INDUSTRIAL RELATIONS MANAGEMENT

Tenderers must demonstrate their capacity to plan and manage industrial relations (IR) and implement effective IR plans in accordance with the NSW Government Industrial Relations Management Guidelines. The Guidelines are available on the ProcurePoint website.

7. PROCEDURES AFTER CLOSING OF TENDERS

7.1 EVALUATION OF TENDERS

In evaluating tenders, the Principal may take into consideration factors including, but not limited to: whole of life costs; ability to meet requirements of the NSW Government Code of Practice for Procurement; innovation; delivery time; quality offered; previous performance; experience; capability; occupational health and safety performance; industrial relations performance; environmental management performance; community relations; value adding including economic, social and environmental initiatives; and conformity.

Tenders will be assessed using a weighted scoring process based on information provided with the Tender.

The Principal may elect to pass over a tender from a tenderer with an assessed score on any of the non-price criteria that is below a threshhold acceptable to the Principal.

The Principal may treat any detail required by the tender documents which is omitted, illegible or unintelligible as failing to fulfil the relevant requirement.

7.2 ACCEPTANCE OF TENDER

The Principal may accept tenders that do not conform strictly with all requirements of the tender documents.

The Principal is not bound to accept the lowest or any tender. Tenders which do not comply with any requirement of, or which contain conditions or qualifications not required or allowed by the tender document, may be passed over.

No tender, or qualification or departure from a contract condition or specification, is accepted unless the Principal gives an acceptance or formal agreement in writing.

7.3 PROTECTION OF PRIVACY

The Tenderer warrants, in respect of any personal information provided in this Tender or any contract arising from this Tender, that the information is accurate, up to date and complete, and that nominated individuals authorise its collection and are aware:

• that the information is being collected for the purpose of evaluating tenders and administering any contracts arising from those tenders and may be made available to other NSW government agencies or local government authorities for those purposes;

• whether the supply of the information by the individual is required by law or is voluntary, and any consequences for the individual if the information (or any part of it) is not provided; and

• of the existence of any right of access to, and correction of, the information.

8. RIGHTS OF PARRAMATTA PARK TRUST

8.1 RIGHT TO CANCEL/REVOKE REQUEST FOR TENDER

The Trust reserves the right at any time, whether before or after the Closing Date, to cancel or revoke its invitation to Tender and in that event no prospective Tenderer or Tenderer has any right to claim or demand against the Trust.

8.2 SEPARATE TENDERS

The Trust reserves the right to accept a separate Tender or separate Tenders for any one or more separable parts of the services the subject of the invitation to Tender. The Trust may also accept all or any part of a Tender subject to satisfaction of stipulated conditions to which the Tenderer may be asked to agree.

8.3 RIGHT TO NEGOTIATE

The Trust reserves the right to negotiate with Tenderers after the Closing Date. The Trust may negotiate with Tenderers to vary their Tenders on any grounds relevant to The Trust obtaining the best commercial and technical result from the Request for Tender. The Trust may withdraw from such negotiations at any time and commence negotiations with any other Tenderer without any obligation to invite proposals, Tenders, offers or submissions from any other Tenderer in respect of the terms which are the subject of such negotiation or variation.

8.4 REQUEST FOR FURTHER INFORMATION

The Trust may request any Tenderer to supply further information if the particulars supplied by the Tenderer in the Tender are insufficient to enable The Trust to evaluate the Tender to its satisfaction. Tenderers must supply any further information requested by The Trust within 2 days or as otherwise agreed with The Trust’s nominated contact officer after receipt of a written request for that information. The Trust may also request the Tenderer to attend an interview. Any information supplied by the Tenderer in response to a request for further information or at an interview will, if so required by The Trust, be deemed to form part of the Tenderer’s Tender.

8.5 RIGHT TO ALTER TERMS AND CONDITIONS

Without limiting the generality of the Conditions of Tendering, after the Closing Date, the Trust may alter or accept alterations to any of the terms and conditions of a Deed to be entered into by The Trust with a Tenderer at any time, without, in its absolute discretion, notice to any other Tenderer.

8.6 UNSUCCESSFUL TENDERERS

Any person lodging a Tender which is unsuccessful is not entitled to any redress against The Trust. Any decision by The Trust in relation to the Invitation to Tender will be final and (subject to legal rights which cannot be excluded, released or modified) no unsuccessful Tenderer has any redress against The Trust as a result of The Trust exercising any or all of its rights in relation to the invitation to Tender.

The Trust is not obliged or required to give any reasons to any unsuccessful Tenderer or to disclose any matter in relation to the Successful Tenderer.

8.7 TENDERER’S COSTS

The Trust is not responsible for and will not pay for costs, expenses or losses which may be incurred by any Tenderer (whether successful or otherwise) in the preparation of a Tender or negotiations arising in relation to a Tender.

8.8 PERFORMANCE REPORTING

Please note that The Trust may conduct performance reporting on project contractor engagements. A confidential performance report will be prepared at the conclusion of the contract and when finalised, you will be given feedback on our assessment and provided with an opportunity to comment on the assessment.

The Contractor authorises The Trust to make information concerning the Contractor available to other NSW Government Agencies. Such information may include, but is not limited to, any information provided by the Contractor to The Trust and any information relating to the Contractor’s performance under the contract.

The Contractor acknowledges that information about the Contractor from any source, including substantiated reports of unsatisfactory performance, may be taken into account by NSW Government Agencies considering whether to offer the Contractor future opportunities for NSW Government work.

The Contractor acknowledges and agrees that the communication of such information to any NSW Government agency is a communication falling within Section 30 of the Defamation Act 2005 (NSW).

The Contractor releases and indemnifies The Trust and the State of New South Wales from any claim in respect of any matter arising out of such communications. Without limitation of the above, the Contractor releases The Trust and the State of New South Wales from any claim it may otherwise have for any loss to the Contractor arising out of the Contractor’s performance under the contract by The Trust, the communication of information relating to such assessment to any NSW Government Agency, or the use of such information by the recipient.

5.4 HAZARDOUS SUBSTANCES

ii. methods for handling and removal from the Site of hazardous materials; and

iii. Consultants and Subcontractors and licence details.

5.5 DEMOLITION

WHEN REQUESTED, for each item to be demolished, submit details of the proposed method of demolition including:

i. plant and equipment to be used;

ii. protection of the Site including, but not limited to, protection of any items specified; and

iii. arrangements, including details and extent of protective hoardings, for the protection of the public and property adjoining the Site.

5.6 OCCUPATIONAL HEALTH AND SAFETY MANAGEMENT MONTH LY REPORT

The Tenderer undertakes, if awarded the Contract, to provide Monthly WHS Management Reports as described in Preliminaries clause Work Health and Safety Management.

5.7 INDEPENDENT CERTIFICATION OF FORMWORK

The Tenderer undertakes, if awarded the Contract, to provide evidence of independent certification of formwork as required by Preliminaries clause Occupational Health and Safety Management.

• a statement confirming that the Tenderer is not in default of any fine issued for a breach of environmental legislation; and

• details of every prosecution and fine incurred by the Tenderer during the last two years under the Protection of the Environment Operations Act 1997 (POEO Act) or other Australian environmental legislation, together with a description of the actions taken by the Tenderer in response to each prosecution and fine; or

• a statement that the Tenderer incurred no prosecutions or fines under environmental legislation during the last two years.

10. SCHEDULE OF PROPOSED SUBCONTRACTORS

(SUBMIT WITH TENDER FORM)

Provide the names of the proposed subcontractors, including suppliers and consultants, and descriptions of the type of work they will be carrying out. Include proposed material suppliers, manufacturers and any installation subcontractors. If the tenderer proposes to use subcontractors/consultants for the design development and documentation, provide full details for each of the design disciplines involved and to show their proven competence, qualifications and experience on similar tasks to satisfactorily perform the proposed functions.

Confirm (by inserting “Yes” in the third column of the table below) that the recent OHS, Quality and Environmental Management performance (including their own Management Systems) of each proposed subcontractor has been reviewed by the Tenderer and found to be satisfactory.

The information provided will be taken into account in evaluating the tenders. Identification of subcontractors before the award of a Contract will be taken as an indication that the Tenderer would not trade off possible subcontractors’ prices to obtain a lower price (a practice that is unacceptable under the NSW Government Code of Practice for Procurement).
