General Terms of Conditions

1. General Terms and Conditions, Conclusion of Contract, Scope of Application

1.1 The following general terms and conditions (hereinafter: "Terms and Conditions") of Becker Avionics, Inc. (hereinafter: "BAI") apply in relations with business persons, legal persons governed by public law and special funds governed by public law (hereinafter: "buyer").

1.2 These Terms and Conditions govern the sale of BAI products to the buyer by BAI, contain the complete and exclusive agreement between the parties and supersede all prior or contemporaneous proposals, negotiations and understandings, oral or written. No order shall be binding on BAI unless accepted by BAI in writing in its sole discretion. Any BAI software products are licensed, not sold, to the buyer under the terms of BAI's then - current standard software license agreement which is incorporated into these terms and conditions. BAI products shall only be used in life safety application with redundant systems unless otherwise agreed in writing by the President of BAI.

1.3 Agreements diverging from these Terms and Conditions in an individual case shall only be binding with the written confirmation of BAI; this applies, in particular, to agreements with our representatives, authorized representatives or employees.

2. Conclusion of contracts

2.1 The offers of BAI are subject to change and non-binding. This applies also if BAI made available to the buyer catalogs, product specifications or other documentation for which BAI reserves ownership and copyrights. BAI shall retain the ownership of and copyrights in catalogs, cost estimates, depictions, drawings and other documents it provides to the buyer.

2.2 The buyer's offer to conclude a contract is deemed to be binding unless expressly otherwise agreed upon.

2.3 A contract is formed only upon written acceptance of the offer to conclude a contract.

3. Prices, Terms of Payment

3.1 Unless otherwise agreed all claims for payment from BAI shall be due and payable in full within 15 days of invoicing. Initial orders received prior to credit approval may be prepaid (via Visa/Mastercard credit card, check or wire transfer) or will be shipped C.O.D. International orders will be accepted when accompanied by a letter of credit or a bank draft; charges for freight, certificates of origin, insurance, customs, etc., will be paid by buyer. BAI will do partial shipments unless explicitly instructed otherwise by the buyer. Partial shipments will be invoiced. Interest will be charged at the maximum rate allowed by law to all accounts past due 30 days. Accounts past due 60 days will revert to a C.O.D. basis. All past due amounts, including collections charges, interest, etc., must be paid before an account returns to an open basis. SPECIAL ORDER products require deposit (25% or 50% depending on the product type). BAI reserves the right to define which products are considered SPECIAL ORDER and this definition is subject to change without prior notice.

3.2 DISCOUNTS ARE AVAILABLE FOR QUALIFIED DEALERS. Prices are for U.S. domestic shipments. Consult BAI's Sales Department for international freight charges. List Price (or MSRP) is defined as BAI's suggested price for direct sales of designated products to domestic end- users. List Price (or MSRP) includes the equipment, installation and operation manual and a solder connector kit, software and standard factory programming (offer where applicable), warranty, and our standard levels of pre- and post-sale technical support. List Price (or MSRP) excludes shipping, duties, customs fess, and value-added dealer activities such as requirements definition, system design, programming, installation, training, system integration, testing, and preventative/corrective maintenance. Product Groups: Product Groups define the discount levels available to qualified dealers. Consult BAI for specific information.

4. Passing of Risk, Partial Delivery

Unless otherwise agreed, delivery is conducted Ex Works, Incoterms 2000, Miramar, FL 33025, USA. Shipments are prepaid by BAI and buyer is invoiced for all shipping charges, unless buyer specifies the use of their freight account number. For products shipped in the contiguous United States, shipping is UPS ground unless otherwise specified; UPS shipments require a street address, not a Post Office Box number. BAI will use commercially reasonable efforts to deliver BAI products by the estimated delivery date; however, shipment of BAI products is subject to availability, and BAI EXPRESSLY DISCLAIMS LIABILITY FOR ANY FAILURE TO MEET SUCH DELIVERY DATES.

5. Periods for Provision of Deliveries and Services

5.1 Unless otherwise agreed the periods for provision of deliveries and services are only approximate; default shall not arise in the absence of a warning notice issued by the buyer.

5.2 Compliance with the periods for provision of deliveries and services by BAI is subject to timely and proper fulfillment of the buyer's obligations.

5.3 If the buyer defaults on accepting the goods or breaches other duties of participation on grounds for which it can be held responsible, then BAI may require compensation for the damage it incurs, inclusive of any additional expenses.

6. Limited Warranty Buyer assumes responsibility for the selection of the BAI products to achieve buyer's intended results and for the use of the results obtained from the BAI products. BAI DOES NOT WARRANT THAT THE PRODUCTS WILL MEET BUYER'S REQUIREMENTS OR THAT OPERATION OF THE PRODUCTS WILL BE UNINTERRUPTED OR ERROR FREE. SUBJECT TO THE LIMITATIONS SET FORTH BELOW, BAI warrants that all BAI products will be free from material defects in material and workmanship for two years from date of shipment (except where indicated otherwise in the BAI Price Book). For your convenience, BAI may purchase and supply items manufactured by others. In these cases other warranties will apply. BAI's warranty covers parts and labor. Buyer must provide written notice to BAI within the warranty period of any defect. If the defect is not the result of improper use, service, maintenance or installation, and if the BAI products have not been otherwise damaged or modified after shipment, AS BAI'S SOLE AND EXCLUSIVE LIABILITY AND BUYER'S SOLE AND EXCLUSIVE REMEDY, BAI shall either replace or repair the defective parts, replace the BAI products or refund the purchase price, at BAI's option, after return of such BAI products by buyer to BAI. Shipment shall be paid for by the buyer. No credit shall be allowed for work performed by the buyer unless BAI has approved in writing credit for such work to be done by the buyer, and only if the buyer is an Authorized Becker Dealer. Non-warranty repairs will be invoiced at the then - current BAI hourly rate plus the cost of needed components. THE FOREGOING WARRANTY AND THE THIRD PARTY MANUFACTURER'S WARRANTIES, IF ANY, ARE IN LIEU OF ANY AND ALL OTHER WARRANTIES EXPRESSED, IMPLIED OR ARISING UNDER LAW, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. Limitation of Liability BAI SHALL NOT UNDER ANY CIRCUMSTANCES BE LIABLE TO BUYER OR ANY THIRD PARTY FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT LOSS OR DAMAGE ARISING OUT OF OR CONNECTED WITH BUYER'S PURCHASE OR USE OF BAI'S PRODUCTS OR SERVICES, INCLUDING WITHOUT LIMITATION, LOSS OF USE, LOSS OR ALTERATION OF DATA, DELAYS, LOST PROFITS OR SAVINGS, EVEN IF BAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE LIMITED REMEDY ABOVE IS FOUND TO FAIL OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL BAI'S LIABILITY (WHETHER FOR NEGLIGENCE OR OTHER TORT, IN CONTRACT OR OTHERWISE) EXCEED THE PRICE PAID TO BAI FOR THE BAI PRODUCTS.

8. Claims and Returns Title to BAI products passes to the buyer upon delivery by BAI to a carrier, at which time risk of loss or damage passes to the buyer. Freight damages should be filed with the carrier within seven days of receipt of BAI products. If buyer fails to notify BAI within ten days after receipt of BAI products of any defect, shortage, or other failure to conform to the purchase order, the BAI products shall be considered accepted by the buyer as delivered. Returns for any reason other than repair must be previously authorized by BAI (RMA) and are subject to a restocking charge. Restocking Policy: Only non-customized products are eligible for restocking. A 25% restocking fee is applicable only if the equipment is returned in the original packaging, without damages and within 30 days of the purchase date. Otherwise, a 40% restocking fee will be applied. No refunds or exchanges are authorized after thirty days from shipment. Before returning BAI products for repair, buyers should notify BAI. If they do not, a letter stating the nature of the problem, the serial and model numbers, and the buyer(s) name and telephone number should accompany returns for repair. Specifications and prices are subject to change without notice.

9. General These terms and conditions will be governed by and construed in accordance with the laws of the State of Florida. Any litigation between the parties concerning these terms and conditions shall be brought in Broward County, Florida. If any of these provisions are held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. The prevailing party in any action or proceeding brought in connection with a breech of these provisions will be entitled to reimbursement by the other party for costs and reasonable attorneys' fees. Further, BAI reserves the right to revise products or specifications and to make changes to them from time to time without notice. ACCEPTANCE OF BUYER'S ORDER IS EXPRESSLY MADE CONDITIONAL ON BUYER'S ASSENT THAT THE PARTIES BE BOUND SOLELY BY THESE TERMS AND CONDITIONS AND THE AGREED ALLOCATION OF RISK REFLECTED IN THE EXCLUSIONS AND LIMITATIONS OF LIABILITY.
