Original Action

AFFIDAVIT OF RAYMOND E. DIROSSI

I, Raymond E. DiRossi, having been first duly sworn state as follows:

1. I am over the age of eighteen and am competent to testify to the facts

in this affidavit which are based upon my personal knowledge.

2. From August 4, 2011 to September 30, 2011, I served as a Joint

Secretary to the Ohio Apportionment Board along with Heather Mann.

3. Since January 2009, I have been the President and sole owner of

Capital Advantage, LLC. Capital Advantage, LLC provides professional consulting

and fundraising services.

4. From January 3, 2005 through December 31, 2008, I was the Finance

and Budget Director for then Ohio Representative Jon Husted. Before this position,

I worked for 13 years in the Ohio Senate starting in 1991.

5. In 1998, I was designated by the Ohio Senate as the point person on

redistricting and reapportionment. I attended 7 or 8 National Conference of State

Legislators' meetings on apportionment. I also attended all meetings of The

Legislative Task Force on Redistricting, Reapportionment, and Demographic

Research ("Legislative Task Force"), and was trained on the GIS software,

Autobound. I was also designated as the person to coordinate with Cleveland State

University, the state's data consultants, in all matters relating to the upcoming

2001 reapportionment and redistricting.

6. In 2001, I acted as the chief assistant to the Secretary of the Ohio

Apportionment Board. In that role, I coordinated all meetings and agendas for the

full apportionment board as well as all 10 of the regional hearings that the board

held to solicit public input and feedback. I also directly assisted in the formulation

of the redistricting and reapportionment plans.

7. Prior to my appointment as a Joint Secretary to the Ohio

Apportionment Board in 2011, I had approached Speaker Batchelder and Senate

President Niehaus about wanting to be involved with the redistricting and

reapportionment process because of my prior involvement with the 2001 plans.

8. Both the Joint Republican and Joint Democratic Caucuses each

received an equal a...mn,„nt of funding frem the Legislative Task Force to be used ffr

reapportionment and redistricting efforts in 2011. All receipts and invoices for

these expenditures are matters of public record.

9. On July 7-8, 2011, I received training from John Morgan, a consultant

hired by our attorney, Mark Braden, on the GIS software, Maptitude. This software

was used to develop the 2011 redistricting and reapportionment plans.

10. On July 15, 2011, with technical advice and assistance from the IT

Director of the Senate, computer equipment was purchased using funds allocated to

the Joint Republican Caucuses by the Legislative Task Force for use in the

reapportionment process.

11. On July 17, 2011, using the same allocation of funds from the

Legislative Task Force, a hotel room at the Doubletree Hotel in downtown

Columbus was leased as an office space for redistricting and reapportionment. A

true and accurate copy of the invoice for the lease of the Doubletree hotel room is

attached as Exhibit 1.

12. A room at the Doubletree hotel in downtown Columbus was also used

as an office for redistricting and reapportionment in 2001.

13. Beginning in mid-July, 2011, I, along with Heather Mann, sought to

coordinate weekly meetings with the staff of the leaders of the Ohio House of

Representatives and the Ohio Senate, the Governor's office, and eventually the

Auditor, to discuss both Congressional redistricting and the reapportionment plan,

though Auditor Yost or his staff never participated in any Congressional

that they were no longer needed, the vast majority of those weekly meetings were

cancelled and never held. In fact, those weekly meetings occurred no more than 3

times from July through October, 2011.

14. On August 1, 2011, a contract was executed between the Republican

members of the Legislative Task Force and Capital Advantage, LLC to consult on

the preparation and formulation of a plan for the next apportionment of the Ohio

General Assembly. A true and accurate copy of that agreement is attached as

Exhibit 2.

15. On August 4, 2011, the Ohio Apportionment Board held its

organizational meeting where Heather Mann and I were appointed as the Joint

Secretaries to the Ohio Apportionment Board.

16. As a Joint Secretary, many of my initial responsibilities were

administrative in nature including organizing and preparing for the

reapportionment process, as well as the planning and organizing of the regional

public hearings on reapportionment to be held throughout the state of Ohio.

Additionally, the drafting and modernizing of the proposed rules for the Ohio

Apportionment Board, and maintaining the official records of Ohio Apportionment

Board activities were time consuming activities.

17. Additionally, much effort at the outset was taken to correct problems

with the integration of census data, the geography of Ohio's governmental units as

being shown by the Maptitude softwar., and ntegrating past election results .nto

the Maptitude software being used to draft the reapportionment plan.

18. From August 22, 2011 through August 26, 2011, the Ohio

Apportionment Board held 11 regional hearings around the state to hear public

testimony.

19. September 23, 2011 was the deadline for the submission of any

reapportionment plans to the Ohio Apportionment Board. Under the rules adopted

by the Ohio Apportionment Board on August 4, 2011, and under my duties as a

Joint Secretary of the Ohio Apportionment Board, I, along with Heather Mann,

immediately distributed copies of the submitted plans to designated agents for each

of the five members of the Ohio Apportionment Board.

20. One of the plans submitted to the Ohio Apportionment Board on

September 23, 2011 was the apportionment plan prepared by Heather Mann and

myself.

21. There were three other plans submitted to the Ohio Apportionment

Board on or before September 23, 2011. Two of the plans were from the "winners"

of the "Draw the Line Ohio" contest put on by the Ohio Campaign for Accountable

Redistricting. The other was submitted by the Joint Democratic Caucuses.

22. On September 26, 2011, the Ohio Apportionment Board heard

testimony on all four of the submitted plans.

23. On September 28, 2011, the Ohio Apportionment Board considered

amendments on the apportionment plan I submitted with Heather Mann. Due to

suggestions and considerable discussian with House Minority Leader Armond

Budish during that meeting, one of the amendments was amended and adopted.

The Ohio Apportionment Board voted 4-1 to adopt the amended plan drafted by

Heather Mann and myself.

24. The Ohio Apportionment Board held an emergency meeting on

September 30, 2011 to consider an amendment to the plan dealing with two Senate

districts in Cuyahoga and Lake Counties. This amendment was a specific request

of Democratic Representative Sandra Williams, who also serves as the Chairwoman

of the Ohio Legislative Black Caucus. The Ohio Apportionment Board adopted this

amendment and subsequently adopted the amended apportionment plan on

September 30, 2011 on a 4-0 vote. A true and accurate copy of An Ohio

Apportionment Plan For 2012-2022 (the "2012-2022 Ohio Apportionment Plan") as

amended and engrossed by the Ohio Apportionment Board on September 30, 2011 is

attached as Exhibit 3.

25. The 2012-2022 Ohio Apportionment Plan was not developed in secret.

To my knowledge, there were no meetings by the Ohio Apportionment Board that

were not open to the public. On the contrary, there were 4 public meetings of the

Ohio Apportionment Board and 11 regional hearings where the public could and did

submit testimony. And, suggestions made at these hearings were incorporated into

the enacted reapportionment plan, including (1) requests to keep Columbiana and

Allen Counties whole and in single house districts, (2) requests to keep whole or

minimize splits of political subdivisions such as Kettering, and (3) requests from the

Ohio NAA CP to prctect and maintain the number af African A merican seats in the

legislature. Later in the process, the Ohio Commission on Hispanic and Latino

Affairs asked that special consideration be given to the Hispanic community in

Lorain and Cuyahoga Counties. Heather and I did our best to address this specific

request in the apportionment plan we proposed.

26. Additionally, although agenda scripts were provided to staff members

of the Republican members of the Ohio Apportionment Board prior to the public

meetings, the Ohio Apportionment Board members did deviate from the agenda

scripts on multiple occasions. This included small deviations dealing with process

or order of the agenda, but also included significant deviations including a

Republican member of the Ohio Apportionment Board voting with Minority Leader

Budish on a proposed amendment to the rules, which I opposed at the August 4,

2011 Ohio Apportionment Board meeting.

27. Occasionally, though not often, individual members of the Ohio

Apportionment Board, or their staff, would come to the Doubletree Hotel office to

monitor the progress of the draft of reapportionment and Congressional

redistricting plans.

28. On only one occasion were two members of the Ohio Apportionment

Board together with me at the Doubletree hotel at the same time. But, to my

recollection, they were only there in passing as one member was arriving and the

other was leaving, and I witnessed no discussions between the two members about

the specifics of the apportionment plan. At no other time when I was present was

...are than one :nember of the Ohio Apportionment Board present at the Doubletree

hotel office at the same time.

29. House Minority Leader Armond Budish never requested to review the

progress of the reapportionment plan being prepared by Heather Mann and myself.

30. I was never provided any information related to the reapportionment

plan drafted by the Joint Democratic Caucuses until their plan was officially

submitted to the Ohio Apportionment Board on September 23, 2011. Nor was I ever

invited to any meetings related to the Joint Democratic Caucuses' preparation of

their reapportionment plan.

31. The 2012-2022 Ohio Apportionment Plan was drafted in compliance

with Article XI of the Ohio Constitution, as well as all applicable provisions of the

United States Constitution, the Federal Voting Rights Act, and applicable case law.

32. The process of reapportionment begins by taking the total population

of the state of Ohio and dividing it by 99, which yields the target population of a

house district. Ohio Constitution, Article XI, Section 2.

33. Then counties that are within 95% to 105% of the target population

must be identified and designated as a single house district. Ohio Constitution,

Article XI, Section 10(A). The only county that met this requirement under the

2010 census data was Wayne County and it is House District 1-

34. After that, any county that is between 90% and 95%, or 105% and

110% of the target population may be designated as a single house district. Ohio

four counties that met this requirement, Richland, Wood, Allen, and Columbiana

Counties, which are House Districts 2-5, respectively.

35. Then, proceeding in ordered succession from the most populous county

to the least populous county, each remaining county containing more than the

target population must be divided into a certain number of house districts. Any

remaining territory within one of these counties must be combined with adjoining

territory in another county or counties to form a single house district. Ohio

Constitution, Article XI, Section 10(C). The remaining territory of the state shall be

combined into House of Representative districts. Article XI, Section 10(D).

36. To understand why Relators' claims are incorrect, one must first

understand the geography of the state. In many of Ohio's rural areas, the co-

existence of townships, cities and villages has not altered the traditional

checkerboard-like design of Ohio's geographical boundaries. In many of Ohio's

expanding urban areas (and a growing number of rural areas) these traditional

political subdivision squares of the state are being changed significantly by

annexation.

37. Consider the contrast between Cuyahoga and Franklin counties. In

Cuyahoga County, there are approximately 57 distinct townships, cities or villages

and every single one has a pristine definable border that is comprised of a single

continuous line. More importantly, every precinct in those 57 governmental units is

contiguous to the rest of that specific governmental unit. Cuyahoga County is the

state's most populous cou:.ty, but none of its 11 house districts are challenged by

Relators.

38. By contrast, annexation has run wild in Franklin County where there

are now more than 325 non-contiguous eces of approximately 55 distinctp

townships, cities, and villages. In an extreme case, Perry Township in Franklin

County just by itself is in 34 distinct non-contiguous pieces. In many cases, these

little pieces of land are wholly circumscribed by other governmental units and the

act of trying to reunite a non-contiguous jurisdiction would lead to dividing several

other governmental units. In Franklin County, Relators have challenged 8 of the 10

house districts.

39. These changes in Ohio's geography are not new, but have slowly been

exacerbating themselves since the dawn of Ohio's annexation laws. The basis for

the majority of Relators' claims is that these non-contiguous pieces need to be

reassembled, and, if that action does not occur, Article XI has been violated. The

Ohio Apportionment Board, however, is not responsible for the "splitting" of these

governmental units - those decisions were made by local elected officials over

decades of annexations. Further, the Ohio Apportionment Board is required to

adopt a plan based on the geography that exists in the state at the time of the

census. See Ohio Constitution, Article XI, Section 6.

40. The constitutional protections that limit the dividing of governmental

units are diminished when the jurisdictions themselves cause their communities to

be divided. The 2001 and previous Ohio Apportionment Boards, however, granted

the certig.rou^ portions of a nan-contigucus governmental unit t e constitutional

protections of Article XI. That is, if a contiguous portion of a non-contiguous

governmental unit is divided, it is considered to be divided by the Ohio

Apportionment Board under Article XI of the Ohio Constitution. The same

principle was used in preparing the 2012-2022 Ohio Apportionment Plan.

41. The approach of the 2012-2022 Ohio Apportionment Plan prepared by

Heather and me, that reassembling non-contiguous pieces is not a constitutional

requirement, is consistent with the approach of the previous Ohio Apportionment

Boards. In 2001, the Ohio Apportionment Board adopted a map in which 34 house

districts had non-contiguous portions of governmental units that were not counted

as "splits." The 2001 map was heavily litigated and ultimately upheld, but this

specific issue was never even raised in that, or any other litigation. And, counsel for

the plaintiffs' in the 2001 litigation is also counsel for Relators in this case. In 1991,

the Ohio Apportionment Board adopted a map in which 25 house districts had the

same non-contiguous portions of governmental units that were not counted as

"splits." In 1981, there were 16 similar house districts. See "Historical Precedent"

for a detailed listing of each of these districts attached as Exhibit 4. I have also

confirmed the existence of this approach in the 1971 Ohio Apportionment Plan.

True and accurate copies of the 1971, 1981, 1991, and 2001 Ohio Apportionment

plans are attached as Exhibits 5 to 8, respectively.

42. This means that this issue has confronted every single apportionment

board since the current version of Article XI of the Ohio Constitution was adopted in

1967. These previous apportionment boards have liau botil R^cpubhcan and

Democratic majorities and they all took the same approach as the 2011 Ohio

Apportionment Board.

43. Further, in the "User Notes on Plan Geography" section of the 2012-

2022 Ohio Apportionment Plan, the 2011 Ohio Apportionment Board proactively

noted that "many of the higher levels of geography, notably municipalities, wards,

and precincts, contain multiple pieces of territory that are separated by distances

short and long." These "non-contiguous areas" are "non-contiguous because ... they

are legally or technically a portion of a geographic unit but surrounded by other

land-based geographic units."

44. The 2012-2022 Ohio Apportionment Plan contains a number of house

and senate districts constructed in careful accordance with the Federal Voting

Rights Act dealing with minority community concerns. If Relators' claims are

granted, the delicate balance of creating these districts while simultaneously

adhering to constitutional population and geographical restrictions will (1) result in

fewer majority-minority districts (a district with a non-Hispanic African-American

voting age population greater than 50%) being drawn, (2) jeopardize Ohio's

compliance with the Federal Voting Rights Act, and (3) diminish minority

communities' ability to elect their candidates of choice. For example: In Hamilton

County where 3 house districts are being challenged, the Ohio Apportionment

Board was able to construct two majority-minority house districts barely reaching

50+ percent while adhering to all of Article XI's provisions. The two majority-

the criteria Relators' suggest, this would likely not be feasible if the non-contiguous

jurisdictions had to be re-assembled.

45. Columbus cannot be contained in one whole House District; due to its

size, it has to be in at least seven house districts. Due to the fact that it wholly

circumscribes other governmental units like Whitehall and Bexley, and other non-

contiguous portions of several other governmental units - at least 8-10 house

districts are needed at a mathematical minimum. Thus, under Relators' new

interpretation of Article XI, you cannot feasibly divide Columbus without also

"splitting" these non-contiguous pieces imbedded inside Columbus into different

districts. Again, Franklin County is home to two majority-minority house districts

that exist in compliance with the federal Voting Rights Act. The Relators' claims

would substantially upset these desirable and federally required outcomes.

46. Another example of how piecing back together the non-contiguous

governmental units could cause additional problems can be found in The Fortner

Map, one of the two "winning" maps from the Ohio Campaign on Accountable

Redistricting "Draw The Line Ohio" competition. Michael McDonald, whose

affidavit was filed in support of the Complaint, served as a consultant for the "Draw

The Line Ohio" competition. The Fortner map was the only map submitted to the

Ohio Apportionment Board that managed to keep all but one (Perry Township) of

the Franklin County governmental units with non-contiguous pieces in the same

house districts. A true and accurate copy of the apportionment of Franklin County

County in this map purposely split numerous contiguous Columbus City wards in

contiguous portions of these governmental units was that only one of the house

districts in Franklin County, House District 18, would now be a majority-minority

district. The 2012-2022 Ohio Apportionment Plan has two majority-minority

districts in Franklin County.

47. Overall, only 15 total governmental units were divided by the 2012-

2022 Ohio Apportionment Plan: the City of Columbus, the City of Cincinnati, the

City of Cleveland, the City of Akron, the City of Cuyahoga Falls, the City of

Massillon, the City of Dayton, the City of Toledo, Plain Township, the City of North

Ridgeville, Austintown Township, the City of Middletown, the City of Mentor, the

City of Brunswick, and the City of Marietta.

48. Also, although Article XI, Section 7(C) indicates that where a division

of a governmental unit is necessary it should follow the hierarchy of giving

preference to townships, then city wards, then cities, and then villages, it is not

always possible to divide a township before a city. For example, cities such as

Coiumbus, CiI'ii.iniiati, Taieuo and Dayt3n are mucii larger than the target

population of a single house district, and must be divided into multiple house

districts in order to comply with population requirements. But, once such cities are

split, a township cannot also be split or it would violate Section 7(C)'s requirement

of only dividing one governmental unit between two districts. Also, governmental

units must sometimes be divided to meet population requirements. But, in some

cases, townships do not have the adequate population to satisfy the population

requirement, and a city must be divided because cities most often have larger

populations.

49. Additionally, Article XI, Section 7(A)'s requirement that "the boundary

lines of districts shall be drawn so as to delineate an area containing one or more

whole counties" cannot be analyzed in a vacuum. Rather, it must be analyzed in

conjunction with the need to divide counties statewide in order to maintain

population equality as required by Article XI. It would be ideal if the population of

Ohio's counties were such that they could evenly be divided, without breaking

county boundaries, to create Ohio's 99 house districts. Unfortunately, such is not

the case, and certain counties must be split in order to make up the remainder of

Ohio's districts. But, every single house district challenged by Relators as violating

Sectlan 7(A) i,ontains one or more whole counties in compliance with Article Xl,

Section 7(A) except for those counties that are specifically divided in compliance

with Article XI, Section 10(C) because their population dictates formation of

multiple house districts.

50. Also, under Article XI, Section 10(D), the counties with less than one

ratio of representation must be combined into representative districts. And,

occasionally counties must be split to meet population requirements. Many of the

districts in northwest Ohio are population light because of the special limitations

under Article XI on how counties containing more than one whole house ratio of

representation may be combined into house districts. For example, because under

Article XI, Section 10(B), counties between 90% and 110% of the target population

may be made into single county house districts, Allen County was made into a

single house district though it fell below the Article XI, Section 3 range of 95% to

105%. This left more population available to draw house districts in southeast

Ohio, and therefore many of these districts needed to be drawn and constructed

heavy in population, or the apportionment plan would end up with more than the

permitted 99 house districts. Thus, some counties in southeast Ohio were "split" to

meet population requirements.

51. Finally, the 2012-2022 Apportionment Plan attempts, where feasible,

to keep district boundaries similar to the 2001 plan, while at the same time

complying with population requirements, the other requirements of Article XI of the

Ohio Constitution, and the requirements of the Voting Rights Act. But, at least 60

shrunk to an extent that they were no longer within the Ohio Constitution's

allowable five percent population deviation, and under Article XI, Section 3, their

boundaries had to be adjusted.

52. The Ohio Apportionment Board has historically been granted

significant leeway in interpreting competing and at times specifically conflicting

provisions embodied in Article XI of the Ohio Constitution. Specifically, in

Voinovich v. Ferguson, 63 Ohio St.3d 198, 586 N.E.2d 1020 (1992), the Ohio

Supreme Court highlighted the fact that the Ohio Apportionment Board has a right

and a duty to resolve conflicts between the provisions of Article XI to the extent

they are in competition. The 2011 Ohio Apportionment Board properly balanced

these provisions when they were in competition.

CONSULTING AGREEMENT

This consulting agreement ("the Agreement") is made as of the 1' day of August 2011; between theRepublican Members of the Legislative Task Force on Redistricting, Reapportionment, andDemographic Research ("The Task Force") and Capital Advantage, LLC, 5732 Springbum Drive,Dublin, OH 43017 ("Capital Advantage").

WHEREAS, the Task Force is an entity which was created by R.C. 103.51 for the purpose, amongother things, of engaging in such research studies and other activities deemed necessary orappropriate in the preparation and formulation of a plan for the next apportionment of the OhioGeneral Assembly and a plan for the establishment of districts for election of representatives to the

United States Congress; and,

WHEREAS, pursuant to R.C. 103.5I(D), Task Force is empowered to engage such. experts andtechnical advisors and fix their compensation, and to obtain such services as are necessary for theTask Force to perform its duties under R.C. 103.51; and,

WHEREAS, the Republican members of the Task Force desire to retain the services of CapitalAdvantage to aid them in carrying out their duties under RC 103.51(D) including but not limited to,the preparation and formulation of a plan for the next apportionment of the Ohio General Assembly,and a plan for the establishment of districts for election of representatives to the United StatesCongress, and Capital Advantage agrees to render such services to the Republican Members of theTask Force, on the terms and conditions set forth herein.

The Task Force and Capital Advantage mutually agree as follows:

1. ConsultinE Services. During the term of this agreement, Capital Advantage shall makeavailable Raymond E. DiRossi to render such consulting services as may be needed orrequested by the Republican Members of the.Task Force to carry out their duties under R.C.

103.51.

2. Term. The term of this agreement will commence on August 1, 2011,. and shall expire onDecember 31, 2011, unless terminated in accordance with the provisions of Section 8 of thisagreement or extended by the Task Force by agreement with Capital Advantage.

3. Consultina Payments. In consideration of the services to be performed by CapitalAdvantage pursuant to this agreement, The Task Force agrees to pay Capital Advantage thetotal sum of seventy-five thousand dollars ($75,000.00) payable as follows forty thousanddollars ($40,000) on August Z2, 2011, and thirty-five thousand dollars ($35,000) payable onOctober 17, 2011. Further, should litigation be commenced challenging the redistrictingplan passed by the General Assembly, the reapportionment plan adopted by theApportionment Board, or any similar litigation pertaining to the duties in this contract,Capital Advantage shall be paid an additional thirty thousand dollars ($30,000).

4. Expense Reimbursement. During the term of this agreement, Capital Advantage shall beentitled to reimbursement of all reasonable and necessary travel and lodging expensesincurred by Capital Advantage in connection with Capital Advantage's performance of theconsulting expenses hereunder, provided that Capital Advantage submits to the Task Force

invoices or other documentary verifications of such expenses. The determination of whetherany such expenses submitted by Capital Advantage are reasonable and necessary shall bewithin the sole discretion of the Task Force; provided, however, that the Task Force shallnot deny reimbursing Capital Advantage for any properly verified expenses that the TaskForce approved in advance of such reimbursement. The Task Force shall provide parkingaccess to Capital Advantage, the use of which shall be limited to the purpose of benefitingthe Task Force in the performance of statutory duties.

5. Other contractual obligations. Commencing on August 1, 2011, and continuing throughOctober 31, 2011, Capital Advantage sha11 not engage or hold any other contracts forconsulting services related to the General Assembly in the state of Ohio.

6. Independent Contractor. The Task Force and Capital Advantage expressly acknowledgeand agree that.the consulting services to be provided by Capital Advantage under thisagreement shall be performed as an independent contractor and not as an agent. or employeeto the Task Force or the Republican Members of the Task Force. The parties expresslyacknowledge and agree with respect to any payments made to Capital Advantage hereunder,Task Force will not: (i) withhold any federal F.I.C.A. or other federal, state or local taxes;or (ii) contribute to any applicable workers' compensation, unemployment or any other stateor federal programs. Further, Capital Advantage agrees that it. has na right to bind the TaskForce, or the Republican Members, to any legal commitments to third parties.

7. Indemnification. The Task Force shall indemnify and hold harmless Capital Advantageincluding Raymond E. DiRossi, against any and all liability insofar as such liability arisesout of or is based. upon any plan for apportionment of the Ohio General Assembly or theestablishment of districts for election of representatives to the United States Congress, or theformulation or creation of any such plan or for any such matter that the RepublicanMembers of the Task Force use the services of Capital Advantage. For this purpose,liability shall mean any: (i) judgments, damages, costs, charges, expenses, or other liabilities

imposed by any court, administrative agency, or other governmental authority in anyexecutive, legisiative, judicial, regulatory, or adminisuative action, suit, or other proceeding,including any appeals, (ii) costs, charges, and expenses (including, but not limited to,attorneys fees, filing fees, posting of bond, etc.) reasonably incurred in connection of thedefense against any such liabilities, in any such action, suit, or other proceeding; and (iii)costs, charges, and expenses (including, but not limited to, attorneys fees) reasonablyincurred in connection with investigation or defense of any claim made or threatened(whether or not made or resulting in any action, suit, or other'proceeding.) Theindemnification from liability as discussed in this section shall continue in full beyond theend of this Agreement on December 31, 2011.

S. Termination. The engagement of Capital Advantage by the Task Force under thisagreement shall terminate automatically upon and in the event of death, disability,termination ar employment, or other removal or separation of Raymond E. DiRossi as arepresentative of Capital Advantage during the term hereof. In the event of termination ofCapital Advantage's engagement, prior to the expiration of the term of this Agreement,Capital Advantage's compensation shall be prorated to the date of such termination and nofurther compensation or expense reimbursements shall be due or paid, but CapitalAdvantage will still have right to indemnification in Section 7.

9. Assignment. Without the written consent of the Republican Members of the Task Force,Capital Advantage shall have no right to assign or otherwise transfer any rights createdunder this Agreement. This Agreement shall be binding upon, and shall inure to the benefitof, Task Force and Capital Advantage and their respective successors, personalrepresentatives, executors, administrators and assigns.

10. State Propertv. All equipment, documents, and data purchased or created with Task Forcefunds shall remain the joint property of the House and Senate Republican Caucuses uponcompletion of the term of this contract, and shall be transferred to the custody of the Houseor Senate Republican Caucus upon approval of the Republican Members of the Task Force.

11. ConBdentiality. Capital Advantage shall not disclose or use, without appropriateauthorization by the Republican Members of the Task Force, any information acquired byCapital Advantage in the course of its contractual duties with the Task Force that isconfidential because of statutory provisions, or that has been clearly designated to CapitalAdvantage as confidential when that confidential designation is warranted because of thestatus of the proceedings or the circumstances under which the information was received andpreserving its confidentiality is necessary to the proper conduct of govemment business.

12. Entire AQreement. This Agreement, together with any attachments hereto, constitutes theentire agreement between the parties with respect to the subject matter hereof andsupersedes any and all written or oral prior agreements and understandings between the

parties.

IN WITNESS THEREOF, the parties agree to the above terms and warrant that they have the

authority to bind the parties.

User Notes on Plan Geography

Part A. General Overviewl. To assist users in their review of the legislative district plan, the plan geography is being

provided in different formats. These include a geographic data file known as a shape file anda tabular data file known as an assignment file. The geographic file includes the boundariesfor each district. The tabular data file includes one record for the lowest level of geographyused to create the plan and the district to which it is assigned.

2. Users with Geographic hiformation Systems (GIS) software may note a handful of instancesin which the appearance of the geography assigned to each district may not match the legal

boundaries. Notes follow on these instances below.3. As a general caveat, whatever the geographic representation might appear to be when the

legislative plan is viewed via any software, the controlling document as to the status of anygeography is the legal defmitions as submitted by the Joint Secretaries to the OhioApportionment Board. Those definitions can be found in this document.

4. Any geographic area of the state not specifically named in this legal definition for House andSenate Districts that is wholly contained within the boundaries of a district but not contiguousto any district boundary, is assigned to that district. Any geographic area of the state notspecifically named in this legal defmition that is contiguous to any district boundary isassigned to that district with which it has the longest continuous boundary. If two or moreboundaries are of equal length, the area is assigned to the district with less population. Alldistricts are contiguous including those that are contiguous only by bodies of water.

Part B. Geographic DatabaseThe underlying geographic database used to create plans for legislative districts was developed bythe Urban Center at Cleveland State University (CSU) in conjunction with the Voinovich Center atOhio University (OU) as part of the project to develop the 2010 Ohio Common and UnifiedRedistricting Database (OCURD). CSU was selected by bipzrtisan action by the co-chairs of the

Ohio Legislative Task Force on Redistricting, Reapportionment and Demographic Research. The

lowest level of geography in this database is not the census block but the split census block.1. The overall purpose of the project was to accommodate for the fact that many census blocks

contain portions of multiple higher levels of geography, such as a precinct or a municipality.In geographic terms, these are known as `split' units because they did not nest into the higherlevels of geography. The project also enabled the creation of geographic layers for wards(which were not part of the census geographic products) and precincts that more closely

reflect the boundaries used in the 2008 and 2010 elections.2. To create a geographic system that allowed for topological integrity, the OCURD project

used the boundaries of the higher levels of geography as overlays and assigned theunderlying census block, or portions thereof, to each of the higher levels. When the higherlevel geography crossed the census block, a new geographic unit was created known as a splitblock. It is this `block split' layer of geography that was the lowest level of geography from

which the legislative districts were created.3. Another goal of the OCURD project was to estimate the population in each portion of the

split blocks. The project researched several means by which this could be accomplished andchose a method based upon the length of the streets in each such block. Because the

population was estimated for each portion, the number of persons was not rounded to a whole

person and thus some fractional numbers will be found.4. Another issue arose as the OCURD database was being used by the Joint Secretaries of the

Ohio Apportionment Board to create legislative plans. This issue relates to the fact that manyof the higher levels of geography, notably municipalities, wards, and precincts, containmultiple pieces of territory that are separated by distances short and long. In geographicterms, these are known as `non-contiguous areas' (NCA) because there is some other land orwater between the pieces. There are two types of NCAs: those that are not contiguousbecause they are islands surrounded by water and those that are not contiguous because theyare legally or technically a portion of a geographic unit but surrounded by other land-basedgeographic units. Examples of the first type are the islands off the coast of Lake Erie.Examples of the second type abound in the state.

5. In most cases, the multi-part units are combined for geographic representation in GISsoftware. In geographic terms, these are known as `shapes' and are assigned to a district asone unit, even though there may be separate estimates of population for the blocks thatcomprise the higher level unit. Because they are combined as an entire shape they can onlybe assigned to one district by the GIS software used for the redistricting phase of theapportionment process. 6. Requirements of the Ohio Constitution relate to both creating districts from contiguousterritory and the maintenance of political subdivision boundaries. Therefore, making use of amulti-part area as the boundary of a district could present a situation in which a polificalsubdivision would be split and a district would be created using non-contiguous territory.

7. Whatever the geographic representation of the GIS software, the controlling document as tothe statas of any geography is the legal definition as adopted by the Apportionment Board.

8. Because some areas in the higher geographic levels are multi-part units the software flaggedsome districts as being non-contiguous. Notes on these situations follow.

Part C. Notes on Specific Districts:The following areas include districts that were designated bv the Maptitude software as having some

non-contiguous areas:1. District 38-Stark County. Block 391517147013085 is split into two pieces including

portions of precincts 151ANY & 151AEB. The portion in 151ANY contains no populationand is a part of district 49. See the item 4 in Part A and the legal defmition.

2. District 46-Lucas County. Several islands are located off the Lake Erie coast but areportions of Jerusalem Township. See the item 4 in Part A and the legal defmition.
