Conditions of Sale13710.

(a) In addition to any right of lien to which the

Company may by law be entitled the

Company shall (in the event of the Buyer's

insolvency) be entitled to a general lien on all

goods of the Buyer in the Company’s posses-

sion (although such goods or some of them

may have been paid for) for the unpaid price

of any other goods sold and delivered to the

Buyer by the Company under the same or any

other contract.

(b) Notwithstanding that the risk on all goods

shall be borne by the Buyer as aforesaid title

to all goods shall not pass from the Company

to the Buyer until the Buyer shall have made

payment in full to the Company of the price of

all goods.

(c) Until payment as aforesaid the Buyer shall

store all goods in such manner that they are

evidently the property of the Company. If any

goods shall be converted into or become con-

stituents of other goods (hereafter called "the

products") the Buyer agrees that the Company

shall have the beneficial ownership of the

products transferred to him at the moment of

conversion or of the goods becoming con-

stituents of the products and the Buyer shall

retain the products as trustee for the

Company and shall store the products in such

a manner that they are evidently the property

of the Company.

(d) Notwithstanding the provisions of sub-

paragraphs (b) and (c) of this paragraph the

Buyer shall be entitled to sell the goods or the

products to a third party in the ordinary course

of his business provided that should the

Company so require he shall be subrogated

for the Buyer in respect of any claim the Buyer

may have against the third party in respect of

the goods or the products.

11. The Company reserves the right, entirely

at its discretion, to withhold or withdraw credit

facilities at any time, for any reason whatsoev-

er, if, in its view, circumstances call for this

course of action. The Company hereby gives

notice that for all cheques which are either

returned or represented, a charge of £15.00

will automatically be added to the account

each time this occurs.

12. GOVERNING LAW - The law of England

shall govern the validity construction and per-

formance of any contract to which these

Terms and Conditions apply.

Terms & Conditions of Sale ofSpringfield Supplies & Projects

1. For the purposes of these Terms and

Conditions the Company shall be Springfield

Supplies & Projects and the Buyer whoever

places an order written or verbal and on

doing so agrees to be bound by these Terms

and Conditions. This is an express term of

contract between the Company and the

Buyer.

2. Payment for goods and services supplied

shall be due by the end of the month follow-

ing delivery unless specifically agreed at the

time of the quotation or tender or otherwise in

writing by the Company. The Company

reserves the right at its discretion to charge

interest on accounts that are overdue by 30

days or more at a rate of 2% per month or

part thereof. If payment is not received after

30 days beyond the due date agreed between

the parties the Company reserves the right to

withdraw any special terms or conditions or

discounts or rebates that have or are intend-

ed to apply with respect to any current or

future contract.

3. The Buyer shall inspect the goods immedi-

ately on delivery thereof and shall within 5

days from such inspection give notice in writ-

ing to the Company of any matter or thing by

reason of which it is alleged that the goods

do not accord with the contract. If the Buyer

shall fail to give such notice the goods shall

be deemed to be in all respects in accor-

dance with the contract and the Buyer shall

be bound to accept and pay for the same

accordingly.

4. The return of goods shall not be made

without prior arrangement between the Buyer

and the Company. All goods returned must be

in perfect condition and be packed in the orig-

inal packaging. We regret we will not be able

to credit any goods returned that does not

comply with this requirement. We reserve the

right to charge for rehandling for instance in

the case of non-stock items.

5. All quotations whether written or verbal are

exclusive of Value Added Tax.

6. All purchases will be invoiced at the price

ruling at the date of despatch unless a fixed

price has been agreed in writing between the

Company and the Buyer.

7. Except as otherwise expressly mentioned in

these Terms and Conditions the Company

shall have no liability of any kind whatsoever

to the Buyer in respect of any loss or damage

(whether direct indirect or consequential) suf-

fered by the Buyer whether in contract or neg-

ligence or otherwise howsoever whether for

loss or damage to property or for death or

bodily injury or otherwise howsoever in respect

of any goods supplied or work done by the

Company.

-The Buyer shall indemnify the Company

against any claim made against the Company

by a third party arising out of any goods sup-

plied or to work done for the Buyer.

-No forbearance or indulgency by the

Company shown or granted to a Buyer,

whether in respect of these Terms and

Conditions or otherwise, shall in any way

affect or prejudice the rights of the Company

against the Buyer or be taken as a waiver of

any of these Terms and Conditions.

8. The performance of all contracts is subject

to variation or cancellation by the Company

owing to any act of God, war, strikes, govern-

ment regulations or orders, national emergen-

cies, lockouts, fire, flood, drought, tempest or

any other cause (whether or not of a like

nature) beyond the control of the Company or

owing to any inability by the Company to pro-

duce materials or articles required for the per-

formance of the contract and the Company

shall not be held responsible for any inability

to deliver by any such contingency.

9. In the event that a Receiver is appointed

over the business of the Buyer or that a reso-

lution is passed or a petition presented for the

liquidation of the Buyer or if the Buyer commits

an act of bankruptcy any unpaid price under

this contract in respect of all goods delivered

thereunder to or to the order of the Buyer shall

forthwith become payable and save as afore-

said this contract is thereupon discharged and

the Company may enter upon the Buyer's

premises to recover their goods still upon

them.
