The Annual General Meeting of Ryde-Eastwood Leagues Club will be held in theHeritage Function Centre at the Club on Thursday 24th November at 7.30pm.

A further notice of the meetings will be sent to all members by the 31st October 2011.

BOARD OF DIRECTORS

Dear Member,

I am pleased to advise that with the financial year ending 30th June 2011 now complete and our annual report compiled, our net profit after tax is $3,588,536, a record for this Club. This figure is an increase of over $1,100,000 from the previous year. More details can be found in the Annual Report, which is available on the Club’s website at: www.releagues.com.au.

This result has been made possible by the huge support shown by you, the Member, over this period, and on behalf of the Board, management and staff, I sincerely thank you for this support.

It is with regret that I have to advise that our satellite club, “Hawks on Second Ave” will close its doors on 31st December 2011. The Club has been unable to generate any return from this venture, and with a further substantial loss this current year we have reluctantly taken the decision as recommended by our financial advisors to cease trading at this venue. The Board believes that it is not fair for the members of the Leagues Club to subsidise this venue any longer. By the time you read this journal a decision should be reached from Ryde Council in regard to our application for the rezoning of these premises, and any future plans for this site will be determined when this decision is handed down.

The campaign against the proposed Mandatory Pre-Commitment Legislation for gaming machines is still ongoing, and meetings and rallies have been conducted in various areas of the State in a continued effort to present our concerns in regard to this Legislation, which if passed, will see a dramatic change to our Industry and could see the end of Club life as we know it.

Tenders for the upgrading of the Fitness Edge have been finalised and work should be underway by this time. Minimum disruption is envisaged during the project, and it is hoped that all new areas will be opened by end of May 2012. Further details are available on the following pages regarding this project.

Members are reminded that when exiting from the car park they have to give way to cars coming up the access ramp from other levels. As an added safety measure, a mirror showing both lanes has been installed at the junction of Level 1/Level 2 (the busiest spot) to try and prevent any unnecessary collisions, so please drive carefully at all times within the car park.

In conclusion, with the fantastic support of you, the Member, I hope that our Club can continue to prosper and be the preferred destination for entertainment and enjoyment in the year ahead.

FOOTBALL REPORT

The Balmain/Ryde-Eastwood Tigers bowed out of the VB State Cup competition with a loss to Canterbury Bankstown in the qualifying final by 24 to 22.

The result was a bitter disappointment to all at the ground, as the Tigers were in front 22 to 6 with only 13 minutes remaining. However, Canterbury scored 3 converted tries in those last minutes to end our year.

The season was one of those when all that could go wrong, did, and as the results show, of our 23 matches played, the team only won 6, drew 2 and lost 15.

Injuries to key players, departures to other clubs of experienced players and key players being promoted to NRL duties all played a part in the results. Coach Paul Fletcher and his staff were under pressure each week to hold together those players that were available, and to their credit the team although beaten in most games - never gave up and competed most weeks.

It is hoped that 2012 will be a more positive year, and the team can recruit more experienced players to guide the youngsters along.

The long awaited refurbishment of the Fitness Edge and Hawks Lounge commenced in early October and is expected to be completed by late May 2012.

Stage 1This stage encompasses the construction of a new female change room facility at the rear of the existing change rooms and the modification of the existing Hawks Lounge to provide for a new group fitness room and also a modified lounge area and new bar. The latter part of Stage 1 will include some work on various parts of the pool deck – (Swim School office, change room access, refurbishment of the disabled change room etc) and this will be undertaken in January when the pool will also be closed for some remedial maintenance work.

The refurbished lounge area is expected to be opened before Christmas 2011.

Stage 2This stage sees the construction of a new male change room facility, new cycle room on the far side of our current group fitness room, a new massage room, as well as the conversion of the balance of the group fitness room to an additional weights area which will be of particular assistance to entry level users. The existing access ramp to reception will be modified and enhanced to complement the new facility.

The image below provides an indication of what the right hand side of the entrance ramp will look like with a view into the weights area.

Cycle room

Stage 3For this stage we will see a new reception and administration area and the refurbishment of the existing male change room which is being redesigned for a family change facility, as well as being available as an important third change room we can use to provide for urgent maintenance in the other change rooms.

With the relocation of the cycle room and the relocation of the weights equipment, this stage will also include the conversion of the existing cardio area to a much larger cardio facility with an additional 15-20 pieces of cardio equipment and a much larger stretch area. This will provide for better access for Fitness Edge members in peak periods. There will also be a mini-makeover of this area.

The images below will give members some idea of the standard of finishes in the proposed new family change facility, and cycle rooms.

We can’t promise there will be no noise and no dust, but we will do our best to minimise these aspects, as well as any disruption to members. The end result we believe will ensure the Fitness Edge offers a standard that members expect, and allow us to continue to provide a quality facility in the coming decade.

LINEDANCING AT RYDE-EASTWOOD LEAGUES CLUB

We have a number of preschooler and baby positions available in our Swim School. Classes run Monday to Friday 11-12.30pm, and we have limited positions on Saturday for our preschoolers only, from 8-12pm. Please contact 9808 7617 for more info.

Toddlers are curious by nature and often attracted by water. However, they have little fear or understanding of the possible dangers posed. As they learn to crawl and walk, their ability to access water hazards such as pools, spas, and buckets is greatly increased. Toddlers tend to be ‘top heavy’ and can therefore easily lose balance and fall into bodies of water. Children can drown in as little as a few centimetres of water, so items such as inflatable swimming pools, baths, and nappy buckets all pose a drowning hazard.

According to the Royal Life Saving Society of Australia, 49% of children aged 0-4 who drowned did so in a swimming pool. The Fitness Edge Swim School recommends that parents and carers take the following precautions to reduce the risk of childhood drowning:

SUPERVISE:

• Ensure constant and active supervision.

• Remain within an arm’s reach of young children as they can drown quickly and silently.

• Never leave a young child unsupervised; always take your child with you if you have to leave the water area, even if you will only be gone for a short period.

• Don’t expect older children to look after younger siblings. Children have short attention spans and can be easily distracted.

• Nominate a parent or carer to supervise any children near the water when you have visitors.

REDUCE THE HAZARD:

• Restrict the child’s access to water through safety barriers such as pool fencing. The legislation surrounding pool fencing differs between the States and Territories of Australia. Contact your local authority or government agency for information on pool fencing regulations in your area.

• Don’t leave objects near a pool fence that will enable children to climb into a pool, e.g. pot plants and chairs.

• Don‘t leave any gates or doors propped open that might allow children access to a body of water.

• Create a safe play area for children, especially on farms and large properties, which are separated from bodies of water

such as swimming pools, dams and water troughs.

We will be taking bookings for Term 1 2012 from Monday 23rd January at 10am.

Pool closed for maintenance in January 2012.

The closure is necessary to address a major maintenance item on the pool edge which has been postponed for a few years but must be attended to. The exact dates will be advised closer to the time but is likely to be the whole of January 2012.

NOTICE IS HEREBY GIVEN that an Extraordinary General Meeting of Ryde-Eastwood Leagues Club Ltd (“the Club”) will be held in the Club premises, 117 Ryedale Road, West Ryde at 8:00pm on Thursday, 24 November 2011 for the purpose of considering, and if thought fit, passing the following Ordinary Resolution:

ORDINARY RESOLUTION

“That the members hereby approve in principle the transfer of all of the poker machine entitlements of the Club’s premises known as Hawks On Second Avenue (formerly known as Eastwood Bowling & Recreation Club) located at 9-19 Second Avenue, Eastwood to the Club’s main premises known as the Leagues Club premises located at 117 Ryedale Road, West Ryde.”

EXPLANATORY MESSAGE TO MEMBERS

Pursuant to section 21(4) of the Gaming Machines Act 2001 (NSW), if for the time being the number of poker machine entitlements allocated in respect of the premises of a registered club is 10 or less (the remaining entitlements), the Club cannot transfer any of those remaining entitlements unless the transfer has been approved in principle at an extraordinary general meeting of the ordinary members of the Club (being an approval supported by a majority of the votes cast at the meeting).

The Club has 38 poker machine entitlements issued in relation to the premises at 9-19 Second Avenue, Eastwood (Hawks On Second Avenue Premises). Poker machine entitlements are required for a club to keep poker machines at any of its premises and the number of machines cannot exceed the number of poker machine entitlements held at those premises.

Poker machine entitlements can be transferred between premises of a registered club or registered clubs pursuant to the Gaming Machines Act, subject to the approval of the Casino, Liquor and Gaming Control Authority (Authority).

The Hawks On Second Avenue Premises will be shut down effective on 31 December 2011. Accordingly, it is proposed that all the poker machine entitlements for the Hawks On Second Avenue Premises will be transferred to the Club’s main premises located at 117 Ryedale Road, West Ryde (Leagues Club Premises).

As section 21(4) of the Gaming Machines Act requires the Ordinary Resolution to be put at an Extraordinary General Meeting, the Ordinary Resolution is to be put to members at at this General Meeting, being separate to the Annual General Meeting. The Annual General Meeting (separate notice of which has been given) is scheduled to commence at 7:30pm on 24 November 2011. If the Annual General Meeting is still in progress at 8:00pm on 24 November 2011, it will be adjourned for a short period of time for this Extraordinary General Meeting to be held, and then the Annual General Meeting will be resumed immediately upon conclusion of this Extraordinary General Meeting.

To ensure that the Authority approves the transfer of the poker machine entitlements pursuant to the closure of the Hawks On Second Avenue Premises, the Ordinary Resolution is put to members for the purposes of section 21(4) of the Gaming Machines Act.

The transfer of poker machine entitlements to the Leagues Club Premises will mean that the number of poker machines that can be held at those premises will correspondingly increase by the number of entitlements transferred. That is, the number of poker machine entitlements and poker machines for the Leagues Club Premises will increase by 38 following the transfer being approved by the Authority.

The consolidation of poker machines and entitlements at the Leagues Club Premises is a consequent necessity following the determination of the Board to cease trading from the Hawks On Second Avenue Premises.

GENERAL NOTES TO MEMBERS

In accordance with section 21(4) of the Gaming Machines Act, all ordinary members of the Club are entitled to vote upon the Ordinary Resolution.

To be passed the Ordinary Resolution must receive votes in its favour from not less than a simple majority of those members, who being entitled to do so, vote in person at the meeting.

Members who are employees of the Club are not entitled to vote.

Proxy voting is prohibited by the Registered Clubs Act.

The Board recommends that members vote in favour of the Ordinary Resolution.

PRESIDENT’S REPORTI am pleased to advise that for the financial year ending 30th June 2011 the net profit for the Club, after tax, was $3,588,536, an increase of $1.1m over that of 2010, and a record for our Club.

When the loss of $304,000 at “Hawks on Second Ave” is taken into account, it was a fantastic effort and also a record for the Leagues Club with a net profit of $4,198,032 (before the “Hawks” loss and tax were taken out).

The decision to close “Hawks on Second Ave” on 31st December 2011 was necessary as the losses have been increasing each year and there was no sign of an improvement to the trading position. The total losses over the last 8 years amounted to over $1.65m, and this was after an injection of $4.8m to get this project underway. Had we invested this $4.8m in a normal term deposit at 5% p.a. this could have provided a profit of over $1.34m even after tax. The Board and management believe that having entered into an amalgamation agreement in 2001 in good faith, they have tried every possible means to make this venue a success, and despite the best of intentions, it has proved futile, and the closure - while being difficult and unwelcome - was a necessary decision. What future this site holds will be determined after the rezoning application submitted to Ryde Council is resolved, before the end of this year.

I applaud our great management team of Chris McCarthy C.E.O., Carl Pozzato (Operations), Joanne Luke (H.R.), Dean Owen (Marketing) Nathan Hawton (Gaming), Martin Westbrook (Beverage), Chris Kalligas (Fitness Edge), as well as all other managers and department heads, and especially our dedicated staff for their input into this result. Most importantly I acknowledge the support from members, without whom none of these results would have been achieved. My personal thanks go to Chris McCarthy for his guidance and support over the year to myself and my colleagues on the Board.

A special thanks and appreciation are extended to my fellow Board members for their personal support, dedication and input into the many complex decisions that had to be made over the period. Their professional approach at all times has made my job so enjoyable and easy, and members are now seeing the results of theirs and management’s dedication and experience in keeping our Club at the forefront of our Industry.

The next twelve months will bring a host of issues and problems for all in our Industry, and I feel sure that our people will ensure that the best outcomes for our Club will be achieved, whatever eventuates.

This report is certainly a credit to all concerned, and again my thanks are extended to everyone that has made this possible.

GENERAL MANAGERS REPORTMembers,

This is an abbreviated report due to the need to provide space for information on constitution changes and special resolutions. My full report can be found on our website (that’s of course if you are interested!)

It is at this time that I reflect on another year in the history of R.E.L.C. A year that saw the Club celebrate its 40th anniversary as a licenced Club.

From very humble beginnings and the hard work and perseverance of a tireless executive, and a small number of members who fought for seven years for the Club to attain a licence (and change the law in the process), your Club has grown to a multi million dollar business providing a vast array of facilities for members and the community.

The success of the Club is evident by the 2010/11 trading year which has been a record trading year for the Club and reflects strongly on the outcome of the building project completed last year. Full details of the Club’s trading results are contained in the annual report which can be found on the Club’s website. In summary we recorded a net profit of $3.58m after tax.

While the Club’s profit was a record, so was the ‘loss’ from our satellite Club Hawks on Second Avenue. This year’s loss of $304,000 saw total losses from this venue reach over $1.6m since opening in 2003. The “cash” profit of the first four years has been offset by large “cash losses” over the past four years and the Board has resolved to close the premises at the end of 2011. This is a sad end to an amalgamation that was entered into in good faith over ten years ago on behalf of the members and the community and a sad end to over 80 years of a Club on that site.

As advised in the last year’s annual report, the Club has applied to Ryde Council for a rezoning of the site. The outcome of this application should be known when members read this report.

The Club also advised members at its last meeting of a strategy to review its holiday property port folio and sell properties that were not viable and pursue other more viable options. This strategy is continuing.

Members would be well aware of the issue of pre commitment technology for poker machines and the Labor/Greens/Independent Government pursuit of this outcome. The Club industry’s latest battlecry against this is ‘Wont Work – Will Hurt’ and that really summarises the issue. Members can obtain all the detail on why it won’t work at www.wontworkwillhurt.com.au

Ryde-Eastwood Leagues Club like most Clubs is in favour of a voluntary pre-commitment option for poker machines and has this available to any member who wishes to take up this option. (If you wish to know more on voluntary pre-commitment email [email protected] or ask at the Club when next in). Voluntary pre-commitment is a conscious decision by an individual member. Mandatory pre-commitment is a government imposed decision on all members and is the fundamental reason why it “Won’t Work – Will Hurt”

In closing, a big thank you to all the team, from President Keith Aggett, the Board, the management team and staff for your hard work support throughout the year and to members for your continued support of your Club.

NOTICE OF ORDINARY RESOLUTIONSNotice is hereby given that at the Annual General Meeting of the Club, members will be asked to consider, and if thought fit, pass the following resolutions which are proposed as Ordinary Resolutions:

1. FIRST ORDINARY RESOLUTION(a) That pursuant to the Registered Clubs Act the members hereby approve and agree to

expenditure by the Club in a sum not exceeding $70,000 until the next Annual General Meeting of the Club for the following activities:

(i) An annual dinner for Foundation Members and partners;(ii) An annual Appreciation dinner for sub-club Executive Committee Members;(iii) Grants and subsidies to the sub-clubs;(iv) Two free meals and beverages per fortnight for each Life Member of the Club who is not a Director of the Ryde-Eastwood Leagues Club Limited (not to exceed $120 for each meal);(v) Presentations to members and other persons acknowledging services deemed by the directors as being of benefit to the Club.

The members acknowledge that the benefits in paragraph (a) above are not available to members generally but only those members who fall within the various categories of membership referred to.

2. SECOND ORDINARY RESOLUTION(a) That pursuant to the Registered Clubs Act the members hereby approve and agree

to expenditure by the Club in a sum not exceeding $130,000 for the following benefits, professional development and education of directors until the next Annual General Meeting and being:

(i) The reasonable cost of directors attending the ClubsNSW and Leagues Clubs Australia quarterly and annual general meetings and the reasonable costs of directors attending formal functions to represent the club including but not limited to functions and dinners conducted by ClubsNSW, and Leagues Clubs Australia and including costs associated with the Directors’ partners where attendance is expected and required.

(ii) The reasonable cost of directors attending seminars, lectures, trade displays and other similar events as may be determined by the Board from time to time as being of benefit for Club and the education of directors; (iii) The reasonable cost of directors attending or hosting other registered clubs for the purpose of viewing and assessing their facilities and methods of operation or for the purpose of meeting and exchanging ideas with the governing bodies of those other clubs provided such attendances are approved by the Board as being necessary for the betterment of the Club; (iv) Ten car parking spaces for the exclusive use of directors; (v) Duty directors, while on duty, shall be entitled to the use of a table in the Club auditorium without charge; (vi) Blazers and associated apparel for each director as may be necessary for new directors, and to replace those of existing directors which may need replacing; (vii) The reasonable cost of a meal and beverage for each director immediately after a Board or Committee meeting on the day of that meeting where that meeting coincides with a normal meal time; (viii) The reasonable cost of meal and beverage for each duty director and his or her partner when the duty director is on duty in the Club or within a reasonable period of that date; (ix) The reasonable cost of directors attending the Club’s holiday units to inspect them or to assess other holiday units for purchase by the Club provided such attendances and cost thereof are approved by the Board. (x) The reasonable cost of directors, senior management and their partners attending an annual dinner; including a token of appreciation for partners.The total value of tokens of appreciation not to exceed $1200. (xi) The reasonable cost of directors of the Club attending an organised intrastate, interstate or overseas tour as determined by the Board of the Club for the purpose of viewing and assessing the facilities of casinos, hotels and entertainment venues and determining trends in relation to entertainment, decor, gaming, marketing and promotion and thereafter for such director to make a detailed written report thereon to the Board of the Club; (xii) The reasonable expense incurred by directors in relation to such other duties including entertainment of special guests to the Club and other promotional activities performed by directors which activities and the expense there from are approved by the Board, on production of receipts, invoices or other proper documentary evidence of such expenditure; (xiii) That the members approve that directors and other members be entitled to represent the Club at sponsored sports events by invitation. (xiv) The reasonable cost of providing Directors with internet access to access a secure website for board meeting minutes and agenda items

(b) The members acknowledge that the benefits in paragraph (a) above, are not available to members generally, but only to those who are directors of the Club and partners of directors who are members and senior management and their partners who are members.

3. NOTES TO MEMBERS These notes are to be read in conjunction with the proposed Ordinary Resolutions;1. The First Resolution is to approve benefits which have traditionally been provided in the Club but which are not equally available to all members.2. The Second Resolution is to approve an amount no greater than $130,000 for the expenditure by the Club in relation to duties performed in or about the Club by directors and expenditure for directors to attend seminars, lectures, trade displays and other similar events including the Clubs NSW Annual General Meeting and to visit other clubs to enable the Club’s governing body to be kept abreast of current trends and developments which may have a significant bearing on the nature and way in which the Club conducts its business. This resolution also includes an option for directors to participate in organised intrastate, interstate or overseas trips to view and assess facilities. This option has been included in our Annual General Meeting Agenda for the last eight years and has not been used. However prior approval is required by members to ensure the club complies with relevant legislation. Part (i) of the resolution to include reasonable expenses of partners of directors is to allow the availability of directors to attend meetings that are expected or required for their development and knowledge and are often held in distant locations.To be passed each ordinary resolution must receive votes in its favour from not less than a simple majority of those members who being entitled to do so, vote in person at the meeting.

SPECIAL RESOLUTIONS FIRST SPECIAL RESOLUTION“That the Constitution of the Club be amended as follows: • Deleting Rule 24 and inserting instead the following new Rule 24: “24. (a) Life Members, financial Club Members and financial

Foundation Members who were Full Members of the Club as at the date of adoption of this Rule will have the following rights (subject to any further restrictions contained in this Constitution):(i) to attend and to vote at all General Meetings;(ii) to vote for the election of the Board;(iii) to be nominated for, elected to and hold office

on the Board; and(iv) to vote on any Special Resolution including any Special Resolution to amend this Constitution.

(b) Life members and financial Club members whobecame Full Members of the Club after the date of adoption of this Rule and who have at least 3 years standing as a Full member will have the following rights (subject to any further restrictions in this Constitution):

(i) to attend and to vote at all General Meetings (i) to vote for the election of the Board; (iii) to be nominated for, elected to and hold office on the Board;

(iv) and to vote on any Special Resolution including any Special Resolution to this Constitution. (c) For the purposes of Rule 24(b) and determining

whether a member has 3 years standing as a Full member for nomination, election or appointment to the Board, the date by which the member must have attained such standing will be the date of opening of nominations for election, or in the case of an appointment of a member to fill a casual vacancy on the Board, the date of appointment.

(d) Junior members shall be entitled to the use of suchfacilities of the Club as the Board shall determine from time to time but shall not be entitled to attend and vote at any general meeting of the Club.”

• Deleting Rule 49(a) and inserting instead the following new Rule 49(a): “(a) (i) A Life member, financial Club member or financial

Foundation member who was a Full member as at the date of adoption of this Rule shall be qualified to be a director of the Club (subject to any further restrictions contained in this Constitution); and

(ii) A Life member or a financial Club member whobecame a Full member of the Club after the date of adoption of this Rule shall be qualified to be a director of the Club if he or she has at least 3 years standing as a Full member as at the date of opening of nominations for election or, in the case of an appointment to fill a casual vacancy on the Board, as at the date of the appointment (subject to any further restrictions contained in this Constitution).”

• Deleting Rule 98 and inserting instead the following new Rule 98: “98. This Constitution may be amended only by resolution passed by a three- quarters majority of: (a) Life members, financial Club members and financial Foundation members who were Full members as at the date of adoption of this Rule; and (b) Life members and financial Club members who became Full members after the date of adoption of this Rule and who have

at least 3 years standing as a Full member, who are presentand voting at a General Meeting, being a meeting at which at least twenty-one (21) days written notice specifying the intention to propose a resolution as a Special Resolution has been given in accordance with the Act.”

Explanatory Message to Members Regarding the First Special Resolution1. The Board proposes that those Life members and financial Club members

who became Full members (i.e. persons who are Ordinary or Life members of the Club) on or after the date of passing of the First Special Resolution must have at least 3 years standing as Full members before they may eligible to attend or vote at General Meetings on any resolution, including ordinary and special resolutions (and including special resolutions to amend the Constitution), vote for the election of the Board or to be nominated for, elected to or hold office on the Board.

2. If the First Special Resolution is passed, the rights of existing Ordinary and Life members will not be affected. They will not be subject to the qualification period under proposed new Rules 24, 49(a) and 98.

3. The Board considers that it is appropriate that rights to attend and vote at General Meetings and to hold office on the Board of Directors should be subject to a minimum period of 3 years Full membership of the Club. This would ensure that members who have a genuine interest in the future of the Club may take part in Club’s decision making processes.

4. Most registered clubs have some form of qualification period applying to newmembers before they may exercise certain rights, such as voting on resolutions and/or holding office on the Board of Directors.

SECOND SPECIAL RESOLUTION

“That the Constitution of the Club be amended as follows:

• Amending Rule 22(b)(i) by replacing the words and number “above 12” on the firstline of Rule 22(b)(i) with the words and number “who has attained the age of 16” so that the Rule will read as follows:

“(i) Any person under the age of 18 years and who has attained the age of 16years and who satisfies the Board that he or she wishes to actively participate in regular sporting activities organised by the Club and from whose parent or guardian the Club receives a written consent (in such form as the Board may determine) to be a Junior member of the Club and to participate in regular sporting activities organised by the Club may be admitted to Junior membership of the Club. Such parent or guardian shall be either a Club member or Life member of the Club and will be required to undertake to the Club to be responsible for the annual subscription and all other monies payable to the Club in relation to the Junior member and for the behaviour of the Junior member.”

Message to Members Regarding the Second Special Resolution

1. The Board have determined that persons under the age of 16 years should not beadmitted as Junior members of the Club because of supervision and occupational, health and safety issues, related to the use of the club’s gymnasium and Fitness facilities.

2. Presently Rule 22(b)(i) provides that Junior membership is open to persons under the age of 18 years and above the age of 12 years. It is considered that the minimum age for Junior membership should be 16 years.

3. If the Second Special Resolution is passed, persons under the age of 18 yearsand who have attained the age of 16 years may join the Club’s Fitness facility (The Fitness Edge) subject to the provisions of amended rules 22(b)(i) and access the Club’s premises as members.

THIRD SPECIAL RESOLUTION

“That the Constitution of the Club be amended as follows: • Amending Rule 7(c) by replacing the words “Section 10(7)” on the first line with the words “sections 10(1)(j) and 10(7)”, so that the Rule will read as follows:

“(c) Subject to the provisions of sections 10(1)(j) and 10(7) of the RegisteredClubs Act,a person, other than the Club or its members, shall not be entitled under the rules of the Club or otherwise to derive directly or indirectly any profit, benefit of advantage from the grant to the Club of, or the fact that the Club has applied for or is granted, a club licence under the Liquor Act or from any added value that may accrue to the premises of the Club because of the grant to the Club of, or the fact that the Club has applied for, a club licence under the Liquor Act.”

Amending Rule 29 by adding the following new Rule 29(g):

“(g) Notwithstanding Rule 29(f), in accordance with the Registered Clubs Actan eligible person may be admitted as a Temporary member for a period of up to, but not exceeding, 7 consecutive days (or for such longer period as the Casino, Liquor & Gaming Control Authority may approve in writing). A person admitted under this Rule 29(g) is only required to complete and sign the register on the first day when they enter the Club’s premises during that period.”

• Deleting Rule 45(c) and inserting instead the following new Rule 45(c):

“(c) The Secretary (or subject to paragraph (e) of this Rule 45 an employee of the Club) has power to suspend any person’s membership and remove that member from the Club’s premises:

(i) who in the opinion of the Secretary or the senior employee is then intoxicated, violent, quarrelsome or indecent; or

(ii) whose presence on the Club’s premises in the opinion of the Secretary or the senior employee may render the Club or the Secretary liable to a penalty under the Registered Clubs Act or the Liquor Act; or

(iii) who in the opinion of the Secretary or the senior employee has engaged or used any part of the Club’s premises for an unlawful purpose; or

(iv) who, within the meaning of the Smoke-free Environment Act, smokes while on any part of the premises that is smoke-free; or

(v) who uses, or has in his or her possession, while on the premises of the Club any substance that the Secretary suspects of being a prohibited drug or prohibited plant; or

(vi) whom the Secretary, under the conditions of the club licence or according to a term (of the kind referred to in section 134 of the Liquor Act) of a local liquor accord, is authorised or required to refuse access to the Club’s premises; or

(vii) who in the opinion of the Secretary or the senior employee has engaged in conduct which may be prejudicial to the Club’s interests or which may be conduct unbecoming of a member.”

• Amending Rule 45(e) by replacing the words “Section 67A of the Registered Clubs Act” with the words “section 77 of the Liquor Act”, so that Rule 45(e) will read as follows:

“(e) Without limiting the provisions of section 77 of the Liquor Act the employee who under this Constitution is entitled to exercise the powers set out in this Rule shall be:

(i) in the absence of the Secretary from the premises of the Club the senior employee then on duty; and

(ii) any employee authorised in writing by the Secretary to exercise such power.”

• Deleting Rule 86 and inserting instead following new rule 86:

“86. Subject to sections 298, 315 and 316A of the Act, the Club must, within 4months after the end of the Club’s financial year or not less than 21 days before each Annual General Meeting (whichever is the earlier), send, or make available, to each member of the Club:(a) a copy of the financial report required under section 295 of the Act, (b) a copy of the directors’ report required under sections 298 and 300B of the Act; and

(c) a copy of the auditor’s report required under section 308 of the Act.”

Explanatory Message to Members Regarding the Third Special Resolution

General

1. The Third Special Resolution generally updates the Constitution to bring it into line with changes to the Registered Clubs Act 1976 (NSW) (Registered Clubs Act) and Corporations Act 2001 (Cth) (Corporations Act).

Rule 7(c) – Benefits arising from the club (liquor) licence to persons other than the Club or its members

2. Under section 10 of the Registered Clubs Act, subject to exceptions containedin the section all benefits of a registered club’s liquor licence under the Liquor Act 2007 (NSW) (Liquor Act) must flow to the registered club and its members. An exception in section 10(1)(j) of the Registered Clubs Act is a contract in the ordinary course of the registered club’s business.

3. The proposed change to Rule 7(c) will make it consistent with section 10(1)(j) of the Registered Clubs Act.

Rule 29(g) – Temporary membership4. The proposed new Rule 29(g), reflects changes introduced to the Registered

Clubs Act allowing temporary members to be signed in for up to 7 days (or up to 30 days if approved by the Casino, Liquor and Gaming Control Authority).Rules 45(c) and 45(e) – Removal and suspension of members under section 77 of the Liquor Act 2007 (NSW)

5. Proposed new Rule 45(c) and the proposed change to Rule 45(e) reflect the authority under section 77 of the Liquor Act of the Secretary and authorised employees of the Club to turn out from the Club’s premises, persons who are, among other things, violent, quarrelsome, intoxicated or who use, are in possession of prohibited drugs or whose presence on the premises might cause the Club or the Secretary to be in breach of the Liquor Act.

6. Existing Rules 45(c) and 45(e) presently refer to repealed section 67A of the Registered Clubs Act. The section was repealed in 2008 following the

commencement of the Liquor Act on 1 July 2008. The rules should be amended

to take account of the current provision of the Liquor Act. Rule 86 – Financial reporting

7. The Club is a public company limited by guarantee, incorporated under the Corporations Act and is regulated by that Act, among others. The Corporations

Act contains financial reporting requirements, including particular requirements for public companies limited by guarantee.

8. In 2006/2007 and again in 2010, the Corporations Act was amended in relation to the reporting requirements of companies to their members.

9. The 2006/2007 changes allow a company to send or make available their financial reports to their members, subject to the constitutional

requirements of the company. A member could make an election at any time to receive hard copies of the financial reports but otherwise the company could make available the reports on its website. The 2006/2007 changes were incorporated by changes to rule 86 passed at the 2008 Annual General Meeting.

10. The more recent 2010 changes to the Corporations Act have specific requirements for directors’ reports for public companies limited by guarantee. Applicable sections of the Corporations Act have been renumbered.

11. Proposed new Rule 86 has been drafted to take into account the current Corporations Act requirements pertaining to public companies limited by guarantee.

12. The Club will make available to its members the financial reports on the Club’s website. Members may elect to receive hard copies of the financial

reports at no additional charge. Written notification of general meetings, including annual general meetings, will continue to be given to members, and in relation to notices of annual general meetings, these will include reference to the availability on the Club’s website of the financial reports

GENERAL NOTES TO MEMBERS

1. A member may on request to the Club office obtain a copy of the Club’s Constitution which contains the existing provisions that are proposed to be amended by the above Special Resolutions.

2. In accordance with Rules 24 and 98 of the Club’s Constitution, only Life Members, financial Club Members and financial Foundation Members are entitled to vote on the Special Resolutions.

3. To be passed the Special Resolutions must receive votes in their favour from not less than three-quarters of those members who being eligible to do so, vote in person at the meeting.

4. As a result of the Special Resolution provisions of the Corporations Act, the Special Resolutions must be considered as a whole and cannot be altered by motions from the floor of the meeting.

5. To be passed, each of the Ordinary Resolutions and the Special Resolutions will be voted on separately.

6. To be passed the Ordinary Resolutions, must receive votes in their favour from not less than a simple majority of those members, who being entitled to do so, vote in person at the meeting.

7. Members who are employees of the Club are not entitled to vote.

8. Proxy voting is prohibited by the Registered Clubs Act.

9. The Board recommends that members vote in favour of the Ordinary Resolutions and the Special Resolutions.

CAMERA CLUB Our photographic year has been one of growth and enjoyment for all of our members.We have been joined and enriched by the twelve new members who have shared their interest and love of capturing images from the world around us. Recently, at two of our presentation evenings we were addressed by two wonderfulPhotographers. In August, Professor Des Crawley spoke to us about a creative approach to our photography. As he explained and visually demonstrated, this approach is designed to assist us in our growth as a creative image maker. Most people believe that expensive camera gear is necessary to produce wonderful images. Not so. At our September evening presentation, Malcolm Fackender opened our eyes in his sharing on “How to make our photos stand out from the crowd”. Again, this was not about camera gear, but about strategies that we can all use in our quest to capture that special image. One of our members, Scott Contini, who is a wonderful bird photographer, shared with us, through our club magazine “In Focus”, a tutorial on bird photography. Again, no expensive gear required. On a sad note, Brian Simpson, a member of the Ryde Eastwood Leagues Camera Club passed away on Sunday morning 31 July. Brian is remembered for the beautiful egret photos he took at the Central Coast. Long time members of the club will remember Brian and his beautiful slides. On December 12th we have our Christmas dinner and award presentations. This is always a most enjoyable evening, supported by the Ryde Eastwood Leagues Club.Members and their families come together to share a Christmas evening and view images by club members. Come and join us in 2012, share our friendship and find out how to improve your picture taking skills. CHESS CLUB We are pleased to report that our three teams entered in the NSW Chess Association Grade Matches have done well. Special congratulations to our Under 1600 team which won its division with a score of 25/36, finishing 3.5 points above the second team. The team was ably lead by Egon Cardenas 7/9. The other members were newcomer and promising junior Nicholas Brown 7/9, Tereza Grbin 5.5/8, and Mark Aspin 4/8. Congratulations to all on a truly impressive achievement. Our Under 1800 team played strongly to finish second on 20.5/36. Its members were: Don Patterson 5.5/9, Lorenzo Escalante 5/8, Joshua Christensen 6/9, and Rob Watson (capt.) 3/9. Our Under 1400 team 20/36 also played well to achieve second place in its group with Greig Edwards 6/8, James Hickey 5.5/9, Vince Chiara 4/8, and Alan Marton 2.5/8 comprising the team. We thus had a win and two seconds from our three entries. Our talented junior member, Anton Smirnov, born in 2001, played impressively to win our lightning championship (each player having only 5 minutes for all moves). Anton scored 9.5/10. Second was Donato Mallari 6/10 with Arthur Huynh third on 5.5/10. The Group C play-off between Bill Gletsos and Argo Kuru from the preliminary rounds of our club championship is not yet complete. As always, new players of whatever standard are welcome on Wednesdays at 7.30pm. EUCHRE CLUBA great night in the Hawks Restaurant on the 2nd August was enjoyed by our members to celebrate our Xmas in July/August Dinner. THE FISHING CLUBWith the winter months coming to an end we hope for more pleasant conditions from now on. As usual, winter conditions gives us the best results; for example the June catch was 47kgs, July 37kgs, August 30kgs and September 36kgs. Back in 2009 for the same period: June 33kgs, July 34kgs, August 28kgs, and September 24kgs. In 2011 19kgs more fish were caught than in 2009 (must be global warming!) The next outings will be on Sunday 2nd November and Sunday 4th December. The fïshing club organises monthly deep-sea charter boat fishing trips on the first Sunday of the month. All Ryde Eastwood League Club members are welcome to join the outing as guest members. The departure time is 5:30am and the return time is 2pm. The boat is a 53 footer with toilet facility and offers plenty of space on deck.The cost is $50 which is much cheaper than the current commercial rate of $70-$100. Fishing gears are available for hire for $5 but baits are not included. Any interested club member should contact Mr Nic Ceh at 98582412 or attend the monthly fishing club meeting on the third Thursday of each month at 8.00pm for details. The fishing spots are generally about 5km east of North Head at about 25-40 fathoms deep. Types of fish caught generally include morwongs, flathead, snapper, sweeps and pigfish.

GOLF CLUB A very cold morning at Penrith was a Medal round and the home of the Matchplay final. Congratulations to Henry Urbanski who beat Robert Wood 5/4. Medals on the day went to A grade Henry Urbanski 40 points with Rick Beves on 34 points runner-up. The B grade medal went to Natalie P on count back from Peter Lau 36 points. North Turramurra was home to a 2BBB and the conditions were obviously favourable to some with so many individual scores in the 40s. Winners on the day were Colin Cope and John Nilan with 51 points on countback from Neville Maher and Billy Chick. Colin must have had sore shoulders on the day scoring 49 points on his own. Congratulations to the joint winners of our Presidents Cup, Dave Whybro and Alan Henderson both with a net 71 at Fox Hills. Congratulations to our Pairs Champions Dom and Anthony Tedesco 54 ¼, narrowly defeating the veterans Steve Ferns and Colin Cope 54 ½ at North Turramurra. Dunheved hosted the first round of the championships and winners on the day were Alan Henderson with a net 70 in A grade and Yuri Popov also a net 70 in B grade. Runners-up trophies were awarded to Tony Campbell in A grade net 75 and Slava Sokolov in B grade net 72. INDOOR BOWLSThe National Indoor Bowls Championships were held in Shellharbour in August this year. Sixty bowlers from every state except WA played. The following members of Ryde-Eastwood were in the NSW team: Sandy and Jeffrey Tam, Lynda and Bob Bale, Jim Harvey, Doreen Anderson, Luis Travanti, Rob Asser, Michael Wookey, Jenny Loveridge, and Annika and Anthony VanLierop. All earned valuable points for NSW. Our Christmas in July was held at Ryde-Eastwood this year and was a great success. Bathurst RSL is visiting us on 30th October. Our patron, Mr. Jack King, has been in Ryde Hospital for some time, and we wish Jack a speedy return to good health. Thank you to Ryde-Eastwood directors for their support of indoor bowls, and we wish everyone a happy and healthy Christmas and New Year. Remember – new members are always welcome at Indoor Bowls. SENIORS CLUB We had a delightful trip to the Blue Mountains for our Yulefest lunch, however we did not see any snow. We have also had a bus trip to Leura to see the Spring flowers and the weather was beautiful. Many of our members

had never been to the Lancer Barracks in Parramatta and thoroughly enjoyed their guided tour. A number of our members went to the newly, very impressive and opulently refurbished Casino at Darling Harbour, and managed not to lose too much money. Members are looking forward to their trip to Barrington Tops in October, and for the first time we are having a Jacaranda Cruise around the harbour in November. Our Christmas Lunch will again be held in the Function Rooms at the Club and, as always, will no doubt be a huge success. Our meetings are held on the first and third Thursday of the month at 11am, with Solo (cards) held every Thursday at 1.30pm. For more information please contact Marie Weston on 9638 7419. SQUASH CLUBAt the time of writing, we are part way through the Spring Competition. The Squash Club has only two teams competing this time around, Div 5 (currently 2nd), Div 9 (currently 5th). Good luck to all players.We have just completed our internal Club Championship round robin. This is held once a year, at the end of the Autumn competition and is a great measure of how players are performing within the Squash Club. This is a great opportunity to ‘take on’ some better players. Congratulation must go to Scott Young, who won the Open Division over Richard Massey and Jeff Burgess who defeated Joe Son Kee in the second division. Finally, may I take this opportunity to thank the Leagues Club for its ongoing support of the Squash Club; it is very much appreciated by all the players.Remember, we are always looking for squash players, so if you are interested please contact Ernie Speed on 9807 3348.

TRAVELLING BOWLS CLUBWell, 2011 is almost over with only one more game to play. Ettalong Bowling Club will be our host and they are looking forward to our visit. Due to your support we achieved a successful year and were able to meet old friends and make new friends. Unfortunately we lost one game at Umina because of torrential rain but still enjoyed their hospitality. Dates to remember:1. Sunday 13th November – Trip to Ettalong Bowling Club. Bowls uniform. Coach leaves Ryde-Eastwood Leagues Club at 9.30am. 2. Thursday 1st December 2011 – Christmas dinner party at Ryde-Eastwood Leagues Club from 7pm in the function room. Members and friends all welcome. Last year the venue was great, the meal was special and was a great social evening. 3. Our AGM meeting will be held early February 2012. Date to be confirmed. TRAVEL CLUBOur club continues to do well. We have some new members and our outings are completely full. Christmas in July at Mt. Victoria went very well, and luckily for us we had a fall of snow while we were having lunch, so we were not do much “dreaming of a white Christmas” as actually having one. In August some forty plus members went to Doyle’s at Watson’s Bay for their annual ‘Winter Special’, the day turning out to be perfect considering we had so much rain before and after. The harbour looked spectacular. Our September outing was a ferry trip from Palm beach to Bobbin Head with a fish and chip lunch picked up at Patonga. A three day trip away is planned for Barrington Tops in October, a very popular trip as it has been fully booked. November will be our usual Melbourne Cup party, followed by an evening at the club to hear the Welsh Choir on 19th November. Just a reminder that our Christmas party is on Thursday 15th December. We have had some interesting speakers over the past three months for which we thank our committee member, Warwick Ireland. The club meets on the first Tuesday of the month at 2pm.
