SECTION A : CONSTITUTION

We the undersigned, hereby declare that we desire to fonn a Society under theQuebec Companies Act, and that :

L The name of the Society is : NATIVE ALLIANCE OF QUEBEC !NC.

2. The objectives of the Alliance are :

a) To advance at aU possible occasions the interests of the off-reserve Natives for thepurpose of promoting their common interests through collective action.

b) To promote recreational activities for the off-reserve Natives and assist in thedevelopment of social fellowship, human understanding, dignity, and contributeta our people's understanding oftbeir history, aceomplishments and contnbutionta Canadian society.

e) To bonar great Metis and lndian Leaders of North-America.

d) To be interested in the spiritual and tempotal we1f.ue of aU off-reserve Natives inCanada.

e) To establish and maintain the necessary funds witch will provide legal guidanceand protection of their Constitutional and legal rights.

f) The discussions and recommendations, 10 either Provincial or FederalGovemments, affecting these respective Govemments for the welfare of off-reserve natives within the Province of Quebec and Canada.

g) Off-reserve Natives should be aligned to better their conditions in the social,economic, welfare, educationaI, human rights, political and cultural fields.

h) To subscribe to become a member of and cooperate with other organizations,either incorporated or not, whose objectives are aIl together or in part sinùlar tothose of the Alliance.

i) To enter into any anangements and agreements with any Govemment orauthority (municipal. local or otherwise) that may seem conducive to theAlliance's objectives or any of them, and to obtain from such Government orauthority; rights privileges and concessions which the Alliance may thinkdesirable to obtain, to exercise and comply with any such arrangements andagreements. rights, privilegesand concessions.

j) To engage in research to enable the Alliance 10 better carry ont its purposes.That is to assist Native communities in improving their living standards; engagein an education campaign to stimu1ate interest 00 the needs aod problems of the .Native people of Quebec, and of their language, traditional culture, the folklore,art and crafts.

k) To invest and deal with such manies of the Alliance as· are not immediatelyrequired, in such a manner as may from time to time be determined.

Any persan member of the Native Alliance of Quebec, listed on the Registrar'sIndian Aflà.irs Generallist, after the implem.entation of Bill C-31, who resides off..reserve.

By extension associa te meri1bership may be extended by a community to the spouseof a regular member. Honorary membership may be granted to any person who, inthe opinion of the community, is entitlcd to such membership. The executive of theNative Alliance of Quebec Inc. or any community bas the authority to takestatements under oath.

RULE#2 :

METIlOD AND SCHEDULE TO USE lN CALLING PROVINCIAL.GENERAL AND SPECIAL ASSEMBLIES, MEMBERSHIP ASSISTANCEREQUIRED Ta FORM A QUORUM AND VOTING RIGHTS.

1. At least once a year, and at any other time !hat the Provincial Board of DirectoISmay deem necessary, a meeting of the Board and elected d.elegates, as hereinprecited, must be he1d. These meetings are to be known as cr Annual or SpecialAssembliesll as the case may be, and 50ch meetings shall have full power andauthority ta exercise its functions and govem the Alliance.

2. The Annual Assembly shall be held a.t a date and place chosen a.t the previousAssembly and in the case where the date and place bas not been decided al suchan Annual Assembly, then the Board shall decide of the date and pJace where theAssembly will be held.

3. The Annual Provincial Assembly will elect the Gra.nd Chief for a mandate of two(2) years.

4. Only regular members are allowed ta have voting rights and to hold executivepositions and to be delegates.

5. Special Assemblies may be called by the Provincial Board of Directors of theAlliance for the transaction of bu..criness at a date. time and place dedded by theBoard ofDirectors.

6. The method"and regulations used concerning the notice orthe Provincial AnnualAssembly may be made or altered by the Assembly from time to time.

7. The Assembly shall not be entitled to carry out its functions nor to conductbl1Siness if the number of the delegates present is less than 50% + ] of thedeley.ates registered atthe Assembly.

8. The Assembly shall be called to order by the Grand Chief, then the Assemblyshall elect a chairperson to preside over the debates of the Assembly.

9. Notice of the date and place off an Assemblies of the Alliance, along with thenature of business to be discussed and voted upon at the Assemblies shall becommunicated to each delegate elected from each Regional Assemblies at least(30) days before the holding of the Assembly.

10. Ali Assembly of the Alliance shall be composed of persons authorized ta electthe officers of the Alliance and to determine general palicy. These peISOnsauthorized to vote at the Provincial Assembly are :

11.The nwnber of delegates of the communities of the Alliance at a ProvincialAnnual AsseInbly will be seventy-five (75) peoplet fifteen (15) delegates from eachregion elected at their Regional Annual Assemblies.

12. Any Special or Provincial Assembly of the Alliance must be caUed by the Boardof DirectOlS upon receipt of a petition by two-thirds of the communities citing thereasons motivating such an Assembly and must be done in the manner hereinhefore provided in the by-la-ws.

13. Every person that is a regularmember of the Alliancet that he be delega.te or not,that is physically president at an Annual Assembly has the right to presenthimselfto an elected position, and this at any level of the NA.Q.

RULE # 3 :

NOMINATION AND END OF THE MANDATEOF PROVINCIAL OFFICERS : THEIR POWERSAND OBLIGATIONS.

1. Subject of the provisions herinbefore contained concenùng the Ah'SeIIlbly of theAlliance, the transactions and business of the Alliance shall be directed by theProvincial Board of Directors formed of:

a.) The Grand Chiefb) Five (5) Regional Presidentse) Five (S) Regional Vtce-Presidents

The Grand Chief remunerated or not. elected by the Provincial Annual Assembly.The Regional President and Vice-Presidents automaticaDy become ProVÙ1cialDirectors.

Among the ten (10) Provincial Directors, !Wo (2) Provincial Vice Presidents will··bechosen by the whole body of tbe Provincial Board of Directors.

A Secretary-Treasurer will be chosen by the Provincial Board ofDirectors.

2. The Provincial Grand Chief / President, can be suspended from bis .duties, bispowers annulled, and ifthere is grounds have bis salary eut, this totally or in part,for a periocl of time judged necessary by the Board of Directors, this and at themoment where the said Board judges that the entitled is incapable or unable offilling bis function or that bis behavior and actions are considered a.'i beingbam1ful and holding prejudice ta the Alliance and to its members. A member ofthe Board of Directors could be hired by the said Board to assume thearl1'f\inlmative ta..~ksthat are normaUy incombent to the G~hier / Presidentand this for·the time detennined by the Bœrd of Directors or until the nenProvincial Annual Assembly.

3. The election for the positions of Grand Chief and Provincial Vice Presidents willhave ta be done in such a manner as ta ensure tl1at if the elected Grand Chief hasfor bis maternai language French, at least one of the Vice Presidente: will haveEnglish as bis ma.temallangua.ge, be bilingual or vice-versa.

4. A written resolution signed personally by the members of the Board of Directorswill be valid and effective t.~e same as a resolution passed at an Assembly of theBoard of Directors of the Alliance duly called and constituted.

S. The Directors entitled to sit on the Provincial Administrative Board are elected attheir respective Regional Annual Assembly.

6. The Alliance Board of Directors can, from time 10 timc, designate officers or .agents or authorize the employment of any other persan whom it judgesnecessary to bring to good tenn the objectives of the Alliance and these officers,agents or other persans will be abilitated and will have to accomplish the tasleswlùch, ftom time to time, can be asked by the Alliance.

7. The Assemb1ies of the Provincial Board of Directors of the Alliance must be beldat least once every six (6) months and at a1l other times the amu.rs of the Alliancemay require, or that the Board ofDi.rectors judges it necessary.

8. A majority of the member5 of the Board of Directors must be present physically toconstitute a quorum at an Assembly of the Provincial Board of Directors of theAlliance.

9. The time, place and the method of cal1ing all assemblies of the Provincial Boardof Directors must be provided for in the by-law's and rules established by theBoard of Direcrors.

10. The Board will be able to convene by way of conference cans. The mattersdÏscussed by conference calls will have the same validity as the meetings with theDirectors physically present.

RULE#4:

MANDATES OF THE GRAND CIDEF, VICE-PRESIDENTS,SECRETARY-TREASURER

The Grand Chief will be responsible for the general administration, management ofaffairs and the operations of the Alliance. The Grand Chief will aiso be ex-oficiomember of an the committees. The Grand Chief will sign with the Secretary-Treasurer or other officer designated for this function, by the Board of Directors, aUthe resolutions and certificates of members. He will also, when present, preside overaU the meetings of the Board of Directors. During the absence or incapacity of theGrand Chief, or at the request of the Grand Chief, bis functions and powers can beexercised by one of the Vice-Residents subject to the same prerogatives as the GrandChief.

SECRETARY-T1ŒASURER. ,/

It is the Secretary- Treasurer's duty 10 assist at aU meetings of the Alliance and theProvincial Assemblies of the Alliance and to take minutes. The Secretary- Treasurerwill"also be in charge of aIl the correspondence of the Alliance and will be under theorders of the President and the Board of Directors. The Secretary- Treasurer willprepare aU notices to be given to the members, committees and officelS. TheSecretary- Treàsurer will be the lœeper of the Alliance Se~ the books, which theSecretary- Treas~ could not give ta anyone ulÙess he is authorized by a rcsolutionby the Board ofDirectors and only to a one persan or persans who were specifica11ynâmed in the resolution.

The Secretary- Treasurer, could a1so from time to time fu1fill functions detennined bythe Board of Directors of the Alliance. lbe Secretary-Treasurer-will also lœep aregÎSter of all the members of the Alliance as well as their ad.dresses. The Secretary-1"reasurer will receive an moneys payable 10 the Alliance and will be responsible forthe latters deposits at a bank chosen hy the Board of Directors. He must give anaccount of all the Alliance funds and keep an updated book of aU accounts, asrequested. The Secretary. Treasurcr must present, in details, aU the accounts ofreceipfs and disbursements when requested to do sa by the board of director's. Hemust prepare and submit to the Annual Assembly an audited report on the financialstate of the Alliance, as prescnbed above, and submit a copy of this report for tberegister's of the Alliance.

RULE#5 :

AUDITING

The books, accounts, registers, documents and confinnations of the Alliance mus!be audited and verified by a certified accountant, at least once a year. A report mustbe prepared on the financial state of the Alliance for the preceding year andpresented to the Annual Assembly of the Alliance. The fiscal year of the Alliancetern1inates on March 31. At each Annual Assembly of the Alliance, the delegatesshould hire one or more auditors who will preside until the next Annual Assembly.

RULE#6 :

CUSTODY AND USE OF 'lHE OFFlCIAL SEAL

1. The Board of DirectOIS of the Alliance may adopt a S~ which shall be thecommon Seai of the Alliance.

2. Deeds, transfers, licenses, contracts, agreements and obligations on behalf of theAlliance shall be signed by the Grclnd Chief or one of the Vice-Presidents and bythe Secretary-Treasurer or by any othee persan authorized by the Board ofDirectors and the Secretary-Treasurer shall oppose the Seal of the Alliance on andocuments requiring it..

PROCESS 1'0 BE USED ID ALTER OR RECIND ELIMrnATI~OBJECTIVES AN DY-LAWS

1. The objectives and by;.laws of the Alliance shall not be altered or recinded exceptby an eA'traordinary resolution of the Alliance.

2. For aU circumstances conceming the Alliance, an "Extraordinary Resolution"means a resolution passed by a majority of no less than two thirds (2/3) of themembers entitled to vote in persan at a Provincial Annual Asscmbly of which aspecific notice of intention to propose an "Extraordinary Resolution" will havebeen duly given.

RULE#8:

METHOD AND SCBEDULE TO BE USED m CALLING REGIONAl.ASSEMBLIES

MEMBERSHIP ATŒNDANCE REQUIRED TO FORM A QUORUM ATTBOSE ASSEMBLIES AND V011NG RIGlITS

1. Bach year, an Assembly shaH be held, composed of the delegates from thecommunities of each region, elected as descnDed below. These meetings will beknown as "Regional Annual Assemblies" and such meetin~ will have the powerand authority to prepare recommendations to be brought up at the ProvincialAnnual Assembly.

2. Each year, the Regional Annual Assembly shall elect the Regional President andthe Secretary-Treasurer or the Regional Vice-President. AlI ofthese positions arcfor a mandate oftwo (2) years. If one year it is the election of the President andthe Secretary-Treasurer, the next year il will be the Vice-President in order tokeep a certain continuity.

3. Bach year, at the Regional Annual Assembly, fifteen (15) delegates will be electedto attend the Provincial Annual Assembly. They will have to be delegatespresents at the Regional Annual Assembly_

4. The Regional Annual Assemblies shall not be able to proceed if the number ofdelegates present is less than 51% of the delegates registered at the RegionalAnnual Assembly.

s. Notice of the date, time and place of the Regional Annual Assembly as weil asthe nature of issues to be discussed shan be communicated by the RegionalPresident.

6. AlI Regional Annual Assemblies must be composed of authorized persans. Thepersons authorized to vote at a Regional Annual Assembly are :

7. The elected delegates of the communities entitled to participate in a RegionalAnnual Assembly are in the number oftwo delegates per community.

8. That aUthe Regional Annual Assemblies must be held at least one month beforethe Provincial Annual Assembly.

1. Between Regional Assemblies, a Regional Board works towards the priorities ofthe Alliance in the Region. The Regional Board is composedof :

2. 'The President, Vice-President and the Secretary-Treasurer of a Region may be .suspendcd form bis duties, bis powers annulledand if there is grounds, ta havebis salary eut. if the Board judges that the incumbent is incapable or unable ofperfurming bis duties or if bis behavior and actions are considcred as bcinghannful and as bearing prejudice to the Alliance and its members. A member ofthe Board of Directors tan then be chosen or another persan could be hired bythe said Board ta assume the administrative wb that normallv incombent on theoflicer concemed and this for a period of time determined by the Board ofDirectoxsor until the next Regional Annual Assemply.

3. The Board in each Region shan meet at least once a year whenever it is decidedpertinent by the Regional Board.

4. A majority of the Board members must be physically present to. constitutc aquorum at a meeting of the Regional Board.

5. A Regional Board defines, in accordance with the priorities of the Alliance, thepriorities of a Region and makes the necessary recommendations to theProvincial Board ofDirectors.

RULE # 10:

REGIONAL PRESIDENT

Each Regional President has the mandate of presiding the Regional Board's of bisrespective Region. He is responsible for the organization and supervision of ailRegional Programs and Projects. He is the officia! spokesman for the members ofbis Region with governmental authorities. He as the responsibility to sit on theProvincial Board ofDirectors.

RULE # Il:

COMMUNITIES OF nIE ALLIANCE

Any ten (10) persons or more residing in the same locaJity and qualified ta becomeregular members of the Alliance may submit a request to the Board of Directors tafOIm a community of the Alliance for this loca1ity. The limits for any suchcommunity shall be determined by the Board of Directors and may be altered fromtime to time. Every community, when constitut~ shall be attn"buted a nameand/or a number approved and assigned by the Board of DirectOIS,a letter attestingthe vaHdityof the community signed by the President and the Secretary-Treasurerand stamped.with the Seal of the Alliance shall be issued, a letter of authorization toincorporate will also be issued..

1. Each community must hold an Annual Meeting before the date set for theRegional Annual Assembly. At this meeting, the President, Vice-President andSecretary-Treasurer shall be electedto be the Executive of the community for two(2) years, except for the first year, when the Vice-President will be elected for oneyear and the other officers for two years. 2. To hold a community Annual Assembly, ten regular members must be present tofonn the minimal quorum. AU motions or resolutions voted at the AnnualAssembly must be accepted by a majority vote of 50% + 1 of the memberspresent.

3. ln the event of a conflict situation in a community, which does not conform toour Consti1l,1tion, and if it is impossible for the members ta resolve it, theexecutive of the Alliance shall have the power to intervene in the most efficientway for the good functioning of the community.

4. Delegates and their substitutes to the Regional Annual Assembly shall be chosenat the AnnuaI Meeting of the community.

5. Additional meetings of the community shall be held at least every 3 months andalso at the requeb1 of the President, of the Secretary Treasurer or upon the writtenrequest of at least one-quarter of the members of the community.

6. If the date of the Assembly was chosen at a previous meeting, notice of such ameeting shall not be required. but in an other cases, the meeting shan beconvened in the manner stated in the rules and regulations ofthecommunity.

8. A regular member of a community must be ID good standing with bis communityin order to benefit from pmgrams offered by the Alliance.

7. Delegates and substitutes to the Regional Annual Assembly or any SpecialAssembly cbosen by the community· shan be regular members of their respectivecommunities and shan be present during their nomination.

9. An associate member in a community is not entitled to vote, cannot be elected taany executive position or on the Board of Directors, cannot be elected as delegate10 any Regional Annual Assembly but is entitled ta sit on certain committees inthe community.

MBMBERSHIP CRITERIASTHEIR RIGHTS AND OBLIGATIONS

NOTE: The content of pages 20 ta 24 are subject to the dispositions of theNations citizenship code.

AU persans oflndian ancestry, resident in the Province ofQuebec, sixteen (16) yearsof age and over and living off reserve. And that are able to prove bis link to anlndian band or to an lndian or Metis establishment.

Are entitled to regular membership in the Alliance. 1bat all members of theAlliance must accept the Constitution in ils integrity and that to adhere must complyto the criteria;s and principles of our association. Associate membership may beextended by a community ta the husband or wife of a regular member. Honorarymembersbip may be granted ta any person who, in the opinion of the community,merits sucb a title. The executive of the Native Alliance of Quebec or of acommunity has the authority ta make statements under oath.

Children adopted by Metis or lndian parents may be accepted as regular members ofthe Alliance.

ln respect to the membership By-Laws of the Native Alliance of Quebec, thefollowing rules must be respected :

1. M.embership committees must be established in every community .

1) This committee must consist ofthree Native person~, recogrùzed membcrsof the N.A.Q.

II) Persons on this committee must meet the criteria's set· out 10 themembership roles of the Native Alliance ofQuebec (NA.Q.)

.lIn a) These committees must be certified by the provincial or regionalexecutive.

b) However, only provincial or regional executives who meet thecriteria's set out in section (a) of the membexsmp By-Laws of theN A.Q. will be empowered to certify membership committees.

IV) a) Only membetship applications signed by at least two (2) members of acertified and duly registered community membership committee wù1 beaccepted for issuing of membership cards.

b) Exception ta this rote may be made in cases ofisolated membership. lnsuch cases, membership applications signed by a certified regional orprovincial executive will be accepted.

V) Provincial and/or Regional executives will Dot be empowered ta signmembership applications except in such cases as set out in section III (b),and IV (b) of the above rules.

VI) Ali applicants for mcmbership into the Native Alliance of Quebcc(N A.Q.) must present themselves at a. community general asst.."lIlbIy.Exception ta be made iD the cases of the elderly, the disabled, and isolatedmembers.

VII) It shall always be incwnbent to the applicant to provide the proofsrequired to become a member of the Native Alliance ofQuebec. Underno circUInStanceswill the N.A.Q. be responsible for the researchrequired to provide such proofs.

COMMUNITY MEMBERSHIP COMMrrrE~.GUIDELINES

1. Committee members will make sure that an applicant bas fully am;wered a1lquestions on the membership application foons and has signed his/herapplication.

2. Before countersigning application foImS, committee members will ensure thatapplicant meet the criteria's set out in the mem.bership rules of the NativeAlliance of Quebec. {NA.Q.}

3. Committee members will also ensure that aU applicants signed their adherence tothe criteria's and principals of the NativeAllianee ofQuebec. (NA.Q.) .

APPEAL MECHANISM

RECALL OR WITIIDRAWL OF A MEMBERS CARD-'.'_.

AlImemberslùp card obtained or given in a non confoIrnÏngway to the by-Iaw's andrcgulations in effect al the time of the emission can be recalled or canceled if, onrequest and after a reasonable delay, the card holder cannat or refuses ta conformhimselfto the said by-law's and regulations.

NEW MHMBERSHIP CARDS

Once the application ror mernbership bas been revised and accepted by the localcommunity, a new lifetime membership card will be issued. This new card will bearthe full identification of the member including his/her photographe The newpicture-bearing card will only be issued to regular members. A simpler,standardized card will be issued to the associate members.

This new card will be the only card recognized and authonzed by the NativeAlliance of Quebec (N.A.Q.) as it Willhear the seal of the Alliance, and this will beeffectivestarting July 31, 1997. It is our hope to have this new regular membershipcard recognized provincially, nationally and even intemationally for free bordercrossing.
