otherwise not in stri ct compliance with the lcnns of thi s Agreement and a Subliccnse Agreement; ( f) republication of or distributing any Archi ve and/or any constituent clement thereof to, or incorporating any Archive and/or any constituent

clement thereof into. any newspapers. newslellers. magazines. brochures. catalogs. commercial announcements. yearbooks. calendars, posters. and other similar materials;

(g) editing or otherwise modifying the Archives or any constituent elem..:nts thereof; (h) any commercial use by a Subscriber or an Authorized User th..:reof of the Archives or any constituent cl.:mcnts I hereof; or (i) any other use of the Archives or the Interface t_hat is not expresslx authoriLed pursuan~ to !his Agreement. . . . . . . Subscriber hereby certifies that ti ts a School or Library. "School(s) shall mean any 111d1v1dual. group. or dtslnct o l publtc. private and parochial school. college. or un iv..:rsity. and/or consortiums involving such ~chools. "Library(i.:s)" shall mean any Public Libraries: libraries of educational institutions; and/or. consort1ums involving ~uch libraries. THE SUBSCRIBER ACKNOWLEDGES THAT SU BSCRIBER HAS READ AND UNDERSTANDS THIS AGREEMENT AND HAS HAD THE OPPORTUN ITY TO HAVE IT REVIEWED BY LEGAL COUNSEL. IT SHALL OT BE CONSTRUED MORE STRICTLY AGAINST ONE PARTY rHAN THE OTHER AND THE MEA INGS AND PURPOSES ATTACHED TO ITS VARIOUS PROVISIONS SHALL BE THOSE REASONABLY I TENDED BY ACCU WEATHER. INC.

A. Equipment. St1bscriber shall. at its own cost. obtain. mai ntain and operate all terminals. communication devices and other equipment needed for accessing the Arehive(s). Subscriber acknowledges that AccuWo:athcr Sales and Scrvico: shall not be liable fo r the suitabi lity. delivery. performance or maintenance o f any terminal or other equipment or for the hook-up of any terminal or equipment to suitable telephone lines o r other communications links.

8. Access. During the t.:nn llf this Agreement. AccuWeather Sales and Service will provide the Archive(s) through communication facilities it may from time to time select and Subscriber shall have access rights to the Archiw(s). Access to the Archive(s) shall be authorized by AccuWeather Sales and Service to bo:gin upon the Starting Date and end upon tennination of th is Agreement. Subscriber agrees that it shall receive the Archive(s) only at the site(s) listed in this Agr.:ement. Access Code~ .md infonnation furn ished by AccuWeather Sales and Service to Subscriber are intended for Subscriber's sole and exclusive use and shall be considered proprie tary infom1ati on. ownership o f which shall remain with AccuWeather Sales and Service. Subscriber shall be ful ly responsible for maintaining confidentiality of its account access information and fo r all charges made to its account. Should Subscriber's Access lnfonnation be lost. stolen. or fall into the hands o f an unauthorized user or users. it is Subs1.:riber's responsibili ty to immediatel y notify AccuWcather Sales and Service in writing.

C. Su bscription Fees. Subscriber agrees to pay to AccuWeather Sales and Service the fee set forth in this Agreement. The fees may be invoiced in ad vance. Th is is a fixed fee, lump sum contract. Payment shall be due and payable at AccuWcather Sales and Service's office in State College. Pennsylvania at the beginning of each contract month or contract year without notice. Failure of payment shall render due and payable all sums payable during the in itial period of this Agreement and any subsi:quent renewal period plus a late payment charge of one and one-half perccnt per month. All prices sta ted herein arc in U.S. do llars. Subscriber shall pay the fees that a re due and owing under this Agreement to AccuWcather Sales and Service within 30 days from the date of invoice. If Subscriber fai ls to pcrfonn any o f its obligations under this Agreement. including but not limited to. failure to pay the fees that a re due and owing. AccuWeather Sales and Service will have the right to notify Subscriber of such failure and Subscriber will have 30 days to cure su1.:h failure. If the failure is not n 1red within the 30-day cure period. AccuWeather Sales and Service will have the right to tenninate this Agreement at any time thereafter immediately upon no tice to Subscriber.

D. Term. This Agret:ment sha ll remain in full force and efTect for the pi:riod specified o n the front hereof, beginning on the specified "Starting Date."

E. Copyrigh t, Storage and Ownership of Ser vice. All information. data images and other elements comprising the Archive(s) are the sole and exclusive property of The Associated Press ("AP"). Subscriber shall not archi ve nor develop a library o f the constituents of the Archive(s) and shall not permit its Authorized Users to archi ve or develop a library of the constituents of the Archive. Upon tennination of this Agreement, all clements of tht: Archives shall be deleted from any storage medium o f Subscriber. Subscribt:r acknowledges that The Associated Press retains sole and exclusive right. title and interest in and to the copyrights fo r all .:lcmcnts contain.:d in the Archive(s) and undo:rstands and a1.:knowledges that no title to or ownership of any of the elements o f the Archive(s) are hereby trans ferred to Subscriber hereunder. AP has deh:gatcd to AccuWeather the right to enforce this provision.

F. ,\ sslgnability. Neither this Agreement no r any rights o r obligations hereunder may be assigned by Subscriber without the express written consent of AccuWcather Sales and Service. Inc. and written acceptance of the contract by the Assignee. Payment may be made by a third party. Th is Agreement 1.:onstitutes the enti re agrccm..:nt between the parti.:s. No collateral or prior ~tatements. representations. understandings or agreements survive or are a part of this Agreement. No mod itications to this Agre.:ment ~hall be made except by written addendum signed by both parties hereto. The invalidity of any paragraph. subparagraph or portion of thi s Agreement shall not affect the va lidity of any other paragraph. subparagraph or portion hereof. The fa ilun: of AccuWo:ather Sales and Service to require the perfonnance of any t.:m1 of this Agreement or the wai ver by AccuW.:ather Sales and Servi1.:e of any breach under thi s Agreemcnt shall not prc\ent a subsequent ..:nforccment o f sud1 term by A1.:cuWeather Sales and Servi;;e nor be deemed a \\aiver uf any subs..:quent breach.

G. Perfor mance. In the 1.:ase of foilure of payment by Subscriber. AccuWeathcr Sales and Service shall have the righ t lo i:laim a sum equal tu twenty­tive percent or such payment due but not paid. tha t AccuWcather Sales and Service. may susta in by reason of Subscriber's fai lure to so pcrfonn this Agreement. Subscrib.:r's breach o f any o f the lcnns. covenants or condit ions o f this Agreement or other claims against AccuWcathcr Sales and S.:rvice. Inc. arising from this Agrccm.:nt as a liquidated amount for attorney's fees. AccuWeather Sales and Service. Inc. shall defend. indemnify. and hold hannlcss Subs1.:riber. their offic.:rs. agents and employees from a ll damages. liabilities. 1.:osts. fees, including. but nut limited to attomcy's fees. resulting from any judi,'111cnt or settlement agreement arising out of the daim o f a third party that AccuWcather Sales and Service. lnc.'s sale of products to Subscriber or Subscriber's use of said produ1.:ts consistent with the tcrms of this Agreement constitutes an infringe1m:nt of any patent. copyright trademark. trade name, trade sci:ret, or other proprietary or contractual right o f any thi rd party. NO LIM ITATION O F LI ABILITY SET FORTH ELSEWHE RE IN THIS AGREEMENT IS APPLICABLE TO T HIS INDEMNIFICATION. Subscriber shall give prompt notice o f an infri ngement daim to AccuWcathcr Sa les ;111d Service, Inc .. provided such 1.:orporation and a~sistani:e to AccuWcatht:r Sales and Service. Inc. as is reasonably necessary to defend the i:laim. and ~hall allow A1.:cuWcather Sales and Service. H. Damages. ACCU WEATHER. WHICH PROVIDES SUBSCRIBERS WITH ACCESS TO THE ARC HI VE(S) HEREUNDER AN D THE ASSOCIATED PRESS. WHICH OWNS THE ARC HIVE(S), EXPRESSLY DISCLA IM ANY RESPONSIBILITY OR LIABILITY FOR ANY LOSS. W HETHER DIRECT. CONSEQUENTIAL OR INDIRECT RESULTING TO SuBSC RIB ER. ANY AUTHORIZED USE R OR AN Y THIRD PARTY FROM ERRORS OR OMISSIO SIN THE ARCHI VES. T llE SYSTE\.f OR THE INTERFACE O R ARISING FROM ANY USE BY SL'BSCRIBER OR ITS AUTHOR IZED USERS. I. Warranties. THE PARTIES HEREBY DISCLAIM ALL OTHER WARRANTIES. WHETHER EXPRESS OR IMPLI ED. CONCERNING ANY PRODUCTS OR SERVICES PROVIDED HEREUNDER. INCLUDING WITHOUT LIMITATION. ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR IMPLIED WARRANTY OF NON-INFRINGEMENT. THE ARCHIVE(S) ARE BEING PROVIDED TO SUBSCRIBER ON AN "AS IS" BASIS. ACCUWEATHER IS LICENSING THE ARCHIVE(S) TO SUBSCRIBER PURSUANT TO RIGHTS THAT THE AP HAS LICENSED TO ACCUWEA THER.

K. AP's Status. AP is an o.:xpress thi rd party beneficiary of the rights afforded AccuWcather hereunder.

L. When acccplc'<l. this Agreement shall supersede, supplant and replace the prior N P Photo Archive Service b..:ing provided lo Subscriber.
