. Parties.

~This Memorandum of Understanding (hereinafter referred to as "MOU") is made and entered

into by and between Technopark (Electronics Technology Parks Kerala), a society incorporated

ttder the provisions of Travancore Cochin Literary Scientific and Charitable Societies

%egistration Act.1955 and having its registered office at Park Center, Technopark Campus,

~aryavattom, Trivandrum, Kerala, Pin 695581, hereinafter referred to as Technopark.

obME Wireless Solutions Pvt Ltd, a company incorporated under provision of Companies

Act 1956, having its registered office at 423, Pattara Puthen Veedu, Thaneermukkam, South

luhamma (P.O), Alappuzha, Kerala-688525, hereinafter referred to as MobME.

~ e purpose of this MOU is to establish the Roles and Responsibilities under which both th,e

parties agree to work together to strengthen the entrepreneur eco-system in Kerala, creation of

e~ployment and business opportunities and overall social and economic welfare of the state of

~erala.

~ Terms of MOU.

@ 1. Both parties agree to enter into a separate MoU/Bond with National Science and

I Technology Entrepreneurship Development Board (NSTEDB), Ministry of Science and

Technology, Government of India for setting up the Indian Telecom Innovation Hub -

Technology Business Incubator (ITIH-TBI) in Public Private Partnership Mode.

The role ofTechnopark is to

• Provide Administrative Guidance and Support to MobME Wireless for setting up

ITIH-TBI

• Technopark will nominate a person to the Board of Governors of the ITIH- TBI,

wherein the role of the representative will be again to suggest measures to ensure

the efficient functioning oflTIH-TBl

• Provide guidance and support to arrange Infrastructure and other necessary

SLipport from time to time for successful creation of ITIH- TBI based on existing

Kerala government policies in effect from time to time

• Technopark will not be responsible for raising the funds needed for the execution

of the project

• Technopark will not bear any financial or legal commitments for setting up the

ITIH- TBI

3. The Role ofMlS MobME Wireless is to

• Vision and Execution ofITIH- TBl

• Organizational Responsibility and Management ofITIH-TBI

• Establishing Support Eco-Systems, Capital Asset Management and Resources as

required for the Incubator

• Management of the Incubator on day to day basis

• MobMe will be responsible for raising the funds needed for the execution of the

project

• MobMe will manage the funds oflTIH-TBI

• Shortfalls if any in revenue generation will be met by MobME Wireless Solutions

P Ltd

• MobMe will be responsible to find, Nurture and Support Incubatee companies

with a flexible framework based on the changing incubatee requirements in the

Telecom Sector

• Ensure pro-active participation of the Private Sector for the Incubator in terms of

raising funds for incubator and angel investment for startups

4. Both parties may modify this MOU based on a mutual understanding. Such

understanding shall always be in writing and be signed by both parties.

5. If the MoU doesn't serve the terms mentioned, then it is liable to be cancelled with the

mutual consent of both the parties.

3. Liability of Parties

1. Technopark/T-TBI and its nommee will not be liable directly/ indirectly for any loss/

compensation/award passed against ITIH- TBl by any forum which may arise out of its

functioning.

2. Technopark/ T- TBI also will not give any undertaking! guarantee to any agency private or

Govt institution for transferring any funds or other resources to ITlH- TB!.

3. MobME Wireless solutions P Ltd will be liable for any loss/ compensation/award passed

against ITlH- TBl by any forum which may arise out of its functioning.

4. MobME will have to give the undertaking/ guarantee to any private agency or Govt institution

for the purpose of transferring funds to ITIH- TBl

This MOU is effective from the date last signed and executed by the duly authorized

representatives of the parties to this MOU and shall remain in full force and effect until changed

or terminated by either parties through mutual consent.

In WITNESS WHEREOF, the parties to the MOU have through their authorized representatives

executed by sign and seal of their companies on the day, month and year first mentioned above.
