1. A shareholder who wishes to attend the meeting must come with a copy of his/her receipt for purchase of shares of the bank or a Share Certificate of the same.

A shareholder who is entitled to attend a meeting and vote may also appoint a PROXY to attend the meeting and vote on his/her behalf in accordance with the provisions of the Company’s Articles of Association. 8.4 MATTERS ARISING FROM THE SEVENTH ANNUAL GENERAL MEETING HELD ON 28TH MAY, 2016

8.4.1 Informed that the resolution of the Shareholders to propose dividend to the Shareholders in the financial year 2016 was implemented.

8.4.2 Informed that the resolution of the Shareholders to appoint Ernst & Young to be the bank’s External Auditor for the year 2016 was implemented.

8.5 DIRECTORS’ REPORT FOR THE YEAR ENDED 31ST DECEMBER, 2016

8.5.1 The principal activity of the Bank for the year 2016 was the provision of banking and related services stipulated by the Banking and Financial Institutions Act, 2006.There was no change in the principal activities of the Bank during the financial year ended 31st December 2016.

8.5.2 Informed that total number of paid up shares at the end of the year 2016 was 20,615,272.

8.5.3 Informed that the directors of the bank who served in office since 1st January 2016 were seven and none of the directors owned more than 0.3% of total issued share capital.

8.5.4 Informed that during the year 2016 the Board held four ordinary meetings and six extra ordinary meetings due to special activities that needed the Board’s deliberations which included preparation for opening of two financial services centres .

8.5.5 Informed further that the Board had two committees namely the Board Audit, Risk and Compliance Committee and the Credit Committee.

8.5.6 Informed that management of the bank was under the Managing Director, assisted by seven directors who report to the Managing Director.

8.5.7 Informed that the bank posted a profit before tax of TZS 1,496 billion for the year ended 31st December 2016. Profit after tax for the year was TZS 1.05 billion.

8.5.8 Informed further that Loans and Advances to customers for the year 2016 stood at TZS 73.80 billion compared with loans of TZS 63.30 billion at the end of the year 2015 .Total deposits stood at TZS 102.55 billion compared with total deposit of TZS 85.73 billion for the year 2015. Total assets stood at TZS 128.17 billion compared with total assets of TZS 111.32 billion for the year 2015.

8.5.9 Informed that the Directors recommended payment of dividend for the year ended 31st December, 2016.

8.5.10 Informed that the bank managed to open two financial services centers in the year 2016 as per its plan. The first centre was opened in June 2016 at Morogoro and the second one was opened in July, 2016 at Tegeta in Dar es Salaam. This made total number of branches to be six and two financial services centres.

8.5.11 The Bank had adequate employees with pre-requisite competency and experience in key positions to manage the banking operations as well as pursuing the business objectives.

8.5.12 Informed that the bank did not make any political donations during the year.

8.5.13 The bank continued to maintain a good relationship with all stakeholders including the regulators.

8.5.14 The Shareholders received the report of directors, discussed and adopted the report as presented.

8.6 EXTERNAL AUDITOR’S REPORT AND FINANCIAL STATEMENTS OF THE BANK FOR THE YEAR ENDED 31ST DECEMBER, 2016

8.6.1 Informed that the bank’s External Auditor for the year 2016 was Ernst & Young who audited the bank’s financial statements.

8.6.2 Informed that the bank’s directors were responsible for preparation and fair presentation of the financial statements in accordance with International Financial Reporting Standards and with the requirements of Companies Act, CAP 212 Act No. 12 of 2002, and for such internal control as the directors determined necessary to enable preparation of financial statements which were free from material misstatements, whether due to fraud or error.

8.6.3 Informed further that the external auditor’s responsibility was to express an opinion on the financial statements based on audit. Ernst & Young conducted its audit in accordance with International Standards on Auditing. Those standards required Ernst & Young to comply with ethical requirements, plan and perform its audit to obtain reasonable assurance that the financial statements were free from material misstatement.

8.6.4 Informed further that the bank’s financial statements provided a true and fair view of the state of the bank’s financial affairs as at 31 December 2016 and of its profit and cash flows for the year then ended in accordance with International Financial Reporting Standards

8.6.5 The Shareholders received, discussed and adopted the report of the external auditor as presented.

8.7 TO RECEIVE, DISCUSS AND APPROVE DECLARATION OF DIVIDEND

8.7.1 Informed that the bank commenced business in the year 2009 and continued to grow by establishing more branches until it had six branches and two financial services centres without declaring dividend to its Shareholders.

8.7.2 Informed that in the financial year 2016, the bank recorded profit and the Board of Directors recommended that dividends be distributed to the Shareholders for the financial year 2016. The Board further, recommended that distribution of dividends be at the rate of TZS 20 only per share.

8.7.3 Informed that the Board had already obtained approval from the Bank of Tanzania according to the law. In view of this, the Board recommended the Shareholders to pass a special resolution and approve payment of dividend for the year 2016.

8.7.4 The Shareholders received the recommendation of the Board and resolved that:

At the Eighth Annual General Meeting of the Shareholders held on 27th May 2017, the Shareholders of Mkombozi Commercial Bank PLC, pursuant to the provisions of section 180(I) of the Companies Act, No 12 of 2002, and the recommendation of the Board of Directors resolved to declare dividend at the rate of TZS 20 only per share.

8. 8 APPOINTMENT OF EXTERNAL AUDITOR

8.8.1 Informed that in the year 2016 the bank’s financials were audited by Ernst & Young as external auditor at a fee of USD 25,000.00 exclusive of VAT.

8.8.2 Informed that Ernst & Young did a good job and they showed willingness to continue auditing the bank for the year 2017.

8.8.3 Informed that previously the Shareholders resolved that the Board should submit to them at the Meeting at least three names of the audit firms for them to elect one firm to be the bank’s auditor. In implementing that resolution the Board reported that the resolution was implemented in the year 2016. However, in terms of the bank’s reputation to the public it would not sound well if every year the bank would be audited by a new auditor. In view of this, the Board therefore recommended to the Shareholders to allow the auditor to work for three years and there after years the Board shall submit to the Shareholders three names of audit firms for them to select one.

8.8.4 The Board presented further that if its recommendation would be approved, the Board recommended Ernst & Young to audit the bank for the year 2017; to audit the bank at US$ 25,000.00 without VAT for normal audit and US$ 10,000.00 for auditing the bank’s core banking system.

8.8.5 The Shareholders received, discussed and passed the following resolutions:8.8.5.1 Ernst & Young which was elected by the shareholders in the seventh annual general meeting

under competitive basis should proceed to audit the bank for three years from the date of the election.

8.8.5.2 Ernst & Young was thereby appointed to audit the bank at a fee of US$ 25,000.00 without VAT for normal audit and US$ 10,000.00 for auditing the bank’s core banking system for the year 2017.

At the Eighth Annual General Meeting of the Shareholders held on 27th May 2017, the Shareholders of Mkombozi Commercial Bank PLC, pursuant to the provisions of section 180(I) of the Companies Act, No 12 of 2002, and the recommendation of the Board of Directors resolved to declare dividend at the rate of TZS 20 only per share.

This directive started to be implemented immediately after the meeting last year. However, only 7,755 Shareholders with a total amount of TZS 316,005,065.00 out of 14,930 Shareholders have collected their dividends. A total of 7,175 Shareholders with total amount of TZS 75,685,103 are yet to collect their dividend. The bank has made efforts by advertising in the media and the remaining Shareholders are yet to collect dividend. The bank will continue to advertise.

8.8.2 Ernst & Young is hereby appointed to audit the bank at a fee of US$ 25,000.00 without VAT for normal audit and US$ 10,000.00 for auditing the bank’s software for the year 2017.

This directive was implemented from November, 2017 to 27th March, 2018 when they presented the report to the Board of Directors.

9.5 DIRECTORS’ REPORT FOR THE YEAR ENDED 31ST DECEMBER, 2017

9.5.1 The Board Chairman’s Statement

9.5.1.1 Introduction

On behalf of the Board of Directors, I take this opportunity to welcome you all to our ninth Annual General Meeting of Mkombozi Commercial Bank Plc.

During the year 2017 the bank celebrated significant achievements in consolidating the existing operating units and increasing the quality and variety of its service offerings. These efforts resulted in increase of customer deposits, revenues, lending and the bank’s asset base. Mkombozi Commercial Bank continued to live up to and operate by its brand of providing banking services “with integrity”, and we are proud of the contribution the bank has made to the development of Tanzania and the lives of the Tanzanians.

9.5.1.2 Market Conditions 2017

The country experienced a slowdown in economic growth in the year 2017. GDP growth declined to 6.8 percent compared to 7.3 percent in 2016. The sectors which made major contributions to the growth of the economy were construction (15.9%), mining and quarrying (18.5%), transport and storage (11.8%), manufacturing (9.5%) and agriculture (10.6%). Growth was supported by improvement in infrastructure, stability of power supply, investments in provision of communication services and subdued global oil prices.

Headline inflation was reported at 4.5% for the year ended December 2017, which was consistent with country’s long term monetary policy targets. The Bank of Tanzania maintained an accommodative monetary policy stance aiming at stimulating growth of credit to the private sector and economic activities. The liquidity condition in the banking system remained generally high and consistent with the monetary policy stance. Interest rates for overnight landing declined to 3 percent in December 2017 compared to 15 percent in December 2016. However the lending rates have remained high due to high risk premium. Furthermore, there was a decline in lending to both the public and private sectors of the economy due to pervasive deterioration of the quality of loans across the banking industry. The industry average non-performing loans increased to 11.21 percent in December 2017 compared to 10.27 percent in December 2016. On the foreign exchange perspective, the Tanzania Shilling weakened against the USD from 2,190 in January, 2017 to 2,250 in December 2017.

9.5.1.3. Achievements

Despite the above set of market circumstances Mkombozi Commercial Bank recorded a profit after tax of TZS 1.44 billion, TZS 400 million more than the previous year’s earnings. MKCB is proud of its presence in five regions and offering eight service outlets in Mainland Tanzania, that is, Dar es Salaam (3 branches & 1 Financial Services Centre), Mwanza (1 branch), Moshi (1 branch), Kagera (1 branch) and Morogoro (1 Financial Services Centre). The bank focused on consolidating the existing branches and realized commendable increases in its customer and asset bases, with growths in deposits by 18%, loans by 11% and total assets by 18%. The Bank’s industrial relations remained excellent, enjoying a labor turnover of less than one percent.

9.5.1.4 Declaration of dividend

The Directors are recommending distribution of stock dividends for the year 2017 totaling TZS 515,381,800 against 20,615,272 fully paid ordinary shares, that is, TZS 25.00 per share. A proposed shareholders resolution to that effect has been circulated for adoption. The distribution of dividend is, however, subject to approval of the Bank of Tanzania and will be issued after deduction of taxes payable. Shareholders are encouraged to reinvest their dividends by increasing their shareholding in Mkombozi Commercial Bank.

9.5.1.5 Changes in Management and the Board of Directors

During the fourth quarter of the year under review the Board concluded the recruitment of a new Managing Director of the Bank following the retirement on December 31, 2017 of the then incumbent position holder, Mrs. Edwina A. Lupembe. Mrs. Lupembe will be remembered for being part of the pioneer team of the Mkombozi Bank idea and its implementation. She became the first Managing Director whose 8 years stint at the bank was continually rewarded with growth of its capital base and profitability.

Mr. George R. Shumbusho was appointed the new Managing Director of the Bank with effect from 01 December 2017. He is well qualified for position and he has brought to the bank a total of fifteen years of commendable experience in retail banking and treasury management.

In accordance with the Articles of Association of the Bank, the Chairman of the Board, Method A. Kashonda and Director Marcellino Kayombo are due to retire by rotation. The consequential vacancies on the Board and the one that arose from the resignation of Director Emmanuel Johannes on March 7, 2017 will be filled through a ballot to be conducted during this AGM, and the Bank of Tanzania’s positive vetting.

9.5.1.6 Outlook for 2018

The economy is expected to grow at the rate of 6.5% in 2018, riding on the back of huge investments in infrastructure projects (2017: 6.8%); inflation is projected to be contained at single digit levels averaging 5% by the end of the year. Additionally, the Bank of Tanzania recently slashed the discount rate from 12% to 9% aimed at decreasing the lending rates in the economy. This is expected to ease the tight credit conditions caused by, among other things, spiraling non performing loans. The Bank will position itself appropriately in order to benefit from these positive trends as it continues to implement strategies to reach out to more of the unbanked majority in our economy.

9.5.1.7 Annual Plan for the Year 2018

In an effort to expand its outreach the bank has planned to upgrade the financial services centers of Morogoro and Tegeta (Dar es Salaam) to fully fledged branches; open four financial service windows and eleven agencies in a secure and economically viable areas across the country; and start offering micro housing finance loans.

9.5.1.8 The AGM Documents

The AGM documents, which have been provided to the shareholders, include the Directors’ Report and Financial Statements of the Bank for the year ended 31st December, 2017. These will be formally presented to the shareholders for deliberation and adoption. Shareholders are invited to participate in the deliberations and give valuable contributions for greater and sustainable achievements of the Bank’s objectives.

9.5.2.1 Introduction

Good morning to you all

On behalf of the Board of Directors, I take this auspicious occasion to highlight Bank’s performance for the year ended 31st December, 2017 together with a brief overview on Bank’s focus for 2018 financial year.

Further details on 2017 performance are contained in the booklets that have been shared to you.

9.5.2.2 Objectives of the bank

The Bank had the following key objectives for 2017 financial year: -

(i) To expand the head office space.

(ii) To mobilize deposits to reach TZS 132.38 billion, an increase of 29% from TZS 102.55 billion reached as at 31st December 2017.

(iii) To intensify customer lending to reach TZS 108.11 billion; being an increase of 46% from TZS 73.80 billion reached as at 31st December 2017.

(iv) To convert two financial services centres (Morogoro and Tegeta) to fully-fledged branches.

(v) To solicit funds from the Government (BOT) for lending to finance rural housing micro finance.

(vi) To achieve a loan repayment rate of not less than 96% at all times.

9.5.2.3 The objectives above were reviewed as follows

(i) Customer deposits were budgeted to reach TZS 129.26 billion, instead of TZS 132.38 billion.

(ii) Loans and advances were budgeted to reach TZS 90.16 billion instead of TZS 108.10 billion.

(iii) Operating expenses were budgeted at TZS 12.54 billion instead of TZS 13.01 billion.

In summary the revised budget indicated that the bank would get a pre-tax profit of TZS 1.09 billion for the year 2017 and after-tax profit of TZS 769.98 million.

9.5.2.4 The following were the key deliverables on the 2017 objectives

9.5.2.4.1 Head Office premises

The Bank remodeled the Head Office premises including extending office space to accommodate Bank’s workforce.

9.5.2.4.2 Bank’s assets

Total assets of the Bank grew to TZS 150.67 billion as at 31st December, 2017 from TZS 128.17 billion reported for the preceding year; representing a growth of 18.6%.

9.5.2.4.3 Deposits

The bank managed to mobilize customer deposits worth TZS 121.12 billion compared to TZS 102.55 billion pocketed as at 31st December 2016; an increase of 18%.

9.5.2.4.4 Lending: Loans, Advances and Overdraft

Loans and advances grew to TZS 81.80 billion as at 31st December, 2017 compared to TZS 73.81 billion recorded during previous financial year; an increase of 11%.

9.5.2.4.5 Loan repayment ratio

The Bank could not be able to attain the targeted loan repayment ratio of 96%. Instead, the Bank closed the year with a loan repayment ratio of 93% which was off by 3%.

9.5.2.4.6 Operating results

The Bank recorded a net interest income amounting to TZS 12.93 billion as at 31st December, 2017 equated to TZS 12.78 billion recorded at similar period in 2016; reflecting a marginal increase of 1.2%.

9.5.2.4.7 Operating expenses

Total operating expenses for the year 2017 soared to TZS 12.84 billion from TZS 11.35 billion recorded in 2016; an increase of 13%.

9.5.2.4.8 Profit for the year

The Bank recorded a pre-tax profit of TZS 1.95 billion (equal to after tax profit of TZS 1.44 billion) for 2017 financial year in comparison with a pre-tax profit of TZS 1.50 billion (after tax profit of TZS 1.05 billion) for 2016; an increase of 30% and 38% for pre-tax and after-tax profits respectively.

9.5.2.4.9 Employment

Bank clocked year end with staff complement totaling to 134 head counts against 136 staffs reported for the year ended 31st December, 2016; of the 134, 58 are females and 76 males.

9.5.2.4.10 Basic Earnings per share

The BEPS rose to TZS 70 per share year ending 31st December, 2017 from TZS 50.8 recorded in the year ended 31st December, 2016.

9.5.2.4.11 Housing Micro Finance project

The Bank was not able to complete the solicitation of TZS 6 billion earmarked for Housing Micro Finance project as at close of the financial year. The same has been moved to the first half of 2018 financial year.

9.5.2.4.12 Conversion of FSCs to Branches

The plan to convert two Financial Service Centers (Morogoro and Tegeta) could not materialize. Instead, the same has been planned to be completed by June 2018.

9.5.2.4.13 Activities performed outside 2017’s scope

The Bank implemented the following activities that were not part of the plan (budget) for 2017.

i) Implementation of the new tax collection system as per revised directives on tax collection by the Government. The implementation costed the Bank TZS 68.3 million.

ii) Outsourcing of consultation services for ICT policy review and disaster recovery plan as per recommendations by BoT during on-site inspection. The exercise costed Bank TZS 37.7 million.

9.5.2.5 Challenges faced over 2017

The Bank was faced by the following challenges in the course of reporting year: -

i) Deterioration of loan book’s quality.

ii) Limited correspondent Banking relationship.

iii) Changes in operating guidelines (Tax collection, IFRS9).

9.5.2.6 Annual Plan for year 2018

As it has been alluded by the Board Chairman, the bank is planning to endeavor accomplishing the following key objectives: -

(i) To grow the business

a. Grow balance sheet to TZS 172.63 billion (from TZS 150.67 billion Dec 2017).

b. Grow customer liabilities to TZS 154.84 billion (from TZS 121.12 billion Dec 2017).

c. Grow loans, advances and overdraft to TZS 121.57 billion (from TZS 81.80 billion Dec 2017).

(ii) To enhance its outreach

a. Completing the upgrade of two financial services centers (Morogoro and Tegeta) to fully-fledged bank branches.

b. Expanding its tentacles by opening up two new branches (Dodoma and Njombe) and two bank windows (Iringa and Mbagala).

c. Launching internet banking channel.

d. Embarking onto Agency banking.

(iii) To address the loan’s quality by ensuring attainment of 95% ratio for performing loans by Dec 2018.

(iv) To address the first tranche (TZS 6.0 billion) of three-year plan paid-up capital build that earmarks a 117% build-up in three years i.e. TZS 24 billion (TZS 20.65 to TZS 44.65 billion).

(v) To undertake key strategic projects: -

a. Restructuring the bank to adequately respond to current and future market needs.

b. Fully review of Bank’s technology (Core Banking System).

c. Implementation of Human Resources system.

d. Renovation of St. Joseph branch and Morogoro FSC.

(vi) To implement the Housing micro finance project worth TZS 6.0 billion through usage of funds from Central Bank (BoT).

9.5.3.7 CORPORATE GOVERNANCE

The Board of Directors consists of seven directors including the Managing Director. Apart from the Managing Director no other director holds an executive position in the Bank. The Board has overall responsibility for the Bank, including responsibility for identifying key risk areas, considering and monitoring investment decisions, considering significant financial matters, and reviewing the performance of management business plans and budgets.

The Board is also responsible for ensuring that a comprehensive system of internal control policies and procedures is operative, and compliant with sound corporate governance principles.

The Board is required to meet at least four times a year. The Board delegates the day to day management of the business to the Managing Director assisted by the Management team. The management team is invited to attend Board meetings and facilitates the effective control of all the Bank’s operational activities, acting as a medium of communication and coordination between all the various business units.

During the year the Board held four ordinary meetings and six extraordinary meetings due to special activities that needed the Board’s deliberations.

9.5.3.9 PERFORMANCE FOR THE YEAR

The Bank posted a profit before tax of TZS 1.94 billion for the year ended 31 December 2017 (2016: Profit of TZS 1.49 billion). Profit after tax for the year was TZS 1.44 billion (2017: profit of TZS 1.04 billion). In addition, the following achievements were recorded: -

• Loans and advances to customers stood at TZS 81.80 billion (2016: TZS 73.81 billion);

• Total deposits from customers stood at TZS 121.12billion (2016: TZS 102.56 billion); and

• Total assets stood at TZS 150.67 billion (2016: TZS 128.17 billion).

Branch network and outreach

The Bank had six branches as at 31 December 2017, three (3) branches located in Dar es Salaam, one in Mwanza (Mwanza Region), one in Bukoba (Kagera Region) and Kilimanjaro (Moshi Branch) and two financial services centres one in Tegeta (Dar e salaam region) and another in Morogoro (Morogoro Region). The Bank’s total number of depositors and borrowers as at year end were as shown below:

9.5.3.10 DIVIDEND

The Directors propose for payment of dividend of 36% of the profit after tax for the year ended 31 December 2017, subject to approval from the Bank of Tanzania. (2016: TZS 412.0 Mill).

9.5.3.11 MAJOR DEVELOPMENTS FOR THE YEAR

The Bank managed to renovate its Head office and extend office space to NHC Building adjacent to St. Joseph’s Cathedral, engaged consultant to review its ICT Policy and design the Disaster Recovery Plan as recommended by the regulator the BOT and implemented Revenue Gateway System data exchange with TRA.

9.5.3.12 PLANNED DEVELOPMENT

The Bank will continue to focus on business opportunities arising in the economy especially in lending and other related activities. The Bank has the following plans for the year 2018:

• To increase mobilization of deposits from customers to reach TZS 150.88 billion, an increase of 25% from TZS 121.12 billion reached as at 31st December, 2017;

• To intensify lending portfolio to reach TZS 121.57 billion; being an increase of 49% from TZS 81.80 billion reached as at 31st December 2017.

• To achieve a loan repayment rate of not less than 96% at all times.

• To open two branches in Dodoma region and Njombe Region.

• To introduce Agency Banking Services and MKCB Windows in all church institutions as a strategic move for deposit mobilization.

• Major renovation for St Joseph branch and Morogoro financial services center.

• To Introduce Internet banking services.

9.5.3.13 HUMAN RESOURCES

The Bank has adequate employees with pre-requisite competency and experience in key positions to manage the banking operations as well as pursuing the business objectives.

9.5.3.14 PRINCIPAL RISKS AND UNCERTAINITIES

As the Bank continues to scale up its operations, it ensures that the resultant commercial and operational risks are mitigated through enforcement of appropriate policies and procedures. The Bank’s activities expose it to a variety of financial risks including liquidity, market and strategic risks. The Bank’s overall risk management policies are set out by the Board of Directors and implemented by the management.

These policies involve analysis, evaluation, acceptance and management of some degrees of risks or a combination of risks. More details of the financial risks facing the Bank are provided in Note 3 to these financial statements.

9.5.3.16 RISK MANAGEMENT AND INTERNAL CONTROL

The Board accepts final responsibility for the risk management and internal control systems of the Bank. It is the task of the Directors to ensure that adequate internal financial and operational control systems are developed and maintained on an ongoing basis in order to provide reasonable assurance regarding:

• The effectiveness and efficiency of operations;

• The safeguarding of the Bank’s assets;

• Compliance with applicable laws and regulations;

• The reliability of accounting records;

• Business sustainability under normal as well as adverse conditions; and

• Responsible behaviour towards all stakeholders.

The efficiency of any internal control system is dependent on the strict observance of prescribed measures. There is always a risk of non-compliance of such measures by staff. Whilst no system of internal control can provide absolute assurance against misstatement or losses, the Bank’s system is designed to provide the Board with reasonable assurance that the procedures in place are operating effectively.

The Board assessed the internal control systems throughout the financial year ended 31 December 2017 and is of the opinion that they met accepted criteria.

The Board monitors risk and internal control effectiveness through the Board Audit, Risk and Compliance and the Credit Committees.

9.5.3.17 SERIOUS PREJUDICIAL MATTERS

In the opinion of the directors, there are no serious prejudicial matters that can affect the Bank.

9.5.3.18 SOLVENCY

The Board of Directors confirms that applicable accounting standards have been followed and that the financial statements have been prepared on a going concern basis. The Board of Directors has reasonable assurance that the Bank will have adequate resources to continue in operational existence for the foreseeable future.

9.5.3.19 EMPLOYEES’ WELFARE

Management and employees’ relationship

The relationship between employees and management continued to be good. Complaints are resolved through meetings and discussions. Work morale is good and there were no unresolved complaints from employees. There was good teamwork between management and staff.

The Bank is an equal opportunity employer. It gives equal access to employment opportunities and ensures that the best available person is appointed to any given position free from discrimination of any kind and without regard to factors like gender, marital status, tribes, religion, and disability which does not impair one’s ability to discharge duties.

Training

During the year, the Bank spent TZS 180.79 million on training of its staff (2016: TZS 156.85 million). Training programs have been and are continually being developed to ensure employees are adequately trained at all levels. Employees received training to upgrade their skills and enhance their performance.

Staff loans and advances

The Bank provides staff loans to staff as well as salary advances to enable them overcome financial needs and promote their economic development. Staff loans and advances are based on specific terms and conditions approved by the Board of Directors. During the year, the Bank issued staff loans of TZS 1,675.69 million (2016: TZS 1,776.93 million and advances to staff of TZS 145.85 million (2016: TZS 110 million).

Medical facilities

The Bank covers medical bills for all of its employees and their immediate family dependents as well as medical insurance coverage to all staff.

Retirement benefits

The Bank makes statutory contributions in respect of staff retirement benefits. The Bank’s obligations in respect of these contributions are limited to 10% of the employees’ gross salary.

Gender parity

The Bank is an equal opportunity employer and maintains reasonable gender balance among its employees. As at 31 December 2017 the Bank had the following distribution of employees by gender.

The Bank participates actively in community activities and development programs throughout the country. Charitable donations made during the year amounted to TZS 23.59 million (2016: TZS 15.05 million).
