Section 1 - Membership Information
Nakoma Golf Club membership is on a calendar year basis, automatically renewed unless the
Club is otherwise informed according to the rules and regulations as set forth within this
playbook and by-laws. Member age on January 1st of each year dictates membership category
eligibility. Should a member be married, the elder spouse age shall be used to determine
membership category eligibility.
Section 1.1 Nakoma Golf Club Membership Categories
Full Play Membership - Member 40 years of age and over includes spouse and children under
the age of 23. Unlimited use of the clubhouse, golf course, pool and tennis courts.
Senior Full Play Membership- Members 65 years of age or more includes spouse. Unlimited
use of the clubhouse, golf course, pool and tennis courts.
Senior Full Play 95 Membership- Member at minimum be 65 years of age, includes spouse,
combined with years of membership totaling 95 or more. Unlimited use of the clubhouse, golf
course, pool and tennis courts. Relinquishes voting rights.
Senior Full Play 110 Membership - Member at minimum be 65 years of age, includes spouse,
combined with years of membership totaling 110 or more. Unlimited use of the clubhouse, golf
course, pool and tennis courts. Relinquishes voting rights.
Golf Social Membership - Member any age with no children under the age of 21 living at
home. Unlimited use of clubhouse and golf course.
Intermediate Full Play 36 - 39 Membership- Member 36 - 39 years old, spouse and children
under the age of 23. Unlimited use of the clubhouse, golf course, pool and tennis courts.
Intermediate Full Play 31- 35 Membership - Member 31- 35 years old, spouse and children
under the age of 23. Unlimited use of the clubhouse, golf course, pool and tennis courts.
Junior Full Play 23 - 30 Membership - Member 23 - 30 years old, spouse and children under
the age of 23. Unlimited use of the clubhouse, golf course, pool and tennis courts.
Non Resident Full Play Membership - Member, spouse and children under the age of 23, who
may not have a permanent address within 100 miles of the Club, and cannot be physically within
that radius for more than 30 consecutive days during any calendar year. Full use of clubhouse,
pool and tennis courts with a maximum of 15 rounds of golf per individual with no more than six
rounds in any given month. Maximum of 20 rounds per family and eligible for club events.
Social, Pool and Tennis Membership - Member 36 years of age and over, spouse and
children under the age of 23. Unlimited use of clubhouse, pool and tennis courts. This
membership includes (5) five rounds of golf per family per year.
Social, Pool and Tennis Senior Membership - Member 65 years of age or more includes
spouse. Unlimited use of clubhouse, pool and tennis courts. Includes (5) five rounds of golf per
family per year.
Social, Pool and Tennis Senior 95 Membership - Member 65 years of age or more includes
spouse, combined with years of membership totaling 95 or more. Unlimited use of clubhouse,
pool and tennis courts. Includes (5) five rounds of golf per family per year. Relinquishes voting
rights.
Intermediate Social, Pool and Tennis Membership - Member 26 - 35 years of age, spouse
and children under the age of 23. Unlimited use of clubhouse, pool and tennis courts. Includes
(5) five rounds of golf per family per year.
Social Pool Membership- Member, spouse and children under the age of 23. Unlimited use of
clubhouse and pool. Includes (4) four rounds of golf per family per year.
Social Tennis Membership - Member, spouse and children under the age of 23. Unlimited use
of clubhouse and tennis courts. Includes (4) four rounds of golf per family per year.
Social Clubhouse Membership - Member, spouse and children under the age of 23. Unlimited
use of clubhouse. Includes (3) rounds of golf per family per year.
Social Senior Membership - Member age 65 and over, includes spouse. Unlimited use of
clubhouse. Includes (3) three rounds of golf per family per year.
Social Senior 95 Membership - Member at minimum be 65 years of age, includes spouse,
combined with years of membership totaling 95 or more. Unlimited use of clubhouse. Includes
(3) three rounds of golf per family per year. Relinquishes voting rights.
Non Resident Social Membership - Member, spouse and children under the age of 23, who
may not have a permanent address within 50 miles of Club. Unlimited use of clubhouse.
Section 1.2 Nakoma Golf Club Dues Schedule
Section 1.3 Nakoma Golf Club Stock Requirements
All active members age 31 and above are required to own stock based on their current
membership category. Members within the "95" or "110" membership categories have
relinquished their voting rights and therefore are not required to own stock but may choose to
hold on to the stock should they desire to. Stock par value of $100.00 per share and provides
the member with one vote per share of stock owned. No dividends are dispersed to
stockholders. Stock transfers can be performed with a $25.00 per share transfer fee, payable
by the stock receiving member. Non active Nakoma members can redeem their stock upon
termination of their membership; Nakoma repurchases the stock at 60% of par value.

Section 1.4 Mill River Fee
The Mill River fee requires that all golfing members pay an annual fee of $150 plus tax. The Mill
River fee entitles the member and their immediate family members, who are covered by the
membership, the ability to purchase and order equipment and clothing from the golf shop at 10-
15% over cost.
Section 1.5 Food and Beverage Minimums
The annual food and beverage minimum for members aged 31 to 64 is $1,200, broken into two
six month cycles to equal $600 each. The annual food and beverage minimum for members age
65 and above is $600, broken into two six month cycles to equal $300 each. Members aged 30
and below do not have a required food and beverage minimum. Cycle 1 (one) is January 1st to
June 30th while Cycle 2 (two) is July 1st to December 31st. Charges incurred by the member at
reciprocal Club's are not applicable and will not count towards their minimum. Should a member
fail to meet their required food and beverage minimum, a charge will be made for the amount of
the unspent balance plus tax on the last day of the current cycle. Carryovers into the next year
will not be allowed.
Section 1.6 Member Children Policy
Unmarried children under age 23 years of age are included in the privileges of their parent's
membership category, excluding members within the Golf Social membership category after
their youngest child reaches age 21. Children 23 years of age and above or 21 years of age and
above for Golf Social members, are to be considered guests. Parent are responsible for the
conduct and acts of their children at all times while on Nakoma Golf Club property. Specific
children related rules for the golf course, tennis facility, pool facility and clubhouse can be found
under the appropriate sections of this playbook.
Section 1.7 Special Guest/Significant Other Policy
All membership categories at Nakoma Golf Club are family based, but for our single members
we allow the designation of a significant other to be named onto the members account. A
significant other shall be defined as an unmarried companion to the current member who is
either living with the member or in a relationship of mutual support, caring and commitment with
the potential to live with the member in the near future. A significant other can be named on the
current member's account with written notification to the Nakoma Board of Directors or General
Manager. A limitation of one designated significant other can be named per calendar year. The
significant other shall have full membership status of the current member and shall abide by all
rules and regulations as set forth by the Club and the Nakoma Golf Club by-laws. The current
member is responsible for all charges incurred by the significant other.
Section 1.8 Leave of Absence Policy
A member in good standing, whose account is paid in full and current to date, may request
Leave of Absence status for proven financial, medical or other sufficient cause. This request
must be presented to the Nakoma Board of Directors or General Manager with proper
documentation for consideration. Upon approval, Leave of Absence status eliminates the
member's financial obligation (dues, fees and minimums spending) for a period of twelve
months. In turn, a Leave of Absence member is not allowed to utilize the Clubs facilities or
utilize their account at a reciprocal Club during the twelve month period and will be charged a
Board determined Leave of Absence fee. A Leave of Absence member is still responsible for
any special assessments billed by the Club during the twelve month term.
Leave of Absence status may be reversed prior to the full twelve month term based on financial
turnaround, improved health or other sufficient cause. A request to reverse this status must be
submitted to the Nakoma Board of Directors for approval. Forfeiture of the Leave of Absence fee
would apply and subsequent back dues may be assessed based on timing and nature of the
Leave of Absence.
Upon Board approval of the reinstatement the member shall be entitled to full Club privileges
based on their membership category and resume paying dues, fees and minim spending. A
Leave of Absence extension into a second year is allowed should circumstances warrant, but
following the second term the member must rejoin or resign their membership from the Club.
Section 1.9 Transfer Policy
A Club member may request to transfer their current membership to another membership
category at any time. A transfer of membership to a non-member of the Club is not allowed. A
transfer request must be presented to the Nakoma Board of Directors or General Manager for
approval, although a transfer down in membership category will not be approved until the end of
the fiscal year, December 31st. The member must maintain their current membership category,
including payment of all associated dues, fees, and minimum spending until the transfer request
has been approved. A member may transfer their membership in one of the approved following
ways:
Transfer Option 1: A club member who has aged up or now qualifies for an age and
years of membership based category will be automatically transferred on January 1st
unless a written resignation request has been submitted.
Transfer Option 2: A Club member, per written request, is allowed to transfer to another
category within Nakoma's membership schedule that is not age or age and years of
membership based. A transfer up in category is allowed at any time; a transfer down will
only be allowed at the end of the fiscal year, December 31st_
A Board determined transfer fee may apply. The deadline for requests to transfer down shall be
no later than the date of the January Nakoma Board of Directors meeting. Transfers down will
not be accepted once this meeting has taken place; and the member is obligated to pay all
appropriated dues, fees and minimum spending for the year per their respective membership
category.
Section 1.10 Resignation Policy
A Club member wishing to resign, for any reason, shall submit a letter of resignation to the
Board of Director's or the General Manager of the Club. A resignation letter may be submitted
beginning November 1st, but will not be approved until the fiscal year end, December 31'\
Membership must be maintained for the remainder of the calendar year. A resignation shall not
release the member from financial obligations, including any and all delinquent dues and other
fees owed to the Club. Once a resignation has been approved, all Club privileges shall cease. A
member may resign during the course of the year due only to a job loss, a move out of the
Madison area or extreme medical hardship by submitting proof. The deadline for standard end
of year resignation letters shall be no later than the date of the January Nakoma Board of
Director's meeting. Resignations will not be accepted once this meeting has taken place and the
member is obligated to pay appropriated dues, fees and minimums associated with their
membership category for the entire calendar year.
A resigned member may re-join the Club by submitting an application as required by the by-
laws. If the resignation period has been less than one year, the member shall pay all cumulative
past dues and fees as a condition of membership. If the resignation has been greater than one
year, the member may be required to pay a one-time Board determined reinstatement fee.
Section 1.11 Payment of Club Account
As a member, you have agreed to pay membership dues and fees, any charges incurred by
you, your family members or your guests and minimum spending requirements. In addition,
should a member sponsor an event/banquet on the behalf of a non-member or organization, the
sponsoring member will ultimately be responsible for all charges incurred at the event/banquet.
As to items which are charged at the Club or at another Club extending reciprocal privilege, a
charge ticket/chit will be issued for each transaction at the time when served and applied to your
account. It is request that you, your family members or your guests sign the ticket/chit to validate
the charge. These items as well as any other charges, will be billed to members on a monthly
basis (through the last day of the calendar month) together with any other amounts owed by a
member to the Club.
Dues are assessed on an annual basis for the calendar year but they may be paid in equal
monthly installments. Should a golfing member pay their full annual dues by February 28th will
receive 6 (six) complimentary golf guest passes for use during the current calendar year. The
privilege to pay dues monthly does not remove or lessen the annual dues total obligation.
A membership statement will be mailed each month and will be available for viewing within the
Nakoma website. Accounts can be paid via check, ACH payment or Credit Card. ACH and
Credit Card transactions can be executed through the Nakoma website initiated by the member
and may be subject to processing fees. Any check or payment returned to the Club for
insufficient funds will be subject to a $40 administration fee.
Accounts are payable upon receipt and will be considered delinquent after the last day of the
month. Example; charges incurred from March 1st through March 31st are due by April 30th and
will be considered delinquent beginning May 1st. See delinquent policy in Section 1.12 for further
delinquent information.
Discrepancies occur from time to time, if a member believes that their bill contains an error or
would like to request clarification on a charge incurred, the member should contact the Nakoma
accounting office or General Manager within 60 days of the charge in question to assist with
their inquiry. It is not necessary to pay any amount in question on a bill while it is being
investigated, but a member is still obligated to pay the parts of the bill that are not in question.
While Nakoma investigates the discrepancy, the Club cannot report a member as delinquent or
take any action to collect the amount in question.
Section 1.12 Delinquent Policy
If a member account is not paid by the last day of the month in which the statement is issued,
the account is considered delinquent and will be subject to a finance charge at an annual
percentage rate of 22% or 1.83% monthly, on all amounts past due. Failure to pay an account in
a timely manner may also result in the suspension of Club privileges, termination of membership
and or be referred to collections by the Club's authorized debt collector. The General Manager
shall have the ability to negotiate payment plans and shall have the ability to submit the
delinquent member to collections after all reasonable attempts to collect the debt have expired.
Section 2 - Clubhouse Information
The Nakoma Golf Club clubhouse is open to all members and their guests Tuesday through
Sunday year round, with the exception of the annual two week shutdown occurring at the end of
February through the beginning of March. The clubhouse is open on Monday's but not offering
food and beverage services unless it is a recognized holiday (Memorial Day, Independence
Day, Labor Day) or booked for a special event. Consult the Club calendar or the Nakoma
website for more up to date information.
Section 2.1 Decorum
Members of Nakoma Golf Club value the enjoyment of the Club's facilities and atmosphere.
Members are expected to conduct themselves so that it does not detract from the enjoyment of
the Club by others. Guests are subject to the same standards and members are responsible for
the conduct of their guests. Courtesy is expected in all exchanges between members,
employees and guests. Any breach of this expectation shall be handled through the General
Manager of the Club.
Section 2.2 Dress Code
Nakoma Golf Club's dress code applies to all adults, children and guests. Members are
responsible for the attire of their children and their guests; members should inform their guests
of the dress code requirements prior to their arrival at the Club. Dress codes may be deviated
for Club and private events; if ever in doubt about suitable attire for any specific event please
feel free to call the Club. The management of Nakoma has been authorized by the Board of
Director's to notify members or their guests when their attire is not deemed consistent with our
dress code policies.
Golf Course
Proper attire on our golf course, practice range and putting green is expected. Proper attire
includes collared golf shirts, turtleneck shirts, mock turtleneck shirts for males (appropriate
sleeveless tops for females), sweaters, jacket, slacks, golf skirts, golf shorts which are similar in
style to walking or Bermuda shorts of an appropriate and tasteful length, and suitable golf
footwear. Women's golf clothing may be consistent with current LPGA styles. Appropriate
footwear shall be worn at all times. All golf shoes shall have non-penetrating spikes. Some
clothing not permitted on the golf course, practice range, and putting green includes tee shirts,
undershirts, athletic/sweatshirts, sweat suits, cutoff, running shorts, short shorts, cargo shorts,
tennis attire, swimming attire, and jean or denim material of any color. Players in non-
compliance with the dress code will be requested to comply prior to use of the facilities.
Clubhouse
The clubhouse dress code follows that of the golf course requiring the aforementioned
acceptable golf attire. Appropriate footwear shall be worn at all times. Hats may not be worn by
gentlemen in the Clubhouse with the exception of in the Master's bar and on the Terrace.
Denim is permitted in all areas of the Club with the exception of Nakoma Dining Room, on the
golf course, at the golf practice facilities and at the tennis courts. Denim worn at the Club shall
be appropriate. Appropriate denim is defined as "denim worn with the appropriate cut, in
excellent repair, and consistent in color". Inappropriate denim is defined as "denim worn or cut
lower than waist level (baring one's midriff), tattered, frayed, patched, or otherwise in disrepair.
This includes work-type denim such as bibs, painter's pants, cargo pants, and cutoffs."
Swim attire is not allowed in the Clubhouse but is allowed on the Terrace with proper cover-ups
and footwear worn.
Pool Complex
Proper swimming attire is required at the pool complex. Swimwear should be appropriate and in
keeping with the family atmosphere. Footwear and cover-ups must be worn outside of the pool
complex. Denim is permitted at the swim complex. Infants are required to wear swim diapers
when entering either pool. Only members with lockers in the Clubhouse may change into
swimwear in the Clubhouse Locker Rooms; all others must change in the Pool House Locker
Room.
Tennis Complex
Proper tennis attire is required on the tennis courts and is permitted anywhere on the property
with the exception of the golf course, practice range, or putting green. Male-collared shirts,
tennis shorts or practice shorts; Female- tank-tops, cap sleeve, collared shirts, and tennis skirts
or shorts; Juniors- T shirts are permitted.
Section 2.3 Cellular Phones and Personal Electronics Policy
The use of cellular phones, tablets, computers or personal electronic devices (PED's) is
permitted on the Nakoma Golf Club Clubhouse and grounds. We request that all devices to be
placed in silent or vibrate mode and their use should be discretionary as to not impose on others
enjoyment of the Club.
Section 2.4 Smoking Policy
Smoking is prohibited in the Clubhouse, pool complex and tennis complex. Smoking is allowed
on the golf course and in outside designated areas only.
Section 2.5 Firearm Policy
Nakoma Golf Club prohibits all persons who enter Club property from carrying a handgun,
firearm or prohibited weapon of any kind regardless of whether the person is licensed to carry or
not. This policy applies to all Nakoma Golf Club employees, contract and temporary employees,
guests and members. The only exception to the policy are police officers, security guards or
other persons who have been given written consent by the Nakoma Golf Club Board of
Director's to carry a weapon on property.
Section 2.6 Hours of Operation
Clubhouse availability and food and bar service hours are subject to change, please consult the
Club website or calendar for current hours of operation and availability.

The bar will close early should there be no members present in building shortly after the
kitchen closes.
Winter Service Hours Alterations
Sunday: a la cart dinner service closed from December through golf course opening in
Spring.
Tuesday: a la cart dinner service closed from January through golf course opening in
Spring.
Annual full Club closure is approximately two weeks, starting at the end of February,
going Into early March.
Section 2.7 Banquet/Event Information
As a member of Nakoma Golf Club, all of our banquet and meeting rooms are available for
private functions. Members are allowed to book an event for personal use on any date.
Members are also allowed to sponsor functions on behalf of businesses, friends, acquaintances
and relatives; although a sponsored event cannot be booked more than one year out of desired
date. We have several rooms available based on the number of people attending. Member
events are exempt from room charges, member sponsored events are subject to room charges
based on the selected room(s). Nakoma Golf Club can accept payment of sponsored events
direct from the non-member but the sponsoring member ultimately is held liable for all
sponsored event charges.
Banquet Deposits
A banquet deposit of $2,000 is required when a member sponsored event is booked for a
Saturday night. This deposit will be credited toward the total function charges upon completion
of the event. No refund of the deposit will be made if the event is cancelled and not rebooked.
Section 2.8 Reservations
Reservations are highly recommended for dining at all times, especially Friday nights.
Reservations are required for all Club functions to ensure that the staff is able to make the
proper arrangements in order to best serve the membership. Should you have a reservation and
find yourself not able to attend we ask that you cancel your reservation so that we can fill your
spot off the waiting list should one be instituted. Reservations are accepted for the outdoor
dining terrace.
Section 2.9 Service Charge and Tipping
Tipping is not required, as all food and beverage transactions carry an automatic 18% service
charge; 20% for all party functions. The service charge is pooled and paid out to the service
staff each month based on hours worked. Should you wish to leave an additional tip for
outstanding service you may write that amount on the additional tip line on your chit receipt, this
voluntary additional tip will be paid directly to the service person assigned to the receipt.
Section 2.10 Valet Services
The parking lot is reserved for members of Nakoma Golf Club. Vehicles must be parked within
the designated spaces provided. All Nakoma members should have a Nakoma parking sticker
placed on their windshield to identify themselves as members. All vehicles utilized by the
member should display theses stickers. Valet attendants are on duty a majority of the time and
guests of Nakoma should utilize this service. Tipping is allowed.
Section 2.11 Locker Room Services
The Nakoma Clubhouse houses both a men's and women's locker room. All golfing members
are issued a complimentary locker and allowed to utilize the facilities. Children under the age of
18 must be accompanied by an adult member while in the locker rooms. Nakoma provides
extensive amenities and towel service within the locker rooms but members are allowed to
provide their own amenities to use. Shoe services are available through the men's locker room
attendant and are complimentary, but spike services are subject to a charge. Tipping is allowed.
Section 2.12 Miscellaneous Policies
• The Club is not responsible for member or guest loss or damage to any personal
property.
• No outside advertising is allowed, the use of bulletin boards within the Club is
restricted to notices related to Nakoma Golf Club business.
• Pets are not allowed on Club property except for certified guide dogs or working
dogs for the grounds department.
• Items belonging to the Club shall not be removed from the Club unless
authorization from Club management is received.
Section 3 - Golf Information
The Nakoma Golf Club championship golf course is available for play by the golfing membership
April 1st to October 31st each year. Extensions or compressions of the ability to play golf on
either side of the
published calendar dates are subject to change due to weather conditions. Nakoma Golf Club
reserves the right to restrict play based on weather conditions throughout the year. The golf
course is closed on Monday's until 11:00am for weekly course maintenance.
Section 3.1 Tee Times
Adult members and advanced juniors may reserve a tee times l(one) week in advance at the
golf shop via phone, on-line or in person. Other juniors may reserve tee times in person at the
golf shop l(one) day before junior starting times. The first available tee time varies throughout
the year depending on the day of the week, daylight and course work; please consult the online
tee sheet or pro shop for up to date opening tee times. 5+ somes are not allowed on the course
except as provided by pro shop control.

1) Juniors- To qualify you must become 11 years of age during the calendar year
and be less than 18 years of age.
2) Sub Juniors- Under 11 years of age and play with an adult.
3) Advanced Juniors- Juniors who participate in the 18-hole program and who
attain 15 years of age during the calendar year.
4) Women and Advanced Juniors- May tee off after 4:00pm on Thursdays prior to
the Men's Opener and after Labor Day. Men- May tee off after 10:00am on
Tuesdays prior to Ladies Opener and after Labor Day.
Section 3.2 Golf Availability for Social Members
Social members of the Club are granted the ability to play complimentary rounds on the golf
course a number of times based upon their membership category, but are not allowed to play
more than twice in any given month. The complimentary rounds are per membership per year.
These complimentary rounds are for members only, guests are not allowed.
• Social, Pool and Tennis 5(five) rounds
• Social Pool and Social Tennis 4(four) rounds
• Social 3(three) rounds
Social members of the club have restricted tee times as follows and must adhere to all other
Club policies regarding golf:

Social members may play with a golfing member at any time but will be considered a guest and
must abide by the guest policy outlined in Section 3.4.
Section 3.3 Junior Golf Program
The Nakoma Golf Club junior golf program gives our juniors, who range in age from 6 to 18, the
opportunity to learn and play the game of golf. Wednesday mornings have been set aside for
our junior golf program. The program concentrates on the strengthening of their knowledge of
the game of golf, covers the rules of golf, golf etiquette and to provide our juniors with basic
instruction on stance, grip and swing. Advancement within the program is gradual with emphasis
placed on different levels of learning and competition. All golfing and social sport members of
the Club are eligible to have their children participate in the junior golf program, as long as they
reach the age of 6 during the calendar year. Junior golf fees apply and are based upon age.
Social sport members whose children participate within the junior golf program are subject to an
additional junior golf dues charge based on the number of children participating. The additional
dues charge allow the junior to play golf during the season under the junior golf rules.
Play restrictions for our junior golfers is listed above in section 3.1. For more information on the
junior golf program please consult with the golf pro shop.
Section 3.4 Guest Policy
Golfing members of Nakoma are allowed to bring up to 3(three) guests to complete their
foursome for a round of golf. Guest fees apply but an individual guest is limited to a maximum
of 3(three) rounds during the calendar year, regardless of which member they play with. One
Nakoma member per foursome is required unless prior approval is received from the Golf
Professional. All guests must be registered within the Golf Shop prior to teeing off. All guest
must conform to all Club rules, including dress code, or play will not be permitted.
Limitations-Thursdays after 12:00pm, Saturdays and Sundays before 9:30am between May 1st
and September 15th members are allowed only 2(two) guests per tee time.
Guest Pass Rules - Nakoma golfing members who pay their dues in full will receive 6(six) guest
passes to be utilized during the current calendar year they are issued. Passes are for greens
fees; cart charges may apply while using a guest pass. Carryover passes will not be accepted.
Passes are non-transferable and a member is limited to use a maximum of 3(three) guest
passes at one time.
Groups or Outing Rules - On occasion as play permits, a member may schedule two tee times
(one member and seven guests), except during the previously listed times upon approval by the
Golf Professional. Once per season as play permits, a member may sponsor a group. A group
consists of 8 to
16 golfers including the member. All group play must be approved by the Golf Professional and
the Play Committee Chair and will not be allowed during heavy play periods. Seventeen or more
players will be considered an outing and normal outing rules and regulations will apply. Consult
the Golf Professional or General Manager for golf outing opportunities.
Section 3.5 Golf Cart, Push Cart and Handicap Cart Policies
Nakoma Golf Cub maintains a fleet of 40 electric golf carts for membership use. Cart fees apply
for use with a maximum of 2(two) persons per cart and the cart driver shall possess a valid
driver's license. Carts must be kept in designated areas, on cart paths where available and be
parked a minimum of 30 feet from tees and greens, unless in possession of a flag(handicap)
cart.
Nakoma Golf Club maintains a fleet of multiple push carts for membership use. Push cart fees
apply for use. Push carts are to be used for one member at a time in conjunction while walking
the course during play; please keep all push cart off of tees and greens.
Nakoma Golf Club reserves the right, in conjunction with Oliphant Golf, to limit the use of electric
and push carts due to weather or turf conditions throughout the year.
Flag (Handicap) Carts-Members with a significant medical disability that inhibits or limits their
ability to walk may apply for the use of a handicap flag. A handicap flag on a cart allows a player
with a medical disability to drive the cart in areas that typically are designated as "no carts
allowed" as long as the areas are dry, not steeply sloped, and are farther than 10 feet away
from a putting surface or teeing area. No cart should ever be driven across a tee or closer
than 10 feet from a green. Special privileges come with a handicap flag; these privileges are
granted by the Board of Directors and must be renewed annually. Common sense is critical for
continuance of this special privilege.
Section 3.6 Driving Range
Nakoma Golf Club Maintains a full service driving range and short game practice facility, which
is available to all golfing members and registered guests at no charge. The driving range
limitations on depth prevent usage of long irons and woods, a hitting net is provided for long
irons and wood practice. All members and guests are asked to use extreme caution while
practicing as hole #1 and #7 come into play by the driving range. Sub-juniors must always be
accompanied by an adult while on the range or in the short game facility. The range will close at
dusk each day with the exception of Wednesday and Sunday when the range will close 2(two)
hours before dusk for maintenance purposes. Golfing members may utilize the Vitense Golf
Land driving range by showing proof of Nakoma membership.
Section 3. 7 Pace of Play
Nakoma Golf Club encourages enjoyment while playing golf. We all play at different paces but it
is expected that all players finish 9 holes in 2(two) hours or less and 18 holes in 4(four) hours or
less. Don't worry about the group behind you; keep up with the group in front of you. Should
you find yourself unable to keep up with the group in front of you, be courteous and allow faster
players behind you to play through.
The Nakoma Board of Director's, in conjunction with the Play Committee, have established the
following guidelines to ensure pace of play on the weekend.
• Players teeing off before 8:00am Saturdays and Sundays are required to finish
their rounds in 3(three) hours and 45(forty-five) minutes or less. Players teeing off
between 8:00am and 9:00am Saturdays and Sundays are expected to finish their
rounds in 4(four) hours or less.
• Players teeing off during the above stated times that are unable to play in the
specified time will be sent a warning letter. If a second warning is necessary, the
Golf Shop is instructed to not allow the parties to tee-off before 9:00am on
weekends until further notice.
Section 3.8 Golf Rules and Handicaps
Nakoma Golf Club follows and abides by the USGA sanctioned rules of golf as modified by local
rules. Nakoma Golf Club also follows and abides by the USGA system of handicapping
(equitable stroke control) as administered by the WSGA. All scores should be entered into the
handicap system upon completion of play. Handicaps are computed twice a month and Nakoma
utilizes the trend handicap for all playing purposes.
• Juniors (excluding Advanced Juniors) are allowed on the putting green l(one) hour
prior to junior starting times and with Golf Shop control. Advanced juniors are
allowed on the putting green and driving range anytime adults of the same gender
are so allowed.
• All tournaments, golf prize events and contests will be played according to the
USGA rules and local rules as printed on the scorecard, or posted on the day of
that event. Trend handicaps will be used for all events.
• Club matches shall be played on or before the dates as set by the Play Committee
or they will be declared defaulted.
• Golf bags, golf carts or golf clubs are not permitted to be stored in locker rooms or
lockers.
• Each player must have his or her own clubs and bag.
• All players must start from the first tee except by special permission from the Golf
Shop.
The following rules are intended to improve the use and enjoyment of our course. Any infraction
of the rules should be reported to the Play Committee for their appropriate action.
• Players failing to keep their place on the course and losing a distance of one clear
hole should permit the following players to pass.
• Turf cut or displaced by a play on the fairway, tee or green must be replaced and
pressed down.
• Sand traps shall be entered from the low side and left from the same point, being
sure to rake the trap upon leaving it.
• Players shall follow the established play schedule and shall abide by any
modification to the play schedule, within a reasonable tolerance, affected by the
Golf Shop to expedite play or to protect the course from undue wear and tear.

Section 4 - Pool Information
The Nakoma Golf Club pool complex is open 7(seven) days a week from Saturday of Memorial
Day weekend to Monday of Labor Day weekend and is comprised of a heated to 81 degrees
6(six) lane 25 yard lap pool with attached dual 3(three) meter diving well. In addition, there is a
small kid's pool, men's and women's locker room facilities and a full service snack shop
available for Nakoma pool members to use.
Section 4.1 Hours of Operation
The Nakoma Golf Club pool is open for regular membership use:
Opening Day to Mid June 11:00am to 8:00pm
Mid June to Mid August 12:00pm to 9:00pm
Mid August to Closing Day 11:00am to 8:00pm
Open pool hours are subject to change due to scheduled swim and dive meets held at Nakoma.
Section 4.2 General Pool Rules
The following rules have been established for the protection of Nakoma Golf Club, its
employees, members and guests to ensure a safe and sanitary operation of the pool facilities in
compliance with the Wisconsin State Board of Health regulations.
Parents should read the rules to their children and instruct them to observe the rules as well as
the instructions of the Pool Director who is required by the Chair of the Pool Committee to report
all major infractions thereof for appropriate follow-up action.
• All children 10(ten) and under regardless of swimming ability, will be required to
have adult supervision at all times at the pool with the following exceptions; swim
team practice, swim lessons, dive lessons and dive team practice.
• The Pool Director, or their designee, shall have the right to refuse admittance or
remove from the pool any person whose conduct or demeanor is in their judgment
to not be appropriate to the standards of Nakoma Golf Club.
• Any person who uses or attempts to use the pool facilities at any time other than
published open hours or under the supervision of the Pool Director and their staff
shall not hold Nakoma Golf Club liable for any reason and shall be subject to
disciplinary action as provided by the Club's by-laws.
• All users of the pool complex are expected to conduct themselves in a courteous
manner to ensure each other's own safety.
• All members, their children and guests, shall use the pool and pool facilities at
their own risk. The Club will not be responsible for loss, theft, or damage to
personal property or for articles checked with the Pool Director or their assistants.
• Property damage go the pool facility incurred or caused by a member, one of their
family members or their guests shall constitute an obligation to the Club by that
member.
• Abusive or profane language or breach of the peace will not be tolerated on the
premises.
• Lifeguards are in full charge of the pool area and have the authority covering the
conduct of all members and guests.
• At their discretion, the Pool Director, shall order the closing of the pool under
inclement weather conditions or modify the open swim hours based on demand.
o Closed at thunder/lightening - reopen 30 minutes after last lightning strike.
o Closed at tornado warning - reopen when all clear is sounded.
• All bicycles must be parked in the bike rack. Those found elsewhere may be
impounded.
• Users of the pool must wear proper attire in the pool. (i.e. - beach robes, cover-
ups.) Proper attire must be upheld by all pool users as according to Section 2.2 of
this Playbook.
• There is a central location for the lost and found. Articles not claimed in a
reasonable period of time may be donated to a charitable organization.
• Smoking is not allowed within the pool complex.
• Adult swim is reserved for person 18 years of age or older.
• Adults have first preference on lounge chairs.
Section 4.3 General Health Rules
The following rules are required by the Madison/Wisconsin Board of Health and are in
compliance with Ordinances covering pool operations. The careful observance of these by all
members and guests will avoid any misunderstanding and possible difficulties which would
result in severe penalties.
• All bathers are required to take a full-body soap shower before entering the pool.
• Persons with street clothes or street shoes are not allowed on the swimming deck
except operating personnel, health officers or personnel engaged in repair work.
• Admission shall be refused to anyone who has a cold, cough, skin discharge, open
sores, excessive sunburn, any communicable disease or bandages or band-aids
of any kind.
• Blowing the nose in the pool, spitting water, spouting, polluting the water in any
way is forbidden.
• Pets of any kind are not permitted in the pool premises.
• A rest period shall be called for 15 minutes each hour and all children 17 years of
age and under shall be required to leave the pool and remove themselves from the
pool's edge until the rest period has been declared terminated by the Pool Director
or their staff.
• No food, gum, candy, tobacco, soft drinks or intoxicants are permitted outside
designated areas.
• Discarded papers, packages and other debris are to be disposed of in the proper
receptacles provided.
• The Pool Director has authority to limit attendance when the maximum capacity of
300 is reached. This figure is compiled from Wisconsin State Board of Health
Regulations.
• Babies must wear clean swim diapers when entering either pool.
Section 4.4 Additional Safety Rules
• Glass containers or breakable objects of any type are not permitted within the pool
enclosure.
• Running is not permitted within the pool enclosure.
• Boisterousness or rough play is not permitted at any time.
• Use of the wading pool is limited to children 6(six) years of age and under.
Children restricted to the wading pool may remain ONLY if accompanied by an
adult.
• Children 9(nine) years of age and under who have not passed Swim Level IV must
be accompanied by an adult.
• Swim fins, water wings or other inflatables are not permitted in the pool, unless
approved by the Pool Director. Coast Guard approved vests are permitted.
• Soft Nerf type balls or water basketballs will be permitted in the pool at the
discretion of the Pool Director and their staff.
• Diving in the shallow end of the pool is not permitted at any time.
• Swimming is only allowed when a lifeguard is on duty and on deck.
• Unnecessary conversation with lifeguards on duty is prohibited.
Section 4.5 Guest/Babysitter/Nanny Privileges
Nakoma Golf Club pool members are allowed to bring guests with them to the pool facility.
Guests must be accompanied by the member and are subject to a daily guest fee. Non family
member guests are allowed access to the pool as a guest maximum of S(five) times a year. All
guests are to register at the pool office upon arrival and must abide by all rules and regulations
of Nakoma Golf Club. Members who bring guests are responsible for their guest's actions.
Members of Nakoma Golf Club who have pool access and have a permanent babysitter or
nanny are required to purchase a seasonal pass for them. A member's part time or rotational
babysitter or nanny will be charged a daily fee for access to the pool. The babysitter or nanny is
allowed to utilize the member's account while in custody of the member's children.
Section 4.6 Lessons, Swim and Dive Team Information
Nakoma Golf Club provides complimentary Red Cross certified swimming lessons to pool
member children. Nakoma Golf Club also provides the opportunity for pool member children to
participate on a competitive swim and dive team, competing against other area pools in the All

Section 4.7 Private Party Information
As a member of Nakoma Golf Club you have the opportunity to utilize the pool facility for a
private function. The below rules and regulations will help you facilitate the planning of your
event at the pool:
• The pool cannot be entirely closed to hold a private member party.
• All pool activities and team events take precedence.
• All practices will be held as scheduled.
• The upper deck may be reserved for your function.
• Guest fees are waived but a party fee will be charged. The party fee will be based
on the number of attendees in your party, see below.
• The number of guests in your party will be dependent on what day and time you
will be able to hold your function.
• All food and beverage must be provided through the Club unless prior
arrangements have been made with management.
• If the function is held after normal operating hours, in addition to the party fee, you
will be charged for the number of lifeguards required to insure the safety of the
people at your function.

Section 5 - Tennis Information
The Nakoma Golf Club tennis complex is open 7(seven) days a week from April 1st to October
31st. Extensions or compressions of the ability to play tennis on either side of the published
calendar dates are subject to change due to weather conditions throughout the year. Nakoma
Golf Club reserves the right to restrict play based on weather conditions throughout the year.
The tennis complex consists of 4(four) US Open blue outdoor tennis courts which are lighted for
evening play. In addition, there is a full service pro shop available for Nakoma tennis members
to use.
Section 5.1 Hours of Operation
The Nakoma Golf Club tennis courts are open for regular member use April 1st to October 31st,
weather dependent, 7(seven) days a week from 6:00am to 11:00pm. Open play times are
subject to change per scheduled lessons and drill schedules, please consult the Nakoma
website or Tennis Pro Shop for up to date court availability.

Section 5.2 Tennis Programs
Nakoma Golf Club provides various lesson and drill programs for players of all ages and
abilities. The Junior, Ladies, Men' and Mixed programs offered vary throughout the year. The
Nakoma Golf Club tennis staff also provides private tennis lessons. Please consult the Nakoma
website or tennis pro shop for up to date information on these programs.
Section 5.3 Guest Policy
Nakoma Golf Club tennis members are allowed to bring guests with them to the tennis facility.
Guests must be accompanied by the member and are subject to a daily guest fee. Non family
member guests are allowed access to the tennis facility as a guest a maximum of S(five) times a
year. All guests are to register at the tennis pro shop upon arrival and must abide by all rules
and regulation of Nakoma Golf Club. Members who bring guests are responsible for their
guest's actions.
Section 5.4 Additional Rules and Policies
• Proper attire must be upheld by all tennis users as according to Section 2.2 of this
Playbook.
• Only non-marking shoes may be worn on the tennis courts.
• Court reservation may be made up to l{one) week in advance for courts not
reserved for lesson or drill programs.
• Adult reservations take precedent over reservations by children.
• Bicycles are not permitted within the tennis facility.
• Tennis courts are to be used for tennis only.
• The Nakoma Golf Club tennis staff reserves the right to enforce all rules and
regulations that are provided within the Playbook and established by-laws.
Restated Articles of Incorporation of Nakoma Golf Club, Inc.
The following Restated Articles of Incorporation duly adopted pursuant to the authority and
provisions of Chapter 180 of the Wisconsin Statutes supersede and take the place of the
existing articles of incorporation and amendments thereto:
Article I
Organization Matters
Section 1.1- Name
The name of the Corporation shall be Nakoma Golf Club, Inc.
Section 1.2 - Period of Existence
The period of existence of said Corporation shall be perpetual.
Section 1.3 - Location
The principle place of business of the Corporation shall be located at: 4145 Country Club Road,
Madison, Dane County, Wisconsin 53711
Section 1.4 - Powers, Purposes and Objectives
The Corporation is formed pursuant to Chapter 180 of the Wisconsin Statues, with stock and
not-for profit. Its purpose is any lawful activity or business authorized by said Chapter, except
as may be limited by these Articles. Without limitation due to enumeration, and subject to
Article II hereof, the purposes and objectives of said Corporation shall be to operate a private
social club for the pleasure and recreational purposes of the members of the Corporation.
Notwithstanding anything to the contrary contained in these Articles, the above powers,
purposes and objectives shall be exercised by the Corporation in such manner and fashion so
as to engage only in those activities permitted by Section 501(c)(7) of the Internal Revenue
Code of 1986, as amended from time to time.
Article II
Section 2.1- Nonprofit Purposes
This Corporation is organized exclusively as a private social club within the meaning of Section
501(c)(7) of the Internal Revenue Code of 1986, as amended. The activities of the Corporation
shall be conducted for the aforementioned purposes and objectives in such a manner, so that
no part of its net earnings shall inure to the benefit of any director, office or individual; except
that the Corporation shall be authorized and empowered to pay reasonable compensation for
services rendered and to make payments and distributions in furtherance of the purposes set
forth in these Articles; and except that upon dissolution of the Corporation the net assets of the
Corporation may be paid to its members to the extent allowed by the law.
Section 2.2 - Political Activity, etc
The Corporation shall not substantially engage in carrying on propaganda or otherwise
attempting to influence legislation, and shall not carry on any other activities not permitted to be
carried on by a corporation exempt from Federal income taxation under Section 501(c)(7) of the
Internal Revenue Code of 1986, as amended, or successor provisions.
Section 2.3 - Dissolution
Upon dissolution of the Corporation, and after payment of just debts and liabilities, all remaining
assets shall be distributed, to the extent allowed by law at the time of dissolution, to the
stockholders of the Corporation in accordance with a plan of dissolution adopted by the Board of
Directors.
Article Ill

Article IV
Members
Section 4.1- Authorized Shares
The number of shares which is shall have authority to issue, itemized by classes, par value of
share, shares without par value, and series, if any within a class is:

Section 4.2 - Classes of Stock
Class A common stock shall be owned only by a member in good standing of the Corporation as
defined in the bylaws of the Corporation. Class B common stock shall be owned only by persons
who are not members or who are not good standing of the Corporation as defined in the bylaws.
Upon any stockholder ceasing to be a member or who is not in good standing of the
Corporation, the stock owned by said stockholder shall immediately be converted to Class B
common stock. All issued shares shall be reclassified as shares of Class A common stock.
Section 4.3 - Voting
Stockholders owning Class A common stock shall have voting rights. Stockholders owning
Class B common stock shall not have voting rights.
Section 4.4 - Quorum
One-third (1/3) of the outstanding shares of Class A common stock in the Corporation entitled to
vote shall constitute a quorum at any annual or special meeting of the stockholders.
Article V
Officers
Section 5.1 – Number and Qualifications
The officers of the Corporation shall be elected by the Board of Directors and shall consist of a
President, one or more Vice Presidents, and a Secretary/Treasurer, and such other officers as
the Board may determine. The Board of Directors may appoint such assistant officers as it
deems necessary.
Section 5.2 - Qualification, Election, Removal, and Vacancies
The qualifications, election and term of office of officers and directors, their removal from office
and the filling of vacancies shall be as provided for in the by-laws.
Section 5.3 - Board of Directors
The number of Directors constituting the Board of Directors shall be nine.
Article VI
Amendments
These articles may be amended by an affirmative vote of two-thirds (2/3) of a quorum of
stockholders entitled to vote at a regular or special meeting of stockholders.
Restated Bylaws of Nakoma Golf Club, Inc
Article I
Name and Purpose
The name of this Corporation is "Nakoma Golf Club, Inc." (here in after referred to as the
"Corporation"); and the purposes for which this Corporation is formed shall be as provided in its
Articles of Incorporation.
Article II
Shareholders and Members
Section 2.1- Membership
The Corporation shall have members and be with stock.
Section 2.2 - Definitions
"Member-stockholder" is a member of the Corporation determined in accordance with this
Article who has purchased the required minimum number of shares of stock for a category or
type of membership. Spouses in all membership categories are members of that category and
shall enjoy all of the privileges of the membership.
"In good standing" means that the member-stockholder has not been suspended by the Board
of Directors.
Section 2.3 - Qualifications
Any person approved by the Board of Directors shall be entitled to become a member of the
Corporation upon purchase of a minimum number of shares of the Corporation's stock and
payment of membership and initiation fees, dues, assessments, and charges of any other
natures as established from time to time by the Board of Directors. Membership shall not be
denied on the basis of race, color, or creed.
Section 2.4 - Decorum and Discipline
(a) In General
Any member, family member, or a guest of a member whose conduct shall be deemed by the
Executive Committee or Directors, including the Club Manager to be improper or likely to
endanger the welfare, safety, harmony or good reputation of the Corporation or its members,
may be sent a letter of concern, reprimanded, or suspended from the Corporation by a majority
vote action of the Board of the Directors present. The Board of Directors may expel any member
by a two-thirds (2/3) vote of the Directors present. The Board of Directors shall be the sole judge
of what constitutes improper conduct or actions likely to endanger the welfare, safety, harmony
or good reputation of the Corporation or its members. Reasons for reprimand, suspension, or
expulsion may include, without limitation:
1) Failure to meet eligibility for membership;
2) Submission of false information on the application for membership or for guest or lessee
privileges;
3) unsatisfactory behavior or improper conduct;
4) use of the member's membership card or account by anyone other than the designated
holder without permission of the member;
5) failure to pay any amount owed to the Corporation in a timely manner;
6) failure to abide by the rules, regulations and policies as set forth for use of the facilities of
the corporation; or
7) treatment of the members, personnel or employees of the Corporation in an
unreasonable or abusive manner.
(b) Board Action
A member shall be notified of any proposed disciplinary action and shall be given an opportunity
to be heard by the Board of Directors to show cause why the member should not be disciplined
in accordance with this Article. If the member desires to be heard, the member must provide a
written request for a hearing to the Board of Directors within ten (10) days of receipt of the
Corporation notice to the member of the proposed action. Upon the Board's receipt of the
written request for a hearing, the Board of Directors shall set a time and date not less than ten
(10) days thereafter for such hearing. While the complaint is being considered by the Board of
Directors, the member shall enjoy all privileges of the Corporation to which the member was
entitled prior to such complaint.
(c) Suspension
The Board of Directors may suspend a member and/or any family member or guest of the
member from some or all privileges of the Corporation for a period of up to ninety (90) days.
Dues and other obligations shall continue to be due and payable during the suspension and
must be paid in full when due.
(d) Resignation - Request by Board
The Board of Directors may, by a two-thirds (2/3) vote of the directors present, request the
resignation of any member of the Corporation for any cause deemed sufficient by the Board of
Directors.
(e) Expulsion
A member may be expelled or suspended by the Corporation if the Board of Directors
determines that the member's conduct was improper or likely to endanger the welfare, safety,
harmony, or good reputation of the Corporation or its members. A member who has been
expelled from the Corporation shall forfeit his or her membership in the Corporation and, in the
sole discretion of the Board of Directors, may not be entitled to the return of any membership
dues or special assessments and/or fees previously paid to the Corporation. Expulsion shall
immediately convert the stock owned by the expelled member to Class B common stock.
An expelled member shall be notified by registered mail and shall have the obligation to
surrender the membership and, at the option of the Corporation, shall forfeit all rights and
privileges of the membership, including, but not limited to, the right to sell the member's
membership back to the Corporation as provide in these By-Laws.
Provided, however, that nothing set forth herein shall be considered to create a contract or other
legal obligation between the corporation and any member, and no member shall have any right
of action of any nature against the Corporation or its officers, directors, employees, or agents for
matters relating to the discipline of a member.
Section 2.5 - Delinquencies
Any member being delinquent in any obligations owed to the Club may be suspended from the
Club until after all arrears have been paid. Suspension pursuant to this paragraph is at the
discretion of the Board of Directors.
Section 2.6 -Types of Membership
The Board of Directors shall be authorized to create different categories or types of membership
having different stock ownership requirements, qualifications, obligations, rights, and privileges,
including voting rights, as the Board of Directors may deem advisable.
Section 2.7 - Renewal and Resignations
Membership is automatically renewed effective January first of each year and annual dues
become immediately payable unless the member is expelled, suspended or resigns, but the
Board of Directors may, in its discretion, allow payment to be made in installments. A member
may resign by writing mailed or delivered to the Board of Directors. Upon receipt of a member's
resignation, the stock owned by the member shall be immediately converted to Class B common
stock. Any such resignation shall be effective the first day of January following receipt of the
resignation and shall not relieve the member of any dues, fees, assessments or charges of any
other nature accruing prior to the effective date, unless the Board of Directors, in its discretion,
allows a refund.
Section 2.8 - Annual Meetings and Voting
The annual meeting of the member-stockholders shall be held prior to May 1 of each year at the
clubhouse or such other place as may be designated by the Board of Directors. Notice of the
annual meeting and any matters which will be voted on at the meeting shall be mailed to each
member not less than ten (10) days prior to the meeting.
Section 2.9 - Special Meetings
Special Meetings of the member-stockholders of the Corporation may be called upon the
request of the President, Board of Directors, or upon the written request of member-
stockholders owning a least ten percent (10%) of the total number of shares entitled to vote; and
before such special meeting may be called, notice thereof shall be mailed at least ten (10) days
prior to the time of said meeting to each member of the Corporation; said notice to state the
purpose of said meeting and time and place where said meeting will be held. Said notices are to
be addressed to each member at the address that appears on the records of the Nakoma Golf
Club, Inc.
Section 2.10 - Voting
Member-stockholders owning Class A common stock shall be entitled to one vote of each share
of stock owned at the time of the meeting. Husbands and wives, if they so choose, shall be
entitled to one-half vote each of each share of Class A stock owned under their membership at
the time of the meeting. Owners of Class B common stock shall have no voting rights. Voting by
proxy shall be allowed subject to rules and regulations prescribed by the Board of Directors. In
the absence of a valid proxy, shares may be voted only by the record owner of said shares
appearing on the books and records of the Corporation. If shares are owned by two or more
persons in any form of joint ownership, with the exception of husbands and wives as provided
for in this section, only one person shall be entitled to vote. Unless the joint owners agree
otherwise, with the foretasted exception, the first named owner shall be entitled to vote.
Section 2.11- Quorum
One-third (33 1/3%) of the outstanding shares of Class A common stock shall constitute a
quorum for the transaction of business at any meeting of the member-stockholders.
Section 2.12 - Purchase of Shares by Corporation
The Corporation shall have the right to purchase shares of stock in the Corporation. The
Corporation may limit the repurchase of its stock to $20,000 in any one year.
Section 2.13 - Non-Transferability of Shares
Share of stock are not transferable without consent of the Board of Directors. Any attempted
transfer of stock without consent of the Board of Directors shall be void and of no effect. All
stock certificates issued by the Corporation shall state in summary form the restriction on
transfer imposed by this section.
Section 2.14 - Lost Stock Certificates
Upon receipt of the Board of Directors of evidence satisfactory to them of the loss or destruction
of a Certificate of Stock, and upon receipt of indemnity satisfactory to them, if requested, or
upon surrender and cancellation of a mutilated Certificate of Stock, the Directors may cause to
be executed and delivered a new Certificate of Stock of like tenor.
Section 2.15 - Issuance of Stock
Stock of the Corporation shall be issued in the name of the natural person whose application for
membership in Nakoma Golf Club, Inc., is approved by the Board of Directors or jointly, in the
case of a husband and wife, if so requested.
Section 2.16 - Deceased Stockholders
In the event of a stockholder of record is deceased, the Corporation shall, if requested in writing,
repurchase the shares of said deceased stockholder at par value less a transfer fee of Twenty-
five ($25) per share.
Section 2.17 -Transfer of Stock
Each share of stock in the Nakoma Golf Club, Inc., which shall be transferred on the books of
the Corporation, shall be subject to handling charge of $25 plus applicable tax. Payment of this
charge is a condition precedent to the transfer of the stock to the transferee. This provision may
be waived by the Board of Directors should, in the opinion of the Board, a valid reason exists for
such waiver.
Section 2.18 - Shares of Expelled or Resigning Stockholders
The Corporation shall be entitled to purchase the shares of an expelled or resigning stockholder
at a price determined by the Board of Directors from time to time, but not in excess of par value,
by tendering the price of such shares less the transfer fee. Whereas, a member, or former
member, whose account has been submitted to collections shall hereby forfeit and surrender
their ownership of stock in Nakoma Golf Club, Inc.
Article Ill
Board of Directors
Section 3.1 - Powers and Responsibility
The powers of the Corporation shall be vested in the Board of Directors, which shall have
charge, control and management of the property and affairs of the Corporation.
Section 3.2 - Number
The Board of Directors shall consist of nine members. When, because of death, resignation,
retirement or removal, there shall be less than nine Directors remaining, the remaining Directors
shall constitute the Board of Directors and the vacancy(ies) are filled as hereinafter provided. In
such event, said vacancy(ies) shall be filled as soon as reasonably possible.
Section 3.3 - Vacancies
A vacancy on the Board of Directors shall be filled by a vote of the remaining directors until the
next annual meeting of the member-stockholders at which time the member-stockholders shall
elect a person to fill the unexpired term of the vacant position. Provided, however, that if the
vacancy occurs in a term of office with ninety (90) day or less to run, the Board of Directors may
decline to fill the vacancy.
Section 3.4 - Qualifications
Any member of the Corporation shall be eligible for election or re-election to the Board of
Directors, provided however, that no more than two (2) members of the Board of Directors shall
come from the non-golfing membership categories.
Section 3.5 - Election of Directors
The members shall elect directors at the annual meeting of the members in accordance with
Section 3.9.
Section 3.6 - Term
Subject to Sections 3.3 and 3.4 hereof, each Director shall hold office for a term of three years,
or until his or her successor has been elected. A Director may be re-elected to membership on
the Board. The term of office for each Director shall be established in such manner that one-
third (1/3) of the Directors' terms expire each year. In the event of a change in the number of
Directors, the staggering of terms shall be preserved.
Section 3.7- Director Voting Rights
Each director shall be entitled to one vote on all matters coming before the Board.
Section 3.8 - Removal
Any Director may be removed by a majority vote of a quorum of the members at a special
meeting of the members called for that purpose.
Section 3.9 - Manner of Election
Notice of the annual meeting of the members shall include a list of persons nominated for
election to each position on the Board of Directors to be filled by election at the annual meeting.
Nominations may be made by the Board of Directors after consideration of the
recommendations of the nominating committee or by written nomination signed by at least
twenty-five (25) member-stockholders eligible to vote at the annual meeting delivered to the
Board of Directors at least thirty (30) days prior to the annual meeting. Persons may be
nominated from the floor at the annual meeting.
Article IV
Meeting of Directors
Section 4.1- Annual Meetings
The annual meeting of the Board of Directors shall be held prior to May 1 of each year
immediately following the annual meeting of the members, at the clubhouse, or such other place
as may be designated by the Board. The Board shall meet for the purpose of organizing the
Board, electing the officers of the Corporation, electing directors of the Corporation and
transacting such other business as may come before the meeting.
Section 4.2- Regular Meetings
The Board of Directors shall hold regular meetings, at least as often as quarterly, at the
clubhouse or at such other location as the Board may determine.
Section 4.3 - Special Meetings
Special meetings of the Board of Directors may be called and held at any time upon the written
request of the President or of three Directors. Such request shall be addressed to the Secretary.
Section 4.4- Notice of Meeting
Written notice of any meeting shall be given by the Secretary to each Director at least seven
days prior to said meeting. The notice of any special meeting shall state in as much detail as
practicable the agenda of business to be transacted at such meeting. Whenever any notice
whatsoever is required to be given to any Director of the Corporation under the Articles of
Incorporation or Bylaws or any provision of law, a waiver thereof in writing, signed at any time,
whether before or after the time of meeting, by the Director entitled to such notice, shall be
deemed equivalent to the giving of such notice. The attendance of a Director at a meeting shall
constitute a waiver of notice of such meeting, except where a director attends a meeting and
objects thereat to the transaction of any business because the meeting is not lawfully called or
convened.
Section 4.5 - Quorum
A majority of the number of Directors fixed by Section 3.2 of Article Ill shall constitute a quorum
for the transaction of business at any meeting of the Board of Directors, but a majority of the
Directors present (though less than such quorum) may adjourn the meeting from time to time
without further notice.
Section 4.6 - Manner of Acting
The act of the majority of Directors present meeting at which a quorum is present shall be the
act of the Board of Directors, unless the act of a greater number is required by law or the
Articles of Incorporation or these Bylaws.
Section 4.7 - Presumption of Assent
A Director of the Corporation who is present at a meeting of the Board of Directors or a
committee thereof, at which action on any corporate matter is taken, shall be presumed to have
assented to the action taken unless his/her written dissent to such action with person acting as
the secretary of the meeting before the adjournment thereof, or shall forward such dissent by
registered mail to the Secretary of the Corporation immediately after the adjournment of the
meeting. Such right to dissent shall not apply to a Director who voted in favor of such action.
Section 4.8 - Committees
The Board of Directors by resolution may designate one or more committees, either standing or
special. Each committee shall consist of two or more member-stockholders, appointed by the
Board of Directors, which, to the extent provided in said resolution as initially adopted and as
thereafter supplemented or amended by further resolution, shall gather information, conduct
investigations and report their finding or make recommendations to the Board of Directors.

Section 4.9 - Nominating Committee
The Board shall establish a nominating committee of three or more persons, at least one of
whom shall be a member of the Board. At least 90 days prior to each annual meeting of the
members, the nominating committee shall meet for purposes of selecting candidates for those
directors who are required to be elected at the said annual meeting. In so selecting candidates,
the nominating committee shall select candidates who satisfy the qualification requirements set
forth in these Bylaws, and such additional requirements as the nominating committee shall from
time to time determine. The nominating committee shall develop requirements, designed to give
as broad a representation as possible to all interested persons in the director selection process.
Within 30 days of the annual meeting, the nominating committee shall make its
recommendations on candidates to all members of the Board of Directors.
Section 4.10 - Executive Committee
The president of the Board of Directors shall appoint an executive committee consisting of not
less than five (5) members of the Board including the president, who shall, in the absence of the
full Board of Directors, be empowered and authorized to make decisions concerning all matters
affecting the organization and its business when any emergency action becomes necessary;
and three members of the executive committee including the chairman shall constitute a
quorum.
Section 4.11- Informal Action Without Meeting
Any action required or permitted by the Articles of Incorporation or Bylaws or any provision of
law to be taken by the Board of Directors at a meeting or by resolution may be taken without a
meeting if a consent in writing setting forth the action so taken shall be signed by all of the
Directors then in office.
Article V
Officers
Section 5.1- Number and Qualification
The principal officers of the Corporation shall be a President, one or more Vice Presidents, a
Secretary and a Treasurer, each of whom shall be elected by the Board of Directors from the
members of the Board of Directors. Such other officers and assistant officers as may be
deemed necessary may be elected or appointed by the Board of Directors. Any two or more
offices may be held by the same person, except the offices of President and Secretary.
Section 5.2 - Election and Term of Office
The officers of the Corporation to be elected by the Board of Directors shall be elected annually
by the Board of Directors at its annual meeting. If the election of officers shall not be held at
such meeting, such election shall be held as soon thereafter as conveniently may be. Each
officer shall hold office for one (1) year or until his/her successor shall have been duly elected,
or until his/her death or until he/she resigns or shall have been removed in the manner
hereinafter provided.
Section 5.3 - Removal
Any officer or agent elected or appointed by the Board of Directors may be removed by the
Board of Directors whenever in its judgment the best interests of the Corporation will be served
thereby, but such removal shall be without prejudice to the contract rights, if any, of the person
so removed. Election or appointment shall not itself create contract rights, except as provided
for in Article VII hereof.
Section 5.4 - Vacancies
A vacancy in any principal office because of death, resignation, removal, disqualification or any
other reason may be filled by the Board of Directors on an interim basis until the election or
appointment of a successor.
Section 5.5 - President
The President shall be the chief executive officer of the Corporation and shall in general
supervise, direct, and control all the business and affairs of the Corporation. He/she shall have
authority to appoint such agents and employees of the Corporation as the Board of Directors
deems necessary, to prescribe their powers, duties and compensation, and to delegate authority
to them. Such agents and employees shall hold office at the discretion of the Board of Directors.
He/she shall have authority to sign, execute, and acknowledge, on behalf of the Corporation, all
deeds, mortgages, bonds, contract, leases, reports and all other documents or instruments
necessary or authorized by the resolution of the Board of Directors. He/she shall assist the
Board of Directors in the formulation of policies of the Corporation. In general he/she shall
perform all duties incident to the office of President and such other duties as may be prescribed
by the Board of Directors from time to time. The Vice President shall perform the duties of the
President in the President's absence, and any other duties assigned by the President or the
Board of Directors.
Section 5.6 - Secretary
The Secretary shall:
a) keep the minutes of the Board of Directors' meetings and meetings of the members in
books provided for that purpose;
b) see that all notices are duly given in accordance with the provisions of these Bylaws or a
required by law;
c) be custodian of the corporate records of the Corporation; and
d) in general perform all duties and exercise such authority as from time to time may be
delegated or assigned to him/her by the President or by the Board of Directors.
Section 5. 7 – Treasurer
If required by the Board of Directors, the Treasurer shall give a bond for the faithful discharge of
his/her duties in such sum and with such surety or sureties as the Board of Directors shall
determine. He/she shall:
a) have supervision over the charge and custody of all funds and securities of the
Corporation; supervise persons who receive and give receipts for moneys due and
payable to the Corporation from any source whatsoever, and deposit all such moneys in
the name of the Corporation in such banks, trust companies or other depositories as shall
be selected in accordance with the provisions of these Bylaws; and
b) in general perform all of the duties incident to the office of Treasurer and have such other
duties and exercise such other authority as from time to time may be delegated or
assigned to him/her by the President or by the Board of Directors.
Section 5.8 - Assistant Secretaries and Assistant Treasures
There shall be such number of Assistant Secretaries as the Board of Directors may from time to
time authorize. The Assistant Treasurers shall respectively, if required by the Board of Directors,
give bonds for the faithful discharge of their duties in such sums and with such sureties as The
Board of Directors shall determine. The Assistant Secretaries and Assistant Treasures, in
general, shall perform such duties and have such authority as shall from time to time be
delegated or assigned to them by the Secretary or the Treasurer, respectively, or by the
President or the Board of Directors.
Section 5.9 - Other Assistant and Acting Officers
The Board of Directors shall have the power to appoint any person to act as assistant to any
officer, or to perform the duties of such officer whenever for any reason it is impracticable for
such officer to act personally, and such assistant or acting officer so the office in which he/she is
so appointed to be assistant, or as to which he/she is so restricted by the Board of Directors.
Article VI
Indemnification of Directors, Officers
Committee Members or Staff Members
Section 6.1- Definitions
a) "Expenses" include fees, costs, charges, disbursements, attorney fees and any other
expenses incurred in connection with a proceeding.
b) "Liability" includes the obligation to pay a judgment, settlement, penalty, assessing
forfeiture or line, and reasonable expenses associated therewith.
c) "Proceeding" means any threatened, pending, or completed civil, criminal, administrative,
or investigative action, suit arbitration or other proceeding, whether formal or informal,
which involves foreign. Federal, state or local law and which is brought by or in the right
of the Corporation or by any other person(s).
Section 6.2 - Indemnification
The Corporation shall indemnify each present, former, and future director, officer, club manager,
or any member of a committee appointed by the Board of Directors (herein the "committee
member") of the Corporation, to the extent he or she has been successful on the merits or
otherwise in the defense of a proceeding, for all reasonable expenses incurred in the
proceeding if the person was a party because he or she is or was a director, officer, or
committee member of the Corporation. This provision is intended to indemnify all such persons
to the fullest extent provided under Section 181.042 of the Wisconsin Statutes.
Section 6.3 - Other Indemnification
a) In cases not include under Section 6.2 hereof, the Corporation shall indemnify each
present, former, and future director, officer, club manager, or committee member of the
Corporation against liability incurred by such person in a proceeding to which the person
was a party because her or she is or was a director, officer, club manager or committee
member of the Corporation, unless liability was incurred because the person breached or
failed to perform a duty he or she owes to the Corporation or to the claimant and the
breach of failure to perform constitutes any of the following:
i. A willful failure to deal fairly with the Corporation of its members in collection
with a matter in which the person has a material conflict of interest.
ii. A violation of criminal law, unless the director, officer, committee member, or
staff member had reasonable cause to believe his or her conduct was lawful or
no reasonable cause to believe his or her conduct was unlawful.
iii. A transaction from which the director, officer, committee member, or staff
member derived an improper personal profit.
iv. Willful misconduct.
b) Determination of whether indemnification is required under this subsection shall be made
under Section 6.4.
c) The termination of a proceeding by judgment, order, settlement, or conviction, or upon a
plea of no contest or an equivalent plea, does not by itself create a presumption that
indemnification of the director, officer, committee member, or staff member is not
required under this subsection.
(d) Indemnification under this section is not required, if the director, officer, or committee
member has previously received indemnification or allowance of expenses from any person,
including the Corporation, in connection with the same proceeding.
Section 6.4 - Determination of Right to Indemnification
The director, officer, club manager or committee member seeking indemnification under Section
6.3 shall make a written request to the Corporation. Such request may be granted or denied by
a majority of a quorum of the Board of Directors consisting of directors not at the time parties to
the same or related proceedings. If a quorum of disinterested directors cannot be obtained, the
decision to grant or deny such indemnification shall be made by majority vote of a committee
duly appointed by the Board of Directors and consisting solely of two or more directors not at the
time parties to the same or related proceedings. Directors who are parties to the same or related
proceedings may participate in the designation of members for the committee. The director,
officer, club manager, or committee member seeking indemnification may not use any other
method of obtaining indemnification.
Section 6.5 - Death
In the event of the death of any person entitled to indemnification under this Article, the benefits
provided for in this Article shall extend to his/her heirs and legal representatives.
Section 6.6 - Not Exclusive
The foregoing right to indemnification as set forth in this Article shall not be exclusive of any
other rights to which any director, officer, club manager, or committee member, of the
Corporation may otherwise be entitled to under the laws of the State of Wisconsin, in effect from
time to time.
Section 6.7 - Contract
This Article is intended to constitute a contract with each person who, subsequent to its
adoption, is serving or shall subsequently serve as a director, officer, club manager or
committee member; and the indemnification provided herein shall be in addition to any other
compensation which each such person may receive from the Corporation for his or her services
as a director, officer, club manager or committee member.
Section 6.8 -Advance Payment of Expenses as Incurred
Upon written request by the person seeking indemnification under Section 6.3 hereof, the
Corporation may pay or reimburse his or her reasonable expenses as incurred if the person
requesting such indemnification provides the Corporation with all of the following:
(a) a written affirmation of his or her good faith belief that he or she has not breached
or failed to perform his or her duties to the Corporation, and
(b) a written undertaking, executed by such person, to repay the allowance and
reasonable interest on the allowance to the extent it is ultimately determined under
applicable law that indemnification is not required or permitted as a matter of law.
Article VII
Contracts, Loan, Checks, and Deposits
Section 7.1- Contracts
The Board of Directors may authorize any officer or officers, agent or agents, to enter into any
contract or execute and deliver any instrument in the name of and on behalf of the Corporation,
and such authorization may be general or confined to specific instances.
Section 7.2- Loans
No loans shall be contracted on behalf of the Corporation and no evidences of indebtedness
shall be issued in its name unless authorized by or under the authority of a resolution of the
Board of Directors. Such authorization may be general or confined to specific instances. This
Section shall not be construed as applying to current, reasonable operating expenses of the
Corporation.
Section 7.3 - Checks, Drafts, etc.
All checks, drafts, or other orders for the payment of money, notes or other evidences of
indebtedness issued in the name of the Corporation shall be signed by such officer or officers,
agent or agents of the Corporation and in such manner as shall from time to time be determined
by or under the authority of a resolution of the Board of Directors.
Section 7.4- Deposits
All funds of the Corporation not otherwise employed shall be deposited from time to time to the
credit of the Corporation in such banks, trust companies or other depositories as may be
selected by or under authority of the Board of Directors.
Article VIII
Fiscal Year
The fiscal year of the Corporation shall be the year ending December thirty-first.
Article IX
Corporate Seal
The Corporation shall have no corporate seal.
Article X
Amendments
Section 10.1-These Bylaws may be altered, amended or repealed, and new Bylaws may be
adopted by a majority vote of the members at any meeting of the members. Any Bylaw adopted
by the members shall be subject to subsequent amendment or repeal by the members.
