Carta del presidenteLetter from the chairman
Confirmando la disparidad de comportamientos entre los mercados financieros y la economía real, el año 2012 ha sido favorable tanto para los inver-sores en renta fija como en renta variable. Esta evolución, sorprendente y desorientadora para muchos, se ha repetido sin embargo a lo largo de la historia y tiene diversas explicaciones.
Entre ellas, una de las más evidente es la inun-dación de liquidez que los bancos centrales han venido haciendo y que, en ausencia de crecimiento en la economía real, se dirige a los mercados financieros. La visión simplificadora que asocia estrechamente la evolución a corto plazo de la economía real a la de los mercados financieros, ha quedado así desmentida. A corto plazo, la liquidez es determinante y esta abunda en el mundo.
Al cierre del año 2012, la dualidad en que se mueve la economía mundial da argumentos a optimistas y pesimistas. Los primeros se apoyan en datos positivos incontrovertibles que derivan de las duras decisiones acometidas por los diferentes países desde 2008 y que constituyen el telón de fondo imprescindible para una mejoría que uná-nimemente se sitúa para la uE en 2014, pues las últimas previsiones todavía anuncian otra suave contracción adicional en 2013.
Y los pesimistas encuentran en los dramáticos datos de desempleo y de desaceleración del consu-mo su argumento central. La necesidad de crecer más, imprescindible para la devolución de la deuda acumulada, augura, en ausencia de imposibles estímulos fiscales, una flexibilización de los calen-darios de ajuste y a más largo plazo también proba-blemente la reemergencia de la inflación.
Con todo, la impresión mayoritaria a fin de ejercicio sobre la crisis de deuda y financiera en Europa es que, probablemente, lo peor ha pasado. una y otra vez desde el inicio de la crisis en 2008 hemos insis-tido en que el comportamiento racional acabaría prevaleciendo sobre las visiones catastrofistas. Por
2012, bearing out the disparate behaviour of financial markets and the real economy, has been favourable for both bond and equity investors. This surprising and, to many, confusing dichotomy has in fact happened repeatedly over the years and has various explanations.
One of the most obvious reasons is the liquidity that central banks around the world have been flooding the market with. In default of any growth in the real economy this streams into the financial markets. The simplistic vision of a close relationship between the short-term trend of the real economy and financial markets has thus been debunked. In the short term abundant worldwide liquidity is the key factor.
At the close of 2012 this dichotomy of the world economy lends itself to both optimistic and pessimistic views. Optimists point to the unquestionably positive result of the harsh decisions taken by the various countries since 2008. This now paves the way for an upturn that is now unanimously expected for the Eu in 2014, since the most recent forecasts still augur a slight shrinkage for 2013.
The pessimists, on the other hand, point bleakly to the terrible unemployment figures and the slowdown in consumer spending. The need to grow more, a sine qua non for paying off the debt backlog, means, in default of any impossible tax incentives, a relaxing of the austerity measure deadline and in the longer term, too, a probable return of inflation.
All in all, the general end-of-year impression about Europe’s debt and financial crisis is that the worst is probably over. Time and time again since the beginning of the crisis back in 2008 we have been insisting that a rational outlook is bound to prevail in the end over catastrophic views. Luckily, this opinion seems now to have won out and the "prophets of doom" who tried to instil fear

suerte, parece que esta opinión va imponiéndose y que la "industria del miedo" que trabajó incesante-mente en 2011 perdió la batalla a partir de la inter-vención en el mes de julio del presidente del BCE.
Para las carteras, fondos de inversión y SICAV que gestiona EDm, el año ha sido muy bueno tanto en términos absolutos como en relación con los índi-ces de referencia de los mercados en que invierten. En el apartado correspondiente de esta memoria hallará el lector los datos específicos que destacan por su consistencia y amplitud en relación con las diferentes clases de activos y zonas geográficas.
En estos meses, la evolución de nuestro grupo de compañías ha sido favorable con un crecimiento de los activos gestionados del 15%, cerrando el año con 1.364 millones de euros (+180,3 millones), recogiendo tanto las aportaciones netas por un importe de 69,6 millones de euros como los incre-mentos de valoración (+110,7 millones de euros). Ello ha permitido rebasar ya el máximo anterior de 2007, al inicio de la crisis.
El incremento de volumen, en cambio, no ha reper-cutido en el resultado del ejercicio que comenta-mos pues se ha materializado especialmente en la segunda parte del año, por lo que el resultado neto es ligeramente inferior al año anterior. En el apartado correspondiente se comentan con mayor detenimiento los resultados financieros de EDm.
A parte de impuestos extraordinarios, ese retraso es imputable a la lentitud en el desarrollo de nues-tra actividad de gestión de activos para clientes institucionales, así como a la llegada tardía de nuestros primeros clientes en América Latina don-de nuestra expectativa continúa siendo esperan-zadora. En aquel continente vamos a incrementar nuestra presencia con una oficina en méxico DF, y la incorporación de más personas.

As for the EDm-managed portfolios, investment funds and SICAVs (open-ended, variable capital investment company), the year has been very good in both absolute terms and relative to the benchmark indices of the investment markets. In the corresponding section of this annual report readers will find the specific figures, which stand out for their consistency and breadth in relation to the various classes of assets and geographical areas.
Over these months the trend of our group of companies has been favourable, with 15% growth in assets under management, closing the year at 1.364 billion euros (+180.3 million), counting both net inflows worth 69.6 million euros and valuations (+110.7 million euros). This means that we have now topped the previous, pre-crisis peak of 2007.
The growth in volume, however, does not show up in the year’s results we are commenting on here, since it materialised mainly in the second half of the year. The net profit, therefore, is lower than last year’s. EDm’s financial results are discussed at greater depth in the corresponding section.
A part from extraordinary corporate taxes this timelag is largely due to the slowness in the growth of our asset-management activity for institutional clients and the tardy arrival of our first Latin American clients, where the prospects are still highly promising. We now intend to up our presence in that continent, running an office in mexico FD and taking on more staff.

En cuanto al desarrollo corporativo avanzaremos en 2013 en la fusión de nuestras dos sociedades de domicilio español, EDm Servicios Financieros, S.A. AV y EDm Gestión, S.A. SGIIC, cuya materialización nos permitirá desarrollar con mayor eficacia nues-tros servicios de gestión patrimonial y de activos.
El año ha sido, desde otro punto de vista, difícil por la incertidumbre asociada a las medidas en el ámbito de la fiscalidad adoptadas (a veces con aplicación retroactiva) tanto por las comunidades autónomas como por el Gobierno de España y que han sometido a muchos inversores a considerable tensión. Estas tensiones se extienden igualmente al ámbito europeo donde los gobiernos parecen haber descubierto en los territorios de baja tributa-ción un buen chivo expiatorio de otras debilidades.
Este apretado repaso del año 2012 nos emplaza a seguir trabajando en el 2013 y siguientes en la misma línea emprendida desde la fundación de la compañía. En relación con la gestión que nos han confiado nuestros clientes, a quienes debemos una vez más agradecer su confianza, ratificamos el mantenimiento de la disciplina de nuestro estilo de inversión y la cuidadosa evitación de cualquier conflicto de interés.
As for corporate developments, further progress will be made in 2013 with the merger of our two Spanish-based companies, EDm Servicios Financieros, S.A. AV and EDm Gestión, S.A. SGIIC; this will be conducive to a more efficient performance of our wealth and assets management services.
This year has also been tricky from another point of view, i.e. the uncertainty associated with the taxation measures brought in (often with backdated effects) at both regional and national level. These have been nerve-wracking for many investors. This tension has also spread throughout Europe, where governments seem to have found low-taxation countries to be handy scapegoats for other ills.
The performance highlighted in this nutshell overview of 2012 prompts us to continue working along the same lines in 2013. As regards our clients, we would like to take this chance to thank them for their ongoing trust in our management services while ratifying the maintenance of our disciplined investment style and the careful avoidance of any conflicts of interest.

Aquellos inversores que no se dejaron llevar por las incertidumbres macroeconómicas, sino que confiaron que todas las alarmas catastrofistas no llegarían a materializarse, han tenido en 2012 una agradable recompensa. El cuadro 1 registra el comportamiento de diferentes mercados de renta fija y renta variable.
Those investors who stood their ground in 2012, without being cowed by all the Cassandra voices, were amply rewarded in the end. Table 1 shows the behaviour of the various equity and bond markets.
Bank deposits have tended to serve as a save haven for exposure to financial markets. In Spain, in particular, the high interest of the latter, paradoxically enough, has been the main hurdle. In the rest of the world liquidity is hardly rewarded at all, whereas in Spain the pressing need from banks for raising cash ensured satisfactory results in 2012, albeit lower than bond investments. This will not be probably the case in 2013.

La exposición a los mercados financieros, en lugar de refugiarse en los depósitos bancarios, ha tenido que vencer, en el caso español, la anomalía de las eleva-das retribuciones de aquellos. mientras que en el res-to del mundo la liquidez apenas está retribuida, en España la apurada necesidad de los bancos de captar recursos ha permitido en 2012 obtener resultados adecuados, aunque inferiores a la renta fija. Este hecho ya no se repetirá probablemente en 2013.

La clave del comportamiento favorable de bonos y acciones está en la actitud de los bancos centrales. En EEuu, la Reserva Federal inunda la economía todos los meses de liquidez al comprar bonos del Tesoro a largo plazo aplanando así la curva de inte-reses. Así, el rendimiento del Treasury bond a 10 años apenas ha permitido cubrirse de la inflación.
En Europa, el papel del BCE ha sido igualmente decisivo. Tras poner en marcha su programa LTRO de compra de bonos en el mercado secundario, su presidente anunció durante el verano, en plena tormenta sobre la deuda pública española e italia-na, que haría lo necesario para preservar la super-vivencia de la moneda única. Y, para ello, pasando la iniciativa a los Gobiernos afirmó que si estos acudían a la Comisión Europea solicitando alguna de las variedades de rescate, el BCE intervendría en el mercado primario de deuda de dichos países.
Esta vez, los inversores tomaron en serio dicho compromiso, como puede verse en el gráfico 1, que registra el comportamiento del diferencial español e italiano a lo largo del año. En el caso español
The key to the positive performance of bonds and shares lies in the attitude of central banks. In the uS, the Federal Reserve pumps every month liquidity into the economy by buying long-term Treasury bonds, thus flattening out the interest rate curve. The 10-year Treasury bond yield has therefore barely covered inflation.
In Europe the ECB’s role has been equally decisive. After implementing its LTRO bond buying programme in the secondary market, the ECB’s president announced in the summer, in the midst of the Spanish and Italian government debt storm, that he would do “whatever it takes” to ensure survival of the Euro. To this end, leaving the ball in the governments’ court, the president guaranteed that it would intervene in the primary debt market of any country that requested any of the bailout arrangements.
This time investors took him at his word. Graph 1 shows the Spanish and Italian spread trend over the year. In the Spanish case, from a peak yield of

de un máximo rendimiento del 7,57% en julio de 2012, se ha cerrado el año con un 5,23% para el bono a 10 años.
Esta relajación se ha contagiado a todos los merca-dos financieros que, hasta el verano, habían jugue-teado con la idea de que el euro podría sucumbir. Así las bolsas han tenido un magnífico segundo semestre que permite (salvo la española) cerrar el año cómodamente en positivo.
El gráfico 2 recoge la evolución del Ibex 35 español, el mSCI Europe y el S&P 500 norteamericano.

This easing of tension spread by contagion throughout the rest of the financial markets, which, until the summer, had been mooting the doom of the euro. Stockmarkets thus had a magnificent second half of the year, closing the year comfortably in the black (barring the Spanish stockmarket).

En EEuu, la evolución económica ha mejorado paulatinamente a lo largo del año con un creci-miento de su PIB de alrededor del 2% que con-trasta con el raquítico −0,4% de la Eurozona. Sin embargo, también allá los avatares de la política han introducido volatilidad: la elección presidencial de noviembre y las decisiones sobre el techo de deuda.

nacional, las incertidumbres macroeconómicas no van a abandonar fácilmente los mercados. Así, la lentitud de la recuperación económica en Europa se refleja en las valoraciones (PER) de sus bolsas.
El gráfico 3 muestra este hecho, pero también que, desde un punto de vista histórico, las acciones coti-zadas están moderadamente infravaloradas y muy por debajo de los excesos del periodo 1998-2000, origen de la mísera década posterior (véase más adelante los Temas del Año).

to shrug off economic uncertainties easily. The sluggishness of Europe’s economic upturn is reflected in its stockmarket valuations (P/E ratio).
Graph 3 reflects this fact, but also the fact that, from a historical point of view, listed shares are moderately undervalued and well below the excesses of the 1998-2000 period, origin of the miserable decade afterwards (see the Key Investment Issues of the Year, below).
Los bajos tipos de interés y también de la renta fija de mayor calidad crediticia (IG) han provocado una “búsqueda de rendimiento” (yield search) que ha favorecido el segmento de menor calidad que ofre-ce en contrapartida alto rendimiento (HY).
En el gráfico 4 se recoge la evolución del diferencial entre dichos bonos y el Treasury bond a 5 años norteamericano.

THE DRAGHI EFFECT: CALMING THE MARKETS
market performance in 2012 was two-tier, each part fitting almost perfectly in each half year. This fit has got nothing to do with the calendar itself, however, but rather with the intervention of ECB’s president mario Draghi on 7 July. In this statement he forthrightly stressed that the ECB would do “whatever it takes” to save the Euro.
Graph 5 shows the Spanish 10-year bond risk premium trend and the Ibex 35 index trend. The most cursory glance shows that his balsamic words had the desired effect. In fact the declared commitment was not actually implemented, since the purchase of peripheral bonds was made conditional on an Eu bailout request, something that in Spain’s case was never forthcoming.

La evolución de los mercados en 2012 ha tenido dos partes que casi coinciden exactamente con cada semestre. Pero esta realidad no tiene nada que ver con el calendario sino con una intervención el 7 de julio del presidente del BCE, mario Draghi. En ella manifestó enfáticamente que el BCE haría lo que fuera necesario (“Whatever it takes”) para salvar el Euro.
El gráfico 5 recoge la evolución de la prima de riesgo del bono a 10 años español y la evolución del índice Ibex 35 y basta echarle un vistazo para comprender que sus palabras tuvieron el efecto deseado. De hecho, el compromiso manifestado no ha llegado a hacerse efectivo, puesto que con-dicionaba la compra de bonos de países periféricos a la solicitud de ayuda a la unión Europea, que en el caso de España no se produjo.

LA GRAN ROTACIÓN: EL DILEMA DEL DECENIO
Los inversores en renta fija, tanto la de calidad (IG) como la de alto rendimiento (HY), se han dado en 2012 un festín. El cuadro 2 refleja el resultado total (interés más variación de precio) de diversas clases de deuda pública a 10 años.
Sin embargo, el fruto de este entusiasmo es que los rendimientos a los que a fin de año pueden adquirirse los bonos de mayor calidad y solvencia son tan bajos que se sitúan en mínimos históricos. Dicho de otra manera, solo se explican por las incertidumbres macroeconómicas del momento.

THE GREAT ROTATION: THE DECADE’S DILEMMA
Investors, in both investment grade (IG) and high yield (HY) bonds, filled their boots in 2012. Table 2 shows the total return (interest plus price change) of diverse classes of 10 year government debt.
The upshot of all this enthusiasm, however, is that the end-of-year yields of the highest-quality, most solvent bonds had dropped to all-time lows. In other words, they can only be explained by the economic uncertainties of the time.
However, if forecasts of a slow but sure improvement of the world economy over coming years are borne out, the return of yields to historically average

de la economía mundial durante los próximos años, la normalización al alza de los rendimientos hacia sus medias históricas comportaría, como es sabido, la caída de sus precios. En otras palabras, una manera bastante segura de perder dinero en el futuro es invertir en deuda pública alemana o estadounidense. ¿La razón? Están caras.
El gráfico 6 ilustra el rendimiento de los bunds alemanes y confirma el escaso atractivo de los rendimientos efectivos.

Por ello, aparece más atractiva la inversión en acciones cotizadas, especialmente de las bolsas europeas, donde las valoraciones son histórica-mente atractivas habiendo dejado atrás la burbuja del periodo 1998-2000.
A esa transferencia de exposición de la renta fija a la renta variable se la ha denominado “la gran rotación”. Creemos que durará varios años, dada la bajísima exposición a la renta variable de muchos inversores. una vez más, sin embargo, descono-cemos cuándo se iniciará pero estamos seguros de que ese movimiento dominará la segunda parte de la década.
Equity investment therefore comes across as more attractive, especially in European stockmarkets, where valuations are historically attractive after leaving behind the bubble of 1998-2000.
This shift from bonds to equities has been dubbed “the Great Rotation”. We believe it will last for several years given the extremely low equity exposure of many investors. Once more we are uncertain about when it will start but we are sure that this shift will dominate the second half of the decade.

LAS PREOCUPACIONES POR LA INFLACIÓN
Desde Europa constituye hoy una originalidad hablar de la posibilidad del retorno de la inflación cuando el continente europeo se halla sumido en un entorno cuasi depresivo como resultado de la devaluación interna de quienes, como España o Irlanda, cometieron grandes excesos y perdieron competitividad que ahora se recupera, a costa del paro y de las contracciones del PIB.
El gráfico 7 ilustra los esfuerzos de dichos países que están recuperando competitividad a marchas forzadas frente a Alemania, Francia e Italia.
INFLATION WORRIES
It almost seems shocking nowadays to speak of the possibility of a return to inflation when the european continent has been plunged into depression as a result of the internal devaluation of countries like Spain or Ireland, which are now having to pay for their past excesses with soaring unemployment and GDP shrinkage.
Graph 7 shows the efforts made by these countries to claw back lost competitiveness against Germany, France and Italy.

Pero en EEuu, sobre todo, los temores al retorno de la inflación en la segunda parte de la década no son ningún chiste. La razón básica de que muchos inversores crean que la inflación aumentará allá y en el mundo cuando la economía mejore queda recogida en el gráfico 8, en el que puede observar-se el aumento descomunal de los balances de los bancos centrales de EEuu (Fed) y de la eurozona (BCE).

But in the uSA, above all, fears of a return to inflation in the second half of the decade are no bagatelle. The basic reason why many investors believe that inflation will take off worldwide when the upturn comes is set out in graph 8, which shows the exploding balances of the central banks of the uSA (Fed) and the eurozone (ECB).
This increase, in practical terms, means that these banks have “manufactured” money at a much quicker rate than the economy has grown. many pundits believe that when the economy does

muy superior al de la economía. muchos creen que, cuando esta empiece a mejorar, la inflación se hará presente, lo cual puede no ser necesaria-mente tan malo. En primer lugar, porque la política monetaria es más eficaz para frenar la inflación que para estimular el crecimiento.
Pero, sobre todo, porque los volúmenes de deu-da pública y privada acumulada en la crisis solo igualan los de otros periodos excepcionales como el que siguió a la Segunda Guerra mundial. Y es sabido que, de las tres soluciones a los excesos de deuda (crecimiento, impago e inflación), la inflación es el “impuesto dulce” que menos costes políticos tiene.
Pero para los inversores atentos, un poco de infla-ción enviaría un mensaje positivo a la renta variable.
FISCALIDAD Y VEHÍCULOS DE INVERSIÓN
Las decisiones adoptadas por diferentes gobiernos en España para tratar de engrosar sus arcas han introducido nuevos elementos que condicionan no tanto el fondo de las decisiones de inversión, que depende de sus fundamentos financieros, pero sí el vehículo seleccionado para realizarlas.

eventually pick up, inflation will kick in; this is not necessarily bad news. First of all because monetary policy is more effective at curbing inflation than stimulating growth.
But above all because the sheer amount of public and private debt built up during the crisis is matched only by other exceptional periods such as the aftermath to World War II. And everyone is aware that, of the three solutions to excessive debt (growth, default and inflation), inflation is the “sweet tax” that is least costly in political terms.
But for watchful investors, a little inflation will send a positive message to equity investments.
TAX ISSUES AND INVESTMENT VEHICLES
The decisions taken by successive Spanish governments to swell their coffers have introduced new factors that impinge not so much on investment decisions, which depend on financial fundamentals, but rather the selected investment vehicle itself.

La suspensión y posterior reinstauración del Impuesto sobre el Patrimonio (IP) ha tenido y tendrá grandes consecuencias, pues trastoca por completo la estructuración de las carteras de inver-sión en búsqueda de vehículos de no distribución de intereses y dividendos.
La razón de este cambio está en la existencia de la llamada “pinza” en la fiscalidad conjunta del Impuesto sobre la Renta de las Personas Físicas (IRPF) y del IP. Consiste en que de forma agregada nadie pueda pagar más del 60% de la base de renta del año ni tampoco menos del 20% de lo que correspondería al IP para aquellos contribuyentes con bases pequeñas en IRPF.
El efecto de la “pinza” es encaminar la estructu-ración de las carteras hacia IIC (fondos y/o SICAV) que, por no distribuir ni intereses ni dividendos, disminuyen las bases del IRPF con el efecto anejo de disminuir al propio tiempo la cuota de IP.
Pero es preciso recordar que la fiscalidad de las IIC no es un regalo: es solo un diferimiento de la cuota del IRPF.
HigH yield EN EUROPA
uno de los impactos duraderos en la crisis finan-ciera iniciada en 2008 es la emergencia de un activo mercado primario de emisiones de deuda corporativa (renta fija privada) de menor calidad crediticia.
El mercado de high yield o alto rendimiento tuvo su inicio en los años ochenta en EEuu y no ha parado de crecer de modo que asegura el 70% de la financiación de las mayores compañías, dejando solo un 30% a la financiación bancaria. En Europa las proporciones se invierten.
Pero las circunstancias están empujando a las empresas a buscar la liquidez (que la hay) y no el crédito bancario (que tardará en haberlo) para
The suspension and subsequent restoration of the Wealth Tax has had and will have far-reaching consequences, upsetting as it does the makeup of investment portfolios in search of zero coupon investment vehicles.
The reason for this change lies in the so-called “pinza” (pincer) effect in personal income tax (IRPF) and wealth tax (IP), whereby the joint IRPF and IP liability cannot add up to more than 60% of the year’s tax base or less than 20% of what would be the corresponding IP sum for taxpayers with small IRPF tax bases.
The effect of this “pinza” is to swing portfolio makeup towards uCITs (funds and/or SICAVs). These vehicles distribute neither interest nor dividends and therefore reduce the IRPF tax base with the concomitant effect of reducing the IP tax liability at the same time.
But it should be remembered here that uCIT taxation is no gift: it is merely a postponement of the IRPF tax liability.
EUROPEAN HIGH YIELD
One of the lasting impacts of the financial crisis that began in 2008 is the emergence of an active primary credit market (private bonds) of lower credit rating.
The High Yield market dates back to the eighties in the uSA. Since then it has grown unstoppably until it by now accounts for 70% of major company financing, leaving only 30% for the banks to take up. In Europe the proportions are the opposite.
But circumstances are forcing companies to seek liquidity (which does exist) rather than bank loans (which are now scarce) to finance their activities. Graph 9 shows the historical growth in issues of credit rated BB or lower.

Esta evolución ha eclosionado en 2012, pero va a tener continuidad en el futuro. En otras palabras, las empresas apelarán al mercado y no a los bancos a la hora de endeudarse vía pagarés y bonos. La razón básica es que los bancos europeos se enfren-tan a un largo y penoso periodo de desapalanca-miento, que augura poco crecimiento del crédito durante algún tiempo.

This trend accelerated in 2012 but looks set to continue in the future. In other words, companies will now turn to the market rather than to the banks to obtain credit in the form of notes and bonds. The main reason for this trend is that Europe’s banks are now facing a long and painful deleveraging process, so credit looks unlikely to grow for some time.

ACTIVOS TOTALES GESTIONADOS (ATG)
Las sociedades que integran el Grupo EDm gestio-nan, a finales de 2012, 1.364 millones de euros con un incremento durante el año de 180 millones de euros, lo que representa un 15,20% respecto al 2011.
Con este dato el conjunto de ATG rebasa amplia-mente el máximo anterior a la crisis económica y financiera que se alcanzó en 2007. De ese incre-mento, 69,6 millones de euros (5,9%) correspon-den a aportaciones netas de disposiciones que, aunque en menor medida que en 2011, reflejan las dificultades económicas del momento. Por su par-te, el buen comportamiento de los mercados y, en particular de nuestras carteras, ha aportado 110,7 millones de euros (9,7%) al crecimiento global.
El gráfico 10 muestra la evolución histórica de los recursos gestionados desde 1994 cuyo crecimiento anualizado (TAAC) desde la fundación de EDm en 1989 ha sido del 17%.
TOTAL ASSETS UNDER MANAGEMENT (AUM)
At the end of 2012 the EDm group of companies was managing a total of 1.364 billion euros, representing an increase of 180 million euros or 15.2% on 2011.
This figure means that the joint Aum has now topped the previous all-time high back in 2007 before the economic and financial crisis hit. Of this increase, 69.6 million euros (5.9%) correspond to inputs net of drawdowns, which, albeit less than in 2011, reflect current economic hardships. markets, for their part, performed well; our portfolios in particular contributed 110.7 million euros (9.7%) to overall growth.
Graph 10 shows the Aum trend since 1994. EDm’s compound annual growth rate (CAGR) since its foundation in 1989 adds up to 17%.

GESTIÓN DE CARTERAS Y GESTIÓN DE ACTIVOS
Desde su fundación EDm ha ofrecido vehículos de inversión (IIC) tanto a clientes privados como institucionales. Dichos vehículos son de gestión propia o delegada para aquellos segmentos espe-cializados (RV emergente, RF alto rendimiento) que desbordan nuestra capacidad para practicar el análisis intensivo que caracteriza el estilo de inversión de EDm.
Este modelo híbrido otorga a nuestro grupo flexibi-lidad y capacidad para ofrecer soluciones de calidad para cualquier clase de activo y/o zona geográfica.
La evolución favorable de los resultados promovi-dos y gestionados por EDm ha suscitado el interés de clientes institucionales. PORTFOLIO MANAGEMENT AND ASSET MANAGEMENT
Since its foundation EDm has offered investment vehicles (uCITs) to both private and institutional clients. Some of these vehicles we manage ourselves and others we delegate to specialists when the segment concerned (emerging markets equities, high yield bonds) falls outside our capacity to offer the hallmark EDm investment style based on an intensive analysis.
This hybrid model gives our group flexibility and also enables us to offer quality solutions across the board for any type of asset and/or any geographical area.
The favourable trend of the funds promoted and managed by EDm has aroused the interest of institutional clients. Table 3 shows the volume under management by EDm in the last five years, breaking the activities down into wealth management and asset management:

Aunque de acuerdo con las instrucciones de inver-sión recibidas de nuestros clientes, cada uno de ellos tiene una estructura diferente, el total de cada clase de activo para el conjunto de nuestros clientes se recoge en el gráfico 12 en el que se refleja el pre-dominio de la inversión en acciones (46%) dentro del total, superando ligeramente el porcentaje del año pasado. Por otra parte, las inversiones en renta fija HY han comido terreno a las alternativas.

Each portfolio is structured differently to suit our clients’ particular investment guidelines and objectives. Nonetheless, the total amount of each asset class for our whole set of clients is shown in Graph 12. Equity investments, slightly up on last year, still account for the lion’s share (46%). HY bond investments, for their part, have won ground against alternative investments.

Así, los fondos de renta fija HY han aumentado por la creación de EDm High Yield Short Duration, que invierte en renta fija de alto rendimiento pero en plazos (duraciones) cortas para reducir el riesgo de volatilidad.
Esta distribución refleja nuestra convicción de que el riesgo de la renta variable es compatible con una aproximación conservadora de la gestión, a condición de respetar disciplinas fundamentales en la selección de empresas y en su valoración. Es intención de los socios de EDm incrementar la exposición a la renta variable en los próximos años, de acuerdo con los perfiles de riesgo de cada cliente.
NUESTROS CLIENTES
EDm se concentra en el segmento mayorista de clientela. En términos de volumen, la clientela institucional representa un 20% (gráfico 13), de cuyo desarrollo futuro se informa más adelante en esta memoria.

Al cierre del ejercicio, EDm gestiona carteras para 1.406 clientes, con una media de alrededor de 1 millón de euros, lo que confirma su clara vocación mayorista. Ello, no obstante la conocida regla del 20/80, permite afirmar que un segmento más reducido de clientes aporta el grueso de los ATG.
Thus, the HY bond funds increased due to the creation of EDm High yield Short Duration, which invests in short duration HY bonds to reduce volatility risk.
This breakdown reflects our conviction that equity risk is compatible with a conservative management approach, provided that fundamental principles are observed in the selection and valuation of companies. EDm partners intend to increase equity exposure in coming years to suit the risk profiles of each client.
OUR CLIENTS
EDm concentrates on a wholesale clientele. In volume terms institutional clients account for 20% (Graph 13), about whose future development more information will be given later.
At the year end EDm was managing portfolios for 1,406 clients with an average value of aproximately 1 million euros, confirming its predominantly wholesale orientation. Nonetheless, the well-known 80-20 rule of thumb means we can safely claim that a smaller segment of clients provides the bulk of our Aum.

2012’S RESULTS IN PERSPECTIVE
EDm Holding, S.A.’s consolidated net profit stood at €1,8 million, lower than on last year’s figure. This result, falling short of our target, was influenced most heavily by the following factors:
• Growth of assets under management in the second half of the year.
• Lower than average management fees due to the change in asset mix.
• unforeseen one-off tax increases.
Table 6, as usual, gives a historical perspective of some significant figures of our consolidated group, showing the solidity of our company in a period of economic downturn.

LOS RESULTADOS DE 2012 EN PERSPECTIVA
El beneficio neto consolidado de EDm Holding, S.A. se situó en 1,8 millones de euros, inferior al año anterior. Este resultado, inferior a nuestro objetivo, ha venido condicionado por los siguientes factores:
• La concentración del crecimiento de activos ges-tionados en la segunda parte del año.
• una menor comisión media, inferior a la históri-ca por el mix de los activos bajo gestión.
• Aumentos impositivos puntuales no previstos.
El cuadro 6 recoge, como es habitual, la perspectiva histórica de algunos datos significativos de nuestro gru-po consolidado y manifiesta la solidez de nuestra com-pañía en un periodo de crisis financiera y económica.
GESTIÓN PASIVA vs. GESTIÓN ACTIVA: LA GESTIÓN SELECTIVA DE EDM
Es recurrente el debate entre quienes defienden la gestión pasiva de la RV, es decir, indiciada sin adop-ción de cambios en la estructura de su cartera, frente a quienes propugnan un mayor dinamismo apro-vechando aquellas oportunidades que, a su juicio, ofrecen los movimientos diarios de las cotizaciones.
Dos cuestiones subyacen al debate. La primera, el convencimiento de los inversores pasivos de que el mercado es eficiente y, por tanto, nadie puede batir al mercado en un periodo suficientemente largo. Y, por otro, los críticos de la gestión activa acusan a
PASSIVE MANAGEMENT vs. ACTIVE MANAGEMENT: EDM’S SELECTIVE MANAGERIAL PROCEDURE
There is an ongoing debate between those who uphold passive equity management, i.e., indexed without changes in portfolio structure, and those who advocate a more proactive approach, harnessing those opportunities that, in their judgement, are offered by daily price movements.
Two questions underlie this debate. Firstly, the passive investors’ conviction that the market efficiency and hence is unbeatable in a sufficiently long term. Secondly, the critics of active

management accuse this approach of chasing commissions on the basis of high portfolio rotation.
EDm’s style is not decidedly passive though neither is it based on an opportunist exploitation of stockmarket price variations. In fact our portfolio rotation rate is one of the lowest in the industry, about 17%, way below our competitors.
Whilst keeping an eye on valuations and introducing necessary changes to suit, the main driver of our investment style is the solid growth and solvency of our investments. It is the fundamental qualities of the companies rather than nonstop rotation that qualifies EDm’s management style as "selective".
Table 7 shows the advantage that investors in EDm Inversión and EDm Strategy have drawn from this selective approach in comparison to benchmark indices from 2000 to 2012.

EDM: UNA boutique INDEPENDIENTE DE GESTIÓN
El capital de la sociedad EDm Holding, S.A. estaba a fin de ejercicio integrado por 17 socios, es decir, directivos y empleados de diferentes sociedades del Grupo EDm cuya participación conjunta ascien-de al 97,32% del capital.
EDm es hoy el mayor gestor independiente espa-ñol cuyo capital está fundamentalmente en manos de sus socios.
una de las características de las boutiques de gestión como la nuestra es su independencia de grupos empresariales o financieros para desarrollar su propuesta de inversión a los clientes con los que coinvierten. Este es el eje principal de nuestra compañía.
Asimismo, son los socios de EDm quienes atienden personalmente a sus clientes como empresarios de su proyecto, sin otro objetivo que satisfacer los objetivos de inversión de estos últimos. En 2013 se ha incorporado como socio de EDm Javier Abelló Riera, elevando así el número de socios y su diver-sificación dentro de la organización.
También se han incorporado al accionariado de EDm las sociedades Inmobiliaria Vila y FINIBA, cuyos representantes en el Consejo de Adminis-tración no tienen función ejecutiva ni vinculación laboral, pero que contribuyen a insuflar aliento y consejo a nuestro proyecto.
CONVICCIÓN Y DISCIPLINA DEL ESTILO DE INVERSIÓN
En medio de otro año más de contracción económi-ca en Europa, y en particular en España, los vehí-culos de inversión gestionados por las diferentes sociedades de nuestro grupo han registrado unos buenos resultados absolutos y mejores aún en términos relativos. El cuadro 7 ha recogido ante-riormente dichos resultados.
EDM: AN INDEPENDENT PORTFOLIO MANAGEMENT boutique
At the end of the year the capital of EDm Holding, S.A. was held by 17 partners, i.e., executives and employees of the various companies making up Grupo EDm, with a joint holding of 97.32% of the capital.
EDm is today Spain’s biggest independent asset-managing company whose capital is held mainly by its shareholders.
One of the hallmark features of asset management boutiques like ours is their independence from business or financial groups. This allows them to draw up their own investment proposals for the clients they co-invest with. This indeed is the central thrust of our company.
It is also EDm’s shareholders who personally deal with their clients as businessmen of their own projects, with no other objective than meeting their investment targets. In 2013 Javier Abelló Riera joined us, thus raising the number of shareholders and their diversification within the organisation.
The companies Inmobiliaria Vila and FINIBA have also been brought into EDm’s shareholding structure. Their representative are non executive Board members but breathe new life and advice-giving capacity into our project.
CONVICTION AND DISCIPLINE OF THE INVESTMENT STYLE
In yet another year of economic contraction in Europe and particularly in Spain, the investment vehicles managed by the various companies of our group have chalked up healthy results, especially in relative terms. Table 7 has already shown these results.

Nuestros fondos de gestión propia (EDm Renta, EDm Ahorro, EDm Inversión, EDm Strategy, EDm Cartera) han tenido un buen comportamiento fru-to del esfuerzo de todo nuestro equipo de inversio-nes, compuesto actualmente por ocho gestores/analistas que practican nuestro conocido estilo de inversión caracterizado por el énfasis en el análisis fundamental de los activos y una visión a largo plazo, alejada del oportunismo y la especulación.
Ello exige una gran convicción sobre los activos incluidos en nuestras carteras así como una estricta disciplina del proceso de inversión que va consoli-dándose año tras año.
Our inhouse asset management funds (EDm Renta, EDm Ahorro, EDm Inversión, EDm Strategy and EDm Cartera) all performed well on the strength of all-round effort from our whole investment team, currently made up by eight managers / analysts who all practice our trademark investment style based on intensive research and a long-term outlook, eschewing opportunism and speculation.
This calls for an strong conviction about the assets included in our portfolios and a strict discipline in the investment process, going from strength to strength over the years.

Following the traditions established in recent years, EDm’s 8th Investment Seminar was held on 15 November in madrid and 20 November in Barcelona.
EDm proudly brings its investment style to the widest possible audience. The major finance institutions have made management a distribution-based financial product. We, on the other hand, aim to stand out from the rest by offering a personalised service whose mainstay is its investment style.
Our seminars have no great academic aspirations. They have the more laid-back aim of making our financial investment policy perfectly comprehensible to our clients and friends, showcasing our investment style based on a long term view and individual selection of companies.
Judging from the healthy turnout – over 500 between both seminars – and the keen interest aroused, we believe they were a resounding success.
Como es habitual en los últimos años, el 15 de noviembre en madrid y el 20 de noviembre en Barcelona se celebró el VIII Seminario de Inversión de EDm.
EDm centra en la divulgación de su estilo de inver-sión un elemento básico de diferenciación, puesto que mientras las grandes entidades financieras han hecho de la gestión un producto financiero cuyo énfasis está en la distribución, para nosotros es un servicio personalizado cuyo pilar es el estilo de inversión.
Nuestros seminarios no tienen ninguna pretensión académica, sino solo ilustrar de manera amena nuestro estilo de inversión caracterizado por su horizonte a largo plazo y por el énfasis en la selec-ción individual de las empresas. Por tanto, persi-guen hacer comprensible la inversión financiera a nuestros clientes y amigos.
A juzgar por la numerosa asistencia (más de 500 personas entre ambos) y por el interés y agrado suscitado entre el auditorio, creemos que fueron un éxito.
