MEMORANDUM OF UNDERSTANDINGTHIS MEMORANDUM OF UNDERSTANDING (MOU) is signed on Fifth Day of Twelfthmonth of year two thousand fifteen.

Advanced Level Telecommunication Training Centre, BSNL, having its office at Govt ofIndia Enclave, Raj Nagar, Ghaziabad, Uttar Pradesh, represented by the Chief GeneralManager, which expression shall unless repugnant to the subject or context mean andinclude its successors and assignees of the FIRST PART.

AND

NIT, Delhi-40 having its office at Institutional Area, IAMR Campus, Narela, Delhi-40represented by the Vice chancellor/Director, which expression shall unless repugnant to thesubject or context mean and its successors and assignees of the SECOf':lD PART.

Collectively referred to as parties.

This MOU is signed with the noble vision of imparting the requisite knowledge and skills tothe student community for bridging the gap between Industry & Academia and therebyenhance their employability.

Whereas, ALTTC is a pioneer Telecommunication Training Centre' and a unit of SharatSanchar Nigam Limited, PSU, under the Ministry of Communication and InformationTechnology imparting training in Telecommunications and its related field like NDN-IMS,Optical Fibre Technology, Access Network, Broadband Networks, Mobile Networks, SatelliteSystems, Instructional Technology and areas of IT & Cyber Security.

Whereas NIT, Delhi-40 have their strength in the form of their noble mission to provide andupgrade education, training and research in fields of technical education. .and to createentrepreneurship and a conducive environment for pursuit of the technical education in closeco-operation with industries. Further they are part of the national cause of advancement oftechnical education amongst classes and communities which are educationally backward

In order to make operational this MoU and take it further, it is proposed to appoint a twoNodal Officers, one each from both the organizations shall be nominated so as tocoordinate and work out the plans with concurrence of the appropriate authorities of therespective organizations,

I. Aims and Form of Co-operation

1) Incorporation of special modules in Telecommunication in B, Tech/M, Tech,curriculum of the colleges under NIT, Delhi-40,

2) Design of special modules for updating the knowledge and skills of the students,3) Internship program for students of B, Techl M, Tech.4) Jointly Certified course in RF Engineering, Optical Fibre Networks, Mobile IP

Networking etc which will enhance the employability of the young engineeringgraduates, .

5) To organize Industrial Training Programs like SummerlWinterIProject trainings.Industrial visit to ALTl'C, BSNL facilities,

6) Virtual Centre for Research/ Project will be set up at NIT, Delhi-40, which will bejointly supported by ALnc and NIT, Delhi-40.

7) Conduct different programs like soft skills, motivational programmes, leadershipprogrammes, team building programmes etc, so as to groom the students to makethem ready for industry,

8) Live projects, research projects, and Higher Technology courses inTelecommunication Technology,

9) Employability enhancement training programme for students as per Industrystandards,

II. Key Responsibilities:• All programs shall be delivered by ALTTC as per the schedule agreed between

the two organizations.• In case of newly developed customized trainings, the contents and schedule

shall be as per the mutual decision.• Trainee fees, lodging and boarding charges and other infrastructure facilities

will be charged as per the mutually agreed rates of both parties i.e.ALTTC/BSNL and NIT Delhi from time to time.

• NIT, Delhi-40 shall nominate at least two batches of 35 students each in theWinter and Summer Training Programme, For project, a minimum of 16students ( in groups of 4) shall be nominated to ALnco

• All payments for short courses shall be made in advance, and in case of longterm programmes (eg semester based modules) as per mutually agreedschedule.

• The minimum batch size will be 10 for FDP and 35 for student programmes, Incase of special programmes, it may be decided by the nodal officers,

III. ValidityThe MoU/Agreement shall become effective from date of signing of _MOUand

shall remain valid for a period of one Year initially from the date of signing by both theparties and may be extended, with or without modification, by mutual agreements. Eitherparty may terminate this MoU giving the other (thirty days) written notice.

IV. Force Majeure

If at any time, during the validity of this Agreement, the performance in whole or in part. byother party. of any obligation under this is prevented or delayed, by reasons of war, orhostility, acts of public enemy, civic commotion, sabotage, act of state or direction fromstatutory authority, explosion, epidemio, quarantine restriction, strikes and lockouts, fire,floods, natural calamities or any act of God (hereinafter referred to as event), provided noticeof happenings of any such events is given by the effected party to the other, within 7calendar days from the date of occurrence thereof. neither party shall, by reasons of suchevents, be entitled to terminate the Agreement, nor shall other party have arlY such claimsfor damages against the other, in respect of such non-performance or delay in performance.Provided service under the MOU shall be resumed as soon as practicable, after such eventcomes to an end or ceases to exist. The decision of BSNl as to whether service may be soresumed (in the time frame within which the service may be resumed) or not, shall be finaland conclusive However, the force majeure events noted above will not in any way cause

extension in the period of the MOU.V. Compliance of Laws:

Both the organisations shall perform their roles in strict compliance with all applicable laws inIndia along with rules and regulations of the Government as applicable.

VI. Confidentiality:

The parties agree to keep the Agreement in the strict confidence and not disclose to anythird party or use for any purpose (other than in connection with this MOU) any informationrelating to the other's business which is marked "Confidential".

This MOU is executed in two counterparts each of which shall be deemed original but shalltogether constitute one document only.

IN WITNESS WHERE OF the parties here to have put their respective hands on Fifth Day ofTwelfth month of year two thousand fifteen.
