INVITATION BOARD MEETING CREEKSIDE HOMEOWNERS ASSOCIATION, INC. On Tuesday, April 12, 2016, beginning at 7:00 p.m. the Board of Directors of the Creekside Homeowners Association, Inc., (“Board”) will be holding a Board meeting. The Board meeting will be held at Sprague High School in the Commons (cafeteria). The sole purpose of the Board meeting is to hold an informational session for the owners regarding the upcoming vote on proposed increases in the Creekside Homeowners Association, Inc.’s (“Association’s”) maximum annual assessments. No other Board business will be conducted at this meeting. The informational period may, but is not required to, include the following: a presentation of information by the Board regarding the proposed increases in the Association’s maximum annual assessments; a question and answer session, led by the Board, to address owners’ questions regarding the proposed increases, as well as, the Creekside Golf Club’s proposal for using an increase in the assessments for a social membership in the Golf Club; and an opportunity for owners to express their opinions for or against the proposed increases in the maximum annual assessments. No vote on the proposed increases to the Association’s maximum annual assessments will occur during the Board meeting. The vote on the proposed increases to the Association’s maximum annual assessments will occur at the 2016 Owners’ Special Meeting on May 3, 2016.

2016 OWNERS’ SPECIAL MEETING

CREEKSIDE HOMEOWNERS ASSOCIATION, INC.

SPECIAL MEETING DATE, TIME, AND LOCATION

The 2016 Owners’ Special Meeting for the Creekside Homeowners Association, Inc.

(“Association”), will be held on Tuesday, May 3, 2016, beginning at 7:00 p.m. The meeting

will be held at Sprague High School in the Pantheon (auditorium).

PURPOSES OF SPECIAL MEETING

The purpose of the 2016 Owners’ Special Meeting is two-fold. The first purpose is to bring to a

vote the proposal requested by a petition of the owners. This proposal seeks an increase of the

Association’s maximum annual assessments by $60.00/month for developed Lots and

$30.00/month for undeveloped Lots.

The second purpose of the meeting is to bring to a vote two additional proposals submitted by

Association president, Don Wildfang, pursuant to his authority under Article III, Section 3 of the

Bylaws of Golf Course Estates at Creekside Homeowners Association, Inc. (“Bylaws”). The

first presidential proposal is for an increase in the Association’s maximum annual assessments

by $20.00/month for developed Lots and $10.00/month for undeveloped Lots. Alternatively, if

the first presidential proposal fails, the second presidential proposal is for an increase in the

Association’s maximum annual assessments by $10.00/month for developed Lots and

$5.00/month for undeveloped Lots. The purpose of an increase in the maximum annual

assessments proposed by President Wildfang is to provide a fund to pay for legal fees associated

with resolving Association matters.

If none of the three proposals pass, then no dues increase above the five percent (5%) limit set by

the Declaration will be authorized.

RIGHTS AND RESPONSIBILITIES OF THE PARTIES

Article XI, Section 4 of the Declaration of Covenants, Conditions, and Restrictions of Golf

Course Estates at Creekside (“Declaration”) governs increases in the Association’s maximum

annual assessments. In order for an increase to be levied above the maximum annual

assessments, it must first be approved by the owners at an Association meeting called for that

purpose. Once a quorum of owners has been established, at least two-thirds (2/3) of the

owners present, in person or by proxy, must vote in favor of any proposed increase in the

amount of maximum annual assessments.

While the affirmative vote of the owners is required to increase the Association’s maximum

annual assessments, owners cannot direct the Association’s Board of Directors (“Board”) how to

spend the money. Only the Board is authorized to allocate and determine how Association funds

will be used. (Bylaws, Article VI). The Board’s allocation and use of funds must be within the

purposes of assessments provided in Article XI, Section 2 of the Declaration.

QUORUM

In order for a vote to occur at the 2016 Owners’ Special Meeting, a quorum of the owners must

be present in person or by proxy at the meeting. Pursuant to Article III, Section 7 of the

Bylaws, the quorum requirement for the meeting is twenty percent (20%) of all Lots.

PROXIES

Pursuant to Article III, Section 9 of the Bylaws, proxies will be allowed at the 2016 Owners’

Special Meeting. Accordingly, prior to convening the meeting on Tuesday, May 3, 2016,

registration will begin at 5:00 p.m. to afford the Association adequate time to verify proxies

submitted for the meeting. In order to be valid for the meeting, all proxies must be

presented to the secretary of the Association not later than 6:45 p.m. on May 3, 2016. Any

proxies presented after the stated time will be disregarded.

INSTRUCTIONS FOR COMPLETING AND SUBMITTING PROXY

Proxies must be signed by at least one owner. Not all owners need to sign a proxy. For owners

who are trusts, the proxy must be signed by all of the trustees of the trust. For owners who are

limited liability companies, the proxy must be signed by a member or manager as identified by

the Oregon Secretary of State’s website or by CMI’s records. For owners who are other entities

the proxy must be signed by an officer or other authorized representative as identified by the

Oregon Secretary of State’s website or by CMI’s records.

Please fill in your name, the name of your proxy holder, your Lot number and/or address, and

execute the proxy in the spaces provided on the enclosed proxy form and return the form to the

Association. You may return your executed proxy form at one of the following locations:

3. Dropped off in person at the 2016 Owners’ Special Meeting sign-in table at Sprague High

School not later than 6:45 p.m. on May 3, 2016.

If you will be dropping your proxy off at CMI’s office, then your proxy must be received by

6:00 p.m. on May 2, 2016, (one day before the 2016 Owners’ Special Meeting) for it to be

counted.

REMINDER REGARDING ELIGIBILITY FOR VOTING

2016 OWNERS’ SPECIAL MEETING

CREEKSIDE HOMEOWNERS ASSOCIATION, INC.

Pursuant to Article II, Section 4 of the Bylaws of Golf Course Estates at Creekside Homeowners

Association, Inc. (“Bylaws”), the voting rights of owners who are delinquent in payment of their

assessments are suspended until the delinquency is cured.

No member shall be entitled to cast any vote in any matter coming before the

association if at any time the member is delinquent in the payment of any

assessment which has been levied by the association against such member’s

lot. For the purposes of this paragraph, unless the member and the board of

directors of the association have agreed to defer the payment of an

assessment, a member shall be deemed delinquent in the payment of the

assessment if the same is not paid in full within 30 days after the association

mails or otherwise delivers a statement for the assessment to the member.

(Bylaws, Art. II, Sect. 4.)

Payment of delinquent assessment amounts may be made until 6:45 p.m. on May 3, 2016, in

order to make the owner eligible to vote at the 2016 Owners Special Meeting. Payments made

on May 3, 2016, must be made in person, by check, at the registration table at Sprague High

School.

Homeowners Association, Inc. (“Association”).

such appointee is not in attendance at the meeting, appoints Don Wildfang or, in his absence, the Secretary of the Association, or

in his absence, the Vice-President of the Association, as my proxy (“Proxy Holder”). The Proxy Holder is only authorized to act

CONDITIONS AND LIMITATIONS:

1. This PROXY is not effective unless it is delivered to the Association by 6:45 p.m. on May 3, 2016.

2. This PROXY is irrevocable except by actual notice by the Owner to the presiding officer prior to the meeting that

this PROXY is revoked. Unless sooner terminated, this PROXY terminates automatically upon the final adjournment of the 2016

Owners Special Meeting.

3. This PROXY may not be used if the Owner is present at the 2016 Owners Special Meeting. If the Owner is present,

he or she, and not the Proxy Holder may vote.
