Confidentiality Agreement

During the course of the provision of the services by Heartland Business Systems to [Customer], each

party to this Agreement may have access to confidential information concerning the methodologies,

pricing, and business practices of the other. Neither party shall make any use of such information of the

other party except in connection with the exercise of its rights and responsibilities under this Agreement

except as may be necessary to comply with the laws or a court having proper jurisdiction. The

obligations of this paragraph shall not apply in the event such information is already public or becomes

available to the public through no breach of this Agreement by the receiving party. The enclosed

material is proprietary to Heartland Business Systems and is the copyright of Heartland Business

Systems. Neither this publication nor any part of this publication may be photocopied or reduced to any

electronic medium or machine-readable form without the express written consent of Heartland

Business Systems.

Preface

This Statement of Work (“SOW”) reflects the services and material to be provided by Heartland Business

Systems, hereinafter referred to as 'HBS" for Marshalltown Community School District, hereinafter

referred to as “[Customer]”.

Project Overview

Marshalltown Community School District is partnering with Heartland Business Systems to implement a

Cisco security solution to meet the District’s requirements for a next generation firewall. The Cisco

Firepower® NGFW (next generation firewall) is the industry’s first fully integrated, threat-focused next-

gen firewall with unified management. It uniquely provides advanced threat protection before, during,

and after attacks.

Project Objectives

The objective [OR “purpose” OR “goal”] of the Project is to configure and install FTD/FirePower on 2140

FTD Firewall.

Project Scope

HBS will provide the following services and material, herein referred to as “Scope”:

In Scope Configure and Install FTD/Firepower on 2140 FTD Firewall

Review current ASA configuration for conversion to FTD. Upgrade FMCv Appliance (Firewall Management Center) Install Smart-Licensing on FMC. Connect the new 2140 FTD firewall to the FMC. Update 2140 FTD firewall to latest version. Stage 2140 FTD firewall and install initial configuration. Install licensing for 2140 FTD firewall. Firewall interface configuration, VLANs, and NATs. (FTD mode) Routing configuration on FTD Firewall. Configure and install Access-Policies. Migration from existing Firepower sensor and ASAs

(FTD mode) IPS/AMP configuration. Migration from existing Firepower Sensor Configure FMC for monitoring and management of Firewall/FTD device. Configure new 3850 switch Configure switches for connections to the new FTD firewalls. (Inside/Outside/DMZ(s))

On-Site Installation

Attach new 2140FTD firewall to network (connecting to core and new 3850 switch) Decommission and disconnect existing ASAs/FirePower Sensor Plan migration, and cut to new 2140 FTD Firewall. Test and Verify connectivity - 2nd day support

Out of Scope

Anything not specifically mentioned in the above-referenced ‘in-scope’ bullets is considered

out of scope for this project.

Deliverables

The following are the deliverables HBS will provide to [Customer], herein referred to as “Deliverables”

for this Project:

Pricing

Service and equipment identified in this SOW do not include any taxes that may be applicable. Any such

taxes shall be specified on an invoice as a separate line item.

[Customer] agrees to compensate, herein referred to a “Payment” HBS for providing the Deliverables as

outlined in the BOM.

Unless specified to the contrary in writing by HBS, payment terms are net 30 days from date of invoice.

Project Completion

The Project will be complete when all Deliverables have been provided to [Customer].

Responsibilities

Customer is responsible for problem resolution of occurrences beyond HBS’s control (i.e. software bugs,

hardware failures, telecommunication circuits, server or desktop issues outside the scope of work). HBS

can assist with these issues via the change control process.

Customer will provide Subject Matter Experts (SMEs) when required by project personnel and/or project

activities. If delays in the project timeline are a result of delayed access to SME personnel, extra charges

to the project may occur.

Customer is responsible for approving, reviewing, deciding, and generally responding to HBS requests in

a reasonable timely manner. Delays caused by undue responsiveness may result in project milestones

being moved.

Communication

[Customer] will provide a Single Point of Contact (SPOC) with decision making authority to interface with

the HBS project manager. This person is responsible for signing off on Scope of Work deliverables and

change order documents throughout the project.

Change Management

Additional products, services and deliverables, beyond the In-Scope Deliverables listed above, are

considered out of scope and require a change request approved by the customer before work is started.

HBS will exercise a formal change request that documents the out of scope work for approval by the

customer prior to execution of the work to protect the project, both technically and financially.

Terms

Binding Agreement - This Statement of Work (SOW) describes the professional services and results to be

provided by HBS. When mutually executed for implementation, this SOW becomes contractually binding

on HBS and [Customer] under the terms and conditions of the HBS Standard Terms and Conditions (STC)

document.

Signatures – Only duly authorized representatives that have the authority to enter into this Agreement

on behalf of their organization can sign in the Approval section below.

Confidentiality - This document is confidential, and shall not be used or disclosed, in whole or in part, for

any purpose other than evaluation and implementation by [Customer] personnel.

Order of Precedence - Any ambiguity or inconsistency between or among the statements of this SOW

and the Standard Terms and Conditions (“STC”) shall be resolved by giving priority and precedence in

the following order:

Out of Scope - Anything not addressed in this SOW is out of scope, and is not part of this SOW. Either

party may submit a Change Request to the other party, in accordance with the HBS Change Request

process to modify the scope of this project.

Work Hours - All professional services work will be completed during the normal business hours of

8:00am – 5:00pm M-F, local time, unless other arrangements are agreed to. Any time occurred after

5:00pm and before 8:00am or on weekends will be charge at a rate of 1.5 per hour.

Promises – No other promises have been made related to this SOW except for those stated in this SOW.

This SOW supersedes all other agreements or promises related to this Project and SOW.

Appendix A – Project Management Services

If included in the project, the Heartland Business Systems Project Manager is responsible for ensuring

that the project delivers the agreed upon scope and executes according to the schedule and budget in

the SOW. To perform this role successfully, the entire project team needs to communicate effectively

and follow the procedures outlined below as part of the Communication, Issue/Risk, and Scope

Management Plans.

Communication Management Plan Communication is the backbone of any successful project. The table below shows the tools that

Heartland Business Systems will use to communicate with Customer through the duration of this

project. These tools will also be supplemented with additional phone calls, emails, and other

documentation if the project warrants.

Risks and Issues Management Plan All project team members are responsible for identifying risks and issues associated with the project and

reporting them to the Project Manager. These items will be documented in the Risk and Issues Log and

assigned a priority, impact and an owner so that they can be monitored, tracked and discussed during

status meetings.

Scope Management Plan Items not addressed in this Statement of Work are not included in the service estimates and are

considered scope additions. In order to make a change to the Statement of Work, either party may

submit a Project Change Request Form (see Appendix B: Project Change Request Form). HBS will

estimate the cost and impact of the change at that time. Customer signoff on the Change Request is

required before Heartland Business Systems can begin work on the change.
