H. 0501. Applicability

These Regulations shall become applicable with effect from April 01, 2005.

H. 0502. Definitions

For the purpose of these Regulations, the following terms shall have the meanings assigned to them unlessthe context is repugnant to such a meaning.

(1) Agreement shall mean the application for loan under the Regulations made by the borrower to thelender. The Agreement constitutes and expresses the entire Agreement and understanding between thelender and the borrower in reference to all matters herein referred to, all previous discussions, promises,representations, and understandings relative thereto, if any, had between the parties hereto, being hereinmerged.

(2) Borrower shall mean the student of the University including the applicant for any of the distancelearning programs offered by the University, being an Indian citizen and also domiciled in India, who hasavailed the loan facility of the lender and shall also include the signatories of PDCs. The borrower shallalso include the parent or the guardian of the borrower signing the loan application form, the coborroweras defined in Regulation H. 0502 (3) and the guarantor as defined under the Regulation H. 0502 (5).

(3) Coborrower shall mean the person other than the borrower signing the postdated cheques (PDCs).

(4) EMI shall mean the equated monthly installment, as stipulated under the Regulation H. 0505 (1).

(5) Guarantor shall mean the person who has given personal guarantee on behalf of the borrower forrepayment of the loan by the borrower.

(6) ICFAI shall mean the Institute of Chartered Financial Analysts of India, a non-profit society under theAndhra Pradesh (Telangana Area) Public Societies Act, 1350F (Act 1 of 1350F) and includes allsuccessor organizations and organizations sponsored and established by ICFAI.

(7) Lender shall mean Hifco Marwel Limited, a company registered under the Companies Act, 1956 andshall include all successor organizations.

(8) PDC shall mean the postdated cheques issued by the borrower in favor of the lender on any scheduledcommercial bank located in specified cities.

(9) Regulations shall mean the Marwel (Educational Loan Scheme) Regulations, 2005 and includes allamendments thereto.

(10) Scheme shall mean the educational loan scheme as per the Regulations.

(11) Specified cities shall mean the cities specified under the Regulation H. 0505 (3).(12) University shall mean the ICFAI University, which represents the multi-state network of Universities

sponsored by ICFAI, in different States in India under respective legislations. Each University in thenetwork may have a separate name and has independent legal status.

H. 0503. The borrowers interested in the scheme shall apply to the lender and such application shall be treatedas the Agreement. The Agreement constitutes and expresses the entire Agreement and understanding betweenthe lender and the borrower in reference to all matters herein referred to, all previous discussions, promises,representations, and understandings relative thereto, if any, had between the parties hereto, being hereinmerged.

H. 0504.

(1) The lender may consider the application and grant the loan to the borrower under the scheme, subjectto necessary conditions.

(2) The loan amount shall be paid by the lender directly to the University on behalf of the borrower underthe scheme. To clarify further, no loan amount shall be paid by the lender to the borrower directly underany circumstances.

H. 0505

(1) (a) The borrower shall pay a sum of Rs. 90 for every Rs.1,000 loan amount towards EMI for a periodof 12 months, if he/she enrolls into the MS or MBA or MCA Programs of the University.

(b) The borrower shall pay a sum of Rs.175 for every Rs.1,000 loan amount towards EMI for a periodof 6 months, if he/she enrolls into the Postgraduate Diploma Programs and specified UndergraduateDegree Programs of the University.

(2) (a) The borrower shall issue the necessary number of PDCs towards EMI to fully repay the loanamount along with interest and other charges including service tax, wherever applicable. ThePDCs are payable on the first day of every month depending on the date of Agreement, as givenbelow:

(b) If a borrower enrolls into the program of the University between 1stand 15thof a month, the monthlyinstallments are payable by such a borrower from 1stof the immediate next month onwards. Forexample, if a borrower enrolls between May 01 and 15, the monthly installments will be payableby such borrower from June 1stonwards.

(c) If a borrower enrolls into the program of the University between 16thand 30th/ 31stof a month, themonthly installments are payable by such a borrower from 1stof the next to next month onwards.For example, if a borrower enrolls between May 16 and 31, the monthly installments will bepayable by such borrower from July 1stonwards.

(3) The PDCs should be drawn on scheduled commercial banks located in the cities specified below andalso all the places where ICFAI branches are currently located: Agartala, Agra, Ahmedabad,Ahmednagar, Ajmer, Aligarh, Allahabad, Alwar, Ambala, Ambernath, Amravati, Amritsar,Anand, Anantapur, Ankleshwar, Aurangabad, Bangalore, Bareilly, Barrackpore, Belgaum,Bellary, Berhampur, Bhatinda, Bhavnagar, Bhilai, Bhilwara, Bhimavaram, Bhopal,

(4) To clarify further, if any borrower or coborrower issues PDCs drawn on any bank like a co-operative bankor a regional rural bank, etc., or issues on scheduled commercial banks located in ci ties other than thespecified cities indicated in H. 0505 (3) above, such PDCs will not be accepted.

H. 0506.

(1) The lender may ask the borrower to arrange for two persons of standing to give personal guarantee forrepayment of the loan by the borrower.

(2) The borrower shall arrange for the guarantors, complete and submit the required documents within thirtydays of the Agreement.

(3) The borrower shall complete all the prescribed documentation work, including execution of a DemandPromissory Note, submission of a form for verification of borrowers signature by a banker, a form forverification of coborrowers signature by a banker and two forms for verification of two guarantorssignatures by a banker relating to the loan under the scheme within thirty days of the Agreement.

(4) The borrower, the coborrower and the guarantors shall undertake to inform the lender of any changes

in details provided in the Application Form, including but not limited to, change of address, telephone/fax numbers, e-mail ID, as long as the loan is outstanding in the books of the lender.

H. 0507.

(1) The borrower and the coborrower shall make necessary arrangements to honor the PDCs on due dates.

(2) The borrower and the coborrower shall not obstruct in any manner the honoring of the PDCs on due dates.

(3) In case of prepayment of loan, the lender does not levy any penalty. On full payment of the outstandingloan amount including interest and other charges, if any, the loan account will be closed.

H. 0508.

(1) In the event of dishonor of one or more PDCs, the lender reserves the right to foreclose the loan account,to recall the entire loan amount outs tanding and to prosecute the borrower and the coborrower underSection 138 of the Negotiable Instruments Act, 1881 and also to take legal and other actions as maybe necessary for the recovery of the entire balance of loan outstanding with further interest of 18% perannum and also to initiate legal proceedings against the guarantor for the recovery of the balance of loanincluding interest and further charges, if any.

(2) In addition, the dishonor of PDCs attracts a penalty of Rs.250 per PDC.

(3) In case of payments by the borrower relating to defaults, the lender accepts payments only by way ofdemand drafts. No cash payments are accepted.

(4) None of the employees of the lender is authorized to accept cash payments from the borrower.

(5) None of the employees of the lender is authorized to make a settlement or compromise with anyborrower.

H. 0509. The borrower cannot assign the Agreement or any part thereof. The lender may, without necess ityof the borrowers consent, assign its rights and obligations under the Agreement to a Third party.

H. 0510. The borrower shall indemnify, defend and hold the lender harmless from and against any loss,damage, liability and expense (including reasonable attorneys fees and costs) arising out of any third partyclaim, action or proceeding based directly or indirectly on the acts of omission or commission by the borroweror his/her agents, the breach or alleged breach or failure to comply with any applicable laws or regulations,concerning the professional work or arising out of the loan being given to the borrower.

H. 0511.

(1) The responsibility of the lender towards the borrower is limited only to the extent of the loan sanctionedand the payment directly made to the Universi ty on behalf of the borrower under Regulation H.0504. Toclarify further there will be no future obligation of the lender towards the borrower.

(2) Neither the directors nor the employees of the lender are personally liable in any manner under thescheme to the borrower, the coborrower and the guarantors.

H. 0512. After the loan application is approved,the lender pays, on behalf of the borrower, the loan amount to theUniversity. To clarify further the lender does not pay any part of the loan to the borrower directly.

H. 0513. The lender shall not be liable for delay or failure in performance of any of its obligations under theAgreement when such delay or failure arises from events or circumstances beyond the reasonable control of

the lender (including, without limitation, acts of God, fire, flood, war, explosion, sabotage, terrorism, embargo,civil commotion, acts or omissions of any government entity, changes in Regulations of Central/StateGovernments, supplier delays, communications or power failure, equipment or software malfunction, oremployees/student disputes, strikes, court decisions, bankruptcy, liquidation).

H. 0514.

(1) The lender, the ICFAI and the University are separate and independent legal entities. ICFAI and theUniversity are not parties to this agreement, and hence cannot be held responsible directly or indirectlyfor any acts of commission or omission by the lender or by the borrower. Similarly the lender cannot beheld responsible directly or indirectly for any acts of commission or omission by ICFAI and/or theUniversity.

(2) The borrower and the coborrower shall continue to honor the PDCs whether the borrower continues tobe a student of the University or not, for any reason whatsoever. To clarify further, the legal liability ofthe borrower and the coborrower to repay the loan amount is independent of the status of the borroweras a student of the University.

(3) As per the bilateral agreement between the University and the lender, the University shall suspend allservices to the borrower if the borrower does not complete all the loan documentation work, as specifiedin Regulation H.0506, and/or if any of the PDCs issued by the borrower is dishonored, whatever maybe the reason; and the University will resume the normal service to the borrower only after a no objectioncertificate is issued by the lender.

(4) Any inadequacy or failure and alleged inadequacy or failure in service by ICFAI or by the University shallnot be the basis for the borrower or the coborrower or the guarantor for dishonor of any PDCs coveredunder this agreement.

H. 0515. Sanction of loan to any borrower shall not entitle any other person to any rights as a third partybeneficiary.

H. 0516. In case of any difficulty in interpretation of any clauses under these regulations the Board of Directorsof the lender reserves the right to issue necessary clarifications which shall be binding on the borrower, thecoborrower and the guarantors.

H. 0517. The lender reserves the right to rev ise, modify, alter, and change the Regulations from time to timeand such changes shall be binding on the borrower, the coborrower and the guarantors.

H. 0518. The Agreement shall be deemed to have been made in Hyderabad in the State of Andhra Pradesh,India and shall be construed and enforced in accordance with and the validity and performance hereof shallbe governed by the laws of the State of Andhra Pradesh, India without reference to principles of conflict of lawsthereof. Judicial proceedings against the lender regarding any matter arising under the terms of the Agreementshall be brought only in the relevant Courts of Hyderabad, India and not elsewhere. The lender, however,reserves the right to sue the borrower, the coborrower and the guarantors in Hyderabad and elsewhere,depending on the circumstances. (1005)

A. 0501.These regulations shall come into force and be applicable with effect fromApril 01, 2005 and shall remain in force along with changes and amendments madefrom time to time, until notified otherwise.

A. 0502. For the purpose of these Regulations, the following terms shall have themeanings assigned to them unless the context is repugnant to such a meaning.

(1) Agreement shall mean the application for registration under the Regulationsmade by the eligible student to the service provider. The Agreement constitutesand expresses the entire Agreement and understanding between the serviceprovider and the registered students in reference to all matters herein referred to,all previous discussions, promises, representations, and understandings relativethereto, if any, had between the parties hereto, being herein merged.

(2) CTC shall mean salary, benefits, amenities, incentives, al lowances,reimbursements, bonuses, and all such payments or expenses reimbursed bythe employer or incurred by the employer for the benefit of the employeeincluding all those benefits covered under the Fringe Benefits Tax, as per theFinance Act, 2005 on a cost-to-company basis.

(3) Effective date shall mean the date on which the service provider confirms theregistration to the eligible student under the scheme.

(4) Eligible student shall mean student in India and of Indian origin and domiciledin India duly enrolled for the prescribed program of the University on or afterApril 01, 2005. The term also includes the applicants for the prescribed programof the University.

(5) ICFAI shall mean The Institute of Chartered Financial Analysts of India, a non-profit society registered under the Andhra Pradesh (Telangana Area) Public

Societies Registration Act 1350F (Act 1 of 1350F) and includes all organizationssponsored and established by ICFAI in India and abroad.

(6) Prescribed fee shall mean the fee prescribed by the service provider forregistration of eligible students under the scheme as per the Agreement. The feeshall include service tax, wherever applicable. This does not include the`additional fee as indicated in the Regulation 0506 (3).

(7) Approved program shall mean a program offered by the University on adistance learning basis and approved by the service provider under theRegulations.

(8) Program completion certificate shall mean a certificate, by whatever namecalled, issued by the University to the eligible students on completion of all theprescribed requirements including fee, study and examinations for the approvedprogram.

(9) Registered student shall mean the eligible student who is duly registered withthe service provider under the scheme and paid the prescribed fee.

(10) Regulations shall mean the Alchemist (Special Placement Scheme) Regulations,2005.

(11) Scheme shall mean the Special Placement Scheme 2005 offered by theservice provider under these Regulations.

(12) Service provider shall mean Alchemist HR Services Private Limited, acompany incorporated under the Companies Act, 1956 with registered office atHyderabad and shall include all successor organizations.

(13) Specified date shall mean the date on which the program completion certificateis issued to the eligible student by the University.

(14) The University shall mean the ICFAI University which represents the multi-state network of Universities sponsored by the Institute of Chartered FinancialAnalysts of India, in different states in India under respective legislations. EachUniversity in the network is a separate and independent legal entity.

(15) Validity Period shall mean a duration of 48 months from the effective date.During which the eligible student is entitled to the benefits under the scheme.

A.0503. The scheme is available only for the benefit of the registered students onoptional basis. To clarify further, the eligible students are free to apply or not to applyfor the scheme.

A.0504. The approved programs are MS (Finance), MBA and MCA offered on adistance learning basis by the University.

A. 0505. The registered students are entitled for the placement assistance under thescheme during the validity period.

A. 0506. (1) Registration under the scheme comes into effect only when the serviceprovider confirms the agreement, subject to conditions, if any. (2) The conditionsreferred above may include without limitation psychometric tests, skill development in

A. 0507. Registration of any eligible student under the scheme shall not entitle anyperson to any rights as a third party beneficiary.

A. 0508. (1) The registered student shall make an application in the prescribed form tothe service provider within thirty days from the specified date. (2) The serviceprovider agrees to provide placement assistance to the registered students withinthree months from the receipt of completed application from the registered student.

A. 0509. The placement under the scheme can be provided by the service provideranywhere in India and/or abroad with private sector, public sector, government and

quasi-government organizations, non-government organizations and others includingICFAI.

A. 0510. The placement under the scheme will carry a minimum compensation ofRs.20,000 per month on CTC basis for a minimum period of 12 months.

A. 0511. All obligations of the service provider under the scheme will cease if theregistered student does not complete the specified program during the validity period,or fails to comply with conditions specified by the service provider or the registeredstudent fails to apply to the service provider within thirty days from the specified datein the prescribed application form and/or declines the offer of employment, and/or doesnot report for duty as per the appointment letter, and/or leaves the job within 12 monthsand/or the employment is terminated by the employer on disciplinary grounds and/orother reasons.

A. 0512. (1) The prescribed fee is Rs.3,300 and shall be payable by all eligiblestudents opting for the scheme. (2) The fee paid by the eligible student to the serviceprovider towards the registration will be neither refunded nor adjusted in any manner,except when the agreement is not confirmed by the service provider.

A. 0513. The service provider has no obligation to render any services to theregistered students beyond the validity period. To clarify further no obligation shallsurvive on the service provider beyond the validity period.

A. 0514.The registered student who could not complete the specified program duringthe validity period may register de novo with the service provider subject to suchterms and conditions as may be specified by the service provider.

A. 0515. (1) The liability of the service provider towards the registered students islimited only to the extent of the fee paid by them. To clarify further, the service providershall not be liable to the registered students for punitive, exemplary, special, indirect,or consequential damages, including, without limitation, lost profits. (2) Neither theemployees nor the directors of the service provider are personally liable in anymanner to the registered students with regard to the scheme.

A. 0516. The registered student cannot assign this agreement or any part of thereof.The service provider may, without necessity of the registered students consent,assign its rights and obligations under this agreement to a successor organization.

A. 0517. The service provider shall not be liable for any delay or failure in performanceof any of its obligations under the agreement when such delay or failure arises fromevents or circumstances beyond the reasonable control of the service provider(including, without limitation, acts of God, fire, flood, war, explosion, sabotage, terrorism,embargo, civil commotion, acts or omissions of any government entity, bankruptcy,liquidation, supplier delays, communications or power failure, equipment or softwaremalfunction, or labor disputes or regulatory and legislative changes, or court decisions).

A. 0518. The registered student agrees to indemnify, defend and hold the serviceprovider harmless from and against any loss, damage, liability and expense (includingreasonable attorneys fees and costs) arising out of any third party claim, action orproceeding based directly or indirectly on the acts of omission or commission by him/her or his/her agents, the breach or alleged breach or failure to comply with anyapplicable laws or regulations.

A. 0519. The service provider reserves the right to revise, modify, alter, and changethe Regulations from time to time and such changes shall be binding on the registeredstudent.

A. 0520. The service provider, ICFAI and the University are separate and independentlegal entities. ICFAI and the University are not parties to this agreement, and hencecannot be held responsible directly or indirectly for any acts of commission oromission by the service provider or by the employees and the directors of the serviceprovider.

A. 0521. In case of any difficulty in interpretation of any clauses under these Regulationsthe Board of Directors of the service provider reserves the right to issue necessaryclarifications and they shall be binding on the registered students.
