Planning has begun for the 2018 15th Annual MHA Business Summit that will be taking place March 7-9 at Mandalay Bay in Las Vegas, Nevada. You can also call the Mandalay Bay Reservations Department directly at 877-632-9001 and identify yourself as an attendee of the 2018 15th Annual MHA Business Summit. MHA has a room block for Monday, March 5, through Saturday, March 10, 2018, on a first-come, first-reserved basis. A very limited number of rooms have been contracted for Friday and Saturday evenings. The contracted room rate for Monday-Wednesday and Friday and Saturday is $199 per night plus tax and applicable charges. The contracted room rate for Thursday, March 8, is $125 plus tax and applicable charges. All rooms in the room block are considered “Run of House,” which are the best roomsavailable upon your arrival. Your bed type will be selected by the hotel at the time of check-in based upon availability. Requests are not guaranteed and a requested room type may incur additional costs. A daily resort fee of $29 plus tax will be charged in addition to the room rate provided. Contract for Space. The Application and Contract must be completed inits entirety and accompanied by the total booth fee for the number ofspaces requested before it will be processed and space assigned byManaged Health Care Associates, Inc. (hereinafter referred to as MHA).The signed Application and Contract, subsequent notice of assignment,and these Exhibitor Contract Regulations constitute a contract betweenMHA and the Exhibitor. Any issue or matter not specifically covered inthese regulations is subject to the decision of MHA, whose decisionshall be final. Eligibility for Displaying. Participation in the 2018 15th Annual MHABusiness Summit is open to all MHA contracted vendors and their representatives. Services and/or products exhibited by a company mustbe industry-related. MHA reserves the right to reject any application inits sole discretion.Floor plan. All measurements shown on the floor plan will be made as accurately as possible, but MHA does not warrant or otherwise guar-antee the accuracy of such floor plan. Furthermore, MHA reserves theright to make such modifications to the floor plan, as may be needed,making equitable adjustments with the exhibitors affected thereby.Assignment of Space. Booth location space will be assigned on a firstcome, first-reserved basis. The decision of MHA with respect to boothassignment and location will be final and binding upon all exhibitors.Subletting of Space. Exhibitors are prohibited from assigning or sublet-ting any part of their allotted exhibit space to another individual, busi-ness or firm. Contracts for exhibit space are between MHA and eachindividual Exhibitor, not between exhibiting companies. The sublettingof space is grounds for MHA’s immediate termination of Exhibitor’sContract.Payment. The final payment of booth fee is due on or before January19, 2018. Should Exhibitor fail to comply with this rule, MHA has fullauthority to cancel any or all booth space assigned to Exhibitor. Failureto submit final payment by January 19, 2018, will risk loss of boothreservation and deposit.Termination of Meeting and Exhibit. Should the premises in which the2018 15th Annual MHA Business Summit is to be held become, in thesole judgment of MHA, unfit for occupancy, or should the Meeting andExhibition be materially interfered with by reason of act of nature,strike, picketing, boycott, embargo, injunction, war, riot, emergency declared by a government agency, or other act beyond the control ofMHA, the Application and Contract may be terminated by MHA. Exhibitor agrees that MHA shall not be liable for damages or loss sustained or incurred by the Exhibitor as a result of such termination. In the event of such termination, the Exhibitor expressly releases andshall hold harmless MHA of and from all claims for damages or loss, andagrees that MHA shall have no obligations or liability in connection withsuch termination except to refund to Exhibitor a prorated share of theaggregate amount received by MHA (as rental for exhibit spaces for saidExhibit), after deducting all costs and expenses in conjunction with suchExhibit, including a reasonable reserve for claims.Installation and Dismantling. The Exhibit Hall will be available to Exhibitors on March 7, 10:00 AM, for the installation of displays. All exhibits must be fully operational by 4:00 PM, March 7. After this hour,no installation will be permitted without special written permissionfrom MHA. MHA will forfeit, at Exhibitor’s expense, Exhibitor’s booth ifit is received but not set by 4:00 PM, March 7. Dismantling or packingof exhibits cannot begin earlier than March 8 at 6:30 PM and must becompleted by 12:30 PM on March 9.Storage, Boxes and Crates. Prior to March 7, 2018, all boxes and crateswill be received and stored by the general service contractor, or if sentto Mandalay Bay, will be stored at Exhibitor’s expense and subject toMandalay Bay’s policies. Those boxes not labeled will be removed anddestroyed as refuse.Contract Labor. Exhibitor may use outside contractors to set up, erectand dismantle exhibits if, at least 45 days prior to the official move-inday, Exhibitor provides to MHA a written statement of authorization for such contractor, and lists the name of the supervisor to be in attendance. Exhibit and Exhibitor’s contractor shall be subject to Mandalay Bay’s policies and Exhibitor and/or Exhibitor’s contractor maybe required to acknowledge and sign Mandalay Bay’s contractor/vendor policies. As a condition of MHA’s acceptance of such authoriza-tion, Exhibitor (1) assumes all responsibility for acts of its contractor, (2)holds harmless MHA, Mandalay Bay and their contractors for any lossor damage, including reasonable attorney fees, arising from any act oromission of its contractors, (3) further holds harmless MHA and Mandalay Bay from any injury to property of the contractors and thecontractor’s employees, subcontractors, agents and servants, (4) guarantees compliance with any and all laws, ordinances and regula-tions, all union and Mandalay Bay requirements. Exhibitor must alsoprovide the following for its contractor: certificate of insurance issuedby a current A M Best Company rating of at least A:VII, evidencing the

following insurance: Statutory workers’ compensation insurance, in accordance with the laws of the State of Nevada; Employers’ liability insurance with limits of at least one million ($1,000,000.00) per acci-dent covering all of contractor’s personnel performing work at the hotelproperty; commercial general liability insurance with contractual indem-nity coverage and combined single limits in the minimum amount ofthree million dollars ($3,000,000.00) per occurrence for personal injuryand property damage; and commercial automobile liability insurancewith coverage for owned, non-owned, rented and borrowed automo-biles with a combined single limit of not less than one million dollars($1,000,000.00). Such insurance shall name MHA and Mandalay Bay,its parent company, subsidiaries and affiliates, each as an additional insured. Contractors must strictly comply with these Regulations orthey will not be permitted or allowed to remain on the premises. MHAreserves the right to disassemble exhibits and charge the Exhibitor forall costs incurred in the event Exhibitor fails to cause Exhibitor’s exhibitto be dismantled in a timely manner causing Exhibitor to remain on thepremises beyond the authorized time. In such event, Exhibitor agrees torelease MHA from any and all liability including damages relating to thedismantling of Exhibitor’s exhibit.Booth Personnel. The fee for display space includes between two andfour complimentary exhibitor badges per 8’ x 10’ booth, dependingupon the type of booth or sponsorship. Displays must be staffed duringall MHA Exhibition open hours. Badges must be worn at all times foradmission to the Exhibition using Exhibitor’s badges. Booth personnelmust be registered using the Exhibitor Registration Form. Additionalbooth personnel will require an additional $750.00 fee per person. Children in the Exhibit Hall. To maintain a professional atmospherethroughout the Exhibition and to ensure the safety of MHA membersand their families, MHA does not allow children under the age of 16 inthe exhibit hall at any time during the exhibits, including installationand dismantling hours.Sales Policy. Exhibitors are permitted and encouraged to take ordersduring the Exhibition. However, MHA prohibits any selling of goodsand/or services on the exhibit floor. This policy will be enforced and violators will be removed from the exhibit floor by exhibit managementwith no refund of exhibit fees. Any state and/or local taxes associatedwith the taking of orders on the show floor are the sole responsibility ofthe exhibiting company.Giveaways/Prize Drawings/Other Promotions. Samples, catalogues,pamphlets, souvenirs, drawings, and awards may be distributed or provided, as applicable, by Exhibitors and booth personnel within theirbooth. Exhibitors interested in such Promotions must submit their intention in writing and receive written approval from MHA prior topublishing ads or any other notice of such Promotions. Signs showingthe price of Promotions must not be displayed. Exhibitor shall ensurethat any Promotions shall be conducted in accordance with ApplicableLaws and that any individuals involved in the offering, distribution, orprovision of the Promotions are duly licensed or authorized as requiredby Applicable Laws. Exhibitor shall not represent or otherwise suggestto Exhibition attendees that MHA is sponsoring or otherwise participat-ing in the Promotions. If required by MHA, Exhibitor shall obtain a writ-ten release, the form and content of which shall be approved by MHA,whereby an Exhibition attendee who participates in Exhibitor’s Promo-tion releases MHA from any and all liability in connection with their par-ticipation in and receipt of the Promotions.Care of Display Space. Exhibitors participating in the MHA Exhibitionshall take good care of the premises, not mark or deface the premisesand will keep and maintain the premises in good order at all times. Exhibitor assumes full financial responsibility for any damage causedby Exhibitor, its agents, employees, contractors or representatives.Display Rules and Regulations. Exhibitors will be supplied with: an 8’ x 10’ standard booth; an identification sign listing the company name;an 8’ high back drape and 3’ high side drape; and security during exhibithours. Displays must be contained within the assigned booth spaces insuch a way that they do not interfere with other exhibitors’ displays.Canvassing or distributing advertising matter outside of the Exhibitor’srented space is not permitted and is grounds for removal from the Ex-hibit Hall, and Exhibitor may be excluded from future MHA exhibitions.All exhibits must conform strictly to the Contract Regulations. MHA re-serves the right to restrict any exhibit that might be considered undesir-able or does not conform to the Contract Regulations. MHA alsoreserves the right to make any modifications to these displays, at Exhibitor’s expense, so that the exhibit conforms to the Contract Regulations. For all booth types, the exhibit booth is containedin the space stated above, to the maximum heights stated. In no case isthe exhibit hall ceiling, whether directly above the booth or not, consid-ered to be part of the booth. No ceiling projection will be allowed. Ex-hibit booths will accommodate 10’ foot wide pop-up displays andtabletop displays.

Labor/Safety/Fire. Exhibitors will comply with all applicable statutes,ordinances, rules and requirements relating to health, fire, safety, use ofthe premises, and the offering of promotions to Exhibition attendees.Booth decorations must be flame proofed and all hangings must clearthe floor. Electrical wiring must conform with all federal, state, and municipal government requirements and to National Electrical CodeSafety Rules. If inspection indicates that Exhibitor has neglected tocomply with these regulations, or otherwise incurs fire hazards,MHA reserves the right to cancel at Exhibitor’s expense all or such part of the exhibit as may be noncompliant. Exhibitor shall police itsbooth to ensure that the noise level from any demonstrations or soundsystems is kept to a minimum and does not interfere with others. Remember, the use of sound systems or equipment producing sound is an exception to the rule, not the norm. MHA reserves the right to determine at what point sound constitutes interference with others andmust be discontinued. The Exhibitor agrees to pay all royalties, licensefees or other charges accruing or becoming due to any firm, person, orcorporation by reason of any music, either live or recorded, or other entertainment of any kind or nature, played, staged or produced by theExhibitor, its agents, employees or subtenants within the premises covered by the Contract, including but not limited to royalties or licens-ing fees due to MHA. Exhibitor agrees to indemnify and hold harmlessMHA, its agents and employees against any and all such claims andcharges and to defend, at own expense, any and all such claims andcharges. Exhibitors shall have the right, however, to protest and, if desired, to litigate and adjudicate any and all such claims.Liability and Insurance. Exhibitor assumes full responsibility and liabilityfor losses, damages and claims arising out of injury or damage, includingthat by fire, and theft, to Exhibitor’s displays, equipment and otherproperty brought upon the premises of Mandalay Bay and to individualswho visit Exhibitor’s booth. Exhibitor shall indemnify and hold harmlessMandalay Bay, MHA and their agents, servants, employees, officers, di-rectors, staff and members against such losses, damages and claims. Ex-hibitor releases MHA from and agrees to indemnify it against any andall claims for such loss, injury or damage. If MHA shall be held liable forany event that might result from Exhibitor’s action or failure to act, orExhibitor’s failure to comply with applicable law, Exhibitor shall reim-burse and hold harmless MHA against any liability resulting therefrom.Exhibitor must adequately insure its materials, goods, wares and ex-hibits against loss or injury of any kind and must do so at its own expense. MHA and Mandalay Bay are not responsible for any loss (how-ever caused) to any property of any exhibitor. Exhibitors are solely responsible for their own actions and that of their employees, contrac-tors, agents and representatives during the 2018 15th Annual MHABusiness Summit. Mandalay Bay will provide security service during the official hours of installations, dismantling and exhibit hours. The furnishings of such services are in no case to be interpreted by Exhibitor as guaranteeing against loss or theft of any kind.Compliance with Law and Industry Guidance. Exhibitor and MHA willcomply with all applicable federal, state and local laws and industryguidance, including, as applicable, the PhRMA and AdvaMed Codes, theFood and Drug Administration Guidance on Industry-SupportedScientific and Educational Activities, and the Accreditation Require-ments of the Accreditation Council for Pharmacy Education (collec-tively, “Applicable Laws”). Exhibitor and MHA have not been excluded,suspended or debarred from any federal health care program. In accor-dance with all Applicable Laws, any and all fees paid by Exhibitor will beused for expenses related to the MHA Business Summit and shall notconstitute remuneration for the referral of business.Amendment to Contract Regulations. MHA may, in its sole discretion,make changes, amendments, or additions to the Contract Regulations.Any such changes shall be binding on Exhibitor.Permission to Use Photos/Video.You hereby give MHA’s photographer the absolute right and permis-sion to publish, copyright and use pictures or video of yourself in whichyou may be included.

Booth and Sponsorship Cancellation PolicyThe withdrawal of any booth or sponsorshipapplication must be made in writing and sent to MHA.Cancellation before November 3, 2017, will result in a 50% refund.Cancellation between November 4 and December 8, 2017, will result in a 25% refund.No refund provided after December 8, 2017.
