4. Project Scope

4.1 Introduction

Madina Mall is looking into developing a LED wall solution in United Arab Emirates.

The current scope of the project is to have a 325 square meter LED wall showing digital content & full video commercials, connected to a central control room. Viewing distance would be typically 20+ meters, and the wall would be within 50 meters from the control room.

Based on these requirements, we have proposed two possible LED wall solutions, one with a surface of 300 square meters and built out of TF- 2 0 LED t iles with a resolution of 20mm between subsequent LED clusters, the other with a surface of 300 square meters and built out of TF-16BKLED tiles with a resolution of 16mm.

Seen the type of content, which would typically be video and PC content, we included a D320L Digitizer.

Seen the distance from the control room, which would typically be 50 meters, we also included a Fiber Optic CompactLink.

Please refer to the image on the next page to understand how the various components of our LED walls work together.

For this particular project we have not included the metal work yet. We will however deliver the necessary technical specs to have it built locally. We also assume that you will take care of the necessary cooling of the wall s electronics. We will also deliver the necessary specs for this requirement. In case you prefer that we deliver an all-in solution, we can provide you with an adjusted quotation.

Barco TF series II can address all of the above topics to make it easier to acquire licenses, since we have done all what is reasonably in our power to reduce the above arguments to the bare minimum. For example low power consumption as addressed below, reduce light pollution by 37% with the use of 8° tilted LEDs, advanced intelligent brightness control (explained in more detail below) to prevent display from playing too bright to cause unsafe situations and to have a higher acceptance factor from people in the area.

2) Keep Total Cost of ownership at an acceptable level TF series II offers multiple features to keep TCO low a. Low Power Consumption -> typically 124W/module for TF-16 II and 139W/sqm

for TF-20 II, which is about 50% below comparable products on the market b. LEDs positioned 8° downwards -> resulting in less use of energy to achieve

same level of brightness at level of the audience. c. Contrast enhancing shaders -> allowing for less brightness to achieve similar

image quality compared to competitive products on the market

d. Intelligent brightness control -> by using advanced software features in RMS, brightness is monitored and controlled automatically 24/7, avoiding any waste of energy under normal autonomous operation.

e. Scheduled power on/off -> calendar function to be able to schedule on/off at times the screen is not used for advertisement, for example daily between 0am and 6am

f. Industrial components with high MTBF -> especially power supply since it is well known that this is the main cause of failure for LED displays in general

g. Constant monitoring of critical components (LED failures, instable power supplies, fan status, runtime, brightness, etc ), and alerting operators for issues and almost issues so preventive measurements can be actioned.

h. Remote Management, to be able to solve 80% of the failures, as long as they are not hardware related, from remote instead of going on-site.

i. Ability to control most components from remote, even 3rd party equipment, like remote status and turn on/off routers, A/C, content player PC, Video Processor, etc in case of failure

j. Ability to limit maximum brightness at certain level during specific time of day, for example never exceed 3500 nits between 11am and 2pm, to avoid waste of energy and unnecessary stress of LEDs, although the light sensor could allow for this under given circumstances. Leads to longer lifetime as well.

3) Knowing at all time if your screen is functioning well (related to reliability, billing, proof of play) a. Every 2 minutes the display and connected components are checked on status

and functionality. b. Every issue is reported by email, based on preset conditions, and logged for

bug fixing and reporting purposes c. Issues are qualified as low, medium or high, with high being a (partly) non

functional screen (black screen or part of the screen), and low being a non-critical failure like single LED failure for example (but not limited to this) but still a good image on the screen

d. To avoid un-reliable information, failures are only reported once they occur 3 times in a row, so in worse case, you know within 6 minutes if your display is non functioning by email alert

e. Scheduled health reporting, daily, weekly or monthly, even if display is healthy

4) Avoiding display plays too br ight , result ing in w aste of energy and unsafe situations Barco has incorporated many ways to ensure correct brightness and to prevent the display from displaying too bright. Not only by automated brightness adjustments based on environmental lighting conditions, but more specifically in the following situations: a. Real-time brightness correction based on environmental lighting conditions by

the use of multiple light sensors (redundancies are applied), two aimed forwards for direct light compensation and two aimed backwards for indirect light compensation.

b. Brightness correction during sunrise and sunset when you have fast changing lighting conditions.

c. If power shutdown occurs at 12am, when brightness is normally at it s maximum, for example 5000nits, and the power remains down until 11pm when it is dark, upon restart, the system will firstly startup video processor and management system, checking brightness parameters, and display will start up afterwards at correct brightness level, not the level at time of power shutdown.

d. Ability to limit brightness at certain level during specific time of day, for example never exceed 3500 nits between 11am and 2pm, to avoid waste of energy and unnecessary stress of LEDs, although the light sensor would allow for this under given circumstances. Leads to longer lifetime as well.

e. If communication between display and management system fails at any moment or for any reason, the tiles will detect the communication failure and will automatically switch to lowest preset brightness mode immediately.

f. Based on geographic location (latitude and longitude coordinates, the system can calculate whether it is light or dark outside at any moment of day. During calculated nighttime, the display will not allow any brightness above a certain preset value, in order to avoid unsafe brightness and waste of energy at all time

5) Security Barco TF series II together with RMS-1 software and DMP-100 hardware provide numerous security options to prevent the display from displaying malicious content. a. Door sensor -> when door sensor is activated, meaning door is opened, display

will automatically go black, and can only be reset by operator by means of correct password

b. Leveled access to the system, to avoid everybody having access to all different parameters and components, by use of different access names, password and user rights.

c. Secure VPN connection over IP

6) Advanced Heat Management Barco TF series II has a proven heat management system to avoid the display from overheating. 5.2 D320L Digitizer

In order to produce the perfect picture on its LED displays, Barco has developed a high quality image processor - the D320L Digitizer.

The D320L allows you to show and control up to 4 sources on one display. You can show both data and video simultaneously, seamlessly switch from source to source, display sources together, overlay them or customize them. With an additional analog output, as well as built-in-control software, the D320L gives you control over everything from basic set-up to configuration and advanced feature control on your LED display.

Distributed Processing

Stacking and Chaining

Each D320L can be stacked an infinite number of times, allowing the sources to be displayed on as many screens as there are D320L in the stack. In addition, the D320L can be daisy-chained to a maximum of 64 units allowing 256 sources to be displayed on a single LED display. A combination of stacking and daisy chaining is possible as well.

Important:

The D320L does all the image processing described above. It is controlled by the Director toolset Software. This software has to run on a PC which is connected to the D320 via RS232. This PC is not part of the D320L and has to be provided by the customer.

Advanced Software Control

Barco s Director Toolset, a fully featured digitizer control software package, provides the following additional functionality:

The ViewPort function allows for pixel accurate positioning and sizing of multiple windows on the display. Using ViewPort, there is an option to zoom in and out on each defined window.

5.4 CompactLink

During their transfer to the LED wall, the various input signals travel through some advanced intermediate equipment.

Roughly speaking, the transmission path can be divided in 3 functional blocks:

The D320 Digitizer or LEDPro, which decodes the input signals, combines them into a single image and encodes this image into a high-speed data stream.

The transport of this data stream from the processor to the LED wall can be done via a copper data cable (if the wall is located near the control room), or through a dedicated fiber link system (in case the wall is further away from the control room).

The LED tiles themselves, which decode the data stream and show the combined picture on screen.

For distances up to 50 m there is the CompactLink.

The CompactLink is available in a 50 m version only. The cable has connectors attached which include the transmitter and receiver.

Important: The transmitter and receiver connectors (each 55mm wide x 25mm high) cannot be removed from the cable.

The CompactLink cannot only be used to connect the processor with the first tile, but also to connect 2 Tiles. This is extremely useful when one want to drive 2 displays or more (same type of tiles) using only one processor.

The Com pactLink k it comprises the CompactLink itself, a set of adapter cables, in order to be able to connect anything with anything, and 2 sets of waterproof connection boxes when an IP65 connection would be required.

IMPORTANT REMARK:

The CompactLink cannot be used as a normal DVI optical cable between a PC and any other device.

6.1 Project Management

The aim of the Barco Media project m anagem ent team is to implement a solution that fits your needs and budget by adhering to the highest quality standards and respecting a mutually defined timetable. Your Project Manager s work starts before your order is placed and is concluded with an on-site acceptance test together with you.

In the pre-sales phase, the project management team serves as technical support to field sales. The main advantage of this early involvement is that all parties involved in the project are focused on meeting your requirements throughout the entire project roll-out.

To establish an open and honest communication channel between you and Barco, your Project Manager will generate a m ethod statem ent . This document describes the scope of the project management team s work - exactly what the team will and will not deliver. Its content is the result of careful consultancy between you and your Project Manager.

The realization of an installation is seldom independent of other efforts. For instance, the location where the led wall will be installed can still be under construction, or perhaps your advertising/media agency must start selling ad space prior to the wall s installation. To coordinate these activities, a schedule is prepared together with you at the inception of a project. During the roll-out of your project, your Barco Project Manager will keep in touch with you to match the Barco schedule with those of all other parties involved.

For each project a project core team is also assembled at Barco headquarters in order to assist the project management team. Such a team consists of your Project Manager, an Architectural Consultant and a Customer Support Engineer. Barco assembles core teams to centralize the know-how for installations and the range of solutions it can offer. Representatives from the local Barco offices and/or from distributors with whom Barco has long standing relations back-up each project management team in the country of installation.

To ensure that these procedures are not just hollow statements , the project management process described above is incorporated in Barco s quality manual, which is

6.3 Training

A comprehensive training program can be provided for all operators and system administrators, covering configuration, operation and basic maintenance.

Barco Media recommends two days of operator training. In choosing display operators we recommend personnel who already have a good working knowledge of Microsoft Windows®. Some familiarity with computer hardware and digital graphics is also helpful but not required.

Training may be provided at Barco s headquarters in Kuurne, Belgium, or on-site, depending on your preference. In addition, Barco Media can provide a representative to assist operators during a predetermined first use period (typically a live event).

Operator training is designed to give customers a working knowledge of all Barco software functions. As an additional service, Barco Media offers a full range of specialized training and programming services that are available upon your request. All Barco product manuals are available in English language.

6.4 Maintenance

In addition to its one-year manufacturer s warranty, Barco offers a variety of after-sales customer support programs, including programs that can be highly customized to your needs.

Barco s Bronze Support package includes access to our Customer Support Hotline 24 hours a day, 7 days a week. It also includes defective parts replacement, and free updates of the licensed software.

Barco s Silver Support package adds the availability of a pre-determined set of spare parts at your premises, allowing you to repair your installation in the quickest time frame as a first line of action. In addition to defective parts replacement, the cost of all labor is included in this level of support. Finally, one preventive maintenance visit per year is included by default.

Barco s Golden Support package adds the installation of remote diagnostics equipment in order to enable an interactive remote monitoring of your installation. As an option, a web cam can be installed in front of the display offering a remote visual control of the performance of the display.

Bronze Support Maintenance Agreement

1. The customer will have access to a Support Hotline 24 hours a day and 7 days a week. Calling the hotline will generate a support request.

2. Maintenance will include the cost of replacement parts and the repair and replacement labor cost, but not the travel time cost and/or travel and living expenses related to on-site repairs and replacement. All parts will be delivered on exchange basis and replaced items will become the property of Barco.

3. A follow-up visit will take place after any major stress could have affected the installation, provided it is timely reported to Barco. Failure to do so can lead to termination of the agreement in whole or in part with immediate effect and without any cost for both parties. Noticeable earthquakes, tornadoes, typhoons or other similar fall in this category.

4. Barco will provide to the Customer, at no additional charge, updates to the licensed software, as soon as they are made available on a formal general release. This release will be accompanied by the relevant documentation. Because of the dependence on other suppliers, Barco cannot guarantee that new software releases will run at all times on all present hardware or operating systems.

5. Barco shall provide to the Customer a written maintenance report, detailing the work that was carried out, at the conclusion of each maintenance visit.

Silver Support Maintenance Agreement

1. A pre-determined set of spare parts will be stored on location, as property and under responsibility of the customer. The customer will be entitled to make use of these parts to repair its installation in the quickest time frame as a first line of action. As an option the spare part kit can also be stored at the local BARCO branch office or at a specialized courier service, as agreed upon by both parties.

2. The customer will have access to a Support Hotline 24 hours a day and 7 days a week.

3. Maintenance will include the cost of replacement parts, the repair and replacement labor cost, and the travel time cost and travel and living expenses related to on-site repairs and replacement. All parts will be delivered on exchange basis and replaced items will become the property of Barco.

4. Barco will provide remedial maintenance service when notified by the Customer that the system is not fully operational, and when first line action will have proven insufficient. Barco is to be adequately informed about the problem. This could be over the phone, but has to be confirmed by fax or E-mail.

5. Barco will, within a maximum of three (3) business days, start a corrective action. A Barco engineer

or qualified agent

will be sent to the Customers site, within three (3) business days.

6. One preventive maintenance visit per year will be performed for the system. Barco will give notice to the Customer of the said visit. Should the Customer wish to postpone such a visit, Barco shall be notified of such a decision. At the discretion of Barco, a preventive maintenance visit can be combined with other maintenance activities, but with a minimum interval of five (5) months.

7. A follow-up visit will take place after major stress could have affected the installation, provided it is timely reported to Barco. Failure to do so can lead to termination of the agreement in whole or in part with immediate effect and without any cost for both parties. Noticeable earthquakes, tornadoes, typhoons or other similar fall in this category.

3. The customer will benefit from a GOLD PRIORITY response level. Whereby is implied that a support request originating from a GOLD SUPPORT customer, will be addressed before any other in the support request log.

4. Maintenance will include the cost of replacement parts, the repair and replacement labor cost, and the travel time cost and travel and living expenses related to on-site repairs and replacement. All parts will be furnished on exchange basis and replaced items will become the property of Barco.

5. A first line support workforce will be made available to the customer, taking charge of all intervention on the display even the most simple hot swap intervention.

6. Barco will provide remedial maintenance services when notified by the Customer that the system is not fully operational, and will be taking charge of first line action. Barco is to be adequately informed about the problem. This could be over the phone, but it has to be confirmed by fax or E-mail.

7. Barco will, within a maximum of two (2) calendar days, start a corrective action. A Barco engineer

or qualified agent

will be sent to the Customer's site, within two (2) calendar days.

8. One (1) preventive maintenance visit per year will be performed for the system. Barco will give notice to the Customer of the said visit. 7.3 Assumptions

Appendix

A: BARCO TERMS AND CONDITIONS OF SALE (EMEALA)

Any and all sales by Seller of products ("Products") shall be subject to the terms and conditions set forth below to the extent such terms and conditions do not conflict with any other contractual provisions between Buyer and Seller. No other general terms and conditions that may be referred to in Buyer's orders shall apply, even if these have not been rejected explicitly by Seller.

1. DELIVERY Delivery dates set forth in any order are indicative and Seller accepts no responsibility for any delay, unless the delivery dates are confirmed in writing by Seller. Products shall be delivered in accordance with the international commercial terms (Incoterms 2000) mentioned in the acknowledged order and the Seller shall only bear such risks, obligations and expenses as required under the agreed upon Incoterm. Products shall be delivered in Seller's standard package with Seller's standard labeling and markings.

2. TITLE AND RISK 2.1 Title to the Products shall pass to Buyer after the price thereof has been paid in full to Seller. Until Buyer has obtained title to the

Products, Buyer shall ensure that the Products in its possession shall at all times be readily identifiable by Seller as Seller's property on Buyer's premises. At Seller s request, Buyer shall execute all documents and do all acts which may be necessary or desirable to enforce the retention of title by Seller in Buyer s country.

2.2 Regardless of any retention of title by Seller, the risk of damage to or loss of the Products sold or any portion thereof shall in any event pass to Buyer as from the moment the Products have been delivered to Buyer in accordance with the agreed upon Incoterm.

3. TAXES AND DUTIES 3.1 Any taxes, duties, excises and other charges, including without limitation VAT, now or henceforth levied in connection with the

sale of the Products shall be borne by Buyer, except for those taxes and duties, which are payable by Seller prior to the delivery of the Products pursuant to the agreed upon Incoterm.

3.2 In the event Buyer takes care of exporting the Products out of Seller s country, Seller reserves the right to charge VAT, which will be credited upon receipt of valid proof of arrival of the Products in the country of destination.

4. INVOICING PAYMENT - DEFAULT 4.1 Seller shall invoice Buyer, and Buyer shall pay to Seller, the price of the Products in Euro (" " or "EUR") on a shipment per

shipment basis.

4.2 Buyer shall pay Seller's invoices within 30 days as from the date of Seller's invoice without any deduction, set-off or reduction whatsoever, except as may be agreed upon by Seller in writing.

4.3 If payment is delayed, Buyer shall owe Seller default interest at the statutory reference interest rate increased by 7 percentage points (rounded to the highest half percentage point) on any overdue amounts. The default interest shall also be payable during any extension of the payment term for whatever reason. Payment of such interest on arrears shall not entitle Buyer to delay payment of the principal amount. The extension of the payment term shall in no event result in novation.

Seller may also apply a surcharge of 10% on the overdue amount, with a minimum of 50, to compensate Seller for increased administration costs and expenses.

In addition, non-payment of an invoice on the due date shall without summons automatically nullify the payment terms and any extension of the period which Seller may have granted for payment of deliveries already effected and shall render all invoices immediately payable. Moreover, in such circumstances and/or in the event Buyer becomes insolvent or his credit becomes impaired in the reasonable opinion of Seller, Seller shall have the right to change with immediate effect the payment conditions then in effect to "cash in advance" or to request Buyer to furnish adequate security with no formalities other than a notification by registered letter. If Buyer fails to comply with Seller's payment terms or is unable to provide satisfactory security, Seller may, at its option, suspend further deliveries or cancel all current orders for Products until full payment or until satisfactory security has been received by Seller. Any claim by Buyer shall not entitle Buyer to delay or withhold payment of the overdue amounts.

5. CURRENCY FLUCTUATIONS If on the date of payment of the invoices the official mid-rate of exchange between the Euro and the currency invoiced to Buyer, as fixed daily by the European Central Bank in Frankfurt, differs by more than 5 percent from the exchange rate between the two said currencies on the date of Seller's order acknowledgement, Seller shall have the right to adjust the sales price accordingly. Buyer shall obtain the necessary permits from its exchange authorities to enable implementation of this clause.

6. INSTALLATION ACCEPTANCE TEST 6.1 In case the Seller has accepted in writing to assist in or to perform the installation of the Products, Seller or its designee shall be

entitled to delay or suspend such installation unless Buyer meets Seller s (pre-) installation requirements and performed all installation work to be carried out by Buyer or its contractors.

6.2 In case Seller has agreed that the Products are subject to an on-site acceptance test, Seller and Buyer (including as the case may be the user of the Products) shall review based upon the acceptance procedures and tests agreed upon in writing whether the Products meet the specifications. Any operational use of the Products by the Buyer or any other user shall be a final acceptance, and failure to complete the tests within a period of three (3) months following shipment (bill of lading date) shall be an unqualified acceptance of the Products and a waiver by Buyer of all claims with respect thereto.

7. FORCE MAJEURE 7.1 Neither party is liable to the other for default or delay in the performance of any of its obligations (except for any payment

obligation) due to Acts of God, fires, explosions, strikes, riots, civil or international wars, invasions, refusal by governments to

grant import or export licenses or the cancellation thereof, inability to obtain Products and/or raw materials and/or components because of Force Majeure at the producing location, or a contingency of a supplier of goods and services, etc. or any other similar or dissimilar cause beyond the reasonable control of either party.

7.2 In the event the availability of Products is limited due to a Force Majeure, Seller shall allocate available Products amongst its existing customers at its sole option.

8. WARRANTY 8.1 Warranties

(a) Hardware: Seller warrants that upon delivery hereunder the Products shall (i) conform to its specifications in effect at the date of delivery and (ii) be free from defects in material and workmanship (the "Warranties").

(b) Software: Seller warrants that software written by Seller shall perform substantially in accordance with the specifications in effect at the date of delivery. Software is inherently susceptible to bugs and errors. Seller makes no warranties with respect to the software which is provided to Buyer on an "as-is" basis and does not warrant uninterrupted or error-free operation of the Products.

8.2 The Warranty Period

(a) Hardware: 12 months commencing on the date of delivery or, if applicable, the date of acceptance of the Product as per Article 6.2.

(b) Software: 3 months commencing on the date of delivery or, if applicable, the date of acceptance as per Article 6.2.

After expiration of the Warranty Period, Seller and Buyer shall, at Buyer's request, negotiate in good faith the scope and mutually acceptable terms and conditions of after sales services to be provided by Supplier.

8.3 Conditions precedent for Warranties to apply

The Warranties shall apply only to the extent the Products or any parts thereof have

(i) been transported and stored at all times in the original packaging in the conditions as specified by Seller (such as covered and secure location, minimum temperature, maximum humidity, ) or, in absence thereof, at least in conditions consistent with generally accepted practice for this type of products;

(ii) been handled at all times in accordance with Seller's instructions or, in absence thereof, at least with the care and caution consistent with generally accepted practice for this type of products;

(iii) been installed strictly in accordance with the instructions and directions given by Seller (if and to the extent the Products have not been installed by Seller or its authorized subcontractors);

(iv) not been subject to not any unauthorized access, alteration, modification or repair or attempts thereto;

(v) been at all times "normally used" for the specified purpose and operated and maintained in strict accordance with the operating and maintenance instructions set forth in the operating and maintenance manual of the Product or, in absence thereof, at least with intervals and in a manner consistent with generally accepted practice for this type of products, and shall not have been otherwise misused, abused, damaged. For the purpose hereof, "normally used" shall mean a regular, ordinary and routine usage of the Product in question as intended and/or recommended by Seller;

(vi) not been connected to or used in combination with other equipment, products or systems (hardware and/or software), which are not compatible with the specifications of the Product in question.

8.4 In no event shall Seller be liable, whether during or after the expiration of the Warranty Period for any defects, failures, loss of or damage to the Products or any part thereof which are caused by or resulting from (i) wear and tear or (ii) any force majeure event referred to in Article 7 above, or (iii) Buyer s use or operation of the Product prior to the completion of Seller s acceptance test(s) for the Product, or (iv) any action or negligence on the part of Buyer or any third party (including without limitation Buyer's employees, customers, agents, carriers and contractors). In such case the repair or replacement of the Product or any part thereof shall be at Buyer's sole option and cost. Any Product or any part thereof which is entirely manufactured by third parties, is subject to the original manufacturer's warranty and no separate warranty is given in respect thereof by Seller.

8.5 Claims for repair or replacement under Warranties

Any claim under the Warranties must be notified to Seller in writing within 8 days from the date the defect or failure has been discovered or noticed the first time.

8.6 Remedies under the Warranties

(a) Hardware: If during the Warranty Period a Product or any part thereof, fails to meet any of the Warranties then, upon Buyer's request, Seller shall, at its sole option and cost, and without undue delay, either: (i) repair or correct the Product or part; or (ii) replace the Product or supply part(s) or component(s). A replacement part shall be at least functionally equivalent to the original part. The replaced Product, parts and/or components shall become the property of Seller and shall, at Seller's request, be returned by Buyer to Seller.

(b) Software: Seller's sole obligation shall be to rectify substantial malfunctions of the software (to the extent technically reasonably possible) by amending the software or supplying an alternative version of the software.

(c) The repair or replacement under the Warranties covers the cost of material and labor.

8.7 Return of defective Product or parts to Seller and back to Buyer

The repair or correction of the defective Product or part shall be carried out at Seller s repair facility, unless Seller has agreed to perform the repair or replacement at the location where the Product is installed. In no event shall Buyer return a defective Product or part thereof to Seller without Seller's prior written approval, in which case Seller shall issue to Buyer a RMA (Return Material Authorization) number.

The one-way cost of packing, transport and insurance related to shipping the allegedly defective Product or part to Seller for repair or replacement shall be borne by Buyer and Buyer shall pack the Products correctly so as to protect them from transport damages. The one-way cost of packing, transport and insurance related to shipping of the repaired or replacement Product or part to Buyer shall be borne by Seller.

The travel time and the travel and living expenses of the service engineer appointed by Seller, back and forth to the location where the allegedly defective Product is installed, shall be charged to and paid by Buyer in accordance with Seller's then applicable rates and procedures.

8.8 The remedies specified in this Article 8 shall constitute Buyer's sole and exclusive remedy and Seller's sole and exclusive liability for Seller s breach of the Warranties hereunder.

8.9 Seller makes nor intends to make any other warranties or representations, express or implied, and it expressly excludes and disclaims any and all warranties which may be implied or otherwise created by operation of law including without limitation all implied warranties of uninterrupted or error-free use or operation, and merchantability and fitness for a particular purpose.

9. CLAIMS 9.1 Except for the acceptance test referred to in article 6 above or claims for breach of the Warranties, Buyer's failure to give notice to

Seller of any claim (including without limitation claims for delayed delivery or non-delivery with regard to the Products delivered hereunder) within 8 days after the delivery of a Product shall be an unqualified acceptance of such Product and a waiver by Buyer of all claims with respect thereto.

9.2 Buyer is responsible for making any claim for loss of and/or transport damages to Products against the carrier immediately upon delivery and notifying Seller accordingly.

9.3 Contested Products must be kept at Seller's disposal and can only be returned to Seller with Seller's prior written consent.

10. TERMINATION - CANCELLATION 10.1 In the event that (i) a petition in bankruptcy is filed by or against Buyer, or (ii) Buyer is declared bankrupt, or (iii) Buyer becomes

insolvent or his credit becomes impaired in the reasonable opinion of Seller, or (iv) proceedings are initiated by or against Buyer seeking appointment of a receiver, reorganization, liquidation, dissolution, debt rearrangement or any other similar relief, or (v) if Buyer fails to perform or fulfill at any time any material obligation or condition hereunder, Seller, at its discretion, shall have the right to either request the performance or to terminate the sale with immediate effect without prior summons or notice period by registered letter. In the latter case, Seller shall be entitled, without prejudice to any other remedies, to repossess the Products without the intervention of any court of justice and Buyer shall assist Seller hereto. In such case, Buyer shall not be entitled to any compensation.

10.2 If Buyer cancels an order, Buyer shall pay Seller an indemnity equal to 20% of the order amount, without prejudice to Seller s right to seek reimbursement equal to its actual losses. Advances which have already been paid will accrue definitively to Seller to the extent of the compensation due.

11. LIMITATION OF LIABILITY 11.1 Seller's exclusive liability and Buyer's exclusive remedy for any and all claims as to the Product delivered or for delayed delivery

or non-delivery thereof, whether arising out of contract, warranty, negligence, Seller s failure to comply with laws and regulations, strict liability or otherwise, shall be limited to the price of the Product in relation to which the claim is made or, at Seller's option, the replacement thereof.

11.2 In no event shall either party be liable for special, incidental, punitive, indirect or consequential damages, (including without limitation loss of profits, business, revenue, goodwill or anticipated savings) whether or not caused or resulting from the negligence or willful misconduct of such party.

12. THIRD PARTY RIGHTS 12.1 Seller shall hold harmless and indemnify Buyer from and against direct damages, losses and expenses arising from infringement or

alleged infringement of any patent, trademark or copyright of a third party by a Product and defend and settle at its sole expense any claim, action, suit or proceeding brought against Buyer, provided that (i) Seller is promptly notified by Buyer in writing after a claim has been asserted against Buyer or the commencement of any claim, action, suit or proceeding, and (ii) Seller shall assume sole control of the defense and any settlement negotiations related to any claim, action, suit or proceeding, and (iii) Buyer shall not make any representation or concession, negotiate, settle or compromise any claim, action, suit or proceeding without the prior written consent of Seller and (iv) Buyer, at its cost, shall cooperate with Seller and provide assistance and support, as may reasonably required by Seller, in connection with the defense and any settlement negotiations related to any claim, action, suit or proceeding.

12.2 Seller shall have no indemnity obligation for any Product, or any portion thereof, (i) that is based on specifications, drawings, models or other data furnished by Buyer or, (ii) that is not provided by Seller or, (iii) that is modified by a party other than Seller and not at its direction or, (iv) to the extent Buyer continues the allegedly infringing activity after having been provided modifications that avoid the alleged infringement, or (v) where the use of the Product, or the combination or thereof with other products, processes or materials or the distribution thereof rather than the Product itself is the primary cause of an alleged infringement.

12.3 In case it has been determined by a finally awarded judgment that Seller has infringed or misappropriated such third party rights or earlier, at Seller's discretion, Seller may, at its option and cost, (i) modify the Product in such a way that it shall not infringe upon or misappropriate the rights of the third party or (ii) obtain for Buyer a license or other right to use the Product or (iii) replace the Product in question with a non-infringing Product. If the foregoing options are not available on commercially reasonable terms and conditions, Seller may require the return of the Product and refund to Buyer amounts paid for the Product minus a reasonable allowance for the period Buyer has used the Product.

12.4 The remedies set forth in this Article 12 shall constitute Buyer's sole and exclusive remedy and Seller's sole and exclusive liability for a third party claim that the Product infringes or misappropriates any intellectual property right of a third party.

13. SECRECY - INTELLECTUAL PROPERTY RIGHTS 13.1 Except as otherwise agreed by Seller, Buyer shall not disclose any proprietary and confidential information of Seller.

13.2 Any patents, trademarks, copyrights, and/or any other intellectual property rights and/or any proprietary or confidential information related to the Products, whether existing prior to the date of Buyer s order or developed as of the date thereof, shall remain the

property of Seller or its licensor, as the case may be, and nothing herein shall be construed as conferring on the Buyer by implication or otherwise, any right, title or interest in, or any license under any intellectual property right, confidential information or other trade secret. Seller shall however not enforce its intellectual property rights against Buyer, its successors or assigns who are operating the Products as authorized hereunder.

13.3 The software supplied by Seller to Buyer hereunder shall remain the property of Seller or the licensor at all times. Buyer shall at all times comply with terms and conditions of the (sub)license imposed by Seller or the licensor. Seller hereby grants to Buyer a non-exclusive (sub)license to use the software solely for the purpose of operating the Products delivered hereunder. Seller hereby grants to Buyer the right to assign the software user license referred to above to the end-user to whom Buyer resells the Products.

14. EXPORT 14.1 Buyer shall comply with any export restrictions of any EU Member State, the US and any other applicable export control laws and

regulations or any end-user certificate issued thereunder and shall not export, nor permit the export or re-export of (i) any proprietary information or software or any copy thereof, or (ii) the Products in violation of any such laws, restrictions and regulations, or without all required licenses and authorizations, to any country to which the said export laws, restrictions and regulations prohibit exportation.

14.2 Buyer shall inform Seller on any local rules or regulations which may restrict, technically, regulatory or otherwise, the deployment or operation of the Products in Buyer s country.

15. ASSIGNMENT Neither party hereto may, without prior written consent of the other, assign or otherwise transfer to a third party the benefits or obligations arising from the contract or in connection therewith, in whole or in part, except that Seller may assign, without Buyer s consent, the contract to an affiliate of Seller or to a third party in connection with the sale of the business of Seller. The contract shall be binding and shall inure to the benefit of the legal successors of either party hereto.

16. WASTE ELECTRICAL AND ELECTRONIC EQUIPMENT (WEEE) To the extent that Supplier is liable for the collection, treatment, recovery and environmentally sound disposal of WEEE as defined in the European Directive 2002/96/EC and transposed into the applicable law, Supplier shall assume such liability provided that Buyer shall timely inform Supplier when it intends to dispose of the Product as waste, shall not have dismantled the Product and shall have made the Product available in seaworthy packaging on a pallet at Buyer s loading quay on the mutually agreed day of collection.

17. GOVERNING LAW AND JURISDICTION 17.1 All sales are subject to Belgian law without recourse to its conflict of law principles. In the event of a conflict between these terms

and conditions and public order provisions under any applicable law, the latter shall prevail and the validity of the other clauses of these terms and conditions shall not be affected. The provisions of the 1980 United Nations Convention on Contracts for the International Sales of Goods known as "the Vienna Convention" shall not apply.

17.2 Any dispute between Seller and Buyer shall be settled by the courts of Kortrijk, or, at Seller s option, by the courts of the place where Buyer has its registered office, and without prejudice to the enforcement of any judgment or order thereof in any other jurisdiction.

B: THE WARRANTY CONDITIONS OF BARCO MED DIVISION The w arranty provisions set forth below replace Art icle 8 of Barco Term s and Condit ions of Sale (Appendix A).

1. WARRANTY 1.1 (a) Hardware: Subject to the exclusions set forth below and except for the Software, Barco warrants that upon delivery hereunder

the Products shall (i) conform to its specifications and (ii) be free from defects in material and workmanship (the "Warranties") for a period of twelve (12) months (the "Hardware Warranty period") for LED products, twenty four (24) months for Projectors (with exception of the projector's engine which has a twelve (12) months warranty) and thirty six (36) months for Image processing products.

(b) Software: Subject to the exclusions set forth below, Barco warrants for a period of sixty (60) days (the "Software Warranty Period") that software written by Barco shall perform substantially in accordance with the specifications. The Customer accepts that software is inherently susceptible to bugs and errors. Barco makes no warranties with respect to the software that is provided to the Customer on an "as-is" basis and does not warrant uninterrupted or error-free operation of the Products.

(c) Certain of the software provided by Barco hereunder is third party software and is supplied by Barco on an as is basis without any warranty of any kind either express or implied. However, Barco shall assign to the Customer, insofar as it is able to do so, the benefit of any warranty, express or implied, contained in its agreement with the licensor.

1.2 The Warranty Period shall commence

(i) at the date of signature of the On-Site Acceptance (OSAT); or

(ii) as soon as the Customer and/or any other party occupies or operates the system; or

(iii) three (3) months after shipping (bill of lading date),

whichever occurs first.

1.3 Conditions Precedent

The Warranties shall apply only to the extent the Products or any part thereof have

(i) been handled and stored by the Customer, pending the installation thereof, in the original packaging in the conditions as specified by Barco (such as covered and secure location, minimum temperature, maximum humidity, ) or, in absence thereof, with such a degree of the care and caution and at least in conditions consistent with generally accepted practice for the type of products in question;

(ii) been "normally used" for the intended purpose and operated in strict accordance with the operating instructions set forth in the Products' operating manual and shall not have been otherwise misused, abused, damaged. For the purpose of this Agreement, "normally used" is defined as regular, ordinary and routine usage of the System as intended and/or recommended by Barco;

(iii) been operated by skilled personnel who followed the Barco training programs and , as to software, by personnel who are conversant and accustomed with working with computers and software;

(iv) been maintained at all times in accordance with Barco's instructions or, in absence thereof, at least with intervals and in a manner consistent with generally accepted practice for the type of products in question; or

(v) not been connected to or used in combination with other products or equipment (hardware and/or software), which have not been approved by Barco; or

(vi) not been accessed, altered, modified, repaired by a third party which is not authorized by Barco.

1.4 Exclusion from the Warranties

The Warranties do not cover routine or emergency maintenance, nor do they apply to third party completed subassemblies including but not limited to hoists, keyboards, power supplies and air conditioning units. In no event shall Barco be liable, whether during or after the expiration of the applicable Warranty Period for any defects, failures, loss of or damage to the Products or any part thereof which are caused by or resulting from

(i) normal wear and tear; or

(ii) any Force Majeure event which shall mean a contingency beyond the reasonable control of a party hereto which makes its performance impracticable and shall include, but not be limited to, vandalism, acts of terrorism or war, power surges, water damage, lightning, storm, flood, accident, explosion, fire, earthquake or other acts of nature ; or

(iii) excessive application of electrical power or improper power connection; or

(iv) burn-in due to static (non-moving) images; or

(v) any and all consumables (including without limitation lamps, fans, filters, ...) ; or

(vi) software conflicts due to non-factory loading of additional software on the controller or computer viruses; or

(vii) loading of the controller software on a non-factory-authorized computer; or

(viii) disabling of fans or other factory-provided cooling systems; or

(ix) removal of warning labels and protection devices; or

(x) installation of non-factory replacement parts; or

(xi) use of high-pressure washes or exposure to concentrated detergents or other chemical agents or solvents; or

(xii) any action or negligence on the part of the Customer and/or any third party (including without limitation the Customer s employees, customers, agents, carriers and contractors).

In such case the repair or replacement of the Products or any part thereof shall be at the Customer s sole option and cost. Barco does not warrant a minimum lifetime nor a performance of any of the consumables.

1.5 Claims for repair or replacement under Warranties

Any claim under the Warranties must be notified to Barco in writing within eight (8) working days from the moment the defect or failure has been discovered or noticed the first time.

1.6 Remedies under the Warranties

(a) Hardware: If during the Warranty Period a Product or any part thereof, fails to meet any of the Warranties then, upon the Customer's request, Barco shall, at its sole option and cost, promptly and within twenty (20) working days, either: (i) repair or correct the Product or part in question; or (ii) replace the Product or supply part(s) or component(s). A replacement part shall be at least functionally equivalent to the original part. The replaced Product, parts and/or components shall become the property of Barco and shall, at Barco's request, be returned by the Customer to Barco at Barco's cost.

(b) Software: Barco's sole obligation shall be to rectify substantial malfunctions of the software (to the extent technically reasonably possible) by amending the software or supplying an alternative version of the software.

(c) The repair or replacement under the Warranties covers the cost of material and labor.

1.7 Repair and/replacement of defective Product and/or parts

Unless repair or replacement on-site is required under the Warranties, repair or replacement shall be performed at Barco's facilities and covers the cost of labor and materials.

In no event shall the Customer return a defective Product or part thereof to Barco without Barco's prior written approval. Prior to returning any defective Product or part thereof to Barco, Barco shall determine whether the repair or replacement of the defective Product shall be carried out at either the location where the Product is installed, at a location indicated by Barco or at Barco's facility. In the event Barco authorizes the return of the defective Product, Barco shall issue a RAN (Return Authorization Number). The returned Product must be properly packaged and transportation charges prepaid. Barco shall pay for transportation to return the Product to the Customer. Overnight, express or other special shipping arrangements will be paid by the Customer.

In the event repair or replacement on-site is required, the Customer shall at its costs be responsible for providing access to equipment such as, but not limited to, booms, scissor lifts, bucket truck, or crane should they be required. At Barco's request, the replaced Products, parts and/or components shall be returned to Barco at Barco's cost. The travel time and the travel and living expenses of a service engineer of Barco to the location where the alleged defective Product is installed, shall be charged to and paid by the Customer in accordance with Barco's current rates and procedures. In no event shall Barco be liable and/or indemnify the Customer for any and all costs and expenses incurred by the Customer in the performance of its obligations (including but not limited to the warranty obligations) towards its customer.

1.8 Warranty Period for repaired or replaced Product or part thereof

The above provisions shall apply to a repaired or replaced Product or part thereof during the remainder of the Warranty Period or a period of maximum three (3) months, whichever is longer.

1.10 Barco makes nor intends to make any other warranties or representations, express or implied, and it expressly excludes and disclaims any and all warranties which may be implied or otherwise created by operation of law including without limitation all implied warranties of uninterrupted or error-free use or operation of the Products, merchantability and fitness for a particular purpose.

1.11 In the event the Customer fails to pay any amount to Barco when due, Barco may suspend any intervention during the Warranty Period until full payment of all overdue amounts or until satisfactory security has been received from the Customer.

1.12 After expiration of the Warranty Period or extended warranty period set forth below (if any), Barco and the Customer shall, at the Customer 's request, negotiate in good faith the scope and mutually acceptable terms and conditions of after sales services to be provided by Supplier.

1.13 The remedies specified herein shall constitute the Customer s sole and exclusive remedy and Barco's sole and exclusive liability for Barco s breach of the Warranties hereunder.
