WHEREAS, on recommendation of Management, there was presented for approval, FirstAmendment to Contract No. DA-4654 with URS Corporation for the Los Angeles InternationalAirport Northside Plan Update to increase the contract amount by $1,180,000 for a totalcontract amount of $5,140,000 and to extend the contract term for an additional year; and

WHEREAS, staff requests additional funds to replenish the original contract budget and tofund services to complete the Draft and Final Environmental Impact Report (EIR), Draft andnecessary National Environmental Policy Act (NEPA) document Environmental Impact

WHEREAS, the URS team prepared an Initial Study (IS), which was released on April 4,2012. Sixty-nine (69) comments were received. Concept illustrations and preliminary designguidelines were shared during open houses. URS is preparing an administrative Draft EIRfor fifteen (15) environmental topics considered in the IS along with additional technicalstudies. The amount of technical studies, outreach, and collaboration has exceeded theoriginal project scope as follows:

• Since the initiation of the project, Los Angeles World Airports (LAWA) and URSperformed extensive public outreach to adjacent community groups, and held numerouspublic design charettes. URS conducted focused outreach prior to the release of theNotice of Preparation and Draft EIR, including a series of leadership group lunches,design workshops, charettes, and public open house style meetings. Focused outreachwas conducted with the Federal Aviation Administration staff, neighboring residences,and a number of agencies and interested stakeholders. Over forty (40) outreachmeetings were held.

• URS completed additional research and technical studies to evaluate draft designguidelines and adjacent airport uses, including noise analysis. URS in coordination withCity of Los Angeles Planning Department continue to refine the draft urban designguidelines to reflect a more user friendly and efficient format. LAWA and URS ledadditional outreach meetings to members of the local community, LAWA MaintenanceServices Division staff, and the US Wildlife Services Division LAX representatives.Meeting outcomes helped develop a comprehensive recommended landscaping palettefor the LAX Northside Plan area which will be incorporated into the urban designguidelines.

• LAWA requested URS significantly expand the geographic scope of the traffic analysisto ensure consistency with other LAWA project documents. Responding to community

concerns, staff requested that the number of signalized intersections analyzed for thetraffic impact study expand from 40 to 99 and that a 24-hour traffic count be conductedestablishing baseline neighborhood traffic conditions.

• URS's team prepared illustrative grading plans, exhibits, and approximate gradingquantities to support the environmental analysis work. Detailed construction estimatesbased on an illustrative development plan have been prepared including equipmenttypes, labor, and duration for construction activities for the entire project build out.

• Multiple project scenarios were evaluated by URS for potential air quality andgreenhouse gas impacts resulting in multiple calculations and environmental sensitivitystudies.

• URS's team prepared a tentative tract map for inclusion in the proposed projectentitlements. Geotechnical investigations and soil sampling were performed to betterdefine subsurface stratigraphy and identify soil properties needed for the tentative tractmap.

• URS's team conducted extensive review of environmental documents for other LAWAprojects to ensure coordination and consistency; and

WHEREAS, URS's additional work efforts were necessary to support the LAX Northside PlanUpdate. However, the extensive early public participation, expanded technical andenvironmental analyses, and preparation of a tract map were not included in the originalcontract schedule or budget. The additional work efforts impacted the project schedulecausing project completion beyond the contract expiration date. Completion of the EIR isanticipated in the second or third quarter of 2014 with the NEPA analysis anticipatedthereafter. The additional technical work utilized contract funding faster than anticipated andadditional contract budget is required to complete the project; and

WHEREAS, the First Amendment will allocate the budget as follows:

WHEREAS, "Basic and Technical Services" covers the work required to complete the LAXNorthside Plan Update such as Public Outreach, Urban Design Guidelines, CEQA and NEPADocuments and Strategic Planning and Entitlement Support for the EIR/EIS. "AdditionalServices" will fund unanticipated work efforts which may arise during the project. Staff willcontinue to report to the Board of Airport Commissioners periodically on the LAX NorthsidePlan Update; and

WHEREAS, funds for the contract have been requested in Fiscal Year 2012-2013 LAWAOperating Budget in LAX Cost Center 1150004 - Airport Facilities Planning, CommitmentItem 520 - Contractual Services. Funding for subsequent years will be requested as part ofthe annual budget process. Approval of this action will have no impact on the LAWA CapitalBudget; and

WHEREAS, feasibility and planning studies for possible future action is exempt from therequirements of the California Environmental Quality Act (CEQA) pursuant to Article IISection 2(d) of the Los Angeles City CEQA Guidelines; and

WHEREAS, URS is required by contract to comply with the provisions of the Living WageOrdinance; and

WHEREAS, Procurement Services Division has reviewed this action and established a 20%combined Minority/Women Business Enterprise (M/wBE) level of participation for the project.URS proposed a 24% combined M/wBE level of participation and has achieved 14.21 todate; and

WHEREAS, URS is required by contract to comply with the provisions of the AffirmativeAction Program; and

WHEREAS, URS has been assigned Business Tax Registration Certificate No. 0000748763-000-14; and

WHEREAS, URS is required by contract to comply with the provisions of the Child SupportObligations Ordinance; and

WHEREAS, URS has approved insurance documents, in the terms and amounts required, onfile with LAW A; and

WHEREAS, URS has submitted the Contractor Responsibility Program Questionnaire andPledge of Compliance, and will comply with the provisions of said program; and

WHEREAS, URS has been determined by the Public Works, Office of Contract Compliance,to be in compliance with the provisions of the Equal Benefits Ordinance; and

WHEREAS, URS will be required to comply with the provisions of the First Source HiringProgram for all non-trade LAX jobs; and

WHEREAS, URS must submit the Bidder Contributions City Ethics Commission Form 55,and comply with its provisions prior to the execution of the First Amendment; and

WHEREAS, actions taken on this item by the Board of Airport Commissioners will becomefinal pursuant to the provisions of Los Angeles City Charter Section 373;

NOW, THEREFORE, BE IT RESOLVED that the Board of Airport Commissioners determinedthat this action is exempt from the California Environmental Quality Act requirements;adopted the Staff Report; found that the work can be performed more economically orfeasibly by an independent contractor than by City employees; further found that the use ofcompetitive bidding would be undesirable, impractical or impossible (Charter Section371(e)(10); approved the First Amendment to Contract No. DA-4654 with URS Corporation toincrease the contract amount by $1,180,000 for a total amount not to exceed $5,140,000 andto extend the contract term for an additional year; and authorized the Executive Director toexecute the First Amendment to Contract No. DA-4654 with URS Corporation upon approvalas to form by the City Attorney and upon approval by the City Council.

FIRST AMENDMENT TO CONTRACT DA-4654 BETWEENTHE CITY OF LOS ANGELES AND URS CORPORATION

AT LOS ANGELES INTERNATIONAL AIRPORT

This FIRST AMENDMENT, made and entered into this day of_-;-;--;-- __ -;,2013, at Los Angeles, California by and between the City of Los Angeles, amunicipal corporation (hereinafter referred to as "City"), acting by and through its Board ofAirport Commissioners (hereinafter referred to as "Board") and URS CORPORATION dbaURS CORPORATION AMERICAS, (hereinafter referred to as "Consultant").

RECITALS

WHEREAS, City .and Consultant entered into Contract No. DA-4654 (hereinafter"Contract") dated October 12,2011 for, "Planning Services for the Northside Plan Update" atLos Angeles International Airport; and,

WHEREAS, the City determined that it is necessary for the Consultant to continue toprovide professional services as referenced in the Contract and to be defined per contractamendment;

WHEREAS, the Consultant agrees to provide such professional services as are requestedand authorized by the City; and

WHEREAS, City and Consultant are hereby amending the Contract to increase theContract's funding authority, allocate the increased funding as described under this amendmentto the Contract and extend the term of the Contract;

NOW, THEREFORE, in consideration of the premises and of the terms, covenants andconditions hereinafter contained to be kept and performed by the respective parties hereto, domutually agree that the Contract IS HEREBY AMENDED AS FOLLOWS:

Amendment Section 1. Section 2.0 of the Contract is hereby deleted in its entirety andreplaced with the following:

Section 2.0 Term of Contract:

The term of this Contract shall be for a period of not more than four (4) years

commencing upon Consultant's receipt from City of a Notice-to-Proceed subject,

however, to earlier termination as hereinafter specified in Section 23.0,

Abandonment of Program and Cancellation of Contract or Suspension of

Services.

Section 3.0 Incorporated by Reference.

It is expressly understood and agreed that the "Attachment A: Scope of Work"

(referred to herein as "Services" or "Work"), which has been marked Exhibit "A"

and attached hereto, is, by this reference, incorporated into and made a material

part of this Contract. It is further expressly understood and agreed that the

"Rates" applicable to this Contract which have been marked Exhibit "B-1" and

attached hereto are, by this reference, incorporated into and made a material part

of this Contract. It is further expressly understood and agreed that the Certificate

of Liability Insurance which has been marked Exhibit "C-l" and attached hereto

is, by this reference incorporated into and made a material part ofthis Contract. It

is further expressly understood and agreed that URS' s Budget for Basic Services

which has been marked Exhibit "D" and attached hereto is, by this reference,

incorporated into and made a material part of this Contract. It is further expressly

understood and agreed that, the City's "Request For Proposals" ("RFP")

(including its Insurance Requirements for Los Angeles World Airports and all

Administrative Requirements and Addenda) is, by this reference, incorporated

into and made a material part of this Contract as though fully set forth herein.

Consultant expressly acknowledges that this Contract is based upon the

performance requirements contained in the RFP.

Amendment Section 3. Section 5.0 of the Contract is hereby deleted in its entirety andreplaced with the following:

Section 5.0 Services to be Performed by Consultant.

5.1. The Services to be performed by Consultant shall consist of the work

described in Exhibit "A," attached hereto and incorporated herein by reference,

and as may be further described in this Contract. All such Services shall be known

as "Basic Services".

5.2. In rendering Basic Services, Consultant shall include consultations and

conferences with officers and employees of the City, representatives of the Board,

the Federal Aviation Administration (FAA), LAWA Staff, LAX Tenants,

Northside Community Associations and residents and other Stakeholders in the

Project in order to determine all relevant criteria necessary for the planning,

analyses, layout and design of the Project. Detailed meeting minutes of all

conferences and meetings shall be prepared and distributed by Consultant in a

reasonably timely fashion, and in a format as designated by the Executive

Director.

5.3. It is expressly understood and agreed, that Consultant shall perform all

incidental work required to complete the Services, including work for which no

specific proposal item(s) was/were included, and/or including work which is

required to furnish final, finished and detailed Work consistent with and fulfilling

the intent of the Contract. All such incidental work shall not be considered extra

work for which additional compensation can be claimed by Consultant.

5.4. In its performance of the Services, the Consultant agrees to provide any

Deliverables defined in this Contract.

5.5. During the term of this Contract, Consultant shall, at all times, comply

with all applicable laws, rules and regulations, of any and all City, State and

Federal agencies, including, but not limited to, the FAA, the Department of

Transportation, City of Los Angeles Departments of Building & Safety and Public

Works, which may have jurisdiction over, or be concerned with, the programming

and planning of the Project. Consultant shall work with LAWA in resolving any

conflicting legal authorities and/or requirements: however, to the extent resolution

of conflicts is not possible, LAWA's determination will be final.

5.6 Technical Services -Technical Services 'are the technical analysis and

resulting reports required to support the environmental documentation.

Consultant may be asked to perform "Technical Services" that are within the

general scope of this Contract but not otherwise addressed herein, as authorized in

writing, prior to the work being performed, by the Executive Director.

5.7 Additional Services - Consultant may be asked to perform additional

services that are within the general scope of this Contract but not otherwise

addressed herein, and as authorized in writing, prior to the work being performed,

by the Executive Director.

Amendment Section 4. Section 6.0 of the Contract is hereby deleted in its entirety andreplaced with the following:

Section 6.0 Task Orders. At LAWA's sole discretion, Task Orders may be

used to administer any or all services or tasks under this Contract. Any such

Services shall be performed pursuant to Task Orders that provide a detailed

description ofthe services or tasks to be performed, the personnel listed in Exhibit

"B-1" to be utilized, the time frame for the work to be performed, the not to

exceed amount to be charged, and any estimated expenses. Consultant shall

provide a complete detailed proposal for each Task Order, which shall be

authorized by the Executive Director prior work under the Task Order being

performed. The City shall pay Consultant for work under a Task Order either (I)

in accordance with the hourly rates set forth in Exhibit "B-1", or (2) on a mutually

agreed-upon lump sum basis, or (3) on a direct reimbursable basis. The basis of

payment shall be determined on a task by task basis by the Executive Director.

Amendment Section 5. Section 8.0 of the Contract is hereby deleted in its entirety andreplaced with the following:

Section 8.0 Consultant's Fee.

8.1 For all Services rendered under this Contract, all costs, direct or indirect,

and all expenses incurred by Consultant pursuant to this Contract, the total

compensation to be paid to the Consultant for all services rendered under this

shall pay Consultant either (1) in accordance with the all-inclusive hourly rates set

forth in Exhibit "B_1", or (2) on a mutually agreed-upon lump sum basis, or (3) on

a direct reimbursable basis. The basis of payment shall be determined on a case

by case basis by the Executive Director.

8.3 Reimbursement for Additional Services, if authorized by the Executive

Director, shall be for the actual costs of said services, and shall be paid either (1)

in accordance with the all-inclusive hourly rates set forth in Exhibit "B_1", or (2)

on a mutually agreed-upon lump sum basis, or (3) on a direct reimbursable basis.

The basis of payment shall be determined on a case by case basis by the

Executive Director.

8.4 With the written consent of the Executive Director, Consultant may add to

the category(ies) of personnel, and or Sub-Consultants listed on Exhibit "B-1,"

indicating corresponding hourly rates for such additional personnel, but any such

addition(s) of personnel, andlor of Sub-Consultants, shall not entitle Consultant to

any additional compensation beyond what is specified in Subsections 8.1 herein.

8.5. City shall not be required to make payments for work not yet performed, nor

for work deemed unsatisfactory by City. The parties agree that the Executive

Director, shall make the final determination as to when Consultant's services, or

any part thereof, have been satisfactorily performed or completed to justify

release of any given payment to Consultant under this Contract.

8.6 Annually from the notice to proceed date City and Consultant may review

the hourly rates in Exhibit "B»l ", Any rate increases must be mutually agreed-

upon and shall not exceed four percent (4%) per year. All cost of living increases

shall be authorized by Executive Director, in writing, prior to the increase

becoming effective. In the event that this option is exercised, Exhibit "B»l" shall

be revised to reflect the changes.

Amendment Section 6. Section 30.0 of the Contract is hereby deleted in its entirety andreplaced with the following:

Section 30.0 Entire Agreement.

It is expressly understood and agreed by the parties that this Contract, Exhibits

"A," "B-1," "C-I" and "D" hereto, the RFP and all other materials referenced

herein, constitute the entire agreement between the parties hereto and supersedes

any and all prior written or oral agreements between them concerning the .subject

matter contained herein. There are no representations, agreements, or

understandings, oral or written, between and among the parties relating to the

subject matter contained in this Contract which are not fully set forth herein. This

is an integrated agreement. Any amendmenus) or changes(s) to this Contract shall
