1. Foreword/introduction With this manual, Litens Automotive GmbH & Co. kg., hereinafter referred to as LAG, aims to provide uniform packaging instructions for suppliers in order to guarantee consistent, qualitative and therefore high-quality part delivery for our customers. Points such as planning, procurement and administration of packaging materials as well as product labelling and delivery or collection are explained on the following pages. The scope covers all suppliers of LAG. Thus the logistics policies are part of the master agreement or supply contract concluded with the supplier. The acceptance of the supplier via the documents available to them is therefore binding. Ensuring that suppliers use the packaging material in accordance with Regulation (EC) No. 1907/2006 (REACH) is mandatory. Objections are to be clarified in writing by LAG, solely before the conclusion of the contract. Continuous further development LAG constantly strives for continuous further development in logistics. Existing packaging and handling conditions are constantly being reviewed and all suppliers are required to cooperate in this regard. Suggestions for optimising the logistics chain can be submitted to Logistics at LAG for review at any time. The main objective in packaging planning is the use of special reusable packaging that takes into account all economic and environmental aspects. The environmental policy objectives are to conserve resources and prevent waste, especially hazardous waste.

2. General packing instructions Before starting a series delivery to LAG, suitable packaging will be prepared for each article. This is based on the LAG logistics policy, part-specific empirical values as well as pre-series parts or prototype parts. The result of this preliminary work and sample packaging with subsequent transport investigations that may be carried out is recorded in the packaging agreement (FRM - 01037, Packaging Approval and Specification Data Sheet) which contains the defined container type and capacity per article. The packaging agreement is signed jointly by both parties and becomes part of the contract. If no series packaging is available from the supplier, this must be reported immediately to the container scheduling department as well as packaging planning in order to jointly find a solution. The responsibility for selecting suitable packaging materials (container type, packaging aids and so on) rests with the supplier. The supplier is asked to offer the packaging as well as the packaging material in accordance with the LAG policies. The supplier’s packaging proposal must take into account the following points:

• All parts must be optimised and packaged so that they cannot be damaged during transport or storage, even over a longer period of time.

• As a general rule, reusable packaging (returnable containers) must be used for transports within Europe. Exceptions must be agreed with packaging planning. Disposable containers are used for transports outside Europe.

• Container stackability – at least double even with disposable packaging – must be given. Exceptions must be agreed separately with the packaging planning.

• The individual weight for small load carriers or small cardboard packaging is limited to 12.50 kg for occupational safety reasons. Exceptions require the written agreement and approval of LAG.

• The delivered goods/packaging must not bear any foreign labelling (for instance from previous deliveries).

• If the specified packaging is not adhered to, we reserve the right to refuse the shipment or charge the respective supplier for any handling, disposal and repacking costs incurred. A deviation from specified packaging is included in the supplier evaluation.

• The approval of deviating packaging does not exempt the supplier from its responsibility for ensuring damage-free delivery of parts.

3. Reusable packaging 3.1 Small load carrier 3.1.1 Delivery unit VDA small load carrier All common VDA small load carrier types are approved for use with prior agreement. In order to ensure continuous pallet stacking and optimum load securing during transport, all layers must be filled completely with small load carriers. If it is not possible to load the pallet over the entire area, the layer must be filled up with empties. The empty containers must be labelled with an ‘Empty’ label. For transport safety, always place a pallet cover over the packaging unit. Every packing unit has to be tied at least twice with plastic straps. Exceptions have to be agreed with packaging planning. The use of steel straps is strictly prohibited for safety reasons. All means of transport (small load carriers, pallets and covers) must be marked on the delivery note. Each small load carrier must be provided with a goods label according to the latest VDA. Exceptions must be agreed with packaging planning. This must be attached so that it is easy to read. Attachment is only permitted in the designated pockets or by fixation using adhesive dots. Single labels as well as master barcodes are explained under the point 8. All small load carriers must be securely placed on the transport pallet and secured for shipping. They are fastened with plastic straps that have been selected for their environmental benefits. The plastic straps must be made of PE or PP material and must not have any metallic elements (such as clips). The smallest purchase quantity is a small load carrier, whereby incomplete layers always have to be filled with empty small load carriers. Different small load carrier types must not be packed on one pallet.

3.1.2 Transport safety device (reusable) Examples of correct positioning of the small load carriers

The maximum total weight of the reusable packaging unit is up to 900.00 kg. Important: Reusable packaging must not be pasted or labelled! 3.2 Supply of reusable packaging If possible, deliveries within Europe must always use suitable reusable packaging (pallet cage, small load carrier and the like). LAG container scheduling is responsible for the supply of reusable containers in cooperation with LAG single component scheduling. Reusable packaging must be provided and used with the start of series delivery. If sufficient reusable packaging is not available for series delivery, the supplier must deliver in an approved alternative packaging. The delivery of disposable packaging is accepted during the project start-up phase (pre-series). In case of sensitive components, the pre-series packaging must be coordinated with LAG packaging planning.

4. Disposable packaging 4.1 Choice of disposable packaging The general use of disposable packaging is only permitted overseas and in exceptional and justified cases within Europe. Disposable packaging can be placed on one pallet with one or more boxes. The maximum total weight of the packaging units is up to 900.00 kg. Double pallet stackability must be guaranteed. Exceptions must be coordinated with LAG packaging planning. 4.2 Loading units In accordance with the requirements for reusable packaging, these also apply to disposable packaging.

4.3 Delivery unit cardboard packaging The individual packages (small cardboard packaging) may not exceed a weight of 12.50 kg. Incomplete cardboard layers and non-stackable loading units as well as pyramids of cartons are not allowed. A stacking factor of 1 + 1 is mandatory.

4.4 Cardboard packaging transport safety device Loading units, which consist of a pallet and cardboard packaging, are to be strapped securely in two directions with plastic straps. Steel straps are not allowed! (Exception: Use of steel straps in the transport of tools, steel coils and the like) Under no circumstances may the strapping cut into the cardboard layers. Corner reinforcements must be used vertically and horizontally whenever required for load security. The use of a load cover is required.

5. Import/export cardboard packaging In order to achieve optimum loading of sea freight containers with a filling rate of > 90%, LAG has developed the following import/export cardboard packaging. Stackability of up to four packages is possible with this type of packaging units (pallet + cardboard packaging). This import/export cardboard packaging is suitable with and without inlays for product-specific transports as well as for bulk goods and modular cardboard packaging filling. The import/export cardboard packaging is always fitted with four squared timbers made of heat-treated softwoods

in the corners (4.50 4.50 61.00 cm) to guarantee safe stackability of up to four pallets. Weight-loading per import/export carton of up to 900.00 kg is possible. 5.1 Specification Length Width Height

6. Pallets/pallet cages The Euro and one-way pallets Pallets must conform to the design under ‘RIGHT’. Pallets of other dimensions or constructions require the approval of LAG. Special dimensions for export/import for optimum loading of sea freight containers and their stackability can be found in the sections 4.3 and 4.4. All wooden pallets and wooden components intended for overseas transport must comply with the international IPPC standard. Container scheduling 7.1 General administration LAG makes packaging available to its suppliers. This must be agreed with LAG packaging planning and matched to a valid packaging datasheet. The supplier undertakes to maintain a corresponding account when using LAG-owned packaging (see below). LAG-owned packaging must be ordered by the supplier from container scheduling using the current order form (packaging order) with at least five working days lead time. Each individual packaging has an internal Litens number assigned to it. This is a six-digit number that starts with 900xxx. In order to be able to transmit the data correctly in the event of problems, account reconciliations and inventories, the supplier should store these in the system under the same number. 7.1.1 Empties required by suppliers The supplier must check their requirements in good time and order from [email protected]. The maximum stock of the supplier must not exceed the requirements for two weeks.

7.1.2 Orders Empties are ordered by the supplier. The order form (packaging order) filled out by the supplier is sent by e-mail to [email protected]. Container scheduling at LAG checks this and plans the order accordingly for the requested date. If you do not have the current order form, you can request it from [email protected]. 7.1.3 Reporting differences for deliveries of empties If the supplier receives unknown empties or if there is a difference compared to the delivery note, the supplier is obliged to report to [email protected] immediately. For quick traceability, please attach the delivery note and corresponding pictures to your e-mail. 7.1.4 Delivery notes for return of empties to Litens The supplier must attach a corresponding delivery note with each return delivery of empties. This delivery note must show the creation date and a delivery note number. In addition, the exact designation of the returned empties and auxiliary load carriers must be listed in the correct quantity. 7.1.5 Changes of supplier contact persons If contact persons at suppliers change, the data of the new contact persons with telephone numbers and e-mail addresses must be forwarded to LAG ([email protected]) in a timely manner. 7.2 Account management The packaging for the exchange of goods between LAG and its suppliers is managed centrally in packaging accounts. These packing accounts contain all postings that are made on the basis of a goods receipt (incoming) or a goods issue (outgoing). Identical bookings must also be recorded by the supplier in a dedicated system immediately after physical entry or exit. 7.2.1 Statement of account LAG provides its suppliers with the respective account statement for the packaging on a monthly basis. This statement contains all movements from the previous calendar month. Statements are only generated for packaging for which postings were recorded in the defined time period. If no statement is issued for a packaging type, the balance of the last statement applies. 7.2.2 Confirmation and complaint deadlines In principle the supplier is obliged to check the account statement for accuracy and completeness. The form ‘Bestandsabgleich_deutsch’ or ‘Stock adjustment_english’ must be filled out and submitted to LAG in writing with date and signature. A difference must always be proven with a receipt. The existing difference is entered in the document by the supplier and checked by LAG.

The deadline for reporting differences is the 15th day of the following calendar month. Thereafter the account statement is accepted as binding by the supplier. 7.3 Annual inventory count The supplier has to take a physical inventory count in their warehouse once a year. LAG has to inform its suppliers in due time about the date of the annual inventory count. The form ‘Inventuraufnahme_deutsch’ or ‘Stock list_english’ must be submitted in writing with signature to [email protected] by the specified date. The received inventory reports are checked for plausibility and the result is promptly communicated to the supplier. Questions, objections and the like must always be submitted in writing to [email protected] by the supplier. Telephone objections will not be considered. If the supplier does not submit an inventory report by the specified deadline, the inventories will be zeroed as of the reporting date and the losses will be charged to the supplier. 7.3.1 Loss In case of a difference determined by LAG, the supplier must be able to check this within a calendar week and provide a plausible explanation. The plausibility of the loss must be reported in writing to [email protected] with the appropriate justification. If there is no determination or proof of the difference in the event of a loss, the supplier will be charged for this loss according to current market prices. Special load carriers are charged to the supplier according to the current replacement value. 7.4 Packaging and containers 7.4.1 Receiving, storage and issuing Upon receipt of the packaging and containers, the supplier must carry out a target/actual inspection. If there is a difference, it must be reported immediately to [email protected]. In addition, the supplier must ensure that the load carriers are stored so they are protected against the weather. When returning to LAG, the supplier must guarantee the flawless condition of the packaging and containers (occupational safety, quality). The proper condition of the packaging and containers is checked on receipt of goods. 7.4.2 Defective containers If the supplier determines on receipt of the goods that containers are defective or have defects, they must contact [email protected]. Defective empties must be documented (recorded) with photos by the supplier and the delivery note must be attached to the e-mail. The supplier is credited for the returned, defective empties upon receipt of the goods.

7.4.3 Scrapping The supplier must never scrap defective containers, but must send them back to LAG in coordination with [email protected]. Litens is responsible for the subsequent disposal of the defective empties. 7.4.4 Cleaning The supplier may only deliver goods in clean packaging and containers. The same applies to the return of empties. If necessary, these containers must be cleaned and kept clean by the supplier at their own expense. Individual agreements that have been made with LAG must be recorded and documented in writing. 7.4.5 Alternative packaging For each series packaging, the supplier must also be able to produce a suitable alternative packaging that has been coordinated with our packaging planning. This is used when replacement packaging is being procured because of loss or in case of short-term demand peaks. When alternative packaging is used, always inform [email protected], the responsible packaging planner and the responsible individual component scheduler. 7.4.6 Pallet exchange By arrangement with [email protected], a 1:1 pallet exchange can take place upon the delivery of goods. Please note that we will not keep a pallet account with your shipping company. The exchange will always take place between the supplier and LAG and will also be booked in your existing account in our system. The prerequisite for a pallet exchange is that these are standardised Euro-pallets according to EN 13698 - 1 and a corresponding written agreement exists between the supplier and LAG. 7.4.7 Special load carriers If the use of special load carriers has been agreed between the supplier and LAG, LAG will procure these on the basis of future delivery schedules. Note that LAG will not procure load carriers for internal supplier purposes. All special load carriers are subject to the duty of cleanliness. We hereby refer to the points 7.4.1, 7.4.2, 7.4.3 and 7.4.4. 7.5 Empties loading point hours of operation The hours of operation for the collection or return of empties are from Monday to Friday, always from 6 am to 8 pm. Exceptions outside these times are not possible. Public holidays for the state of Hesse must be considered in addition.

This is necessary to guarantee the productivity and control of materials through efficient data collection for the following processes:

9. Logistics costs 9.1 Packaging costs All packaging cost shares must be clearly identified and listed in addition to the unit price of goods in the supplier's offer. The LAG purchasing department will have these packaging costs checked and negotiate with the supplier for the contract period. 9.2 Freight costs All freight costs must be clearly identified and listed in addition to the unit price of the goods. The LAG purchasing department will have these freight costs checked and negotiate with the supplier for the contract period. Customs tariffs and the corresponding customs tariff numbers are provided or checked by LAG. 10. Approval of deviations from the binding logistics policies Deviation approval is only to be requested if, for understandable and comprehensible reasons, the agreed supplier packaging or the type or timing of the scheduled delivery can not be met. A mandatory lead time of two to three weeks before the delivery date is to be observed in this case. LAG only grants deviation approvals according to written requests for amendment, which LAG reserves the right to approve, reject or make changes to. Should additional costs arise due to deviation approvals, the originator will cover the incurred costs. If the supplier does not comply with the agreed or approved deviation, LAG may take recourse against the supplier for short deliveries, loss of quality, breakage, production stoppage and all other consequential costs. 11. Bidding fundamentals For each packaging reconciliation, use form FRM - 0137 (Packaging Data Sheet). - Product data such as dimensions and weight - Disposable, reusable - (Production outside/within Europe) - Dimensions and weight of the planned packaging (individual containers not heavier than

Any packaging planned by the supplier must be approved by LAG packaging planning. 12. Declaration of origin of goods If the supplier’s manufacturing site and/or registered office is located within the European Union, the supplier is obliged to issue a supplier declaration according to Regulation (EC) 1207/2001 (single or long-term declaration) and in compliance with the respectively applicable EU provisions. Generally the supplier receives a separate cover letter ‘annual declaration’ with the form to be used. The supplier shall return the signed declaration to LAG within four weeks of receipt, but no later than upon delivery. If the supplier as an exception draws up the supplier declaration on their own business papers or as part of remote data transmission (EDI), this procedure must be agreed in advance with LAG. If the supplier has their place of business and/or a manufacturing site in a country with which the EU has a free trade agreement, the supplier shall issue a preference certificate (movement of goods certificate/declaration of origin on the invoice) for each delivery. The provisions of the free trade agreements must be observed. 13. Deliveries 13.1 Deliveries according to Incoterms 2010/groups E and F For deliveries ‘FCA (... named place)’ or other delivery conditions according to Incoterms 2010 groups E and F, the supplier will only hand over the goods to the forwarding agents commissioned by LAG. The use of a forwarding agent by the supplier is not permitted. If the supplier delivers the goods to LAG in violation of the agreed delivery terms, the supplier bears the risk until acceptance by LAG.

13.2 Deliveries according to Incoterms 2010/group D If the supplier commissions the forwarding agent, the forwarding agent to be used and the vehicle configuration to be used are to be coordinated with transport logistics or goods receiving of the LAG receiving plant. Fixed suppliers receive a delivery window that must be adhered to (series delivery). 13.3 Time-sensitive goods Time-sensitive goods are to be clearly declared for the forwarding agent and LAG goods receiving. The supplier notes the arrival date and time of arrival at LAG on the forwarding order, which is to be handed over to the forwarding agent. Deviations from existing delivery time windows/agreements must be agreed in advance with transport logistics or goods receiving of the receiving plant. 13.4 Process disruptions in shipping/transport Any disruptions in the given procedure, including faults caused by subcontractors, must be reported by the supplier to the forwarding agent as well as to the responsible scheduling department of the relevant LAG plant without delay, verbally and by fax, stating the exact reason and nature of the fault. Faults must be remedied immediately. 13.5 Over/advance deliveries The supplier is only entitled to make partial deliveries, deliveries prior to a call-off and additional deliveries with the prior written consent of LAG. If the supplier forwards the goods contrary to this provision to a forwarding agent, freight carrier or similar agent commissioned by DC, the supplier bears the risk until acceptance at LAG's receiving plant. Logistics costs for the storage or return of unauthorised over/advance deliveries are assumed by the supplier. 13.6 Weight determination The supplier is responsible for the proper determination of the gross weight and loading weight of the consignment. In case of faulty weights, LAG will charge the additional freight costs plus a processing fee to the supplier. 13.7 Duty to provide information Changes in the place of dispatch, for example due to relocating production to another production plant of the supplier or setting up a distribution centre deviating from the previous facility, have to be communicated in writing to the purchasing department, central transport logistics, transport logistics of the plant, scheduling of the plant, load carrier planning, empties dispatch and the forwarding agent six weeks before the change.

13.8 Driving bans In case of delivery conditions in accordance with Incoterms 2010/group D, the supplier shall ensure that the delivery of goods is ensured even in the event of the imposition of driving bans. 13.9 Returned goods Returns of goods arising from the fault of the supplier shall be organised by LAG, unless otherwise agreed in writing beforehand. The costs are borne by the supplier. 14. Shipping methods 14.1 Parcel shipments For ‘FCA (... named place)’ shipments and other delivery terms in accordance with Incoterms 2010/groups E and F, all parcel shipments up to 32.00 kg are to be delivered to the parcel service specified and commissioned by LAG. 14.2 Lorry transport The supplier shall ensure that only properly employed drivers are used in accordance with Sections 7b and c of the Freight Traffic Act (GüKG) within the scope of service provision for LAG. LAG reserves the right to check and document compliance with this obligation within the scope of legal possibilities. In the event of non-compliance with this obligation, the supplier shall indemnify LAG against claims of third parties insofar as the supplier is responsible for these. 14.3 Rail transport Rail transport is only permitted if expressly requested by LAG, and if the settlement arrangements have previously been agreed in writing on a case-by-case basis. 14.4 Customs documents The forwarding agent must be provided with all documents and information relevant for customs, such as preference papers (EUR. 1, UZ form A and commercial invoice in triplicate). 14.5 Goods labels All packages and load carriers (all single load carriers/small load carriers/special load carriers and large load carriers for one container) must be provided with a barcoded goods label in accordance with VDA recommendation 4902 in the current version. The field contents as well as any deviations from the aforementioned VDA recommendation can be found in section 8.

14.6 Loading Loading and dispatch must be carried out immediately after the vehicle has been provided. Insofar as loading is carried out by the supplier, the supplier must load the goods so they are safe for transportation and follow the instructions of the freight forwarder’s drivers for safe loading. 14.7 Dispatch times

• General cargo up to 2.5 tons or up to 10 cbm max. 30 minutes

• Partial loads up to 10 tons or up to 40 cbm max. 45minutes

• Full loads max. 60 minutes At the request of the forwarding agent, the supplier is obliged to confirm the beginning and end of vehicle provision on a routeing slip. Delays in dispatch and inappropriate loading and waiting times lead to additional costs that have to be borne by the supplier. 14.8 Proof of delivery If damages or deviations in the scope of delivery are determined by LAG upon receipt, LAG may demand the submission of a written declaration from the supplier within two working days regarding the undamaged and complete handover of the delivery to the forwarding agent commissioned by LAG. 14.9 Special delivery runs Short-term unscheduled special delivery runs are usually organised by the supplier and handled by the forwarding agent selected by LAG in consultation with the supplier. Approval is generally issued by material scheduling of the LAG plant in coordination with the supplier. LAG will settle the costs of special delivery runs according to the originator. 14.10 Production supply In case of complaints regarding the goods or in case of disruptions along the transportation route, the supplier must ensure that replacement deliveries are possible at any time for the receiving plant or for the assigned forwarding agent.
