Contract Commissions
• Lease commissions are paid on Aggregate Lease Value• Fully serviced annual rent to be paid by VA for the firm term of the lease
for purposes of calculaNng the Contractor’s commission. The AggregateLease Value shall include‑
– (i) the iniNal fully serviced annual rent to be paid by VA on all space leased by VA,including base rent, base operaNng costs, and base real estate taxes, and
– (ii) any fixed annual or other periodic annual rent step changes (either increases ordecreases) and/or fixed annual or other periodic rent escalaNons.
• The Aggregate Lease Value shall not include‑– (iii) any rental abatement provided to VA pursuant to the Lease;– (iv) any annual rental escalaNons covering operaNng expense and/or real estate tax
increases during the lease term,– (v) any addiNonal amounts paid by VA for services over and above those furnished by
Lessor as a part of the Lease (ie, any amounts paid by VA in lump sum),– (vi) lump sum payments to pay for tenant improvements, and
• Commissions will not be collected on opNon periods or for leaseterms beyond the firm term of the lease.

• In no event will any task order exceed $1.5 million• All commissions are paid by the lessor, unlessotherwise agreed
• In the event a lease is awarded and the successfulofferor does not pay the commission as requiredwithin the solicitaNon for offers for that project, VA,in its sole and absolute discreNon, may include theopNon in the lease to abate the rent in order toreimburse the Contractor for any payment undulywithheld by the lessor.

• Purchase Price, as described in the SecNon 3,consists of the purchase price of the property paid atclosing by VA. It does not include any closing costs,such as recordaNon fees, aPorney’s fees, or anyother fees paid by VA to the landowner or anotherparty, at, before, or following closing. In the eventthe land is a donaNon, the land value will bedetermined by a current fair market value appraisal,commissioned on behalf of the Government, asconfirmed by a review appraisal.

Module 3 & 4: Fixed Price Fees
• All inclusive mark-‐up• VA pays upon receipt and acceptance of finaldeliverable
• Includes: administraNve fees, profit and overhead• Does not include: cost of deliverable• Broker is responsible for providing subcontractorscapable of performance; VA retains the right toaccept or reject subcontractors but will not requiremulNple bids

Training
• During the term of the contract, VA may hold "In-‐house" training on various subjects related toFederal real property work that the Contractor maybe invited to aPend. There is no charge for thetraining. If Contractor personnel aPend, it shall be attheir own cost.
