Product Disclosure Statement (PDS)Motor Vehicle Lease Protection Insurance

The Purpose of this PDS

This Product Disclosure Statement (PDS) contains important information as required under the Corporations Act2001 (Cth) and has been prepared to assist You to:

· Decide whether this product will meet Your needs; and

· Compare this product with any other products You may be considering.

This PDS sets out significant benefits and risks of the policy. It is designed to help You decide if the cover is rightfor you. Any advice is general and does not take into account Your individual needs and circumstances. For fulldetails of the benefits, limitations, exclusions, terms and conditions You should read the insurance policydocument carefully.

The Issuer

This product is administered by Jardine Lloyd Thompson Pty Ltd (JLT) (ABN 69 009 098 864) (AFS licence No.226827) of Level 37, Grosvenor Place, 225 George Street NSW 2000 acting as agent of Berkley InsuranceCompany ( ABN 53 126 559 706 ) ("the Insurer"), who underwrites the policy. In arranging this insurance JLT isacting under a binder agreement and as an agent of the Insurer.

JLT is part of the Marsh & McLennan Companies (MMC) group of companies.

Cooling – Off Period

We will refund all premium for cover under the insurance policy if You request cancellation of the insurance policywithin 21 days of its commencement. To do this You must advise Us in writing. You will not receive a refund ifYou have made a claim under this Policy during the cooling off period.

Privacy

Jardine Lloyd Thompson (and its subsidiaries and related entities) (JLT) is committed to the protection of yourpersonal information. JLT is subject to the Australian Privacy Principles (APPs) under the Privacy Act 1988 (andsubsequent amendments). The APPs govern the way we collect, use, disclose and secure personal information.They also permit you to access the information we hold about you in order to correct or update it. Suchinformation may be held on JLT’s behalf by its agents or other service providers that we may appoint.

As it is impractical for us to deal with you unless you have identified yourself you are unable to have an option ofnot identifying yourself or using a pseudonym when dealing with us. Our operational and legal obligations willgenerally require that you identify yourself to us in order for us to manage your claim and or provide you with ourservices.

JLT may collect and hold personal information such as your name, age, address, contact details, gender andother information. JLT may also hold and collect sensitive information such as your health information includingmedical history and reports, occupation and employment details, insurance details and other information relevantto your insurance, risk management, claim management and related needs. JLT will only collect and holdsensitive information if you consent and/or other requirements of the Privacy Act have been met.

Personal information we collect will be used principally for the purpose of approaching the insurance/reinsurancemarket, placing insurance, claims handling, risk management and premium funding. We may also use yourpersonal information to provide you with information about other products and services that may help you tounderstand and make decisions about your insurance/reinsurance and risk management needs. Sensitive

information (for example health information) may generally only be collected and used if you consent and/or otherrequirements of the Privacy Act have been met.

Where we receive unsolicited personal information, we will determine whether we would have been permitted tocollect the information. If so we will ensure that any relevant APPs will apply to that information. If the informationcould not have been solicited by us, and the information is not contained in a Commonwealth record, we willdestroy or de-identify that information as soon as practicable, but only if it is lawful and reasonable to do so.

We will only hold and use personal information about you that was collected for a particular purpose (the primarypurpose) and will not use or disclose the information for another purpose (the secondary purpose) unless youhave consented to the use or disclosure of the information; or a permitted exception under the Privacy Act inrelation to the use or disclosure of the information applies. If subsection 16B(2) of the Privacy Act applies inrelation to the collection of the personal information by JLT we will take such steps as are reasonable in thecircumstances to ensure that the information is de-identified before we disclose it. We will not use any personalidentifiers issued by a government agency (e.g. Tax file number or Medicare number) as an identifier in ourrecords systems. Should legislation requires us to ask you to provide your tax file number we will only use thatnumber for the purposes permitted by legislation and not as a general means of identifying you.

Where necessary, we may disclose information about you to other JLT Group companies and third partiesincluding but not limited to insurers, re(insurers) and insurance intermediaries, contracted outsource providers,government agents, data collection and verification agencies, loss adjusters and assessors, suppliers,investigators and recovery agents, police, law and credit enforcement bodies and agencies, legal advisors,medical, health and case managers and service providers, actuaries and accountants, contracted advisors andservice providers, your employer, other parties as required by law and/or the agent of any of these.

JLT has data quality procedures in place to check that personal information we hold and use about you isaccurate, complete and up-to-date. Your personal information is held securely at all times and we take steps toprotect it from misuse and loss, and from unauthorised access, modification or disclosure.

We retain most information relating to you for at least 7 years in order to meet legal and business requirements.Once information is no longer required, it will be destroyed in a secure manner.

In the event that of a data breach relating to personal information we hold about you, such as loss of, orunauthorised access to the information, we will take steps to contain and remedy any effects of the breach. Wewill also assess the risk of harm to you as a result of the breach. Where required under the Privacy (Data BreachNotification) Act 2017, we will notify both you and the Office of the Australian Information Commissioner of thebreach.

You have a right to access any personal information that we hold about you on written request, unless one of theexceptions in the APPs applies. A reasonable charge may apply to gain access to information. You will beadvised of any charges that may apply when you make a written request. If we decline your request to provideaccess to your personal information, we will provide the reasons in writing and provide details of how you canaccess our complaints process.

To assist us in maintaining correct records we ask you to inform us in writing of any changes in your personalinformation provided to us.

If you establish that information held is not accurate, complete or up to date, then we will take reasonable steps tocorrect the information unless it is impractical or unlawful to do so. If you establish that information held is notaccurate, complete or up to date and we have shared that information with another APP entity, then if you requestus to notify those entities we will take reasonable steps to do so unless it is impractical or unlawful to do so.

We may transfer your personal information overseas where necessary for the purposes described above. Forexample some insurers are based overseas and we need to provide your personal information to them to arrangeyour cover.

We will only transfer your personal information overseas if:

· we reasonably believe that the foreign country has substantially similar privacy obligations; or

· you consent; or

· we have taken reasonable steps to ensure the recipient will not hold, use or disclose the information in amanner inconsistent with the APPs.

Your personal information may be sent to our administrative processing centre in Mumbai (India) or Kuala Lumpur(Malaysia) and to other JLT Group companies, insurers, reinsurers and other third party service providers (e.g.data storage providers) in the United Kingdom, Singapore, Hong Kong, the United States of America andelsewhere.

When we send information overseas, in some cases we may not be able to take reasonable steps to ensure thatoverseas providers do not breach the Privacy Act and they may not be subject to the same level of protection orobligations that are offered by the Privacy Act. By proceeding to acquire our services and products you agree thatyou cannot seek redress under the Privacy Act or against us (to the extent permitted by law) and may not be ableto seek redress overseas. If you do not agree to the transfer of your personal information outside Australia, pleasecontact us.

When you provide us with personal information about other individuals, we rely on you to have made them awarethat you will or may provide their information to us, the purposes we use it for, the types of third parties wedisclose it to and how they can access it (as described in this document). If it is sensitive information we rely onyou to have obtained their consent to the above. If you have not done either of these things, you must tell usbefore you provide the relevant information.

If we give you personal information, you and your representatives must only use it for the purposes we agree to.

Where relevant, you must meet the requirements of the APPs when collecting, using, disclosing and handlingpersonal information on our behalf.

You must also ensure that your agents, employees and contractors meet the above requirements.

We may send you direct marketing communications and information about our products and services that weconsider may be of interest to you. If you choose not to receive this information from us, you can opt out bycontacting your account executive or our Privacy Officer.

Our websites may use analytics tools provided by third parties to assist in analysing website traffic and web pageusage and collect information such as referring URLs, exit URLs, OS versions, browser versions, browserlanguage, site navigation, IP addresses, cookies, and other user usage information. The information is compiledinto statistical reports and is used when structuring and optimizing the website in order to better suit user needs.

If you have any complaints or concerns about privacy matters please advise JLT’s Privacy Officer in writing(contact details below). JLT aims to investigate and respond to any complaints in writing within 30 days, but insome cases it may take longer. If the complaint is not dealt with to your satisfaction you may contact the Office ofthe Australian Information Commissioner directly (see details below).

Before you enter into an insurance contract, you have a duty of disclosure under the Insurance Contracts Act1984.

If we ask you questions that are relevant to our decision to insure you and on what terms, you must tell usanything that you know and that a reasonable person in the circumstances would include in answering thequestions.

You have this duty until we agree to insure you.

If you do not tell us something

If you do not tell us anything you are required to tell us, we may cancel your contract or reduce the amount we willpay you if you make a claim, or both.

If your failure to tell us is fraudulent, we may refuse to pay a claim and treat the contract as if it never existed.

How to make a claim

In the event of a claim arising immediate notice should be given to Echelon Australia Pty Limited. Contact detailsare provided in the Policy wording.

Taxation

Premiums may be tax deductible where You purchase Your insurance policy for business purposes.

This tax information is a general statement only. See Your tax adviser for information about Your personalcircumstances.

Significant Benefits and Features of the Insurance Policy

Provides cover in the event of involuntary Unemployment due to You being made redundant, retrenched orthe early forced cessation of Your Fixed term employment contract;· for Your monthly lease payments up to 11 months of payments or $15,000 ( whichever comes first ),· Or You can choose to hand the vehicle back at any time after We have paid 3 monthly repayments, and

before the sixth (6) payment is to be made by Us and claim the difference between the Fair sale Priceand the amount required to early terminate your Lease up to the balance of $15,000, less the amountsalready paid by Us under the monthly lease payment benefit,

· Includes a Death and Disablement benefit of $10,000 following Accidental Death or PermanentDisablement.

Significant Risks / Exclusions.

Claims may be refused in certain circumstances. No cover is provided:

· for termination of employment that was not permanent, except if You are a Fixed - Term Employee.;· if you resign voluntarily;· if You are self-employed;· if termination of employment is related to Pregnancy;· for any event arising from alcoholism, drug addiction, and the influence of intoxicating liquor or drugs.

Overdue Premium

The premium for this insurance must be paid each month otherwise the Policy may not operate.

Costs

The premium payable by takes into consideration the amount of Your Monthly Lease Payment and the state orterritory where You reside.

Premiums are subject to Commonwealth and State taxes and/or charges where applicable. They can includeGoods and Services Tax, Stamp Duty, and any other charges that we advise You. We will tell You when theyapply.

Please note that the cover We provide is subject to payment of the monthly premium, except during the periodYou are receiving a claim payment for Unemployment under this Policy.

Dispute Resolution

We have efficient dispute resolution procedures in place to help You. If You have a complaint, You cancommunicate it to Your JLT Adviser in the first instance. Alternatively, You can refer it directly to JLT’s ComplaintsManager in writing, by telephone, or via email – whatever is most convenient to You. We will need You to provideus with comprehensive details to help Us investigate Your complaint further. All information will be treated in thestrictest confidence.

We belong to an approved external dispute resolution scheme designed to provide independent assistance toYou. The Australian Financial Complaints Authority (AFCA) is a free service for consumers with complaintsconcerning the financial services industry. The matter will then be referred to the JLT Complaints Manager forfurther investigation.

While Berkley Re Australia is not a signatory to “The Insurance Code of Practice” and do not currently participatein any external dispute resolution mechanisms it undertakes to act as if the policy were covered by the code andwill agree to participate in a dispute resolution process facilitated by the Financial Services Ombudsman (FOS) inthe unlikely event that a Dispute remains unresolved.”

Motor Vehicle Lease Protection PolicyLimit of LiabilitySection A: $10,000 any one claim and in total (inclusive of GST)Section B & C Limit: $15,000 any one claim and in total (inclusive of GST)

The maximum total payment We will make in the aggregate under Benefit B & C for each Lease Agreement willbe $15,000 (inclusive of GST), even if there are multiple incidences of Unemployment during the term of YourLease Agreement.

The CoverWe will pay the following benefits, subject to the terms, conditions and exclusions of this Policy:

Section A– Death and Disablement Benefit

In the event of Bodily Injury resulting in any of the following, occurring during the Period of Insurance, We will payto You or Your estate a maximum lump sum benefit of $10,000:

1. Accidental Death

2. Permanent Disablement

3. Quadriplegia

4. Permanent loss of use of one or more Limbs

5. Permanent loss of sight in one or both eyes

If Your body has not been found within twelve (12) months from the date of disappearance, sinking or wrecking of a conveyance in which You were travelling, We will presume that You have died and this benefit will be payable. Payment will only be made if the legal representatives of Your estate give Us a signed undertaking that it will be repaid to Us if it is later found that You did not die.

Section B– Monthly Benefit

In the event You become involuntarily Unemployed due to retrenchment, redundancy or the early forced cessation of Your Fixed term employment contract during the Period of Insurance, We will pay to Your Lessor Your ongoing Monthly Lease Payment whilst You remain Unemployed.

The maximum amount We will pay per month is Your Monthly Lease Payment (inclusive of GST).

We will pay this benefit for a maximum of eleven (11) months, during the term of Your Lease Agreement.

Payments will commence from the second Monthly Lease Payment due from Your final day of employment and cease the day You resume employment. This monthly waiting period will apply to each individual claim. Where your lease agreement has been refinanced from an existing nlc lease and You had a LeaseGuard insurance policy we will waive the one month waiting period.

No cover applies for the period of the lease which falls outside of the Fixed-term employment contract period.

Section C - Hand Back Benefit

In the event You become involuntarily Unemployed due to retrenchment, redundancy or the early forced cessation of Your Fixed Term employment contract during the Period of Insurance and if We have paid three (3) Monthly Lease Payments and You still remain involuntarily Unemployed, You can decide to terminate Your Lease Agreement and we will pay to Your Lessor the amount required to early terminate Your Lease Agreement. This is subject to;

· You must terminate after We have made three (3) payments and before the sixth (6) payment is to bemade by Us.

Where the Lease Agreement is a finance lease, We will pay the difference between the Fair Sale Price of the vehicle and the amount required to early terminate Your Lease Agreement; or

Where the Lease Agreement is an operating lease, and the vehicle is returned to nlc, We will pay the early termination amount.

Payments will commence from the second Monthly Lease Payment due from Your final day of employment and cease the day You resume employment or terminate Your Lease Agreement. Additional Benefit

Carer Benefit

If, during the Period of Insurance, You resign Your position with Your current employer in order to take up the full time care of Your partner or Your child(ren) on Doctor’s advice, and You terminate Your Lease Agreement, We will pay will be the difference between the Fair Sale Price of the vehicle and the amount required to early terminate Your Lease Agreement. Where the Lease Agreement is a finance lease, We will pay the difference between the Fair Sale Price of the vehicle and the amount required to early terminate Your Lease Agreement; or Where the Lease Agreement is an operating lease, and the vehicle is returned to nlc, We will pay the early termination amount. The Maximum benefit limit We will pay is $5,000 or Your ongoing Monthly Lease Payment for a period of 6 months whichever is the lesser

This benefit does not apply if Your resignation is due to pregnancy or childbirth (including any associated conditions).

Exclusions

The Insurer shall not be liable to make any payments which arise directly or indirectly out of or are in any way connected with:

(a) Termination of any employment unless such employment was permanent employment. Provided thatthis exclusion does not apply to employees on Fixed-term employment contracts but only for the term ofthe Lease Agreement which is within the Fixed-term contract period.

(b) Termination of any casual, seasonal or intermittent contract or completion of specified work.

(c) Voluntary resignation, voluntary or mutually agreed redundancy or abandonment of employment.

(d) Termination of employment caused through misconduct, non-performance, retirement, termination dueto disciplinary action by Your employer, breach of employment contract or You being unable or unsuitedto perform the work that you were employed to undertake.

(e) Termination of employment as a result from an accident, sickness or disease.

(f) Any lease other than the Lease Agreement scheduled in this Policy.

(g) Termination of Your employment within the first thirty (30) days of the Period of Insurance, except whereYou have extended Your Lease and We have agreed to extend the Policy.

(h) Termination of Your employment during or at the completion of Your initial probation period.

(i) Any outstanding Monthly Lease Payment due and unpaid at the time of termination of employment.

(j) You being aware of circumstances before the commencement date of this policy that could give rise toYou being made unemployed.

(k) Terrorism or Terrorism like activities, war, invasion, acts of foreign enemies, hostilities or warlikeoperations (whether war be declared or not), civil war, mutiny, civil commotion assuming the proportionsof or amounting to popular rising, military rising, insurrection, rebellion, revolution, military or usurpedpower, martial law, or confiscation.

(l) Nationalisation or requisition or destruction of property by or under the order of any Government orpublic or local authority, terrorism or any action taken in controlling, preventing, suppressing or in anyway relating to any of the above.

(m) Any event arising from;

i. Alcoholism, drug addiction, the influence of intoxicating liquor or drugs.

ii. Any intentionally self-inflicted injury or illness.

iii. Engaging in a criminal act.

(n) Industrial lockouts or taking part in riots, civil commotions or strikes. Provided that this exclusion doesnot apply to Section A– Death and Disablement Benefit.

(o) Termination of employment as a result of any event related to pregnancy or maternity leave.

(p) You being Self-Employed.

(q) The first Monthly Lease Payment due subsequent to You being made Unemployed.

(r) Any pre-existing or work related illness or injury.

Definitions

The following definitions apply to words used in this Policy when they begin with a capital letter:

Accident means a sudden, unexpected, unusual, specific, violent, external event which occurs at a single identifiable time and place during the Period of Insurance and independently of all other causes, results directly immediately and solely in physical Bodily Injury.

Accidental Death means death occurring as a result of Bodily Injury while this Policy is in force, caused by an Accident.

Bodily Injury means an identifiable physical bodily injury resulting from an Accident and which results in Accidental Death, Permanent Disablement, Quadriplegia and permanent loss of Your limbs or eyes. Bodily Injury does not include any consequences of a Bodily Injury that are ordinarily described as being a sickness, illness or disease including any psychological injury. Bodily Injury does not include any pre-existing condition.

Doctor means a legally registered medical practitioner who is not You, Your relative, Your business partner, Your employee or Your employer.

Fair Sale Price means the value Your Lease provider achieved on the sale or disposal of Your vehicle. This value cannot be reduced by any damage to the vehicle that is not considered fair wear and tear by nlc.

Fixed-term employee means an employee who is employed on a fixed period contract.

Lease Agreement means the lease agreement between the Lessor and You.

Lessor means nlc Pty Limited or the leasing company who approved Your lease and is named in Your Lease Agreement as the company providing the credit approved finance.

Monthly Lease Payment means the monthly periodic payment required to be made by You to the Lessor as specified in Your Lease Agreement. This does not include any operating or running costs, or any residual or balloon payments.

Period of Insurance means the period of time from the commencement of Your Lease Agreement to the date it is terminated, discharged, refinanced, or nlc ceasing to manage Your Lease Agreement on behalf of your Employer, unless the Policy is cancelled.

Policy means the agreement between You and Us to provide insurance cover according to the terms, conditions and exclusions contained in this document.

Permanent Disablement means total disablement due to Bodily Injury, which is certified by a Medical Practitioner as beyond hope of improvement and which entirely prevents You forever from engaging in any employment that You are reasonably suited by way of education, training and experience.

Quadriplegia means permanent, total and entire paralysis of both arms and both legs.

nlc means nlc Pty Limited ABN 57 052 442 645 of Level 3, 102 Albert Road, South Melbourne, VIC 3205.

Terrorism means an act or acts (whether threatened or actual) of any person or persons involving the causing or occasioning or threatening of harm of whatever nature and by whatever means made or claimed to be made in whole or in part for political, religious, ideological or similar purposes.

Unemployed (or Unemployment) means the involuntarily termination of Your employment where You:

· have been retrenched or made redundant at the instigation of Your employer,· have registered as being unemployed with either Centrelink or equivalent government authority or with a

recognised recruitment or personnel agency, or You can provide other satisfactory evidence ofunemployment,

· are in receipt of unemployment benefits (unless You are not eligible to receive them because of the levelof income earned by You and/or Your spouse or because of the value of Your assets), and

· are actively seeking full time work.

We/Us/Our means Jardine Lloyd Thompson Pty Ltd as agent under an authority from Berkley InsuranceCompany.

You/Your means the person who is named as the Lessee and subsequently as the Insured Person under thispolicy.

General Conditions

1. Payment of premium

We will only pay for a benefit under Your policy if You have paid the monthly premium, except during the periodYou are receiving a payment from Us.

2. Australian law

Your Policy is governed by the laws of the state or territory where You normally reside and any dispute or actionin connection with Your Policy shall be conducted and determined by the courts of that state or territory.

3. Cancellation

You may cancel Your Policy at any time by writing to Us advising that You wish to cancel Your Policy.

The cancellation will take effect from the date Your paid premium expires. This will be midnight (12 pm) on theday before Your next Monthly Lease Payment is due.

We may cancel Your Policy in any of the circumstances set out in, and in the manner allowed by, the InsuranceContracts Act 1984. We will advise You in writing if the Policy is cancelled by Us.

No refund of any premium payable will be made for cancellation, finance payout or alteration of the Leaseagreement for any reason.

4. Subrogation

If We make a payment under this Policy, We are subrogated to all of Your rights of contribution, indemnity orrecovery. You must not give up any of these rights without Our prior written consent. You must also do all thingsreasonably necessary to enable Us to sue in Your name for contribution, indemnity or recovery.

Claims Conditions & Procedures

1. How to make a claim

If You or Your legal representative on Your behalf wish to make a claim, You or they must contact Echelon Australia Pty Limited, ABN 96 085 720056 (a wholly owned subsidiary of Jardine Lloyd Thompson).

Claim form and the details for the supporting evidence required to make a claim will be provided to You by Echelon upon notification of Your intention to make a claim.

Payment of the Section B- Monthly Benefit and Section C- Hand Back Benefit will be subject to verification. This will involve the completion of Statutory Declarations, substantiation from your ex-employer, together with registration with Centrelink or similar job search agencies. Documentation in support of this initiative will be required to secure the ongoing monthly benefit payments. You must continue to actively seek employment to receive any payment by this Policy.

To make a claim for the Death Benefit, the legal representative of Your estate must provide a certified copy of the death or medical certificate advising of Your death.

The Insurer will not be liable to make any repayments if You have provided false, misleading or incomplete information.

2. Payment of claims

We shall pay the Section B- Monthly Benefit and Section C- Hand Back Benefit under this policy to Your Lessor so that it can be applied to Your Lease Agreement.

We will pay the Section A- Death and Disablement Benefit to You or the legal representative of Your estate.

The receipt of such benefits by the Lessor or Your legal representative will discharge Us with respect to Our liability to pay all claims under Your Policy.

We will pay each Monthly Lease Payment (except for the first Monthly Lease Payment) and cease any further payment’s the day You resume employment. We will not make any payment (or partial payment) from the day that You have resumed employment.
