Dear Sir,

The point wise reply of the issues raised by the Concessionaire in his letter referenced 1 above

is submitted as below.

Dispute item no. 1: Release of O&M erant

1) As per the provisions of clause 23.1 of Concession Agreement, NHAI agrees to provide

to the Concessionaire cash support by way of an outright grant aggregating Rs. 99.00

crores (Rs. Ninety Nine Crore only) during the concession period. During construction

period grant to be paid was Rs. 39.60 Crores and during O&M period the grant to be

paid was Rs. 59.40 Crores. The yearly grant to be paid to the Concessionaire during

operations period is Rs. 14.85 crores for 4 years.

The grant amounting to Rs. 39.60 crores of construction period has already been

released. The quarterly O&M grants from 1st to 14th have been recommended by the IC

and the NHAI has released 1st to 13th quarterly grants amounting to Rs. 48,26,25,000/

to the Concessionaire. The 14th grant is yet to be released by NHAI. The 15th and 16th

quarterly grants have not been recommended by the IC due to non-completion of 5th

year periodic renewal from Km 120.012 to 174.741(Mile Stone-i) by the

Concessionaire so far. This was supposed to be completed by 30.03.2013.

Dispute item no. 2 : Amount deposited in NHAI Damaee Payment Sub Account of the

Escrow Account

As per the provisions of the CA, the appointed date of the Project was 20.03.2006 and

Scheduled Project Completion date 20.03.2009.

The first Provisional Completion Certificate (PCC) was issued to the Concessionaire on

30.03.2008 for the continuous stretch Km. 119.567 to Km. 174.296 (54.729 Km completed

stretch) (Annexure 'A') and finally the Project Highway was completed on 25.09.2009

(Annexure '8').

On recommendation by the predecessor IC Mjs ICT, the variation committee of NHAI granted

EaT upto 06.05.2009 (47 days) to the Concessionaire vide letter no.138 dated 17.06.2009

(Annexure 'C'). The Concessionaire could not complete the work in extended period (Le. upto

06.05.2009).

The Clause 6.1 of the CA provides that in case the Concessionaire defaults in completing the

construction work of the entire Project Highway within the stipulated Construction Period,

any fee notification issued earlier authorizing levy of user fee on part completion of the

Project Highway shall be de-notified and a fresh notification authorizing the Concessionaire to

collect user fee shall be issued only after completion of the entire Project Highway.

Concessionaire made representation to NHAI for extension of construction period and

requested for consideration of EaT for the balance work.

The variation committee of NHAI decided to continue the toll collection in the interest of the

project so the Concessionaire, subject to the condition that the Concessionaire should deposit

the collected toll beyond 06.05.2009 to NHAI till it achieves COD for the entire project reach.

The expenses towards the toll collection as per prevailing norms shall be retained by the

Concessionaire from the toll collection. The NHAI also decided that a supplementary

agreement should be signed with the Concessionaire (Annexure 'C'). In view of the decision of

NHAI a supplementary agreement was signed between NHAI and Concessionaire Mjs JMTPL

on 09.09.2009 (Annexure 'D').

The toll amount of Rs. 9,12,45,311j- collected form 07.05.2009 to 25.09.2009 has been

deposited in NHAI Damage Payment Sub Account of the Escrow Account. Subsequently the

Concessionaire applied for Extension of Time for the period from 07.05.2009 to 25.09.2009.

The final time extension for project completion has been recommended by predecessor IC Mjs

ICT up to 25.09.2009 vide his letter no. 4520 dated 02.11.2010 (Annexure 'E'). The EOT is

under consideration with NHAI.

The release of amount is subject to issue of completion certificate and Extension of Time

(EOT) ~n merits of the case and which is to be decided by the Competent Authority of NHAI as

per the condition of supplementary agreement.

Dispute item no. 3: Payment of Utilities Shiftine.

As per the policy of NHAI, the utilities on BOT projects were got shifted by the Concessionaire

under the supervision of concerned utility department. The expenditure towards shifting of

utility was to be borne by NHAI and supervision charges were deposited to concerned utility

departments.

NHAI incurred an expenditure of Rs. 15.09 crores on shifting of utilities of Jaipur - Mahua

section of NH-11, out of which Rs. 7.77 crores has been paid to Concessionaire. The

Conces?ionaire has claimed payment of Rs. 7.32 Cr. towards the final bill of shifting of utilities.

During the discussion with PD PIU it has been gathered that the balance amount has been

withheld due to conflicting view of CAG Audit team that the shifting of utilities is the

responsibility of the Concessionaire at its own cost and expenses. It has been learnt that PIU

has referred the observation of the CAG Audit team to the 3 CGM Technical Interpretation

Committee constituted by NHAI HQ regarding interpretation of conflicting provisions of

Conces!>ion Agreement.

Dispute item no. 4: COD of the Project Hiehway

The Concessionaire has claimed that the COD of the project highway is 26.09.2009 and the

consultant letter LASA/Highway/O&M/73398/Mahua-Jaipur/2014/1259 dated 15.04.2014

(Annexure 'F') regarding likely damages for delay in completing the periodic renewal work

from Km 120.012 to 174.741 should be withdrawn.

In fact the provisional completion certificate from Km 119.567 to 174.296 was issued on

30.03.2008 (Annexure 'A') and the provisional completion certificate from Km 174.741 to

229.100 was issued on 26.09.2009 (Annexure 'B') in compliance of Sub Clause 16.5 of the

Concession Agreement. The collection of toll in the above mentioned reaches was started on

31.03.2008 and 26.09.2009 respectively.

It is clear from above that two different provisional ~ertificates have been issued for the two

different reaches. The provisional completion certificate issued on 26.09.2009 is for the reach

from Km 174.741 to 229.100 (Mile Stone-2) and not for the entire reach from Km 120.000 to

228.000 as stated by the Concessionaire. Therefore the periodic maintenance (Overlay work)

from Km 120.012 to 174.741 (Mile Stone -1) is to be taken up every 5th year from COD in

accordance with the provision of Clause 3.3.7 of Schedule 'L' of the Concession Agreement.

Accordingly the work should have been completed by 30.03.2013 but the Concessionaire has

not completed it so far.

Dispute item no. 5: Reimbursement of expenditure on shiftin!: of Govt. Buildin!:s.

There were various Govt. Buildings existed in the ROW which were hampering the 4 laning

work of project highway during construction phase. The matter was taken up at the highest

level o~ Govt. of Rajasthan for relocation of Govt. Buildings. The Govt. of Rajasthan was of the

view that the Govt. Buildings which are located within existing ROW shall not to be considered

as encroachments and for relocation of such Govt. Buildings, NHAI will first construct new

structure in consultation with PWD and only then existing structures will be dismantled.

The Concessionaire has constructed Govt. Buildings which were coming in the way of 4 laning

of the project highway and handed over to respective departments.

The replacement cost the structures constructed by Concessionaire is Rs. 68,78,183.00 which

has been recommended by the predecessor IC Mis ICT to NHAI vide letter no. 4659 dated

12.03.2011 (Annexure 'G') for payment. The proposal was recommended by RO Jaipur to

NHAI HQ for approval. NHAI, HQ vide letter no.3389 dated 13.02.2013 has informed that NHAI

is not agreed to the estimates towards construction of Govt. Buildings falling within existing

ROW (Annexure 'H'). The matter may be decided as per the extent of NHAI policy.

Dispute item no. 6: Payment towards Avenue Plantation

As per the conditions of Forest Clearance under FCA, 1980 the Concessionaire is required to

plant twice the number of trees felled in the project stretch. There were 24,000 numbers trees

to be cut and accordingly Concessionaire was obligated to plant and maintain 48,000 numbers

of trees.

The Concessionaire has planted trees but not maintaining the avenue plantation. The IC

during the inspection of the project has notified the Concessionaire deficiencies in maintaining

the avenue plantation from time to time. The IC has recommended damages for shortfall in

number of trees as per the provisions of Concession Agreement. The damages have been

recovered from the Concessionaire and the Concessionaire in its claim is asking for refund of

damages which is not tenable.

The Concessionaire claims that land for avenue plantation is not available. The Concessionaire

claim regarding availability ofland is not correct.

The Concessionaire himself has completed plantation of required number of trees in the

month 'of September 2012 on the available land. The Concessionaire has informed vide his

letter dated 10.04.2012 (Annexure '1') that 43645 trees have been planted by them. The IC

vide his letter no. 394 dated 10.04.2012 (Annexure T) informed to the Concessionaire that

42984 trees have been planted and the balance plantation to be done is 5016 nos. Accordingly

the Concessionaire submitted work programme for the balance avenue plantation vide their

letters slated 23.06.2012, 19.07.2012 and 31.08.2012 (Annexure 'K', 'L" & 'M'). There were no

damages from September 2012 to December 2012 on this account as the Concessionaire had

planted 48,000 trees. This has been confirmed by IC vide his letter dated 01.10.2012

(Annexure'N'). Due to non-availability of protection of plants and inadequate measures for

maintenance of the avenue plantation, the plant mortality is high. Therefore the damages have

been levied against the Concessionaire for non-maintaining the avenue· plantation which is

obligation of the Concessionaire.

The Concessionaire has disputed the damage amounting Rs. 72.10 lacs levied for the period

11.12.2012 to 10.10.2013 in the Delhi High Court vide OMP no. 438 of 2014. The Hon'ble

Delhi High Court has directed to maintain the status quo on recovery of damages. The next

date of hearing in the matter is 03.09.2014.

-This is in reference to your letter no. 8250 dated 2114/2009 regarding ·

subject cited above.

2. The matter was deliberated in the Variation Committee meeting heHon 11th June 2009 and approval is accorded for the extension oftime proposal for 47 days '. as recommended by IC (13 days over and above 34 days approved by NHAI under Forc~ Majeure event), i.e. upto 06.05.2009. As far as the Gazette Notification· authorizing the Concessionaire for toll collection has been issued w.e.f. J1I3/2008 is concerned, it was decided by the committee to allow the Concessionaire to continue the toll collection in the interest of the project subject to the condition tl)at the Concessionaire should deposit the collected toll beyond 06.05.2009 to NHAI till it achieves COD for the entire project stretch. However. the expenses towards the toll collection as per prevailing norms of NHAI shall be retained by the Concessionaire f~~m the toll collection. The committee has also decided that a supplementary agreement should be signed with the Concessionaire to this .effect and in case Concessionaire do not agree with this arrangement the toll col1ection may _be got discontinued by the Concessionaire with immediate effect as per prov ision in the concession agreement and penalty imposed.

I The NHAI and the Concessionaire are hereinafter individually referred to as a "Party" and collectively referred to as the "Parties".

'WHEREAS the parties had executed a Concession Agreement dated 23rd

September, 2005 in respect of Improvement, Operation, Maintenance, Rehabilitation and Strengthening of existing 2 lane road and widening to 4 lane divided highway of Mahuwa - Jaipur section of NH-11 from Km. 120.00 to 228.00 in the State of Rajasthan on BOT basis under NHDP PhaseIliA.

AND WHEREAS the Concession Agreement under Clause 6.1 stipulates that the Concessionaire shall be entitled for collection of user fee upon completion of continuous homogenous stretch of 50 Km.

AND WHEREAS the Concessionaire . had completed construction of continuous stretch of 54.739 Km (from design Chainage of 120.012 to 174.741) on 31.3.2008 as confirmed by the Independent Consultant vid~ its letter-dated 30.3.2008. .

AND WHEREAS. i=l.ccordingly, the NHAI had allowed the Concessionaire to collect user fee in respect of the said stretch of 54.739 Km of the Project Highway and a Notification no. S.O. 128 (E) dated 22.1.2008 auths>rizing the Concessionaire to collect user fee had· also been got issl!-ed by the NHAI through the Government of India.

Ai'\[[) . WHEREAS in terms of . the Concession Agreement, the Concessionaire was required to complete the entire stretch of the Project

(,: '" Highway within the stipulated Construction Period Le. within 36 months , ~_ from the Commencement date of 21.03.2006.

AND WHEREAS the Concessionaire could not complete the Construction ::~ as aforesaid within the stipulated period .

AND WHEREAS the Concessionaire submitted an application for extension of time on various grounds and the Independent Consultant recommended for extension of time to the National Highway Authority of India for a period of 47 days.

AND WHEREAS on account of variolls factors, the NHAl has so far granted extension of 47 days to the Concessionaire to the stipula ted Construction Period (i.e. upto 6.05.2009), including an extension of 34 days

to the Concession Period after -considering the recommendations of Independent Consultants. However, the Concessionaire could not complete the construction even within this extended period.

AND vVHEREAS Clause 6.1 of the Concession Agreement provides that in case the Concessionaire def~ults in completing the construction work of the entire Project Highway within the stipulated Construction Period, any user fee notification issued earlier authorizing levy of user fee on part completion of the Project Highway shall be denotified and a fresh notification authorizing the Concessionaire to collect user fee shall be issued only after completion of the entire Project Highway. .

AND WHEREAS the Concession Agreement further stipulates that in case of failure of the Concessionair.e to complete the Construction works within

~ ~. the stipulated Construction Period, the Concessionaire shall further be " ' liable to pay damages to the NHAI, V'(ithout prejudice to any other rights ~ of the NHAI under the Concession Agreement.

AND WHEREAS the Concessionaire has made representation to the Independent Consultant for a review of the duration of 47 days granted as extension of time en various grounds and has requested the NHAI not to impose any penalty / damages for further delay in completion of construction works pending the resolution of the review of extension 6£ time.

1. That the action for de-notification as provided under Clause 6.1 of the Concession Agreement shall be deferred pending

''''-. consideration by NHAI on Concessionaire's request for grant of further extension of time . . However, the Concessionaire shall deposit all the toll collected by it w.e.f. -·OTOS.2009 in NHAI Damages Payment Sub-Account of the existing Escrow Account.

2. Notwithstanding any thing contained in . this Agreement, the amount so deposited in to the said NHAI Sub-account pursuant to clause 1 hereof, shall not be construed to mean damages as defined under the Concession Agreement.

3. That the amount collected for the period from 7.05.2009 till the date of this Supplementary Agreement shall be deposited (after retaining the expenses towards collection of user fee referred to in

Clause 4) in the ' said NH AI Sub-accoun t within 10 days of the execution of this Supplemen tary Agreement and thereafter .on a daily 'basis until the Provisional Completion Certificate is issued. The amount so deposited in the said NHAI Sub-account l.s irrev9_c~ble by th~ Concessionaire and·will be dealt or1y as per the written direction of NHAI.

. 4. That the Concessionaire shall be entitled to retain the expenses towards the collection of user fee as per the nOrIns of NHAI from daily toll collection a'nd the balance toll collection amount shall be deposited in the NHAI Damages Payment Sub-account of the Escrow Account in terms of Clause 1.

5. That upon the issue of the Provisional Compietion Certificate for entire project highway by the. Independent Consultant, the rights of the Concessionare in respect of the Conceesion Agr~ment shall be restored and the provision under Gause 1 above ·.requiring the Concessionare to deposit the amount of toll collection in the NHAI Damages Paym~t Sub-A.ccouct shall cease with immediate effect

. and the amount of toll collected for the entire stretch of the proj~ct . highway shall be retained by the Concessionare.

6. The amount accumulated in the NHAI Damage Payment ~ubaccount shan be appropriated in accordance to 'any further extension of time beyond 6th May 2009 granted by NHAI. ~

7. That in the· event the Concession.ab:-e is able to cbtain Provisional Completion Certificate within the extended period granted by

Without prejudice to the rights of either Party under Clause. XXXIX of the Concession Agreement, it is acknowledged by the Parnes , hereto that NHAI has the discret:ion to grant apy further extension of tiine. -'

That, in. addition to its any other obligation under the Concession Agreement, the Concessionaire undertakes to submit on weekly basis details of the vehicles passing through the user fee plaza which has to be confirmed by the Statutory Auditor on a monthly basis. _. '

That the Concessionaire agrees that any leakage in user fee collection due to any act of the Concessionaire or for any reason attributable to the Concessionaire and/or any discrepancy between actual collection of user fee. and the amount deposited with NHAI Damages Payment Sub-account shall made good by the Concessionaire and deposit the difference in the said Subaccount.

10. This Agreement is in furtherance to and not in derogation of the Concession Agreement dated September 23,2005. ' "

Dear Sir,

Please refer to Concessionaire's above cited letters in connection with "Extension of Time" for the project. As per our letter at serial no.13, we had recommended an EOT of 47 days as an interim measure for events such as Gujjar Agitation 1(29\1) May 2007 to 5th June 2007), Gujjar Agitation 11(24th May 2008 to 18th June 2010) and Trucker's Strik~(5th January 2009 to 12th January 2009) . Accordingly, the Project Completion Date got shifted to 06.05.2009 from the scheduled completion date of 20.03.2009 as per CA.

The above matter was deliberated in the Variation Committee meeting held on 11th June 2009 on the subject of interim extension of time for this project and the Variatipn Committee had accorded approval to the extension of time for 47 days, as recommended by IC (13 days over and above 34 days under Force majeure) i.e. up to 06.05.2009.

Vide letter at serial no.3, NHAI had requested us to re-examine the issue of EOT and re-submit our recommendations. We have examined the issue as per the provision of the Concession Agreement and after reconsideration, our comments are given below:

Delays due to Land Acquisition and physical possession of land for construction

There were failures on the part of the Competent Authorities to acquire land because of various reasons such as court cases, stay orders, dispute among beneficiaries, and non acceptance of compen"Sation amount by the benefiCiary, law and order problems, mutations, delay by government agencies including delay in forcible acquisition, removal of encumbrances, VIP references, etc.

On account of the above, the Concessionaire was interrupted in carrying out his obligation, due to which the following activities got affected in construction of, 4-Lan ing of the Project Highway:

Event No.1: Construction of Underpass & SelVice RO'ad at Ch 219+800.

The CA(LA) i.e. a government agency in charge of land acquisition could not procure the required land and hand it over as per schedule due to a Status Quo order from Hon'ble High Court of Rajasthan on the particular land under acquisition . l-'ience, the construction of the Underpass & Service Road was delayed.

The Status Quo order was vacated on 22.07.2008 but CA(LA) could give physical possession of the said land only on 26.08.2008 under police protection. !

Therefore, the Concessionaire could not take up the Construction work immediately after vacation of Stay Order.

Based on the assessment of work programme, we have recommended 337 days for construction of the underpass and the approaches from the date the land was made available to the Concessionaire i.e. 26.0S.2008. This comes to 83 days from 06.05.09 (Extended date of project completion) which is 28.07.2009. The details of the said issue have already been submitted vide our letter no 3848 dated 7th

In our view, this delay comes under Clause 15.4 of CA.

The proposed EOT of 83 days ' starting from 06.05.2009 shall be limited to Extension of Construction period only and no Damages for the delay need be imposed on the Concessionaire as per Clause 15.4 ofCA.

Event No.2: Delay in physical possession of land at Kanota ;and Pa/cli M~na for construction

Concessionaire has demonstrated delay in obtaining physical possession of land resulting in delay in construction of 4-lanin9 of Highway at Kanota from Ch 220+100 to Ch 221+000(B/S) and Paldi Meena (Ch 225+400 to Ch 225+650 LHS). The details of the said issue have already been submitted vide our letter no 3848 dated 7th Sep 2009 . . The delay is on account of the fact that the land free from encumbrances as per Schedule 'H' of CA could not be handed over by CA (LA) before 15.06.2009. Hence, the date of handing over is considered to be 15th June 2009.

The Independent Consultant has recommended the extension of time for 93 days for completing the four lane carriageway from the date of possession! handing over of the land .

This delay is on account of an event beyond the reasonable control of the Concessionaire, as CA (LA) Jaipur i.e. a Govemment Agency failed to handover the land: In our view, this delay comes under Clause 15.4 of CA.

The Concessionaire is, therefore, entitled for an EOT of 93 days starting from 15.06.2009 for completing the four lane carriageway. This EOT is applicable to the construction period only and no Damages for , delay need be imposed on the Conc~ss ionaire as per Clause 15.4 of CA for this extended period. (t b . '1 . 01 Approval of PCC (Period from 16.09.2009 to 25.09 2009) :

IC has recommended vide letter no 4279 dated 04.05.2010 that the delay from 16.09.09 to 25.09.2009 in obtaining PCC by the Concessionaire is not attributed to Concessionaire since the issue of PCC was under process at NHAI HQ and recommended that the Concessionaire be granted EOT up to 25.09.2009. Under the circumstance, Concessionaire is not liable to pay Damages as per clause 15.4 of Concession agreement.

Conclusion: -

For Event No.1, the Concessionaire is entitled for 83 days of extension from 06.05.2006 (date of EOT already granted). Therefore extended date of completion would get shifted to 28.07.2009 and

For Event No.2, the Concessionaire is entitled for 93 days of extension from 15.06.2009. Hence the extended date of completion would get shifted to 15.09.2009 for completion of four lane carriageway.

The delay in the period from 16.09.2009 to 25.09.2009 is not attributable to the Concessionaire as the issue of PCC was under process at NHAI HQ during that period. Hence the Concessionaire is entitled for EOT till 25.09.2009 and is not liable to pay any camages as stipulated in clause 15.4 of CA.

Dear Sir, It is to inform you that in accordance with the provisions of Clause 3.3.7 of Schedule 'L' of the Concession Agreement, the Concessionaire is obligated to carry out the work of Periodic Maintenance of the carriageway once every 5th year (from COD) and in the last year of Concession period. The Commercial Operations for of MS-1 was achieved on 30.03.2008 and accordingly the work of Periodic Maintenance of the carriageway in MS-1 should have been completed by 30.03.2013. You had submitted the work programme for the over lay work vide your tetter referenced-i. The said work was scheduled to be completed by the end of June 2013 as per the programme. Thereafter you had informed vide your letter referenced 4 that the work will be completed by December 2013 after the monsoons. Then you had again informed us vide your letter referenced- 8 that "Due to some unavoidable circumstances, the work of MS-1 could not be completed by the specified date and the work is in progress & we are trying our besf to complete at an early date. In this regard please refer our letters referenced- 2 3, 5, 6 and 7 by which we had requested to complete the proposed over lay work at the earliest. This is to mention herewlth that the work of periodic maintenance is not yet completed. Hence you have failed to fulfil your contractual obligations and have become liable for damages under Clause 18.12118.13 of the Concession Agreement. The cost of the remaining work shall be verified and the damages shall be intimated to you accordingly_ You are therefore once again requested to complete the oVer lay work of MS· 1 at the earliest so that subsequent levy of damages could be avoided. Dear Sir,

With reference to our letter dated 30.03.2012 reverenced as above and meeting with RO NHAI Jaipur on

05.03.2012 you have likewise before you failed to achieve the compensatory afforestion of 48000 plants as

per your obligations under the Concession Agreement the status as on 10.04.2012 on the basis of joint

verification with your representative is given here as under:-

1- Status of plants as on 05.03.2012

3- The status of Plantation as on 10.04.12

It has been found that the survival is being hampered for want of adequate grooming of plants and

therefore please note that dead / damaged plants are replaced well grown and healthy plants by you

regularly so that as per your contractual obligation the strength of alive grown up trees does not fan below

48000 at any time during the Concession Agreement.

And further you are also obligated to provide adequate protection to the avenue plantation conforming to

Clause11 .1 5 of IRC:SP-21 and your undertaking dated 16.07 .2011 but contrary to your contractual

obligations you have continued non compliances.
