Article 11: In accordance with the relevant laws and regulations issued and published to

the public by the National Bank of Cambodia, the Royal Government shall

permit investors with investments in Cambodia to purchase foreign currencies

through the banking system and to remit abroad these currencies for the

discharge of financial obligations incurred in connection with their

investments. This concerns the following payments:

1. Payment for imports and repayment of principal and interest on

international loans.

2. Payment of royalties and management fees;

3. Remittance of profits;

4. Repatriation of invested capital in compliance with Chapter 8.

Article 11: Conformment aux lois affrentes et aux dispositions diffuses par la Banquenationale du Cambodge, le Gouvernement royal autorise les investisseurs acheter des devises trangres par l'intermdiaire du systme bancaire pourrgler les obligations financires relatives leur investissement.Ces rglements concernent :

1- Le paiement des droits d'importation, le transfert l'tranger du capitalet des intrts emprunts.

2- Le paiement des tributs et les frais de gestion.3- Le transfert des bnfices.4- Le transfert du fonds d'investissement l'tranger tel qu'il est dfini au

chapitre VIII.

These 100% exemption of duties and taxes mentioned above shall be in effect

according to the terms of the agreement or requirement book of the investment

projects which will produce goods for export in minimum of 80% of overall

productivities as stipulated in the above point (4) a and for the investment

projects which located in Special promotion Zone ( SPZ ) as in (4) b.

Beside the kinds of investment projects in the above points (4) a and (4) b the100% exemption of duties and taxes shall only be authorized for an

arrangement of construction period of enterprises, factories, building and the

first year of operation of business production.

5. 100% exemption of export tax, if any;

6. The permission to bring into the Kingdom of Cambodia foreign nationals

who are:

- Management personnel and experts

- Technical personnel

- Skilled workers

- Spouses and dependents of the above persons as authorized by the

Council for Development of Cambodia and in compliance with the

immigration and labour law.

Article 14: Les encouragements comprennent :1- Impt sur les bnfices de 9%, except les impts sur les recherches et

les exploitations des ressources naturelles, des bois, du ptrole, desmines, de l'or, des pierres prcieuses qui sont dfinis par une loiparticulire.

2- Exonration de l'impt sur les bnfices pendant une priode pouvantaller jusqu' 8 ans suivant les caractristiques des investissements etles priorits dfinies par le gouvernement royal dans un sous-dcret.L'exonration d'impt sur le bnfice devra tre applique partir del'anne o les premiers bnfices seront obtenus. Les pertes subiesdurant cinq annes conscutives pourront tre prises en considrationdans le calcul des bnfices.

3- Exonration de la taxe sur la rpartition des dividendes, qu'ils soientvirs l'tranger ou rpartis l'intrieur du pays.

4- Exonration totale des droits de douane et des taxes pour l'importation

des matriaux de construction, de moyen de production, de matrielsd'quipements, de marchandises semi-finies, de matires premires etde pices de rechange, condition que:

a- 80 % au minimum de la production soit exporte,b- L'entreprise s'installe dans les ZSD figurant dans la liste de

priorits pour le dveloppement publie par le CDC,c- Il s'agisse d'industrie touristique,d- Il s'agisse d'industries utilisant beaucoup de main d'oeuvre,

d'industries de transformation, d'agro-industries,e- Il y ait cration d'infrastructures physiques et production d'nergie.

L'exonration totale des droits de douane et des taxes ci-dessus mentionne,sera toujours valable, selon les termes de l'agrment ou les conditions du

cahier des charges pour les investisseurs qui exporteront un minimum de 80% de leur production totale, comme prvu l'alina (4a ) ci-dessus et pour lesinvestisseurs installs dans les ZSD comme prvu l'alina (4b).En dehors des investissements prvus aux alinas (4a) et ( 4b) ci-dessus,l'exonration totale des droits de douane et des taxes ne sera autorise quependant la priode de la cration de l'entreprise, de l'usine, des btiments etseulement pendant la premire anne d'activit.

5- exonration 100 % des droits de douane l'exportation, silexportation existe.

6- autorisation de faire venir au Royaume du Cambodge des trangers quisont :

- personnels de gestion et experts,- ingnieurs,- ouvriers spcialiss,

- conjoints et personnes charge autorise par le CDC, conformment la loi d'immigration et la loi portant sur le travail.

Article 16: In accordance with the Constitution and relevant laws and regulations

pertaining to the ownership and use of land:

1. Ownership of land for the purpose of carrying on promoted investment

activities shall be vested only in natural persons holding Cambodian

citizenship or in legal entities in which more than 51% of the equity capital

are directly owned by natural persons or legal entities holding Cambodian

citizenship.

2. Use of land shall be permitted to investors, including long-term leases ofup to a period of 70 years, renewable upon request. Upon such use may

include the right of ownership of real and personal property situated on the

land as may be permitted by the law.

Article 16: Conformment la constitution et aux lois et aux dispositions relatives laproprit l'utilisation des terres:

1- La proprit du terrain ayant pour objet la ralisation et la promotion d'uninvestissement ne pourra tre acquise que par une personne physique ouune personne morale de nationalit cambodgienne. Une personnemorale de nationalit cambodgienne est celle dont 51 % des parts sont

dtenues par une personne physique ou une personne morale denationalit cambodgienne.

2- Les investisseurs peuvent utiliser les terrains lous avec un bail longterme allant jusqu' 70 ans renouvelables. Une telle utilisation ainsi quele droit de proprit sur le terrain doivent tre exercs conformment laloi.

Article 17: Les investisseurs du royaume du Cambodge ont le droit de recruter etd'embaucher librement les employs cambodgiens ou trangersconformment au code du travail et la loi d'immigration.

Article 19: Foreign employees shall be allowed to remit abroad their wages and salaries

earned in the Kingdom, after payment of appropriate tax, in foreign currencies

obtained through the banking system.

- une procdure internationale convenue par les parties.
