STIPULATED FINAL JUDGMENT INCLUDING BUSINESS DAMAGES AS TO PARCELS 103/7 103

THIS CAUSE having come before the Court for consideration upon the

Joint Motion for entry of a Stipulated Final Judgment as to Parcels 103 and

7103 including business damages made by the Petitioner, PASCO COUNTY, a

political subdivision of the State of Florida ("Petitioner") and Defendant,

RACETRAC PETROLEUM, INC. A GEORGIA CORPORATION, ("Defendant") and

it appearing to the Court that the parties were authorized to enter into such

Motion, and the Court finding that the compensation to be paid by the

Petitioner is just and reasonable for all parties concerned, and the Court being

fully advised in the premises;

IT IS HEREBY,

ORDERED AND ADJUDGED as follows:

1. ~efendant, RACETRAC PETROLEUM, INC., recovers from Petitioner

the total sum of $3,350,000.00 (THREE MILLION THREE HUNDRED FIFTY

THOUSAND AND 00/100 DOLLARS) for the property designated as Parcels 103

and 7103 including improvements thereon, severance damages, business

damages and any and all other damages of any other nature, exclusive of fees and

costs for the taking of said Parcels.

2. Petitioner d l receive a credit for the good faith estimate of value

placed into the Registry and withdrawn by the Defendant, RACETRAC

PETROLEUM, INC., for the land in the amount of $1,795,000.00 (ONE MILLION

SEVEN HUNDRED NINETY FIVE THOUSAND AND 00/ 100 DOLLARS], leaving a

balance to be paid to the Defendant in the amount of $1,555,000.00 (ONE

MILLION FIVE HUNDRED FIFTY FIVE THOUSAND AND 00/ 100 DOLLARS].

3. 'The Defendant recovers from Petitioner the sum of $150,000.00

(ONE HUNDRED FIFIY THOUSAND AND 00/100 DOLLARS) for settlement of

attorney's fees and costs. This amount includes any claim for statutory fees and

non-monetary benefit fees, if any.

4. The Defendant shall recover from Petitioner payment of reasonable

experts' fees and costs and supplemental attorney's fees and costs, if any, in this

matter to be determined at a future date.

5. Within thirty (30) days of the date of execution of this judgment, the

Pasco County Board of County Commissioners shall direct the Clerk of the Circuit

Court to issue a check from the funds of the Board of County Commissioners to

the Trust Account of Fowler White Boggs, P.A., in the amount of $1,705,000.00

(ONE MILLION SEVEN HUNDRED FIVE THOUSAND A I b 00/100 DOLLARS)

and forward to Fred Werdine, Esquire, Fowler White Boggs, P.A., 501 East

Kennedy Blvd., Suite 1700, Tampa, FL 33602.

6. Title to Parcels 103 and 7103 as described in the description

attached to the Petition as Composite Exhibit " A and further rcferenced in the

Order of Taking is hereby approved, confirmed, and ratified.

7. The Court shall retain jurisdiction of this matter for the purposes of

enforcement of this Order, including the Extended Possession Agreement, and for

an award of reasonable expert fees and costs and any supplemental attorney's

fees and costs in this matter.
