The purpose of this modification is to:

NOTE: In accordance with paragraph (s) of FAR clause 52.212-4, any inconsistencies betweenFAR Clause 52.212-4 and the Addendum to FAR 52.212-4 of this solicitation or contract shallbe resolved by giving precedence to the Addendum to FAR 52.212-4, except for the paragraphslisted in (s)(2).

II.A.I ON-RAMP

1.I The purposeof the Indefinite DeliveryIndefinite Quantity(IDIQ) on-rampis to provideNASAwith a mechanismto recompetedue to the loss of an existing ISS CommercialResupplyServices(CRS) supplieror to procurea vehicleservice that is not currentlybeing providedwithin the seopo of this contractduring the period of performance.NASA will determinewhether those conditionsare met prior,to synopsizingandconductingthe "On-Ramp"competition.

1.2 The partiesmutuallyagree that theoriginal solicitation,as revised,will be usedas a basisto add additional awardees to the pool of existingawardee(s)to compete on future taskorders. The decision to request proposalsunder the clausewill be solely at NASA'sdiscretion and will only occurafter this requirement has beensynopsized.

If NASA issuesa solicitation notice, new and existing providerswill be allowedtosubmit proposalswithin the notice's stated response time. Uponaward of each additionalcontract,NASA shall notifyall present Contractorsof the award, and the new Contractorshall thenceforthbe eligible to competewith all present Contractorsfor the awardofIDIQ task orders.

1.3 ExistingContractorsmay propose servicesconsistentwith the Instructionto Offerorsofthe "On-Ramp" Request for Proposal,as revised. If the existingContractor(s)choosesnot to respondto the "On-Ramp" Request for Proposal,they remain as a candidateforcompetitionof futureorders under the terms of the existingcontract.

II.A.2 NFS 1852.232-77 LIMITATION OF FUNDS (FIXED-PRICE CONTRACT)(MAR 1989)

(a) Of the total price of CLINs 0001 through0003, the sum of $20,000,000 is presentlyavailable for payment andallotted to this contract. It is anticipated that from time to timeadditional funds will be allocated to the contract as requiredby the payment schedule inClause II.A.6, until the total price of said CLINs is allotted.

(b) The Contractoragrees to performor have performed work on the items specified inparagraph (a) of this clause up to the point at which, if this contract is terminatedpursuantto Section II, Clause 52.212-4(I), Terminationfor the Government'sConvenience, of this contract, the total amount payable by the Government pursuanttocontractSection II, Clause 52.212-4(1) would equal the amountretained by the Contractorpursuantto Clause II.A.6 and Table II.A.6-1. The Contractoris not obligated to continue

performance of the work beyond that point. The Government is not obligated in anyevent to pay or reimburse the Contractor more than the amount from time to time allottedto the contract, anything to the contrary in contract Section II, Clause 52.212-4(I)notwithstanding.

(c) Reserved.(1) It is contemplated that funds presently allotted to this contract will cover the work to

be performed until April 30, 2009.(2) If funds allotted are considered by the Contractor to be inadequate to cover the '_,',__

to be performed until that date, or an agreed date substituted for it, the Contractorshall notify the Contracting Officer in writing when within the next sixty (60) daysthe work will reach a point at which, if the contract is terminated pursuant to contractSection II, Clause 52.212-4(1) of this contract, the total amount payable by theGovemment pursuant to contract Section II, Clause 52.212-4(1) would equal theamount retained by the Contractor pursuant to Clause II.A.6 and Table II.A.6-1.

(3) Reserved.(i) The notice shall state the estimate when the point referred to in paragraph I(2)

of this clause will be reached and the estimated amount of additional fundsrequired to continue performance to the date specified in paragraph (c)(1) ofthis clause, or an agreed date substituted for it.

(ii) The Contractor shall, sixty (60) days in advance of the date specified inparagraph (c)(l) of this clause, or an agreed date substituted for it, advise theContracting Officer in writing as to the estimated amount of additional fundsrequired for the timely performance of the contract for a further period as maybe specified in the contract or otherwise agreed to by the parties.

(4) If, after the notification referred to in paragraph (e)(3)(ii) of this clause, additionalfunds are not allotted by the date specified in paragraph (c)(1) of this clause, or anagreed date substituted for it, the Contracting Officer shall, upon the Contractor'swritten request, terminate this contract on that date or on the date set forth in therequest, whichever is later, pursuant to contract Section If, Clause 52.212-4(1).

(d) When additional funds are allotted from time to time for continued performance of thework under this contract, the parties shall agree on the applicable period of contractperformance to be covered by these funds. The provisions of paragraphs (b) and (c) ofthis clause shall apply to these additional allotted funds and the substituted datepertaining to them, and the contract shall be modified accordingly.

(e) If, solely by reason of the Government's failure to allot additional funds in amountssufficient for the timely performance of this contract, the Contractor incurs additionalcosts or is delayed in the performance of the work under this contract, and if additionalfunds are allotted, an equitable adjustment shall be made in the price(s) (includingappropriate target, hilling, and ceiling prices where applicable) of the items to bedelivered, or in the time of delivery, or both.

(t) The Government may at any time before termination, and, with the consent of theContractor, after notice of termination, allot additional funds for this contract.

(g) The provisions of this clause with respect to termination shall in no way be deemed tolimit the rights of the Government under the Termination for Cause clause of thiscontract. The provisions of this Limitation of Funds clause are limitedto the work onand allotment of funds for the items set forth in paragraph (a) of this clause. This clause

The ECP requires concurrence of the Center Export Administrator (CEA). The contractor shall perform all resupply tasks necessary to deliver cargo to and disposeof cargo f,'om the ISS. The Contractor shall furnish all services, maintai,1 all equipment,and infrastructure including but not fimited to program management, vehicle integration,mission integration, cargo integration, launch site support, ground and flight systemsafety, performance assurance, necessary to accomplish the safe and st,ccessft, l resupplywithin the required periods.

The contractor shall provide all necessary services, test hardware and software, missionspecific elements required to integrate the payload(s)to the orbital and launch vehicle ',systems.

As required by the ISS Resupply Statement of Work, the contractor shall provideoperational support services, range support services, launch readiness assessment,mission i_tegration services, mission integration management, mission planning andanalysis, mission operations, ground segment operations, security requirement, missionflight procedures, mission training, flight crew and ground support personnel training,mission simulation support, mission real-time support, cargo integration and analysis,

6,0 DELIVERABLES & SCHEDULES:

In accordancewith the Statementof Workand Adjustmentsto Resupply ScheduleClause, the Contractorshall have the tbllowing reviews (Note adjustmentto theschedules below may occur perthe Adjustmentto Resupply Schedule Clause):

The Contractor shall provide documentation as required in Attachment V.B, DataRequirements List, and Attachment V.C, Data Requirements Descriptions (DRD's), ofthe ISS CRS Contract.

The Contractor shall also provide Telemetry Data, which includes Ascent Telemetry,Post Separation/Pre Rendezvous Telemetry as described by the Statement of Work.

Pursuant to clause II.A.20, Adjustments to Mission Schedule, authority to proceed' (ATP)for each mission "is formal written direction from the Contracting Officer that authorizesthe Contractor to proceed with the work detailed within a NASA-approved, mission-specific work plan (DRD C 1-8). ATP will occur within seven (7) days of NASA-approved, Contractor-identified mission initiation milestone and work plan." TheContractor's mission work plans will be incorporated by reference into the task orderupon approval.

7.0 SURVEILLANCE

The Government's Insight and Approval will be in accordance with 2.6 of the Statementof Work and Clause H.A.18 Government Insight and Approval.



8.0 MISSION SUCCESS CRITERIA

Pursuant to clause II.A.19, Mission Success Determination, Investigation and Corrective• Action, task.orders will be amended at a later date.to incorporate the.final mission

success criteria agreed to by the parties for each mission.
