    Kenya Electricity Generating Company Limited (KenGen) invites you to submit a sealed tender for

    Supply of Two250 KVA Containerized Electric GeneratorsComplete With a Common LoadDistribution Panel With a Changeover Switch and Maintenance Tools whose specifications are

    detailed in the Tender Document.

    Where the tender document may be collected upon payment of a non-refundable fee of

    SECTION B

    INSTRUCTIONS TO BIDDERS

    Introduction

    1. Eligible Tenderers

    1.1 This Invitation for Tenders is open to all tenderers eligible as described in the tenderdocuments. Successful tenderers shall complete the supply of goods by the intended

    completion date specified in the tender documents.

    1.2 Tenderers shall provide the qualification information statement that the tenderer(including all members of a joint venture and subcontractors) is not associated, or have

    been associated in the past, directly or indirectly, with a firm or any of its affiliates

    which have been engaged by Kenya Electricity Generating Company Limited to provideconsulting services for the preparation of the design, specifications, and other

    documents to be used for the procurement of the goods under this Invitation for tenders.

    1.3 Tenderers shall not be under a declaration of ineligibility for corrupt and fraudulentpractices.

    2. Eligible Goods

    2.1 The goods to be supplied under the contract shall have their origin in eligible source

    countries.

    2.2 For purposes of this Clause, origin means the place where the goods are mined,

    grown, or produced. Goods are produced when, through manufacturing, processing, orsubstantial and major assembly of components, a commercially-recognized productresults that is substantially different in basic characteristics or in purpose or utility from

    its components.

    2.3 The origin of the goods is distinct from the nationality of the tenderer.

    3. Cost of Tendering

    3.1 The Tenderer shall bear all costs associated with the preparation and submission of its

    tender, and KenGen, will in no case be responsible or liable for those costs, regardless of

    the conduct or outcome of the tendering process.

    The Tender Document

    4 Contents

    4.1 The tender document comprises the documents listed below and addenda issued inaccordance with Clause 6 of the Instructions to Tenderers.

    (a) Invitation for Tenders(b) Instructions to Tenderers(c) General Conditions of Contract(d) Special Conditions of Contract(e) Technical Specifications, Schedule of Requirements and Price Schedules(f) Tender Form(g) Tender Security Form(h) Contract Form(i) Performance Security Form(j) Manufacturers Authorization Form

    4.2 The Tenderer is expected to examine all instructions, forms, terms, and

    specifications in the tender documents. Failure to furnish all information required

    by the tender documents or to submit a tender not substantially responsive to thetender documents in every respect will be at the tenderers risk and may result in

    the rejection of its tender.

    5. Clarification of Documents

    5.1 A prospective tenderer requiring any clarification of the tender document may

    notify KenGen in writing or facsimile at the address indicated in the Invitation forTenders. KenGen will respond in writing to any request for clarification of the

    tender documents, which it receives at least seven (7) days prior to the deadline for

    the submission of tenders. Written copies of KenGen's response (including anexplanation of the query but without identifying the source of inquiry) will be sent

    to all prospective tenderers that have received the tender document.

    6. Amendment of Documents

    6.1 At any time prior to the deadline for submission of tenders, KenGen, for anyreason, whether at its own initiative or in response to a clarification requested by a

    prospective tenderer, may modify the tender documents by amendment.

    6.2 All prospective tenderers that have received the tender documents will be notifiedof the amendment in writing or facsimile, and will be binding on them.

    6.2 In order to allow prospective tenderers reasonable time in which to take theamendment into account in preparing their tenders, KenGen, at its discretion, may

    extend the deadline for the submission of tenders.

    Preparation of Tenders

    7. Language of Tender

    7.1The tender prepared by the tenderer, as well as all correspondence and documentsrelating to the tender exchanged by the tenderer and KenGen, shall be written in

    English. Supporting documents and printed literature furnished by the tenderer maybe written in another language provided they are accompanied by an accurate English

    translation of the relevant passages in which case, for purposes of interpretation of

    the tender, the English translation shall govern.

    8. Documents Comprising the Tender

    8.1 The tender prepared by the tenderer shall comprise the following components:

    (a) a Tender Form and a Price Schedule completed in accordance with Clauses

    9,10 and 11 below.

    (b) documentary evidence established in accordance with Clause 12 that the

    tenderer is eligible to tender and is qualified to perform the contract if its

    tender is accepted;

    (c) documentary evidence established in accordance with Clause 13 that the

    goods to be supplied by the tenderer are eligible and conform to the tender

    documents; and

    (d) Tender security furnished in accordance with Clause 14

    9. Tender Form

    9.1 The tenderer shall complete the Tender Form and the appropriate Price Schedulefurnished in the tender documents, indicating the goods to be supplied, a brief

    description of the goods, their country of origin, quantity and prices.

    10. Tender Prices

    10.1 The tenderer shall indicate on the appropriate Price Schedule the unit prices and

    total tender price of the goods it proposes to supply under the contract.

    10.2 Prices indicated on the Price Schedule shall be quoted C&F Mombasa Sea Port or

    Ex-Factory for goods sourced within the country.

    10.3 Prices quoted by the tenderer shall be fixed during the tenderers performance ofthe contract and not subject to variation on any account. A tender submitted

    with an adjustable price quotation will be treated as non-responsive and will be

    rejected, pursuant to Clause 22.

    (a)a detailed description of the essential technical and performance characteristicsof the goods;

    (b)a list giving full particulars, including available sources and current prices ofspare parts, special tools, etc., necessary for the proper and continuingfunctioning of the goods for a period of two (2) years, following

    commencement of the use of the goods by KenGen; and

    (c)a Clause-by-Clause commentary on KenGens Technical Specificationsdemonstrating substantial responsiveness of the goods and services to those

    specifications, or a statement of deviations and exceptions to the provisions ofthe Technical Specifications.

    13.4 For purposes of the commentary to be furnished pursuant to Clause 13.3(c) above,

    the tenderer shall note that standards for workmanship, material, and equipment, aswell as references to brand names or catalogue numbers designated by KenGen in

    its Technical Specifications, are intended to be descriptive only and not restrictive.

    The tenderer may substitute alternative standards, brand names, and/or catalogue

    numbers in its tender, provided that it demonstrates to KenGens satisfaction thatthe substitutions ensure substantial equivalence to those designated in the Technical

    Specifications.

    14. Tender Security

    14.1 The tenderer shall furnish, as part of its tender,a tender security in the amount ofKShs 300,000.00.

    14.2 The Tender Security is required to protect KenGen against the risk of tenderersconduct that would warrant the forfeiture of the tender security, pursuant to Clause

    14.7.

    14.3 The tender security shall be denominated in Kenya Shillings or in another freelyconvertible currency, and shall be in the form of a bank guarantee, bank draft

    issued by a reputable bank located in Kenya or abroad or an insurance company

    approved by the Public Procurement Oversight Authority (PPOA), in the form

    provided in the tender document or another form acceptable to KenGen and validtill 29

    thMarch 2014

    14.4 Any tender not secured in accordance with Clause 14.1 and 14.3 will be rejected byKenGen as non-responsive, pursuant to Clause 22.

    14.5 Unsuccessful tenderers Tender Security will be discharged or returned as promptly

    as possible but not later than thirty (30) days after the expiration of the period oftender validity prescribed by KenGen.

    14.6 The successful tenderers Tender Security will be discharged upon the tenderersigning the contract, pursuant to Clause 30, and furnishing the Performance

    Security, pursuant to Clause 31.

    14.7 The Tender Security may be forfeited:(a) if a tenderer withdraws its tender during the period of tender validity specified

    by KenGen on the Tender Form; or

    (b) in the case of a successful tenderer, if the tenderer fails:

    (i) to sign the contract in accordance with Clause 30or

    (ii) to furnish performance security in accordance with Clause 31.15. Validity of Tenders

    15.1 Tenders shall remain valid for 90 days or as specified in the tender documents afterdate of tender opening prescribed by KenGen, pursuant to Clause 18. A tender

    valid for a shorter period shall be considered as non-responsive and shall be

    rejected by KenGen.

    15.2 In exceptional circumstances, KenGen may solicit the tenderers consent to an

    extension of the period of validity. The request and the responses thereto shall bemade in writing. The Tender Security provided under Clause 14 shall also be

    suitably extended. A tenderer may refuse the request without forfeiting its tender

    security. A tenderer granting the request will not be required nor permitted to

    modify its tender.

    16. Format and Signing of Tender

    16.1 The tenderer shall prepare an original and three copies of the tender, clearlymarking each ORIGINAL TENDER and COPY OF TENDER, as

    appropriate. In the event of any discrepancy between them, the original shallgovern.

    16.2 The original and copies of the tender shall be typed or written in indelible ink and

    shall be signed by the tenderer or a person or persons duly authorized to bind thetenderer to the contract. The latter authorization shall be indicated by written

    power-of-attorney accompanying the tender. All pages of the tender, except for

    unamended printed literature, shall be initialed by the person or persons signing thetender.

    16.3 The tender shall have no interlineation, erasures, or overwriting except as necessary

    to correct errors made by the tenderer, in which case such corrections shall beinitialed by the person or persons signing the tender.

    Submission of Tenders

    17. Sealing and Marking of Tenders

    17.1 The tenderer shall seal the original and each copy of the tender in separateenvelopes, duly marking the envelopes as ORIGINAL and COPY. The

    envelopes shall then be sealed in an outer envelope.

    17.2 The inner and outer envelopes shall:

    (a) be addressed to Kenya Electricity Generating Company Ltd at the followingaddress:

    17.3 The inner envelopes shall also indicate the name and address of the tenderer to

    enable the tender to be returned unopened in case it is declared late.

    17.4 If the outer envelope is not sealed and marked as required by Clause 17.2, KenGen

    will assume no responsibility for the tenders misplacement or premature opening.

    18. Deadline for Submission of Tenders

    18.1 Tenders must be received by KenGen at the address specified under Clause 17.2

    not later than on 29thNovember 2013 at 2.00 p.m.

    18.2 KenGen may, at its discretion, extend this deadline for the submission of tenders byamending the tender documents in accordance with Clause 6, in which case all

    rights and obligations of KenGen and tenderers previously subject to the deadline

    will thereafter be subject to the deadline as extended.

    19. Modification and Withdrawal of Tenders

    19.1 The tenderer may modify or withdraw its tender after the tenders submission,provided that written notice of the modification, including substitution or

    withdrawal of the tenders, is received by KenGen prior to the deadline prescribed

    for submission of tenders.

    19.2 The tenderers modification or withdrawal notice shall be prepared, sealed, marked,

    multiplying the unit price and quantity, the unit price shall prevail, and the totalprice shall be corrected. If the tenderer does not accept the correction of the errors,

    its tender will be rejected, and its tender security may be forfeited. If there is a

    discrepancy between words and figures, the amount in words will prevail.

    22.3 KenGen may waive any minor informality or non-conformity or irregularity in a

    tender which does not constitute a material deviation, provided such waiver does

    not prejudice or affect the relative ranking of any tenderer.

    22.4 Prior to the detailed evaluation, pursuant to paragraph 23, KenGen will determine

    the substantial responsiveness of each tender to the tender documents. Forpurposes of these paragraphs, a substantially responsive tender is one which

    conforms to all the terms and conditions of the tender documents without material

    deviations. KenGens determination of a tenders responsiveness is to be based on

    the contents of the tender itself without recourse to extrinsic evidence.

    22.5 If a tender is not substantially responsive, it will be rejected by KenGen and maynot subsequently be made responsive by the tenderer by correction of the

    nonconformity.

    23. Evaluation and Comparison of Tenders

    23.1 KenGen will evaluate and compare the tenders, which have been determined to be

    substantially responsive, pursuant to paragraph 22.

    23.2 KenGens evaluation of a tender will exclude and not take into account any

    allowance for price adjustment during the period of execution of the contract, ifprovided in the tender

    23.3 KenGens evaluation of the tender will take into account, in addition to the tenderprice, the following factors:-

    a) compliance to the tender requirements;b) compliance to the technical specifications;c) compliance with Section D , SCC, Clause 23;d) compliance with Section E notes 1,2,3, 4, 5 and 6;e) tender validity of not less than 90 days;f) qualification to perform contract satisfactorily pursuant to Clause 25;g) Delivery period offered in the tender. The delivery period Shall Not Exceed 6

    Monthsafter contract award; and

    h) Deviation in payment schedule from that specified in the Special Conditions ofContract.

    i) Existence of Local Dealership and Parts & Service Centre is Mandatory. Duediligence will be done and lack of it will render the tender unresponsive.

    j) History of back up service.k) Total Cost of Ownership over complete life cycle of unit.l)m) Warranty period:1 year as specified in the special conditions of contract.This shall include the following: -

    a)Technical Specifications: The specified performance parameters will be testedfor 3 months after delivery to verify their accuracy. Non-Conformance to

    specified performance parameters will lead to cashing in of the performancesecurity.

    23.4Tenderers shall state their tender price for the payment schedule outlined in thespecial conditions of contract. Tenders will be evaluated on the basis of this price.Tenderers are, however, permitted to state an alternative payment schedule and

    indicate the reduction in tender price they wish to offer for such alternative

    payment schedule. KenGen may consider the alternative payment schedule offered

    by the selected tenderer.

    24. Contacting KenGen

    24.1 Subject to Clause 21, no tenderer shall contact KenGen on any matter relating to itstender, from the time of the tender opening to the time the contract is awarded.

    24.2 Any effort by a tenderer to influence KenGen in its decisions on tender evaluation,

    tender comparison, or contract award may result in the rejection of the tenderers

    tender.

    25. Post-qualification

    25.1 In the absence of pre-qualification, KenGen will determine to its satisfactionwhether the tenderer that is selected as having submitted the lowest evaluated

    responsive tender is qualified to perform the contract satisfactorily.

    25.2 The determination will take into account the tenderer financial, technical, and

    production capabilities. It will be based upon an examination of the documentaryevidence of the tenderers qualifications submitted by the tenderer, pursuant to

    Clause 12.3, as well as such other information as KenGen deems necessary and

    appropriate.

    25.2 An affirmative determination will be a prerequisite for award of the contract to thetenderer. A negative determination will result in rejection of the tenderers tender,

    in which event KenGen will proceed to the next lowest evaluated tender to make asimilar determination of that tenderers capabilities to perform satisfactorily.

    26. Award Criteria

    26.1 Subject to Clauses 10, 23 and 28 KenGen will award the contract to the successfultenderer(s) whose tender has been determined to be substantially responsiveand

    has been determined to be the lowest evaluated tender, provided further that thetenderer is determined to be qualified to performthe contract satisfactorily.

    27. KenGens Right to Vary Quantities

    27.1 KenGen reserves the right at the time of contract award to increase or decrease the

    quantity of goods originally specified in the Schedule of Requirements without any

    change in unit price or other terms and conditions.

    28. KenGens Right to Accept or Reject Any or All Tenders

    28.1 KenGen reserves the right to accept or reject any tender, and to annul the tendering

    process or reject all tenders at any time prior to contract award, without thereby

    incurring any liability to the affected tenderer or tenderers or any obligation to

    inform the affected tenderer or tenderers of the grounds for its action.

    29. Notification of Award29.1 Prior to the expiration of the period of tender validity, KenGen will notify the

    successful tenderer in writing that its tender has been accepted.

    29.2 The successful tenderer shall be given a letter of award to sign and return theacceptance to KenGen without reservations.

    29.3 Upon the successful tenderers furnishing of the Performance Security pursuant toClause 31, KenGen will promptly notify each unsuccessful tenderer and will

    discharge its Tender Security, pursuant to Clause 14.

    30. Signing of Contract30.1 At the same time as KenGen notifies the successful tenderer that its tender has been

    accepted, KenGen will send the tenderer the Contract Form provided in the tender

    documents, incorporating all agreements between the parties.

    30.2 Within twenty-one (21) days of receipt of the Contract Form, the successful

    tenderer shall sign and date the contract and return it to KenGen.

    31. Performance Security

    31.1 Within thirty (30) days of the receipt of notification of award from KenGen, thesuccessful tenderer shall furnish the Performance Security in accordance with the

    Conditions of Contract, in the Performance Security Form provided in the tender

    documents, or in another form acceptable to KenGen.

    31.2 Failure of the successful tenderer to comply with the requirement of Clause 30 or

    Clause 31 shall constitute sufficient grounds for the annulment of the award and

    forfeiture of the Tender Security, in which event KenGen may make the award to

    the next lowest evaluated tenderer or call for new tenders.

    32. Corrupt or Fraudulent Practices

    32.1 KenGen requires that tenderers observe the highest standard of ethics during theprocurement process and execution of contracts. In pursuance of this policy,

    KenGen:-

    (a)defines, for the purposes of this provision, the terms set forth below as follows:(i) corrupt practice means the offering, giving, receiving or soliciting of

    any thing of value to influence the action of a public official in the

    procurement process or in contract execution; and

    (ii) fraudulent practice means a misrepresentation of facts in order toinfluence a procurement process or the execution of a contract to the

    detriment of KenGen, and includes collusive practice among tenderers(prior to or after tender submission) designed to establish tender prices

    at artificial non-competitive levels and to deprive KenGen of the

    benefits of free and open competition;

    (b) will reject a proposal for award if it determines that the tenderer

    recommended for award has engaged in corrupt or fraudulent practices in

    competing for the contract in question;

    (c) will declare a firm ineligible, either indefinitely or for a stated period of time,to be awarded any contract if it at any time determines that the firm has

    engaged in corrupt or fraudulent practices in competing for, or in executing, acontract.

    32.2 Furthermore, tenderers shall be aware of the provision stated in the GeneralConditions of Contract.

    SECTION C

    GENERAL CONDITIONS OF CONTRACT

    1. Definitions

    1.1 In this Contract, the following terms shall be interpreted as indicated:

    (a) The Contract means the agreement entered into between KenGen and thetenderer, as recorded in the Contract Form signed by the parties, including all

    attachments and appendices thereto and all documents incorporated by

    reference therein.

    (b) The Contract Price means the price payable to the tenderer under theContract for the full and proper performance of its contractual obligations.

    (c) The Supplier means the individual or firm supplying the goods under thisContract.

    (d) The Goods means all of the equipment, machinery, and/or other materials,which the Supplier is required to supply to KenGen under this Contract.

    2. Application

    2.1 These General Conditions shall apply in all Contracts made by KenGen for the

    procurement of goods.

    3. Country of Origin

    3.1 For purposes of this Clause, origin means the place where the Goods weremanufactured or produced.

    3.2 The origin of the Goods is distinct from the nationality of the tenderer.

    4. Standards

    4.1 The Goods supplied under this Contract shall conform to the standards mentionedin the Technical Specifications.

    5. Use of Contract Documents and Information

    5.1 The Supplier shall not, without KenGens prior written consent, disclose theContract, or any provision thereof, or any specification, plan, drawing, pattern,

    sample, or information furnished by or on behalf of KenGen in connectiontherewith, to any person other than a person employed by the tenderer in the

    performance of the Contract.

    5.2 The Supplier shall not, without KenGens prior written consent, make use of anydocument or information enumerated in Clause 5.1 above.

    5.3 Any document, other than the Contract itself, enumerated in Clause 5.1 shall

    remain the property of KenGen and shall be returned (all copies) to KenGen on

    completion of the Suppliers performance obligations under the Contract if sorequired by KenGen.

    6. Patent Rights

    6.1 The tenderer shall indemnify KenGen against all third-party claims of infringement

    of patent, trademark, or industrial design rights arising from use of the Goods or

    any part thereof in Kenya.

    7. Performance Security

    7.1 Within thirty (30) days of receipt of the notification of Contract award, thesuccessful tenderer shall furnish to KenGen the Performance Security in the

    amount specified in Special Conditions of Contract.

    7.2 The proceeds of the Performance Security shall be payable to KenGen as

    compensation for any loss resulting from the Suppliers failure to complete its

    obligations under the Contract.

    7.3 The Performance Security shall be denominated in the currency of the Contract, orin a freely convertible currency acceptable to KenGen and shall be in the form of a

    bank guarantee or an irrevocable letter of credit issued by a reputable bank located

    in Kenya or abroad, acceptable to KenGen, in the form provided in the tenderdocuments.

    7.4 The Performance Security will be discharged by KenGen and returned to theSupplier not later than thirty (30) days following the date of completion of the

    Suppliers performance obligations under the Contract, including any warranty

    obligations, under the Contract.

    8. Inspection and Tests

    8.1 KenGen or its representative shall have the right to inspect and/or to test the Goodsto confirm their conformity to the Contract specifications. KenGen shall notify thetenderer in writing, in a timely manner, of the identity of any representatives

    retained for these purposes.

    8.2 The inspections and tests may be conducted on the premises of the Supplier or itssubcontractor(s), at point of delivery, and/or at the Goods final destination. Ifconducted on the premises of the Supplier or its subcontractor(s), all reasonable

    facilities and assistance, including access to drawings and production data, shall befurnished to the inspectors at no charge to KenGen.

    8.3 Should any inspected or tested Goods fail to conform to the Specifications, KenGenshall reject the Goods, and the Supplier shall either replace the rejected Goods ormake alterations necessary to meet specification requirements free of cost to

    KenGen.

    8.4 KenGen's right to inspect, test and, where necessary, reject the Goods after theGoods arrival shall in no way be limited or waived by reason of the Goods having

    previously been inspected, tested, and passed by KenGen or its representative prior

    to the Goodss delivery.

    8.5 Nothing in Clause 8 shall in any way release the Supplier from any warranty or

    other obligations under this Contract.

    9 Packing

    9.1 The Supplier shall provide such packing of the Goods as is required to prevent theirdamage or deterioration during transit to their final destination, as indicated in theContract.

    9.2 The packing, marking, and documentation within and outside the packages shallcomply strictly with such special requirements as shall be expressly provided for in

    the Contract.

    10. Delivery and Documents

    10.1 Delivery of the Goods shall be made by the Supplier in accordance with the termsspecified by KenGen in its Schedule of Requirements and the Special Conditions

    of Contract.

    11. Insurance

    11.1 The Goods supplied under the Contract shall be fully insured against loss or

    damage incidental to manufacture or acquisition, transportation, storage, and

    delivery in the manner specified in the Special Conditions of Contract

    12. Warranty

    12.1 The Supplier warrants that the Goods supplied under the Contract are new, unused,

    of the most recent or current models, and that they incorporate all recentimprovements in design and materials unless provided otherwise in the Contract.

    The Supplier further warrants that all Goods supplied under this Contract shall haveno defect, arising from design, materials, workmanship, or from any act or

    omission of the Supplier, that may develop under normal use of the supplied Goods

    in the conditions prevailing in the country.

    12.2 This warranty shall remain valid for twelve (12) months after the Goods, or anyportion thereof as the case may be, have been delivered to and accepted at the final

    destination indicated in the Contract.

    12.3 KenGen shall promptly notify the Supplier in writing of any claims arising underthis warranty.

    12.4 Upon receipt of such notice, the Supplier shall, within the period specified inSpecial Conditions of Contract, and with all reasonable speed, repair or replace the

    defective Goods or parts thereof, without costs to KenGen.

    12.5 If the Supplier, having been notified, fails to remedy the defect(s) within the periodspecified in Special Conditions of Contract, within a reasonable period, KenGen may

    proceed to take such remedial action as may be necessary, at the Suppliers risk and

    expense and without prejudice to any other rights which KenGen may have againstthe Supplier under the Contract.

    13. Payment

    13.1 The method and conditions of payment to be made to the Supplier under this

    Contract shall be specified in Special Conditions of Contract.

    13.2 KenGen shall make payments as specified in the Contract.14. Prices

    14.1 Prices charged by the Supplier for Goods delivered under the Contract shall not,

    with the exception of any price adjustments authorized in Special Conditions of

    Contract, vary from the prices quoted by the Supplier in its tender.

    15. Assignment

    15.1 The Supplier shall not assign, in whole or in part, its obligations to perform under

    this Contract, except with KenGens prior written consent.

    16. Subcontracts

    16.1 The Supplier shall notify KenGen in writing of all subcontracts awarded under this

    Contract if not already specified in the tender. Such notification, in the originaltender or later, shall not relieve the Supplier from any liability or obligation under

    the Contract.

    17. Termination for Default

    17.1 KenGen may, without prejudice to any other remedy for breach of Contract, by

    written notice of default sent to the Supplier, terminate this Contract in whole or inpart:

    (a) if the Supplier fails to deliver the Goods within the period(s) specified in the

    Contract, or within any extension thereof granted by KenGen.

    (b) if the Supplier fails to perform any other obligation(s) under the Contract.

    (c) if the Supplier, in the judgment of KenGen has engaged in corrupt or

    fraudulent practices in competing for or in executing the Contract.

    17.2 In the event KenGen terminates the Contract in whole or in part, it may procure,upon such terms and in such manner, as it deems appropriate, Goods similar to thoseundelivered, and the Supplier shall be liable to KenGen for any excess costs for such

    Goods.

    18. Liquidated Damages

    18.1 If the Supplier fails to deliver the Goods within the period(s) specified in theContract, KenGen shall, without prejudice to its other remedies under the Contract,

    deduct from the Contract Price, as liquidated damages, a sum equivalent to 0.5% ofthe quoted price of the delayed Goods for each week of delay until actual delivery,

    up to a maximum deduction of 10% of the quoted price of the delayed Goods.

    After this KenGen may consider termination of the Contract.

    19. Resolution of Disputes

    19.1 KenGen and the Supplier shall make every effort to resolve amicably by direct

    informal negotiation any disagreement or dispute arising between them under or in

    connection with the Contract.

    19.2 If, after thirty (30) days from the commencement of such informal negotiations both

    parties have been unable to resolve amicably a Contract dispute, either party mayrequire that the dispute be referred for resolution to formal mechanisms. These

    mechanisms include, but are not restricted to, conciliation by a third party,

    adjudication in an agreed national or international forum, and/or international

    arbitration.

    20. Language and Law

    20.1 The language of the Contract and the law governing the Contract shall be English

    language and the Laws of Kenya respectively unless otherwise stated.

    21. Force Majeure21.1 The tenderer shall not be liable for forfeiture of its Performance Security, or

    termination for default if and to the extent that its delay in performance or other

    failure to perform its obligations under the Contract is the result of an event ofForce Majeure.

    SECTION D

    SPECIAL CONDITIONS OF CONTRACT

    1. Definitions

    The Purchaser is Kenya Electricity Generating Company Limited of Stima Plaza, KolobotRoad, Parklands, P.O. BOX 47936 - 00100 GPO, Nairobi, Kenya and includes its legal

    representatives, successors or assigns

    2. Application

    The following Special Conditions of Contract shall supplement the General Conditions of

    Contract. Whenever there is a conflict, the provisions herein shall prevail over those in theGeneral Conditions of Contract.

    7. Performance Security

    The Performance Security shall be in the amount of 10% of the Contract Price.

    8. Inspections and Tests

    The Goods shall be inspected as to quality and quantity by a Pre-Shipment Inspection

    Agency appointed by the Government of Kenya. KenGen shall notify the Tenderer inwriting, in a timely manner, of the identity of the Pre-Shipment Inspection Agency retained

    for these purposes. The Tenderer is warned against shipping non-inspected Goods, as the

    cost of Post-Inspection and all other incidental costs shall be to the Tenderers account.

    10. Delivery Period

    Subject to Clause 23.3, Section B, the goods shall be delivered within 6 monthsafter thedate of contract award.

    Delivery Terms: Delivery Duty Paid to Olkaria

    12. Warranty

    A warranty certificate must be provided with the Goods. The warranty period shall be 12monthsfrom date of acceptance of the Goods. The period for correction of defects in thewarranty period is 14 days.

    13. Method of Payment

    The credit period shall be:-

    13.1(a) for Local Suppliers, Kenya Electricity Generating Company's payment terms are 30 daysupon receipt of certified invoices and delivery notes confirming that the invoiced material

    has been delivered and is in accordance with the contract.

    b) for Overseas Suppliers, payments shall be effected upon presentation of a complete

    set of shipping documents to the advising bank as will be stipulated in the Letter ofCredit (LC)

    13.2 (a) For Local Suppliers

    Payment shall be made through Kenya Electricity Generating Company's cheque ortelegraphic transfer for the amount of contract.

    The LC terms shall be:-

    (b) For Foreign Suppliers

    Payment shall be through an LC under the following conditions:-

    (i)The supplier shall be required to meet all LC bank charges incurred in their country, while

    KenGen shall meet those incurred in Kenya

    (ii) Any extension and or amendment charges and other costs that may result from the

    Suppliers delays, requests, mistakes or occasioned howsoever by the Suppliershall be to the Beneficiarys account.

    (iii) The maximum number of LC extensions shall be limited to a maximum of two (2)

    only, but not exceeding one quarter (3 months) each, at the cost of the beneficiary.

    (iv) Should the Supplier require a confirmed LC, then all confirmation and any

    other related charges levied by both the Suppliers and Procuring Entitys bankshall be to the Beneficiarys account.

    (v) The LC shall be opened only for the specific Order within the validity period of thecontract

    (vi) LCs shall be partial for partial deliveries or full for one delivery as per the contract.

    (vii) The Supplier shall be required to submit a proforma invoice for each lot or schedule foruse in the placement of order and opening of the LC. The Proforma Invoice shall be on

    total Cost and Freight (CFR) basis showing the freight charges separately from cost.

    KenGen will meet the freight insurance cost.

    (viii) A copy of the Performance Security, stamped and certified as authentic by the Procuringentity, whose expiry date should not be less than 30 days from the LC expiry date,

    shall form part of the documents to be presented to the Bank before any payment is made.

    14. Prices

    Prices shall be fixed during the Tenderers performance of the Contract and not subject tovariation on any account.

    SECTION E

    TECHNICAL SPECIFICATIONS, SCHEDULE OF REQUIREMENTS AND

    PRICES

    Notes

    1. The goods to be supplied must be new and unused.2. Delivery will be DDP, KenGen, Olkaria Rig Store, within 6 monthsfrom the date of

    award of contract.

    3. Technical Data/Brochures: - Bidders Mustprovide relevant technical data detailing theperformance parameters of the equipment or Original manufacturer brochures, where

    there are more than one model on a brochure, the bidder, Must highlight the option whichthey are quoting for in this tender. Irrelevant literature downloaded from the Internet

    shall not be accepted.

    4. Local Agent in Kenya:Tenderers shall submit the name and address of the local agentin Kenya for the unit offered. The agent must be well established and capable of giving

    full after sales service, acceptable stock of spare parts and back-up technical services.

    4. These specifications describe the basic requirements for goods. Tenderers are requestedto submit with their offers the detailed specifications, drawings, catalogues, etc. for the

    products they intend to supply.

    5. Commissioning: Commissioning will take place after delivery of the equipment to

    Olkaria, Naivasha for at least 2 Weeks.

    6. All the dimensions and capacities of the equipment to be supplied shall not be less thanthose required in these specifications. Deviations from the basic requirements, if any,

    shall be explained in detail in writing with the offer, with supporting data such as

    calculation sheets, etc. The procuring entity reserves the right to reject the products, if

    such deviations shall be found critical to the use and operation of the products.

    7. The tenderers are requested to present information along with their offers as follows: -i) Shortest possible delivery period of each product.ii) Information on proper representative and/or local workshop/dealership for back-up service/repair and maintenance/engine rebuild etc, including their names and

    addresses.

    iii) INFORMATION AND CURRENT PRICE LIST OF SELECTED CONSUMABLE SPAREPARTS LIKELY TO BE USED DURING THE INITIAL 2 YEARS PERIOD OF

    OPERATION.

    iv) AVERAGE FUEL CONSUMPTION RATE ON FULL LOAD IN LITRES PER HOUR.

    1.4 Introduction

    Two brand new tropicalized continuous variable operation type 250KVA prime powered silent

    (Max. 60 dB at 10m) portable containerised diesel engine driven generators, both mounted

    inside one 40-ft steel container, should be complete with a separately mounted common Loaddistribution panel board with a changeover switch and maintenance tools. The load distribution

    panel shall be centrally placed between the two generators and fed with rightly sized cables fromthe main breaker on each generator and terminated at individual 400A, 4-pole incomer MCCB atthe panel. Each generator shall have its own fuel tank. The generator circuit breaker together

    with all instrumentations and controls for engine and alternator should be arranged in a cubicle.

    There should be free access available to all internal components and wiring within the switch

    board. All internal wiring including control cables should be marked properly.

    The Generator control unit must be microprocessor based with LCD display presenting all values

    1.5 Engine

    A four stroke turbo charged diesel engine complying to BS5514 (or ISO equivalent) works on

    normal auto diesel having sufficient power to take maximum load of 250kVA at 0.8 power factor

    at 1500 RPM with 10% overload capacity for 1 hour within a period of every 12 hours is

    required. The engine should be directly flange coupled by a semi flexible main drive disc

    coupling alternator shaft to engine fly wheel to ensure positive alignment. The engine should bemounted with anti vibration resilient mounting for the common skid. The engine should be of

    radiator water cooling type with a heat exchanger for lubricating oil. The capacity of the radiatorshould be suitable for tropical conditions for maximum ambient temperature of 40 deg. C. The

    radiator core should be fabricated with seam welded copper tubes and copper fins. The exhaust

    silencer and the exhaust piping should be fully heat insulated with environmentally friendly

    lagging material cladded with aluminum sheet having thickness not less than 1 mm. Aluminumcladding should be of easily removable type. The exhaust silencer should be coupled with

    stainless steel flexible tubing to withstand vibration and silencer unit should be of critical type.

    The muffler system should be easily detachable during transportation. The engine should be of24V DC starter motor operated type, complete with heavy duty batteries (12V, 24V, 200 AH)

    and a battery charging alternator. The speed of the engine should be 1500 RPM and the governorshall be of electronic type and be capable of fine governing of speed up to class A2 of BS5514

    permitting 2% variation on normal speed. The following protection should be provided forengine but not limited to;

    (a) Low Oil Pressure(b) High Engine Temperature

    (c) Under/Over Speed

    1.6 Alternator

    The alternator shall be of 415/240 V.A.C. 50 Hz, 3 phase, 4 wire star connected type and shouldbe directly coupled to the engine operating at 1500 RPM. It should be fully tropicalized, standardprotection IP23 and should possess self exciting and self regulating characteristic and brushless

    type with 3 phase A.C. exciter and rotating diodes. The alternator should be rated for output of

    250kVA at 0.8 power factor with 10% overload for 1 hour within a period of every 12 hours with

    radio interference suppression to comply with BS800 and VDE levels of G & N. The insulationof the winding should be of class H. The alternator should be capable of short time overload for

    motor starting capability. The alternator and the excitation winding should be tropicalized and be

    capable of satisfactory operation at an ambient temperature and relative humidity stated in clause1.1 above without deterioration of insulation of the winding. The windings must be 100%

    copper. The self exciting and self regulating characteristic may be obtained from solid state

    electronic equipment. But such equipment should be fully tropicalized and certified to besufficiently aged to prevent correct parameters being altered due to aging, humidity or

    temperature etc. The voltage regulation must be maintained within 0.5% between power factor

    of 0.8 and unity lagging, from no load to full load operation. The alternator should be in

    accordance with BS5000. The star connected neutral point to be brought out to a suitableterminal in the terminal box for earthing. The inherent characteristics of the alternator should

    maintain the output voltage under the condition of load, from no load to 110% full load and at

    power factor range from unity to 0.8 within the limits of 2% of nominal. The capacity of

    generator circuit breaker should be 450A (adjustable to 400A). The generator circuit breaker

    should have shunt tripping facility for electrical protections and thermal overload (adjustable)facility. The following protections should be provided for alternator, to trip off the main breaker

    and shut down the engine.

    (a) Over/under current protection

    (b) Over/under voltage protection.

    1.7 Common 240/415V Load Distribution Panel with Changeover Switch

    The separately and centrally floor mounted 240/415V common load distribution panel shall be of

    sheet steel vermin and dust proof with lockable hinged front doors complying to IP23. It shall

    have two 4-pole main incomer circuit breaker of 400A, one for each generator and a 3-position(ON-OFF-ON) changeover switch with mechanical interlock to enable using ONLY one

    generator at a time on DUTY & STANDBY mode. The load distribution panel should be fully

    capable of carrying the full load current continuously. The horizontal and vertical bus bar shallbe copper and suitably rated. A copper ground bus will run the full length of the panel line up.

    The outgoing 26 feeder circuits shall have individual MCBs which shall be labeledand be easilyaccessible from the front of the panel to enable their switching without opening the whole panel

    door. The label and size of each MCB are as shown in table 1below. The receptacles for theoutgoing AC loads power are to be installed at the back of the panel and be accessible from the

    back, outside the container so that outgoing AC power cables can be laid to the respective loads

    without entering the container. These receptacles shall be industrial, metallic and shall slantdownwards to relieve stress on the outgoing power cables and shall be protected from direct rain.

    They shall be labeled correspondingly with their MCBs at front of the Panel as given in table 1

    below. These receptacles shall be supplied with matching plugs and shall be of outdoor

    installation. The load distribution panel should be of appropriate rating as per the outgoing feedercircuits and be well installed to withstand rigorous vibrations and sudden impacts.

    The panel instrumentation and indicators (for each generator) should include but not limited to:

    i. Voltmeter (with selector switch to read phase-phase, phase-neutral for all phases)

    ii. Frequency meter for each generator

    iii. Ammeters (with selector switch to read phase-phase, phase-neutral for all phases)iv. Voltage presence, LED light indicators in each phase

    The load distribution panel is intended to serve 26 outgoing feeder circuits as per thespecifications provided below with corresponding MCBs and labels.

    The common load distribution panel shall be of good workmanship with a lot of emphasis on

    safety consideration with bus bars and all live parts well protected using insulating transparentmaterial where applicable.

    NB:The electrical wiring diagram for the panel should be submitted with the bid by the tenderer.

    1.8 Fuel Tank

    A daily service floor mounted type (with a base of approx.12 height) fuel tank for each

    generator with a minimum capacity 600 Litres complete with necessary fuel pipes (minimum 5

    meters) with connectors to engine and also for overflow line should be supplied. It should bemade out of at least 1/8 thick sheet metal and should be provided with drain, vent and manhole

    with a suitable size to enable to clean the tank. A suitable fuel gauge should also be provided to

    indicate quantity of fuel available. A fuel filter (duplex) with water separator should also be

    provided for the fuel feed pipe to the engine.

    1.9 40-Feet Lockable Steel Container

    The 40-feet steel container shall be new, weather proof and entire body should be treated with

    corrosion preventive coating. The front length shall have a centrally positioned lockable,

    outward opening, standard door of minimum opening of 850mm X 1950mm and two large

    windows on either side of the door with minimum opening of 1000mm X 1200mm. Thewindows should be outward and upwards opening with a supporting rod and sideways sliding

    glass and a fixed wire mesh (size 1mm). Both length sides of the container shall have wide

    outward opening double doors to provide minimum opening of 2300mm X 2200mm facing thegenerator radiators. These doors should be able to let the generator to be removed outside and

    returned with ease. These doors shall have a sideways sliding grill and mesh wire (size 1mm).

    The generators inside should be symmetrically positioned to provide stability and balance while

    leaving sufficient internal space for accessibility when carrying out routine maintenances. The

    inside walls and the roof of the container shall be well lined with heat proof acoustic material tomaintain the inside temperatures relatively cool even during the hot sunny conditions. The

    container shall have: 2 pieces of 240V double socket outlet and a consumer unit with (5A &15A) installed inside, the lighting system with switches shall be distributed as follows: 4 pieces

    of 4-ft flouresent fittings c/w tubes installed symmetrically inside the container, 4 pieces wired

    guard c/w 150W bulbs installed on each side of the outside top of container. The power supply

    for this lighting system should be picked from lighting #6 MCB indicated in table 1 above. Thecontainer shall have a permanently fixed ladder on the outside wall covering the entire height to

    the roof. Also provided are covers for the exhaust openings on the container roof top. The

    container should have lifting points for Cranes on the base frame. The entire container should bepainted grey and branded with KenGen Logo with official colours. The base frame should be

    painted black.

    CONSUMABLE SPARES/REPLACEABLE PARTS FOR THE INITIAL 2 YEAR

    OPERATION.

    Service & Maintenance Schedule requirements.

    The tenderer must provide a complete maintenance schedule of requirements for theinitial 2 years operation based on a consideration of 9-hours/day continuous operation of

    the unit.

    Based on the manufacturers maintenance schedule forthe 250 KVA diesel generator set,the tenderer must list all the consumable spare/replaceable parts that will be replaced

    during the of use of the unit. The prices should be as at the tender closing date in theformat given in the table below which should include any other additional spares for the

    generator that the tenderer deems fit to be utilised apart from the listed engine parts. The

    tenderer should give the recommended list of spare parts, quantities of the line items and

    the unit and total ex-works prices, Costs of freight, taxes and port clearance and deliveryto site for each spare parts line items proposed for the offered unit.

    and may be accepted at any time before the expiration of that period.

    5. Until a formal Contract is prepared and executed, this Tender, together with your writtenacceptance thereof and your notification of award, shall constitute a binding Contract

    between us.

    6. We understand that you are not bound to accept the lowest or any Tender you may receive.7. We hereby declare that we have not been debarred from any procurement process and
