of this RFP document or cancel the present invitation and call for fresh invitations.

• The applicable laws for the purpose are the laws of INDIA. Courts of Kerala will have

the jurisdiction concerning or arising out of this RFP document.

DEFINITIONS

• Application/Bid shall mean the response to this RFP with all documents as

specified.

• Client shall mean KINFRA, its authorized agencies and assignees.

• Applicant(s)/Bidder(s) shall mean all Companies/Firms who respond against this

RFP.

• KINFRA shall mean Kerala Industrial Infrastructure Development Corporation, a

statutory body formed by the Government of Kerala (GoK), represented by its

Managing Director which expression unless it be repugnant to the context or

meaning thereof, deemed to mean and include its successors and assignees.

• Consultant shall have the same meaning as successful bidder and with whom the

contract agreement would be signed.

• Consortium means an association of not more than three companies/Firms which

is treated as single entity.

• LOA (Letter of Award) shall mean the letter issued by KINFRA to the successful

bidderinviting him to sign the contract agreement.

• Contract Agreement shall mean the agreement to be signed between the

Consultant and KINFRA for the execution of the project.

• Site shall mean the place where the location of the Petrochemical Park for which

the services as mentioned under the scope of work for the project are to be carried

out.

• Bid Evaluation Committee (BEC) shall mean a team of Technical/Financial/Legal or

any other expert constituted by KINFRA for evaluation of documents /presentations

submitted by the applicants in response to the RFP.

• The Project means development of Petrochemical Park with all enabling facilities.

• The Marketingofallottable land means Confirmed allotment.Confirmed allotment

meansallottee remits 10 % of the lease premium as EMD proportionate to the land

allotted to them and also remitting minimum 50 % of the lease premium as down

payment & executing the license agreement with KINFRA.

1. INTRODUCTION AND BACKGROUND

1.1 Kerala Industrial Infrastructure Development Corporation (KINFRA) is a statutory body

formed by the Government of Kerala in 1993, by an Act of State Legislature for

facilitating the development of industrial infrastructure in the State. KINFRA has

played a pioneer role in developing industrial infrastructure in the State of Kerala.

1.2 KINFRA has a very successful track record in setting up 22 industrial parks across Kerala

for facilitating development of the industry in the State.

1.3 KINFRA has taken the initiative of promoting the concept of ‘Theme Based Parks’ since

its inception in 1993. After understanding the needs of a particular industry, KINFRA

identifies common needs and accordingly provide common facilities to promote the

concept of ‘shared infrastructure’ as a facilitating measure to attract investors of that

particular industry. Theme Based Parks already commissioned by KINFRA include

Industrial Parks for Garments, Entertainment, Footwear, Exports based industry,

Biotechnology, Food processing and SME industrial sector etc.

1.4 KINFRA promotes a proactive approach to environmental protection and Pollution-

free ecosystem in all their parks.

1.5 KINFRA also provides exclusive single window clearance facility for units in its Parks for

obtaining regulatory licenses and clearances.

2. INVITATION FOR BIDDING

2.1 KINFRA intends to select a Consultant through a transparent, competitive bidding

process and invites Technical and Financial Bids from reputed consultants in

accordance with this “Request for Proposal” to prepare Detailed Project Report (DPR)

and marketing of 30% of the allottable land in the Park..

2.2 The document can be downloaded from our website at www.kinfra.org. A non-

refundable Bid Document fee ofRs.15000/- + tax (Fifteen Thousand + tax ) should be

enclosed with the application (Technical Bid) by DD, in favour of The Managing

Director, KINFRA, payable at Trivandrum, in a cover super scribed “ Bid Document Fee

for Petrochemical Park, Kochi”. Applications not accompanied with Bid Document fees

will be summarily rejected.

2.4 The Bidders have to submit their Technical Bid and Financial Bid in the prescribed

format as per this RFP. Cost of preparation of bids and related expenses has to be

borne by the Bidder. The bidders also will not be eligible for reimbursement of any

travel expenses for attending meetings, for making presentation or any other purposes.

2.5 The Bidder shall also furnish an Earnest Money Deposit (EMD) of Rupees Five Lakhs

only (Rs:5,00,000/-) by way of Demand Draft drawn in favour of Managing Director,

KINFRA payable at Trivandrum along with the Technical Bid in a cover

superscribed“Earnest Money Deposit”.

2.6 The Technical Bid and Financial Bid in the prescribed formats along with

supporting documents and the EMD should be submitted to Managing Director,

KINFRA KINFRA House, 31/2312, Sasthamangalam, Thiruvananthapuram-695010,

Kerala, Tel 0471 2726585, Fax 0471 2724773 Email: [email protected] per the schedule

given below. Bids not in the format as prescribed in this RFP document and not

accompanied by EMD will be summarily rejected.

2.7 An agreement (Annexure D) will be executed with the successful bidder to proceed

with the engagement of Consultant

2.8 The Bidders shall be deemed to have conducted a due diligence exercise and satisfied

themselves with respect to all aspects of the project, including site visit, when they

submit the bids. Interested parties shall visit and inspect the site at their own expense.

3. ABOUT THE PROJECT

• KINFRA intends to develop a Petrochemical Park of international standards at

Ambalamughal, in Ernakulam District Kerala. The project is intended to create an

Industrial Park with all modern facilities exclusive for the Petrochemical Industry.

• The Petrochemical Park is proposed to be established in approximately 450 acres

of land in FACT premises at Ambalamughal, in Kochi to be transferred to KINFRA.

This land already has, near to it, a large refinery, fertiliser and chemical factories,

LNG Terminal & Gas Pipeline Network being established, a Bulk Terminal and

International Container Transhipment Terminal (ICTT). The proposal assumes

significance in view of the expansion proposal of BPCL, nearness to the Port and

Natural Gas infrastructure at the location.

• The Industrial units in the Park will be provided with all infrastructure facilities. The

infrastructure facilities in the proposed Petrochemical Park includes dedicated

power, continuous water supply, roads, plots for establishing industries and offers

plug and play arrangement for easy start-up of Industrial units at minimum cost and

time.

• Infrastructural components proposed for the Petrochemical Park include the

following components

• KINFRA now intends to select a Consultant for the DPR preparation and marketing

of the project as per the “Terms of Reference” given below.

3.6ESTIMATED PROJECT COST

The estimated cost of the project is Rs.450 Crores.

4. TERMS OF REFERENCE

• The Consultant shall be entrusted with preparation of Detailed Project Report (DPR)

and marketing of the project. The DPR should be prepared according to the guidelines

of Kerala Industrial Infrastructure Fund Board (KIIFB); the components of DPR is given

as Annexure A.

• The Consultant should prepare legible layout of the proposed site, carry out site

analysis for elements like soil analysis, surveyed site plan and site soil particulars

including spot levels/contours, flood history, on-site features etc. for realistic cost

estimates of land development and construction.

• The Consultant is responsible for entire architectural component of the project work.

The Consultant should also provide the details regarding the common facilities and

common technical infrastructure required with estimated investments therein. This

would include the developing of the Master Plan along with sectional drawings and

building plan with legends giving clear picture /title of drawings and other relevant

details. This would also include detailed engineering and design including preparation

of detailed cost estimates for various project components/facilities envisaged in the

Petrochemical Park Project. The cost estimates shall be according to the latest CPWD

rates;wherever it is not available, market rates to be considered.The cost estimates for

plant and machinery shall be backed by quotations from reputed equipment and

machinery suppliers in line with scheme requirements.

• The above clause shall be broadly divided as follows:

• Master Plan: To be based on the broad concept design and cost in

consultation with KINFRA

• Preliminary Drawings and estimate: Rates to be calculated based on Delhi

Plinth Area rates

• Detailed Drawings and estimate: Latest Delhi schedule of rates to be

followed. Wherever it is not available, market rates to be considered.

• The Consultant shall prepare all relevant documents related to statutory approvals for

the Project.

• The consultant shall prepare and submit all Bid documents required for tender

purpose.

• The Consultant shall work out the implementation schedule with milestones for the

project.

• The Consultant shall abide by all the clauses in the Agreement to be entered in to with

KINFRA .The draft agreement is attached as Annexure D.

• Ten copies of DPR and all the deliverables are to be submitted along with the soft

copy.

• Consultant shall,on their own (If approved agency) or through another approved

Agency,carry out Environment Impact Assessment (EIA). The Consultant shall co-

ordinate with the Agency for timely completion of the EIA and also follow up with the

appropriate authorities for getting clearance. The cost towards EIAshall also be

included in the financial quote.

• The structural design submitted by the Consultant will be proof checked if necessary

by KINFRA through a third party .If these designs are acceptable and needs no

correction/modification as required in the relevant BIS codes/KMBR, the cost of proof

checking shall be borne by KINFRA. In case correction/modifications are required in

the design and drawing the entire charges for proof checking shall be borne by the

Consultant.

• The consultant shall prepareand submit allbid documentsrequired for the selection of

contractors for the implementation of the project.

• The Consultant shall ensure marketing of 30% of the allottable land to industrial units.

All costs relating to marketing shall be borne by the Consultant

5. DELIVERABLES:

5.1 Detailed Project Report

DPR should be prepared with all the components mentioned in Annexure A.

5.2 Master Plan shall include the following:

• Site analysis Report for elements like soil analysis,surveyed site plan and site soil

particulars including spot levels/contours, flood history, on-site features etc. for

realistic cost estimates of land development and construction

• Layout incorporating the individual components in surveyed map

• Preliminary Drawings

• Preliminary Estimates

5.3 Detailed Estimate including the following:

• Detailed Drawings

• Detailed Estimates including BoQs for all components of the work including

electrical, Air conditioning, fire-fighting and Environmental engineering

requirements. This will include structural drawings forcivil and drawings and

designs for electrical, fire-fighting and water supply and sanitary installations works

as mentioned.

• Structural Drawings and Designs for all components of the work

5.4Financial Planning Report for the project in accordance with requirements.

5.5 Submission of all Bid documents required for tender purpose.

5.6Submission of all relevant documents related to statutory approvals

5.7Submission of implementation schedule as per the overall plan.

Note: Clause 5 Deliverables shall be read in conjunction with clause 4 Terms of Reference

6. DIRECTIVES TO BIDDERS FOR THE SUBMISSION OF RFP

6.1 PRE-BID MEETING

6.1.1 In order to clarify any queries and discuss the issues with respect to the Project, a pre-

bid meeting shall be held with the bidders as per the schedule given below, at the

conference hall of KINFRA Head office, Sasthamangalam, Trivandrum-695010

6.2 ENQUIRIES CONCERNING THE RFP

Note: All the communication from KINFRA will be through email only. Any

corrigendum/addendum /Clarification to the RFP will be published in the website of KINFRA

only.

6.3 VALIDITY OF BID

Each bid shall indicate that it will remain valid for a period not less than 180 days

from the due date of the submission of the bid (Bid due date). KINFRA reserves the right to

reject any bid, which does not meet this bid validity requirement.

6.4 TENTATIVE SCHEDULE FOR BIDDING PROCEDURE

The tentative schedule of the bidding procedure is as follows. The schedule is

subjected to change at the discretion of KINFRA

6.5 SUBMISSION OF BID

The Technical Bid and Financial Bid should be submitted by the bidders, along with

supporting documents, EMD and the Bid Document fee to Managing Director, KINFRA on

or before due date, at the address provided in the RFP document. Bids submitted by

facsimile or E-Mail will not be accepted.

6.6 EARNEST MONEY DEPOSIT

6.6.1 The bidder must submit an interest free Earnest Money Deposit (EMD) of Rs.

5,00,000.00(Rupees Five Lakhs only) by way of Demand Draft (DD) drawn in favour of

Managing Director, KINFRA payable at Trivandrum along with the Technical bid in a

cover super scribed “Earnest Money Deposit”. The bids not accompanied by EMD will

be summarily rejected.

6.6.2 The EMD of all unsuccessful bidders will be refunded within a period of thirty (30) days

from the date of awarding work to the successful bidder. The EMD of any bidder,

whose bid is rejected on account of being non-responsive or non-reasonable in

accordance with the RFP, will be refunded within a period of thirty (30) days from the

date of intimating the rejection of bid by KINFRA to the bidder.

6.7 FORMAT AND SIGNING OF BIDS

6.7.1 The Technical Bids and Financial Bids are to be submitted as per the prescribed

formats in Annexure B. The proposal shall be typed and printed in indelible ink and

shall be signed by the Bidder or a person duly authorized to bind the applicant

organization to the contract. All pages of the proposal including all Photostat copies

shall be attested by the person signing the proposal. Any interlineations, erasures or

overwriting shall be valid only if it is attested by the person signing the proposal.

6.7.2 The intending firms shall also submit the list of such projects, where, due to any disputes

litigation/arbitration was invoked and/or the consultancy services were

abandoned/suspended by the Consultant(s). Suppression of any information in this regard

may lead to disqualification of the Applicant(s) concerned, if such information comes to the

notice of KINFRA. Incomplete applications will be summarily rejected. Applicants should give

an undertaking certifying that the firm or its Associates / Subsidiaries has not been

blacklisted or debarred by any Central/State Governments/Govt Departments/ Govt

Bodies/PSU’s.

6.7.3 The cost of preparation of bids and related expenses has to be borne by the Bidder.

The bidders will not be eligible for reimbursement of any travel expenses for

attending pre bid meeting and othermeetings for making presentation or any other

purposes.

6.7.4 Any addendum/corrigendum/clarification to this RFP document shall only be uploaded

on the website of KINFRA and may not be communicated otherwise. Prospective

bidders are therefore advised to visit KINFRA website and get updated on the latest

status.

6.8 SEALING AND MARKING OF BIDS

6.8.1 The bidder would provide all the information as per this RFP, and KINFRA would

evaluate only the bids received in the required format. The Technical Bid and

Financial Bid should be separately submitted in sealed envelopes, super scribed

“Technical Bid” and “Financial Bid” respectively in separate envelopes. In the

envelope super scribed ‘Technical Bid’ should contain Pre-qualification Criteria and

6.9 RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS

Notwithstanding anything contained in this RFP, KINFRA reserves the right to accept or

reject any Bid/ all Bids and to annul the bidding process and reject all bids, at any time

prior to the signing of the agreement without assigning any reason and without incurring

any liability to the rejected Bidder/ Bidders or any obligation to inform the affected

Bidder/ Bidders of the grounds for rejection.

6.10 SUCCESSFUL BIDDER

6.10.1 The successful bidder shall be selected based on the evaluation and scoring of the bid

and presentation.

6.10.2 The work will be awarded to the successful bidder and theselected bidder would be

required to execute the agreement with KINFRA within 15 days from award of work.

6.11 DEFAULT AND FORFEITURE OF EMD

6.11.1 The EMD will be forfeited under the following circumstances:

If the successful bidder fails to execute the agreement in prescribed time.

If the bidder withdraws his offer during the Bid validity period

If the successful bidder fails to furnish the Bank guarantee / performance

guarantee with in time stipulated in work order / letter of intent.

6.12 DEFINITION OF TERMS & PAYMENT TERMS

6.12.1 Definition of “Completion of work”: It is defined as completion of all the work as

mentioned in the terms of reference and the marketing of 30% of the allottable land

to industrial units and approval by KINFRA of the Completion Report submitted by

the Consultant

6.12.2 The Payment Schedule will be as follows –

20% as initial payment on execution of agreement against Bank Guarantee for

equivalent amount from a Nationalised bank. This BG is initially for a period of 24

months. This BG will be released after the final payment on submission of

Performance BG for an amount equivalent to 10% of total value of the consultancy

charge and valid for 12 months

10% on submission of masterplan, preliminary reports and preliminary drawings and

on approval by KINFRA .

10% on submission and approval of engineering designs, drawings, plans, detailed

estimates.

15% on submission of the final DPR and acceptance by KINFRA .

10% on approval of the DPR by KIIFB.

10% on submission of all Bid documents for Tender purpose by the Consultant and

acceptance of the same by KINFRA.

10% on allotment of 15% of the allottable land by the marketing effort of the

Consultant.

15% on allotment of remaining 15% of the allotable land by the marketing efforts by

the Consultant

10% of the quoted amount will be given as incentive on allotment of every

additional 10% of the land within 24 months by the marketing efforts of the

Consultant.

Note: All payments shall be subject to “Tax Deduction at Source” (TDS) and

such other statutory deductions as may be applicable from time to time.

6.13 LIQUIDATED DAMAGES

6.13.1 In the event of a delay in completion of work as per the completion Schedule for

which the consultant is responsible, the consultant shall pay Liquidated Damages to

KINFRA at the rateof half percent (0.5%) per week of delay, subject to a maximum

of ten percent (10%) of the consultancy fees.

• Such Liquidated Damages shall be deemed to be a genuine pre-estimate of the

foreseeable damages incurred by KINFRA due to delay and shall be KINFRA's sole

recourse for late performance by the consultant under the agreement.

6.14 Conflict of Interest

6.14.1 KINFRA requires that consultants should provide professional, objective and

impartial advice and at all times hold the client’s interest paramount, strictly avoid

conflicts with other Assignment/jobs or their own corporate interests and act

without any consideration for future work. The consultant and any of their

affiliates shall be considered to have a conflict of interest and shall not be hired

under any of the circumstances given below: (a) Conflicting activities or assignment

i.e. providing goods or works or assignment other than consulting assignment (b)

Conflicting relationship i.e. business/relationship with a member of client’s staff

involved in the job. (c) The consultants shall be required to observe the highest

standard of ethics during rendering of professional services.

6.15 Fraud and Corruption

6.15.1 KINFRA requires that the bidders against this RFP shall observe the highest

standard of ethics and shall not indulge in corrupt , fraudulent and collusive

practices which would result in rejection of bids and cancellation of award of

contract. In pursuit of this policy, the following are defined:

6.15.2 Corrupt practice means the offering, giving, receiving or soliciting, directly or

indirectly, of anything of value to influence the action of a public official in the

bidding process or in contract execution.

6.15.3 Fraudulent practice means a misrepresentation or omission of facts in order to

influence the bidding process or the execution of contract.

6.15.4 Collusive practice means a scheme or arrangement between two or more bidders,

with or without the knowledge of the client/KINFRA, designed to establish bid

prices at artificial, non-competitive levels and Coercive practice means harming or

threatening to harm, directly or indirectly, persons or their property to influence

their participation in the bidding process or affect the execution of contract.

• SUB-CONTRACTING & SUB-CONSULTANT

6.16.1 The Consultant shall not subcontract whole of the work. However they may

subcontract any part of the work after duly notifying and obtaining prior approval

from KINFRA.

6.16.2 The Consultant shall indicate the name of sub- consultants if any for any services

with their organization details, qualification and experience of the main personnel

and shall obtain prior approval of KINFRA before their engagement for the

consultancy. Such Sub consultant approved by KINFRA shall be associated from

the preliminary drawing stage to the final design work. However, the consultant

shall be fully responsible for the correctness and accuracy of the designs prepared

by sub-consultants and shall indemnify KINFRA for damage or loss caused due to

any negligence of sub-consultant(s). The copy of the agreement between sub-

consultant and the consultant shall be submitted to KINFRA.

7. EVALUATION OF PROPOSALS AND PROCESS OF SELECTION.

7.1 The bidder shall submit the Technical Bid and Financial Bid for evaluation. The

prequalified bidders will be invited for the presentation of their proposal before the

Selection Committee.

7.2 PRE-QUALIFICATION CRITERIA

• Experience in providing consultancy services for a minimum period of 7 years in

similar projects or assignments.

• Experience as Consultant in the preparation of DPR in at least one fully implemented

Industrial Park Project/ similar project with project cost of Rs.360 Crore and above.

• The bidder/Lead partner should have experience as consultant in completing a

government project either state or central government or PSUs with a project cost of

180 crores and above.

• The sole bidder/ lead partner of the bidding consortium should have annual Profit in

each of the preceding 3 years starting from 2014-2015 onwards. [The Bidder

shall provide copies of Audited Statement of Accounts and Balance Sheets. In case

audited balance sheet is not available for the year 2016-2017, Chartered Accountant

certified balance sheet shall be provided].

• The sole bidder/ lead partner of the bidding consortium should have positive net-

worth in the preceding 3 years. [The details of annual turnover and annual profits

may be separately provided. Copies of PAN card, Income Tax Returns related

documents; Service Tax returns filed shall also be enclosed]

7.3.9 The total technical score (TS) would be an arithmetic sum of scores obtained by the

bidder for each of prescribed parameters. The total technical score would include 75

marks based on documents submitted by the bidder showing conformance to the

parameters shown above and 25 marks based on presentation made by the

prequalified bidder before the selection committee. Based on the Technical Score

(TS) bidder will be shortlisted for the next stage.

7.3.10 The bidders are requested to quote the amount in Indian Rupees for undertaking the

assignment.

7.3.11 Following methodology is used for arriving at the Financial Score (FS)

7.3.12 Final evaluation of combined technical and financial bid shall be based on the “Final

7.3.13 In order to arrive at the “Final Weighted Score”, a weightage of 80% will be assigned

for the Technical Score (marks/points scored in technical bid evaluation) and

weightage of 20% will be assigned for Financial Score.

The “Final Weighted Score” will be as follows:

7.3.14 The bidder scoring the highest “Final Weighted Score” shall be awarded the project.

7.3.15 KINFRA however reserves the right to reject any or all bids received, without

assigning any reasons and without any liability to KINFRA.

8. FORMAT OF TECHNICAL BID AND FINANCIAL BID (As per Annexure B)

THE TECHNICAL BID SHALL INCLUDE:

8.1 Pre-Qualification details as per enclosed Format.

8.2 The Technical Bid should have a covering letter which provides information on the

firm/company interested in taking up consultancy for Petrochemical Park, Kochi.

8.3 The bidder shall provide all necessary documents like MoU / AoA and completion

certificate from the Client with total cost of each project on the experience in

providing consultancy services for a minimum period of 7 years and above in doing

similar projects or assignments.

8.4 The Bidder shall provide specific information on experience of the organization in

providing consultancy services, particularly for DPR preparation of large projects,

which have been fully implemented. Signed, dated and sealed copies of work orders

and the work completion certificate/client certificate shall be submitted. Projects

mentioned without supporting documents will not be considered.

8.5 The Bidder shall provide specific information on experience as Consultant/PMC in

Industrial Park/Industrial Estate/Industrial Projects completed (fully implemented),

in an area of 100 acres or more as evidence of the organization’s ability to

successfully conceptualize, implement and complete large projects in Industrial

Infrastructure development including DPR preparation. Signed, dated and sealed

copies of work orders and the work completion certificate/client certificate shall be

submitted. Projects mentioned without supporting documents will not be

considered.

8.6 The Bidder shall provide information on projects undertaken as Consultant/PMC in

similar Infrastructure development Projects for Industrial Parks in petrochemical and

pharmaceutical sector. The assignments may be in the nature of consultancy projects

for pre-feasibility reports, detailed project reports or similar activities. Copy of work

orders/completion certificate from the client to be submitted.

8.6 The Bidder shall provide details of existing local offices in Kerala, if any. The details

such as contact address details, number of staff, and office hierarchy structure may

be provided.

8.7 The Bidder shall provide details of certifications of Quality Management System

(ISO), attained by them. Copy of the certificates to be enclosed showing validity

dates.

8.8 The Bidder shall provide details of Experience in developing and executing ‘Green’

parks/institutions/industrial areas as per IGBC guidelines. Relevant Documents as

proof to be submitted.

8.9 In the case of Consortium, scope of work of each consortium member to be clearly

mentioned.

8.10 The Bidder shall make a presentation on ‘Methodology and Work Plan’ as well as the

‘Deployment of Proposed Team’ earmarked for this assignment. The presentation on

Methodology and Work Plan shall include various aspects of Detailed Estimate

Bidder and should cover all aspects under ‘terms of reference ‘.

THE FINANCIAL BID SHALL INCLUDE:

8.13 The Bidder should quote in the Financial Bid theconsultancy fees in Indian Rupees.

The Financial Bid should have the Total Price inclusive of all taxes.

8.14 No subjective condition will be accepted in the Financial Bid.

8.15 The formats for Technical Bid and Financial Bid are provided at Annexure B. The

format in which presentations are to be made is given in Annexure C. The Bidders

will strictly adhere to the presentation formats provided and number of slides for

presentation shall not exceed 10 numbers. Time allowed for presentation is

maximum 20 minutes.

REQUIREMENT/ DEMAND ANALYSIS

• This section should present the specific problem(s) or issue(s) faced by

stakeholders like citizens, businesses or governments that would be addressed by

means of provision of improved services through the proposed project.

• In this section, the rationale behind the project proposed shall be described with

clear focus on the existing condition and how it will help in improving the

situation and bring benefits to the stakeholders.

• The rationale could be broad based and supplemented with facts and figures.

Information based on objective research, not subjective impressions, should be

provided to justify the need or problem. The rationale should be written in a way

that would lead to objectives.

• Need of petrochemical park in the identified area should be explained in this

section. Detailed market study to accompany the demand analysis and potential

to attract customers to be evaluated in proper.

FUNCTIONAL DESIGN

• This section should present an analysis of different options available to achieve

the objective and the reasons for selecting the proposed option should be

substantiated.

• The functional design of the project is mainly achieved through field study and

documentation using existing information and specifications from various

standards.

• Area quantification of the requirements should be mentioned in the report; also

the methodology adopted in arriving at the total area should be clearly specified.

• The location of the petrochemical park depends on several factors like the

availability of land area and raw materials, facilities for transportation, availability

etc.

• History of functioning of existing/nearby industrial park in the region, if any shall

be considered.

• The infrastructure shall be planned as to get the most economical design and at

the same time satisfy specific requirements, if any.

• The design of the infrastructure shall be considered as one which results in

minimum construction cost with respect to the actual site conditions like

topographical features, geotechnical features etc.

• The general layout of the petrochemical park shall be planned as per the site

conditions and the requirements of facilities to be provided.

• The layout of different plot sizes along with the infrastructures being provided

shall be prepared as per the general requirement and at the same time, the plots

shall be flexible for purchase.

• The project proposed shall satisfy all the rules and regulations laid down in the

respective codes and manuals.

ENGINEERING DESIGN

• This section should elaborate the technology choices, structural aspects and

evaluation of the technology option, as well as the basis for the technology for the

proposed project.

• A detailed layout of the industrial park area shall be prepared in a master plan

manner showing the allocation of different plots, internal and external

infrastructures, if any .etc

• Designs of Standard Design Factories (SDF) shall be supplemented with

the buildings.

FINANCIAL ESTIMATES & COST PROJECTIONS

• This section should focus on the cost estimates, budget for the project, means of

financing and phasing of expenditure.

• Cost estimates have to be worked out on the basis of detailed bill of quantities

(with detailed measurements of length, breadth, and depth / height for each

item), using the current Schedule of Rates of the State Government (PRICE) or

relevant SoR as applicable.

• Applicable taxes, contingencies, investigation charges including any O&M cost for

a specific period shall be clearly specified.

• Lump sum provisions for land acquisition etc. shall be explained in detail and

justified.

REVENUE STREAMS

• Options for cost recovery, if any, should be explored

• Innovative ideas for additional revenue generation may be indicated.

• Sensitivity analysis from the revenue streams to be incorporated

COST BENEFIT ANALYSIS& INVESTMENT CRITERIA

• Cost Benefit Analysis (CBA) is a technique whereby the costs of and benefits from

a scheme are quantified over a selected time horizon and evaluated by a common

yardstick.

• Financial and economic cost benefit analysis of the project should be undertaken

wherever such returns are quantifiable.

• Cost Benefit Ratio (CBR - benefit to cost ratio), EIRR (Economic Internal Rate of

Return) etc. shall be worked out in detail with all supporting primary and

secondary data.

• The project cash flow projections for the life cycle along with underlying

assumptions have to be presented.

ENVIRONMENTAL & SUSTAINABILITY ASPECTS

• An Environmental Management Plan (EMP) is to be developed explaining the

possible environmental issues which may arise during the construction and

operation of the infrastructure and associated facilities depending upon the size

of the project.

• Environmental impact assessment study if mandatory and measures identified to

mitigate the adverse impact, if any shall be conducted and documented in detail.

• Issues relating to land acquisition, diversion of forest land, wildlife clearances,

rehabilitation and resettlement should be addressed in this section.

• Inclusion of international best practices in sustainable infrastructure management

including green building concept, potential low carbon, low energy, zero pollution

etc. are desirable.

RISK ASSESSMENT AND MITIGATION MEASURES

• For those projects which involve large capital outlay and various issues relating to

land acquisition, environmental aspects, a detailed and systematic risk analysis

may be resorted to.

• Identification and assessment of implementations risks which can lead to time

overrun, cost escalation, scope reduction etc. is the primary stage in risk

assessment.

• The mitigation plans including risk avoidance, risk transfer, and risk elimination

are to be well analysed and documented.

• For complex projects with multiple risk profiles, numerical modelling and

simulation may be adopted.

PROJECT MANAGEMENT ORGANISATION

• Responsibilities of different agencies for project management of the said project

should be elaborated. The organization structure at various levels, human

resource requirements, as well as monitoring arrangements should be clearly

spelt out.

• Management strategy for the institutional structures and mechanisms would be

well chartered for ensuring effective project management.

• The involvement of external consultant if any shall be documented

CONTRACT MANAGEMENT STRATEGY

• Contracting methodology whether item rate, lump sum, design and execute, EPC

etc. must be specified in detail for the execution of the project.

• The system followed in the bidding document and manuals of reference etc. like

PWD/CPWD/ FIDIC shall be explained.

• Any variation proposed from the current practices acceptable under government

of Kerala (Arbitration, escalation etc.) in the system due to any specific technical

aspects associated with the project need to be explained with justification.

• Any contract clause which may likely to lead to additional financial liability shall be

identified and reported with suggestions to overcome such issues.

IMPLEMENTATION SCHEDULE & WBS

• The time bound work schedule is an important part of every project because it

helps in better handling of projects in planning, implementation etc.

• This section should indicate the proposed zero date of commencement and also

provide a Bar chart / Project Schedule, wherever relevant.

• Phasing of project activities, proposed contract packages and schedule of

implementation for each phase.

• Identify critical dependencies in the project and expected timelines for

completion of key milestones and associated process indicators for the same.

• The DPR should provide a time-bound action plan including tendering,

appointment of contractors, construction schedule, quality assurance & quality

control and post-construction activities, including project delivery

STATUTORY CLEARANCES

• This section should elaborate the statutory clearances to be obtained from the

various authorities.

• Statutory approvals as per bye laws, master plan, fire safety norms,

quality assurance & quality control of the project execution.

(KINFRA), a body corporate duly constituted under the Kerala Industrial

Infrastructure Development Act 1993, having its principal office at “KINFRA House‟,

T.C.31/2312, Sasthamangalam, Thiruvananthapuram-695010, represented by its

Managing Director,

WHEREAS KINFRA being the nodal agency for Industrial Infrastructure development

for the state of Kerala, got approval to establish a Petrochemical Park in

approximately 450 acres of land atAmbalamughal, in Ernakulam District, Kerala. The

project is intendedto create an Industrial Park with all infrastructure facilities exclusive

for the Petrochemical Industry.

WHEREAS KINFRA has invited Request for Proposal (RFP) from reputed Consulting

Firm meeting the eligibility criteria for selection of a Consultant for preparation of

DPR and marketing 30 % of allottable land in the Park

WHEREAS after evaluation of the various Technical and Financial Bids, the bid

submitted by the Consultant is found to be more responsive and Consultant has

been selected as the successful bidder to be appointed as Consultant for the

preparation of Detailed Project Report (DPR) and marketing of the project of the

Petrochemical Park as per scope of services detailed in the RFP.

WHEREAS KINFRA has issued the work order No…………………dated…………………………

to the Consultant awarding the contract for the preparation of Detailed Project Report

(DPR) and marketing of the proposed Petrochemical Industrial Park Project as per the

TOR for a total Consultancy fee of Rs……………………………….inclusive of all taxes and

duties District

1.NOW IT IS HEREBY AGREED AS FOLLOWS:

a) The Consultant shall render their services to the Petrochemical Park Project with

respect to technical, commercial and financial aspects of the Project, in

accordance with the Terms of Reference and Deliverables described in Annexure1.

b) The following documents shall form part of this agreement:

1. RFP document

2. Terms of Reference & Deliverables issued by KINFRA

3 Financial Quote submitted by the Consultant.

4 Clarifications given during the pre-bid meeting

5. Any corrigendum issued by KINFRA

c) All the terms and conditions contained in KINFRA’sRequestFor proposal as well as

work order shall be binding on the consultant.

d) Schedule of payment

The Consultant shall be paid the consultancy fees, based on the following

payment schedule:

20% as initial payment on execution of agreement against Bank Guarantee for

equivalent amount from a Nationalised bank. This BG is initially for a period of

24 months. This BG will be released after the final payment on submission of

Performance BG for an amount equivalent to 10% of total value of the

consultancy charge and valid for 12 months

10% on submission of masterplan, preliminary reports and preliminary

drawings and on approval by KINFRA .

10% on submission and approval of engineering designs, drawings, plans,

detailed estimates.

15% on submission of the final DPR and acceptance by KINFRA .

10% on approval of the DPR by KIIFB.

10% on submission of all Bid documents for Tender purpose by the

Consultant and acceptance of the same by KINFRA.

10% on allotment of 15% of the allottable land by the marketing effort of the

Consultant.

15% on allotment of remaining 15% of the allotable land by the marketing

efforts by the Consultant

10% of the quoted amount will be given as incentive on allotment of every

additional 10% of the land within 24 months by the marketing efforts of the

Consultant.

Note: All payments shall be subject to “Tax Deduction at Source” (TDS) and such

other statutory deductions as may be applicable from time to time.

e) The Consultant in consultation with KINFRA, shall prepare a detailed Time

Schedule for the execution of the Project, to achieve the overall target date of

completion of the Project. Final Time Schedule shall be prepared within seven

days of the signing of this Agreement. This will be binding on both parties.

f) If the Consultant fails to adhere to the time schedule or the extended time, which

may be granted by KINFRA, in its sole discretion, KINFRA shall be entitled to

terminate this agreement and entrust the work to some other Consultant and in

that case, the Consultant shall be entitled to fees or compensation only up to the

stage of work carried out by him and approved by KINFRA. In the event of

Consultant being not in a position to fulfill the scope of works as mentioned in

Annexure-1 in such a way that the implementation of the Petrochemical Park

project cannot be carried out as per the time schedule, KINFRA will be free to get

the same carried out by other agencies at the risk and cost of the Consultant, and

in that event KINFRA shall have the right to terminate the Consultant Contract

without payment to the Consultant.

This agreement is deemed to have come into effect from ………………(date of

acceptance of work order). The agreement shall remain in force for a period of 24

months from the effective date of agreement or till actual date of completion of

work including marketing of allottableland including any extra items or excess

quantity whichever is later.

KINFRA has the right to terminate the contract at any time if the performance of

the Consultant is found to be not satisfactory by KINFRA. In that event the

consultant is eligible for payment only for the work accepted/completed/services

rendered by the consultant and approved by KINFRA up to the date of

termination.

b) These professionals may be retained throughout the project period and

may be replaced only with prior concurrence of KINFRA. If KINFRA requires

that any of the above professionals may be replaced for deficiency in

performance or on account of indiscipline, the same may be effected by

the Consultantat the earliest.

c) The Consultantmay deploy required personnel viz. Mechanical Engineer,

Electrical Engineer, Chemical Engineer, Instrumental Engineer, ETP experts,

Financial Manager etc. as required from time to time. Consultant may also

outsource highly specialized work with the prior approval of KINFRA only.

4. SUB-CONTRACTING & SUB-CONSULTANT

The Consultant shall not subcontract whole of the work. However they may

subcontract any part of the work after duly notifying and obtaining prior

approval from KINFRA.

The Consultant shall indicate the name of sub- consultants if any for any

services with their organization details, qualification and experience of the

main personnel and shall obtain prior approval of KINFRA before their

engagement for the consultancy. Such Sub consultant approved by KINFRA

shall be associated from the preliminary drawing stage to the final design

work. However, the consultant shall be fully responsible for the correctness

and accuracy of the designs prepared by sub-consultants and shall indemnify

KINFRA for damage or loss caused due to any negligence of sub-

consultant(s). The copy of the agreement between sub-consultant and the

consultant shall be submitted to KINFRA

5. LIQUIDATED DAMAGES

In the event of a delay in completion of work as per the completion

Schedule for which the consultant is responsible, the consultant shall pay

Liquidated Damages to KINFRA at the rateof half percent (0.5%) per week of

delay, subject to a maximum of ten percent (10%) of the consultancy fees.

Such Liquidated Damages shall be deemed to be a genuine pre-estimate of

the foreseeable damages incurred by KINFRA due to delay and shall be

KINFRA's sole recourse for late performance by the consultant under the

agreement.

6. Termination of Agreement

6.1 The Agreement herein may be terminated at any time on one month’s notice

on either side. In the event of termination of the Agreement by KINFRA, the

Consultant shall not be entitled to any compensation or damage by reason of

such termination, but only to the fees for the services actually rendered up to

the time of such termination.

6.2 If the Consultant shall close his business or become incapacitated, from acting

as such Consultant as aforesaid, or if this agreement is terminated in mutually

agreed terms, KINFRA may make use of all documents prepared by the

Consultant after payment for the same as provided herein.

7. Force Majeure:

War, invasion, revolution, riots, sabotage, lockouts, strikes, work shut-down

imposed by Government Acts or legislature or other authorities, stoppage in

supply of materials, fuel or electricity, breakdowns of machinery, act of God,

epidemics, fires, earthquakes, floods, explosions, accidents, sea navigation

blockades or any other acts or events whatsoever which are beyond

reasonable

control and which shall directly or indirectly prevent completion of the project

within the time specified in the agreement, will be considered Force Majeure.

The Consultant shall be granted necessary extension of time to cover the delay

as caused by Force Majeure without any financial repercussions

8. All disputes arising out of or in any way connected with this Agreement shall

be deemed to have arisen in Kerala and only Courts in Thiruvananthapuram

shall have the Jurisdiction to determine the same.

Annexure 1

Terms of Reference and Deliverables

• The Consultant shall be entrusted with preparation of Detailed Project Report (DPR)

and marketing of the project. The DPR should be prepared according to the guidelines

of Kerala Industrial Infrastructure Fund Board (KIIFB); the components of DPR is given

as Annexure A.

• The Consultant should prepare legible layout of the proposed site, carry out site

analysis for elements like soil analysis, surveyed site plan and site soil particulars

including spot levels/contours, flood history, on-site features etc. for realistic cost

estimates of land development and construction.

• The Consultant is responsible for entire architectural component of the project work.

The Consultant should also provide the details regarding the common facilities and

common technical infrastructure required with estimated investments therein. This

would include the developing of the Master Plan along with sectional drawings and

building plan with legends giving clear picture /title of drawings and other relevant

details. This would also include detailed engineering and design including preparation

of detailed cost estimates for various project components/facilities envisaged in the

Petrochemical Park Project. The cost estimates shall be according to the latest CPWD

rates; wherever it is not available, market rates to be considered. The cost estimates for

plant and machinery shall be backed by quotations from reputed equipment and

machinery suppliers in line with scheme requirements.

• The above clause shall be broadly divided as follows:

• Master Plan: To be based on the broad concept design and cost in

consultation with KINFRA

• Preliminary Drawings and estimate: Rates to be calculated based on Delhi

Plinth Area rates

• Detailed Drawings and estimate: Latest Delhi schedule of rates to be

followed. Wherever it is not available, market rates to be considered.

• The Consultant shall prepare all relevant documents related to statutory approvals for

the Petrochemical Park Project.

• The consultant shall prepare and submit all Bid documents required for tender

purpose.

• The Consultant shall work out the implementation schedule with milestones for the

project.

• The Consultant shall abide by all the clauses in the Agreement to be entered in to with

KINFRA .The draft agreement is attached as Annexure D.

• Ten copies of all the deliverables are to be submitted along with the soft copy.

• Consultant shall, on their own (If approved agency) or through another approved

Agency, carry out Environment Impact Assessment (EIA). The Consultant shall co-

ordinate with the Agency for timely completion of the EIA and also follow up with the

appropriate authorities for getting clearance. The cost towards EIA shall also be

included in the financial quote.

• The structural design submitted by the Consultant will be proof checked if necessary

by KINFRA through a third party .If these designs are acceptable and needs no

correction/modification as required in the relevant BIS codes/KMBR, the cost of proof

checking shall be borne by KINFRA. In case correction/modifications are required in

the design and drawing the entire charges for proof checking shall be borne by the

Consultant.

• The consultant shall prepare and submit all bid documents required for the selection

of contractors for the implementation of the project.

• The Consultant shall ensure marketing of 30% of the allottable land to industrial units

1. Detailed Project Report

The report should be prepared with all the components mentioned in Annexure A.

2. Master Plan shall include the following:

• Site analysis Report for elements like soil analysis,surveyed site plan and site soil

particulars including spot levels/contours, flood history, on-site features etc. for

as mentioned.

4. Financial Planning Report for the project in accordance with requirements.

5. Submission of all Bid documents required for tender purpose.

6. Submission of all relevant documents related to statutory approvals

Submission of implementation schedule as per the overall plan.
