  • Transportation Business Advisory Council (TBAC)

    CODE OF CONDUCT

    The purpose of the Transportation Business Advisory Council (TBAC) is to encourage the participation of Small Businesses (SB), including Disadvantaged Business Enterprises (DBE) and Disable Veteran Business Enterprises {DVBE), with Metro

    and to provide a forum for small business trade associations to comment and provide feedback on TBAC policies and practices that effect or impact small business utilization and participation in TBAC contracts and projects.

    Conduct and personal behavior - It is expected Council Members will:

    Adhere to the Operating Gu!delines for the Transportation Business Advisory Council (TBAC);

    Act ethically, with honesty and integrity, in the best interests of the TBAC at all times;

    Take individual responsibility to contribute actively to .all aspects of the Council's role according to its Operating

    Guidelines;

    Make decisions fairly, impartially and promptly, considering all available Information, legislation, policies .and procedures;

    Treat colleagues with respect, courtesy, honesty and fairness, and have proper regard for their interest, rights, safety and

    welfare;

    Not harass, bully or intimidate colleagues, members of the Council, public and/or TBAC or other Agency Staff; No Personal

    Attacks!

    Contribute to a harmonious, safe and productive Council environment/culture through professional relationships; and

    Not make improper use of their position as Council Members to gain advantage for themselves or for any other person.

    Communication and official information- It is expected Council Members will:

    Channel alf communication between Councif and staff on council matters through the appropriate or assigned individuals;

    and

    Not represent themselves as speaking for, or acting on behatf of, Metro or TBAC regarding the business ofTBAC

    Conflict of in;erest- l t is expected Council Members will:

    Disclose any persona! or business interest which may give rise to actual or perceived conflict of interest;

    Ensure personal or financial interests do not conflict with their ability to perform official duties in an impartial manner;

    Not allow personal or financial Interests, or the interests of any associated person, to conflict with the Interests of TBAC;

    and

    Manage and declare any conflict between their persona! and public duty; and where a conflict of interest does arise, the member will recues him/her self from all discussion and decisions on that matter.

    In addition, Council Members commit to:

    Take responsibility for reporting improper conduct or misconduct, including discrimination, which has been, or may be occurring in the meetings, committee or full council, reporting the details to the relevant people or agency; and

    Take responsibility for contributing in a constructive, courteous and positive manner to enhance good governance and the reputation ofTBAC

Motion: Any member indemnification was requested, and other items like process of TBAC made or threatened to be made a party to any action, goals, a TBAC budget, staff support for secretarial work. Meeting suit or proceeding by reason of the fact that s/he is or was a this month was cancelled last minute but will reschedule to follow Director. Officer, or Member of TBAC shall be indemnified and

    defended by Metro pursuant to the law in the same manner as an officer or employee of Metro. [Related #38]

    Closed May 2016. Metro Keith Compton said that when TBAC Keith Compton Action Item #32: Set up bank checking account for TBAC wanted something they just provided through the Metro budget. IfEzekiel Patten Jr TBAC has a checking account then TBAC needs to file tax reports every year. Zeke Patten Jr said without checking account having to pay everything cash. Keith Compton said he would investigate. Mr. Guzman suggested organization that Financial Officer belongs could hold the money.

    1. Welcome and Introductions - Vice Chairperson Ezekiel Patten Jr.

    1. The meeting was called to order at 9:30 a.m. Each person attending introduced themselves.

    2. Agenda Review and Remarks - Vice Chairperson Ezekiel Patten Jr.

    1. Mr. Patten reviewed the Agenda and handout items: Agenda, Code of Conduct, DEOD Award Tracker, Small Business Participation Summary, Metro Highways Projects in Construction, Crenshaw/LAX update, meeting schedule; and there will be a demonstration of the Vendor Portal.

    2. Mr. Patten thanked JACOBS and Shelly McCarthy for sponsoring the meeting coffee and pastries.

    3. Mr. Patten said that there were comments made in the last meeting that disturbed him greatly. Ms. Shelly McCarthy said that when Metro did their presentation people in the audience and Mr. Patten said they were doing it wrong, they should have given handouts and done it differently and it wasn't very humble or appreciative of Metro's work. She wanted to thank Metro for the work and we should be more kind and appreciative of their work. Mr. Patten said thank you and appreciated her comments because he doesn't want to get anyone upset, have a good meeting to solve problems.

    4. Mr. Patten said in the Commodities Committee meeting earlier in the morning there were two buyers and he asked them how they would rate the Vendor Portal so far. One buyer said 75%, the other did not provide a rating because his vendors are having a hard time figuring it out; still doing things the hard way. Mr. Patten asked the buyers if Metro Staff that developed Vendor Portal asked for their inputs and they said no they were not asked. Mr. Patten said TBAC is an advisory group and Metro should seek inputs, not because members are experts but we are the community that is going to use the Vendor Portal.

    5. Mr. Rod Garcia said that TBAC is an advisory group and need's to give inputs and point of view to Metro. Perhaps comments from Ms. McCarthy are about the tone (of voice the comments from audience and Mr. Patten] and if that's the case it's agreed that the manner that TBAC point of view is given to Metro should follow the Code of Conduct, and that's important.

    Discussion June 2016: Ms. Tashai Smith Deputy Executive Officer DEOD. Said that they've received a sample report from B2GNow system, working with their technical folks to have a draft report for review. When draft if ready for review she will send it to Zeke Patten.

    CLOSED June 2016. Mr. Miguel Cabral said all contract Metro DEOD Action Item #23: Take it back to the policy team, that some templates have been updated to include both PO Box and email contract templates have PO Box only [does not include email address.contact information).

    Discussion June 2016: Ms. Carolina Coppolo said that under payment provision in the contract they had a PO Box identified and did not include an email address. Miguel Cabral is going to regroup with the policy team that is in charge of the contract templates to make sure that the template includes both email address and PO Box. We will have Mr. Miguel Cabral report back next month on the progress. Mr. Cabral said that every contract template has been updated so they all include both PO Box and email address. CLOSED June 2016.

    Rod Garcia to contact local agencies, ask if they have SBE-DBE contract goals; provide their response to TBAC. Abdallah Ansari wants Metro to procure A/E contracts and local agencies to procure Construction contracts. Metro procured A/E contracts will have SBE DBE goals.

    Discussion June 2016: Mr. Ben Jong said that Abdallah Ansari will try to get the local agencies to allow Metro to procure A/E contracts so those contracts can have SBD DBE goals. He said that Mr. Ansari doesn't think we should be contacting local agencies to ask if they have SBE DBE goals, if they do, what they are; they don't think local agencies have SBE DBE goals - much like member reported in May 2016 meeting that Redondo Beach does not set goals. He said he therefore thought this action item closed. Mr. Garcia said that discussion in Professional Services committee that TBAC declare to the Board that they should push this, raise it to the next level that local agencies should have SBE DBE goals. For Measure "M" there is some pushback from local agencies on this and Metro is trying to get as much support as possible. Mr. Patten suggested to remove Ben Jong name from the action item and put Professional Services Committee / Rod Garcia. Mr. Solis said this is a five year issue. The opportunities should trickle down. On the construction side many of the opportunities are small enough for SBE DBE firms. But the Board needs to make it policy to hold local agencies accountable. Mr. Patten said that he and Mr. Rod Garcia will be meeting with Metro Board Chair Mr. Mark Ridley-Thomas and will bring this issue to his attention. Mr. Guzman said if any of the funding includes Federal dollars they will need DBE goals/program.

    Discussion June 2016: Ms. Coppola said she will get a list of the current bench contracts and the firms to TBAC Secretary before the next meeting. Mr. Jong asked that his name be removed because Highway Programs is going to be using the SBE set aside program and not re-issue any Bench Contracts. But there are a couple of other divisions (planning, audits, ITS) that still have bench contracts and Ms. Coppola is reporting on those.

    Discussion June 2016: Ms. Tashai Smith said that in last month's meeting she provided website link so everyone can monitor the progress of AB 2690. It's gone through the State Assembly and it's gone through the transportation committee. Now it's sitting in the Senate, assigned to the Transportation committee; that should close this Action Item.

    In progress. No discussion in May 5th meeting; discussion held Victor Ramirez Action Item #45: Regarding the Raymer to Bernson Double over to the next meeting. Track Project: 1) Will there be a Construction Management Rod Garcia

    Services contract and 2) Is the project or solicitation on hold ?

    Discussion June 2016: Mr. Ramirez said that the Raymer to Bernson Double Track Project is on hold. The community has raised concerns, there will be some additional environmental studies performed.

    Discussion June 2016: Mr. Patten said there will be a Vendor Portal presentation today.

    Metro DEOD TBDAction Item #2: Metro to provide an assessment report (grade) of Vendor Portal, how's it doing. Discussion June 2016: Ms. Julie Ellis said there will not be a Vendor Portal demonstration today. Instead they will be walking through Vendor Portal and projecting onto the screen as Metro presenters are discussing and referring to solicitations that are on the Vendor Portal (12 month look ahead, current solicitations, SSE set aside, etc.). She said it's pretty intuitive and easy to navigate the Vendor Portal but if a hands on session is needed it can be arranged.

    Action Items from June 2016 Meeting Action Item #1: TBAC Representatives to have a meeting with Metro Executive Committee so that TBAC has a larger presence with the Metro Board of Directors.

    Discussion June 2016: Mr. William Osgood said that there is a disconnect, TBAC doesn't have any influence as an advisory council. TBAC needs to have advocacy with the Board on a regular basis, this needs to become a TBAC Action Item. TBAC needs to have a presence at the Board meeting in some manner, shape or form. TBAC is not as effective as it could be, TBAC is not known by the Board of Directors. Mr. Patten said that is something they are working on with Mark Ridley-Thomas but it's like trying to turn a battleship. Mr. Osgood said it would be good to get a larger presence of TBAC membership with the Board, and more than must one Board member. Mr. Rod Garcia suggested that members of the Legislative Committee to attend the Board meetings and provide comment during public comment session. Mr. Al Solis said that he attends Board meetings. The week before Board meetings they have committee meetings, for example Construction Committee meetings and TBAC influence would be more powerful in committee meetings. Mr. Patten requested an action item for TBAC meeting with Metro Executive Committee.

    Action Item #2: Recommend that Metro conduct meeting with other government agencies and businesses to coordinate business goals so not competing with each other for the same resources. Discussion June 2016: Mr. Roger Soneja said that in San Diego area there is a round table of all the public agency owners, they come together to discuss with the consulting community, construction, and professional services to share what kind of ballot measures and programs they are putting up because there is the concern that they can pass ballot measures but the resources have to be shared, if they cannot compete for the same talent then it doesn't help anybody. Since Metro is the main Los Angeles based public agency they should have a dialogue among other public agency owners to share once a quarter or so, what else is coming up so that we are not competing for scarce resources. Other public agencies like Caltrans, Airports, City of Pasadena, etc. Mr. Patten said he agrees let's make that an action item.

    4. Meeting Minutes Review - Vice Chair Ezekiel Patten Jr.

    1. The May 5, 2016 meeting minutes were reviewed. Mr. Patten called attention to attendance list that's included in the meeting record, to encourage everyone to attend. Ms. Dyson made motion to accept the meeting minutes, and it was seconded. Vote all Ayes, no Nays.

    2. Mr. Patten said there isn't' a guest speaker for the meeting. But in future could always have one of TBA( members get up and give a 5 minutes presentation and that would be very enlightening and thoughtful as everyone in the membership has something to say and doing something good.

    5. Metro ContractingOooortunities A. Highway Programs, Abdallah Ansari Metro Managing Executive Officer F. Professional Services Committee - Chair Rod Garcia 2. Professional Services procurement opportunities are in a lull. Highway Programs is looking at what kind of procurement opportunities they will have after award of a bunch for environmental, design, and studies for 605 Hot Spots; perhaps something in the next 6 months subj ect to upper management review.

    3. There are four Construction contracts that are going to be let out in the next 6 months; refer to the handouts for a list of the Highway Programs contract opportunities:

    4th Phase Citywide ITS Master Plan Inglewood $3.5M estimated advertise date May 2016; PCH at Torrance Boulevard Intersection Improvements, Redondo Beach $586K, July 2016; SR-138 Widening Segments 8 & 9 Caltrans $22.0M Sept 2016; Aviation Boulevard Improvements (Construct Right Turn Lane), Redondo Beach $847K, Sept 2016.

    B. Procurement/Contract Look-Ahead, Victor Ramirez Metro Interim Executive Officer Vendor/Contract Management 1. Mr. Victor Ramirez reviewed several of the potential opportunities listed in the Vendor Portal 12 month look ahead report: Program Support Consultant to Assist in Implementation of Construction Management Best Practices; Various EMS Projects and Initiatives at Multiple Divisions; Solar Panel Improvements Project; Construction Management Consultant Professional Services Contract A&E; Raymer Benson Double Track (Metrolink); Final Design Portal Widening (Turnback Option for Metro Red Line Station Extension); Culver City Expo Line Metro Bike Hub Construction; Construction of Sound Wall package 11; Program Control Management Support & Implementation Services; Bob Hope Airport Pedestrian Bridge; Division 3, 5, 15 and 18 Metal Awnings; Blue Line Signage System.

    2. Some projects that will occur in 2017: Emergency Security Operations Center (ESOC) Construction Management Support Services and Southern California Regional Interconnection Project (SCRIP) Design Support Services.

    3. Question was asked, when will Soundwall 10 package be released? Mr. Ramirez said he believes that was already released.

    4. Question was asked, why was Bob Hope Station contract award cancelled ? Mr. Ramirez said that the bid was cancelled because it was above what was expected in terms of price, inadequate funding. They are looking to descope and also look at leveraging State funding with Federal dollars.

    5. Mr. Rod Garcia said in the Professional Services committee meeting, members said sometimes there is not enough time to respond to RFP's even with four to five weeks look ahead before the RFP is released. Mr. Ivan Page attended the meeting and explained why it happens - funding, project managers not giving more time, etc. Mr. Ramirez said that when the time allowed for an RFP or proposal is too short that the concern can be submitted in writing with why it's not adequate amount of time; it will be considered.

    6. One member said their company offers GPS receivers and asked how to get in touch with Primes to team up as a subcontractor. Mr. Ramirez said next week there is a "Meet the Buyers (Project Manager's)" workshop and that's a great opportunity to meet with Project Managers and share products and services provided by a company, and for networking with other firms. Ms. Carolina Coppolo suggested to download the RFP or proposal and see if there is a pre proposal conference, it's an opportunity for networking/team building with the Primes. Ms. Olga Mireya Lopez mentioned that the Meet the Buyers conference is on Wednesday June 8th and 9th 2pm - 4:30pm. It includes a match making component. Additional info on Metro Connect website.     7. Mr. Robert Guzman asked if solicitation is posted do firms get an email notification if they have registered with NAICs code on the Vendor Portal ? Mr. Ramirez said yes email notice is sent. Ms. Julie Ellis said that when solicitations are posted DEOD will do a search on firms that have applicable NAICs codes to send out emails. So emails are sent to firms that are identified in the Solicitation, and also any firms that have picked up the solicitation.

    8. Mr. Roger Soneja asked about the Solar Panel Improvements solicitation in the 12 month look ahead, the estimated cost $3M to $25M. Does that mean it will not be a Set Aside Prime opportunity, and will it be a separate RFP even though he is participating in the current contract that was awarded to four consultants under Environmental & Sustainability department ? Mr. Ramirez said that it's closer to the $2SM than the $3M so not expected to be a Set Aside Prime opportunity. Mr. Ramirez said he could not comment if there would be an organizational conflict of interest. There would likely be a conflict of interest for current firms if they had a role in the follow up work.

    C. Current Solicitations, Linda Perryman Metro Manager Small Business Programs 1. Mr. Jerry Jacobsen presented current solicitations listed on the Vendor Portal. Crenshaw/LAX Transit Project Business Solution Center has a 20% SBE and 3% DVBE goal. Sound System Enclosure IFP has a 30% SBE goal. Heavy Rail Vehicle Acquisition Program Control Support Services RFP is a Federal project with 20% DBE goal. SBE Prime opportunities mentioned were Joint Development ''On Call" Contract for Financial Services, Emergency Equipment (Site Specific), and California Transportation Commission (CTC) Technical Advisory Services.

    2. Mr. Rod Garcia asked what specifically is being asked for in the RFP and why does the title include Technical Advisory Services. Mr. Jacobsen said the solicitation can be downloaded and it has more detailed information.

    3. Mr. Jacobsen mentioned that it's an important development what Mr. Ben Jong said earlier about the expired Bench Contracts and that Highway Programs is using SBD Prime program instead of Bench Contracts. It gives SBE first shot. The SBE Prime program is two years old and is working out.

    4. Ms. Rosalind Pennington said that she did receive email notice about recent solicitation that was released.

    S. Ms. Tashai Smith said the 2016 Disparity Study RFP has been released, 27% SBE and 3% DVBE.

    6. Committee Reoorts A. Bylaws Committee (Ad Hoc) - Chair Rod Garcia 1. Mr. Garcia said that he met with Mr. Keith Compton previously to review the changes to the Bylaws suggested by TBAC members. The main conclusion was that the Bylaws need to be changed to reflect that the Metro Board for Directors needs to appoint members.

    B. Commodities Committee - Chair Ezekiel Patten Jr. 1. Mr. Patten said that Ms. Tashai Smith provided a report to the committee for every item purchased from small business in the past year by product category. The report will be posted online.

    2. Two buyers attended the meeting. The next meeting will have a technical buyer person.

    3. The buyers are providing info to help businesses get their products approved on the lists that buyers purchase from.

    4. Vendor information payment terms need to be provided, those are the payment terms that will be used for any bid. Buyers do not set payment terms. Example net 15, net 30.

    5. The committee requested a hands on demonstration of the Vendor Portal. That demonstration was provided earlier in the General Meeting and Mr. Patten thanked Metro for the demo.

    C. Construction Committee - Chair Deborah Dyson 1. Ms. Dyson reported that the committee had a meeting earlier in the morning. Boot camp is still on hold.

    2. They discussed how to help the micro small businesses because they are not getting much participation from micro businesses so need to help them.

    3. Also discussed prompt payment issues. 4. There was one Metro person attending the meeting but the committee is looking for another Metro person to connect with to attend the committee meeting because construction on a smaller business is not at the level of highways.

    D. Legislative Affairs Committee - Chair William Osgood 1. Mr. Osgood reported that the Legislative committee met earlier in the morning aind they have four action items. 2. Mission of the committee is to educate, not take a position on legislation. 3. The committee is looking for members to serve, and they are asking Mr. Miguel Cabral if the committee can meet on the second Monday every month and have a Metro person assigned to the committee.

    4. Copy of AB2690 Bill, Bill analysis and proposed amendment will be distributed. 5. The committee is very concerned with the goal setting process that Metro uses on all of it's procurements and so would like to look at that as a committee and make some recommendations.

    6. The committee discussed the interface with Metro Board of Directors.

    7. Mr. Rod Garcia said that perhaps the committee can take an action item to review the Disparity Study Solicitation and make recommendations because the study is going to set the goals going forward.

    E. Membership Committee - Chair Sandy Schneeberger 1. Ms. Schneeberger reminded members that the annual membership renewals will be done differently than it has in the past, and waiting to hear from Metro what the new process will be. Anticipating that the membership application will be modified as well.

    2. She encouraged member organizations continue to ensure that the sign in roster is correct with names and contact information because the information is vital to keep in contact with member organizations.

    3. Mr. Patten requested that each committee chair prepare a little report about what was discussed and give to TBAC Secretary, how many people attended, what timethe meeting started, etc. so there is a permanent record of the meeting.

    F. Professional Services Committee - Chair Rod Garcia 1. Mr. Garcia reported that Mr. Abdollah Ansari also attended the committee meeting and Mr. Ansari mentioned that there are a number of projects coming up, with A/E services opportunities probably mid 2017.

    2. In the meeting Mr. Ansari also mentioned the new tax initiative "Measure R2" that Metro would like to put on the November ballot and would have a half cent sales tax. If it passes it would bring in $1208 over a 40 year period. If it passes there will quite a bit more work coming up. So he urged members to support the tax initiative because otherwise traffic congestion will continue to increase ..

    3. Mr. Ansari told the group that the High Desert Project is also being looked at, it's a joint government and private industry project ..

    4. Mr. Garcia said that there was discussion that often there is not enough time provided by Metro to respond to solicitations and sometimes debriefing is hard to get and should be sooner than later.

    5. Members commented that there are not enough SBE Set Aside opportunities. 7. Open Agenda - Vice Chair Ezekiel Patten Jr 1. Mr. Rod Garcia recommended that for Measure R2 or M, it would be good for each TBAC representative to send a letter to their member organizations to support Measure R2 and why. Mr. Garcia volunteered to draft a letter to send to their organizations to support Measure R2. Mr. Patten asked Mr. Osgood to draft a letter.

    2. Mr. Kevin Ramsey asked what part will small businesses have in Measure R2 ? They want to support it but what does Measure R2 have in it for small businesses.

    3. Mr. Osgood said that there are some organizations that have not attended in five or six meetings in a row, we should enforce attendance policies because having a member not present dilutes effectiveness of TBAC advisory role. Ms. Schneeberger said there are participation requirements in the Bylaws, but the Bylaws are under review. On completion of the review members that are not attending potentially will not be eligible to participate in elections.

    4. Mr. Al Solis said that he agrees that small businesses need to be recognized in the new ballot tax measure and encouraged the Legislative Committee to push forward to make sure small business is included.

    5. Ms. Schenae Rourk said that she saw a couple of business owners in the meeting today that she had invited and was glad to see them, and encouraged members to invite other members and business members to attend.

    6. Mr. Robert Guzman said it's important to analyze the proposed ballot measure, because supporting and approving something doesn't mean small businesses will get anything out of it, because there is no accountability as we saw in the last bond measure, a lot of projects went to the big primes and that's it If there isn't any accountability he doesn't see how his organization could support it, organizations shouldn't just jump on the band wagon to support it if there isn't any accountability. Especially when it comes to a lot of these local city agencies that do not want to include small business.

    7. One member said that Metro has done a good job with DVBE set aside, but asked why Metro has not participated in the Cal Con conference, it's one of the large construction expo's in Southern California.

    9. Ms. Schenae Rourk said we need to look at the bigger picture of the ballot measure, because there are people getting business even if it's not us.

    8. New Business -Vice Chair Ezekiel Patten Jr Mr. Patten asked for suggestions for new items for the next meetings agenda. Suggested was Mr. Abdallah Ansari give a presentation. Another suggestion was to invite the CEO. Mr. Al Solis suggested that we invite Primes to the meetings and ask them to speak and what things they are pursuing.

    9. Public Comment 1. Ms. Terrie Johnson from Skanska said they are committed to having someone attend TBAC at least once a quarter. And they have an event on June 22nd, the first of many match making events. Some of their large subcontractors will be there. They have DBE goals and so will be networking with DBE firms. They have two projects Westside Subway Extension and Regional Connector that the design is nearly 100% complete so they know what they will be soliciting in the Fall.     3. Mr. Robert Guzman said that the Society of Hispanic Professional Engineers (SH PE-LA) is going through a re branding to American Association of Latino Engineers and Scientists (AALES). Mr. Patten asked for a letter to officially notify TBAC re branding of SH PE-LA to AALES.
