Beautiful foodWe supply ‘Clear Span’ marquees which means youdon’t have to worry about unsightly guide ropes or trip hazards. There’s a choice of hard and soft sidedmarquees, with hard sub base floors, luxurious linings,dramatic starlight ceilings and sumptuous sofa areas. A truly amazing array of finishes.

Our marquees are 12m span structures and unlike most other marquee companies our marquees are on a 3m leg, giving a much more spacious feel.

Our raised sub base flooring system ensures yourmarquee will be completely level and dry no matterthe ground conditions.

Our catering team was originally formed as Horbury &Sons Outside Catering in the 1950s and we have manyyears’ experience of providing banquets of a lifetime,no matter what the venue. Our mobile kitchens andprofessional chefs use the same ovens and equipmentthat you’ll find in the top restaurants, creating amouthwatering array of freshly cooked dishes to thehighest standards. We also use portable cold rooms tokeep your food, champagne and wines at the perfectserving temperature. You can either choose from ourdelicious menu range or we can design individual dishesand whole menus around your own particular tastes.We also offer a complementary taste testing evening in Jocasta’s lakeside restaurant.

Posh LoosIn 2005, unable to find a portable toilet company thatcould meet our high standards, we decided to designand build our own posh loos. The result is luxurious,modern trailers with light, spacious and stylish interiors:

■ Solid ash woodwork inlaid with walnut and marble counter tops.

■ Automatic flushing toilets and brushed stainless steel sensor taps that hygienically deliver the idealtemperature (available in certain units).

■ Optional flat screen TVs over the sink area to showyour own pictures or videos.

■ Each unit can accommodate up to 250 people over a typical 8-hour event.

■ Units can be linked together for larger events of over 300 people

GeneralAll business is conducted in accordance with these Conditions of Hire, unlessotherwise amended in writing by the Company.DefinitionsThe “Company” means Jocastas Group, it’s subsidiary companies, Posh Loos & their subcontractors and agents and includes their successors, assigns orpersonal representative. The “Hirer” means the person, persons or theirrepresentative hiring the Equipment from the Company. The “Equipment”means mobile toilets, showers, other mobile, or static unit facilities andequipment including all fixtures and fittings.The SiteThe hire charges are based on the assumption that the site is flat level and solidwith suitable access for the “Equipment” and associated motor vehicles(s). TheHirer warrants that the vehicles and Equipment belonging to the Company willhave suitable access free from all overhead obstructions, trees, hedges etc, andwithout buried pipes or other concealed services that may suffer damageoccasioned by the transport, use erection/installation and/ordismantling/removal of the Equipment. The Company reserves the right tocharge for any damage caused to vehicles and Equipment belonging to theCompany due to unsatisfactory site conditions and/or access. The Companyreserves the right to charge for delays and additional labour time required inconnection with works/delivery/collection and time spent due to theunsuitable site conditions and/or soft ground due to inclement weather, orany other condition. Current rate of £20.00 per hour per employee will becharged without prejudice. Note: One hour maximum site time is allowed fordelivery and collection. The Company will not be responsible for any makinggood or repair of damage to the site howsoever caused. The Hirer shall beresponsible for providing and installing any connections required to mainsservices where necessary, unless otherwise agreed in writing and charged. Allunits require 16 amp power and to comply with Health and Safety Regulationsconnection through a 16Amp C form socket. If collection of the Equipment isdelayed beyond the recorded date for any reason i.e. marquee restrictingaccess, inclement weather etc, the Company reserves the right to charge foradditional hire at the rate of 15% per day of the quoted daily hire charge, or afull rental rate if a subsequent order cannot be fulfilled, due to the non-availability of the unit (which ever being appropriate).LiabilityThe Company accepts no liability whatsoever in respect of third party claims orfor consequential loss or damage of any kind and the Hirer shall indemnify theCompany against third party claims unless such liability be caused by faultymaterials or workmanship or negligence on the part of the Company. TheCompany accepts no liability whatsoever in respect of any malfunction of theEquipment if the duration of the hire or numbers utilizing the Equipmentexceeds that stated in the Quotation. The Company accepts no liabilitywhatsoever in respect of any malfunction of the equipment due to weatherconditions – such conditions may be, but are not limited to, very hot or coldweather or flooding etc.TitleThe Equipment and accessories remain the property of the company at alltimes. The Hirer will allow the Company reasonable access to the Equipmentduring the hire period. The Hirer shall keep the Equipment in his/her ownpossession and control, and free from all legal processes and undertakes thatno mortgage deed, bill of sale or any other legal instrument or privatearrangement whatsoever shall be exercised whereby other person, lien orcompany other than the Company shall acquire any lien or rights whatsoever inconnection with the Equipment.SublettingThe Hirer will not sublet or rehire the Equipment without the expressed writtenpermission of the Company.DeliveryWhere the Hirer has agreed to position the Equipment in a specific location, theHirer must have an authorised representative available at the time of delivery toinstruct the Company regarding that position. The Hirer will pay extra for anyfurther time or attendance including any attempt by the Company to carry out

delivery, collection or servicing which is unsuccessful or delayed due to theHirer’s acts or omissions.The EquipmentThe Hirer shall indemnify the Company and be responsible for all expensesinvolved arising from any breakdown, wilful damage and any loss incurred bythe Company due to negligence loss and/or misuse of the Equipment by theHirer or persons using the Equipment on a time and replacement cost basiscurrently in use by the Company at the time. No smoking is allowed in theEquipment. It is the Hirer’s responsibility to ensure that their guests comply withthis requirement. If any damage (excluding reasonable wear and tear resultingfrom reasonable use) is caused to the floor of the Equipment the Hirer shall beliable to pay the Company a fee of £750.00 to cover making good the damage.Such damage may include but is not limited to cigarette burns caused bysmoking in the Equipment, damage caused by guests wearing unsuitablefootwear (for example golf spikes or football boots) The Hirer shall not movethe Equipment from the site or position it was delivered or consigned towithout agreement in writing by the Company. The Equipment must bereturned to the Company in the same condition as it was when it was deliveredto the Hirer (except for reasonable wear and tear resulting from reasonable use).Failure to leave the Equipment in a good condition requiring additional cleaningservices will incur an Additional Cleaning fee of £100.00 to be paid by the Hirerto the Company.Hire Charges, Payment and CancellationA non-refundable deposit of 25% to be paid with the confirmation of bookingform, a further 25% of the estimated balance to be paid six months prior to theevent date, with a further 25% of the estimated balance three months prior tothe event date. We require the final balance to be paid one month prior to theevent. Payments via credit card will be subject to 3% handling fee. Debit cards,BACS and cheques carry no charge. In the event of the cancellation of theevent for any reason, the company reserves the right to levy cancellationcharges as follows:3-6 months+Forfeit original 25% non-refundable deposit payment and interim 25%1-3 monthsforfeit interim 50% payment and original non-refundable depositActual Day – 1monthforfeit 100%All advanced payments or pre payments are totally non refundable. Allcancellations must be put in writing by all parties named on the contract andposted by recorded delivery. If you do not receive confirmation within 10 daysyou must immediately let us know. 1.1 In these conditions the following words have the following meanings:“Contract” means a contract which incorporates these conditions and madebetween the Customer and the Supplier for the hire or sale of Goods;“Customer” means the person, firm, company or other organisation hiringHire Goods or purchasing Sale Goods;“Deposit” means any advance payment required by the Supplier in relation tothe Hire Goods which is to be held as security by the Supplier;“Force Majeure” means any event outside a party’s reasonable controlincluding but not limited to acts of God, war, flood, fire, labour disputes,strikes, sub-contractors, lock-outs, riots, civil commotion, malicious damage,explosion, terrorism, governmental actions and any other similar events;“Goods” means any machine, article, tool, and/or device together with anyaccessories specified in a Contract which are hired or sold to the Customer;“Hire Goods” means any Goo d s which are hired to the Customer;“Hire Period” means the period commencing when the Customer holds theHire Goods on hire (including Saturdays Sundays and Bank Holidays) andending upon the happening of any of the following events: (i) the physicalreturn of the Hire Goods by the Customer into the Supplier’s possession; or(ii) the physical repossession or collection of Hire Goods by the Supplier;“Liability” means liability for any and all damages, claims, proceedings,actions, awards, expenses, costs and any other losses and/or liabilities;“Sale Goods” means any Goods sold to the Customer;“Rental” means the Supplier’s charging rate for the hire of the Hire Goodswhich is current from time to time during the Hire Period;“Supplier” means and will include its employees,servants, agents and/or duly authorised representatives;“Services” means the services and/or work (if any) to be performed by theSupplier for the Customer in conjunction with the hire or sale of Goodsincluding any delivery and/or collection service for the Goods.2 BASIS OF CONTRACT2.1 Goods are hired or sold subject to them being available for hire or saleto the Customer at the time required by the Customer. The Supplierwill not be liable for any loss suffered by the Customer as a result of theGoods being unavailable for hire or sale where the Goods areunavailable due to circumstances beyond the Supplier’s control.2.2 Where hire of the Hire Goods is to a Customer who is an individual andthe hire would be covered by the Consumer Credit Act 1974 the durationof the Hire Period shall not exceed 3 months, after which time theContract shall be deemed to have automatically terminated. Accordinglythe hire of any Hire Goods is not covered by the Consumer Credit Act1974.2.3 Nothing in this Contract shall exclude or limit any statutory rights of theCustomer which may not be excluded or limited due to the Customeracting as a consumer. Where the Customer is acting as a consumerany provision which is marked with an asterisk (*) may, subject todetermination by the Courts or any applicable legislation, have no forceor effect and if any provision is under the applicable law of the Contractunenforceable in whole or in part or shall have no force or effect theContract shall be deemed not to include such provisions but this shallnot effect the enforceability of the remainder of the Contract. Forfurther information about your statutory rights contact your localauthority Trading Standards Department or Citizens Advice Bureau or ifbased in the Republic of Ireland your local office of the Director ofConsumer Affairs or Citizens Information Centre.3 PAYMENT3.1 The amount of any Deposit, Rental, monies for Sale Goods and/orcharges for any Services shall be as quoted to the Customer orotherwise as shown in the Supplier’s current price list from time to time.Where a Deposit is required for the Hire Goods it must be paid inadvance of the Customer hiring the Hire Goods. The Supplier may alsorequire an initial payment on account of the Rental in advance of theCustomer hiring the Hire Goods.3.2 The Customer shall pay the Deposi t , Rental, charges for anyServices, monies for any Sale Goods and/or any other sums payableunder the contract to the Supplier at the time and in the manneragreed. The Supplier’s prices are, unless otherwise stated, exclusive ofany applicable VAT for which the Customer shall additionally be liable.3.3 Payment by the Customer on time under the Contract is an essentialcondition of the Contract. Payment shall not be deemed to be madeuntil the Supplier has received either cash or cleared funds in respectof the full amount outstanding.3.4 *If the Customer fails to make any payment in full on the due date theSupplier may charge the Customer interest (both before and afterjudgment/decree) on the amount unpaid at the rate implied by lawunder the Late Payment of Commercial Debts (Interest) Act 1998 (whereapplicable) or at the rate of 4% above the base rate from time to time ofthe Supplier’s bank whichever is higher.3.5 *The Customer shall pay all sums due to the Supplier under thisContract without any set-off, deduction, counterclaim and/or any otherwithholding of monies.3.6 The Supplier may set a reasonable credit limit for the Customer. TheSupplier reserves the right to terminate or suspend the Contract for hireof the Hire Goods and/or the provision of Services if allowing it tocontinue would result in the Customer exceeding its credit limit or thecredit limit is already exceeded.3.7 The Supplier reserves the right to store the Customer’s credit carddetails on its password protected customer account system and furtherreserves the right to use such details against future Rentals made bythe Customer.4 RISK OWNERSHIP AND INSURANCE4.1 Risk in the Goods will pass immediately to the Customer when theyleave the physical possession or control of the Supplier.4.2 Risk in the Hire Goods will not pass back to the Supplier from theCustomer until the Hire Goods are back in the physical possession ofthe Supplier. This shall apply even if the Supplier has agreed to ceasecharging the Rental.4.3 Ownership of the Hire Goods remains at all times with the Supplier.The Customer has no right, title or interest in the Hire Goods exceptthat they are hired to the Customer. Ownership of any Sale Goodsremains with the Supplier until all monies payable to the Supplier by theCustomer for the Sale Goods have been paid in full.4.4 Until ownership in the Sale Goods passes to the Customer, theCustomer shall:4.4.1 hold the Sale Goods on a fiduciary basis as the Supplier's bailee;4.4.2 maintain the Sale Goods in satisfactory condition; and4.4.3 keep the Sale Goods insured against all risks for their full price from thetime they leave the physical possession or control of the Supplier.4.5 The Customer must not deal with the ownership or any interest in theHire Goods. This includes but is not limited to selling, assigning,mortgaging, pledging, charging, securing, hiring, withholding, exertingany right to withhold, disposing of and/or lending. However theCustomer may re-hire the Hire Goods to a third party with the priorwritten consent of the Supplier.4.6 The Supplier may provide reasonably priced insurance in respect of theHire Goods at an additional cost to the Rental in accordance withFinancial Services Authority Requirements. Alternatively the Suppliermay require the Customer to insure the Hire Goods for such reasonablerisks as the Supplier may specify and any proceeds of any suchinsurance shall be paid to the Supplier on demand. The Customer mustnot compromise any claim in respect of the Hire Goods and/or anyassociated insurance without the Supplier’s written consent.5 DELIVERY, COLLECTION AND SERVICES5.1 It is the responsibility of the Customer to collect the Goods from theSupplier, and, in the case of Hire Goods, return them to the Supplier atthe end of the Hire Period. If the Supplier agrees to deliver Goodst o and/ or collect the Hire Goods from the Customer it will do so at itsstandard delivery cost and such delivery and/or collection will form partof the Services.5.2 If the Supplier agrees to collect the Hire Goods from the Customer atthe end of the Hire Period the Customer must give the Supplierreasonable notice which shall include at least three (3) working days’notice from the end of the Hire Period. The Customer shall remainresponsible and liable for any loss, damage or theft to the Hire Goodsuntil the Hire Goods are collected by the Supplier unless the Supplierfails to collect the Hire Goods within 3 working days from the end of theHire Period whereupon the Supplier shall be liable for any loss, damageor theft thereafter.5.3 Where the Supplier provides Services the persons performing the

Services are servants of the Customer and once the Customer instructssuch person they are under the direction and control of the Customer.The Customer shall be solely responsible for any instruction, guidanceand/or advice given by the Customer to any such person and for anydamage which occurs as a result of such persons following theCustomer’s instructions, guidance and/or advice except to the extentthat the persons performing the Services are found to be negligent by acourt with jurisdiction to make such finding pursuant to clause 12.7.5.4 The Customer will allow and/or procure sufficient access to and fromthe relevant site and procure sufficient unloading space, facilities,equipment and access to utilities for the Supplier’s employees, subcontractorsand/or agents to allow them to carry out the Services. TheCustomer will ensure that the site where the Services are to beperformed is, where necessary, cleared and prepared before theServices are due to commence.5.5 If any Services are delayed, postponed and/or are cancelled due to theCustomer failing to comply with its obligations the Customer will beliable to pay the Supplier’s additional standard charges from time totime for such delay, postponement and/or cancellation except wherethe Customer is acting as a consumer and the delay is due to a ForceMajeure event.6 CARE OF HIRE GOODS6.1 The Customer shall:-6.1.1 not remove any labels from and/or interfere with the Hire Goods, theirworking mechanisms or any other parts of them and shall takereasonable care of the Hire Goods and only use them for their properpurpose in a safe and correct manner in accordance with anyoperating and/or safety instructions provided or supplied to theCustomer;6.1.2 notify the Supplier immediately after any breakdown, loss and/ordamage to the Hire Goods;6.1.3 take adequate and proper measures to protect the Hire Goods fromtheft, damage and/or other risks;6.1.4 notify the Supplier of any change of its address and upon theSupplier’s request provide details of the location of the Hire Goods;6.1.5 permit the Supplier at all reasonable times and upon reasonablenotice to inspect the Hire Goods including procuring access to anyproperty where the Hire Goods are situated;6.1.6 keep the Hire Goods at all times in its possession and control and notto remove the Hire Goods from the country where the Customer islocated and/or the country where the Supplier is located without theprior written consent of the Supplier;6.1.7 be responsible for the conduct and cost of any testing, examinationsand/or checks in relation to the Hire Goods required by anylegislation, best practice and/or operating instructions except to theextent that the Supplier has agreed to provide them as part of anyServices;6.1.8 not do or omit to do anything which the Customer has been notifiedwill or may be deemed to invalidate any policy of insurance related tothe Hire Goods;6.1.9 not continue to use Hire Goods where they have been damaged andwill notify the Supplier immediately if the Hire Goods are involved inan accident resulting in damage to the Hire Goods, other propertyand/or injury to any person; and6.1.10 where the Hire Goods require fuel, oil and/or electricity ensure thatthe proper type and/or voltage is used and that, where appropriate,the Hire Goods are properly installed by a qualified and competentperson.6.1.11 ensure that any employees, agents or contractors that operate theHire Goods are, if applicable, adequately and sufficiently qualifiedand trained to operate the Hire Goods in accordance with all currentand applicable legislation.6.2 The Hire Goods must be returned by the Customer in good workingorder and condition (fair wear and tear excepted) and in a cleancondition together with all insurance policies, licences, registration andother documents relating to the Hire Goods.7 BREAKDOWN7.1 Allowance may be made in relation to the Rental to the Customer forany non-use of the Hire Goods due to breakdown caused by thedevelopment of an inherent fault and/or fair wear and tear on conditionthat the Customer informs the Supplier as soon as practicable of thebreakdown and the Supplier is unable to repair or replace the HireGoods within a reasonable time.7.2 The Customer shall be responsible for all expenses, loss (including lossof Rental) and/or damage suffered by the Supplier arising from anybreakdown of the Hire Goods due to the Customer’s negligence,misdirection and/or misuse of the Hire Goods.7.3 The Supplier will at its own cost carry out all routine maintenance andrepairs to the Hire Goods during the Hire Period and all repairs whichare required due to fair wear and tear and/or an inherent fault in theHire Goods. The Customer will be responsible for the cost of all repairsnecessary to Hire Goods during the Hire Period which arise otherwisethan as a result of fair wear and tear, an inherent fault and/or thenegligence of the Supplier while carrying out routine maintenance and/orrepairs.7.4 The Customer must not repair or attempt to repair the Hire Goodsunless authorised to do so in writing by the Supplier.8 LOSS OR DAMAGE TO THE HIRE GOODS8.1 If the Hire Goods are returned in damaged, unclean and/or defectivestate except where due to fair wear and tear and/or an inherent fault inthe Hire Goods, the Customer shall be liable to pay the Supplier for thecost of any repair and/or cleaning required to return the Hire Goods to acondition fit for re-hire and to pay the Rental, in accordance with theprovisions of clause 8.3, until such repairs and/or cleaning have beencompleted.8.2 In respect of any Hire Goods which are lost, stolen or damagedbeyond economic repair during the Hire Period the Customer will:8.2.1 pay to the Supplier the new replacement cost for any Hire Goodsless than twelve (12) months old from first registration; and/or8.2.2 reimburse the Supplier for any loss or costs suffered or incurredby the Supplier for any Hire Goods more than twelve (12) monthsold from first registration, less the amount paid to the Supplier underany policy of insurance in respect of the Hire Goods.8.3 The Customer shall remain liable to pay the Rental for the Hire Goodsup to and including the date it notifies the Supplier that the Hire Goodshave been lost, stolen and/or damaged beyond economic repair.8.4 In addition to the obligation in clause 8.3 to pay the Rental, from thedate the Customer notifies the Supplier that the Hire Goods have beenlost, stolen and/or damaged beyond economic repair until the d a t et h e Supplier has replaced such Hire Goods (“Lost Rental Period”),the Customer shall pay, as a genuine pre-estimate of lost rental profit, asum as liquidated damages being equal to two thirds of the Rental thatwould have applied for such Hire Goods during the Lost Rental Period.The Supplier shall use its reasonable commercial endeavours topurchase replacements for such Hire Goods as quickly as possibleusing the monies paid under clause 8.2 above.9 TERMINATION BY NOTICE9.1 If the Hire Period has a fixed duration, subject to the provisions ofSection 10 neither the Customer nor the Supplier shall be entitled toterminate the Contract before the expiry of that fixed period unlessagreed with the other party.9.2 If the Hire Period does not have a fixed duration either of the Customeror the Supplier is entitled to terminate the Contract upon giving to theother party any agreed period of notice.9.2.1 if no period of notice has been agreed or specified the Customer mayterminate the Hire Period by the physical return of the Hire Goods tothe Supplier.9.2.2 if no period of notice has been agreed or specified either party shallbe entitled to terminate the hire of the Hire Goods by giving not lessthan 14 days’ notice to the other.10 DEFAULT10.1 If the Customer:-10.1.1 fails to make any payment to the Supplier when due without justcause;10.1.2 breaches the terms of the Contract and, where the breach is capableof remedy, has not remedied the breach within 14 days of receivingnotice requiring the breach to be remedied;10.1.3 persistently breaches the terms of the Contract;

10.1.4 provides incomplete, materially inaccurate or misleading facts and/orinformation in connection with the Contract;10.1.5 pledges, charges or creates any form of security over any Hire Goodsor proposes to compound with its creditors, creates a trust deed for itscreditors, applies for an interim moratorium in respect of claims and/orproceedings, any distress/diligence, execution or other legal process islevied on any property of the Customer, has a BankruptcyPetition/Petition for Sequestration presented against it or the Customertakes or suffers any similar action in any jurisdiction;10.1.6 being a company, ceases or threatens to cease to carry on business,enters into voluntary or compulsory liquidation, has a receiver,administrator or administrative receiver or in the Republic of Irelandan examiner appointed over all or any of its assets, any attachmentorder/arrestment is made against the Customer, anydistress/diligence, execution or other legal process is levied on anyproperty of the Customer or the Customer takes or suffers any similaraction in any jurisdiction;10.1.7 appears reasonably to the Supplier due to the Customer’s creditrating to be financially inadequate to meet its obligations under theContract; and/or10.1.8 appears reasonably to the Supplier to be about to suffer any of theabove events;then the Supplier shall have the right, without prejudice to any otherremedies, to exercise any or all of the rights set out in clause 10.2below.10.2 If any of the events set out in clause 10.1 above occurs in relation tothe Customer then:-10.2.1 except where the Customer is acting as a consumer the Supplier mayenter, without prior notice, any premises of the Customer (orpremises of third parties with their consent) where Goods owned bythe Supplier may be and repossess any Goods;10.2.2 the Supplier may withhold the performance of any Services and ceaseany Services in progress under this and/or any other Contract with theCustomer;10.2.3 the Supplier may immediately cancel, terminate and/or suspendwithout Liability to the Customer the Contract and/or any othercontract with the Customer; and/or10.2.4 *all monies owed by the Customer to the Supplier shall immediatelybecome due and payable.10.3 Any repossession of the Goods shall not affect the Supplier’s right torecover from the Customer any monies due under the Contract and/orany damages in respect of any breach which occurred prior torepossession of the Goods.10.4 Upon termination of the Contract the Customer shall immediately:10.4.1 return the Goods to the Supplier or make the Goods available forcollection by the Supplier as requested by the Supplier; and10.4.2 pay to the Supplier all arrears for Rentals, Charges for any Services,monies for any Sale Goods and/or any other sums payable underthe Contract.11 LIMITATIONS OF LIABILITY11.1 *All warranties, representations, terms, conditions and duties implied bylaw relating to fitness, quality and/or adequacy are excluded to thefullest extent permitted by law.11.2 *If the Supplier is found to be liable in respect of any loss or damage tothe Customer’s property the extent of the Supplier’s Liability will belimited to the retail cost of replacement of the damaged property.11.3 Any defective Goods must be returned to the Supplier for inspection ifrequested by the Supplier before the Supplier will have any Liability fordefective Goods.11.4 *The Supplier shall have no Liability to the Customer if, without justcause, any monies due in respect of the Goods and/or the Serviceshave not been paid in full by the due date for payment.11.5 The Supplier shall have no Liability for additional damage, loss, liability,claims, costs or expenses caused or contributed to by the Customer’scontinued use of defective Goods and/or Services after a defect hasbecome apparent or suspected or should reasonably have becomeapparent to the Customer.11.6 The Customer shall give the Supplier a reasonable opportunity toremedy any matter for which the Supplier is liable before the Customerincurs any costs and/or expenses in remedying the matter itself. If theCustomer does not do so the Supplier shall have no Liability to theCustomer.11.7 *The Supplier shall have no Liability to the Customer to the extent thatthe Customer is covered by any policy of insurance arranged as aresult of the Contract and the Customer shall ensure that theCustomer’s insurers waive any and all rights of subrogation they mayhave against the Supplier.11.8 The Supplier shall have no Liability to the Customer for any of thefollowing losses (whether direct or indirect):-11.8.1 *consequential losses (including loss of profits and/or damage togoodwill);11.8.2 economic and/or other similar losses;11.8.3 special damages and indirect losses; and/or11.8.4 business interruption, loss of business, contracts and/or opportunity.11.9 *The Supplier’s total Liability to the Customer under and/or arising inrelation to any Contract shall not exceed 5 times the amount of theRental or monies payable for Sale Goods, in addition to charges forServices (if any) under that Contract or the sum of £1,000 (or Euroequivalent) whichever is the higher. To the extent that any Liability ofthe Supplier to the Customer would be met by any insurance of theSupplier then the Liability of the Supplier shall be extended to the extentthat such Liability is met by such insurance.11.10 Each of the limitations and/or exclusions in this Contract shall bedeemed to be repeated and apply as a separate provision for each of:11.10.1 Liability for breach of contract;11.10.2 *Liability in tort/delict (including negligence); and11.10.3 *Liability for breach of statutory and/or common law duty;except clause 11.9 above which shall apply once only in respect of allthe said types of Liability.11.11 Nothing in this Contract shall exclude or limit the Liability of theSupplier for fraud, death or personal injury due to the Supplier’snegligence, nor exclude or limit any other type of Liability which it isnot permitted to exclude or limit as a matter of law.12 GENERAL12.1 Upon termination of the Contract the provisions of clauses 3.2, 3.4, 3.5,8.1, 8.2, 8.3 and Section 6 shall continue in full force and effect.12.2 Each hire of an item of Hire Goods shall form a distinct Contract whichshall be separate to any other Contract relating to other Hire Goods.12.3 The Customer shall be liable for the acts and/or omissions of itsemployees, agents, servants and/or subcontractors as though theywere its own acts and/or omissions under this Contract.12.4 *The Customer agrees to indemnify and keep indemnified the Supplieragainst any and all losses, lost profits, damages, claims, costs(including legal costs on a full indemnity basis), actions and any otherlosses and/or liabilities suffered by the Supplier and arising from or dueto any breach of contract, any tortious/delictual act and/or omissionand/or any breach of statutory duty by the Customer.12.5 *No waiver by the Supplier of any breach of this Contract shall beconsidered as a waiver of any subsequent breach of the sameprovision or any other provision. If any provision is held by anycompetent authority to be unenforceable in whole or in part the validityof the other provisions of this Contract and the remainder of the affectedprovision shall be unaffected and shall remain in full force and effect.12.6 The Supplier shall have no Liability to the Customer for any delayand/or non-performance of a Contract to the extent that such delay isdue to any Force Majeure events. If the Supplier is affected by anysuch event then time for performance shall be extended for a periodequal to the period that such event or events delayed such performance.12.7 All third party rights are excluded and no third parties shall have anyrights to enforce the Contract by virtue of the Contracts (Rights of ThirdParties) Act 1999. This shall not apply to any finance company withwhom the Supplier has an outstanding finance agreement relating tothe Hire Goods. Such finance company shall, subject to the Supplier’sconsent, have the right to enforce this Contract as if they were theSupplier. This Contract is governed by and interpreted in accordancewith the law of the country where the Supplier is located and thatcountry will have exclusive jurisdiction in relation to this Contract.© Event Hire Association January 2014
