On May 26, 2009, the BCC approved the ranking/contract with Southwest Engineering for the design and permitting for Phase II of Edgewater Drive. Amendment #1 was for provided for the re-design fees to re-align the proposed roadway to the north, eliminating the need to relocate Lea Marie's entry gate and take any Lea Marie property. This amendment adds the Construction Engineering Inspection (CEI) Services to the project. With the scope-of-work to construct this project including roadway, bridges and utilities several engineering disciplines will be required to provide knowledgeable personnel handling the engineering services during construction. Therefore it is in the best interest of the County to retain the design firm to handle these duties. CEI Services were listed in the original Request for Proposal.

SCOPE OF SERVICES CONSTRUCTION ENGINEERING AND INSPECTION

PURPOSE:

This scope of services describes and defines the Construction Engineering and Inspection (CEI) services which are required for contract administration and inspections for the construction project listed below.

SCOPE:

The Consultant will provide services as defined in this Scope of Services under the covenants, terms and provisions of this Professional Services Agreement:

The project for which the services are required is: Edgewater Drive Phase II Roadway Improvements

Description: The project is a two mile long widening project including roundabouts, a signalized intersection, three bridge replacements, drainage, utilities, lighting, landscaping and irrigation.

The Consultantwill exercise independent professional judgment in performing obligations and responsibilities under this Agreement. Pursuant to Section 4.1.4 of the Construction Project Administration Manual (CPAM), the authority of the Consultant’s lead person, such as the Construction Project Manager, and the Consultant’s Project Administrator shall be identical to the County’s Project Manager respectively and shall be interpreted as such.

Services provided by the Consultant shall comply with County’s procedures and memorandums in effect as of the date of execution of the Agreement unless otherwise directed in writing by the County.

Other projects developing within the geographical area may be added at the County’s discretion. The Consultant must perform to the satisfaction of the County’s representatives for consideration of additional CEI services.

LENGTH OF SERVICE:

The services for each Construction Contract shall begin upon written notification to proceed by the County in the form of a Notice To Proceed (NTP).

The COUNTY shall endeavor to provide the CONSULTANT at least 14 calendar days advance notice of the award date of the construction contract. Consultant shall be advised of the official notice of award of the construction contract and shall be ready to assign personnel within two weeks after notification. No personnel shall be assigned until written notification by the County Project Manager has been issued.

For estimating purposes, the Consultant will be allowed an accumulation of thirty (30) calendar days to perform preliminary administrative services prior to the issuance of the Contractor's notice to proceed on the first project and thirty (30) calendar days to demobilize after final acceptance of the last Construction Contract.

DEFINITIONS:

A. Agreement: The Professional Services Agreement between the County and the Consultant setting forth the obligations of the parties thereto, including but not limited to the performance of the work, furnishing of services, and the basis of payment.

B. Contractor: The individual, firm, or company contracting with the County for performance of work or furnishing of materials.

C. Construction Contract: The written agreement between the County and the Contractor setting forth the obligations of the parties thereto, including but not limited to the performance of the work, furnishing of labor and materials, and the basis of payment.

D. County Project Manager: The County employee assigned to manage the Construction Engineering and Inspection Contract and represent the County during the performance of the services covered under this Agreement.

E. Consultant: The Consulting firm under contract to the County for administration of Construction Engineering and Inspection services.

F. Consultant Project Administrator: The employee assigned by the Consultant to be in charge of providing Construction Contract administration services for one or more Construction Projects.

G. Consultant Construction Project Manager: The employee assigned by the Consultant to be in charge of providing Construction Project Management for one or more Construction Projects. This person may supervise other Consultant employees and act as the Consultants point of contactindividual for the County.

H. Engineer of Record: The Engineer noted on the Construction plans as the responsible person for the design and preparation of the plans.

ITEMS TO BE FURNISHED BY THE COUNTY TO THE CONSULTANT:

A. The COUNTY, on an as needed basis, will furnish the following Construction Contract documents for each project. These documents may be provided in either paper and/or electronic format.

1) Construction Plans.

2) Specification Package.

3) Copy of the Executed Construction Contract

4) Charlotte County Utilities (CCU) Approved Material List (if applicable).

5) All applicable COUNTY documents, directives, procedures, and standard forms.

B. Field Office:

1) CEI Field Office will be included in the Construction Contract. The Contractor shall obtain all necessary permits for setting up the field office and making connections to city, county or local facilities and the cost of such permits shall be included in the pay item for construction field office. The field office will be furnished and will meet the requirements of the Construction Contract.

2) The Contractor shall provide a secure office (minimum of 800square feet) for the Construction Project Manager and staff with office furniture, telephone and secured broadband internet access.

ITEMS FURNISHED BY THE CONSULTANT:

Office Automation:

Provide all software and hardware necessary to efficiently and effectively carry out the responsibilities under this Agreement.

Provide each inspection staff with a computer, Laptop or desktop that is wi-fi compatible and available in the designated field office.

All computer coding shall be input by Consultant personnel using equipment furnished by them.

Ownership and possession of computer equipment and related software, which is provided by the Consultant, shall remain at all times with the Consultant. The Consultant shall retain responsibility for risk of loss or damage to said equipment during performance of this Agreement. Field office equipment should be maintained and operational at all times.

Vehicles:

Vehicles will be equipped with appropriate safety equipment and must be able to effectively carry out requirements of this Agreement. Vehicles shall have the name and phone number of the consulting firm visibly displayed on both sides of the vehicle.

Field Equipment:

Consultant shall supply survey, inspection, and equipment essential to perform services under this Agreement; such equipment includes non-consumable and non-expendable items. Equipment shall include:

• Construction documents

• Current FDOT Standard Specifications for Road and Bridge Constructions

• Current FDOT Design Standards

• Cell phone, camera, tape measurer, etc.

Personal safety equipment for all Consultant field staff shall include but not be limited to.

• Hard hats (shall have the name of the consulting firm visibly displayed.)

• Appropriate work clothes, Safety vests, eye protection, hearing protection, etc.

Equipment described herein and expendable materials under this Agreement will remain the property of the Consultant and shall be removed at completion of the work.

Licensing for Equipment Operations:

Obtain proper licenses for equipment and personnel operating equipment when licenses are required. The license and supporting documents shall be available for verification by the County, upon request.

PERFORMANCE OF THE CONSULTANT:

During the term of this Agreement and all Supplemental Amendments thereof, the Countywillreview various phases of Consultant operations, such as construction inspection and administrative activities, to determine compliance with this Agreement. If deficiencies are indicated, remedial action shall be implemented immediately.County recommendations and Consultant responses/actions are to be properly documented by the Consultant. No additional compensation shall be allowed for remedial action taken by the Consultant to correct deficiencies.

REQUIREMENTS OF THE CONSULTANT:

Task 1.0 General:

It shall be the responsibility of the Consultant to administer, monitor, and inspect the Construction Contract such that the project is constructed in reasonable conformity with the plans, specifications, and special provisions for the Construction Contract.

Conduct weekly or bi-weekly construction progress meetings.

Observe the Contractor’s work to determine the progress and quality of work. Identify discrepancies, report significant discrepancies to the County, and direct the Contractor to correct such observed discrepancies.

The Consultant to the best of its ability will accommodate and log scheduled visitors entering the work zone. The Consultant shall provide appropriate safety equipment.

Inform the County Project Manager of any significant omissions, substitutions, defects, and deficiencies noted in the work of the Contractor and the corrective action that has been directed to be performed by the Contractor.

Task 1.1 Survey Control:

Check the design survey controlpoints and bench marks at appropriate intervals along the project in order to verify they have not been disturbed. Check periodic cross sections in areas that may have been modified by development during design. Make and record measurements necessary to calculate and document quantities for pay items. Make and record pre-construction and final cross section surveys of the project site in those areas where earthwork (i.e., embankment, excavation, subsoil excavation, etc.) is part of the construction project, and perform incidental engineering surveys.

Task 1.2 On-site Inspection:

Monitor the Contractor's on-site construction activities and inspect materials entering into the work in accordance with the plans, specifications, and special provisions for the Construction Contract to determine that the projects are constructed in reasonable conformity with such documents. Maintain detailed accurate records of the Contractor's daily operations and of significant events that affect the work. The County will monitoroff-site activities and fabrication unless otherwise stipulated by this Agreement.

Monitor and inspect Contractor’s Work Zone Traffic Control Plan and review modifications to the Work Zone Traffic Control Plan, including Alternate Work Zone Traffic Control Plan, in accordance with the County’s procedures. Consultant employees performing such services shall be qualified in accordance with the County’s procedures.

Task 1.3 Sampling and Testing:

The Countywill provide for inspection and sampling of materials and components at locations remote from the project site and the Countywill provide testing of materials normally done in a laboratory remote from the project site by licensed Geotechnical laboratory.

The Consultant will maintain records of all sampling and testing accomplished and analyze such records required to ascertain acceptability of materials and completed work items from test reports provided by the Testing firm retained by the County. Coordinate with Testing firm retained by the County.

The Consultant will determine the acceptability of all materials and completed work items on the basis of either test results or verification of a certification.

Sampling, testing and laboratory methods used will beper FDOT Standard Specifications, Supplemental Specifications or as modified by the Special Provisions of the Construction Contract.

Task 1.4 Engineering Services:

Services shall include maintaining the required level of surveillance of Contractor activities, interpreting plans, specifications, and special provisions for the Construction Contract.Maintain

complete, accurate records of all activities and events relating to the project and properly document all project changes. The following services shall be performed:

1) Provide appropriate staff to attend and participate in the pre-Bid meeting.

2) Schedule and conduct a meeting with Engineer of Record for Environmental and permit Compliance. The purpose of these meetings is to discuss the required documentation, including as-builts, necessary for permit(s) compliance.

3) Verify that the Contractor is conducting inspections, preparing reports and monitoring all storm water pollution prevention measures associated with the project. For each project that requires the use of the NPDES General Permit, provide at least one inspector who has successfully completed the "Florida Stormwater, Erosion, and Sedimentation Control Training and Certification Program for Inspectors and Contractors”.

4) Analyze the Contractor’s schedule(s) (i.e. baseline(s), revised baseline(s), updates, as-

built, etc.) for compliance with the contract documents. Elements including, but not limited to, completeness, logic, durations, activity, flow, milestone dates, concurrency, resource allotment, and delays will be reviewed. Verify the schedule conforms with the construction phasing and MOT sequences, including all contract modifications. Provide a written review of the schedule identifyingsignificant omissions, improbable or unreasonable activity durations, errors in logic, and any other concerns as detailed in CPAM.

5) Analyze problems that arise on a project and proposals submitted by the Contractor;work

to resolve such issues, and process the necessary paperwork.

6) CCU shall monitor, inspect and document utility construction for conformance with construction plans and specifications. Consultant will facilitate coordination and communication between CCU staff, County’s staff and Contractors executing the work. Identify potential utility conflicts and assist in the resolution of utility issues including Private and Local Government owned facilities.

7) Produce reports, verify quantity calculations and field measure for payment purposes as

needed to prevent delays in Contractor operations and to facilitate prompt processing of such information in order for the County to make timely payment to the Contractor.

8) Prepare and submit to the County Project Manager, a monthly Construction Status

Report, in a format to be provided by the County Project Manager.

9) Video tape the pre-construction conditions throughout the project limits. Provide a digital photo log or video of project activities, with heavy emphasis on potential claim items/issues and on areas of real/potential public controversy.

10) Provide a digital camera for photographic documentation of pre-construction state and of noteworthy incidents or events during construction. These photographs will be filed and maintained on the Consultant’s computer using a Digital Photo Management system.

Photographs shall be taken the day prior to the start of construction and continue as needed throughout the project. Photographs shall be taken on the days of Conditional, Partial and Final Acceptance.

Provide photographs of each waterline/sewer/reclaim/storm drain crossing with visible measured distance of separation and stationing of location.

Task 1.5 Geotechnical Engineering:

Become familiar with the existing site conditions and the contract documents. Observe and record the progress and quality of foundation work to determine that the foundations are constructed at the correct location and elevation, identify discrepancies, submit monthly progress reports to the County Project Manager, and direct the Contractor to correct such observed discrepancies. Attend the Preconstruction Conference and/or special geotechnical meeting for the Construction Contract. All services under this section will be performed in accordance to FDOT Specification Section 455. The Geotechnical Firm under contract with the County will provide the following services with the assistance of a qualified inspector who has completed the FDOT Drilled Shaft/Pile Driving Qualification Courses.

Drilled Shafts:

1) Review the drilled shaft installation plan submitted by the Contractor for materials, methods, equipment, etc., and provide recommendations to the County within five (5) working days of the Contractor’s submission.

2) Observe installation of test hole {methods shaft(s)} such that it is constructed in accordance with the plans, specifications, and special provisions for the Construction Contract. The Consultant shall report on the adequacy of the Contractor’s methods within three (3) working days of completion of the test hole {methods shaft(s)} construction.

3) Observe construction of test holes, load test shafts, and production shafts. This includes review of testing of drilling slurry, core drilling and core logs, and other procedures as required.

4) Inspect the bottom of the shafts for cleanliness using manual soundings or shaft inspection device as required in the contract documents.

5) Provide all necessary forms and keep a log of all inspections made of the shafts. These logs made during the shaft inspections shall be turned over to the County within three (3) working days after completion of any shaft. Logs shall be signed and sealed by the Geotechnical Engineer.

6) Provide a written report of all test shaft installations to the County within three (3) working days of shaft completion.

7) When conditions occur which are different from those indicated on the plans, the Geotechnical Engineer shall immediately report them to the County Project Manager. Recommend adjustments to the authorized depths as necessary to obtain the shaft capacity to the County for approval.

8) Hire a Specialty Engineer to perform non-destructive integrity testing of drilled shafts as required to estimate shaft uniformity and to detect possible shaft defects.

9) Review concrete placement records to identify possible causes of shaft integrity problems.

10) Evaluate problems encountered during construction, and coordinate with the County Project Manager to resolve such problems.

11) Monitor construction progress to ensure the Contractor complies with the Contract Documents.

Piles:

1) The CONSULTANT shall provide personnel and services to monitor, observe, analyze and record all information and data required for the pile driving operation for test piles, production piles and pile length selection in accordance with Contract Documents.

2) The CONSULTANT shall review the Contractor's proposals, methods and equipment for pile installation, including any necessary testing, so they are in accordance with the requirements of the contract. The CONSULTANT shall further verify that all pile installation and testing is witnessed, monitored and properly recorded and reported.

3) The CONSULTANT shall provide personnel and services to monitor the driving of test piling and the installation of test equipment.

4) The CONSULTANT shall provide personnel to witness the test piles during the Contractors driving and re-drives using Pile Driving Analyzer (PDA).

CERTIFICATION OF FINAL ESTIMATES:

Task 1.6 Final Estimate and As-Built Plans Submittal:

Prepare documentation and records in compliance with the Agreement.

Review and verify Contractors as-built survey

Submit the Final Estimate(s) and one (1) set of final “As-Built Plans” documenting the Contractor’s work.

All record keeping shall be submitted in a digital format to the County and shall include but not be limited to the following.

• Permits and Reports required for Permits

• Daily Reports, Pile Drive Logs, RFI Logs, Shop Drawing Logs

• Claims and Pay Requests

• Record Drawings

PERSONNEL:

General Requirements:

Provide qualified personnel necessary to efficiently and effectively carry out its responsibilities under this Agreement.

Personnel Qualifications:

Provide competent personnel qualified by experience and education. Submit in writing to the County Project Manager the names of personnel proposed for assignment to the project.

Personnel changes will require written approval from the County. Staff that has been removed shall be replaced by the Consultant within one week of County notification.

Before the project begins, all inspection staff shall have a working knowledge of the necessary qualifications/certifications for fulfilling the duties of the position they hold. Cross training of the Consultant’s project staff is highly recommended to achieve a knowledgeable and versatile project inspection team but shall not be at any additional cost to the County and should occur as workload permits.

PUBLIC OUTREACH PROGRAM:

Task 2.0 Public Outreach Program:

CONSULTANT will coordinate with COUNTY to develop a Public Outreach Program for Edgewater Phase II. This Program will include the following components, under the direction and approval of the COUNTY:

CONSULTANT’s role in the above listed items is as follows:

1) Creation of a Project Website – CONSULTANT will handle all components of creating a website specific to the Edgewater project, including but not limited to: establishing a URL; securing the host server; working with a programmer to create/design/establish the site; developing and gathering all content, including maps, videos, updates, announcements, etc.; establishing an effective response mechanism for incoming comments and questions via the website; documenting all such correspondence; and ensuring continuous, timely updates to the site through project completion.

2) Development of a Social Media Campaign – CONSULTANT will handle all components of establishing a Social Media Campaign to further communicate information about the Edgewater project. The plan contemplates a presence for the project on Facebook; collecting phone numbers for real-time text messaging capabilities; the potential for a project-specific app for smart phone users that would serve as a portal for project information; and the potential for a Twitter feed providing timely updates such as closures and alternate routes.

3) Coordination with Charlotte County PIO – CONSULTANT will be responsible for coordinating all activities with the Public Information Officer for Charlotte County to ensure

coordinated, effective communications with county and government stakeholders including County Commissioners, EMS, School District, U.S. Postal Service, Fire Departments, County Staff, and others identified for timely outreach.

4) Ongoing Communications to Stakeholders – CONSULTANT will plan and implement communications programs to Stakeholders including letters, e-mails, newsletters, advisories, and other related outreach. CONSULTANT will work with the County and project team to schedule and coordinate any project update meetings with nearby residents and other interested members of the public.

5) Updates to Key Community Groups – CONSULTANT will work with the County and project team to identify opportunities for team members to present project information and updates to groups that may include chambers of commerce, city councils, civic groups and others to help ensure broad awareness of the project impacts and timeline.

6) Media Relations – CONSULTANT will work directly with local and regional media outlets to provide timely information regarding the Edgewater project for print, broadcast and online placements.

7) Account Services – CONSULTANT will participate in regular team meetings to remain current on the project status, in addition to maintaining ongoing communications with designated team members. CONSULTANT will respond to requests for project-related copywriting for signage, billing statements, etc.

ADDITIONAL SERVICES

Task 3.0 Post Design Services:

The roadway and bridge post design services have been incorporated into the CEI tasks stated above. The following are for design disciplines not included in the CEI.

1) Landscaping and Irrigation – The LA designer will provided shop drawings review, respond to associated RAI’s, interpretations and qualifications, irrigation installation and operation inspection and plant material on site quality verification.

2) Utilities – The utility design engineer shall provide shop drawing review, respond to associated RAI’s, interpretations and qualifications. Record Drawings for CO will be supplied by the contractor, submitted to CCU and the appropriate agencies for approval.

3) Lighting and Signals – The lighting and signal design engineer shall provide shop drawing review, respond to associated RAI’s interpretations and qualifications.

To increase the funds available in the project "Edgewater Phase 2 Widening" to award the CEI contract and provide for construction contingency funds. The actual award for the construction of the roadway was higher than the budget estimate, using funds intended for the CEI contract. When considering this, there are insufficient funds to award the CEI contract and still maintain a contingency for construction. This adjustment provides for contingency on the construction contract.Reserves are being used for the intended purpose.
