01. INTRODUCTION IDBI BANK LIMITED, having its registered office at IDBI TOWER, Mumbai-400 005, India

(hereinafter referred to as the "Bank' or "IDBI BANK") is the leading Bank of India with a

network of over 2000 branches/offices spread across India. The Bank offers wide range of

products and services to both Corporate and Retail Customers. The Bank also has a very

large network of more than 3,400 ATMs spread across geographical locations. Bank also

provides services to its customers through alternate channels such as Internet Banking,

ATMs, Kiosks and Mobile Banking etc. To expand further reach, Bank is also forging

ahead with cutting edge technologies and innovative new banking models. 02. BRIEF BACKGROUND/ DESCRIPTION OF THE PROJECT The stationery management in the Bank includes both types of stationery i.e. customized

as well as non-customized. While the non-customized items include general office supply

items of good quality and of standard make which are openly available in the market, the

customized items include the Bank specific stationery in the form of various forms,

vouchers and registers etc. These customized items need to be got printed specifically as

per the requirement of the various branches/offices of bank spread over India on the

prescribed paper, format, quality, colour and size etc. with particular font and may be

bilingual or trilingual depending on the requirement. An indicative list of the items of

stationery along with basic specifications is placed as Annexure “E”. Presently the customized stationery requirement of all the branches/offices of bank is met

centrally from Mumbai by printing the items at Mumbai through different vendors. The non

customized stationery requirement is met by the branches/ offices locally through local

procurement from the market. To enhance efficiency, the Bank has now decided to switch

from the present in house supply of stationery items to an outsourcing model of stationery

management, whereby the selected vendor(s) will be supplying the stationery items to

branches/offices of the Bank within stipulated timelines as per an online indenting system

apart from providing various MIS & support services. 03. EXPRESSION OF INTEREST (EOI) IDBI Bank hereby invites Expression of Interest (EOI) from established and eligible entities

(hereinafter referred to as "Applicants”) wishing to be considered for short listing for

participating in bidding process of the proposed complete outsourcing of stationery

management in the Bank in accordance with the terms and conditions described herein.

The EOI Document may be downloaded from Bank's Website www.idbi.com under Notices and Tenders and the response in sealed envelope superscribed as “Expression of Interest for Empanelment of Vendors for Stationery Management” containing complete set of hard copy of EOI should be delivered in person at the below mentioned Office latest by 06 PM on February 23, 2017. No bid will be accepted after the appointed date and time. The Deputy General Manager,

The EOIs submitted by the Applicants will be opened at 11.00 am on February 27, 2017 in the Conference Room at 6th Floor, Sarju House, Central Processing Unit, MIDC, Andheri (East), Mumbai by Bank‟s Internal Committee. Applicants are requested to be present at the venue at the appointed date and time. Based on the information provided, companies / firms meeting the eligibility criteria may be invited to make detailed presentations to the Bank‟s internal Tender Evaluation Committee. The Committee may visit the offices and printing facilities of the Applicants as part of the empanelment process, if considered necessary. Please note, this is the first stage of a multi-stage procurement process. The objective of this Request for EOI is to identify and pre-register eligible Applicants who are interested and capable of providing and maintaining the proposed model/process and have suitable capacity, capability and experience. Before pan-India roll out, there may be a pilot roll out in one or two Zones to have an opportunity to test and refine the new system.

04. OBJECTIVES:- The objective of this invitation for EOI is to empanel vendors who are interested and

capable of supplying on time, different types of stationery items tentatively mentioned in

Annexure “D and E”, as required by branches and offices of Bank and also provide MIS

and complaint & grievance redressal system, in an efficient manner. The Vendors have to

submit to the bank their documented plan about their Printing, Sourcing, Indenting,

Analyzing and Delivery capabilities and mechanism which will be integrated/dovetailed

with Bank‟s existing systems satisfying the Bank‟s needs and acceptable to Bank. The empanelled vendor should have the capability to deliver stationery items across

2000+ branches / offices of the bank located in all states of the country, including a

large number of branches in rural and hilly areas. The said vendor should have strong

and substantial financial standing, Printing capabilities, Pan India service and supply

network, and enjoy a good market reputation. Owning Printing facilities is a requirement

under this EOI. The Bank proposes to empanel vendors on Zone-wise/Pan India basis as

per outcome of EOI evaluation, for a tentative period of three years. Various zones

tentatively will cover the branches/offices located in following IDBI BANK Regions:

05. ELIGIBILITY CRITERIA : This process is open to all Applicants (a Company incorporated and registered in India under the Companies Act, 1956/2013 or Partnership firms or Limited Liability Partnerships) who are capable and interested in meeting Bank‟s objective of implementing new model of Stationery Management and fulfill the eligibility criteria as given below.

a) The Applicants should be a profit making entity for the last 3 years – FY 2013-14, FY 2014-15 and FY 2015-16.

Company Profile and Certified Copies of Audited Balance Sheet and Profit and Loss a/cs.

b)

The Applicant should fulfill following turnover and solvency criteria: i. Domestic Annual Turnover of Rs.100 crore &

above, on account of supply of stationery or printing and supply of stationery in each of the Financial Years 2013-14, 2014-15 and 2015-16.

ii. Minimum Tangible Net worth of Rs. 25 crore as on 31.03.2016.

iii. The ratio of Total Outside Liabilities to Tangible Net worth (TOL/TNW) should not preferably exceed 3 as on 31.03.2016. (Applicant to submit audited financials for the last 3 financial years. Regarding audited financials for 2015-16, in case of any problem about availability, the bank reserves the right to relax the condition in genuine cases.)

Submit copies of audited financials of last 3 years.

c)

The Applicant should be in the line of business for printing & supply of stationery items directly for at least 3 or more states for the last 2 Financial Years ending 31/03/2015 and 31/03/2016.

Copy of Purchase Order for the current financial year / Certificate from the Organization to that effect.

d)

The Applicant should have the experience of having supplied customized stationery to minimum 3 big organizations of repute in the Banking, Financial Services & Insurance sector, preferably PSU, having 500 or more offices spread over 3 or more states with the requisite logistic arrangements

in the past two years 2014-15 and 2015-16.

e)

The Vendor should preferably own an existing IT architecture/e-platform having a web based Software Application for online ordering, indenting, supply, distribution and monitoring system with provision for detailed MIS as well as a complaint redressal system.

Details about the facilities, vendor plan to provide for complaint and grievance redressal mechanism. Submit detailed sales / storage/ distribution arrangement separately.

f)

The vendor should be able to integrate their Software Application with Bank‟s IT infrastructure at no extra cost.

The Application should be installed in the Bank‟s Data centre (i.e. in premise only. Cloud technology is not envisaged).

Necessary infrastructures (Hardware O/s, Database and Middleware) will be provided by the Bank.

Self Certification on the letter head by the Authorised Signatory.

g)

The Applications of the vendor should be able to be integrated with the other Applications / Software installed / operational in the Bank i.e. Active Directory (AD), HRMS Systems, Finacle CBS, Oracle Payable system, Email server etc.

Declaration for the same on the letter head by the Authorized Signatory.

h)

The Applicant must have existing owned printing arrangements with ISO or ISO 9001: 2008 or equivalent certifications. The vendor will submit documents evidencing tie-up arrangements, if any.

Relevant Certificate to that effect.

i)

Applicant should have all the necessary approvals/ statutory clearances/valid registration certificates / licences in place to undertake the activities.

Copy of the certificate / factory license should be furnished. As also a self certification on the letter head that vendor has complied with all necessary requirements with regard to his establishment and taking up the proposed activity.

06. SCOPE OF WORK: The Applicant should describe how they plan to meet all the objectives mentioned herein above.

a) The selected vendor will be responsible for implementation of end to end

stationery management solution in the Bank i.e. printing/procurement of all

the stationery items in specified formats and supplying the same within

specified TAT to the branches/offices as per online requisition/indenting

made through Bank‟s in house Stationery Indent System and/or vendor‟s

system along with generation of MIS and provision of other support services

as may be asked by the Bank from time to time.

b) Before pan- India roll out of the new system, there may be a pilot roll out in one or two Zones to have an opportunity to test and refine the new system.

c) The vendor will have to execute modifications/deletion/addition if any in

existing stationery items promptly.

d) The empanelled Applicant will be required to supply stationery items to 2000+ branches / centres / offices of the bank located in all states of the country, including a large number of branches in rural and hilly areas.

e) The selected vendor is also required to help bank in standardizing the various forms/vouchers/registers for getting the optimum advantage of bulk ordering as well as reduce wastages leading to reduction in cost.

f) The selected Vendor has also to integrate their IT infrastructure with bank‟s existing systems for online indenting by branches/offices with further improvements/ enhancements.

g) The delivery/supply mechanism with monitoring and tracking system is to be clearly spelt out.

a) The Applicant should be agreeable to make provision of a dedicated help desk for IDBI BANK. The Applicant should provide on-site Engineer (technical help) to manage and run the Application smoothly as per business satisfaction.

b) A dedicated Team and IDBI BANK centric Portal as a Single Point of Contact (SPOC) for all issues pertaining to the stationery management and complaint redressal has to be provided.

c) Expected Uptime for the Software Application is 98% on monthly basis. It is expected that the average downtime of the Application will be less than 2 (two) hours and maximum downtime will be less than 6 (six) hours, for every instance of default.

d) Bank will impose penalty of 0.5% of monthly invoice value (max. 5% of

yearly contract value) for every breach of above uptime. The Bank reserves the right to levy / waive off penalty as and when it considers fit, but shall not be bound either way. Penalties will be deducted from the payments due on the invoices raised by the vendor. Any shortfall will be accumulated and deducted from the Performance Bank Guarantee as and when stipulated by the Bank.

e) Normal business hours per day: 10:00 am to 6:00 pm (Monday to Saturday), except 2nd & 4th Saturdays, Sundays and bank holidays.

The applicants may please note that the detailed list of requirements/ parameters may be further elaborated, viz., more details may be included in the Request for Quotation (RFQ) document to be issued to shortlisted respondents as a result of evaluation process of EOIs.

7. PROCESS BEFORE SUBMISSION OF EOI:-

i. Raising of queries/clarifications on Request for EOI document: The Applicants requiring any clarification on this document may attend the meeting on EOI clarification on January 24, 2017 at 11.00 am at the Conference Room, 6th Floor, Sarju House, Central Processing Unit, MIDC, Andheri(East), Mumbai. For attending this meeting, the Authorised representative should carry with him/her authority letter/credentials apart from informing their participation and queries by e-mail in advance on E-mail [email protected] and [email protected]

ii. Modification in Request for EOI document: At any time prior to the deadline for submission of EOIs, IDBI BANK may modify any part of this document. Such change(s) if any may be in the form of an addendum/corrigendum and will be uploaded in Bank‟s website. Such change(s) will automatically become part of this Invitation for EOI and binding on all Applicants. Interested Applicants are advised to regularly refer to the Bank‟s URLs referred above.

iii. Extension of date of submission of EOI: Request for extension of date for submission of EOIs will not be entertained. However, the Bank at its discretion may extend the deadline in order to allow prospective Applicants, a reasonable time to take the amendment/changes, if any, into account.

8. PROCESS AFTER SUBMISSION OF EOI :

i. All EOIs received by the designated date and time will be examined by the Bank to determine if they meet criteria/terms and conditions mentioned in this document

including its subsequent amendment(s), if any and whether EOIs are complete in

all respects.

ii. On scrutiny and in view of IDBI BANK, the EOIs NOT found in desired format/illegible/incomplete/not containing clear information and thus failing to fulfill

the relevant requirements or to permit thorough evaluation may be rejected for

further processing.

iii. IDBI BANK reserves the right, at any time, to waive any of the requirements of this Invitation for EOI document if it is deemed in the interest of IDBI BANK.

iv. If deemed necessary, the Bank may seek clarifications on any aspect of EOI from

the Applicant. If a written response is requested, it must be provided within 2

days; beyond which the response received, if any, will not be considered.

However, that would not entitle the Applicant to change or cause any change in

the substances of their EOI document already submitted. Bank may also make enquiries to establish the past performance of the Applicants in respect of similar

work. All information submitted in the application or obtained subsequently will be

treated as confidential.

v. After examining the EOI, some or all of the Applicants may be asked to make

presentation of the solution and demonstrate proof of concept.

vi. IDBI BANK may shortlist the Applicants who fulfill the eligibility criteria, have

solution as per the requirements of the Bank and are agreeable to abide by the

terms and conditions of the Bank. Bank‟s judgment in this regard will be final.

vii. Bank may issue a Request for Quotation (RFQ) to shortlisted Applicants for

inviting technical and indicative commercial bids for next process of procurement. However, please note that short listing of Applicants should not be treated as a

contract for the proposed work.

viii. Applicants will be advised about shortlisting of their EOIs or otherwise. However,

Applicants will not be provided with information about comparative position of their EOIs with that of others.

ix. Nothing contained in this EOI shall impair the Bank‟s Right to issue „Open Tender‟

on the proposed solution.

9. GENERAL TERMS AND CONDITIONS

i. Lodgment of an EOI is evidence of an Applicant‟s consent to comply with the

terms and condition of Invitation for EOI process and subsequent bidding

process. If an Applicant fails to comply with any of the terms, its EOI may be

summarily rejected. Please note that all the information sought needs to be

provided. Incomplete information may lead to non-consideration of the proposal.

ii. Willful misrepresentation of any fact in the EOI will lead to the disqualification of

the Applicant without prejudice to other actions that the Bank may take. The EOI

and the accompanying documents will become property of IDBI BANK. The

Applicants shall be deemed to license, and grant all rights to IDBI BANK, to

reproduce the whole or any portion of their product/solution for the purpose of

evaluation, to disclose the contents of submission to other Applicants and to

disclose and/ or use the contents of submission as the basis for EOI process.

iii. IDBI BANK reserves the right to accept or reject any or all EOIs received without

assigning any reason therefore whatsoever and the Bank‟s decision in this regard

will be final. No contractual obligation whatsoever shall arise from the EOI

process.

iv. Any effort on the part of Applicant to influence evaluation process may result in

rejection of the EOI.

v. IDBI BANK is not responsible for non-receipt of EOIs within the specified date

and time due to any reason including holidays in between.

vi. IDBI BANK reserves the right to verify the validity of information provided in the

EOIs and to reject any bid where the contents appear to be incorrect, inaccurate

or inappropriate at any time during the process of EOI or even after award of

contract.

vii. The information provided by the applicants in response to this EOI document will

become the property of IDBI BANK and will not be returned.

viii. Applicants shall be deemed to have:

a. examined the Invitation for EOI document and its subsequent changes, if any for the purpose of responding to it.

b. examined all circumstances and contingencies, having an effect on their

EOI application and which is obtainable by the making of reasonable enquiries.

c. satisfied themselves as to the correctness and sufficiency of their EOI

applications and if any discrepancy, error or omission is noticed in the EOI, the Applicant shall notify the Bank in writing on or before the end date/time.

ix. The Applicants shall bear all costs associated with submission of EOI,

presentation/POC desired by the Bank. Bank will not be responsible or liable for

any cost thereof, regardless of the conduct or outcome of the process.

x. Applicants must advise the Bank immediately in writing of any material change to

the information contained in the EOI application, including any substantial change

in their ownership or their financial or technical capacity. Copies of relevant

documents must be submitted with their advices. For successful Applicants, this

requirement applies until a contract is awarded as a result of subsequent bidding

process.

xi. Shortlisted Applicants must not advertise or publish the same in any form without

the prior written consent of IDBI BANK.

xii. Brief overview of the proposed procurement/scope of work given in this document

may be further elaborated, viz., more details may be included in the Request for

Quotation (RFQ) document to be issued as a result of evaluation process of

xiv. Bank reserves the exclusive right to change the dates mentioned in this EOI

document which will be notified on its website or communicated to the

respondents.

xv. IDBI BANK shall have the right to amend, rescind, reissue or cancel the EOI

process itself at any time, without thereby incurring any liabilities to the affected

Applicants. Reasons for cancellation, as determined by IDBI BANK in its sole

discretion would be final and include but are not limited to, the following: a) Services contemplated are no longer required.

b) Scope of work not adequately or clearly defined due to unforeseen

circumstance and/or factors and/or new developments. c) The project is not in the best interest of IDBI BANK. d) Any other reason.

Applicants who meet the eligibility requirements and are in agreement with the terms

and conditions of this EOI and are interested in supplying stationery to the branches and offices of the Bank spread over entire country may submit responses to the EOI in a sealed cover superscribed „EOI for Empanelment of Vendors for Stationery Management’, should be delivered in person to reach the given address latest by 6.00 PM on February 23, 2017, which should include the following information:

(a) Copy of the EOI document along with Annexure-A duly signed & stamped by the authorized signatory of the Vendor Company / firm.

(b) Details of other facilities/ Infrastructure (as per format in Annexure-B).

(c) Wherever applicable, the vendor will submit documents relating to the tie-up arrangements.

(d) Client References from BFSI/other sector (as per format in Annexure-C). Also

attach Letters of Empanelment from at least 2 major corporates, preferably

those in the BFSI (Banking, Financial Services & Insurance) sector (to be

flagged as Annexure-F).

(e) Copies of the audited accounts of past three years (Balance sheet, P&L

Account & Auditors Report for 2013-14, 2014-15 & 2015-16) of the company

and any other relevant documents apart from CA certificate clearly establishing

the volume of direct sales in the stationery supply business (to be flagged as

Annexure-G).

(f) Authenticated copies of Memorandum and Articles of Association/ Partnership Deed/LLP Agreement etc.
