At times like this all the above skills are neededto achieve a successful sale or purchase. This isthe type of market that separates the best fromthe rest and only an agent with great tenacityand experience can guide a sale throughto conclusion.

REAL OBJECTIVE ADVICEWith over 30 years experience in the business Ibelieve I have passed onto my team the necessaryexpertise to negotiate even the most difficultdeals. We encourage our vendors to assess factsand offer real objective advice on how to stillachieve the best price for their property withoutalienating the all important buyer.

VALUE FLUCTUATIONSEvery property owner is looking for assurancesthat the value of their property is not falling.Frankly, in many ways, it doesn’t really matterunless your property is financed to the ‘hilt’.However, the feeling of unrest in the market canbe more damaging than actual value fluctuations. If you sell at a lower price then you aim to buy alsoat a lower price and maintain the differential. Inthe long run we should all benefit because in realterms we are reducing our financial exposure.

WE AT LAWLORS PROPERTY SERVICESARE HERE TO MEET THE CHALLENGE...We believe this could be a time of greatopportunity, even though purchasers may drive ahard bargain. For vendors it is worth consideringreducing your property now, so you may secure apurchaser and enter the purchasing arena in astrong position. We want to negotiate the sale ofyour property and keep this market moving.

The skills required to find common groundbetween buyer and seller and forge a deal indifficult times are rare. We at Lawlors PropertyServices are here to meet the challenge and havethe ability and the will to negotiate until the dealis made.

James LawlorPARTNER F.N.A.E.A

negotiator [Part of speech; verb]

Ten top tips to make a deal...

VENDORS• Be sure that your motives for selling your property are strong enough to see

the deal through.

• Make a detailed list of all the charges and fees you will need to meet fromthe proceeds, so you know exactly how much you can accept.

• Try not to be offended if offers are below your expectations….talk it throughwith us.

• Compare the value/price of your property on house price websites to see ifyour figures are realistic.

• Consider every possible option, even if the offers you receive are not as youfirst anticipated.

BUYERS• Before making your offer check your ability to proceed with us first so your

bid can be submitted with confidence.

• Negotiate a realistic deadline for exchange with the vendor – and stick to it!

• Be open regarding any potential issues you may have that might cause aproblem in your ability to purchase.

• Allow us to keep in regular contact with all parties involved i.e. mortgageadvisers, solicitors etc.

• Select a solicitor who is prepared to work with us to progress this transactionswiftly and efficiently.

By following these easy guidelinesyou will make even the most

complicated of transactions easy.

For all the recent mud-slinging at residential property, those that invest in it have beaten returns from thestock market for the last decade. Clerical Medical’sAsset Watch, a biannual study which tracks five assetclasses over ten-year periods, said the average profitfrom residential property has been 17.8 per centcompared to stocks and shares at 5.3 per cent.

FEAR AND FORECASTSThere is a famous joke within the media that goes likethis: A journalist holds up two mock front pages forthe editor to choose which one to print. One headlineis “housing prices plummet” and the other says“housing prices soar.” The Editor says, “We’ll go withthe one we didn’t run yesterday.” The point I amdriving at is that we are all interested in property stories– as hit TV shows featuring Kirstie Allsopp, PhilSpencer, and Sarah Beeny testify – and the mediasimply feeds that desire.

So, during these tumultuous times for mortgagelenders and a slowing in the economy, it is unsurprisingthat there has been an almost constant flow of mediareports charting ‘expectations,’ ‘forecasts’ and‘anticipations’ about the direction of house prices. Itcan be easy to forget that these words indicatecommentary about what could happen, not what hashappened.

One example is the “house-price fear” gripping“recession virgins” – a press release widely reported onfrom personal finance website Fool.co.uk. It stated thata quarter of homeowners are “worried aboutexperiencing negative equity as a result of fallingproperty values in 2008,” yet the Council for MortgageLenders’ own data showed that UK housing wealthhas more than trebled in the last ten years.

The official figures show that free equity held byhomeowners equates to 68 per cent of housing wealthand 45 per cent for those on mortgages, by the end of2008. The CML stated: “Some commentators havebeen bearish [negative] in their forecasts for housingprices. Even if house prices fall by 5 per cent this year, there will only be a modest impact on overall levels ofhousing wealth. That ensures that most borrowers areable to cope, no matter how the market develops inthe short term.”

FIRST TIME BUYERSMuch of the focus recently has been on first-time buyers and their inability to takethat first step onto the propertyladder because they can

no longer borrow 100 per cent-plus loans. I am afraidthat this is the rub of it: If you receive 100 per cent loanfrom the bank to buy your property then you do notown any of it, the bank does. When the lenders decidefor various reasons that they no longer want to offer100 per cent or even 125 per cent loans (negativeequity from the get-go) on a property’s value, theneveryone is up in arms for the poor prospective firsttime buyer.

The truth is 100 per cent-plus mortgages only comeinto favour when lenders get greedy and competitive,as in the early 1990s and again throughout the 2000s.While it may be tough to save a deposit, inflation is stillhistorically low – even if it inches above the Bank ofEngland’s target to reach 3 per cent, saving rates arevery good thanks to the ‘credit crunch’ (banks nowneed more money under their management forregulatory reasons) and it is still possible to getmoderately-priced guarantor mortgages or jointmortgages with friends and family members.

All is not lost for the first-time buyer; it is just a matterof realigning expectations.

MORTGAGE AVAILABILITYPart of that realignment of expectations will involvetidying up personal credit reports and tacklingunsecured debt head-on before trying for a mortgagein the present climate. This is no bad thing – it was andis unsustainable to offer 100 per cent mortgages onproperties based on four to five times the individual’sincome, while they still have hefty credit card bills andother debts coming in.

A mortgage is a loan, so best minimise other debtsbefore taking on the largest lump sum debt most of uswill possess that could cost your home if you fallbehind on repayments. For remortgagers, the knighton a white horse is HSBC’s product which extends yourexisting fixed rate mortgage deals, which are likely tobe unbeatable on today’s market, for a competitive£499 fee. While there has undeniably been asignificant decrease in the number of mortgageproducts available - 6,526 last month April down from27,159 in April 2007 – there is still plenty to go around.Even those with imperfect credit andwanting higher loans (under 90 per cent)should be able to secure something

but for any extra risk the lender takes, you will pay forvia the repayment rate offered or the up-front fee.

Mortgaged homeowners would also be wise to doublecheck whether they are eligible for payment holidaysor other flexible features which may give them somewelcomed breathing space.

ECONOMIC OUTLOOKMost house price forecasts (educatedguess/estimations) expect house prices to “flatten” –i.e. not leap but not plummet during this year. Thesame goes for the economy; the clear message fromgovernment and business organizations is aslowdown, not a fall-down.

In fact, the CML data shows house prices at completionin the South East area remained pretty steadythroughout last year and into 2008. There is a risk thattalk of generic house price fluctuations mask the realityfor different geographic areas. Greater London and theSouth East, for example, is relatively affluent and morehighly populated than some of the less protected areas.

First-time buyers are also likely to keep their role as the“lifeblood” of the property market, jumping in to keepprices buoyant as soon as property prices start to flag atthe lower end of the spectrum. There is also continueddemand for rental properties, giving comfort to thosealready with healthy buy-to-let portfolios andencouragement to prospective buy-to-let investors whowill also prevent a ‘crash’ in the property market bysnapping up competitively-priced deals and taking along-term investment view on their value.

For those that wish to move home quickly, their priceexpectations may need to be adjusted as buyers aim tocapitalize on what has switched back into a ‘buyer’smarket’ for the first time in perhapsa few years. For those buying, negotiation is the buzz word.

The Silver Liningto the Mortgage Cloud

The doom and gloom-mongers are in their element. Britons can barely

move for being bombarded with news of mortgage meltdowns and an

impending housing collapse. But are things really as bad as they say, or

could any ‘problems’ simply be blown out of proportion?

INTRODUCTIONAt over 1,200 sections and 16 Schedules, the Companies Act 2006 is the singlelargest piece of legislation ever to hit the Statute Book. The Act is intended tobe both a codification and reform of existing legislation, but beware, many oldcommon law provisions will continue to apply and have not been carried into theAct. The Act is being implemented in stages between the 1st April 2007 and1st October 2009.

OBJECTIVESThe major objective of the Act, according to the Government, has been tosimplify Company Law and to apply a “light touch” to the regulation of smallprivate companies, it being recognised that over 90% of registered companieshave five or fewer shareholders. To this end, for example, private companies willno longer need to have a Company Secretary, and will no longer be obliged tohold Annual General Meetings. The Act also seeks, for the first time, to codifyDirectors’ duties and to provide what the Government refers to as“shareholder engagement”.

DIRECTORS DUTIESThe Act attempts to codify Directors’ duties and is intended to replace thecurrent combination of Directors’ statutory and common law duties. Howeverconfusingly, regard will still need to be had to common law rules and equitableprinciples in interpreting and applying the new statutory duties. These duties, which have been in force since the 1st October 2007 are :-

• To act in accordance with the Company’s Constitution Self evident really, but regard should always be had to the Constitution, that is to say, to theArticles of Association.

• To promote the success of the Company for the benefit of its membersas a whole On the face of it uncontroversial but this duty attracted mostcomment during the passage of the Bill through Parliament. The reason forthis was that in exercising this duty, the Director is to have regard (amongstother things) to the interests of the Company employees, the need to fosterthe Company’s business relationship with suppliers and customers, and theimpact of the Company’s operations on the community and the environment.Concern has been expressed as to how Directors are to show discharge of theduty. Some commentators suggest that agenda papers should map out theway in which these matters have been taken into account, othercommentators suggest nothing more than a Minute to the effect that thematters were considered.

• To exercise independent judgement

• To exercise reasonable care, skill and diligence This means the care, skilland diligence that would be exercised by a reasonably diligent person with (a)

the general knowledge, skill and experience that may reasonably be expectedof a person carrying out the functions carried out by a Director in relation tothe Company and (b) the general knowledge, skill and experience which he,the Director has. These are cumulative, not alternative standards so the “Iknow nothing, I’m from Barcelona” excuse will not do.

• To avoid conflicts of interest A Director must avoid a situation in which hehas or can have a direct or indirect interest that conflicts or possibly mayconflict with the interests of the Company and this applies in particular to theexploitation of any property, information or opportunity and it is immaterialwhether the Company can take advantage of the property, information oropportunity. However, the Act permits Board authorisation of most conflictsof interest arising from third party dealings. This is a dilution of the previousposition, and there is clearly now an increased risk that Directors willimproperly authorise each others’ personal exploitation of corporate resourcesto the prejudice of shareholders.

• Not to accept benefits from third parties There is no de minimusprovision, the only proviso being that the duty will not apply where theacceptance of the benefit cannot reasonably be regarded as likely to give riseto a conflict of interest.

• To declare interests in proposed transactions or arrangements withthe Company The declaration must be made in writing, but it only has to bemade to the other Directors. There is an obvious risk here that the Directorsmay feel (although incorrectly) that they are immune from criticism whenentering into a contract with the company that may create a conflict ofinterest if that contract has been the subject of a declaration to the Board.

CONCLUSION

“A wasted opportunity”, “no real change”and “symbolic posturing”.

Despite the adverse news reports on the property market being flooded and with the doom and gloom

surrounding the ‘credit crunch’, the residential lettings market in the West Essex region remains as strong as

ever. We are experiencing high numbers of calls from people wanting to rent throughout the Loughton,

Chigwell and Woodford Green areas due to the area’s strong transport links with tube, rail and motorways.

Commuters make up a large percentage of our tenant database on the smaller one and two bedroom properties

and there’s a very strong ‘family’ marketplace for the three to five bedroom houses that become available.

Whilst the market is still very much price-driven, prices have steadily risen over the past year. The question is are you getting

the best possible return from investment. Let Lawlors give you an up-to-date market appraisal of your home/portfolio. A

large majority of the properties coming onto the lettings market with us are attracting a great deal of interest within the

first seven to 10 days and this often results in a very quick let indicating just how competitive the market is.

In the current property market with the pressreporting nothing but doom and gloom buyers caneasily become disheartened about ever getting afoot on the property ladder. In more and more casesfirst time buyers are seeking the assistance of theirparents in purchasing their first property. However, parents often raise concerns as to whether theirmoney is protected and whether they will ever get itback.Whilst many parents are happy for their child to have the cash they are alsoconcerned that if their child has purchased a property jointly with their partner, what happens if they split up? Would the parents cash be protected? Wouldthe parents ever get the money back if they needed it?

Parents can protect their investment very easily by having a Declaration of Trustdrawn up. This is a legal document which sets out the contributions made bythe parties to the purchase and their intentions as to how the money shouldbe distributed once the property is sold. This will ensure that the parents getback the money they invested for the purchase.

A simple scenario would be: -• Jim buys a property for £300,000.00. His mother lends to him

£30,000.00 (10%) as a deposit and Jim obtains a mortgage for thebalance of the price.

• Jim lives in the property for 3 years and then sells for £400,000.00.

• A Declaration of Trust can be prepared that will provide for hismother to receive either her original £30,000.00 back oncompletion of the sale or £40,000.00 being 10% of the sale price(the same proportion that she contributed to the originalpurchase price).

Using the second option means that not only has mother helped Jim onto theproperty ladder; she has also made a profit from her investment.

Similar Declarations of Trust can be used when friends or unmarried couplesare buying a property together particularly when they are contributing unequalamounts to the purchase price. Not only can the Declaration of Trust providefor the distribution of the sale proceeds it can also make provision for othercircumstances, for example where one party may want to sell the property andthe other does not.

When people invest money into buying property they often find it difficult tothink that anything would go wrong. The reality is that quite often it does andunfortunately many buyers have lost money after falling out with theirpurchasing friend or partner.

The good news is that if you have purchased a property without a Declarationof Trust there is no need to worry! Declarations can be drawn up with theagreement of all parties at any time following the purchase.

At Attwater & Liell we are experts in advising clients about Declarations ofTrust and can prepare these documents to make sure that all parties interestsare protected should the worst happen.

If you would like to discuss thepossibility of preparing such adocument please contact Sheri-Anne Mizon at Attwater & Liell,147 High Road, Loughton, EssexIG10 4LY on 0208 508 2111 orvia e-mail on [email protected].

With a little help...anything is possible!

Most sales have an emotional element and inevitably when there are delays andunforeseen problems, tempers fray and stress takes its toll. Sadly, all logic andsanity disappears and it generally takes a lot of patience and empathy to restorethe calm and move the sale along.

Times are changing fast: Six months ago we could loosely predict that a surveywould be instructed within a week of the buyer submitting their mortgageapplication form. Now, not only is there a delay arising from buyers strugglingto find a mortgage on affordable terms, but we are also faced with lendersworking to a far longer turn around period for mortgage applications which, automatically causes concern from the vendor’s point of view. Should a revisedmortgage offer be required there also regularly seems to be a delay in lendersreturning this to the Solicitor.

You may think that with less properties being sold, Solicitors would be underless pressure and might be inclined to return phone calls more promptly. Sadly, this doesn’t seem to be the case with certain Solicitors. I have always advisedvendors and buyers that choosing the right Solicitor is just as important aschoosing the right mortgage. Of course one should shop around to get afavourable quote, but to choose an "old family friend" who is not familiar withthe local area can do more harm than good. It is advisable to choose a Solicitorwho will work quickly and pro-actively on your behalf rather than the "callcentre” type Solicitors where the sale is simply administered by assistants. Our panel of three local Solicitors which feature within this magazine workconstantly with Lawlors and will be happy to supply a competitivefee for conveyancing.

Generally, the present state of the market means that most vendors are anxiousabout keeping their buyers, and live in fear that the buyers will be swayed bythe huge media coverage that we are experiencing and will pull out of apurchase, even after spending good money on Surveyors and Solicitors. Withthis in mind vendors really need to be assured that all parties are workingtowards an early exchange of contracts and that their Solicitors in particular, areworking furiously to achieve this.

On a positive note, despite the enormous amount of scepticism about the HIP, Ican report that most Solicitors and lenders are accepting the personal searchincluded in the HIP pack and this has cut down the number of chaser calls to localauthorities that are needed. In most cases ten working days have been saved.

So, sales progressing has become more time consuming and more importantthan ever as delays in exchanges become more frustratingly frequent. Onmany occasions I can speak or liaise by Email to vendors four or fivetimes a day and a relationship develops over this period. Thereis certainly nothing more satisfying for me than makingthe call to my vendor and purchaser informingthem that they have finally exchanged andthe relief and gratitude in their voicemakes the whole job feelworthwhile.

Trying to progress a property sale to a conclusion that satisfies both the vendor andbuyer has never been an easy task. Once a negotiator has succeeded in getting theparties to agree the sale terms, the file is quickly passed over to me and my job isto ease the passage of the sale and to iron out any problems that might arise alongthe way. These can be as trivial and routine as trying to book a survey on a date thatsuits the vendor, through to involved negotiations which might result from a down-valuationor adverse survey.
