CLUB SEAT AGREEMENTTo become a Lucas Oil Stadium Club Seat holder you must sign a three or five-year Club Seat Agreement. This is NOT a PSL (personal seat license). The Club Seat Agreement is

in place to provide Club Seat holders with long-term pricing guarantees on their seats. By requiring multi-year commitments from our Club Seat holders, we have the flexibility

to limit or eliminate Club Seat price increases. If you choose the five-year agreement, your price will not increase for the first three seasons. Once Club Seats are assigned, you

will receive a Club Seat Agreement with your Lucas Oil Stadium seat locations. At that time, you can choose between the three and five-year agreement.

CLUB SEAT FAQSWILL FANS BE REQUIRED TO PURCHASE PERSONAL SEAT LICENSES (PSLs) IN LUCAS OIL STADIUM?

No! The Colts are pleased to reaffirm Jim Irsay’s promise that we will not be implementing Personal Seat Licenses. PSLs, one-time payments over and above the regular ticket price, give fans the right to buy season tickets for a pre-determined length of time. PSLs are common among NFL teams entering new stadiums, but we will not have them in Lucas Oil Stadium.

HOW WILL THE CLUB SEAT TRANSITION PROCESS WORK?

Filling out the on-line questionnaire (note the instruction sheet included with this brochure) is an important first step in the transition process. We will make every effort to provide Lucas Oil Stadium seats comparable to the ones you have during the 2006 season. If your questionnaire indicates the desire to sit elsewhere, we will try to fulfill your request. If you have multiple seat locations the on-line option is not available. Our goal is to inform all Club Seat holders of their Lucas Oil Stadium seat locations by February 15, 2007. Existing season ticket holders must renew their tickets for the 2007 season to guarantee their Lucas Oil Stadium seat locations.

WILL SENIORITY BE A FACTOR IN THE TRANSITION?

Providing a comparable seat location will be the primary consideration used in assigning seats. Some seat assignments will be determined by the season ticket holder’s seniority because of architectural differences between the two facilities.

WHY AM I BEING ASKED TO SIGN A CLUB SEAT AGREEMENT?

The three-year and five-year Club Seat Agreements offer Club Seat holders guaranteed pricing. Club Seat season tickets are a premium seating option in Lucas Oil Stadium, providing the best sightlines, Club Lounge access and amenities not available to other season ticket holders.

CAN THE LANGUAGE IN THE CLUB SEAT AGREEMENT BE ALTERED?

No. While we encourage you to thoroughly review the Club Seat Agreement, please note that the standard language cannot be altered to accommodate individual requests.

SEAT RELOCATION TIMELINE

PHASE ONE1 September 2006

Club Seat information is sent to all season ticket holders.

2 September 29, 2006 (Deadline) Season ticket holders who want Club Seats must submit their preferences and requests by this date.

3 October 2006

The Colts will begin assigning Club Seat locations.

4 February 2007

Club Seat holders will receive their Club Seat Agreements and their Lucas Oil Stadium seat locations.

PHASE TWO1 By March 2007

All non-Club season ticket holders will receive transition letters and instructions on how to submit seating requests utilizing an on-line questionnaire.

2 Summer 2007

The Colts will begin assigning comparable season ticket locations based on the season ticket holder’s questionnaire answers.

3 Fall 2007

Lucas Oil Stadium season ticket locations will be sent to all non-Club season ticket holders.

4 February 2008

Renewal statements will be mailed.

5 August 2008

The Colts kickoff the inaugural season in Lucas Oil Stadium - and you are there!

CAN I UPGRADE OR RELOCATE MY CLUB SEATS DURING THE TERM OF THE CLUB SEAT AGREEMENT?

Our goal is to provide the seats you request. However, all Club Seat holders will sign a multi-year Club Seat Agreement, which minimizes our opportunity to relocate fans. If seats become available due to unforeseen circumstances, you will be given the opportunity to relocate your seats in a price level equal to or higher than the seats reserved in your Club Seat Agreement (the term will remain unchanged). The seat relocation process in Lucas Oil Stadium will be similar to our current seat improvement service. You can complete a relocation form in February and our staff will contact you if we can fulfill your request.

CAN I ADD CLUB SEATS TO MY EXISTING ACCOUNT?

Yes. Requests to add seats to existing accounts will be honored to the extent seats are available. If you want more Club Seats in Lucas Oil Stadium than you have in the RCA Dome, please indicate this when you complete the on-line questionnaire. You must provide a $200 non-refundable deposit for each Club Seat that you want added to your account. There is no guarantee these seats will be next to your assigned Lucas Oil Stadium seats. If you want to move your non-Club Seats into Club Seats, you must provide a $200 deposit per seat. This deposit will be applied to your account prior to the 2008 season.

CAN I TRANSFER OR ASSIGN MY CLUB SEAT AGREEMENT OR CLUB SEAT TICKETS?

The Club Seat Agreement may be transferred or assigned only with the written consent of the Indianapolis Colts. Season

ticket holders may request transfer of ownership forms (for tickets) in the fall of 2008. These transfers would take effect for the 2009 NFL season.

WHEN WILL I BE BILLED FOR MY 2008 CLUB SEAT SEASON TICKETS?

Signing the Club Seat Agreement reserves your seats. No money will be due (except for the deposit required for any new Club Seats) until our normal billing cycle in February of 2008.

CAN I REQUEST MY LUCAS OIL STADIUM SEATS BE LOCATED WITH A FRIEND?

Yes. Requests to locate your seats with those from another account will be considered, although this may compromise the seat assignment of an account that would otherwise receive a better location. We will do our best to satisfy requests to keep together fans who currently sit together in the RCA Dome.

WILL THERE BE BENCH SEATS IN LUCAS OIL STADIUM?

No. Unlike certain sections of the RCA Dome, bench seats will not be used in the permanent seating areas of Lucas Oil Stadium. Each Colts ticket holder will enjoy the comfort provided by an individual seat.

WILL THERE BE MORE ACCESSIBLE SEATING IN LUCAS OIL STADIUM?

Yes. Lucas Oil Stadium is being built in compliance with the Americans with Disabilities Act, and will provide more accessible seats to accommodate our fans with special needs. Ramps, elevators, escalators, restrooms and other facilities have also been designed to ADA specifications.

WILL THERE BE NEW FOOD OPTIONS IN LUCAS OIL STADIUM?

Yes. Themed concession areas will be featured throughout Lucas Oil Stadium. Additionally, there will be more and better equipped concession stands for enhanced customer service.

WHEN WILL THE PROCESS OF ASSIGNING NON-CLUB SEASON TICKETS BEGIN?

Non-Club season tickets will be assigned during the summer of 2007 as part of Phase Two.

WHEN WILL NON-CLUB SEAT SEASON TICKET PRICES (ALL OTHER SECTIONS) BE ESTABLISHED?

The Colts anticipate releasing pricing for all remaining sections of Lucas Oil Stadium within the next few months.
