PART ‘A’ - Memorandum of the IFFCO Retirees’ Welfare Association (IRWA)

MEMORANDUM OF ASSOCIATION

1. Name of society: The name of the society shall be “IFFCO RETIREES’ WELFARE

ASSOCIATION (IRWA)”, in short "IRWA" hereinafter referred to as “The Association”.

2. Registered Office : Registered Office of the Association shall remain in the State of

Delhi and at present, it is at the following address:

I-17(Second Floor), Lajpatnagar 2, New Delhi -110024.

3. Jurisdiction of "the Association": The Registered Office mentioned above shall be the

Central Office with jurisdiction throughout India and will be authorised to establish

Branches in different parts of the country.

4. Aims and Objects: - The Aims and Objects for which the Association is established are

under:

4.1. To assist in the welfare of retired employees of IFFCO

4.2. To promote fellowship, foster a spirit of co-operation, unity, confidence and paternity

among retirees through social, cultural and other activities.

4.3. To promote and to safe-guard and to advance the common interest.

4.4. To act as a liaison between the Retirees and the Management of the erstwhile

organisation and other authorities.

4.5. To have close liaison with needy Retirees.

4.6. To foster a spirit of mutual help and goodwill among the Retirees, in general, and

the Members of the Association, in particular, thereby, promoting communal

harmony and national integration.

4.7. To help Retired IFFCO Employees in their physical and mental distress.

4.8. To help alleviate the suffering of Retired IFFCO Employees in emergency cases.

4.9. To exchange ideas with a view to help Retired IFFCO Employees in welfare activities.

4.10. To establish, maintain and organize Workshops, Seminars, etc. for education and

development of all faculties of Retired IFFCO Employees.

4.11. To promote and organize shows and sports activities etc. for Retired IFFCO

Employees.

4.12. To propagate, impart and adopt any audio-visual methods in furtherance of

interests of Retired IFFCO Employees.

4.12.1. To liaise with, aid or establish any home, institution or society for the welfare of

Retired IFFCO Employees.

4.12.2. To award Prizes in competition or physical or mental games and award stipends to

needy Retired IFFCO Employees.

4.12.3. To establish and maintain libraries and issue souvenirs containing information

of interest to Retired IFFCO Employees.

4.13. To periodically issue news-letters and souvenirs containing information of

interest.

4.14. To arrange all such activities as would help Retired IFFCO Employees in leading

lives in a congenial environment.

4.15. To undertake charitable activities for the welfare of Retired IFFCO Employees.

4.16. To take up with the concerned authorities the problems of Retirees in general

and of Members of the Association, Retired IFFCO Employees, in particular.

4.17. To promote, set up Old-age Homes, Retirement Homes and Communes in

environmental-friendly locations and seek public, private, cooperative, corporate

and Government participation in cash, land and kind and thru sponsorship for

setting up the Homes.

4.18. To take-up new activities from time to time as per the need of the time demands

and which are in the interest and well-being of the Retired Members.

4.19. To maintain and strengthen the brand image of our parental organisation "IFFCO"

by spreading the concept of cooperation and cooperative.

PART ‘B’- Rules & Regulations of IFFCO RETIREES’ WELFARE ASSOCIATION (IRWA)

1. Name of the Society: The name of the society shall be “IFFCO RETIREES’ WELFARE

ASSOCIATION”, in short " IRWA" hereinafter referred to as “The Association”.

2. Membership:

2.1.1. The Membership of the “IFFCO RETIREES’ WELFARE ASSOCIATION (IRWA)”,

hereinafter referred to as “The Association” shall be open to all Ex-IFFCO Employees

who have superannuated / retired from IFFCO, or who were in active service of

IFFCO and are in receipt of employees pension from Employees Provident

Fund Organization (EPFO), or who had reached the age of retirement and are in the

active service of IFFCO (retire /retirement means “on attaining the age of 58 years”).

The spouses of deceased Members may become Members and shall have all rights of

a Member.

2.1.2. The Membership cease of those employees who retired/superannuated from

Associated Companies of IFFCO will be decided by Governing Council.

2.1.2.1. Kalol, Kandla, Pulpur, Aonla, Paradeep and HO will be treated as ‘Unit’ and

Employees retired from these Units will be treated Primary Members from that

respective Unit. Similarly, Employees retired from concerned Marketing Zone will be

treated Primary Members from that Zone. Where any employee was posted in more

than one Unit or Zone during his/her tenure in IFFCO, or if any Employee so desires

to change his/her Primary Membership constituency, he/she may be allowed to opt

for Primary Membership from any one such Unit/Zone . But, this option once

exercised, will not be changed, in future. (For Unit/Zonal Executive, Primary

Membership of that Unit/Zone is a ‘must’.)

2.1.3. Types of Membership: The Association shall consist of two kinds of Members

namely- Life Members and Honorary Members.

2.1.3.1. Life Membership

2.1.3.1. (a). Any Member who fulfils the criteria stipulated in Clause 2.1.1 may apply, in

writing, to the Secretary, for enrolment as Life Member of the Association, giving full

details of his service in IFFCO including date of retirement (alternatively, the

information may be obtained from IFFCO records on specific request by concerned

Member).

2.1.3.1.(b). The spouse of the deceased IFFCO Employee is entitled to be Life Member

without paying any subscription. She/He will have to submit the Membership Form

for enrolment.

2.1.3.1.(c). After an individual’s application has been provisionally approved by the

Executive Committee , admission of such a Member to Life Membership of the

Association shall be at the discretion of the Governing Council .The name of the

applicant for Life Membership shall, on payment by him of the subscription as may

be specified in these Rules and Regulations, from time to time, be entered by the

General Secretary/Joint Secretary in the Register of Members, and the applicant shall

thereupon become the Life Member of the Association. An intimation to this effect

will be sent to the Member through SMS/WhatsApp/Email. The Executive

Committee, at its discretion, may authorize the Secretary/Joint Secretary to accord

such provisional approval.

2.1.3.1.(d). A Life Member (which includes spouse of deceased employee, as mentioned

above, shall have the right to attend all General Body Meetings of the Association

and the right to vote.

2.1.3.2. Honorary Membership

Any person of eminence may be invited by the Governing Council to become an

Honorary Member of the Association for any specified period or for life.

An Honorary Member of the Association may be invited to any Meeting of the

General Body but shall have no right to vote.

2.1.3.3. President Emeritus

The President may invite distinguished Life Member(s) to become President

Emeritus provided the Governing Council accepts the proposal.

2.1.3.4.President may invite/nominate any IFFCO Employees’ Union and/or Officers’

Association’s Executive or any serving IFFCO Officer in any Meeting as Honorary

Member.

2.2.0. Subscription

Annual Subscription for Life Membership shall be, as decided from time to time, by

the AGM duly recommended by Governing Council. The present one-time

subscription is Rs 1000/- (Rupees one thousand only).

2.2.1. Honorary Members shall not pay any subscription.

2.2.2. Register of Members

A ‘Register of the Association’, showing separately, in respect of the Life Members,

Honorary Members, their date of admission in the Association, personal particulars,

date of payment of subscription (where applicable), and the date, if any, on which

the name of the Member was struck off or he ceases to be a Member, together with

the reasons thereof, shall be maintained by the General Secretary/Joint Secretary and

shall be open to inspection by Members at all reasonable times, except during the

period of 30 days immediately preceding the date of Annual General Meeting,

during which period no new names shall be entered in the Register. The data may be

maintained in electronic form with proper security features.

2.3.0. Cessation of Membership

2.3.1. A Member shall cease to be a Member of the Association on his/her death. However,

his/her survivor spouse may become Member in his/her place, but, in such cases

‘Subscription already received will not be refunded’.

2.3.2. On the Executive Committee (Central) passing a Resolution that a Member/Office-

bearer has acted in a manner prejudicial to the aims, objects and reputation of the

Association, the Membership of such person(s) shall stand terminated with effect

from any future date stated in the Resolution , and if no such date is so stated, from

the date on which such Resolution is passed; provided, that before any such

Resolution is passed, the affected Member shall be accorded an opportunity to show-

cause, why he should not be expelled within 15 days of such Notice.

2.3.3. The Executive Committee (Central) may also order the termination of Membership of

any Member/Office-bearer, if it is satisfied that:-

He has been found to be unsound mind by any Court of Law.

He has been convicted by a Criminal Court for an offence involving moral turpitude

or such act for which sentenced.

2.3.4. Any Member may resign from the Membership of the Association by giving a

written notice to the General Secretary of not less than one month of his intention to

resign. The resignation in such cases shall be effective from the date stated in the

resignation or after the passage of 30 days from the date of receipt of such notice by

the General Secretary (whichever is later, unless it is earlier revoked by the Member

by delivering a written communication to the Secretary).

2.3.5. If a person’s Life Membership has been terminated or one has resigned, such

Member may be required by the Executive Committee (Central) to pay the

subscription again, if his application for re-admission to Life Membership is

approved, at any later date of Appeal.

2.3.6. Any person whose application for admission or re-admission to Life Membership

has been rejected by the Executive Committee or any Member who considers himself

to be aggrieved by any order of or action by the Executive Committee (Central) may

within a reasonable time, apply to the Governing Council (Central) giving full details

of his case and the Governing Council may take such action or pass such instruction

on it as they may deem fit. The decision shall be final and communicated by the

General Secretary/Joint Secretary, in writing. After cessation of Membership for any

reason, whatsoever it may be, the Subscription amount already deposited with the

Association will not be refunded.

2.4.0. Rights and Privileges of Members:

2.4.1. To participate in the General Body Meeting of the Association;

2.4.2. To exercise the right to vote in the election of Office-bearers and Members of the

Central Governing Council, Executive Committees of the Association; or concerned

Branches.

2.4.3. To be a candidate for election as Office-bearer or Member of the Governing Council/

Executive Committees of the Association including its concerned Branches.

2.4.4. To seek Special Meeting of the General Body by requisition addressed to the

President, in writing, detailing the issue to be discussed with signatures of 10% or 50

Members, whichever is less, including Life Members, who have paid their

subscription in full.

3. General Body

3.1.0 General Body: General Body shall consist of all Life Members of the Association,

who have paid subscription/dues, in full, as on the reckoned date. The General Body

is authorized to carry out the following listed activities:-

3.1.1. To receive and adopt Annual Report to be presented by the General Secretary, and in

his/her absence, by the Joint Secretary; and Annual Statement of Accounts to be

presented by the Treasurer, and in his/her absence, by the Joint Treasurer

3.1.2. To elect Office-bearers and Members of Executive Committee.

3.1.3. To determine the nature and extent of welfare and other activities of the Association

3.1.4. To authorise and direct Executive Committee to carry out the decisions of the

General Body.

3.2.0. Notice of Meetings and Periodicity of Meetings: 30 days’ notice shall be given, in

writing, for convening Annual General Body Meeting and Extra Ordinary General

Body Meeting

3.3.0. Notice of Meetings and Periodicity for Meetings shall be as decided by the

General Body/ Annual General Body/ Governing Council (Central)/Executive

Committee (Central)/Branch/Chapter/Zone respectively.

3.3.1. Annual General Meeting

3.2.1.1 . Annual General Meeting of the Association shall be held once in a year at such

time and place as the Governing Council (Central) may decide.

3.2.2. The following business shall be transacted at the Annual General Meeting:-

3.2.2.1. Presentation and adoption of the Annual Report of the Association and the Audited

Balance Sheet, and Accounts of the previous year.

3.2.2.2. Election of the Members to the Governing Council (Central) for the ensuing year as

is required to be elected.

3.2.2.3. Such other business as may be placed on the Agenda or permitted by the Chair.

3.2.2.4. A Notice of not less than twenty-one days (21 days) shall be given for the Annual

General Meeting. Notice of all motions proposed to be moved by any Member shall

be given, in writing, to the General Secretary duly seconded by at least one

Member entitled to vote, at least fifteen days (15 days) before the date of the

Annual General Meeting.

3.2.2.5. Notice(s) may be given by "the Association" through

SMS / WhatsApp / Email / Registered / Speed Post.

3.2.3.0. In preparing the Agenda for the Annual General Meeting, the Governing Council

(Central) shall have the right:-

3.2.3.1 To determine the order in which the business included in the Agenda is to be

considered

3.2.3.2. To co-ordinate into one or more Resolutions, items covering the same subject

wholly or in part

3.2.3.3. To reject any motion which may be considered inconsistent with the Aims

and Objects of the Association or irregular or out of order

3.2.3.4. To frame and introduce any Resolution which may be considered necessary for

consideration of the General Body.

3.2.4. Agenda shall be circulated to all Members at least 21 days in advance or by display

at a prominent place in the Registered Office of the Association/respective Branch

offices.

3.2.5. The President of the Association or in his absence the Senior / Vice-President shall

act as the Chairman of the General Meeting.

3.2.6. In case, all aforesaid are not present, Members present shall choose one of them to

act as Chairman.

3.3.0. Quorum

3.3.1. Fifty Members or 10% of Members entitled to vote, whichever is less, present at the

Annual General Body Meeting. No business shall be transacted unless the quorum is

present at the commencement of the business.

3.3.2. If the quorum is not complete at the appointed time, the meeting shall stand

adjourned for half an hour. After this stipulated half an hour; the Meeting shall meet

again at the same place and proceed with the same Agenda. No quorum shall be

necessary for the Adjourned Meeting.

3.3.3. Every proposal/suggestion submitted to the Meeting shall be decided by majority of

votes of the Members present including the casting vote of the Chairman.

3.4. Extra-Ordinary General Meeting

3.4.1. Extra-Ordinary General Meeting may be convened by the Governing Council

(Central) or by the President, when considered necessary. Extra-ordinary General

Meeting shall also be called by the President on presentation to him of written

requisition by not less than 20 Members for considering such matter as may be

specified in the requisition. The rules and procedures applicable to the conduct of the

Annual General Meeting shall also apply to the Extra-Ordinary General Meeting

except that the Period of Notice shall be 30 days. The Notice shall state the specific

purpose for which the Meeting is being convened on requisition. If the quorum is not

present and the number of Members present remains below the quorum, unless the

Chairman decides otherwise for reasons to be recorded, stands dissolved.

4. MANAGEMENT:

4.1.1. The Association with its principal office at New Delhi constitute the following for

its Management:-

a) A Governing Council (Central)

b) An Executive Committee (Central)

c) The Governing Council may also authorize establishment and jurisdiction

of Branch/Unit/Zone of the Association in any State/Union Territory

where - IFFCO Retired Employees are settled and residing.

(Any person of eminence may be invited by the Governing Council to become an

Honorary Member of the Association for any specified period or for life).

An Honorary Member of the Association may be invited to any Meeting of the

General Body Meeting but shall have no right to vote.

4.1.2.1. President Emeritus

The President may invite distinguished Life Member to become President Emeritus

provided the Governing Council (Central) accepts the proposal.

4.1.2.2. President may invite / nominate any IFFCO Employees’ Union / Officers’

Association(s) Executive or any serving IFFCO Officer in any Meeting as Honorary

Member.

4.1.3. Any Member of the Governing Council (Central) who fails without seeking

leave of absence to attend three consecutive Meetings of the Governing

Council (Central) shall, unless dispensation is granted by that Council ceases

to be a Member of the Governing Council (Central). This stipulation shall not

apply to the Unit / Zonal Presidents. However, their views may be

obtained on the Agenda taken in the Governing Council (Central) Meeting by

bringing them to their notice sufficiently, in advance, by post/electronically.

However, with the prior permission of the Association’s President, he

(Member) may designate an alternate Member to attend the Governing

Council (Central) Meeting on his behalf, who will also have the right to

vote.

4.1.4.0. The tenure of Nominated Member will be for a period of three years or till the

tenure of the President. The tenure of all the above mentioned Office-bearers

shall be until the expiry of the three years period from the date on which

they assume office or till the date on which the next General Body

Meeting, after the expiry of the aforesaid period, is held whichever is later.

4.1.4.1. The existence of vacancy in the Governing Council shall in no way invalidate

the constitution of the Governing Council or any of its acts.

4.1.5 The Governing Council shall be responsible to ensure that the affairs of the

Association are properly managed in accordance with the Law, these Rules &

Regulations and the decisions of the General Body.

4.1.6.0. Without prejudice to the generality of Clause (a) of the Societies Registration

Act, 1860, the Governing Council (Central) shall have powers to:-

4.1.6.1. Ensure and carry out these Rules & Regulations and the Resolution(s) passed

by the General Body

4.1.6.2. Authorise opening of any Branch/Sub-Branch/Chapter of the Association at

any station as per Rules in force.

4.1.6.3. Scrutinize, for approval, the application of any society or other body of

persons for affiliation with the Association.

4.1.6.4. Appoint Committee/Sub-Committees from amongst the Members of the

Association and delegate to them such functions, duties and powers as may

be deemed proper.

4.1.6.5. Fill up any vacancy which may occur in any Committee or Sub-Committee.

4.1.6.6. Nominate any Member to represent the Association in any Conference or

Assembly of Pensioners, and, if necessary, to authorize the expenditure to

meet the expenses in connection therewith in full or in part.

4.1.6.7. Authorize any Member or person to represent the Association in any legal

proceedings with power to engage any counsel to conduct such proceedings

on behalf of the Association and to do such other acts as may be necessary for

the proceeding of the case including payment of cost, charges and

expenses of or incidental to any of the aforesaid matter or things.

4.1.6.8. Subject to the approval of the General Body, frame Bye-laws from time to

time, regulate the affairs of the Association in furtherance of the Aims and

Objects mentioned in the Memorandum.

4.2.0. MEETINGS OF THE GOVERNING COUNCIL (CENTRAL)

4.2.1. The Governing Council (Central) shall ordinarily meet once in three months

at such time and place as the President of the Governing Council (Central)

may decide, provided that there shall not be less than two Meetings in a year.

`At least 15 days’ Notice shall be given by the Secretary to the Members of the

Governing Council (Central) for any Ordinary Meeting.

4.2.2.0. The President may, however, call a Special Meeting of the Governing

Council (Central) by giving Notice of at least seven days; and

Emergency Meeting of the Governing Council (Central) at such

short Notice as the situation demands.

4.2.2.1. Presence of the one-third total Members with voting rights shall constitute

the quorum.

4.2.2.2. The President shall be the Chairman in all Governing Council Meetings

(Central). In his absence, the Senior Vice President/Vice President shall act as

the Chairman.

4.2.2.3. Every question in the Governing Council (Central) Meeting shall be decided

by majority of vote. In case of equality of votes, the President shall have a

Casting Vote.

4.2.3.0. A declaration by the President that a Resolution has been passed or lost and

an entry to that effect in Minutes Book of the Governing Council (Central)

shall be conclusive of that fact.

4.2.3.1. If in any case, it is considered inexpedient to hold a Meeting of the Governing

Council (Central), the President may cause a Resolution to be circulated to all

Members of the Governing Council (Central). Thereupon, on the

communication by a majority of the Members of the Governing Council

(Central) having the voting rights, to the President of their assent thereto,

such Resolution shall be deemed to have passed at a duly constituted

Meeting of the Governing Council (Central).

4.2.4. Life Members holding any office of profit in the Association or in any of its

Branches and Honorary Member shall have no right to vote at Governing

Council (Central) Meetings.

4.3.0. EXECUTIVE COMMITTEE (CENRTAL)

4.3.1.0. The composition of the Executive Committee (Central): The Executive

Committee (Central) shall consist of following Executives of the Governing

Council:-

4.3.2.0. Powers and Duties of the Executive Committee:

The powers and duties of the Executive Committee entrusted by the

Governing Council (Central) shall be:-

4.3.2.1. To deal with all matters relating to finance, administration, membership,

publicity, etc. and to make recommendations to the Governing Council as

may be considered desirable.

4.3.2.2. To carry out any task, and assume responsibilities specifically assigned to it

by the Governing Council, from time to time.

4.3.2.3. To examine and make recommendations on the Budget, the Annual Report,

the Annual Accounts and Balance Sheet, any proposal to the Memorandum

` of Association or the Rules & Regulation or Bye-laws and any other matter

required to be submitted to the Governing Council (Central) or any Meeting

of the General Body

4.3.2.4. To appoint such categories of staff or workers, as may be authorised by the

Governing Council (Central) from time to time, and to promote, suspend or

remove them from service.

4.3.2.4.1. Subject to the approval of the Governing Council (Central), fill any vacancy

that may occur in any of the Committee/Sub-Committee other than any

vacancies on the Executive Committee (Central).

4.3.2.5. To take decisions or actions on any matter not specifically provided in the

Clauses above, where such decision(s) or action(s) required is/are of urgent

nature and cannot wait until next Governing Council Meeting, provided that

all such decisions and actions shall be reported to the Governing Council

(Central) for ratification in the next Meeting.

4.3.2.6. The Executive Committee (Central) shall be responsible to the Governing

Council for its actions and decisions and the Governing Council, in turn, shall

be responsible to the General Body for all their actions and decisions.

4.4.0. POWERS AND FUNCTIONS OF THE OFFICE-BEARERS

4.4.1. President: The President shall preside over all General Body Meetings,

Conventions, Governing Council (Central) Meetings and Executive

Committee (Central) Meetings. His ruling on points of procedure and as

to the result of voting at Meeting shall be final.

4.4.2. The President will have full Administrative & Financial powers to ensure

smooth running of the Head Office & the Branches towards attaining

Aims/Objectives of the Association

4.4.3. To open, operate and close accounts of the Association as detailed in

Clause/Rule 13 hereunder.

4.4.4.0. To render advice to the Office-bearers towards:

4.4.4.1. Fund raising to achieve Aims and Objects of the Association.

4.4.4.2. Initiate steps for enhancing/building of image of the Association.

4.4.4.3. Any other relevant issue considered necessary by him.

4.4.5. The President or in his absence the Senior Vice President/Vice President may,

when necessary, make a decision or take action on any urgent matter, and

when this is done, the decision made or action taken shall be submitted to the

Governing Council (Central) for ratification in its next Meeting.

4.5.0. The Senior Vice President/Vice President shall preside over the Meetings in

the absence of the President. The President may assign any specific duties to

the Senior Vice President/Vice President.

4.5.1.0. Senior Vice President /Vice President: The Senior Vice President and Vice

Presidents shall assist the President in his various Duties, such as:-

4.5.1.1. Efficient running of the Head Office & Branches/Sub-Branches (Units/Zones)

4.5.1.2. Fund Raising

4.5.1.3. Image-Building measures, Welfare Projects etc

4.5.1.4. Oversee, exercise supervision /control the functions of the General Secretary/

Treasurer in consultation with President.

4.5.1.5. Any other functions assigned by President or Governing Council.

4.6.1.0. General Secretary/Joint Secretary: The duties and responsibilities of the

General Secretary shall be:-

4.6.1.1. To manage the Headquarters Office and its staff

4.6.1.2. To record or cause to be recorded Minutes of all Meetings, Conferences and

Conventions of the Association, the Governing Council (Central), the

Executive Committee (Central) or other Committees, and to attend such of

them as may be practicable.

4.6.1.3. To ensure that proper record of all Decisions given/Resolutions passed in the

above Meetings are maintained and appropriate action taken towards their

implementation.

4.6.1.4. To advise on all matters concerning administration and policy of the

Association.

4.6.1.5. To maintain proper record of Names and Addresses of all Members and

Office- bearers of the Association and others present in the Meetings of the

Association.

4.6.1.6. To maintain proper Register and Record of all employees of the Association,

who shall be under his administrative control.

4.6.1.7. To conduct correspondence on behalf of the Association.

4.6.1.8. To have the custody of all Books and Record of the Association.

4.6.1.9. To draft Annual or other Reports of the Association for submission to the

Executive Committee (Central), Governing Council and General Body.

4.6.1.10. To maintain necessary information on the working of various constituents

and Branches/organisations of the Association and other relevant

records/events.

4.6.1.11. To maintain the Register of Members, Membership Cards.

4.6.1.12. To file annually in the month of January, a list of the names, addresses and

occupation of the Members of the Governing Council (Central) to the

Registrar of Societies, Delhi as required by Section 4 of the Society

Registration ACT, 1860 as amended by Punjab Amendment Act XII of

1957 as extended to Delhi.

4.6.1.13. To have custody of all common seals of the Association.

4.6.1.14. To maintain liaison with the Treasurer and to ensure that all cheques and

negotiable documents issued by the Headquarters of the Association are duly

signed by the persons authorised.

4.6.1.15. To carry out such duties as are assigned to him by the General Body,

Governing Council (Central) or the Executive Committee (Central).

4.6.1.16. To carry out the responsibilities as per the Byelaws, Rules & Regulations and

various administrative and accounts manuals.

4.7. The Joint Secretary(ies) shall assist the General Secretary in discharging his

duties. In the absence of Secretary, the Senior Joint Secretary will officiate in

his place and the second Joint Secretary will assist the officiating Secretary.

4.8.0. Treasurer/Joint Treasurer(s)

4.8.1. The Treasurer will be responsible to see that all subscriptions are duly

collected and that the accounts of the Association are properly maintained.

He shall take all proper and due precautions for the safe custody of the cash,

cheque-books, seals and securities of the Association. He will operate the

accounts of the Association jointly with President/General Secretary. He

shall supply to the Governing Council (Central) Executive Committee

(Central) such information as to the Accounts and Finances of the

Association that may be required. He shall also perform such other

functions pertaining to finances of the Association as may be required of him

by the President/General Secretary, the Governing Council (Central) or the

Executive Committee (Central).

4.8.2.0. The Joint Treasurer(s) shall assist/complement the Treasurer in discharging

his duties.

In absence of the Treasurer, he will officiate in his place.

4.8.2.1. The Treasurer and the Joint Treasurer shall design and develop the various

financial and administrative systems for IRWA, in consultation with General

Secretary.

4.8.2.2. The Treasurer and Joint Treasurer shall design and develop the necessary

manuals such as accounting manuals, procedures for purchases and other

requirements of IRWA.

4.8.2.3. The Treasurer and Joint Treasurer shall draw up the Annual Capital and

Revenue Budget and review the same for improvement.

4.8.2.4. Review and update of various systems and procedures, finances and manuals

shall also be carried out by the Treasurer and Joint Treasurer and suggest

steps for improvement and progress. The services of a task force in this

regard may be enlisted as per the direction of the Governing

Council/Executive Committee.

4.9.0. Management of Branches/Chapters/Zones

4.9.1. The Branches/Units/Zones will follow the instructions issued by Association’s

Head Office at Delhi in their functioning and formation of their respective

Governing Councils and its functionaries.

4.9.2. Initially, the Presidents of the Branches will be nominated by the President

(Central) after giving due consideration to the recommendations of

the respective Branches/Units/Zones.

4.9.3. After expiry of their tenure as decided by Governing Council, they will be

appointed through election.

4.9.4. Other Office-bearers of the Branch will be nominated initially by the

Branch President in consultation with President (Central). The Branches

/Units/Zones shall also lay down the financial provisions as ratified by the

Association (Central).

4.10.0. Tenure

4.10.1. Tenure of a Governing Body shall be 3 years from the date of assuming the

office.

4.10.2. The first Central Governing Council / Executive Committee and Branch

Executive Committees may be constituted on ad-hoc basis from

amongst the active Retired Employees of IFFCO. After formation of first

ad-hoc bodies, the election for regular bodies (mentioned above) will

be held as early as possible but not later than 3 years after the date the

Association is registered and assumes the office.

4.10.3. The Governing Council will be authorised to allocate/ reserve any position(s)/

post(s) or any Unit/Zone to ensure proper representation of all Units/Zones.

5. COMMITEES/SUB-COMMITTEES:

5.1. The Governing Council (Central) may appoint one or more Committees or

Sub-Committees as may be considered necessary and delegate to them such

functions, powers and duties as may be considered necessary.

5.2. REIMBURSEMENT OF EXPENSES --- OFFICE-BEARERS:

Members of the Governing Council (Central), Executive Committee (Central)

and other Committees/Sub-Committees shall hold office in

HONORARY capacity and they shall be entitled for "Reimbursement of

Expenses" as decided by the President Central).

5.3. PROCEEDINGS AND THEIR EVIDENCE

All Minutes, Proceedings, Resolutions etc. of all General Body Meetings and

Meetings of the Governing Council (Central), Executive Committee (Central)

and other Committees and Sub-Committees, signed by the General

Secretary and counter-signed by the President/Senior Vice President

shall be in evidence of the matters stated therein.

5.3.1. Record of all Meetings, Proceedings, Resolutions shall be maintained and

made available for all.

6. SOURCES OF FUNDS & UTILISATION

6.1. The Association may raise funds to achieve Aims & Objects of the Association

by any of the means consistent with the Memorandum of the Association

including:-

6.1.1. Funds may be made by appeals to IFFCO, IFFCO OFFICERS’ ASSOCIATION

(IOA), IFFCO EMPLOYEES’ UNION (IEU), the Union Government and State

Governments.

6.1.2. Funds may be raised by appealing to like-minded NGOs, Cultural and

Welfare Associations and Ministry of Agriculture and other

Cooperative Organisations.

6.1.3. Funds may be raised by other Lawful means.

6.1.4. By sponsoring and/or organizing sports, fine arts, cultural fests and talent

scouting activities.

6.1.5. By offering the services of its Members to various schools, colleges and other

organizations in education, administration, sports, cultural events, talent

development and other mentoring activities.

6.1.6. The collections on account of Membership Subscription shall be shared

between Central Office and Branches as per decision taken by

Governing Council (Central) from time to time.

6.1.7. The Governing Council will approve the activities in line with the objectives

of the Association for utilization of Association’s funds with judicious and

valid/legal approach. The expenditure incurred for such activities will be

approved by General Secretary and President/Vice President.

7. Financial Year

7.1. Financial Year of the Association shall be the year commencing on 1st April

of the year to 31st March of the year.

8. Accounts

8.1. The Governing Council shall cause true accounts to be kept of all sums of

money, received and expended by the Association and of matters in

respect of which such receipts and expenditure takes place and of the assets,

credits and liabilities of the Association.

8.2. The Governing Council shall lay before the Annual General Meeting an

Income & Expenditure Account and Balance Sheet duly audited once a

year as provided by hese Rules.

8.3. A copy each of such Accounts and Balance Sheet shall be displayed on the

Notice Board at the Registered Office of the Association at least 14 days prior

to the date of the Meeting in which the same is to be presented to the

General Body.

8.4. The Branches shall maintain their Accounts on similar lines and submit their

final Accounts duly audited to Head Office for preparation of consolidated

accounts by 16th May each year.

9. Audit of Accounts

9.1. The Societies Registration Act 1860 does not provide audit of a society

mandatory. However, the Governing Council will ensure Audit of

Accounts.

9.2. A duly qualified Chartered Accountant/Accountant preferably ex-IFFCO

Employee shall be appointed by the Governing Council in an Honorary

or paid capacity, as appropriate, as the Auditor of the Association. The

Auditor shall have the right of access to all Books of Accounts,

vouchers and financial documents of the Association and shall be

entitled to require from any Member of the Governing Council (Central) or

the Executive Committee (Central) such information and explanation as may

be necessary for the proper performance of his functions.

10. Annual List of Managing/Governing Body (Sec.4 of the Act)

10.1. Once in every year (not later than 31st May of every year), a list of Office-

bearers and Members of the Managing/Governing Body shall be filed with

the Registrar of Societies, as required under Section 4 of the Societies

Registration Act, 1860.

11. Legal Proceedings (Section 6 of the Act) Suits by or against the

ASSOCIATION

11.1. The Association may sue or be sued in the name of the President/General

Secretary or in the name of such other person as may be appointed by

the Governing Council (Central) as per provision laid down under

Section 6 of Societies Registration Act, 1860.

12. Amendments to Memorandum of Association and Rules & Regulations

12.1. Amendment/alteration, extension or abridgement of 'purposes' Aims and

Objects or change of name etc. shall be made under Section 12 and 12A of

the Societies Registration Act.

12.2. These Rules & Regulations may be altered or abridged by the vote of a

majority of Members present at any Governing Council (Central) Meeting

provided that a notice of such alternation, amendment, addition or

abridgement is given to every Member of the Governing Council

(Central) and Branches of the Association at least twenty one days before

the date on which such Meeting is being convened.

12.3. Whenever, it shall appear to the Governing Council (Central) that it is

advisable to alter, extend or abridge the purposes, for which the

Association has been established, or to alter, extend, abridge the object of

the Association as contained in the Memorandum of Association or

amalgamate the Association either wholly or partially with any other

Society or whenever the Governing Council (Central) intends to change

the name of the Association, the President shall, after a Resolution to that

effect has been passed by the Governing Council (Central), submit the

proposition to the Branches of the Association in a written or printed report

and shall convene a Special Meeting of the General Body for the

consideration thereof.

12.4. No proposition for the alternation, extension or abridgement of the purposes

or the objectives of the Association or for its whole or partial amalgamation

with any other Society or for change of its name shall be carried into

effect in the Special Meeting of the General Body unless the Report

mentioned in sub-rule (a) of the Registration has been delivered or sent by

post to every Branch of the Association at least 10 days previous to the

date on which the Special Meeting is being convened, nor unless such

propositions have been agreed to in writing by three-fifth of total number of

Members present at Second Special Meeting of the Governing Body,

convened by the President on behalf of the Governing Council (Central)

at an interval of one month of the former Meeting.

12.5. A copy of the proposition carried into effect as mentioned in sub-rule (b) of

the Societies Registration Act, 1860, shall forthwith be forwarded to the

Registrar of Societies, New Delhi.

12.6. Notwithstanding any proposition for the change of the name of the

Association carried into effect as mentioned in sub-rule (a) of the Societies

Registration Act, 1860, the name of the Association shall not be

changed unless the Registrar of Societies, New Delhi, has registered the

change of name and has issued a Certificate of Registration altered to

meet the circumstances of the case.

13. BANKERS

13.1. The Bankers of the Association shall be as the Governing Council (Central)

may decide from time to time.

13.2. Operation of Bank Accounts: The President shall have the powers to open,

operate and close bank accounts of the Association with any branch of any

any of the nationalised banks and/or in private sector in India offering better

rates, service, facilities, ease of operations etc and, authorize such person(s)

as deemed fit to operate the bank account.

13.3. Investment of Funds: The President, in consultation with Senior Vice

President/Vice President and General Secretary shall invest the surplus funds

in Term Deposit/Liquid Fund with any of the nationalised bank banks and/or

in private sector banks in India offering highest rate of interest.

14. Cooperation/Collaboration or Joining with other

Organizations/Movements

14.1. The Governing Council may decide to join hands with any other Association,

Federation/Confederation or Organization or Movement whose aims and

objectives in total or part thereof are similar or common with aims and

objectives of" IRWA".

14.2. The other Associations established by IFFCO Retirees at Plant or other levels,

may merge with "IRWA". Their merger proposal will be decided by the

President of IRWA.

15. DISSOLUTION

15.1. If the Association need to be dissolved, it shall be dissolved as per provisions

laid down under section 13 and 14 of the Societies Registration Act, 1860.

15.2. Whenever the Governing Council (Central) intends that the Association shall

be dissolved, or any number not less than three-fifth of the total number

of Members of the Association submit a Written Notice to the

President, the Governing Council shall manage to inform every Member of

the Association of the Resolution to that effect passed by the Governing

Council or of the Written Notice received, as the case may be, and shall

convene a Special Meeting of the General Body as soon as practicable.

15.3. The Association shall not be dissolved unless three-fifth of the total number

of Members shall have expressed a wish for such dissolution by vote

either delivered in person or by proxy at the Special Meeting of the

General Body convened for the purpose.

15.4. Where not less than three-fifth of the Members have determined as

mentioned in sub-rule (b) of the Societies Registration Act, 1860 that the

Association shall be dissolved forthwith or at the time agreed upon during

the Special Meeting, and all steps necessary shall be taken by the Governing

Council (Central) for the disposal and settlement of the liabilities

according to these Rules & Regulations as may be applicable, if any, and if

not, then as the Governing Council shall find expedient.

15.5. If upon dissolution of the Association, there shall remain after the

satisfaction of all, its debts and liabilities whatsoever, the same shall be

paid to or distributed amongst the Members of the Association or to

some other society as may be determined by the votes of not less than

three-fifth of the Members present personally or by proxy at the time of

dissolution.

16. OPERATIONS OF RULES

16.1. All the provisions of the Societies Registration Act xxi of 1860 (Punjab

Amendment Act, 1957) as extended to the Union Territory of Delhi shall

apply to the Association.

17. Rules & Regulations of the Association

17.1. Certified that this is the correct copy of the Rules and Regulations of the

Association.
