    Notes:

    1) The project is designed with two identical process trains. The above mentioned skids and equipment are identical to

    the equipment listed in the material requisition of the U-1231 unit.

    The items in the above Scope of Supply table shall be in full accordance with the indicated scope described in Annex I"Detailed Scope of Supply" of this MR.

    4. GENERAL REQUIREMENTS OF PROVISION

    4.1. Vendor shall be the sole and full responsible for the provision according to the Scope of Supply section.

    1. PURPOSE

    The purpose of this document is to define the minimum requirements for the quotation of the items (materials and

    services) listed in this Scope of Supply for the UPGN ROTA-3 Plant, located in Itabora, Rio de Janeiro, Brazil.2. DEFINITIONS

    Purchaser: Consortium QGITEnd User: PetrobrasVendor: Company responsible for the supply of the items described in the Scope of Supply section.Sub-Vendor: Any sub-supplier that signed a contract with the MainVendor for supplying part of the items described inthe Scope of Supply.MR: Material Requisition

    3. SCOPE OF SUPPLY

    Vendor shall provide detailed engineering, procurement services, equipments, valves, piping, piping supports, pipingaccessories, instrumentation, other materials required for the assembly of the skids, fabrication, assembly, quality and

    inspection services, testing, pre-commissioning services, painting, thermal insulation, fireproofing (if applicable),preparation for marine transportation and lifting onto truck for transport of the following Process Skids.

    4.2. The items covered in this Document shall include all auxiliaries and accessories required to comply with theoperational intent of the provision.

    4.3. Vendor shall provide the items indicated in this Document in accordance with the requirements specified herein aswell as the technical information, specifications, codes and standards, listed in Annex II "Applicable Documents List".

    4.4. All attachments included herein as well as all mentioned documentation and specified requirements constitute anintegral part of this Document.

    4.5. The requirements stated in this Document are mandatory. Any variation proposed by Vendor shall meet priorPurchaser written approval.

    4.6. Vendor and Sub-Vendors shall not start fabrication or component purchasing until all procedures and documentsrequired for the fabrication are approved by the Purchaser.

    4.7. Purchaser review and approval of any document will not exempt the Vendor from his responsibility of fullcompliance with the requirements of this Document.

    4.8. No repairs shall be permitted without prior Purchaser written approval. Vendor shall bear all repair costs.

    4.9. All Sub-Vendors shall either be listed in the Purchaser Vendor list or have prior Purchaser written approval. Thelist of Sub-Vendors selected by Vendor shall be included in the proposal.

    4.10. Vendor shall submit with the proposal the documents indicated in Annex III "Vendor Documents and DataRequirements List". No proposal missing duly Listed documents without a technical explanation accepted byPurchaser, will be considered.

    5. TECHNICAL CLARIFICATIONS

    5.1. Engineering Services

    Vendor will develop the detailed engineering skid comprising the following disciplines:

    * Steel Structural*Equipment*Instrumentation*Piping

    Vendor shall develop the activities related to Engineering Services for the Project, according to requirementsestablished in Annex V - Engineering Services and Applicable Software, of this MR.

    For Details of Software to be used refers to Annex V of this MR. It shall be noted that vendor shall utilize theCONTROLTUB Software.

    The start of the Vendor's work will depend on the release of VPN connecting with the Purchaser office, for theimplementation of the Global PDMS Sub-Satellite interconnecting the 3D models. Therewith there will be a dailysynchronization between the Vendor's work and the Purchase office.

    Attached to the MR is given for each Process Skids a preliminary design, including preliminary Equipment and/orPiping Arrangements. These preliminary Equipment and/or Piping Arrangements could be subject of modificationsbefore Purchase Order.

    The object of this design is to establish the minimum dimension of the skid and a general outline and disposition offinal interconnections nozzles related to the rest of the plant.

    The final design shall be vendor responsibility but the final dimensions of the skid shall not be less than the dimensionshown on the preliminary design and final nozzles orientation shall be maintained. If the vendor needs change thenozzles orientation will be necessary the Contractor previous approval.

    A drawing showing the gravity center for each skid and the position and angles of slings shall be provided by Vendor.

    Detailed Engineering Design shall be developed according to Skid Mounted Assemblies Technical Specification andBasic Engineering Documents, listed in Annex II "Applicable Documents List".

    5.2. Scope of Supply Limits and Details

    The limit of the scope of supply for each Process Skid is indicated on the corresponding PI&D by a dotted line. Allequipment, instrumentation, process and service lines, piping supports, piping accessories, control and manualvalves, all mechanical interconnection, instrumentation and electrical cable trays, and any other component inside

    dotted lines is included in the Vendor Scope. All Instrumentation and electrical cable trays shall be finished at the skidedge.

    Vendor shall not use the preliminary design supplied as a reference for the scope, the scope is defined by the dottedline in the corresponding PI&D.Shall be supply with the skids all beams and slings necessary to lifting operation and movement of skids duringtransport and mounting at site.

    5.3. Programming - Work Plan and Reporting

    For details of the scope refers to I-PR.1230-W.01-001.

    5.4. Quality Management Services

    For details of the scope refers to I-PR-5400.00-1230-98F-QGT-010.

    5.5. Procurement Services

    For details of the scope refers to RFQ (Request for Quotation).The provision of equipment will be in accordance with Vendor List of Annex IV of this MR.Vendor may submit for approval of the Purchaser other suppliers that are not in the list. After Purchaser approvalVendor can proceed with the procurement process.A technical bid analysis for each equipment and instrumentation shall be prepared and submit for Purchaser approval,previously to purchase order.

    5.6. Process Skid Fabrication

    All equipment, piping, valves and instrument tubing shall be accurately and tightly supported both for final operationand for transportation. The characteristics of mentioned supports shall be such as to allow the removal of differentparts with no need of sectioning the main structures.

    See "Process Skid Assemblies" Technical Specification for further requirements I-ET-5400.00-1231-27G-QGT-301.

    5.7 Facilities for Purchase

    Vendor shall provide to the Purchaser, in your factory, a meeting room (shared with the Vendor), with at least 2 (two)workstations for Engineering, 2 (two) workstations for Quality and 1 (one) workstation for Planning, complete withcomputers, access to printer (A3 and A4 formats), telephone, internet access and consumables. The costs of thesefacilities shall be included in the total contract price, considering handing it back, except the consumables, in the statein which they will be, at the end of the contract. The effective use of these facilities will be at the exclusive discretion ofPurchaser with prior communication to the Vendor within 30 (thirty) days from the beginning of the occupation of thefacilities by Engineering, Quality and Planning staffs. These facilities shall be provided to the following locations:Vendor's office and Vendor's Subcontractors selected by Purchaser.

    5.8 Facilities for Petrobras

    Vendor shall provide to the Petrobras Inspectors, in your factory, a meeting room (shared with the Vendor), with at

    least 3 (three) workstations for inspectors, complete with computers, access to printer (A3 and A4 formats), telephone,internet access and consumables. The costs of these facilities shall be included in the total contract price, consideringhanding it back, except the consumables, in the state in which they will be, at the end of the contract. The effective useof these facilities will be at the exclusive discretion of Petrobras with prior communication to the Vendor within 30(thirty) days from the beginning of the occupation of the facilities by Inspectors. These facilities shall be provided to thefollowing locations: Vendor's office and Vendor's Subcontractors selected by Petrobras.

    5.9. Management of Documentation during Detail Engineering and Fabrication and Data Books

    For details of the scope refers to I-PR-5400.00-1230-91D-QGT-004.

    6. APPLICABLE DOCUMENTS LIST

    Vendor shall consider the documents in Annex II "Applicable Documents List" as integral part of this Document.

    All referenced documents indicated within Applicable Documents shall also be considered as integral part of thisDocument.

    Vendor shall request all documents deemed applicable that are missing except for the International Standards.

    7. ORDER OF PRECEDENCE

    The documentation shall prevail in the following list order. In case of conflict, Vendor shall issue to the Purchaser, a

    written resolution request.7.1. Local Legislation (National and Regional)7.2. Purchase Order7.3. Material Requisition7.4. Equipment / Instrument Data Sheets7.5. Equipment / Instrument Technical Specification7.6. End User Specifications7.7. General Technical Specifications7.8. International Standards

    8. VENDOR DOCUMENTS

    Vendor shall submit for Purchaser approval or review the documentation required in Annex III "Vendor Documents andData Requirements List" in accordance with the indicated conditions.

    Any other document required to fulfill Scope of Supply not listed shall also be included.

    Vendor shall consider all Purchaser's comments (if any) on returned documents and resubmit reviewed and amendeddocuments accordingly for final approval.

    Scope of Supply will not consider fulfilled until all required documentation has been timely and properly submitted andapproved by Purchaser.

    Purchaser and Vendor shall agree upon the document schedule before issuing the Purchase Order.

    8.1. Language

    Technical documents shall be developed in English.

    Instructions for installation, Maintenance & Operation Manuals shall be in Portuguese or both (English andPortuguese).

    Documents listed hereunder have the purpose of supporting the PURCHASER in the process to acquire govemmentallicenses and authorization required to the Project and must be issued in a Brazilian Portuguese version, if prepared bycompanies abroad:

    Arrangement Plants;Equipment List;Operation and Maintenance Manuals;Grounding Project.

    Formal communications shall be in English or Portuguese.

    8.2. Templates and Formats

    Technical documents shall be developed according to PETROBRAS templates and formats as indicated in documentsreferenced in Annex II "Applicable Documents List".

    8.3. Documents Codification

    Vendor Documents shall be codified according to PETROBRAS requirements indicated in documents referenced inAnnex II "Applicable Documents List".

    9. PROPOSAL

    The proposal shall include all documents required in Annex III "Vendor Documents and Data Requirements List" foreach item included in the Scope of Supply section.

    The proposal shall clearly state the following paragraphs request information for each item in the Scope of Supplysection.

    Vendor proposal shall be in correspondence with the Vendor List shown in Annex IV. Vendor can propose other notlisted in the Vendor List for Purchaser approval.

    9.1. Deviations and Alternatives

    Vendor proposal shall include one of the following statements in the proposal:

    * "This Proposal is in full accordance with the MR, with the following deviations and alternatives:" (deviations andalternatives shall be listed).* "This Proposal is in full accordance with the MR without any deviation".

    Purchase will not take into account any Vendor proposal missing either above statements.

    Purchaser will consider that the proposal is in full accordance with the MR without any deviation if the proposal doesnot include any of the statements indicated.

    10. SCOPE OF INSPECTION

    The Scope of Inspection shall be according to requirements indicated in QA/QC documents referenced on Annex II"Applicable Documents List" of this MR.

    The inspection level required for the items in the provision shall be according to CRCC if Vendor is registered inPETROBRAS/ MATERIALS (CCRC - Certificado de Registro e Classificao Cadastral).

    If vendor is not registered in PETROBRAS/ MATERIALS (CCRC - Certificado de Registro e Classificao Cadastral)the Inspection level required shall be "Level C".

    Inspection Levels are defined in I-PR-5400.00-1230-98F-QGT-010.

    11. PACKING, MARKING AND SHIPPING

    Packing, Marking and Shipping procedures shall be according to requirements indicated in documents referencedAnnex II "Applicable Documents List".* Weight and Dimensional Transport Limits

    Vendor shall inform the weight and measurements of provision.

    * The following maximum limits shall be considered.

    Max. Gross Weight: 26.5 tons.Max. Width: 5 m.Max. Length: 17 mMax. Height: 4.5 m12. PERFORMANCE GUARANTEES

    12.1. Skids with pumps

    The equipment shall be guaranteed by Vendor for satisfactory performance at all operating conditions indicated on

    Purchaser's Applicable Documents (Equipment Data Sheets).

    12.2. Materials

    Vendor shall provide a written guarantee on the consumables materials and auxiliary services consumptionrequirements.

    If is necessary to make any changes in the skid on site, the Purchaser shall make the changes. Before it, thePurchaser shall report to the Vendor and send the documents for knowledge and, if necessary, for approval. TheVendor can send a person to check the work, if it is necessary, and the Purchaser can request the participation of arepresentative of the Vendor, if it is necessary too. The Vendor shall maintain the guarantee of all parts affected by themodification works.

    ANNEX V- ENGINEERING SERVICES AND APPLICABLE SOFTWARE

    1) REQUIREMENTS FOR ENGINEERING SERVICES

    The preparation of the Executive Project for construction and assembling of Skids shall be approved by thePURCHASER before the execution of any of its services. After PURCHASER approves the projects, a Service Permitwill be issued releasing the construction and assembly of them.

    Any purchase of goods for the execution of the Skids made prior to the approval of the executive project shall notresult in cost to the PURCHASER, should it is changed during the process of review by the PURCHASER for adifferent material.

    The beginning of the work of the VENDOR is bound to release the VPN connecting with the office of thePURCHASER, for the implementation of the Global PDMS Sub-satellite interconnection the 3D models. Thus, therewill be a daily synchronization between the works developed by the VENDOR and the PURCHASER.

    No document will be analyzed nor accepted as issued prior to the validation and operation of this connection.

    Use the PDMS 3D model for the entire preparation of the executive project.

    Every graphic document of the project will be generated from this model. All plants, from all disciplines, must beextracted from the PDMS, in the Draft module, without any subsequent change.

    There is no possibility of these requirements being waived for any VENDOR.

    If the VENDOR is not able to meet this requirement, it must subcontract a company, at its own expense and with priorapproval of the PURCHASER, which can accomplish this task.

    All the structural analyses of the skids, made by the VENDOR, shall be carried out using the SAP2000 software - V16of Computers and Structures, Inc.-CSI. When sending the structural detailing for approval, the SAP2000 analysis filesmust be sent to the PURCHASER.

    2) PDMS AND 3D MODELING

    Every 3D modeling, in PDMS, must be in total compliance with the following documents:

    * I-ET-6000.67-0000-941-PDY-017 (Criteria for 3D Model Structure in PDMS)

    * MD-6000.67- 0000-941-PHN-002 (Complementary Procedure for PDMS/Global Integration)

    3) PIPES - TAG OF UTILITIES AND PROCESS LINES

    The following text replaces item 3.10 of I-ET-6000.67-0000-941-PDY-017:

    3.10.4. The information that it is possible to use, in the nomenclature of the zones, the number of the correspondingengineering flowchart should be disregarded. The nomenclature of the zones must follow the rule of item 3.10.3following fluids encoding. Exemplified below:

    A suffix must be added to l ine sequential according to the following rule:

    * Include a separation dash right after the line sequential.* Include an identification character of the sub-area within which the pipeline is:

    - SKID: K- ONSITE: N- OFFSITE: F

    * Include 3 numeric characters and 1 alphabetic character, identifying the Skid or line section at OFFSITE AND/ORONSITE:

    Ex:

    /2"-HC-1231-1000_K103A-Ba-PPLine section inside SKID 33 of U-2200 battery limit

    /2"-HC-1231-1000_N103A-Ba-PPSection 01 of the line inside ONSITE and outside SKIDs

    /2"-HC-1231-1000_F103A-Ba-PPSection 01 of this line outside ONSITE and inside OFFSITE and outside SKIDs

    Groups must be created, inside the PDMS, associating all line section that have equal tags, not considering the controlsuffix. For the example above, the name of the group would be:

    /2"-HC-1231-1000_Ba-PP, this is the original tag of the line without the suffix of sequential subdivision.

    Thus, line traceability can be kept regardless of its subdivisions.In adopting this solution, all lines must follow the rules set, with sequential subdivision suffix, even if there is no internalor external section to the SKIDs, the alphabetic character will be replaced by the letter Z.

    E.g.: /2"-HC-1231-1000_N001Z-Ba-PP or /2"-HC-1231-1000_F001Z-Ba-PP, for the same line existing only on OnSiteor OffSite.Groups must be created for both cases, even if adding only one line section.

    The engineering isometric of all process and utility lines will be generated from the PDMS 3D Model and should beissued from its Isodraft module, without any change.The criteria for measuring the 3D model in PDMS, should be agreed with the Project Automation team of thePURCHASER, who will perform the measurement.VENDOR must complete in the PDMS all attributes mentioned in item 6.6 of the MD-6000.67-0000-941-PHN-002.

    VENDOR shall maintain this status updated with each phase of the project detailing and no document will be approvedif there is discrepancy between the purpose of the issuance of the document and its status in the PDMS, fordocuments generated on PDMS.

    4) USING GLOBAL PDMS

    In order to enable an exchange information in a "transparent" and "instantaneous" way between the VENDOR(Satellite) and the PURCHASER (HUB), it is necessary to establish this VPN connection. Such connection will allowthat the project of the various Skids are drawn up in different locations and by different companies in an integratedmanner.

    5) ESTABLISHING VPN CONNECTION

    To establish the VPN connection, the requirements listed in the Integration Plan MD-6000.67-0000-911-JNP-003 mustbe met, completing and sending the application Form of digital certificate for VPN connection to JPNOR/PDMSSATELLITE for the PURCHASER to inspect.

    6) GLOBAL PDMS SATELLITE RELEASE

    After registering the satellite, the PDMS Administrator must make a request for CREATION OF SATELLITE PROJECTon the integrator portal. In this request, it must be informed if the satellite will be online or offline. For the release of thesatellite in the online mode, the VPN connection must be already established according to item 4.2, ANNEX MD-

    6000.67- 0000-941-PHN-002 and the PROCEDURE FOR SETTING THE GLOBAL PDMS must be followed.

    7) CHANGE FROM OFFLINE TO ONLINE SATELLITE

    After creating the offline satell ite and establishing the VPN connection according to item 4.4, ANNEX I-MD-6000.67-0000-941-PHN-002, it is necessary to change it to online. To this end, the procedure for SETTING THE GLOBALPDMS - Annexes I and II of MD-6000.67-0000-941-PHN-002 should be followed. Requesting the change from offlineto online satellite to the PURCHASER. The request will be concluded with the submission of the DB PHNGLB andinstructions.

    8) PDMS DATABASE

    Using the Global PDMS, when the satellite is created, the entire database is transferred to ensure its alignment withthe Hub.All pipeline, metal structures, instrumentation, electric and telecom specs will be managed by the PURCHASER, andthe requests for creation of new components must be forwarded to its creation and registration by the PURCHASER.

    9) DOCUMENTS AUTOMATIC MANAGEMENT SYSTEM

    The SPADWeb, Documents Automatic Management System, will be used by the PURCHASER to process thedocuments issued.

    10) DOCUMENTS GENERATED IN THE PDMS

    The engineering isometric of all process and utility lines will be generated from the PDMS 3D Model and should beissued from its Isodraft module, without any change.

    All plants, from all disciplines, must be extracted from the PDMS, in the Draft module, without any subsequent change.

    The criteria for measuring the 3D model in PDMS, should be agreed with the Project Automation team, who willperform the measurement.

    VENDOR must complete in the PDMS all attributes mentioned in item 6.6 of the MD-6000.67-0000-941-PHN-002.

    VENDOR shall maintain this status updated with each phase of the project detailing and no document will be approvedif there is discrepancy between the purpose of the issuance of the document and its status in the PDMS, fordocuments generated on PDMS.

    11) FLEXIBILITY ANALYSIS

    Only the pipelines compatible with the 3D model, and after being approved by the respective Flexibility Analysis, willbe released for fabrication.

    The responsibility and the development for the Flexibility Analysis activity of all lines will always be of thePURCHASER.

    12) DETAILING AND QUALITY CONTROL OF SPOOLS

    Spools will be detailed in the PDMS, in the module Spooler, using the PETROSIAP application, in order to allow forautomatic export to the CONTROLTUB and the return of the information of the spools sector to the 3D model. Thespools and welds should have the patterns listed in MD-6000.67-0000-941-PHN-002.

    VENDOR must provide the CONTROLTUB of ISI Engineering for manufacturing quality control and traceability of thematerials applied. All costs involved in the use of this software shall be borne by the VENDOR.

    All welded joints, its inspection as well as the control of the materials applied must be fully registered in the PDMS.Spools progress data for measurement should be loaded from the CONTROLTUB.

    All Engineering Project documentation, issued by the VENDOR, must be numbered in accordance with therequirements of ET-6000.67-0000-910-PHN-003 -Technical Documentation Management.

    In addition to the ET-6000.67-0000-910-PHN-003, the VENDOR must comply with the following items:

    * The List of Documents for each Skid, it should be the first document submitted to the PURCHASER for comments.Only after the comments from the PURCHASER and its implementation, the VENDOR may issue the otherdocuments.* PURCHASER comments must be consolidated into a single file of comments (texts or graphic) along with theinclusion of the stamp of consolidation for submission to the VENDOR. This file will also be entered in the SPADWeb.

    ANNEX VI - SPARE PARTS

    1. MECHANICAL - ROTATING EQUIPMENT

    1.1. Centrifugal Pumps

    1.1.1. Shall be included in the scope of supply all the consumables and spares parts recommended by Vendor forutilization in the erection, testing, pre-operation, commissioning , start-up phases and assisted operation;

    1.1.2. Vendor shall present also a spare parts list recommended for 2 (two) years of operation to be evaluated byPurchaser. This reference list shall contain, apart from the description / specification of each item, the quantities, partnumbers adopted by Vendor (and sub-suppliers) and prices, to allow future purchase.Cross-section drawings or "exploded views" shall be supplied, showing all components with respective materials listwith indications of parts recommended as spares.Other than prices of each item, the list shall indicated supply conditions, shipment costs, delivery time, conditioning fortransportation and preservation.The spare parts for 2 (two) years of operation shall not be included in the Vendor scope of supply, only list withseparate price.

    1.1.3. Listed parts are required after the WARRANTY period. During commissioning, startup, assisted operation andwarranty periods, vendor shall provide all necessary parts for equipment (pump package) maintenance.

    1.1.4. Vendor are required to merge all lists, correct wrong part names, mark duplicate parts to be removed, andprovide just one list for purchaser review and PETROBRAS decision for future purchase.

    1.1.5. Vendor is required to provide interchangeability list for all identical / common parts among several quotedequipment. Special consideration shall be given to general-purpose equipment such as pumps and parts (seals,couplings, bearings, etc.), where there should be fully identical (same size and materials) or partially identical (samesize, different materials) parts. Whenever feasible, materials shall be upgraded to a common, top specification, inorder to reduce spare parts inventory.In this case, such changes shall be noted on the data-sheets. Upon receiving upgraded materials parts list, Purchaserwill decide which material specification should be used as upgrade datum.

    1.1.6. All the spare parts shall be identified by the part number, description and TAG of the relative equipment.

    2. MECHANICAL - STATIC EQUIPMENT

    2.1. Shall be included in the scope of supply all the consumables and spares parts recommended by VENDOR forutilization in the erection, testing, pre-operation, commissioning and start-up phases in accordance with ET-6000.67-0000-941-PDY-023;

    2.2. VENDOR shall present also a spare parts list recommended for 2 (two) years of operation to be evaluated byPurchaser.     2.5. HEAT EXCHANGERS

    The items bellow shall be supplied as minimum required for erection and commissioning:
