SUMMARY: RESOLUTION LEVYING FISCAL YEAR 2019-2020 COOPERATIVE EXTENSION FUND TAX RATE RESOLUTION NO.__________________ WHEREAS, NRS 549.020 (2) requires Boards of County Commissioners to annually adopt a Resolution levying the tax rate for the Cooperative Extension Fund of Humboldt County. NOW, THEREFORE, BE IT RESOLVED that the tax rate pending certification by the Nevada Tax Commission for Fiscal Year 2019-2020 is hereby levied for the Cooperative Extension Fund of Humboldt County to be 1 cent on each $100 of assessed value on taxable property. DENIO LIBRARY EXTERIOR REPAIRS

SCOPE OF WORK

Vinyl siding pieces have fallen from structure, which must bereplaced. At all top edges the siding was installed incorrectly andmust be re-worked to permit corner trim pieces to be installed toaccpet soffit panels. No soffit panels were installed and are includedin this quotation. Complete fascia pieces are to be supplied andinstalled as well as trim for the bird boxes.

NOTES & EXCLUSIONS

Several faces of the building are not accessible by scissor lift soscaffolding is calculated in the mobilization cost. The existing sidingcolor has been discontinued, but we have found a close match. If it isnot close enough, we will remove panels from the rear of the buildingto replace gaps on sides facing the street. The soffits, fascias andtrim will be white. The overhang wood has been exposed andweathered and must be primed prior to covering with siding materials.This primimg cost is ncluding in the painting cost. The painting costapplies to door jambs and casings that were installed without paintand have weathered and suffered mild rot. Any permits or planreview fees to be paid by owner.

COOPERATIVE AGREEMENT BETWEEN PUBLIC AGENCIES

Phone: 775-623-6388 WHEREAS, NRS 277.110 authorizes any one or more public agencies to enter into agreements for joint or cooperative action; and WHEREAS, it is deemed that the cooperative action of Nevada State Library, Archive and Public Records and Nevada Cooperative Library hereinafter set forth between the parties is the best interest of the State of Nevada; NOW, THEREFORE, in consideration of the aforesaid premises, the parties mutually agree as follows: 1. REQUIRED APPROVAL. This Agreement shall not become effective until and unless approved by appropriate official action of the governing body of each party. 2. DEFINITIONS. “State” means the State of Nevada and any state agency identified herein, its officers, employees and immune contractors as defined in NRS 41.0307. 3. AGREEMENT TERM. This Agreement shall be effective July 1, 2019 upon approval to June 30, 2023, unless sooner terminated by either party as set forth in this Agreement. 4. TERMINATION. This Agreement may be terminated by either party prior to the date set forth in paragraph (3), provided that a termination shall not be effective until 90 days after a party has served written notice upon the other party. This Agreement may be terminated by mutual consent of both parties or unilaterally by either party without cause. The parties expressly agree that this Agreement shall be terminated immediately if for any reason federal and/or State Legislature funding ability to satisfy this Agreement is withdrawn, limited, or impaired. 5. NOTICE. All notices or other communications required or permitted to be given under this Agreement shall be in writing and shall be deemed to have been duly given if delivered personally in hand, by telephonic facsimile with simultaneous regular mail, or mailed certified mail, return receipt requested, postage prepaid on the date posted, and addressed to the other party at the address set forth above. 6. INCORPORATED DOCUMENTS. The parties agree that the scope of the cooperative action shall be specifically described in accordance with State Administrative Manual 0308.0; this Agreement incorporates the following attachments in descending order of constructive precedence: ATTACHMENT A: SCOPE OF COOPERATIVE ACTION

The parties agree that Humboldt County Library will pay Nevada Library Cooperative to provide the services specified in the attachments at a total cost of not more than an estimated $23,500 in FY20; $25,500 in FY21; $28,500 in FY22 and $30,500 in FY23 per fiscal year. Payments to be made an annual basis upon receipt of Nevada Library Cooperative invoice at rates established by Nevada Library Cooperative for each fiscal year. Total contract is not to exceed an estimated $108,000 over the four (4) year period. 7. ASSENT. The parties agree that the terms and conditions listed on incorporated attachments of this Agreement are also specifically a part of this Agreement and are limited only by their respective order of precedence and any limitations expressly provided. 8. INSPECTION & AUDIT. a. Books and Records. Each party agrees to keep and maintain under general accepted accounting principles full, true and

complete records, agreements, books, and documents as are necessary to fully disclose to the State or United States Government, or their authorized representatives, upon audits or reviews, sufficient information to determine compliance with all state and federal regulations and statutes.

b. Inspection & Audit. Each party agrees that the relevant books, records (written, electronic, computer related or otherwise), including but not limited to relevant accounting procedures and practices of the party, financial statements and supporting documentation, and documentation related to the work product shall be subject, at any reasonable time, to inspection, examination, review, audit, and copying at any office or location where such records may be found, with or without notice by the State Auditor, Employment Security, the Department of Administration, Budget Division, the Nevada State Attorney General's Office or its Fraud Control Units, the State Legislative Auditor, and with regard to any federal funding, the relevant federal agency, the Comptroller General, the General Accounting Office, the Office of the Inspector General, or any of their authorized representatives.

c. Period of Retention. All books, records, reports, and statements relevant to this Agreement must be retained a minimum three years and for five years if any federal funds are used in this Agreement. The retention period runs from the date of termination of this Agreement. Retention time shall be extended when an audit is scheduled or in progress for a period reasonably necessary to complete an audit and/or to complete any administrative and judicial litigation which may ensue.

9. BREACH; REMEDIES. Failure of either party to perform any obligation of this Agreement shall be deemed a breach. Except as otherwise provided for by law or this Agreement, the rights and remedies of the parties shall not be exclusive and are in addition to any other rights and remedies provided by law or equity, including but not limited to actual damages, and to a prevail-ing party reasonable attorneys' fees and costs. It is specifically agreed that reasonable attorneys' fees shall not exceed $150 per hour. 10. LIMITED LIABILITY. The parties will not waive and intend to assert available NRS chapter 41 liability limitations in all cases. Agreement liability of both parties shall not be subject to punitive damages. Actual damages for any State breach shall never exceed the amount of funds which have been appropriated for payment under this Agreement, but not yet paid, for the fiscal year budget in existence at the time of the breach. 11. FORCE MAJEURE. Neither party shall be deemed to be in violation of this Agreement if it is prevented from performing any of its obligations hereunder due to strikes, failure of public transportation, civil or military authority, acts of public enemy, acts of terrorism, accidents, fires, explosions, or acts of God, including, without limitation, earthquakes, floods, winds, or storms. In such an event the intervening cause must not be through the fault of the party asserting such an excuse, and the excused party is obligated to promptly perform in accordance with the terms of the Agreement after the intervening cause ceases. 12. INDEMNIFICATION. a. To the fullest extent of NRS Chapter 41 liability limitations, each party shall indemnify, hold

harmless and defend, not excluding the other's right to participate, the other from and against all liability, claims, actions, damages, losses, and expenses, including but not limited to reasonable attorneys' fees and costs, arising out of any alleged negligent or willful acts or omissions of the party, its officers, employees and agents. Such obligation shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity which would otherwise exist as to any party or person described in this paragraph.

b. The indemnification obligation under this paragraph is conditioned upon receipt of written notice by the indemnifying party within 30 days of the indemnified party’s actual notice of any actual or pending claim or cause of action. The indemnifying party shall not be liable to hold harmless any attorneys' fees and costs for the indemnified party’s chosen right to participate with legal counsel.

Neither party waives any right or defense to indemnification that may exist in law or equity.

13. INDEPENDENT PUBLIC AGENCIES. The parties are associated with each other only for the purposes and to the extent set forth in this Agreement, and in respect to performance of services pursuant to this Agreement, each party is and shall be a public agency separate and distinct from the other party and, subject only to the terms of this Agreement, shall have the sole right to supervise, manage, operate, control, and direct performance of the details incident to its duties under this Agreement. Nothing contained in this Agreement shall be deemed or construed to create a partnership or joint venture, to create relationships of an employer-employee or principal-agent, or to otherwise create any liability for one agency whatsoever with respect to the indebtedness, liabilities, and obligations of the other agency or any other party. 14. WAIVER OF BREACH. Failure to declare a breach or the actual waiver of any particular breach of the Agreement or its material or nonmaterial terms by either party shall not operate as a waiver by such party of any of its rights or remedies as to any other breach. 15. SEVERABILITY. If any provision contained in this Agreement is held to be unenforceable by a court of law or equity, this Agreement shall be construed as if such provision did not exist and the nonenforceability of such provision shall not be held to render any other provision or provisions of this Agreement unenforceable. 16. ASSIGNMENT. Neither party shall assign, transfer or delegate any rights, obligations or duties under this Agreement without the prior written consent of the other party. 17. OWNERSHIP OF PROPRIETARY INFORMATION. Unless otherwise provided by law any reports, histories, studies, tests, manuals, instructions, photographs, negatives, blue prints, plans, maps, data, system designs, computer code (which is intended to be consideration under this Agreement), or any other documents or drawings, prepared or in the course of preparation by either party in performance of its obligations under this Agreement shall be the joint property of both parties. 18. PUBLIC RECORDS. Pursuant to NRS 239.010, information or documents may be open to public inspection and copying. The parties will have the duty to disclose unless a particular record is made confidential by law or a common law balancing of interests. 19. CONFIDENTIALITY. Each party shall keep confidential all information, in whatever form, produced, prepared, observed or received by that party to the extent that such information is confidential by law or otherwise required by this Agreement. 20. PROPER AUTHORITY. The parties hereto represent and warrant that the person executing this Agreement on behalf of each party has full power and authority to enter into this Agreement and that the parties are authorized by law to perform the services set forth in paragraph (6). 21. GOVERNING LAW; JURISDICTION. This Agreement and the rights and obligations of the parties hereto shall be governed by, and construed according to, the laws of the State of Nevada. The parties consent to the exclusive jurisdiction of and venue in the First Judicial District Court, Carson City, Nevada for enforcement of this Agreement. This section left blank intentionally 22. ENTIRE AGREEMENT AND MODIFICATION. This Agreement and its integrated attachment(s) constitute the entire agreement of the parties and such are intended as a complete and exclusive statement of the promises, representations, nego-tiations, discussions, and other agreements that may have been made in connection with the subject matter hereof. Unless an integrated attachment to this Agreement specifically displays a mutual intent to amend a particular part of this Agreement, general conflicts in language between any such attachment and this Agreement shall be construed consistent with the terms of this Agreement. Unless otherwise expressly authorized by the terms of this Agreement, no modification or amendment to this

Agreement shall be binding upon the parties unless the same is in writing and signed by the respective parties hereto, approved by the Office of the Attorney General. Pioneer Technology Group

History Pioneer Technology Group, LLC (Pioneer) is made up of committed, experienced professionals with over ninety years in land records automation. In addition, the development staff at PTG has been responsible for the creation of many products currently being used by Counties all over the United States.

The company was formed on October 25th, 2005, and commenced operations in December of that year. While Pioneer is new, its leadership has a long history working together in the technology and insurance industries. Pioneer Technology Group's main focus is helping county government meet the needs of explosive population growth and stretched budgets through the development of technologies targeted at improving workflow and efficiency.

What We Do Pioneer Technology Group is a provider of custom-developed software to County Government. In that capacity, the company specifically targets County Clerks, Property Appraiser and Tax Collectors. Pioneer’s leaders have had a long and varied career working with both Counties and the Department of Revenue.

Pioneer also provides consulting services to counties in electronic document transmission, recording, and management. Years of experience and a commitment to good business practices has resulted in a company well-versed with all of the rules, laws and technologies surrounding their area of business.

Use simple yet powerful tools for pool and panel management, and enjoy real-time judicial access to pool and panel information. Integrated imaging allows for the quick viewing of summons letters and venire lists. Through the Jurymark website, jurors can view pool status, sign up for text and email alerts, request excusals, and more.

Workspaces Jurymark features separate, purpose-designed workspaces for a wide variety of functions. The Installation Process There are five main phases to the Jurymark Software installation process. These include the Pre-Installation Analysis Phase, a Configuration Phase, a Testing and Training Phase, an Implementation Phase, and a Post-Implementation Phase. A Gantt Chart Timeline will be provided as a reference. The following details the different phases of the timeline

Pre-Installation and Analysis Phase Following contract execution, Pioneer Technology Group will meet with the County staff to review the project plan and solidify timelines. The County will need to select a project manager and an assistant manager. Pioneer Technology Group will do the same. It will be the responsibility of the managers from each side to see to, and assist, with timely execution of the work plan. The project managers from both sides are responsible for the communication of any issues in a prompt fashion. Project managers should be available on a daily basis for phone conversations and should make themselves available weekly for phone conference meetings.

During pre-installation, Pioneer Technology Group will conduct a walkthrough with supervisors, technical staff and employees to ensure a common understanding of the process. Pioneer Technology Group will introduce key members of the PTG staff who will oversee the project. We will request the County do the same, so that cohesive team bonds can begin to form.

Concurrently, PTG will work with county technical staff to plan for data conversion and software installation. A complete training, installation, and data conversion calendar will be developed and communicated to all members of the installation team. Any necessary changes to the existing base software application will be made following joint team meetings and discussions prior to software installation.

Configuration Phase As soon as all changes have been agreed upon, PTG personnel will begin making their adjustments. PTG will assess their ability to make the necessary changes in the allotted time on a daily basis. Communication between the County and PTG during this phase is crucial. Any adjustments to the schedule by either side must be communicated promptly.

While enhancements are being made to the software, PTG’s technical staff will perform a test install of the base system on the County’s computers. The install will serve to identify problem areas with any configuration issues or establishing of network connections. The test install is crucial and should be completed at the earliest possible date, as it will be important to establish any problem areas. Data conversion can also be done simultaneously with the above.

All relevant history will be loaded and converted to the Jurymark System tables. Current data will be converted just before the final implementation date. The initial conversion will allow time to test the accuracy of converted data. PTG uses various methods to account to ensure completeness, including a variety of searches.

A conference call will be held with PTG and the County to schedule Cycle 1 user training at the County. This training will be accomplished on workstations set up by the County and will last approximately five days.

Testing and Training Phase On-Site Training PTG will provide training on-site at the County. Training will be broken into multiple phases allowing the users to fully understand the Jurymark system. In between these phases, full phone support will be available to the County. Training manuals and system documentation will be provided at this time.

System Testing Immediately following training, County personnel, with the assistance of PTG, will conduct on-site testing of Jurymark. This will ensure that all tables are properly configured and that all reports and forms are functioning as designed. It will also serve to increase the comfort level of staff with the new system. Upon completion of final testing and acceptance, the project managers will confirm the final implementation date.

Implementation Phase Final conversion of data will be run just before the final implementation date. Use of the old system should be stopped. Work from the old system that is in progress will need to be converted into the new system at this time. Pioneer personnel will be on site during this entire phase.

The new system will be implemented live during this time frame. Network connections and functionality will be tested. All workstations and peripherals will be fully tested with a dry run to ensure a smooth start with the new system.

Post-Implementation Phase Following the final implementation date, PTG will monitor and support the Jurymark System closely. While the plan calls for a timeframe of one to two weeks, we are more than willing to adjust this estimate as the need arises. If at the end of the weeks the project managers decide this time frame needs to be extended, PTG will extend on a week-by-week basis.

It is our intention that the County receives the software it needs for optimal functionality, not just the software that meets the Business Requirements. This phase is designed to ensure the software meets the Clerk's functional requirements completely.

Data, Development and Deployment Standards

Data Integrity, Security, and Confidentiality Pioneer Technology Group requires the use of SQL Server to house the Jurymark System database. SQL Server 2005 makes significant enhancements to the security model of the database platform, providing more precise and flexible control to enable greater protection of data. It includes features that help to provide a high level of security for data. These features include the advanced security of surface area reduction, data encryption, native encryption, authentication, granular permissions, and user and schema separations.

Jurymark requires a user login and password to access the system. Managers/Supervisors will have the ability to set access levels by groups and individuals. For example, all Traffic employees can be one group with access only to view Traffic related data and images; however, their supervisor may also have rights to run various reports in addition to the group permissions.

Selected users with administrative rights will have access to maintain the user admin table. This will allow the administrator to set user permissions to access processes, perform functions, report levels and viewing options. Users with supervisory rights within the permissions table, have the ability to override certain processes within the system. Every time a supervisor performs an override, they are required to enter their user ID and password along with a brief description of the reason the item needs an override. This will provide an audit trail as to what changes were made, by whom and why.

Development, Deployment, and Operation Standards Pioneer Technology Group utilizes standard, commercially available hardware and software components required for the development, deployment and operation of the proposed solution. Jurymark was created with SQL Server database and .NET architecture.

Hardware and Software Requirements All hardware requirements and specifications are generally stated as minimum requirements and should be considered for base line purposes. Actual disk space requirements and storage methodologies are subject to legacy data amounts and projected growth needs. Each County is generally unique in existing equipment and network layout. Pioneer will work with the each County to ensure value within the existing hardware and network layout is realized. Software requirements are also listed.

Required Servers The information in this section is Pioneer Technology Group's recommended base-line configurations. It is to be used as a guideline for counties to use. As always Pioneer Technology Group will work with the county to tailor the solution to the county's specific needs.

Listed in the table is required hardware for multiple environments. Counties should have a production environment and it is highly recommended to also have a test environment. Other environments such as a training Environment and development environment are optional. Pioneer will discuss this in depth with the County during Discovery and Analysis and make recommendations.

Maintenance & Support

Maintenance Included with the purchase of Jurymark is a 90 day maintenance warranty. Following the initial warranty period, the County will be covered by the annual maintenance plan at terms agreed upon by both Pioneer Technology Group and the County.

Support Pioneer Technology Group is dedicated to maintaining satisfying relationships with our customers. To that end, we operate a fully staffed help desk operating toll-free access during normal business hours. All members of the help desk are experts in the support of the Jurymark System and are empowered to do whatever necessary to aid the caller. All problems are assigned a severity code and are acted on accordingly. In the most severe instances, we will give you top priority. If we cannot resolve the problem through phone diagnostics, we are on-site within eight business hours in the majority of cases. You will generally receive after-care from your project manager, to ensure continuity and understanding.

Software Updates In addition to help desk services, our maintenance contract entitles the customer to receive software updates on a regular basis. Version updates are the direct result of customer requests for change or the availability of improved technologies. Customers are encouraged to become members of the user family and to participate in the active updating of your product. Technical support is available via remote diagnostics at the customer's request, which will allow us to determine the severity of the problem without actually being onsite.
