Dear CanCham members and friends of CanCham:

On behalf of the Board of Trustees I wish you, your families and your friends where-ever you may be best wishes for the year 2012.

I would like to take this occasion to put on record and to thank our Executive Director and his staff in the CanCham Secretariats in Manila and in Cebu for their dedication and hard work in ensuring CanCham has had an active program of events and services that responds to the interests and needs of our diverse and growing membership. I would also like to thank the Trustees and Governors for their active participation in the governance of CanCham not only in terms of oversight but also for providing leadership in activities and representational work we are engaged in throughout the year that call on their various experience and wide range of knowledge of the Philippines’ business environment.

The year 2011 has been a good one for CanCham in terms of membership with now already increased to more than 250 members as we enter the last month of 2011, including over 50 in our new Cebu Chapter which has just finished its first full year since establishment in November 2010. We are now exploring the potential for further expansion with a focus on Davao City and its surrounding area.

As those of you who have visited Davao City know, it is an attractive city with over one million in population and is the third largest urban center in the Philippines after metro Manila and metro Cebu. Led by a dynamic mayor, the city administration continues its efforts to make the city attractive for expanded local and foreign business including ensuring public safety as well as a clean physical environment. In 2011, the Davao City Chamber of Commerce and Industry (DCCCI) has actively spear-headed both a major investment conference as well as a large trade exposition with a focus on agri-business. I had the honour and pleasure to represent CanCham at both events with CanCham’s presence recognized and appreciated.

Davao City’s strategic plan for increasing investment and trade includes a number of areas that closely match the focus of CanCham, notably agri-business, ICT/BPO, education and training, and regional financial services. It is also striving to expand as a regional hub for support of extractive industries, air transport and sea transport as well as tourism. The focus of Davao on these areas will provide a natural core for the building up Canada-Philippines business relationships based in Davao as has been the case in Cebu and I look forward to building up a Davao-based membership group in 2012.

With this in mind, CanCham has signed a Memorandum of Cooperation with the DCCCI that includes substantive provisions for cooperation, the main three being:• To exchange information and perspectives on:

» Business and economic conditions Davao City and in Canada; » Business opportunities for international trade, foreign investment, transfer of technology and

skills, and mobility of human resources; » Ways and means to enhance international trade, foreign investment, transfer of technology and

skills, and mobility of human resources; and » Challenges and issues of common interest to the business communities represented by the two

chambers;

• To keep relevant authorities informed of the cooperation and to jointly advocate the development and maintenance by the authorities of a pro-business regulatory environment that supports business and economic development; and

• To extend advice and assistance to each other as may be appropriate and as each chamber is able to provide in the particular circumstances;

This will be a challenging MOC to implement in the New Year. But, with successful implementation, it will strengthen CanCham’s presence not only in Davao and Mindanao for the benefit of members in that region but also strengthen CanCham as a national chamber with a presence in and representative of Canada-Philippines business interests covering all three major regions in the Philippines.

Republic Act No. 10055, otherwise known as the “Philippine Technology Transfer Act of 2009”, became effective on 8 May 2010. The Implementing Rules and Regulations issued jointly by

the Department of Science and Technology (DOST) and the Intellectual Property Office (IPO) were issued in August 2010 and became effective in September 2010. The law aims to promote and facilitate the transfer, dissemination, use, management and commercialization of intellectual property, technology and knowledge resulting from government-funded Research and Development (R&D). It was enacted to enforce the state’s unified policy on technology transfer and to fortify public-private collaboration on commercialization of technologies and intellectual property (IP) rights.

Towards an improved Philippine technology transfer systemBy: Divina Ilas-Panganiban

Pursuant to the legislation, the R & D Institution (RDI) which actually performed the research shall own the IP generated from the research, even if funded by a Govern-ment Funding Agency (GFA). The RDI, whether public or private, is presumed to be more capable of identifying the potential for economic utilization of the IP considering that it has the right technical skills and scientific manage-ment competence.

Although this rule on IP ownership is not consistent with the default rule under the Philippine Intellectual

Property Code which vests ownership of IP to the person who commissions the work, it is based on the recognition that RDIs possess better proficiency in determining how to obtain the maximum economic returns from the IP cre-ated.

However, as an exception to the IP ownership of the RDI, there are a number of situations when the law allows the GFA to own the IP: (1) when the RDI has entered into a public written agreement waiving or assigning its owner-ship of IP, on public interest grounds, in favor of the GFA;

(2) in case of failure by the RDI to disclose the potential IP to the GFA; (3) in case the RDI fails to initiate protection of IP within a reasonable time from confidential disclosure to the GFA; and (4) in case the RDI ceases to become a Filipino corporation.

For copyright, the law vests ownership of the same to the RDI, whose researcher (s) actually authored the work. It is the duty of the RDI to require the author of a work produced through public funds to assign the copyright over said work to the RDI. The government is not pre-cluded from receiving and holding copyrights transferred to it by assignment. In this case, public RDIs must require the author to execute the assignment of IP in favor of the RDI.

The GFA and the RDI are enjoined to enter into a re-search funding agreement (RFA) that sets forth in detail the terms and conditions of the arrangement, including the ownership of rights to the IP and sharing of revenue that may be generated from technology commercializa-tion. Under the implementing rules, absent a revenue-sharing provision in the RFA, any revenue that may be derived from the commercialization of IPs shall accrue to the RDI. Even if there is a revenue-sharing provision, the GFA’s total share shall not be greater than the share of the RDI. The law also permits the RDI to enter into contrac-tual agreements with any other entity or entities providing funding, particularly in case of any joint funding, where R & D is funded by a GFA in part, and by another entity in part. Sharing of revenues between the researcher and the RDI shall be governed by an employer-employee contract or other related agreements.

The income from IP commercialization shall be used by the RDI to compensate the researcher-employee, to fund R& D and capability building in the field of science and technology, and to fund technology transfer activities, including establishment and management of technology licensing offices in RDI’s.

Significantly, in meritorious cases and to help ensure successful commercialization, a researcher-employee of the RDI may commercialize the IP generated from the GFA-funded R&D by creating, owning, controlling, or managing a company or spin-off firm undertaking com-mercialization, or may accept employment as an officer, employee, or consultant in a spin-off firm undertaking such commercialization. The employee, however, will have to take a leave of absence, when applicable, for a pe-riod not exceeding two years.

Although the law provides how to resolve issues on technology and IP ownership, it remains uncertain if private-public collaboration in different industries has be-come stronger and closer by virtue of the legislation. It is clear that the law has provided the framework that will promote coordination, integration, and harmonization of all technology transfer efforts by various agencies in the country, but whether or not such framework is effective is yet to be evaluated.

Sometime in March 2011, the Philippine government granted a license of the IP over a cough syrup made from a locally-grown herb “Lagundi” to Azarias Pharmaceuti-cal Laboratories Inc. (APLI), a Filipino company. The li-censing agreement was executed between the University of the Philippines, the RDI, and a private firm, APLI. This agreement is expected to, and should, generate royalties for (drug) research and development. According to the

DOST, the royalty under this arrangement will go to the investigator and to the RDI where the investigator belongs.

Even if the “Lagundi Syrup” licensing agreement is not exactly an actual application of the provisions of the Tech-nology Transfer Act, it undoubtedly contributed to the educational awareness of RDIs and several researchers on the importance of IP protection. Because of the law and the “Lagundi Syrup” experience, some state universities have established licensing offices, or adopted measures to improve the existing ones, for the purpose of hastening facilitation of R&D commercialization.

The principles adopted in the law are in part the prin-ciples behind the United States’ Bayh-Dole Act, which was believed to be the basis for the significant leap in the state of innovation in science and technology in the U.S. It is commendable that the Philippines has recognized the need to ensure greater public access to technologies and knowledge generated from publicly funded R & D , while enabling, where appropriate, the management and pro-tection of related IP rights. Considering that a country’s technology transfer and innovation policy should be at the center of its economic development policies, it is fervently hoped that the law will elevate the rank of the Philippines in a worldwide scale, in terms of technological readiness or ability to adopt technologies to enhance productivity of its industries.

Company officials, led by TVI Chairman and Chief Executive Officer, Clifford James and TVIRD Vice President and Chief Operating Officer Yulo Perez, toured the ambassador around the 31-hectare open pit area, as well as the Sulphide Dam — the tailings’ impoundment facility – part of the project’s reforestation area, the aviary, the company-supported schools and the minesite clinic that provides free 24-hour health services to the community and its workers.

During the tour, the guests were impressed by the clear waters of the dam built between two valleys. More than 25 water locations around the project are the subject of daily, weekly and quarterly water quality monitoring, including monitoring by third party professionals, and are consistently tested to be well within the regulatory limits for all substances.

The guests were also impressed by the company’s progressive rehabilitation and reforestation programs when they toured the reforestation site, just a few meters from the mine pit. More than 200,000 trees have been planted since 2004; and 50% of mining area remains in original habitat condition.

“Everyone who sees our mining operations and resulting social benefits to the indigenous people realizes that they are benefitting hugely from our work here” stated Mr. James. “It would be a real shame if we are not able to continue to enhance their lives with our social and environmental projects. So. I hope the decision makers will continue to keep the best interests of their constituents front and centre” concluded Mr. James.

New ADB-Philippines partnership to target inclusive growth, governance reforms

The Philippines and the Asian Development Bank (ADB) have agreed on a new Country Partnership Strategy (CPS) for 2011 to 2016 that will target governance reforms and other measures needed to drive broad-based growth and poverty reduction efforts. The

program amounts to a total of $3.8 billion for the six year period.

By supporting the strategies outlined in the PDP for 2011-2016, the CPS contributes to much needed structural reforms in the areas of infrastruc-ture, environment and education.”

Secretary Paderanga, who is also Director-General of the country’s National Economic and Development Au-thority (NEDA), added that the partnership reflects the intensive consultations undertaken by ADB with NEDA and other government agencies, development partners, the private sector, civil society and the academe.

A significant share of assistance will be targeted at ad-dressing policy, institutional and investment obstacles in key sectors such as education, energy and transport. Sup-port to policy reforms and capacity development will be given to help carry out governance reforms from the coun-try level down to individual projects.

The partnership will also aim to make the delivery of social services more equitable and efficient, and to help the Philippines address environmental issues, including climate change. This will include support to urban envi-ronmental infrastructure, such as waste management, in-creased energy efficiency and sustainable management of natural resources, including coastal areas and watersheds.

The new strategy places particular emphasis on incor-porating cutting-edge knowledge and innovation into ADB-supported projects. ADB has already supported a number of innovative initiatives in the Philippines re-cently, including the Pantawid Pamilya program for the country’s poorest families.

“The new strategy aims to better ensure that all Filipi-nos, especially the country’s poor, are able to share in the benefits of the country’s economic growth,” said Kunio Senga, Director General in ADB’s Southeast Asia Depart-ment.

“As the government frequently notes, weak governance and corruption continue to pose a huge challenge to inclu-sive and sustainable growth, and ADB will be helping the Philippines remove some of the constraints that are hold-ing the economy back from achieving its full potential.”

The Philippines, where ADB is headquartered, has

grown at a slower pace than other developing economies in the region over the past 40 years, partly as a result of a weak investment climate, low spending in social sectors, and weak governance. The country is ADB’s fifth largest borrower in cumulative loan amount.

The new strategy, which is fully aligned with the Gov-ernment’s Philippine Development Plan (PDP): 2011-2016, will focus on strengthening the investment environment to attract more private funding for infrastructure develop-ment and job creation.

These are just a few of the take-away insights gained by participants of the 2011 Cancham Executive Management Se-ries. XMG Global, a leading research and advisory firm that specializes in the technology and technology-services

sector, announced their 2012 predictions for the Asia Pacific region. Looking ahead, XMG analysts continues to expect a year of convergence driven by mobility, consumerization of technology and cloud computing. Global economic conundrums will be a factor, but will have minimum impact in Asia Pacific IT spending and growth.

XMG Global top ten 2012 predictions for Asia Pacific

Top Concerns and Priorities of Asia Pacific Decision Makers2012 will continue to be a year of balancing two types of projects: Continuous Improvement and

Technology Investments initiatives. Aside from delivering on project and business service level commitments, the top three priorities of decision makers heading into 2012 are as follows: • Leadership. Delivering on project commitments with particular emphasis on showing benefits and ROI

of past projects in the form of tangible (financial) or intangible (efficiency) gains. Leadership will take form by going back to basics and understanding how mobility, social media and the cloud will chart new directions for the business.

• Cloud Computing. Although the uptake is in Asia Pacific has been relatively gradual, cloud projects in the form of “related initiatives” has increased nearly 20% since the start of 2011. Planning and being educated about the cloud will continue in preparation for building the right portfolio of competence for the next few years.

• Security. With smartphones being mainstream and mobile platforms becoming targets of hackers through apps, most organizations are raising the priority on information security. Our research has shown that nearly 80% of organizations have experienced a significant information security breach event. Despite sets of security policies and processes, we expect the number of breaches to climb due to shifting commitments in compliance and enforcement as business and personal use of computing and mobile devices continue to blur.

Another Day, Another Beauty ContestWith the sovereign debt crisis in Europe and an election year in the United States, 2012 will be a year

that will be fraught with speculation within the outsourcing and captive sector, particularly for service delivery centers located off-shore.

XMG believes outsourcing and offshoring will grow 18 to 20% in 2012. With the lingering effects and lessons of the 2008 global recession still fresh amongst enterprises, a new genre of corporations will continue to look offshore to seek new ways to reduce operating costs and maximize productive levels. Offshoring is a manifestation of an on-going economic evolution that will not go away. decision makers on the bottom-line of what the cloud offers, and more importantly, its business impact. Although there is tremendous bullishness and optimism on the market size of the cloud market in the Asia Pacific ranging from US$5 to US$8 billion along with the various disparate (and at times confusing) cloud services to choose from, cloud offerings is still not as mature in Asia Pacific as providers face many challenges in building competent practices. We believe market size and revenue to be considerably less.

Putting all issues of hype and marketing aside, XMG forecasts the tipping point for adopting true cloud services will occur in 2013 as it becomes the gateway for the next wave of transformational form of outsourced services.

Changing Face of Telecom Leadership Asia Pacific will be the world’s fastest growing mobile and broadband market with over 3 billion

connections in 2012. This advancement is driven by three primary growth factors: continuous efforts of telecom providers to meet emerging demand by investing an average of 17.4% of revenues into capital expenditures: variety and flexibility of payment and billing schemes: and low-costs hand sets.

In addition to becoming the world’s most lucrative region for telecom services, XMG anticipates 2012 to be a long-terms start for Asia Pacific telecom providers to accelerate in becoming amongst the world’s most technologically mature and drive the overall region to an inevitable position of global leadership.

Holding Government Accountable through Citizen Access

As Asia Pacific nations continue their quest in improving public service, and citizens being more vocal and directly involved in government affairs and programs, there is a need for governments to provide seamless flow of services, logical one-stop-shops, efficiency and the ability to do more with less.

There is exerting pressure on e-Government projects to focus on providing transparency and accountability within the bureaucracy. The pressure is intensified by the maturing technology and telecommunication infrastructure in Asia, social media adoption and affordable mobile gadgets. This is evident in government public relations being decentralized through blogs, social networks, SMS photo sharing, wikis and related technologies. XMG forecasts this culture of citizen engagement to continue in 2012 and beyond which will drive more e-government initiatives and policy decisions.

Of those surveyed by XMG, over 70% of respondents indicate there is never enough qualified talents at any given point in time. Applied to productivity, this means organizations will not achieve significant ROI simply by adding more people (or tools) to increase output. In 2012, organizations will need to balance productivity of workers across the process life cycle. At the end, it is the outcome of the process, not the output of the individual worker that has the most significant impact on business objectives. Productivity strategies for 2012 will include how content, collaboration, communication, and learning functions can be effectively integrated to fulfill higher-level goals. Workforce analytics will also become an indispensable tool in organizations.

Social and Business Revolution ContinuesSocial networks will continue to intensity in 2012 as it becomes the medium for customer service and

a channel to gather customer preferences and feedbacks. As social networking remains a strong venue to connect with people, social media applications will continue to become mainstream for branding and B2B, B2C and B2G marketing.
