RESOLUTION NO. 618-34 A RESOLUTION ADOPTING A BUDGET FOR THE

FISCAL YEAR 2018-2019 AND SETTING THE TAX LEVY FOR THE YEAR 2018 FOR

HAMILTON COUNTY, TENNESSEE.

ON MOTION of Commissioner Graham, seconded by Commissioner Fields, to

adopt Resolution No. 618-34. The foregoing Resolution was unanimously adopted on a

Roll Call vote, with the following members of the County Commission being present and

ON MOTION of Commissioner Graham, seconded by Commissioner Fields, to

adopt Resolution No. 618-35.

Commissioner Boyd reported he requested budget’s from each of the county

funded nonprofit and civic organizations and commended the Finance Department for

assisting him in getting the request fulfilled quickly. He spoke about the budget

submitted by the Convention and Visitor’s Bureau (CVB), which included 12 line items

and called it unacceptable for an agency that receives $8.4 million in county funding. He

stated he would not support funding the CVB until a full spending outline is submitted.

The referenced budgets were not submitted to the Clerk’s Office.

ON MOTION of Commissioner Boyd to withhold the CVB monthly appropriation

of $700,000.00 until a full spending outline is submitted. The Motion failed due to lack of

a second.

The foregoing Resolution No. 618-35 was adopted on a Roll Call vote, with the

RESOLUTION NO. 618-36 A RESOLUTION AUTHORIZING TWO

REAPPOINTMENTS AND ONE NEW APPOINTMENT OF REPRESENTATIVES TO

THE HAMILTON COUNTY COMMUNITY CORRECTIONS ADVISORY BOARD.

This Resolution reappoints Shawn Johnson and Samuel Blakemore for two-year

terms beginning July 1, 2018 and ending June 30, 2020, and appoints Janie Parks

Varnell for a three-year term beginning July 1, 2018 and ending June 30, 2021.

ON MOTION of Commissioner Fields, seconded by Commissioner Graham, to

adopt Resolution No. 618-36. The foregoing Resolution was unanimously adopted on a

Roll Call vote, with the following members of the County Commission being present and

voting as follows: Commissioner Bankston, “Aye”, Commissioner Beck, “Aye”,

Mayor Coppinger congratulated staff on a successful budget and thanked

Commissioners for their support.

Commissioner Beck distributed a handout to members of the Commission and

asked that it be read into the record. The handout contained a joint statement from

Commissioner Beck and Commissioner Bankston proposing that Commissioners

formally honor former County Executive Dalton Roberts and former County Mayor

Claude Ramsey. Their proposition included renaming a portion of the Riverwalk from

the Chickamauga Dam to either The Boathouse Restaurant or Ross’ Landing in honor

of Mr. Roberts. They also called for the renaming of Discovery Drive at Enterprise South

Industrial Park in honor of Mr. Ramsey. A copy of the handout was filed in the Clerk’s

Office.

ON MOTION of Commissioner Beck, seconded by Commissioner Bankston, to

approve the plan as submitted memorializing Mr. Roberts and Mr. Ramsey.

Commissioner Mackey voiced support for the plan and thanked Commissioner

Beck and Commissioner Bankston for bringing it forward.

In response to Commissioner Graham’s question, Attorney Taylor stated both

actions would need approval from the City of Chattanooga. It was noted any action

taken at Enterprise South would also require permission from Volkswagen.

In response to Commissioner Boyd’s question, Attorney Taylor confirmed

Discovery Drive is jointly owned by the City of Chattanooga.

Chairman Fairbanks recommended Commissioners vote to approve the plan

today and refer the implementation of the plan to the Building and Economic

Development Committee, chaired by Commissioner Beck. Commissioners were in

agreement with this procedure.

Clerk Knowles requested the plan be submitted in the form of a Resolution and

noted it would be assigned Resolution No. 618-37. Attorney Taylor confirmed he would

prepare and submit a finalized Resolution.

The foregoing Motion was unanimously adopted on a Roll Call vote, with the

following members of the County Commission being present and voting as follows:

COMMITTEE ASSIGNMENTS

Chairman Fairbanks indicated the upcoming agenda items would be considered

as follows:

• The Trustee’s Monthly and Excess Fee Reports for May 2018 would be submitted for the record.

• Resolution No. 718-1 was the usual County Clerk item regarding notaries, etc. This required no committee assignment.

• Resolution Nos. 718-3 through 718-5 were assigned to the Finance Committee, chaired by Commissioner Smedley.

• Resolution Nos. 718-6 through 718-8 were assigned to the Roads Committee, chaired by Commissioner Bankston.

• Resolution No. 718- 2 was heard by a Committee of the Whole. PRESENTATION – CERTIFICATE OF CONGRATULATIONS – SALE CREEK HIGH

SCHOOL LADY PANTHERS SOFTBALL TEAM

Commissioner Fairbanks asked members of the Sale Creek High School Lady

Panthers Softball Team and their coach, Clifford Kirk, to come to the podium. He

presented them with a Certificate of Congratulations for winning the District 4-A and

Region 2-A Championship, the TSSAA Class A Softball State Sectionals, and for

placing 2nd in the State Tournament. He commended them for their hard work and

dedication. It was noted Sale Creek High School Principal Tobin Davidson and District 8

School Board Member David Testerman were present in support of the team.

Mr. Kirk thanked Commissioner Fairbanks for the honor and stated it was the first

time a sports team from Sale Creek High School won a state championship. He spoke

about the hard work and dedication of the team and stated he will be happy to return

next year.

Mayor Coppinger congratulated the team and Mr. Kirk on their championship. He

also recognized Principal Davidson and Mr. Testerman in the audience.

COMMITTEE OF THE WHOLE – RESOLUTION NO. 718-2

This Resolution confirms the appointment of County Commissioner Randy

Fairbanks and County Auditor Jenneth Randall, and the reappointment of County Clerk

Bill Knowles, County Finance Administrator Al Kiser, and County Attorney Rheubin

Taylor as members of the Hamilton County Ethics Committee for two-year terms

beginning July 3, 2018 and ending July 3, 2020.

There were no questions from Commissioners.

Commissioner Smedley, Chairman of the Finance Committee, stated the Finance

Committee would meet in the Commission Room immediately following today’s Agenda

Session.

Commissioner Bankston, Chairman of the Zoning Committee, stated the Zoning

Committee would meet in the Commission Conference Room immediately following

today’s Agenda Session.

ANNOUNCEMENTS

Chairman Fairbanks announced next week’s Regular Meeting will be held on

Tuesday, July 3rd in observance of the July 4th holiday.

Commissioner Fields announced the Public Records Commission would be

meeting on Wednesday, July 11th at 8:00 AM in the Mayor’s Conference Room.

Commissioner Mackey thanked Mayor Coppinger and his staff for this year’s

budget process.

Commissioner Graham echoed Commissioner Mackey’s comments. He added

the budget workshops improve every year.

Commissioner Bankston announced the passing of his wife’s brother and asked

Commissioners to keep his family in their thoughts and prayers.

Commissioner Beck spoke about the recent exterior cleaning and painting of the

Hamilton County Courts Building (Res. No. 917-20) and thanked Administrator of Public

Works and County Engineer Todd Leamon for his work on the project.

Attorney Taylor reported he had reviewed and approved revisions to the County

Clerk employee handbook as required by law and submitted a copy of his approval

letter to the Clerk’s Office for the record. Clerk Knowles added the revisions will bring

the handbook up to date with recent changes to federal and state law.

Mayor Coppinger thanked Commissioner Beck and Commissioner Bankston for

honoring former County Executive Dalton Roberts and former County Mayor Claude

Ramsey. He noted he was a speaker at Mr. Ramsey’s funeral last week and stated it

was a difficult and touching service.

Mayor Coppinger announced the passing of John Franklin, a longtime educator,

principal, and city school board member, he passed away on Thursday, June 21st.

DELEGATIONS

Chairman Fairbanks asked for delegations on matters other than zoning.

Christopher Dahl, residing at 2020 East 12th Street Chattanooga, TN 37404,

addressed the Commission to voice his opposition to the privatization of the jail system.

He also spoke about issues with a WWTA employee and sludge from an oil spill leftover

in District 4.

Being no further business, Chairman Fairbanks declared the meeting adjourned.

The next regularly scheduled meeting will be Tuesday, July 3rd at 9:30 AM.

RESOLUTION NO. 718-5 A RESOLUTION ACCEPTING THE BID OF COMPASS

MINERALS AMERICA, INC. FOR ONE (1) YEAR CONTRACT UNIT PRICING,

BEGINNING AUGUST 15, 2018, THROUGH AUGUST 14, 2019, FOR BULK DE-

ICING SALT FOR THE HIGHWAY DEPARTMENT AND AUTHORIZING THE

COUNTY MAYOR TO SIGN ANY CONTRACTS NECESSARY TO IMPLEMENT THIS

Commissioner Smedley, Chairman of the Finance Committee, provided details

ANNOUNCEMENTS

Chairman Fairbanks asked for announcements from members of the

Commission.

Commissioner Fields invited everyone to attend the Signal Mountain parade and

4th of July celebration.

Commissioner Fields announced the County Public Records Commission will

meet July 11, 2018 at 8:00 AM in the County Mayor’s conference room.

Commissioner Mackey spoke regarding the importance of the role of government

and the ideas of the Founding Fathers.

Commissioner Graham announced the Lookout Valley Neighborhood Association

will host a 4th of July celebration tomorrow evening starting at 6:30 PM.

Commissioner Martin announced today is the last day for early voting registration

and encouraged everyone to vote.

Commissioner Bankston announced Collegedale will be hosting a 4th of July

celebration at Veteran’s Memorial Park.

Chairman Fairbanks announced Soddy Daisy will also host 4th of July activities

tomorrow including a car show; all proceeds will go to Vietnam Veterans.

Clerk Knowles announced Dr. Bill Findley expressed to him that he was pleased

to learn of the Commission’s Resolution to memorialize the late County Executive

Dalton Roberts (Res. No. 618-37). Clerk Knowles stated that Dr. Findley requested that

family members of Mr. Roberts be invited to attend if/when a ceremony is held.

DELEGATIONS

Chairman Fairbanks asked for delegations on matters other than zoning.

Christopher Dahl, residing at 2020 East 12th Street Chattanooga, TN 37404,

addressed Commissioners regarding the Tennessee Open Meetings Act. He asked

Commissioners to consider recording community meetings.

Rick Carpenter, residing at 1548 N Concord Road, Chattanooga, TN 37421,

addressed Commissioners regarding the history of County organizations, the use of

property taxes, and accountability.

Chairman Fairbanks declared a brief recess awaiting the arrival of Chief

Magistrate Lorrie Miller. Upon her arrival the Securities and Corrections committee

immediately convened in the commission room to discuss Chief Miller’s

recommendation to terminate Magistrate Owen “Stuart” Brown. It was noted

Commissioner Boyd, Chairman of the Security and Corrections committee was not

present and Commissioner Bankston would preside.

A copy of Chief Miller’s letter to Commissioner Boyd, dated July 1, 2018 was

distributed to the Commission and read into the record. A copy was filed in the Clerk’s

office. Chief Miller and Magistrate Brown were both present in the audience.

In response to Commissioner Beck’s question, Director of Human Resources,

Alecia Poe advised Magistrates do not fall under Hamilton County’s handbook.

Attorney Taylor stated the Commission is governed by the Open Meetings Act and all

Commission actions must be done in public.

In response to Commissioner Fields question, Attorney Taylor confirmed that

Magistrate Brown’s contract states the Chief Judicial Commissioner may recommend

the termination of a Judicial Commissioner for failure to fulfill the duties or as

communicated by the Chief Judicial Commissioner. Said recommendation shall be

submitted to the Chairman of the County Commission's Security and Corrections

Committee for consideration and recommendation to the Hamilton County Commission.

Upon receipt of said recommendation, a majority vote of the Hamilton County

Commission shall be required for any action to be taken.

Commissioner Fields suggested this matter be addressed by the Security and

Corrections Committee at a later date to give all involved parties additional time to

prepare and respond.

Commissioner Mackey and Commissioner Beck voiced their concerns with this

issue being addressed in a public forum.

At this time a copy of Magistrate Stuart’s response letter to Chief Miller dated

June 26, 2018 was distributed to the Commission and read into the record.

At this time a lengthy discussion took place between Commissioners. The

Security and Corrections Committee unanimously agreed to defer the meeting and will

request Committee Chairman Tim Boyd to call a special Security/Corrections committee

meeting at a later date. The Committee will report their recommendation to the

Commission.

A RESOLUTION MAKING AN APPROPRIATION TO THE HONORING THE SACRIFICE FOUNDATION IN THE AMOUNT OF FIVE HUNDRED DOLLARS ($500.00) FROM GENERAL FUND TRAVEL DISCRETIONARY MONIES, AS ALLOTTED TO DISTRICT SEVEN. WHEREAS, Section 5-9-109 of the Tennessee Code Annotated authorized the County Legislative

Body to make appropriations to nonprofit charitable and civic organizations; and WHEREAS, the Hamilton County Legislative Body recognizes the various nonprofit charitable and

civic organizations located in Hamilton County have great need of funds to carry on their nonprofit work; and

WHEREAS, Commissioner Sabrena Smedley has expressed a desire to allocate five hundred dollars

($500.00) from General Fund travel discretionary monies to The Honoring the Sacrifice Foundation to assist with their American Heroes Dinner; and

WHEREAS, the County Legislative Body deems said funding to be in the best interest of the citizens

of Hamilton County. NOW, THEREFORE, BE IT RESOLVED BY THIS COUNTY LEGISLATIVE BODY IN SESSION ASSEMBLED: That five hundred dollars ($500.00) from General Fund travel discretionary monies be appropriated to The Honoring the Sacrifice Foundation to assist with their American Heroes Dinner. BE IT FURTHER RESOLVED that this appropriation be made subject to the following conditions:

1. That the nonprofit charitable and civic organization to which funds are

appropriated shall file with the County Clerk and the Administrator of Finance a copy of an annual report of its business affairs and transactions and the proposed use of the County’s funds. Such annual report shall be prepared and certified by the chief financial officer of such nonprofit organization in accordance with Section 5-9-109(c), T.C.A.

2. That said funds must only be used by the named nonprofit charitable and civic organization in furtherance of their nonprofit purpose benefiting the general welfare of the residents of the County.

3. That it is the expressed interest of the County Commission of Hamilton County

in providing these funds to the above named organization to be fully in compliance with Section 5-9-109 of the Tennessee Code Annotated and any and all other laws which may apply to County appropriations to nonprofit charitable and civic organizations and so this is made subject to compliance with any and all of these laws and regulations.

BE IT FURTHER RESOLVED that this appropriation be made subject to the following conditions:

1. That the nonprofit charitable and civic organization to which funds are

appropriated shall file with the County Clerk and the Administrator of Finance a copy of an annual report of its business affairs and transactions and the proposed use of the County’s funds. Such annual report shall be prepared and certified by the chief financial officer of such nonprofit organization in accordance with Section 5-9-109(c), T.C.A.

2. That said funds must only be used by the named nonprofit charitable and civic organization in furtherance of their nonprofit purpose benefiting the general welfare of the residents of the County.

3. That it is the expressed interest of the County Commission of Hamilton County

in providing these funds to the above named organization to be fully in compliance with Section 5-9-109 of the Tennessee Code Annotated and any and all other laws which may apply to County appropriations to nonprofit charitable and civic organizations and so this is made subject to compliance with any and all of these laws and regulations.

BID SPECIFICATIONS

I. STATEMENT OF INTENT

Hamilton County, Tennessee hereinafter referred to as “the County” is soliciting sealed bids for the purpose of establishing a twelve (12) month all-inclusive contract unit price with a one (1) one-year renewal option for fencing repair and installation services under a contract price agreement. The contract period will be for twelve (12) months from the time of approval of this contract by the Hamilton County Commission. All prices must be guaranteed not to increase throughout the initial term of this contract, with the exception of possible price adjustments at the time of renewal (SEE SECTION IX. CONTRACT TERMS).

II. RESPONSIBILITY OF QUALIFIED VENDORS

Vendors should be financially sound and able to perform fully and/or provide, according to the specifications, all minimum requirements as listed. Each vendor is responsible for carefully reading this document and understanding its contents.

III. SCOPE OF SERVICES

These specifications are the minimum requirements that vendors must meet for the solicitation and include the following:

A. The vendor shall provide all materials, tools and equipment, transportation, labor and

supervision, for the repair of existing fencing, and installation of new fencing at facilities throughout Hamilton County.

B. The vendor shall provide the minimum standards for the following fencing materials (reference Bid Response Form, Section 2 - Unit Pricing – page 10):

C. The vendor shall ensure that all work is completed in a neat, clean, and safe manner and all materials requiring disposal are removed and properly disposed of from worksite.

D. The vendor shall provide the services as scheduled by the County or on an “as needed” basis as requested by various County departments. The County will attempt to schedule the work to optimize the use of the vendor’s personnel and equipment when it is needed.

E. The vendor shall perform work on a straight time basis, i.e., non-emergency, unless otherwise noted. Overtime, weekend, or holiday work shall only be performed at the County’s direction. The vendor shall agree to a ninety six (96) hour response time to arrange to visit worksite for routine calls, and to provide a scope of work (SOW) within forty eight (48) hours after visit to worksite to include a proposed schedule for completion of the job.

F. The vendor shall perform emergency work when requested by the County. Response to the need for emergency work shall be within two (2) hours of notification, with work to commence immediately. Emergency work will be paid at the overtime rates. The vendor shall supply an after-hours contact name and phone number through which notification of the need for emergency work shall be made.

G. The vendor shall provide fencing service personnel to perform various tasks requested by the County in accordance with the agreed rates (reference Bid Response Form, Section 2 - Unit Pricing – page 10). All unit price/hourly rates shall include all labor and benefit cost, overhead, profit, supervision, and any other charges – it shall not include travel time or break/lunch time.

H. The County will not pay for meals and other incidental items for the vendor’s employees.

I. The vendor shall review the various projects and assignments with County personnel, to determine labor, materials, and equipment needed, and to provide any other planning or requirements of the work.

J. Only parts and materials supplied by vendor to the County shall be considered for payment. Specific to each project the County will have the option to provide some or all of the fencing materials to the vendor for installation, to ensure best value for the County in accordance with Hamilton County Procurement Rules.

K. The vendor shall provide on-site supervision on each job assignment.

L. The vendor’s employees shall at all times wear clothing, badges, or other apparatus approved by the County, identifying them as employees of the vendor. Vendor employees shall identify themselves by name and position at any time requested by the public or a County representative.

M. The vendor shall ensure one person on each crew is fluent in English and he or she must be available at all times and at all worksites to courteously and adequately address any inquiries regarding the vendor’s activities.

N. The vendor’s personnel shall comply with all County work rules and regulations when on site.

O. The vendor shall comply with all applicable safety requirements and regulations, federal, state or local, including conformity to all OSHA safety requirements.

P. The vendor may, at the County’s sole discretion, be required to submit written proof of such compliance (i.e., permits, etc.).

Q. The vendor must comply with all local, state, and federal laws pertaining to drug free workplace, illegal alien employee verification, and criminal background checks required for work on school grounds and security sensitive locations.

R. The vendor must submit a qualification statement indicating a minimum of five (5) years experience in the performance of fencing repair, and installation services.

S. The vendor shall submit a minimum list of five (5) customers for whom the vendor has performed the services similar to those specified in this document during the past three (3) years. The list shall include names, addresses, telephone numbers, email address and contact person who is knowledgeable of services provided.

IV. INSPECTION

The services furnished by the vendor shall be subject to inspection and approval by the County’s designated representative prior to payment for services.

V. WORKER REMOVAL

All workers shall have sufficient skill and experience to perform the assigned work properly and safely. The County reserves the right to demand the removal of any employee of the successful Vendor from any work covered by these specifications if, in the sole opinion of the County, such employee shows insufficient experience or fails to make due and proper effort to execute the work in the manner prescribed.

VI. ASSIGNMENT OR SUBCONTRACTING

Any subcontractors must be approved in writing by Hamilton County prior to participating under this contract. The vendor shall include each of its subcontractors as insured under the policies of insurance required herein or insure that their subcontractors meet the minimum requirements for insurance specified herein.

VII. VOLUME OF SERVICE REQUIRED

The County is not obligated to provide the successful vendor with any specific amount of work with respect to these services during the term covered by this bid.

VIII. AWARD OF CONTRACT

Award of the contract shall be evaluated and negotiated on a variety of factors. In addition to cost, technical competence, references, experience, compliance with specifications, performance history, and other factors requisite to adequate and satisfactory performance will be considered as a part of the final decision. Hamilton County reserves the right to waive any irregularities or reject any or all bids.

IX. CONTRACT TERMS

The County reserves the right to award this contract to a single vendor or to award multiple, separate contracts in the best interest of the County. The terms of this agreement shall be for twelve (12) months with a one (1) one-year renewal beginning at the time this contract is approved by the Hamilton County Commission. Either the County or the vendor may terminate this agreement with a ninety (90) day written notice. The successful vendor will be required to sign a contract with the County. Bid specifications will be incorporated into the contract. A copy of a Pro Forma contract will be provided on request. In the event that Hamilton County exercises such renewal rights, all terms, conditions and provisions of the original contract shall remain the same and apply during the renewal period with the possible exception of price adjustments and minor scope additions and/or deletions which may be agreed upon by both parties. Any such price increase will only be allowed at time of renewal and must have documentation as to the justification / proof as to rationale for the increase and will be the lower of the documented request or based on the last twelve (12) month percentage change in the Consumer Price Index (All Urban Consumers (CPI-U) / U.S. City Average) for the renewal period in question. Any requested adjustment shall be fully documented with a justification, and submitted to the County at least ninety (90) days prior to the contract

anniversary date.

Note that these are not automatic renewals. It will be the responsibility of both parties to notify the other party in writing no less than ninety (90) days before the expiration of the contract period if the contract is not to be extended for each additional term.

X. ACCEPTANCE AND WARRANTY

The vendor shall warrant, unless otherwise specified, all materials and equipment supplied under this contract whether installed initially or as repair or replacement under this warranty, shall be new, in first class condition and in accordance with the contract documents. Neither the final certificate of payment nor any provision in this document, or partial or complete use of the project by the County shall constitute an acceptance of work not done in accordance with the contract document or relieve the vendor of liability in respect to any expressed or implied warranties or responsibilities for faulty material or workmanship. The vendor further warrants that all work to be free from defects in material and workmanship for a period of one (1) year following delivery of work to the County. Upon written notice from the County, the vendor shall immediately repair or replace, at his own expense, all or any parts that may prove to be defective during the period of this warranty. The vendor further warrants that any such repair or replacement shall remain in satisfactory working order and condition for a period of one (1) year after the repair is made or the replacement parts installed. Vendor shall remedy any defects and pay for any damages resulting therefrom which appear within a period of one year after final acceptance of the work.

XI. PAYMENT

The County shall pay the successful vendor(s) for all work completed on assigned project sites. Payment will not be made until the work has been inspected and completed to the satisfaction of the contracting department.

Travel time (the time it takes the vendor’s crew and equipment to arrive at a job site) is not considered a payable item by the County and will not be paid for by the County. Fuel surcharges are not allowed and all fuel costs should be included as a part of the stated hourly rates.

It is expected that a majority of the work subject to this bid will be done during the usual and ordinary working hours on regular workdays. Emergencies and/or natural disasters may require a different schedule to be determined at the time of assignment.

Invoices are to be submitted as work is performed, or on a weekly or monthly basis for projects with extended time periods. Instructions as to invoicing addresses will be specified at the time of the assignment, as the work assignments may come from different departments within the County.

XII. MINIMUM LIMITS OF INSURANCE

The vendor shall provide written confirmation of the following minimum limits of insurance and enclose a sample Certificate of Insurance (COI) demonstrating that they have this coverage.

a) Commercial General Liability Insurance: $1,000,000 per occurrence for property damage and bodily injury. The proposer should indicate in its proposal whether the coverage is provided on a claims-made or (preferably) on an occurrence basis. The insurance shall include coverage for the following:

A signed certificate of insurance shall evidence all policies and coverage shall not be cancelled without a minimum of thirty (30) days cancellation notice to the Hamilton County Risk Management Office. All coverage shall be placed with Tennessee admitted insurers rated B+10 or better by A.M. Best’s rating service or as approved by Hamilton County’s Risk Manager.

XIII. INDEMNIFICATION AND HOLD HARMLESS

The vendor agrees to indemnify and hold harmless the County from any claims and/or actions brought or filed against the County directly or indirectly, with respect to, or on account of, the acts or omissions of the vendor, its agents or employees arising out of the vendor's fulfilling of this contract whether such claims of action are rightfully or wrongfully brought or filed.

The vendor agrees to indemnify the County for all liability, loses or damages to the County from any source arising out of the fulfillment of this contract. The vendor agrees to pay all costs the

County incurs as a result of all suits, actions, claims or counterclaims filed against the County as a result of the acts or omissions of the vendor, or those acting as agents or employees of the vendor, to conform with all statutes, ordinances or other regulations or requirements of any governmental authority in connections with its duties under this contract. The vendor further agrees to defend all actions whether brought under tort contract, willful, malicious or activities of the vendor by and through its agents, employees or otherwise, including any civil rights actions resulting from the acts or omissions of the vendor or its employees, or agents. This provision shall survive the termination or expiration of this Contract.

XIV. VENDOR EXPERIENCE AND REFERENCES

A minimum of five (5) years experience in the performance of fencing repair, and installation services is required to bid on this solicitation.

A list of five (5) customer references for whom the vendor has performed services similar to those specified in this document during the past three (3) years must also be included with the bid response to be considered. This list must include company name, contact name(s), contact title(s), addresses, telephone numbers and email addresses. The County must be authorized to contact any company included on the list. The vendor will execute all documents necessary to authorize the County to speak with said references regarding performance of vendor.

XV. BID PRICING

The vendor shall submit pricing on the Bid Response Form (pages 8-12) that shall include the rate per linear foot/unit for specified materials, and the cost per hour for labor. All hourly rates shall include employee’s hourly rate of compensation under each classification, to include all labor and benefit cost, overhead, profit, supervision, and any other charges – it shall not include travel time or break/lunch time. The Vendor shall also provide hourly rates for overtime and holiday work for the various work described herein.

XVI. BID SUBMISSION REQUIREMENTS

The vendor must complete and deliver an original and two (2) hard copies of its bid response document in a sealed envelope before 10:30 A.M. (EST) on Thursday, June 28, 2018, to the Hamilton County Procurement Director at the address specified below. Bids received after the specified time will be deemed to be late and will not be accepted or opened. The clock-in time will be determined by a clock maintained by the Hamilton County Procurement Department. No other clock or timepiece will have any bearing on the time of bid receipt. Note: Throughout this document the terms Proposer, Contractor, Company, Vendor, Firm or Bidder are used interchangeably and refer to any organization submitting a response to any solicitation. Additionally, the terms quote,

bid or proposal are also used interchangeably and refer to the submission in response to any solicitation.

1. ACCEPTANCE: All terms and conditions in this invitation are deemed to be accepted by the bidder and incorporated in the bid, except the provision(s) which are expressly excluded by the bid specifications.

2. ADDITIONAL INFORMATION: Bidders are cautioned that any statement made by any individual or employee of Hamilton County that materially changes any portion of the bid document, either before or after the issuance of the bid documents, shall not be relied upon unless subsequently ratified by a formal written amendment to the bid document.

3. ALTERATION OR AMENDMENTS: No alterations, amendment, changes, modifications or additions to any contract resulting from this bid shall be binding on Hamilton County without the prior written approval of the County.

4. ALTERNATE BIDS: Alternate bids (defined as bids that do not comply with the bid terms, conditions, and specifications) are not acceptable and will be rejected unless authorized by the invitation to bid. Vendors may submit more than one bid providing that all such bids comply with bid terms, conditions and specifications.

5. ASSIGNMENT: Contractors shall not assign or sub-contract this agreement, its obligations or rights hereunder to any party, company, partnership, incorporation or person without the prior written consent of Hamilton County.

6. AUTHORIZATION TO BIND: All bids shall be signed by an authorized officer or employee of the bidder.

7. AWARD: Award will be made to the most responsive, responsible bidder(s) meeting specifications, who presents the product of service that is in the best interest of Hamilton County. Hamilton County reserves the right: (1) to award bids received on the basis of individual items, or groups of items, or on the entire list of items; (2) to reject any or all bids, or any part thereof; (3) to waive any informality in the bids; and (4) to accept the bid that is considered lowest and best.

8. BID AMENDMENT: If it becomes evident that an invitation must be amended, a formal written amendment will be issued to all known Bidders. If necessary, a new due date will be established.

9. BID COPIES: Hamilton County requires that bids be submitted in duplicate, unless otherwise stated in the bid package.

10. BID DELIVERY: Hamilton County requires that all bids be submitted and time/date-stamped by the date and before the time specified in the bid documents to be considered, regardless of method of delivery. The time clock in the Procurement Department shall be the official record of the time. The County is not responsible for any technical difficulties of any vendor in the delivery of its bid. No late bids will be accepted, opened or returned.

11. BID FORMS: Vendors must complete bid forms contained in the bid package. Failure to fully complete the bid forms may result in rejection of the bid.

All information shall be entered in ink or typed/computer generated. Mistakes may be crossed out and corrections inserted before submission of your bid. Corrections shall be initialed in ink by the person signing the bid. Corrections and/or modifications received after the closing time specified will not be accepted.

12. BID PREPARATION: Prospective bidders are solely responsible for their own expenses in BID preparation and subsequent negotiations with Hamilton County, if any.

13. BID PRICING: Any bid, and its associated pricing, shall remain valid for at least three (3) months after the bid due date, unless otherwise indicated in the bid specifications. Unit price must be shown for all products or services. In case of error in extension, unit price will govern.

14. BID SUBMISSION AND TRANSMISSION: Bid must be submitted in a sealed envelope with the Bid Number/Name, the closing date and time, as well as your company name provided on the envelope. If your response envelope is enclosed in another envelope/package for delivery, the latter should also be clearly labeled with the same identifying information.

All bids are to be F.O.B. Hamilton County, TN. All responses to this invitation become the property of Hamilton County.

Bids/Proposals submitted via e-mail or facsimile machine are unacceptable.

15. BRAND NAMES: Brand names and numbers, when used, are for reference to indicate the character or quality desired. Equal items will be considered, provided they are clearly identified by manufacturer, part number, diagrams, brochures and other related material, unless stated otherwise in the bid specifications. When brand, number, or level of quality is not stated by the bidder, it is understood the offer is exactly as specified.

16. CODE OF ETHICS: Hamilton County, through its Procurement Rules, has adopted the National Institute of Government Purchasing (NIGP) as well as the Hamilton County Government Code of Ethics. All suppliers are expected to adhere to business ethics and professional behaviors as outlined in these documents.

17. COMPLIANCE WITH ALL LAWS: Companies submitting bids must agree to observe and comply with all federal, state, and local laws, statutes, ordinances, and regulations, including but not limited to Title VI of the Federal Civil Rights Act of 1964, the Equal Employment Opportunity Act and the regulations issued there under by the federal government, the Americans with Disabilities Act of 1990 and the regulations issued there under by the federal government, in any manner affecting the provision of goods and/or services, and all instructions, prohibitive orders issued, and shall obtain all necessary permits.

18. DECLARATIVE STATEMENT: Any statement or word (e.g., must, shall, will) are declarative statements and the vendor must comply with the conditions. Failure to comply with any such statement may result in their bid being deemed non-responsive and disqualified.

19. DEFAULT: In case of default by the bidder, the County may procure the articles or services from other sources and may deduct from any monies due, or that may thereafter become due to the vendor, the difference between the price named in the contract or purchase order and actual cost thereof to the County. Prices paid by the County shall be considered the prevailing market price at the time such purchase is made. Periods of performance may be extended if the facts as to the cause of delay justify such extension in the opinion of the Procurement Director.

20. DELIVERY REQUIREMENTS: Time of delivery shall be stated as the number of calendar days following receipt of the order by the vendor to receipt of the goods or services by the County. Note: Time of delivery may be a consideration in the award.

21. DISADVANTAGED BUSINESS PROGRAM: Hamilton County has established a Disadvantaged Business Program, which has the responsibility of increasing opportunity for small, minority and women owned businesses. This is

22. DISCOUNTS FOR PROMPT PAYMENT: Bidders may include an option for cash discounts off of their quoted price, with terms of payment to be a minimum of Net 20. If a discount for prompt payment is offered by the bidder, it must be shown in the bidder's response; however, discounts for prompt payment will not be considered in the evaluation of bids or proposals. If earned, the County will take all discounts offered for prompt payment, provided correct and proper invoices, prepared in accordance with the terms of the purchase order or contract, are processed and payment is issued or post-marked to the successful bidder within the stipulated time frame.

23. DRUG-FREE WORKPLACE PROGRAM FOR CONSTRUCTION SERVICES: Law prohibits state or local governments from contracting for construction services with any private entity having five or more employees who has not furnished a written affidavit by its principal officer at the time of the bid or contract stating that the contractor is in compliance with the provisions of this act. Companies, other than construction services, are also encouraged to have and maintain drug-free workplace policies.

24. EXCEPTIONS: Bidders taking exceptions to any part or section of this invitation shall indicate such exceptions on the bid form. Failure to indicate any exception will be interpreted as the bidder’s intent to comply with and/or supply the requirements as written in the bid document and these General Terms and Conditions.

25. GRANT FUNDED PURCHASES: For purchases that are grant funded, the Grant Agreement may contain/require special terms and conditions. If there is a conflict between the terms and conditions of the Grant Agreement and the General Terms and Conditions of the Bid or RFP, the Grant Agreement Terms and Conditions shall prevail.

26. INDEMNIFICATIONS/HOLD HARMLESS: The vendor shall hold the County, its officers, agents, servants, and employees, harmless from liability of any nature or kind because of use of any copyrighted, or un-copyrighted composition, secret process, patented or unpatented invention, articles or appliances furnished or used under this bid, and agrees to defend, at his own expense, any and all actions brought against the County or himself because of the unauthorized use of such articles.

27. IRAN DIVESTMENT ACT: By submission of a bid, each bidder and each person signing on behalf of any bidder certifies, and in the case of a joint bid each party thereto certifies as to its own organization, under penalty of perjury, that to the best of its knowledge and belief that each bidder is not on the list created pursuant to T.C.A. §12-12-106.

28. NEW EQUIPMENT: The bidder shall guarantee that the units submitted for this bid shall be new, and the latest and most improved model of current production, and shall be first quality as to workmanship and materials used in said units. All modifications shall be made at the factory. Demonstrators shall not be acceptable. NOTE: When the bid is for services, this item does not apply.

29. NON-COLLUSION: Vendors, by submitting a signed bid, certify that the accompanying bid is not the result of, or affected by, any unlawful act of collusion with any other person or company engaged in the same line of business or commerce, or any other fraudulent act punishable under Tennessee or federal law.

30. NON-CONFLICT STATEMENT: Vendors, by submitting a signed bid, agree that it has no public or private interest and shall not acquire directly or indirectly any interest that would conflict in any manner with the provision of its goods or performance of its services. Supplier warrants that no part of the total Contract amount provided herein shall be paid directly or indirectly to any officer or employee of Hamilton County as wages, compensation, or gifts in exchange for acting as officer, agent, employee, subcontractor or consultant to the Contractor in connections with any goods provided or work contemplated or performed relative to the agreement.

31. NON-DISCRIMINATION STATEMENT: Supplier must agree that no person on the grounds of age, color, disability, gender, genetic information, national origin, political affiliation, race, religion, sexual orientation, or veteran’s status shall be excluded from participation in, or be denied benefits of, or be otherwise subjected to discrimination in the performance of this agreement, or in the employment practices of Vendor. Supplier shall upon request show proof of such non-discrimination, and shall post in conspicuous places available to all employees and applicants notices of non-discrimination. Suppliers covenants that it complies with the Fair Wage and Hour Laws, the National Labor Relations Act, and other federal and statement employment laws as applicable. Supplier covenants that it does not engage in any illegal employment practices.

32. PAYMENT TERMS: Hamilton County payment terms are Net 30 after receipt/inspection of merchandise and receipt of invoice unless otherwise stated in the bid documents.

33. PUBLIC ACCESS TO PROCUREMENT INFORMATION: Subject to the requirements of the TN Open Records Act, information relating to the award of a particular contract shall be open to the public only after evaluation of that bid or proposal has been completed. All public records pertaining to procurement shall be open for inspection during normal business hours as scheduled in advance with the Procurement Department.

34. PROTEST OF AWARD: Any vendor who has submitted a timely bid or proposal in response to a solicitation may protest the recommendation of award for a contract by submitting such protest to the County’s Director of Procurement. Any protest must be submitted in writing and be in the possession of the Procurement Department before noon (ET) of the 2nd working day following the public recommendation of contract award.

FAILURE OF A VENDOR TO FOLLOW THE PROTEST REQUIREMENTS WITHIN THE TIME FRAMES PRESCRIBED IN THIS SECTION CONSTITUTES A WAIVER OF THE PROTEST AND ANY RESULTING CLAIMS.

35. QUALIFICATIONS OF BIDDERS: A bidder may be required, before the award, to show to the complete satisfaction of Hamilton County that it has the necessary facilities, ability, insurance, and financial resources to provide the service or goods specified.

36. RESTRICTIVE OR AMBIGUOUS SPECIFICATIONS: It is the responsibility of the prospective bidder to review the entire invitation to bid (ITB) or request for proposal (RFP) packet and to notify the Procurement Department if the specifications are formulated in a manner that would unnecessarily restrict competition. Any such protest or question regarding the specifications of bidding procedures must be received in the Procurement Department not less than seventy-two hours prior to the time set for bid opening. These requirements also apply to specifications that are perceived to be ambiguous.

37. SAMPLES: Samples of articles, when required, shall be furnished free of cost of any sort to the County and may be retained for future comparison. Samples which are not destroyed by testing or which are not retained for future comparison will be returned upon request at bidder expense.

38. SAFETY DATA SHEETS: After award, the successful bidder(s) will be required to provide the County with a master set of Safety Data Sheets for any applicable products.

39. SPECIAL CIRCUMSTANCE NEGOTIATIONS: In certain circumstances, as authorized in the Procurement Rules, after a competitive process has been utilized, the contract may be competitively negotiated and awarded.

40. TAXES: Hamilton County is a tax exempt organization. Sales, use or federal excise taxes should not be included in your bid.

41. TERMINATION FOR CAUSE: In the event of any breach of contract by the successful service provider(s), Hamilton County may serve written notice to the service provider of its default, setting forth with specificity the nature of the default. If the defaulting party fails to cure its default within thirty (30) days after receipt of the notice of default, then Hamilton County shall have the right to terminate the contract upon thirty (30) days written notice and pursue all other remedies available to Hamilton County, either at law or in equity.

42. TERMINATION FOR CONVENIENCE: Contract may be terminated for convenience by either party by giving written notice to the other, at least sixty (60) days before the effective date of termination unless otherwise specified in the solicitation and/or contract documents. Said termination shall not be deemed a Breach of Contract.

43. TERMINATION DUE TO NON-APPROPRIATION: Hamilton County shall not be obligated for the Contractor’s performance hereunder or by any provision of this Contract during any of the County’s future fiscal years unless and until the County appropriates funds for this Contract in the County’s Budget for each such future fiscal year.

44. TN COOPERATIVE PURCHASING: Also known as piggybacking, Hamilton County reserves the right to extend the terms, conditions, and prices of this contract to other Institutions (such as State, Local and/or Public Agencies) who express an interest in participating in any contract that results from bids and/or proposals. Each of the piggyback institutions will issue their own procurement documents for purchasing of the goods. Bidder agrees that Hamilton County shall bear no responsibility or liability for any agreements between Bidder and the other Institution(s) who desire to exercise this option.

45. TN DEPARTMENT OF REVENUE REQUIREMENTS: Before the Contract resulting from this solicitation is signed, the apparent successful Proposer must be registered with the Department of Revenue for the collection of Tennessee sales and use tax. The County shall not approve a contract unless the Proposer provides proof of such registration. The foregoing is a mandatory requirement of an award of a contract pursuant to this solicitation.

46. TERMS AND CONDITIONS: In the event of a conflict between the bid specifications and these terms and conditions, the specifications will govern.

47. VISA ACCEPTANCE: Awarded contractors should have the capability of accepting the Hamilton County’s authorized VISA Procurement Card (P-card) as a method of payment. Price changes or additional fee(s) may not be assessed when accepting the p-card as a form of payment. The successful bidder may receive payment from the County by the p-card in the same manner as other VISA purchases. VISA acceptance is preferred but is not the exclusive method of payment.

48. WARRANTIES: All warranty information must be furnished.

49. WAIVING OF INFORMALITIES: Hamilton County reserves the right to waive minor informalities or technicalities when it is in the best interest of Hamilton County.

II, entered into a Consultant Services Agreement on or about the 2nd day of August, 2011, whereby said

Kenneth U. Jordan, II, agreed to serve as Hamilton County Equal Employment Officer (“EEO Officer”)

and provide certain professional services and expertise to the County for a term ending June 30, 2012,

with the County Mayor authorized to extend said services for up to an additional two (2) year period;

and

WHEREAS, in June 2012, June 2014 and July 2016, the County Mayor expressed his desire,

which was subsequently approved by the County Commission, to offer said additional two (2) year

extensions; and

WHEREAS, due to the exceptional work that the EEO Officer has performed during his terms, it

is the desire of the County Mayor and the willingness of the EEO Officer to continue to use said

services and expertise at this time for an additional two (2) years. It is hereby

AGREED, between Hamilton County, Tennessee, and Kenneth U. Jordan, II, that said Kenneth

U. Jordan, II, shall perform for an additional two (2) years (commencing July 1, 2018, and ending June

30, 2020) the same professional services presently being provided to Hamilton County, Tennessee, as

Equal Employment Opportunity Officer, and at the compensation and benefits as received by said EEO

Officer as of June 30, 2018, plus the three percent (3%) salary raise as received by all Hamilton County

employees as of July 1, 2018.

A RESOLUTION MAKING AN APPROPRIATION TO EAST RIDGE POLICE DEPARTMENT IN AN AMOUNT UP TO SEVEN THOUSAND FIVE HUNDRED DOLLARS ($7,500.00) FROM GENERAL FUND DISCRETIONARY MONIES, AS ALLOTTED TO DISTRICT EIGHT. WHEREAS, The East Ridge Police Department has an ongoing need to purchase office supplies; and WHEREAS, County Commissioner Tim Boyd has expressed a desire to use up to seven thousand five

hundred dollars ($7,500.00) of General Fund discretionary monies to assist the East Ridge Police Department in purchasing said office supplies; and

WHEREAS, The County Legislative Body deems said funding to be in the best interest of the citizens

of Hamilton County. NOW, THEREFORE, BE IT RESOLVED BY THIS COUNTY LEGISLATIVE BODY IN SESSION ASSEMBLED: That an appropriation up to seven thousand five hundred dollars ($7,500.00) from General Fund discretionary monies (as allotted to District Eight) be approved to assist the East Ridge Police Department in purchasing office supplies. A RESOLUTION AUTHORIZING HAMILTON COUNTY TO MAKE AN INTERGOVERNMENTAL TRANSFER TO THE STATE OF TENNESSEE’S TENNCARE PROGRAM IN ORDER TO SECURE ADDITIONAL FUNDING FROM THE STATE OF TENNESSEE’S PUBLIC HOSPITAL SUPPLEMENTAL PAYMENT POOL (“PHSPP”) FOR THE CHATTANOOGA-HAMILTON COUNTY HOSPITAL AUTHORITY (“ERLANGER”). WHEREAS, the TennCare Program as administered by the State of Tennessee has a financial pool

of funds known as the Public Hospital Supplemental Payment Pool (“PHSPP”), for the providing of health services to TennCare enrollees and uninsured patients being serviced by Metro Nashville General Hospital, Regional One Health at Memphis and the Chattanooga-Hamilton County Hospital Authority d/b/a Erlanger Health System (“Erlanger”); and

WHEREAS, Erlanger’s participation in said pool requires Hamilton County (as a political

subdivision of the State of Tennessee) to make an intergovernmental transfer from the County to the State of Tennessee’s TennCare Program in the amount of Twelve Million Seventy Three Thousand Two Hundred Twelve Dollars and Ninety One Cents ($12,073,212.91) in order to secure Thirty Five Million Three Hundred Twenty Two Thousand Four Hundred Forty Eight Dollars and Fifty Five Cents ($35,322,448.55) for Erlanger from the TennCare Program; and

WHEREAS, an interlocal agreement was approved by this body in April 2014 by resolution number

414-31 allowing such intergovernmental transfer; and WHEREAS, Erlanger shall tender to Hamilton County from Erlanger’s public funds said required,

Twelve Million Seventy Three Thousand Two Hundred Twelve Dollars and Ninety One Cents ($12,073,212.91) and Hamilton County will then forward said sum as received from Erlanger to the State of Tennessee’s TennCare Program to be credited as Erlanger’s required contribution of the non-federal share of the said Thirty Five Million Three Hundred Twenty Two Thousand Four Hundred Forty Eight Dollars and Fifty Five Cents ($35,322,448.55) in TennCare payments to Erlanger; and

WHEREAS, this County Legislative Body deems this transaction to be in the best interest of the

citizens of this County.

NOW, THEREFORE, BE IT RESOLVED BY THIS COUNTY LEGISLATIVE BODY IN SESSION ASSEMBLED: That Hamilton County is authorized to accept from Erlanger the sum of Twelve Million Seventy Three Thousand Two Hundred Twelve Dollars and Ninety One Cents ($12,073,212.91) from Erlanger’s public funds, and to transmit same as received to the State of Tennessee’s Bureau of TennCare to be credited by same as the required contribution on behalf of Erlanger, to be used as the non-federal share of Public Hospital Supplemental Payment Pool (“PHSPP”) payments to Erlanger in the amount of Thirty Five Million Three Hundred Twenty Two Thousand Four Hundred Forty Eight Dollars and Fifty Five Cents ($35,322,448.55) for Erlanger’s uncompensated care of TennCare enrollees and uninsured patients. BE IT FURTHER RESOLVED THAT THIS RESOLUTION TAKE EFFECT FROM AND AFTER ITS PASSAGE, THE PUBLIC WELFARE REQUIRING IT.
