CONSULTANT AGREEMENT

This AGREEMENT made and entered into this 17th day of February, 2020 by and between Habersham County (Georgia) (Party of the First Part, hereinafter called County), and TUSA Consulting Services II, LLC, (Party of the Second Part, hereinafter called the Consultant or TUSA) NOW THEREFORE, for and in consideration of the mutual promises and obligations contained herein and under the conditions hereinafter set forth, the parties do hereby agree as follows: 1. TERM: This contract shall commence on March 01, 2020. 2. ATTACHMENTS:

Copies of the Consultant's technical qualification and Scope of Work are attached hereto (Exhibit A) and are specifically incorporated herein by reference.

3. PERFORMANCE:

Consultant agrees to furnish all skill and labor of every description necessary to carry out and complete in good, firm and substantial, workmanlike manner, the work specified, in strict conformity with the Proposal.

4. PRICE:

As full compensation for the performance of this Contract, Habersham County shall pay the Consultant for the actual quantity of work performed at the rate of $165 per hour plus reasonable and customary travel/lodging expense if incurred which shall in no event exceed $34,386 without the expressed approval of the County. Habersham County agrees to pay the Consultant following receipt by Habersham County of a detailed invoice, reflecting the actual work performed by the Consultant.

5. INSURANCE CERTIFICATES/NOTICE REQUIREMENTS:

Consultant shall maintain all insurance certificates as contained in Attachment B. Habersham County shall be named as additional insured on said insurance policies and evidence of such shall be provided by Consultant to Habersham County at the time of execution of this Agreement. Upon cancellation of said insurance policies, Consultant or its agent(s) shall provide written notice to Habersham County within 30 days upon Habersham County or it agent(s)'s knowledge or receipt of any such notice of cancellation.

6. INDEMNIFICATION AND HOLD HARMLESS:

CONSULTANT agrees to protect, defend, indemnify, and hold harmless Its elected officials, officers, agents and employees from and against any and all liability, damages, claims, suits, liens, and judgments, for whatever nature, including claims for contribution and/or indemnification, for injuries to or death of any person or persons, or damage to the property or other rights of any person or persons to the extent arising out of and attributed to the negligent errors, acts, or omissions in whole or part of the CONSULTANT. CONSULTANT'S obligation to protect, defend, indemnify, and hold harmless, as set forth hereinabove shall include, but not be limited to, any matter arising out of any patent, trademark, copyright, or service mark, or any actual or alleged unfair competition disparagement of product or service, or other business tort of any type whatsoever, or any actual or alleged violation of trade regulations. CONSULTANT further agrees to protect, defend, indemnify, and hold harmless Habersham County, its officers, elected officials, agents, and employees from and against any and all claims or liability

for compensation under the Worker's Compensation Act arising out of injuries sustained by any employee of the CONSULTANT.

7. TERMINATION FOR CAUSE:

COUNTY may terminate this agreement for cause upon ten (10) days prior written notice to the Consultant of the Consultant's default in the performance of any term of this Agreement. Such termination shall be without prejudice to any of Habersham County’s rights or remedies provided by law.

8. TERMINATION FOR CONVENIENCE:

Habersham County may terminate this Agreement for its convenience at any time by written notice to the Consultant. In the event of Habersham County’s termination of this Agreement for convenience, the Consultant will be paid for those services actually performed. Partially completed performance of the Agreement will be compensated based upon a signed statement of completion to be submitted by the Consultant which shall itemize each element of performance.

9. AGREEMENT NOT TO DISCRIMINATE:

During the performance of this Contract, the Consultant will not discriminate against any employee or applicant for employment because of race, creed, color, sex, national origin, age, or disability which does not preclude the applicant or employee from performing the essential functions of the position. The Consultant will also, in all solicitations or advertisements for employees placed by qualified applicants, consider the same without regard to race, creed, color, sex, national origin, age, or disability which does not preclude the applicant from performing the essential functions of the job. The Consultant will cause the foregoing provisions to be inserted in all subcontracts for any work covered by this Contract so that such provision will be binding upon each subcontractor, providing that the foregoing provisions shall not apply to contracts or subcontractors for standard commercial supplies of raw materials.

10. ASSIGNMENT:

The Consultant shall not sublet, assign, transfer, pledge, convey, sell or otherwise dispose of the whole or any part of this Contract or his right, title, or interest therein to any person, firm, or corporation without the previous consent of COUNTY in writing.

11. WAIVER:

A waiver by either party of any breach of any provision, term, covenant, or condition of this agreement shall not be deemed a waiver of any subsequent breach of the same or any other provision, term, covenant, or condition.

12. SEVERABILITY:

The parties agree that each of the provisions included in this agreement is separate, distinct and severable from the other and remaining provisions of this agreement, and that the invalidity of any agreement provision shall not affect the validity of any other provision or provisions of this agreement.

13. GOVERNING LAW:

The parties agree that this agreement has been negotiated in and shall be construed in accordance with the laws of the State of Georgia. The parties specifically agree that regarding any dispute related to the contract or the party’s performance thereunder any litigation regarding the same shall be conducted in Habersham County, Georgia and the parties hereby stipulate to personal jurisdiction and venue in the appropriate trial courts of that County.

14. MERGER CLAUSE:

The parties agree that the terms of this agreement include the entire agreement between the parties, and as such, shall exclusively bind the parties. No other representations, either oral or written, may be used to contradict the terms of this agreement.

It is my pleasure to submit Tusa Consulting Services’ (TUSA) proposal to provide Habersham County, Georgia with consulting services for the analysis and assessment of your communication system. TUSA has been in business for over 28 years, and has been nationally recognized by Mission Critical Magazine as one of the top communication consultants in the industry. TUSA Consulting Services was formed in 1992. The company began implementing microwave shots for offshore oil rigs in the Gulf of Mexico, where some of the most stringent conditions exist. Shortly afterwards, the company started designing public safety systems. In July 2005, the company was reformed into Tusa Consulting Services II, LLC (TCS-II) to expand the business toward a national scale with the introduction of partner-owners. In July 2015, the last remaining partner’s business interest was bought and once again, the firm is owned by its original founder.

While our business continues its principal focus on Land Mobile Radio/Microwave, in 2014 TUSA expanded into the design and development of NG9-1-1 communication centers and related CAD/RMS technology. Soon, the radio industry will see a gradual acceleration into shared narrowband/broadband solutions as LTE voice standards are developed and refined. TUSA started planning and preparing for this integration of technologies months before the release of the US House Bill 2482

in July 2011, which subsequently led to the creation of FirstNet and a nationwide initiative to construct a public safety broadband facility serving urban and rural communication needs.

About TusaIn 1978, a good friend of mine was working for a petrochemical service company in the Gulf of Mexico. Well a fire broke out on his rig and he was severely burned. The owner spent over an hour trying to radio for assistance, but the radio system was so poorly designed he couldn’t get a hold of anyone. The rig’s owner eventually loaded my friend onto a workboat, and ferried him to another platform to radio for help.

The rescue action took many hours, and for a person who was burned over 70% of his body, the agony was beyond description. My friend later succumbed to his injuries, but that one incident made a lasting impression on me: NEVER design or field an unreliable radio communications system with inadequate coverage.

In fact, when Hurricane Katrina struck New Orleans, the eye of the storm made a direct hit on Gulfport, Mississippi, Gulfport’s radio system was the only thing still working thanks to the stringent specifications created by TUSA. Phase 1 Overview

Before we can make recommendations on how to solve your current communication challenges, we must first understand your current operations and the technical equipment that the County utilizes. In order to achieve this, TUSA must conduct a comprehensive needs assessment geared toward determining expectations, operational needs, functional requirements, and a whole host of additional requirements.

TUSA has been conducting needs assessments for over 28 years, and through our experience, we have developed a proprietary evaluation approach we call the three I’s: Investigate, Interview, and Inspect. By using this approach, we can accurately develop a foundation of information that frames the basis for the development of solutions and strategies that address the recommendations you seek, using the Industry’s best standards-based practices. This best captures our approach to Habersham County’s project.

Investigation Stage

During the investigation stage, TUSA collects all the data that the County has on its existing radio system. We then cross-reference it with information we collect from the FCC licensing database. This allows us to create coverage maps to provide an “as-is” view of coverage provided to the various radio users within Habersham County. This allows us to see how the system should be performing and where there are coverage shortfalls.

Once this preliminary work is completed, TUSA would schedule a project kickoff meeting with the County’s project team. This meeting would be used to frame project reporting processes, interview schedules and other aspects critical for the timely completion of the Phase 1 work.

We will then investigate neighbouring radio systems to look at interoperability and shared resources (master sites/cores). It is important to determine what types of systems are currently in operation, or are being planned. It is also important to understand the mutual aid/backup relationships between surrounding agencies and neighbouring jurisdictions, as well as those with the State of Georgia, and those coming in to Habersham County. In addition, it is important to understand what type of interoperability is done, as well as what frequency bands and radio platforms everyone is using.

INTERVIEW STAGE

TUSA will meet with all project staff members, stakeholders, and appropriate agency and department representatives to conduct user interviews. Different agencies and departments often have different per-ceptions of how a radio system performs. For example, police might have the best “big picture” view be-cause they travel all over the county; these users are more aware of wide-area coverage challenges. A local fire de-partment however might have problems with in-building portable radio performance due to poor coverage, or there are communications challenges when on mutual aid calls. Public service departments might have prob-lems using portables, or do not have enough channel ca-pacity. Dispatch center operations might be hampered by inefficient/obsolete equipment, or ergonomic issues. The results of the interviews are used to develop a “pic-ture” of how the radio system performs from the user’s standpoint.

TUSA has developed an online, cloud hosted “Radio System Questionnaire” that will be distributed prior to scheduling User Interviews. The online questionnaire works to identify specific coverage challenges, which

are later cross-reference with TUSA’s coverage maps/test re-sults to determine if there is indeed a true coverage issue or perhaps a user equipment/maintenance deficiency that should be further investigated and resolved. The question-naire is also a first-step used to solicit detailed user equip-ment inventory information (i.e., how many portables and mobiles in use, make and model, capability for upgrade, serviceable condition, etc.). More importantly this prereq-uisite user task helps to prepare those invited for actual interview sessions, so that we make the best use of avail-able time and the information gained is both accurate and highly detailed.

After questionnaires are collected within an agreed-upon response period, TUSA would then request the County ini-tiate scheduling of the various field interviews, ideally to be conducted within a one-week window. TUSA prefers to do the interviews on-site in a central staging area, but is progressive enough to conduct the interviews using video conferencing or by telephone if doing so is more conducive for some interview candidates. The average interview runs about an hour.

INSPECTION STAGE

TUSA will inspect all infrastructure equipment, observing the physical and operational condition of equipment, shelters, towers/water tanks and antennas, lightning protection grounding, interconnection systems, backup power, age of batteries and/or generators, etc. We will take note of available space for new- system equipment and antennas. We will take note of available space for future antenna upgrades and compare everything against the Motorola proposal’s assumptions.

This inspection stage will involve TUSA personnel as we evaluate current tower/radio site infrastructure for potential reuse opportunities in the new P25 radio solutions.

NEEDS ASSESSMENT DELIVERABLE

TUSA will deliver a comprehensive Needs Assessment Report and present our findings in person to Habersham County. The report shall include our comments on the optimal technical, operational and coverage solutions with supporting data. It will also include cost estimates that look at the total cost of ownership over a 15 year period, including maintenance.

TUSA will complete the Needs Assessment within 60 days of a Notice to Proceed.

Phase 2 - Implementation

TUSA will develop all the relevant content necessary to define the solicitation scope of work and provide it to the County Purchasing office for incorporation into a Request for Proposal. During this process, we will become a shield that protects the County. We will also become a trusted team advisor so the County can make informed decisions.

TUSA will work with Habersham County and their procurement team to create an RFP specification to support the procurement of a new radio system. As part of this, TUSA will attend the mandatory pre-proposal conference and participate in the vendor site walks. We would also assist in answering any vendor questions via an addendum. Afterwards, TUSA would perform a technical evaluation of the responses and negotiate a final contract.

For the evaluations, TUSA would perform the technical evaluation on all submitted RFP’s, advising the County on compliance and/or deficiencies. As part of this process, we will use our proprietary worksheet evaluation template, which is custom-designed to enable a comprehensive comparison of each proposal, summarized in an objective, point-structured format to enable the evaluation and selection process.

TUSA will serve as a technical/consultant to Habersham County in the development of, and approval of an agreement for the installation of the radio system, towers, and other incorporated systems. During the contract negotiations, our initial task would be to quantify each exception taken by the proposer and work to restructure the exception as much as possible to better protect Habersham County’s interests and, ideally, to bring it further into compliance with the specifications.

Next we would negotiate a final Acceptance Test Plan (ATP) that encompasses all elements of the radio system’s functionality, reliability and coverage. These tests will be likewise fashioned to gauge the performance of interoperability linkages, standby power systems, HVAC equipment and site/system alarms.

The ATP would become a component part of the Contract. It is an important and necessary milestone for gauging the suitability of the vendor’s radio system prior to migrating active user agencies onto the system. Depending upon the number of exceptions contained in an apparent successful proposer’s submittal, contract negotiation can take as few as one week or as long two months. If negotiations become bogged down, Habersham County could suspend negotiations with the first ranked proposer and initiate discussion with the second-ranked vendor.

PHASE III - IMPLEMENTATION SUPPORT (OPTIONAL)

TUSA knows your staff already has a full time job, therefore we will come in and provide added support. This include providing industry best-in-class project management to support implementation management, inspection, acceptance testing, and cutover assistance as required for the project. TUSA places a strong emphasis on project management. All of our project managers have their PMP certification, and all adhere to the Project Management Institutes (PMI) best practices for project management as defined in the Project Management Body of Knowledge (PMBOK). This is important because it allows us to ensure that your project comes in on time and on budget.

TUSA will assist with the implementation planning, final system design, project management and installation support, document and manage the project scope as necessary. TUSA will develop a detailed project plan with key milestones and timelines describing the work to be accomplished in accordance with vendor input and contracted schedule. The project plan will have resource assignments, dependencies, actual costs compared to budgets and all other related activities. The project plan will track the vendor’s progress and would be updated regularly, as changes “on-the-ground” occur or at the request of the County.

During our implementation support, TUSA will not only provide monthly project process reports and review meetings, but also weekly status updates via electronic submittals. TUSA personnel would verify the performance of P25 and microwave radio equipment during factory staging. Approval to release equipment to be shipped to County facilities would be withheld until all equipment complies with the pre-approved factory acceptance test plan methodology and the RFP’s specifications for performance and workmanship.

Jack “Tripp” Forrest, P.E.

Profession

Tripp is the inhouse frequency expert for Tusa Consulting Services. Tripp served as a lead in-house engineer on the State of Florida’s Statewide Law Enforcement Radio System (SLERS) from 2007 through 2011. This system encompasses 211 radio towers and 22,000 users operable on the statewide system. Since 2011, Tripp has served as a Tusa project engineer on numerous radio communications projects and he is a registered professional electrical engineer licensed to practice in numerous states. Tripp has created a proprietary software tool that can be used to “find” licensable radio channels from within the FCC’s extensive licensing database. EZ-Spectrum™ analyzes frequencies to determine if they have any potential for interference to, or from, neighboring FCC-licensed systems and can determine the suitability of channel sets for simulcast designs, combiner schemes, etc.

System Overview:

McPherson County will be upgrading from EDACS to a new Project-25 700/800 MHz digital simulcast trunked radio network. The new system will be in compliance with Industry-recognized Project-25 open standards, as well as current or future P25 networks within the State of Kansas. TUSA was retained by McPherson County to conduct a full needs assessment, as well as develop conceptual solutions and budgetary estimates to support a fifteen year life cycle. After reviewing the needs assessment, the County authorized TUSA to create an RFP specification for a new P25 radio system. Through an open procurement process, the County selected Harris. The new P25 system will consist of six sites. TUSA has been retained to help the County oversee the implementation and administer the coverage and final acceptance test.

System Overview:

The City of Norman, located along Oklahoma’s “tornado alley,” has been operating a two-site 800 MHz trunked radio system that was tied to the Oklahoma State system in Tulsa. The system provided minimal coverage in the western portion of the City and was susceptible to outages due to its “T1 telephone line” connectivity to the central controller in Tulsa. TUSA was retained to assess the current system, develop an upgrade recommendation, and provide procurement and implementation services. TUSA worked with the City to develop a comprehensive RFP that focused on provision of a highly-reliable “portable-on-hip” City-wide system. The RFP defined all user needs in regards to system performance and subscriber equipment features. After a thorough proposal evaluation process, TUSA recommended award of the system contract to Harris Corporation. The City is currently finalizing the contract. TUSA will provide complete system implementation project management support through system testing and acceptance.

The following fee proposal is based off an hourly rate of $165 an hour. All expenses are invoiced at cost, with no markup. The price listed below is a not to exceed price. If TUSA misjudged the amount of time to perform the tasks in this scope of work, TUSA will perform the additional work at no additional cost to Habersham County. In addition, TUSA will only invoice for actual work performed.
