Whether you're meeting with a friend of a friend, a start-up or a large corporation, no matter what the business, you will always work with people.

Profile their background such as education, work experience, interests and family, looking for areas within their frame of reference to connect and bond on.

In a perfect world, you will run all these steps in one sitting. This is not always the case. You might need to work on the relationship further before you get to talk numbers and figures.

Make genuine connections, it will make all the difference. Remember don’t work "for" people, work "with" people.

The great thing about graphic design is that you can work in every industry. Take time to learn about the company you will be collaborating with. Listen, listen, listen! Ask, Ask, Ask! Make as many notes as possible.

Ask macro business questions so that you form a broad view of their company.

Stay alert for the pain points and identify metrics that will measure success.

Identify and align on what will constitute success and how to measure for it, in order to create milestones for the project.

Confirm all that needs to be in the proposaland establish a budget. The business goals, pains, metrics and sales should start giving you a sense of budget. Don’t hesitate to speak of money at this meeting. Avoid leaving this meeting without a budget or cost aligned. Doing so will save time and will ensure that you are a good fit for each other.

We believe in value based design when it comes to price. In short, the more impact design has in accomplishing the clients goals, the more design should cost.

All went well and you’re aligned with your client, now you’re ready to reit-erate all the information you’ve gathered and turn it into a concise proposal.

At this point you have collected the list of deliverables to be completed, you have spoken about a budget and you have a sense of timeline.

In the next few pages you will see ➌ examples of single-sheet proposals that were sent and approved by our existing clients.

We know prospect clients are not always super clear with their needs and wants. If that is the case, give multiple options in your the proposal (see example ➌). These options should range from smaller to larger scope solutions.

Use these templates as ideas for your upcoming projects. This is our version of a handshake. Once the client agrees to the specific deliverable, at your set price, within the designated timeline, then you can prepare a contract.

You've converted a pros-pect into a paying client and you're ready to get working.

Not so fast cowboy! Let's get all the terms of this agreement out in the open and let's get a deposit first.

We will attempt to explain the aspects of contracts that are important for most project dealing with graphic design services. We are not attorneys so this information is not legal advice. Our hope is to share our knowledge in this field, so that future freelancers have the basic understating on how to protect their work.

We prepare our contracts in simple language. The clauses are in plain English, so both parties clearly understand the parameters of engagement without legal council. By doing so, everyone is on the same page, no fine print, no hidden messages.

We believe that contracts shouldn't be sneaky, rather they should be made to avoid the possibility of issues.

The following pages include our basic contract in simple language along with explanation for each section. The terms are drawn to benefit you. However, each client might have their own needs. You might need to alter the terms. Do so carefully and in a way that everyone understands.

PROPOSALSAll proposals will be issued per project and are valid for 15 days. The terms and conditions in this document are to be adhered for any project or service undertaken by The Client and Gusto Studio, unless otherwise noted in other form.

SCHEDULEProject schedule will be determined with each proposal. Termination or abandonment of work may result in penalty.

BILLING & EXPENSESA deposit of total project fees due upon contract signing unless otherwise noted in the proposal. Balance will be billed as stated per project proposal and due within 30 days. If the project extends beyond the agreed timeline, the billing schedule will be modified accordingly. Out of scope charges are billed in the month they occur. The project may be paused if payments are overdue.

Expenses incurred by Gusto Studio throughout the duration of project will be invoiced. Detailed expense reports will be provided by month end. Reimbursements will be made by Client within one payment cycle.

CLAUSE NOTES

PARTIESThis contract is between _____________________________ (“Client”) and Gusto Studio LLC.

This is who will be involved in the agreement. The "Client" is then used for simplicity through the document

Terms & Conditions

PAYMENTThe Client and Gusto Studio LLC agree that payment is due within thirty (30) days of invoicing. The project may be paused if payments are over-due with a minimum of seven (7) days notice.

ESTIMATESThe fees cited in this proposal are our best estimates given the information provided in the initial meetings. If additional work outside of the original estimate scope, the project specifications change, or the scheduling changes, the cost estimate may change. Gusto Studio LLC shall notify the Client in writing of any changes.

EDITS & REVISIONSThe Client shall be responsible for making additional payments for changes requested by the Client in original assignment or changes that exceed the limit of rounds of revisions per deliverable set forth in the before mention pages.

TERMINATION In the event of cancellation of the project by the client, a cancellation fee of thirty (30)% of remaining contract balance will be applied. If the Client desires to halt work for a period of ninety (90) days or more, a fee of ten (10)% of remaining contract balance will be applied in order to resume work at a determined date. If the client abandons work without notice to Gusto Studio LLC, for a period of 60 days or more, cancellation policy applies.

Make sure you get payed and on time. Specify your deposit percentage and billing schedule.

Work that is not in the proposal, is considered out of scope and will require extra costs.

Agree on a number of revisions with your client in the proposal phase. Anything out of that number should be extra.

Give client an option for canceling the projects. Not all collaborations work out.

CONFIDENTIALITYGusto Studio LLC acknowledges that all source materials, marketing plans and other sensitive business information supplied by the Client or developed by Gusto Studio LLC are to be considered confidential information and subject to any separate confidentiality and/or non-disclosure agreements entered into by the parties. Information shall not be considered confidential if it is already publicly known through no act of Gusto Studio LLC.

THIRD-PARTIES & LICENSINGAll third-party transactions will be handled separately from this proposal. Licensing may include, but not limited to, typography, photography, video, and illustration.

OWNERSHIP All work produced under this agreement remains the prop-erty of Gusto Studio LLC. Upon receipt of full payment, this agreement grants the Client an irrevocable and perpetual license to the design and/or code created for this project limited to usage for the purposes laid out on this proposal document. The design and website code cannot be resold in whole or in part as a template by the Client. This clause does not affect any open source, public domain works, trademarks, intellectual property or copyright materials incorporated into the project which remain under their re-spective licenses.

PROMOTIONGusto Studio LLC is authorized to use the representation of the work produced, in any media, for its promotional purposes for an indefinite period from the date of completion. Such representations of the work produced shall not include or display any of the Clients proprietary information bound by the terms of any non-disclosure agreements included herein.

EXPENSESClient shall reimburse Gusto Studio LLC expenses incurred in connection with this Agreement as follows: any incidental and out-of-pocket cost carried by Gusto Studio LLC that are necessary — and previously approved by the Client — in order to complete the project.

Don't let secretes out. Non-disclosure agreements are typical. If a clients wants you to sign one, read carefully and consult with an attorney if needed.

Fonts, stock photos and other things that may need to licensed to complete the project are to be payed separately and not part of this proposal.

This example is the most common version. It states that whatever is created from this agreement remains your property but the client has the full authorization to replicated in anyway and as many times as stated in the proposal. That brings up licensing of work.

This allows you to use the work you have created (regardless of client or industry) for self-promotion. Like in your website or service guide.

This can be different if you are freelancing for an agency.

Self explanatory, make sure you get reimbursed for expenses arising from a project. For example, travel, shipping or printing.

TIMELINEThe timeline specified has been determined to be feasible and realistic based on the determined workload, provided unforeseen changes in the scope do not add additional work and the Client meets all deadlines and project requirements. Although every effort will be made to meet the proposed timeline, failure to do so does not trigger an automatic partial refund of the agreed project fees.

PROJECT COMPLETIONAt project completion, any further modifications are billable unless agreed beforehand.

CLIENT RESPONSIBILITIESClient acknowledges that it shall be responsible for per- forming the following in a reasonable and timely manner:(a) coordination of any decision-making with parties other than Gusto Studio LLC;(b) provision of Client Content in a form suitable for reproduction or incorporation into the Deliverables without further preparation, unless otherwise expressly provided in the Proposal; and(c) final proofreading and in the event that Client has ap- proved Deliverables but any errors not previously accounted for, remain in the finished product, Client shall incur the cost of correcting such errors.

DISPUTE RESOLUTION Any disputes arising out of this Agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final. Each party is responsible for their own fees incurred by this process irregardless of final awarded decision.

Agree on a timeline, and try your hardest to stick to it. Things happen, we all know that. If there is an issue on your part, be transparent with the client.

Get paid before you turnover all final designs.

This is what you should expect from the client's side.

Straightforward, to resolve disputes you will go through arbitration. Each party is responsible for their own fees.
